Hyresnämndsmål. Överlåtelsetillstånd enligt 12 § lagen (1982:352) om rätt till fastighetsförvärv för ombildning till bostadsrätt eller kooperativ hyresrätt (ombildningslagen). Ett bolag förvärvade inom ramen för en större transaktion ett flertal hyresfastigheter. Beträffande en av fastigheterna, som omfattades av en intresseanmälan från en bostadsrättsförening, ingicks ett separat överlåtelseavtal som villkorades av att föreningen inte antog ett hembud om att köpa fastigheten. Fråga om den köpeskilling som angavs i hembudet översteg fastighetens marknadsvärde och om villkoret i fråga om köpeskillingen därför var uppenbart oskäligt mot föreningen. Även fråga om det s.k. transaktionsupplägget kan ses som ett villkor vid hembudet till föreningen.
