Bolagets revisor skall senast tre veckor före årsstämman lämna ett skriftligt, undertecknat yttrande till styrelsen om huruvida de riktlinjer som avses i 51 § och som har gällt sedan föregående årsstämma har följts. Om riktlinjerna enligt revisorns mening inte har följts, skall skälen för denna bedömning framgå. Lag (2006:562).
