Under tre år efter registreringen av ett beslut om minskning av aktiekapitalet för förlusttäckning får vinstutdelning inte beslutas utan tillstånd från Bolagsverket eller, i tvistiga fall, allmän domstol. Tillstånd behövs dock inte om aktiekapitalet efter eller i samband med minskningsbeslutet har ökats med minst minskningsbeloppet. I fråga om Bolagsverkets eller domstolens tillstånd gäller 25- 29 §§ i tillämpliga delar.
