Beslut om vinstutdelning fattas av bolagsstämman.
Stämman får besluta om utdelning av större belopp än vad styrelsen har föreslagit eller godkänt endast om
1. det finns en sådan skyldighet enligt bolagsordningen, eller
2. utdelningen beslutas på yrkande av en minoritet enligt 11 §.
