Om ett förslag till beslut om minskning av aktiekapitalet inte skulle vara förenligt med bolagsordningen, skall beslut om nödvändiga ändringar av denna fattas innan bolagsstämman beslutar om minskningen.
Ett beslut om minskning av aktiekapitalet får inte fattas förrän bolaget har registrerats.
