I ett publikt aktiebolag vars aktier är upptagna till handel på en reglerad marknad eller en motsvarande marknad utanför Europeiska ekonomiska samarbetsområdet, ska det vid årsstämman fattas beslut om riktlinjer för ersättning till ledande befattningshavare, om det har lämnats ett förslag till sådana.
Riktlinjerna ska hållas tillgängliga utan kostnad på bolagets webbplats senast två veckor efter årsstämman och så länge riktlinjerna gäller. Detsamma gäller stämmoprotokollet utom röstlängden.
I 8 kap. 51 och 52 §§ finns bestämmelser om styrelsens skyldighet att upprätta förslag till riktlinjer, vad riktlinjerna ska innehålla och vad som gäller om stämman inte godtar förslaget. Lag (2019:288).
