Om fusionsplanen inte skall underställas bolagsstämman i moderbolaget enligt 31 § eller om planen godkänts av bolagsstämman, skall vart och ett av bolagen skriftligen underrätta sina kända borgenärer om att planen har blivit gällande. I så fall skall bestämmelserna i 19 § tillämpas.
