Beslut om fondemission, nyemission av aktier eller emission av tecknings optioner eller konvertibler (emissionsbeslut) fattas av bolagsstämman. Beslut om nyemission av aktier eller emission av teckningsoptioner eller konvertibler kan dessutom fattas av styrelsen enligt 13 kap. 31-38 §§, 14 kap. 24-31 §§ och 15 kap. 29-36 §§.
Om ett förslag till emissionsbeslut inte skulle vara förenligt med bolagsordningen, skall beslut om nödvändiga ändringar av denna fattas innan stämman beslutar i frågan om emission.
