Om bolaget inte har någon behörig ställföreträdare som är bosatt i Sverige, skall styrelsen bemyndiga en person som är bosatt här att på bolagets vägnar ta emot delgivning (särskild delgivningsmottagare). Ett sådant bemyndigande får inte lämnas till någon som är underårig eller som har förvaltare enligt 11 kap. 7 § föräldrabalken.
