Som styrelsens beslut gäller, om bolagsordningen inte föreskriver särskild röstmajoritet, den mening som mer än hälften av de närvarande röstar för vid sammanträdet. Vid lika röstetal har ordföranden utslagsröst. Är styrelsen inte fulltalig, skall de som röstar för beslutet dock utgöra mer än en tredjedel av hela antalet styrelseledamöter, om inte annat föreskrivs i bolagsordningen.
