Om en styrelseledamot som enligt bolagsordningen ska utses på ett annat sätt än genom val av bolagsstämman inte har utsetts, ska Bolagsverket på ansökan utse en ersättare. Ansökan får göras av en styrelseledamot, en aktieägare, en borgenär eller någon annan vars rätt kan vara beroende av att det finns någon som kan företräda bolaget. Lag (2011:899).
