Ett uppdrag som styrelseledamot upphör i förtid, om styrelseledamoten eller den som har utsett honom eller henne anmäler att uppdraget skall upphöra. Anmälan skall göras hos styrelsen. Om en styrelseledamot som inte är vald av bolagsstämman vill avgå, skall anmälan också göras hos den som har utsett honom eller henne.
I fråga om verkan av styrelseledamotens avgång gäller 13 § första stycket andra meningen.
