I följande fall är ett beslut om ändring av bolagsordningen giltigt endast om det har biträtts av samtliga aktieägare som är närvarande vid bolagsstämman och dessa tillsammans företräder minst nio tiondelar av samtliga aktier i bolaget, nämligen om beslutet när det gäller redan utgivna aktier innebär att
1. aktieägarnas rätt till bolagets vinst eller övriga tillgångar minskas genom en föreskrift enligt 3 kap. 3 §,
2. rätten att överlåta eller förvärva aktier i bolaget inskränks genom förbehåll enligt 4 kap. 8, 18 eller 27 §, eller
3. rättsförhållandet mellan aktier rubbas.
