En aktie som innehas av aktiebolaget självt eller av dess dotterföretag skall inte räknas med när det i denna lag eller bolagsordningen för giltigt beslut eller för utövande av befogenhet föreskrivs samtycke av ägare till en viss andel av aktierna. En sådan aktie skall inte heller räknas med vid tillämpning av bestämmelser i denna lag eller bolagsordningen som förutsätter att någon eller några innehar en viss andel av aktierna eller rösterna i bolaget.
