När likvidatorn har lagt fram slutredovisningen, är bolaget upplöst. Likvidatorn skall genast anmäla detta för registrering i aktiebolagsregistret. Kopior av de handlingar som anges i 40 § tredje stycket skall bifogas anmälan.
