Om ett ärende om tillstånd att verkställa en fusionsplan enligt 23 § ska överlämnas till domstol och det övertagande bolaget har eller ska ha sitt säte i en annan stat inom Europeiska ekonomiska samarbetsområdet än Sverige, ska ärendet överlämnas till tingsrätten i den ort där styrelsen i det svenska bolag som har gjort ansökan har sitt säte.
