Vid en gränsöverskridande fusion ska styrelsen i ett svenskt bolag som deltar i fusionen, tillsammans med motsvarande organ i de utländska bolag som deltar i fusionen, upprätta en fusionsplan. Styrelsen ska underteckna fusionsplanen.
Vid kombination utgör fusionsplanen stiftelseurkund, om det övertagande bolaget ska ha sitt säte i Sverige. Lag (2008:12).
