Bolagsverket skall förklara att frågan om fusion har fallit, om
1. ansökan enligt 33 § om tillstånd att verkställa fusionsplanen inte har gjorts inom föreskriven tid, eller
2. en sådan ansökan har avslagits genom beslut som har vunnit laga kraft.
