Skall minskningsbeloppet helt eller delvis användas för ändamål som avses i 1 § första stycket 2 eller 3, får bolaget inte verkställa minskningsbeslutet utan tillstånd av Bolagsverket eller, i tvistiga fall, allmän domstol. Tillstånd behövs dock inte om bolaget samtidigt vidtar åtgärder som medför att varken bolagets bundna egna kapital eller dess aktiekapital minskar.
