Om det har slutits avtal för bolaget före registreringen gäller följande. En avtalspart som inte kände till att bolaget inte var registrerat, kan frånträda avtalet till dess att bolaget har registrerats. En avtalspart som kände till att bolaget inte var registrerat kan, om annat inte har avtalats, frånträda avtalet endast om frågan om bolagets bildande har fallit enligt 24 §.
