Genom registreringen fastställs ökningen av aktiekapitalet till summan av de vederlag som bolaget enligt 39 § minst skall ha tillförts efter konverteringen för de aktier som lämnas i utbyte.
Särskilda bestämmelser för publika aktiebolag
Uppgift om kvittning i emissionsbeslut m.m. 41 § I ett publikt aktiebolag skall ett förslag enligt 3 § och ett beslut enligt 13 § i förekommande fall innehålla uppgift om de begränsningar som skall gälla i styrelsens rätt enligt 43 § att tillåta kvittning.
