I ett publikt aktiebolag får, trots vad som sägs i 40 §, aktierna betalas genom kvittning, om
1. det inte strider mot emissionsbeslutet,
2. styrelsen finner det lämpligt, och
3. kvittning kan ske utan skada för bolaget eller dess borgenärer.
