Can a Delaware corporation limit director or officer liability?
The certificate may limit monetary liability of directors and specified officers, subject to statutory exceptions. Officer protection does not cover derivative claims brought by or in the right of the corporation, and neither group may be protected for loyalty breaches, bad faith or improper personal benefit.
