What are the general duties of a UK company director?

A director must act within powers, promote the success of the company for the benefit of its members, exercise independent judgement, exercise reasonable care, skill and diligence, avoid conflicts of interest, not accept benefits from third parties and declare an interest in a proposed transaction. The duties are owed to the company and are set out in the Companies Act 2006.
