How must a UK director handle a conflict of interest?
A director must avoid a situation in which a personal interest conflicts or possibly may conflict with the interests of the company, and must declare the nature and extent of any interest in a proposed or existing transaction before the company enters into it. The situational duty is not breached where the matter has been authorised by the independent directors, if the articles allow that, or by the members. A failure to declare an interest in an existing transaction is a criminal offence.
