Bestämmelsen i 7 kap. 54 § första stycket aktiebolagslagen om att en föreskrift om skiljeförfarande i en bolagsordning har samma verkan som ett skiljeavtal gäller bara tvister där bolaget är part på ena sidan och där styrelsen, aktieägare eller bolagsfunktionär för talan i egenskap av styrelse, aktieägare eller bolagsfunktionär. En arbetstvist mellan bolaget och en arbetstagare, som i och för sig också varit aktieägare och styrelseledamot, om anspråk som har sin grund i anställningsförhållandet, som inte avsett verkställande direktör, har således inte ansetts omfattad av bestämmelsen.
