   8 Del. C. § 144 states the routes for a transaction in which a director, officer or controller has an interest: approval by disinterested directors after disclosure, stockholder approval, or fairness to the corporation.

   8 Del. C. § 220(b) grants inspection only when the demand is in writing, made under oath and states a purpose reasonably related to the person's interest as a stockholder.

   8 Del. C. § 220(c) allows the stockholder to apply to the Court of Chancery if the corporation does not reply within five business days of the demand.

   8 Del. C. § 141(a) places management of the corporation with the board, and § 141(c) states the conditions for delegation to a committee. 8 Del. C. § 145 states the frame for indemnification and insurance.
