        "text": "upheld the successor bar by deferring to the Board’s judgment",
        "paragraph_id": "para_39"
      },

        "text": "and its “reasonable” policymaking choices. We must now",
        "paragraph_id": "para_40"
      },
      {
        "text": "reconsider the Hospital’s legal challenge because the Supreme",
        "paragraph_id": "para_41"
      },
      {
        "text": "Court granted certiorari, vacated our judgment, and remanded",
        "paragraph_id": "para_42"
      },
      {
        "text": "for further consideration in light of Loper Bright Enterprises v.",
        "paragraph_id": "para_43"
      },
      {
        "text": "Raimondo, 144 S. Ct. 2244 (2024).",
        "paragraph_id": "para_44"
      },

        "text": "Loper Bright reaffirmed that courts have an independent",
        "paragraph_id": "para_45"
      },
      {
        "text": "obligation to interpret statutes and not defer to an agency’s",
        "paragraph_id": "para_46"
      },

        "text": "interpretation of the scope of its statutory authority. Reviewing",
        "paragraph_id": "para_47"
      },

        "text": "the Hospital’s statutory challenge without deference to the",
        "paragraph_id": "para_48"

        "text": "Board, we conclude the successor bar is inconsistent with the",
        "paragraph_id": "para_49"

        "text": "Act. Because the bar effectively suspends the Act’s core",
        "paragraph_id": "para_50"
      },

        "text": "guarantees of employee freedom and majority rule in collective",
        "paragraph_id": "para_51"
      },

        "text": "bargaining, the Board lacks authority to impose this rule. We",
        "paragraph_id": "para_52"
      },

      {
        "text": "This case concerns the Board’s authority to establish the",
        "paragraph_id": "para_58"
      },
      {
        "text": "successor bar, and so we begin with the statutory framework",
        "paragraph_id": "para_59"
      },
      {
        "text": "governing employees’ rights to bargain collectively. The",
        "paragraph_id": "para_60"
      },
      {
        "text": "National Labor Relations Act “protect[s] the exercise by",
        "paragraph_id": "para_61"
      },
      {
        "text": "workers of full freedom of association, self-organization, and",
        "paragraph_id": "para_62"
      },
      {
        "text": "designation of representatives of their own choosing.” 29",
        "paragraph_id": "para_63"
      },
      {
        "text": "U.S.C. § 151. Section 7 of the Act secures employees’ freedom",
        "paragraph_id": "para_64"
      },
      {
        "text": "of choice by vesting them with the right “to bargain collectively",
        "paragraph_id": "para_65"
      },
      {
        "text": "through representatives of their own choosing” or “to refrain”",
        "paragraph_id": "para_66"
      },
      {
        "text": "from doing so. Id. § 157. To effectuate this right, section 9(a)",
        "paragraph_id": "para_67"
      },
      {
        "text": "requires that the “exclusive” bargaining representative for each",
        "paragraph_id": "para_68"
      },
      {
        "text": "employee unit be “designated or selected” by “the majority of",
        "paragraph_id": "para_69"
      },
      {
        "text": "the employees in [the] unit.” Id. § 159(a).",
        "paragraph_id": "para_70"
      },
      {
        "text": "The unfair labor practices prohibited by section 8 ensure",
        "paragraph_id": "para_71"
      },
      {
        "text": "that unions and employers alike do not restrain employees’",
        "paragraph_id": "para_72"
      },
      {
        "text": "exercise of their Section 7 right to choose whether and how to",
        "paragraph_id": "para_73"
      },
      {
        "text": "collectively bargain. Id. § 158(a)(1), (b)(1). Once a majority of",

        "text": "A union is recognized as representing a majority of",

      },
      {
        "text": "employees if it is certified by the Board following an election",

      {
        "text": "or obtains “recognition from the employer by providing proof",
        "paragraph_id": "para_91"
      },
      {
        "text": "of majority support.” Colorado Fire Sprinkler, 891 F.3d at",
        "paragraph_id": "para_92"
      },
      {
        "text": "1035 (cleaned up); see 29 U.S.C. § 159(a); Allied Mech. Servs.,",
        "paragraph_id": "para_93"
      },
      {
        "text": "Inc. v. NLRB, 668 F.3d 758, 766–67 (D.C. Cir. 2012)",
        "paragraph_id": "para_94"
      },
      {
        "text": "(explaining representatives may be chosen by a majority “by",
        "paragraph_id": "para_95"
      },
      {
        "text": "means other than elections,” namely employer recognition)",
        "paragraph_id": "para_96"
      },
      {
        "text": "(cleaned up). Elections are conducted and certified by the",
        "paragraph_id": "para_97"
      },
      {
        "text": "Board if an employee, an employer, or a union petitions the",
        "paragraph_id": "para_98"
      },
      {
        "text": "Board for an election and demonstrates there is “a question of",
        "paragraph_id": "para_99"
      },
      {
        "text": "representation” to be resolved. 29 U.S.C. § 159(c)(1). After a",
        "paragraph_id": "para_100"
      },
      {
        "text": "“valid election” has been held, the Act expressly bars a new",
        "paragraph_id": "para_101"
      },
      {
        "text": "election for one year. Id. § 159(c)(3).",
        "paragraph_id": "para_102"
      },
      {
        "text": "An employer that believes a union no longer represents a",
        "paragraph_id": "para_103"
      },
      {
        "text": "majority of employees may challenge the union’s",
        "paragraph_id": "para_104"
      },
      {
        "text": "representation status either by filing an election petition with",
        "paragraph_id": "para_105"
      },
      {
        "text": "the Board or by withdrawing recognition of the union, refusing",
        "paragraph_id": "para_106"
      },
      {
        "text": "to bargain, and then defending against any unfair labor practice",
        "paragraph_id": "para_107"
      },
      {
        "text": "charges by demonstrating the union lost majority support. Pac.",
        "paragraph_id": "para_108"
      },
      {
        "text": "Coast Supply, LLC v. NLRB, 801 F.3d 321, 326 (D.C. Cir.",
        "paragraph_id": "para_109"
      },
      {
        "text": "2015); see also Garment Workers, 366 U.S. at 740 (similar).",
        "paragraph_id": "para_110"
      },
      {
        "text": "B.",
        "paragraph_id": "para_111"
      },
      {
        "text": "The Hospital challenges the lawfulness of the Board’s",
        "paragraph_id": "para_112"
      },
      {
        "text": "“successor bar,” which prohibits any challenge to an incumbent",
        "paragraph_id": "para_113"
      },
      {
        "text": "union’s representation status for up to one year after a business",
        "paragraph_id": "para_114"
      },
      {
        "text": "changes ownership. Adopted in an adjudication by a divided",
        "paragraph_id": "para_115"
      },
      {
        "text": "Board in 2011, the successor bar creates an irrebuttable",
        "paragraph_id": "para_116"
      },
      {
        "text": "presumption that an incumbent union retains majority support",
        "paragraph_id": "para_117"
      },
      {
        "text": "when a new owner assumes control of a business and retains a",
        "paragraph_id": "para_118"
      },
      {

      },
      {
        "text": "majority of the existing employees.1 UGL-UNICCO Serv. Co.,",
        "paragraph_id": "para_120",

      {
        "text": "357 NLRB 801, 802–03, 808–10 (2011). The bar “prevent[s]",
        "paragraph_id": "para_121"
      },
      {
        "text": "any challenge to the union’s status, whether … by the",
        "paragraph_id": "para_122"
      },
      {
        "text": "employer, by employees, or by a rival union.” Id. at 803.",
        "paragraph_id": "para_123"
      },
      {
        "text": "Successor employers must recognize and bargain with an",
        "paragraph_id": "para_124"
      },
      {
        "text": "incumbent union for up to one year regardless of whether the",
        "paragraph_id": "para_125"
      },
      {
        "text": "union continues to represent a majority of employees. Id. at",
        "paragraph_id": "para_126"
      },
      {
        "text": "808–09.",
        "paragraph_id": "para_127"
      },
      {
        "text": "The Board justified the successor bar as a “policy choice”",
        "paragraph_id": "para_128"
      },
      {
        "text": "necessary to “preserve … the stability of the existing",
        "paragraph_id": "para_129"
      },
      {
        "text": "collective-bargaining relationship.” Id. at 804–07. The",
        "paragraph_id": "para_130"
      },
      {
        "text": "dissenting member criticized the irrebuttable bar as denying",
        "paragraph_id": "para_131"
      },
      {
        "text": "employees “an opportunity to exercise their right of free choice",
        "paragraph_id": "para_132"
      },
      {
        "text": "on the question of collective-bargaining representation” and",
        "paragraph_id": "para_133"
      },
      {
        "text": "enabling incumbent unions to “operate free from any electoral",
        "paragraph_id": "para_134"
      },
      {
        "text": "challenge.” Id. at 812 (Member Hayes, dissenting).",
        "paragraph_id": "para_135"
      },
      {
        "text": "C.",
        "paragraph_id": "para_136"
      },
      {
        "text": "The Hospital became a successor employer in 2017. The",
        "paragraph_id": "para_137"
      },
      {
        "text": "incumbent union, Unidad Laboral de Enfermeras (os) y",
        "paragraph_id": "para_138"
      },
      {
        "text": "Empleados de la Salud (the “Union”), claimed to represent the",
        "paragraph_id": "para_139"
      },
      {
        "text": "Hospital’s employees for all five collective bargaining units.",
        "paragraph_id": "para_140"
      },
      {
        "text": "The Union had never negotiated a collective bargaining",
        "paragraph_id": "para_141"
      },
      {
        "text": "agreement for two of the units, and the agreements it negotiated",
        "paragraph_id": "para_142"
      },
      {
        "text": "for the other three had expired more than four years before the",
        "paragraph_id": "para_143"
      },
      {
        "text": "change in ownership. The Hospital initially recognized the",
        "paragraph_id": "para_144"
      },
      {

      },
      {
        "text": "NLRB 770, 772–73 (2002) (rejecting the successor bar because it",
        "paragraph_id": "para_148"
      },
      {
        "text": "“promotes the stability of bargaining relationships to the exclusion",
        "paragraph_id": "para_149"
      },
      {
        "text": "of the employees’ Section 7 rights to choose their bargaining",
        "paragraph_id": "para_150"
      },
      {
        "text": "representative”).",
        "paragraph_id": "para_151"
      },
      {

      },
      {
        "text": "Union but later received evidence showing that in each of the",
        "paragraph_id": "para_153",
        "court_paragraph": 6
      },
      {
        "text": "five bargaining units a majority (and in one unit all) of the",
        "paragraph_id": "para_154"
      },
      {
        "text": "employees rejected the Union as their representative. The",
        "paragraph_id": "para_155"
      },
      {
        "text": "Hospital thereafter refused to bargain and ultimately withdrew",
        "paragraph_id": "para_156"
      },
      {
        "text": "recognition of the Union for all units.",
        "paragraph_id": "para_157"
      },
      {
        "text": "The Board charged the Hospital with unfair labor practices",
        "paragraph_id": "para_158"
      },
      {
        "text": "under sections 8(a)(1) and 8(a)(5), principally alleging the",
        "paragraph_id": "para_159"
      },
      {
        "text": "Hospital unlawfully withdrew recognition and refused to",
        "paragraph_id": "para_160"
      },
      {
        "text": "bargain with the Union. See Hosp. Menonita de Guayama, Inc.,",
        "paragraph_id": "para_161"
      },
      {
        "text": "371 NLRB No. 108, at *1 (June 28, 2022). An administrative",
        "paragraph_id": "para_162"
      },
      {
        "text": "law judge (“ALJ”) ruled against the Hospital on these charges.",
        "paragraph_id": "para_163"
      },
      {
        "text": "As relevant here, the ALJ applied the successor bar and refused",
        "paragraph_id": "para_164"
      },
      {
        "text": "to consider the Hospital’s evidence that the Union no longer",
        "paragraph_id": "para_165"
      },
      {
        "text": "represented a majority of the employees.",
        "paragraph_id": "para_166"
      },
      {
        "text": "Before the Board, the Hospital argued that the successor",
        "paragraph_id": "para_167"
      },
      {
        "text": "bar contravenes the Act, and therefore the Hospital must be",
        "paragraph_id": "para_168"
      },
      {
        "text": "allowed to put forward evidence that the refusal to bargain was",
        "paragraph_id": "para_169"
      },
      {
        "text": "lawful because the Union was not a majority representative. A",
        "paragraph_id": "para_170"
      },
      {
        "text": "divided three-member Board panel adopted the ALJ’s findings",
        "paragraph_id": "para_171"
      },
      {
        "text": "and conclusions and rejected the Hospital’s challenge to the",
        "paragraph_id": "para_172"
      },
      {
        "text": "successor bar. See id. The Board ordered the Hospital to",
        "paragraph_id": "para_173"
      },
      {
        "text": "“recognize and, on request, bargain in good faith with the",
        "paragraph_id": "para_174"
      },
      {
        "text": "Union.” Id. at *7. Member Ring dissented, arguing the Board",
        "paragraph_id": "para_175"
      },
      {
        "text": "should abandon the successor bar because it “imposes an",
        "paragraph_id": "para_176"
      },
      {
        "text": "unwarranted restriction on employees’ Section 7 rights.”2 Id. at",
        "paragraph_id": "para_177"
      },
      {
        "text": "*10 (Member Ring, dissenting in part).",

      },
      {

      },
      {
        "text": "inappropriate and inconsistent with the Act in several respects.”);",
        "paragraph_id": "para_183"
      },
      {
        "text": "Jamestown Fabricated Steel & Supply, Inc., 362 NLRB 1314, 1315–",
        "paragraph_id": "para_184"
      },
      {

      },
      {
        "text": "The Hospital petitioned for review. It raised various",
        "paragraph_id": "para_186",
        "court_paragraph": 7
      },
      {
        "text": "challenges to the Board’s factual findings and remedies but",
        "paragraph_id": "para_187"
      },
      {
        "text": "primarily argued that the successor bar contravenes the Act. In",
        "paragraph_id": "para_188"
      },
      {
        "text": "Hospital Menonita I, this court rejected the statutory challenge,",
        "paragraph_id": "para_189"
      },
      {
        "text": "holding that “the Board is entitled to deference” and that the",
        "paragraph_id": "para_190"
      },
      {
        "text": "successor bar “is within the scope of reasoned interpretation of",
        "paragraph_id": "para_191"
      },
      {
        "text": "the NLRA.” Hosp. Menonita de Guayama, Inc. v. NLRB, 94",
        "paragraph_id": "para_192"
      },
      {
        "text": "F.4th 1, 14–15 (D.C. Cir. 2024) (cleaned up). In reaching this",
        "paragraph_id": "para_193"
      },
      {
        "text": "conclusion, the court explicitly adopted the First Circuit’s",
        "paragraph_id": "para_194"
      },
      {
        "text": "reasons for upholding the successor bar, which rested on",
        "paragraph_id": "para_195"
      },
      {
        "text": "Chevron deference to the Board and a determination that the",
        "paragraph_id": "para_196"
      },
      {
        "text": "successor bar was a “reasonable” construction of the Act. See",
        "paragraph_id": "para_197"
      },
      {
        "text": "NLRB v. Lily Transp. Corp., 853 F.3d 31, 35–38 (1st Cir. 2017)",
        "paragraph_id": "para_198"
      },
      {
        "text": "(applying Chevron, U.S.A. Inc. v. Nat. Res. Def. Council, Inc.,",
        "paragraph_id": "para_199"
      },
      {
        "text": "467 U.S. 837 (1984)). Echoing the First Circuit, this court also",
        "paragraph_id": "para_200"
      },
      {
        "text": "highlighted various policy considerations supporting the",
        "paragraph_id": "para_201"
      },
      {
        "text": "successor bar’s reasonableness, including the bar’s limited",
        "paragraph_id": "para_202"
      },
      {
        "text": "duration and the fact that a rebuttable presumption would",
        "paragraph_id": "para_203"
      },
      {
        "text": "“increase litigation time and expense.” Hospital Menonita I, 94",
        "paragraph_id": "para_204"
      },
      {
        "text": "F.4th at 15 (cleaned up); see Lily, 853 F.3d at 35 (same).",
        "paragraph_id": "para_205"
      },
      {
        "text": "Soon after, the Supreme Court decided Loper Bright. The",
        "paragraph_id": "para_206"
      },
      {
        "text": "Court “overruled” Chevron, holding that reviewing courts",
        "paragraph_id": "para_207"
      },
      {
        "text": "should not defer to agencies when deciding questions of law.",
        "paragraph_id": "para_208"
      },
      {
        "text": "Loper Bright, 144 S. Ct. at 2273. Instead, courts must “interpret",
        "paragraph_id": "para_209"
      },
      {
        "text": "16 (2015) (Member Johnson, concurring) (arguing that the successor",

      {

        "paragraph_id": "para_223"
      },
      {
        "text": "Act. The Supreme Court granted certiorari, vacated the panel’s",
        "paragraph_id": "para_224"
      },
      {
        "text": "judgment, and remanded for “further consideration in light of",
        "paragraph_id": "para_225"
      },
      {
        "text": "Loper Bright.” Hosp. Menonita de Guayama, Inc. v. NLRB,",
        "paragraph_id": "para_226"
      },
      {
        "text": "145 S. Ct. 982 (2024).",

      },
      {
        "text": "II.",
        "paragraph_id": "para_228"
      },
      {
        "text": "After the Supreme Court’s vacatur and remand, we must",
        "paragraph_id": "para_229"
      },
      {
        "text": "first consider whether Loper Bright requires us to revisit the",
        "paragraph_id": "para_230"
      },
      {
        "text": "statutory analysis in Hospital Menonita I. See Cavazos v.",
        "paragraph_id": "para_231"
      },
      {
        "text": "Smith, 565 U.S. 1, 9 (2011) (per curiam) (requiring the court of",
        "paragraph_id": "para_232"
      },
      {
        "text": "appeals to “seriously confront[] the significance” of the",
        "paragraph_id": "para_233"
      },
      {
        "text": "intervening cases cited in the Supreme Court’s vacatur and",
        "paragraph_id": "para_234"
      },
      {
        "text": "remand order). We conclude that it does.",
        "paragraph_id": "para_235"
      },
      {
        "text": "Loper Bright affirms that courts must independently",
        "paragraph_id": "para_236"
      },
      {
        "text": "decide questions of law. The Supreme Court grounded this",
        "paragraph_id": "para_237"
      },
      {
        "text": "holding in the “traditional understanding of the judicial",
        "paragraph_id": "para_238"
      },
      {
        "text": "function, under which courts must exercise independent",
        "paragraph_id": "para_239"
      },
      {
        "text": "judgment in determining the meaning of statutory provisions.”",
        "paragraph_id": "para_240"
      },
      {
        "text": "Loper Bright, 144 S. Ct. at 2262. When deciding cases, courts",
        "paragraph_id": "para_241"
      },
      {
        "text": "must ascertain the “single, best meaning” of applicable law. Id.",
        "paragraph_id": "para_242"
      },
      {
        "text": "at 2266 (“In the business of statutory interpretation, if it is not",
        "paragraph_id": "para_243"
      },
      {
        "text": "the best, it is not permissible.”). Challenges to agency action",
        "paragraph_id": "para_244"
      },
      {
        "text": "are no exception to these fundamental principles. Id. The Court",
        "paragraph_id": "para_245"
      },
      {
        "text": "overruled Chevron because courts must independently assess,",
        "paragraph_id": "para_246"
      },
      {
        "text": "not defer to, an agency’s assertion of statutory authority for its",
        "paragraph_id": "para_247"
      },
      {
        "text": "actions. See id. at 2266, 2272–73. The judicial duty in this",
        "paragraph_id": "para_248"
      },
      {
        "text": "context is, “as always, to independently interpret the statute”",
        "paragraph_id": "para_249"
      },
      {
        "text": "using the traditional tools of statutory construction. Id. at 2263;",
        "paragraph_id": "para_250"
      },
      {

      {
        "text": "The Hospital raised a statutory challenge to the successor",
        "paragraph_id": "para_260"
      },
      {
        "text": "bar, namely that the bar contravenes the Act, and the Board",
        "paragraph_id": "para_261"
      },
      {
        "text": "therefore has no statutory authority to impose it. Following",
        "paragraph_id": "para_262"
      },
      {
        "text": "Loper Bright, we must resolve this challenge by independently",
        "paragraph_id": "para_263"
      },
      {
        "text": "determining whether the successor bar is within the Board’s",
        "paragraph_id": "para_264"
      },
      {
        "text": "statutory authority.",
        "paragraph_id": "para_265"
      },
      {
        "text": "In deciding the Hospital’s petition, however, Hospital",
        "paragraph_id": "para_266"
      },
      {
        "text": "Menonita I deferred to the Board’s conclusion that the",
        "paragraph_id": "para_267"
      },
      {
        "text": "successor bar was consistent with the Act. Hospital Menonita",
        "paragraph_id": "para_268"
      },
      {
        "text": "I was explicit about its choice to defer to the Board’s “reasoned",
        "paragraph_id": "para_269"
      },
      {
        "text": "interpretation of the NLRA.” 94 F.4th at 14 (cleaned up); cf. id.",
        "paragraph_id": "para_270"
      },
      {
        "text": "at 17 (Katsas, J., concurring) (“Under Chevron, the Court’s",
        "paragraph_id": "para_271"
      },
      {
        "text": "decision seems to me correct.”). And the court adopted the First",
        "paragraph_id": "para_272"
      },
      {
        "text": "Circuit’s deferential analysis, which relied on Chevron to",
        "paragraph_id": "para_273"
      },

      },
      {
        "text": "The Board resists this conclusion and argues we should",
        "paragraph_id": "para_288"
      },
      {
        "text": "reaffirm the vacated decision because even after Loper Bright",
        "paragraph_id": "para_289"
      },
      {
        "text": "this court must defer to all reasonable labor policies adopted by",
        "paragraph_id": "para_290"
      },
      {
        "text": "the Board, including the successor bar. But the Hospital’s",
        "paragraph_id": "para_291"
      },
      {
        "text": "challenge is not about the reasonableness of the successor bar",
        "paragraph_id": "para_292"
      },
      {
        "text": "as a policy judgment. Rather, the Hospital has maintained that",
        "paragraph_id": "para_293"
      },
      {
        "text": "the successor bar is inconsistent with the Act and therefore the",
        "paragraph_id": "para_294"
      },
      {
        "text": "Board has no statutory authority to impose it.",
        "paragraph_id": "para_295"
      },
      {
        "text": "In response to the Hospital’s challenge, our dissenting",
        "paragraph_id": "para_296"
      },
      {
        "text": "colleague repeatedly makes the unobjectionable observation",
        "paragraph_id": "para_297"
      },
      {
        "text": "that the Board may act within its delegated policymaking",
        "paragraph_id": "para_298"
      },
      {
        "text": "authority. But courts must ensure that the Board’s policies are",
        "paragraph_id": "para_299"
      },
      {
        "text": "in fact consistent with its statutory authority, as the cases cited",
        "paragraph_id": "para_300"
      },
      {
        "text": "by the dissent confirm. See Dissenting Op. 4; Fall River",
        "paragraph_id": "para_301"
      },
      {
        "text": "Dyeing & Finishing Corp. v. NLRB, 482 U.S. 27, 42 (1987)",

        "text": "with Loper Bright or these older cases.",

      },
      {
        "text": "The Board and amicus also stress that Loper Bright did not",
        "paragraph_id": "para_320"
      },
      {
        "text": "“call into question prior cases that relied on the Chevron",
        "paragraph_id": "para_321"
      },
      {
        "text": "framework.” Loper Bright, 144 S. Ct. at 2273. True, the",
        "paragraph_id": "para_322"
      },
      {
        "text": "judgment in Loper Bright does not necessarily justify",
        "paragraph_id": "para_323"
      },
      {
        "text": "overruling settled precedents that relied on Chevron. But",
        "paragraph_id": "para_324"
      },
      {
        "text": "Hospital Menonita I was not a settled precedent. It was this",
        "paragraph_id": "para_325"
      },
      {
        "text": "court’s first decision on the successor bar, and the Hospital",
        "paragraph_id": "para_326"
      },
      {
        "text": "petitioned for certiorari after Loper Bright was decided. In",
        "paragraph_id": "para_327"
      },
      {
        "text": "granting certiorari, vacating the judgment, and remanding, the",
        "paragraph_id": "para_328"
      },
      {
        "text": "Court explicitly directed this court to reconsider our decision",
        "paragraph_id": "para_329"
      },
      {
        "text": "in light of Loper Bright.5 Hosp. Menonita, 145 S. Ct. at 982.",
        "paragraph_id": "para_330"
      },
      {
        "text": "The Court’s specific directive in this case takes precedence",
        "paragraph_id": "para_331"
      },
      {
        "text": "over Loper Bright’s general rule of respecting settled",
        "paragraph_id": "para_332"
      },
      {
        "text": "precedents.",
        "paragraph_id": "para_333"
      },
      {
        "text": "Because Loper Bright prohibits us from deferring to the",
        "paragraph_id": "para_334"
      },
      {
        "text": "Board’s legal conclusions, on remand we must reconsider the",
        "paragraph_id": "para_335"
      },
      {
        "text": "Hospital’s statutory challenge and independently determine",
        "paragraph_id": "para_336"
      },
      {
        "text": "whether the successor bar is consistent with the Act.",
        "paragraph_id": "para_337"
      },
      {
        "text": "III.",
        "paragraph_id": "para_338"
      },
      {
        "text": "The Board’s successor bar compels an employer who",
        "paragraph_id": "para_339"
      },
      {
        "text": "acquires a business to recognize and bargain with an incumbent",
        "paragraph_id": "para_340"
      },
      {
        "text": "union for up to one year, even if the union lacks majority",
        "paragraph_id": "para_341"
      },
      {
        "text": "support. The successor bar thus contravenes the Act by",
        "paragraph_id": "para_342"
      },
      {
        "text": "suspending two statutory protections: employees’ right to",
        "paragraph_id": "para_343"
      },
      {
        "text": "choose whether and how to collectively bargain and their right",
        "paragraph_id": "para_344"
      },
      {
        "text": "5 The fact that the Court provided no reasoning for its action is beside",
        "paragraph_id": "para_345"
      },
      {
        "text": "the point. Contra Dissenting Op. 8–9. We cannot ignore the Court’s",
        "paragraph_id": "para_346"
      },
      {
        "text": "grant, vacatur, and remand because it issued only an order.",

      },
      {

        "text": "to be represented by a union that has majority support.",

        "text": "Moreover, we reject the Board’s arguments that it has",
        "paragraph_id": "para_350"
      },
      {
        "text": "“policymaking” authority to suspend these guarantees of the",
        "paragraph_id": "para_351"
      },
      {
        "text": "Act. We therefore grant the Hospital’s petition because the",
        "paragraph_id": "para_352"
      },
      {
        "text": "Board acted contrary to law when it applied the successor bar,",
        "paragraph_id": "para_353"
      },
      {
        "text": "refused to consider the Hospital’s evidence that most of its",
        "paragraph_id": "para_354"
      },
      {
        "text": "employees rejected representation by the Union, and found the",
        "paragraph_id": "para_355"
      },
      {
        "text": "Hospital liable for an unfair labor practice.",
        "paragraph_id": "para_356"
      },
      {
        "text": "A.",
        "paragraph_id": "para_357"
      },
      {
        "text": "The successor bar violates sections 7 and 9 of the Act by",
        "paragraph_id": "para_358"
      },
      {
        "text": "requiring successor employers to recognize and bargain with",
        "paragraph_id": "para_359"
      },
      {
        "text": "an incumbent union, regardless of whether that union enjoys",
        "paragraph_id": "para_360"
      },
      {
        "text": "the support of a majority of employees.",
        "paragraph_id": "para_361"
      },
      {
        "text": "The Act guarantees employees the right to choose a union",
        "paragraph_id": "para_362"
      },
      {
        "text": "that represents their interests. Section 7 provides employees",
        "paragraph_id": "para_363"
      },
      {
        "text": "with the unqualified right “to bargain collectively through",
        "paragraph_id": "para_364"
      },
      {
        "text": "representatives of their own choosing” or “to refrain” from",
        "paragraph_id": "para_365"
      },
      {
        "text": "such activity. 29 U.S.C. § 157. To effectuate employee",
        "paragraph_id": "para_366"
      },
      {
        "text": "freedom of choice, section 9(a) conditions a union’s status as",
        "paragraph_id": "para_367"
      },
      {
        "text": "the “exclusive” bargaining representative on having the",
        "paragraph_id": "para_368"
      },
      {
        "text": "support of “the majority of the employees.” Id. § 159(a).",
        "paragraph_id": "para_369"
      },
      {
        "text": "Employers must recognize and bargain with the exclusive",
        "paragraph_id": "para_370"
      },
      {
        "text": "representative chosen by a majority of employees. On the flip",
        "paragraph_id": "para_371"
      },
      {
        "text": "side, however, employers cannot recognize and bargain with a",
        "paragraph_id": "para_372"
      },
      {
        "text": "union that lacks majority support because that would",
        "paragraph_id": "para_373"
      },
      {
        "text": "unlawfully “impress[] that [union] upon the nonconsenting",
        "paragraph_id": "para_374"
      },
      {
        "text": "majority.” Garment Workers, 366 U.S. at 737.",
        "paragraph_id": "para_375"
      },
      {
        "text": "The successor bar nullifies these statutory protections for",
        "paragraph_id": "para_376"
      },
      {
        "text": "up to a year after a successor employer assumes control of a",
        "paragraph_id": "para_377"
      },
      {
        "text": "business. The bar prevents any claim—by an employer,",
        "paragraph_id": "para_378"
      },
      {
        "text": "employees, or a rival union—that the incumbent union lacks",
        "paragraph_id": "para_379"
      },
      {
        "text": "the majority support required by the Act. See UGL-UNICCO,",
        "paragraph_id": "para_380"
      },
      {
        "text": "13",
        "paragraph_id": "para_381"
      },
      {
        "text": "357 NLRB at 803 (explaining the successor bar “prevent[s] any",
        "paragraph_id": "para_382",
        "court_paragraph": 13
      },
      {
        "text": "challenge to the union’s status”). Incumbent unions are thus",
        "paragraph_id": "para_383"
      },
      {
        "text": "deemed majority representatives by Board decree. Given an",
        "paragraph_id": "para_384"
      },
      {
        "text": "employer’s statutory duty to recognize and to bargain with their",
        "paragraph_id": "para_385"
      },
      {
        "text": "employees’ representative, the bar effectively compels",
        "paragraph_id": "para_386"
      },
      {
        "text": "employers to bargain with an incumbent union, even if the",
        "paragraph_id": "para_387"
      },
      {
        "text": "union indisputably lacks majority support. By entrenching",
        "paragraph_id": "para_388"
      },
      {
        "text": "incumbent unions, irrespective of whether they enjoy majority",
        "paragraph_id": "para_389"
      },
      {
        "text": "support, the successor bar is inconsistent with section 7’s",
        "paragraph_id": "para_390"
      },
      {
        "text": "unqualified employee right to freedom of choice and section",
        "paragraph_id": "para_391"
      },
      {
        "text": "9’s requirement of majority rule.",
        "paragraph_id": "para_392"
      },
      {
        "text": "Congress’s provision of only one time bar against",
        "paragraph_id": "para_393"
      },
      {
        "text": "challenges to a union’s majority status underscores the Board’s",
        "paragraph_id": "para_394"
      },
      {
        "text": "lack of authority to adopt the successor bar. The Act generally",
        "paragraph_id": "para_395"
      },
      {
        "text": "requires majority representation, and it allows employees,",
        "paragraph_id": "para_396"
      },
      {
        "text": "employers, and other unions to test whether a union has",
        "paragraph_id": "para_397"
      },
      {
        "text": "majority support by petitioning the Board for an election. See",
        "paragraph_id": "para_398"
      },
      {
        "text": "29 U.S.C. § 159(a), (c)(1). The Act, however, prohibits the",
        "paragraph_id": "para_399"
      },
      {
        "text": "Board from holding an election if “in the preceding twelve-",
        "paragraph_id": "para_400"
      },
      {
        "text": "month period, a valid election” has been held. Id. § 159(c)(3).",
        "paragraph_id": "para_401"
      },
      {
        "text": "The Board enforces this one-year time bar “from the date of",
        "paragraph_id": "para_402"
      },
      {
        "text": "certification rather than the date of election.” Brooks v. NLRB,",
        "paragraph_id": "para_403"
      },
      {
        "text": "348 U.S. 96, 99, 101–02, 104 (1954) (upholding the Board’s",
        "paragraph_id": "para_404"
      },
      {
        "text": "rule because it applies “only to the period during which a",
        "paragraph_id": "para_405"
      },
      {
        "text": "second election is impossible” under section 9(c)(3)).",
        "paragraph_id": "para_406"
      },
      {
        "text": "When Congress establishes a legal requirement and",
        "paragraph_id": "para_407"
      },
      {
        "text": "provides a single exception, the most natural interpretation is",
        "paragraph_id": "para_408"
      },
      {
        "text": "that an agency cannot create additional exceptions to the",
        "paragraph_id": "para_409"
      },
      {
        "text": "statutory rule. See Beverly Health & Rehab. Servs., Inc. v.",
        "paragraph_id": "para_410"
      },
      {
        "text": "NLRB, 317 F.3d 316, 321 (D.C. Cir. 2003) (holding the Board",
        "paragraph_id": "para_411"
      },
      {
        "text": "may not recognize a union’s unilateral extension of a notice to",
        "paragraph_id": "para_412"
      },
      {
        "text": "strike because “Congress carved out but a single express",
        "paragraph_id": "para_413"
      },
      {
        "text": "exception” to the Act’s notice requirement, which demands the",
        "paragraph_id": "para_414"
      },
      {
        "text": "14",
        "paragraph_id": "para_415"
      },
      {
        "text": "consent of both parties). Here, the Act protects employees’",
        "paragraph_id": "para_416",
        "court_paragraph": 14
      },
      {
        "text": "freedom of choice through representation by majority rule, and",
        "paragraph_id": "para_417"
      },
      {
        "text": "the only circumstance in which a union’s majority",
        "paragraph_id": "para_418"
      },
      {
        "text": "representation status cannot be challenged is for a limited time",
        "paragraph_id": "para_419"
      },
      {
        "text": "after a certified election.6 See 29 U.S.C. §§ 157,",
        "paragraph_id": "para_420"
      },
      {
        "text": "159(a) & (c)(3); Brooks, 348 U.S. at 104. The text and structure",
        "paragraph_id": "para_421"
      },
      {
        "text": "of these provisions are best read to foreclose the successor bar,",
        "paragraph_id": "para_422"
      },
      {
        "text": "which erects an additional limitation on the rule of majority",
        "paragraph_id": "para_423"
      },
      {
        "text": "representation unmoored from the Act’s provisions regarding",
        "paragraph_id": "para_424"
      },
      {
        "text": "the timing of elections and union certification.",
        "paragraph_id": "para_425"
      },
      {
        "text": "The Board’s enforcement action against the Hospital",
        "paragraph_id": "para_426"
      },
      {
        "text": "further demonstrates how application of the successor bar",
        "paragraph_id": "para_427"
      },
      {
        "text": "contravenes the Act. The Board’s central charge is that the",
        "paragraph_id": "para_428"
      },
      {
        "text": "Hospital violated section 8(a)(5) by withdrawing recognition",
        "paragraph_id": "para_429"
      },
      {
        "text": "and refusing to bargain with the Union. But an employer has a",
        "paragraph_id": "para_430"
      },
      {
        "text": "duty to bargain with a union only if the union represents a",
        "paragraph_id": "para_431"
      },
      {
        "text": "majority of its employees. 29 U.S.C. §§ 158(a)(5), 159(a); see",
        "paragraph_id": "para_432"
      },
      {
        "text": "also NLRB v. Loc. Union No. 103, Int’l Ass’n of Bridge,",
        "paragraph_id": "para_433"
      },
      {
        "text": "Structural & Ornamental Iron Workers, AFL-CIO, 434 U.S.",
        "paragraph_id": "para_434"
      },
      {
        "text": "335, 346 (1978) (holding that section 8(a)(5)’s cross-reference",
        "paragraph_id": "para_435"
      },
      {
        "text": "to section 9(a) limits an employer’s bargaining obligation to “a",
        "paragraph_id": "para_436"
      },
      {
        "text": "majority representative”). Ordinarily, the Hospital would be",
        "paragraph_id": "para_437"
      },
      {
        "text": "allowed to defend against the Board’s charge by demonstrating",
        "paragraph_id": "para_438"
      },
      {
        "text": "the Union lacks majority support. See, e.g., Pac. Coast Supply,",
        "paragraph_id": "para_439"
      },
      {
        "text": "801 F.3d at 325–26 (explaining an employer may “withdraw",
        "paragraph_id": "para_440"
      },
      {

      {
        "text": "courts from considering an “objection that has not been urged before",
        "paragraph_id": "para_444"
      },
      {
        "text": "the Board, its member, agent, or agency”). There is no dispute,",
        "paragraph_id": "para_445"
      },
      {
        "text": "however, that in the Board proceedings the Hospital raised its",
        "paragraph_id": "para_446"
      },
      {
        "text": "statutory objection to the successor bar. To properly address that",
        "paragraph_id": "para_447"
      },
      {
        "text": "preserved legal challenge, we must consider all relevant provisions",
        "paragraph_id": "para_448"
      },
      {
        "text": "of the Act.",
        "paragraph_id": "para_449"
      },
      {
        "text": "15",

      },
      {
        "text": "recognition unilaterally” if it “can prove that [the] incumbent",
        "paragraph_id": "para_451",
        "court_paragraph": 15
      },
      {
        "text": "union has, in fact, lost majority support”) (cleaned up).",
        "paragraph_id": "para_452"
      },
      {
        "text": "In the proceedings before the Board, the Hospital provided",
        "paragraph_id": "para_453"
      },
      {
        "text": "evidence that most of its employees rejected the Union and that",
        "paragraph_id": "para_454"
      },
      {
        "text": "the employees of one bargaining unit unanimously denounced",
        "paragraph_id": "para_455"
      },
      {
        "text": "the Union as their representative. The Board, however, refused",
        "paragraph_id": "para_456"
      },
      {
        "text": "to even consider the Hospital’s evidence because under the",
        "paragraph_id": "para_457"
      },
      {
        "text": "successor bar an incumbent union’s representation may not be",
        "paragraph_id": "para_458"
      },
      {
        "text": "challenged for up to one year. But if the Union in fact lacked",
        "paragraph_id": "para_459"
      },
      {
        "text": "majority support, the Hospital’s refusal to bargain would have",
        "paragraph_id": "para_460"
      },
      {
        "text": "been lawful. The successor bar compelled the finding of an",
        "paragraph_id": "para_461"
      },
      {
        "text": "unfair labor practice, even when the Hospital’s evidence may",
        "paragraph_id": "para_462"
      },
      {
        "text": "have established that it had no obligation under the Act to",
        "paragraph_id": "para_463"
      },
      {
        "text": "recognize and bargain with the Union.",
        "paragraph_id": "para_464"
      },
      {
        "text": "Under the successor bar, when a new employer acquires a",
        "paragraph_id": "para_465"
      },
      {
        "text": "business, an incumbent union is protected from any",
        "paragraph_id": "para_466"
      },
      {
        "text": "representation challenge for up to one year. The bar thus",
        "paragraph_id": "para_467"
      },
      {
        "text": "compels the successor employer to recognize and bargain with",
        "paragraph_id": "para_468"
      },
      {
        "text": "the incumbent union, even if it lacks majority support. That rule",
        "paragraph_id": "para_469"
      },
      {
        "text": "is inconsistent with the Act’s protection of employee freedom",
        "paragraph_id": "para_470"
      },
      {
        "text": "of choice and representation by majority rule. The Board",
        "paragraph_id": "para_471"
      },
      {
        "text": "therefore contravened the Act when it refused to consider the",
        "paragraph_id": "para_472"
      },
      {
        "text": "Hospital’s evidence challenging the Union’s majority status",
        "paragraph_id": "para_473"
      },
      {
        "text": "and ordered the Hospital to collectively bargain with the Union.",
        "paragraph_id": "para_474"
      },
      {
        "text": "B.",
        "paragraph_id": "para_475"
      },
      {
        "text": "The Board attempts to justify the successor bar as",
        "paragraph_id": "para_476"
      },
      {
        "text": "consistent with its policymaking authority and the purposes of",
        "paragraph_id": "para_477"
      },
      {
        "text": "the Act. But these arguments cannot overcome the specific",
        "paragraph_id": "para_478"
      },
      {
        "text": "requirements of the Act.",
        "paragraph_id": "para_479"
      },
      {
        "text": "First, the Board argues that the successor bar falls within",
        "paragraph_id": "para_480"
      },
      {
        "text": "“its authority to create national labor policy.” NLRB Suppl. Br.",
        "paragraph_id": "para_481"
      },
      {
        "text": "16",
        "paragraph_id": "para_482"
      },
      {
        "text": "8. The Board, however, cites no statutory provision to support",
        "paragraph_id": "para_483",
        "court_paragraph": 16
      },
      {
        "text": "this claim. When pressed at oral argument, the Board relied on",
        "paragraph_id": "para_484"
      },
      {
        "text": "its general authority to prevent unfair labor practices under",
        "paragraph_id": "para_485"
      },
      {
        "text": "sections 8 and 10 of the Act. But as already explained, these",
        "paragraph_id": "para_486"
      },
      {
        "text": "provisions are expressly qualified by sections 7 and 9, which",
        "paragraph_id": "para_487"
      },
      {
        "text": "guarantee employees both freedom of choice and",
        "paragraph_id": "para_488"
      },
      {
        "text": "representation by a union with majority support. 29 U.S.C.",
        "paragraph_id": "para_489"
      },
      {
        "text": "§§ 160(a), 158(a)(1) & (5); see id. §§ 157, 159(a). Those",
        "paragraph_id": "para_490"
      },
      {
        "text": "guarantees mean that employers have no obligation to bargain",
        "paragraph_id": "para_491"
      },
      {
        "text": "with a union that has lost majority support. The Board’s general",
        "paragraph_id": "para_492"
      },
      {
        "text": "authority to enforce unfair labor practices cannot justify",
        "paragraph_id": "para_493"
      },
      {
        "text": "suspending statutory protections in the collective bargaining",
        "paragraph_id": "para_494"
      },
      {
        "text": "relationship.",
        "paragraph_id": "para_495"
      },
      {
        "text": "The Board also attempts to rely on Supreme Court",
        "paragraph_id": "para_496"
      },
      {
        "text": "precedent upholding other Board policies as reasonable. See,",
        "paragraph_id": "para_497"
      },
      {
        "text": "e.g., Fall River, 482 U.S. at 42; Ford Motor Co. v. NLRB, 441",
        "paragraph_id": "para_498"
      },
      {
        "text": "U.S. 488, 495 (1979). These cases, however, stand for the",
        "paragraph_id": "para_499"
      },
      {

        "text": "stability” by giving bargaining relationships between successor",
        "paragraph_id": "para_523"
      },

        "text": "employers and incumbent unions “a fair chance to succeed.”",
        "paragraph_id": "para_524"
      },

      },
      {
        "text": "labor stability is one of several stated purposes, the Act",
        "paragraph_id": "para_526"
      },
      {
        "text": "mitigates industrial strife through specific provisions,",
        "paragraph_id": "para_527"
      },
      {
        "text": "including those that “protect[] the exercise by workers of full",
        "paragraph_id": "para_528"
      },
      {
        "text": "freedom of association, self-organization, and designation of",
        "paragraph_id": "para_529"
      },
      {
        "text": "representatives of their own choosing.” 29 U.S.C. § 151; see",

      },
      {

        "text": "In conflict with these purposes and the directives of",
        "paragraph_id": "para_538"
      },

        "text": "sections 7 and 9, the successor bar entrenches incumbent",
        "paragraph_id": "para_539"
      },
      {
        "text": "unions for up to one year. Even if an incumbent union lacks",
        "paragraph_id": "para_540"
      },
      {
        "text": "majority support, an employer must recognize and bargain with",
        "paragraph_id": "para_541"
      },
      {
        "text": "that union on pain of liability for an unfair labor practice. But",
        "paragraph_id": "para_542"
      },
      {
        "text": "the Board has no authority to favor incumbent unions at the",
        "paragraph_id": "para_543"
      },
      {
        "text": "expense of the statutory protections for employees, because the",
        "paragraph_id": "para_544"
      },
      {
        "text": "Act “confers rights only on employees, not on unions.”",
        "paragraph_id": "para_545"
      },
      {
        "text": "Lechmere, Inc. v. NLRB, 502 U.S. 527, 532 (1992). General",

        "text": "concerns for industrial stability cannot save the lawfulness of",

        "text": "Third, the Board relies on Auciello Iron Works, Inc. v.",
        "paragraph_id": "para_552"
      },
      {
        "text": "NLRB, 517 U.S. 781 (1996), for the proposition that it has",
        "paragraph_id": "para_553"
      },
      {
        "text": "broad authority to impose irrebuttable presumptions “limiting",
        "paragraph_id": "para_554"
      },
      {
        "text": "an employer’s ability to withdraw” recognition from a union.",
        "paragraph_id": "para_555"
      },

        "text": "NLRB Suppl. Br. 6–7. Auciello affirmed a Board decision that",

        "text": "relied on its so-called “contract bar,” under which the Board",

        "text": "as a presumption that allowed employees to challenge a union’s",

      },
      {
        "text": "be overcome by employers in multiple ways, including through",

      },
      {

      },
      {
        "text": "support” when the collective bargaining agreement was",

      },

        "text": "contrast, the successor bar is never rebuttable, and as the Board",

        "text": "has stressed, it protects incumbent unions from “any challenge”",

        "text": "for up to one year. UGL-UNICCO, 357 NLRB at 803",

        "text": "(emphasis added). The Court’s narrow decision in Auciello",

        "text": "does not recognize the broad authority asserted by the Board,",

        "text": "and therefore it cannot save the successor bar, which",
        "paragraph_id": "para_572"

        "text": "Finally, the Board reiterates the argument adopted by",

        "text": "employees. Accordingly, we grant the Hospital’s petition for",

        "text": "agency to prescribe rules to ‘fill up the details’ of a statutory",

        "text": "scheme . . ..” Id. (alteration in original) (quoting Wayman v.",

        "text": "Southard, 23 U.S. (10 Wheat.) 1, 43 (1825)). The following",

        "text": "Term, the Court reiterated that “when an agency exercises",
        "paragraph_id": "para_748"
      },
      {
        "text": "discretion granted by a statute . . . a court asks not whether",
        "paragraph_id": "para_749"
      },

        "text": "it agrees with the agency decision, but rather only whether",
        "paragraph_id": "para_750"
      },
      {
        "text": "the agency action was reasonable and reasonably explained.”",

      },
      {

        "text": "This distinction has deep roots. A decade before Chevron,",

      },

        "text": "charge. Pittston Stevedoring Corp. v. Dellaventura, 544 F.2d",

        "text": "35, 49 (2d Cir. 1976). That inference depended on the",

      },

        "text": "particular statutory context. See id. at 49-50. When the statute",

        "text": "discretionary latitude afforded an agency must derive from a",
        "paragraph_id": "para_778"
      },

        "text": "statute-specific inquiry. Id.",
        "paragraph_id": "para_779"
      },
      {
        "text": "Loper Bright marks that correction. The Court rejected",
        "paragraph_id": "para_780"
      },
      {
        "text": "Chevron’s across-the-board presumption, under which",
        "paragraph_id": "para_781"
      },
      {
        "text": "ambiguity itself served as a proxy for delegation. Loper",
        "paragraph_id": "para_782"
      },
      {
        "text": "Bright, 603 U.S. at 399-400. But it preserved the distinct",
        "paragraph_id": "para_783"
      },
      {
        "text": "principle that Congress may confer discretionary authority on",
        "paragraph_id": "para_784"
      },
      {
        "text": "agencies in particular statutory schemes. Id. at 394-96. The",
        "paragraph_id": "para_785"
      },
      {
        "text": "proper inquiry is not whether the statute is ambiguous, but",
        "paragraph_id": "para_786"
      },
      {
        "text": "whether “the best reading of a statute is that it delegates",
        "paragraph_id": "para_787"
      },
      {
        "text": "discretionary authority to an agency.” Id. at 395.",
        "paragraph_id": "para_788"
      },

        "text": "The NLRA exemplifies that distinction. By entrusting the",
        "paragraph_id": "para_789"
      },
      {
        "text": "Board with “the primary responsibility for developing and",
        "paragraph_id": "para_790"
      },
      {
        "text": "applying national labor policy,” the statute assigns the Board",
        "paragraph_id": "para_791"
      },
      {
        "text": "a broad measure of policymaking discretion that long predates",
        "paragraph_id": "para_792"
      },
      {
        "text": "Chevron and survives Chevron’s repudiation. See, e.g., Curtin",
        "paragraph_id": "para_793"
      },
      {
        "text": "Matheson, 494 U.S. at 786. The majority misses that point in",
        "paragraph_id": "para_794"
      },
      {
        "text": "its reading of the original panel’s opinion. It seizes on the",
        "paragraph_id": "para_795"
      },
      {
        "text": "original panel’s statement that it would “bow to reasoned",
        "paragraph_id": "para_796"
      },
      {
        "text": "Board decisionmaking” as a confession that Chevron supplied",
        "paragraph_id": "para_797"
      },
      {
        "text": "the basis for decision. Maj. Op. at 9 (quoting Hospital",
        "paragraph_id": "para_798"
      },
      {
        "text": "Menonita I, 94 F.4th at 15). But that only begs the question",
        "paragraph_id": "para_799"
      },
      {
        "text": "why the panel gave weight to the Board’s judgment. Did it do",
        "paragraph_id": "para_800"
      },
      {
        "text": "so because it treated statutory ambiguity as an implicit",
        "paragraph_id": "para_801"
      },
      {
        "text": "delegation of interpretive authority to the Board—the now-",
        "paragraph_id": "para_802"
      },
      {

        "text": "discarded Chevron view? Or because it recognized that the",

        "text": "NLRA itself entrusts this category of judgment to the Board?",

        "text": "The original panel’s opinion points unmistakably to the",
        "paragraph_id": "para_806"
      },
      {
        "text": "latter. The panel did not invoke the framework developed in",
        "paragraph_id": "para_807"
      },
      {
        "text": "Chevron’s wake. Indeed, it did not so much as cite Chevron.",
        "paragraph_id": "para_808"
      },
      {
        "text": "The only reference to Chevron appeared not in the majority",
        "paragraph_id": "para_809"
      },
      {
        "text": "opinion, but in Judge Katsas’s concurring opinion. See",
        "paragraph_id": "para_810"
      },
      {
        "text": "Hospital Menonita I, 94 F.4th at 17 (Katsas, J., concurring).",
        "paragraph_id": "para_811"
      },
      {
        "text": "The majority now presses that separate reference into service",
        "paragraph_id": "para_812"
      },
      {
        "text": "as a basis for recharacterizing the majority opinion. See Maj.",
        "paragraph_id": "para_813"
      },
      {
        "text": "Op. at 9 (citing Hospital Menonita I, 94 F.4th at 17 (Katsas,",

      },
      {
        "text": "J., concurring)). But it goes without saying that “the meaning",

      },

        "text": "of a majority opinion is to be found within the opinion",

        "text": "itself,” not “the gloss that an individual [judge] chooses to",

        "text": "place upon it.” McKoy v. North Carolina, 494 U.S. 433, 448",

        "text": "(1990) (Blackmun, J., concurring). Moreover, Judge",

      {
        "text": "K a t s a s — citing the original decision in this",

        "text": "case—acknowledged that “it would blink reality to suppose",
        "paragraph_id": "para_821"
      },

        "text": "that Loper Bright will eliminate the NLRB’s ability to",

        "text": "conduct policymaking through adjudication under Chenery II.”",
        "paragraph_id": "para_823"
      },

        "text": "Harris v. Bessent, 160 F.4th 1235, 1252 (D.C. Cir. 2025).",

        "text": "Rather than Chevron’s two-step formula for resolving",
        "paragraph_id": "para_825"
      },

        "text": "statutory ambiguity, the original panel relied on the Board’s",
        "paragraph_id": "para_826"
      },

        "text": "discretionary authority under the NLRA. The panel put it this",
        "paragraph_id": "para_827"
      },

        "text": "way: “Because ‘the NLRB has the primary responsibility for",
        "paragraph_id": "para_828"
      },
      {
        "text": "developing and applying national labor policy,’ the Supreme",
        "paragraph_id": "para_829"
      },

        "text": "Court has required that reviewing courts ‘accord[] Board rules",

        "text": "the majority concludes that the panel incorporated Lily",

        "text": "Transportation wholesale and thereby necessarily grounded its",

        "text": "analysis in Chevron. Id. That conclusion is not correct. The",
        "paragraph_id": "para_843"
      },

        "text": "original panel independently determined—without referring",
        "paragraph_id": "para_844"
      },
      {
        "text": "either to Lily Transportation or Chevron—that the NLRA",
        "paragraph_id": "para_845"
      },
      {
        "text": "confers policymaking authority on the Board. Hospital",
        "paragraph_id": "para_846"
      },
      {
        "text": "Menonita I, 94 F.4th at 5.",

      },

        "text": "The panel turned to Lily Transportation only afterward,",
        "paragraph_id": "para_848"
      },
      {
        "text": "and only for the more limited proposition that the Board’s",
        "paragraph_id": "para_849"
      },
      {
        "text": "successor-bar rule fell “within the scope of reasoned",
        "paragraph_id": "para_850"
      },
      {
        "text": "interpretation [of the NLRA].” Hospital Menonita I, 94 F.4th",
        "paragraph_id": "para_851"
      },
      {
        "text": "at 14 (quoting Lily Transportation, 853 F.3d at 38). Thus,",
        "paragraph_id": "para_852"
      },
      {
        "text": "although the First Circuit in Lily Transportation framed its",
        "paragraph_id": "para_853"
      },
      {
        "text": "analysis in terms of Chevron, the panel here followed the",
        "paragraph_id": "para_854"
      },
      {
        "text": "Supreme Court’s analysis set forth in Fall River Dyeing &",
        "paragraph_id": "para_855"
      },
      {
        "text": "Finishing Corp. v. NLRB, 482 U.S. at 42, and other Supreme",
        "paragraph_id": "para_856"
      },
      {
        "text": "Court post-Chevron NLRB decisions, none of which relied",
        "paragraph_id": "para_857"
      },
      {
        "text": "upon or even cited Chevron.",
        "paragraph_id": "para_858"
      },
      {
        "text": "It follows that the original panel’s decision should be",
        "paragraph_id": "para_859"
      },
      {
        "text": "reinstated. Our court has long recognized that “[w]hen the",

      },

        "text": "Supreme Court vacates a judgment of this court without",
        "paragraph_id": "para_861"
      },
      {
        "text": "addressing the merits of a particular holding in the panel",
        "paragraph_id": "para_862"
      },
      {
        "text": "opinion, that holding ‘continue[s] to have precedential weight,",
        "paragraph_id": "para_863"
      },

        "text": "and in the absence of contrary authority, we do not disturb’",
        "paragraph_id": "para_864"
      },
