        "text": "Plaintiffs, casino-hotel guests, appeal the District",
        "paragraph_id": "para_164"
      },
      {
        "text": "Court’s dismissal of their Complaint alleging that Defendants,",
        "paragraph_id": "para_165"
      },
      {
        "text": "select casino-hotels in Atlantic City and their algorithmic",
        "paragraph_id": "para_166"
      },
      {
        "text": "software provider, Cendyn Group, LLC, have conspired to fix",
        "paragraph_id": "para_167"
      },
      {
        "text": "prices of hotel rooms in violation of Section 1 of the Sherman",
        "paragraph_id": "para_168"
      },
      {
        "text": "Antitrust Act. For the reasons that follow, we will reverse the",
        "paragraph_id": "para_169"
      },
      {
        "text": "District Court’s dismissal of the Complaint and remand for",
        "paragraph_id": "para_170"
      },
      {
        "text": "further proceedings consistent with this opinion.",
        "paragraph_id": "para_171"
      },
      {
        "text": "7",

      },
      {
        "text": "I.",
        "paragraph_id": "para_173",
        "court_paragraph": 7
      },
      {
        "text": "Section 1 of the Sherman Antitrust Act is deceptively",
        "paragraph_id": "para_174"
      },
      {
        "text": "simple. It states: “Every contract, combination . . ., or",
        "paragraph_id": "para_175"
      },
      {
        "text": "conspiracy, in restraint of trade or commerce . . ., is declared",
        "paragraph_id": "para_176"
      },
      {
        "text": "to be illegal.”1 But every contract imposes some restraint on",
        "paragraph_id": "para_177"
      },
      {
        "text": "trade; indeed, that is the very point of entering into a",
        "paragraph_id": "para_178"
      },
      {
        "text": "contractual relationship. Accordingly, very early on, the",
        "paragraph_id": "para_179"
      },
      {
        "text": "Supreme Court interpreted Section 1 to apply only to",
        "paragraph_id": "para_180"
      },
      {
        "text": "“unreasonable” restraints on trade.2",
        "paragraph_id": "para_181"
      },
      {
        "text": "Few would doubt that today’s business world is",
        "paragraph_id": "para_182"
      },
      {
        "text": "unrecognizable from the world in 1890 when Congress enacted",
        "paragraph_id": "para_183"
      },
      {
        "text": "the Sherman Act. Today, software programs automated with",
        "paragraph_id": "para_184"
      },
      {
        "text": "artificial intelligence (“AI”) can help businesses optimize",
        "paragraph_id": "para_185"
      },
      {
        "text": "operations, respond rapidly to demand fluctuations, reduce",
        "paragraph_id": "para_186"
      },
      {
        "text": "transaction costs, and enhance market transparency and",
        "paragraph_id": "para_187"
      },
      {
        "text": "efficiency in ways that were unimaginable in 1890.3",
        "paragraph_id": "para_188"
      },
      {
        "text": "It is therefore not surprising that researchers have",
        "paragraph_id": "para_189"
      },
      {
        "text": "cautioned that in today’s business environment, AI programs",
        "paragraph_id": "para_190"
      },
      {
        "text": "that provide “dynamic pricing” algorithms can also facilitate",
        "paragraph_id": "para_191"
      },
      {

        "text": "may have been hindered by gaps in communication and the",
        "paragraph_id": "para_202"
      },
      {
        "text": "cost of ensuring compliance. Today, these algorithms have the",
        "paragraph_id": "para_203"
      },
      {
        "text": "capacity to bridge any such gaps.5 This makes it possible for",
        "paragraph_id": "para_204"
      },
      {
        "text": "firms to collude in ways that were inconceivable in 1890.",
        "paragraph_id": "para_205"
      },
      {
        "text": "Collusion among competitors in today’s world need not be",
        "paragraph_id": "para_206"
      },
      {
        "text": "characterized by handshakes (or a wink and a nod) in smoke-",
        "paragraph_id": "para_207"
      },
      {
        "text": "filled rooms or by tell-tale telephone conversations. Instead,",
        "paragraph_id": "para_208"
      },
      {
        "text": "AI can enable participants in the marketplace to coordinate",
        "paragraph_id": "para_209"
      },
      {
        "text": "pricing and thereby collude in ways that reduce competition at",
        "paragraph_id": "para_210"
      },
      {
        "text": "the expense of consumers who bear the brunt of higher prices",
        "paragraph_id": "para_211"
      },
      {
        "text": "and reduced output or supply. This is what the Sherman Act is",
        "paragraph_id": "para_212"
      },
      {
        "text": "intended to prevent.",
        "paragraph_id": "para_213"
      },
      {
        "text": "This appeal asks us to consider whether Plaintiffs have",

        "text": "plausibly alleged that Defendants have colluded to fix the",

        "text": "the Sherman Act.6 According to Plaintiffs’ Consolidated",
        "paragraph_id": "para_233",

        "text": "Amended Complaint (“CAC”), the casino-hotels send their",
        "paragraph_id": "para_234"
      },
      {
        "text": "“current, non-public room pricing and occupancy data” to",
        "paragraph_id": "para_235"
      },
      {
        "text": "Cendyn’s Rainmaker software, an AI-powered dynamic",
        "paragraph_id": "para_236"
      },
      {
        "text": "pricing program, which then processes each casino-hotel’s",
        "paragraph_id": "para_237"
      },
      {
        "text": "non-public data, “along with” similar data provided by their",
        "paragraph_id": "para_238"
      },
      {
        "text": "competitors, and thereby generates suggested room rates for",
        "paragraph_id": "para_239"
      },
      {
        "text": "each of the participating casino-hotels.7 Rainmaker, according",
        "paragraph_id": "para_240"
      },
      {
        "text": "to Plaintiffs, then functions as a coordinating mechanism,",
        "paragraph_id": "para_241"
      },
      {
        "text": "using the collective data to generate anticompetitive prices",
        "paragraph_id": "para_242"
      },
      {
        "text": "across participating casino-hotels. Plaintiffs allege that the",
        "paragraph_id": "para_243"
      },
      {
        "text": "resulting anticompetitive rates are automatically uploaded into",
        "paragraph_id": "para_244"
      },
      {
        "text": "each casino-hotel’s room-selling platform, causing consumers",
        "paragraph_id": "para_245"
      },
      {

        "text": "independently priced rooms for years” at “significantly",
        "paragraph_id": "para_248"
      },
      {
        "text": "reduced room rates” in order to draw guests to their casinos,",
        "paragraph_id": "para_249"
      },
      {
        "text": "since “gambling has always been the main revenue driver and",
        "paragraph_id": "para_250"
      },
      {
        "text": "profit center for casino-hotels.”8 According to the allegations",
        "paragraph_id": "para_251"
      },
      {
        "text": "in the CAC, Cendyn’s software allows casino-hotel",
        "paragraph_id": "para_252"
      },
      {
        "text": "Defendants to maintain the resulting inflated room rates",
        "paragraph_id": "para_253"
      },
      {
        "text": "without fear that potential hotel guests will be induced to book",
        "paragraph_id": "para_254"
      },
      {
        "text": "rooms with one of their competitors because the colluding",
        "paragraph_id": "para_255"
      },
      {
        "text": "casino-hotels have collectively agreed to charge the",
        "paragraph_id": "para_256"
      },
      {

        "text": "its clients, including Defendant casino-hotels, do in fact charge",
        "paragraph_id": "para_268"
      },
      {
        "text": "the room rate recommended by Rainmaker 90 percent of the",
        "paragraph_id": "para_269"
      },
      {
        "text": "time. According to the CAC, the Defendants can thereby",
        "paragraph_id": "para_270"
      },
      {
        "text": "charge inflated rates for their hotel rooms without fear that their",
        "paragraph_id": "para_271"
      },
      {
        "text": "prices will be undercut by a competitor in the Atlantic City",
        "paragraph_id": "para_272"
      },
      {
        "text": "market.",
        "paragraph_id": "para_273"
      },
      {
        "text": "The District Court dismissed the CAC because it",
        "paragraph_id": "para_274"
      },
      {
        "text": "concluded that Plaintiffs did not sufficiently plead the",
        "paragraph_id": "para_275"
      },
      {
        "text": "existence of a hub-and-spoke price-fixing scheme. The court",
        "paragraph_id": "para_276"
      },
      {
        "text": "reasoned that Plaintiffs’ allegations failed to show a “rim,” i.e.,",
        "paragraph_id": "para_277"
      },
      {
        "text": "an agreement between the casino-hotel defendants. We",
        "paragraph_id": "para_278"
      },
      {
        "text": "disagree. We hold that the well-pleaded allegations in the CAC",
        "paragraph_id": "para_279"
      },
      {
        "text": "are sufficient to support a finding that casino-hotel Defendants",
        "paragraph_id": "para_280"
      },
      {
        "text": "have conspired to fix prices through Cendyn’s software.",
        "paragraph_id": "para_281"
      },
      {
        "text": "Accordingly, we will reverse the District Court’s order",
        "paragraph_id": "para_282"
      },
      {
        "text": "dismissing the Complaint.",
        "paragraph_id": "para_283"
      },
      {
        "text": "II.",
        "paragraph_id": "para_284"
      },
      {
        "text": "As we have already noted, advancements in technology",
        "paragraph_id": "para_285"
      },
      {
        "text": "have resulted in software capabilities dubbed “artificial",
        "paragraph_id": "para_286"
      },
      {
        "text": "intelligence” or “AI”—program- and machine-based systems",
        "paragraph_id": "para_287"
      },
      {
        "text": "comprised of multiple algorithms.9 An algorithm is a set of",
        "paragraph_id": "para_288"
      },
      {

        "text": "One feature of highly advanced AI programs is machine",

        "text": "III.",
        "paragraph_id": "para_396"
      },
      {
        "text": "A. Section 1 of the Sherman Act",
        "paragraph_id": "para_397"
      },
      {
        "text": "Section 1 of the Sherman Act provides: “Every contract,",
        "paragraph_id": "para_398"
      },
      {
        "text": "combination in the form of trust or otherwise, or conspiracy, in",
        "paragraph_id": "para_399"
      },
      {
        "text": "restraint of trade or commerce among the several States, or",
        "paragraph_id": "para_400"
      },
      {
        "text": "with foreign nations, is declared to be illegal.”25 As this court",
        "paragraph_id": "para_401"
      },
      {
        "text": "has emphasized, “Section 1 only prohibits contracts,",
        "paragraph_id": "para_402"
      },
      {
        "text": "combinations, or conspiracies that unreasonably restrain",
        "paragraph_id": "para_403"
      },
      {
        "text": "trade.”26 We have interpreted the terms “contract, combination,",
        "paragraph_id": "para_404"
      },
      {
        "text": ". . . or conspiracy” collectively to require some form of",
        "paragraph_id": "para_405"
      },
      {

        "text": "understanding,” a “meeting of minds,” or a “conscious",

        "text": "commitment to a common scheme.”28 A plaintiff may support",
        "paragraph_id": "para_424"
      },
      {
        "text": "allegations of a collusive agreement either with direct evidence",
        "paragraph_id": "para_425"
      },
      {
        "text": "or circumstantial evidence. Because direct evidence, “the",
        "paragraph_id": "para_426"
      },
      {
        "text": "proverbial ‘smoking gun,’” is usually unavailable to those",
        "paragraph_id": "para_427"
      },
      {
        "text": "outside the alleged conspiracy, “plaintiffs have been permitted",
        "paragraph_id": "para_428"
      },
      {
        "text": "to rely solely on circumstantial evidence (and the reasonable",
        "paragraph_id": "para_429"
      },
      {
        "text": "inferences that may be drawn therefrom) to prove a",
        "paragraph_id": "para_430"
      },
      {
        "text": "conspiracy.”29 Indeed, they must be permitted to do so if the",
        "paragraph_id": "para_431"
      },
      {
        "text": "law is to reach more sophisticated or surreptitious agreements.",
        "paragraph_id": "para_432"
      },
      {
        "text": "Secondly, a plaintiff must show that this agreement or",
        "paragraph_id": "para_433"
      },
      {
        "text": "concerted action “imposed an unreasonable restraint on",
        "paragraph_id": "para_434"
      },
      {
        "text": "trade.”30 Most restraints of trade are analyzed under the “rule",
        "paragraph_id": "para_435"
      },
      {
        "text": "of reason,” which requires comprehensively looking at the",
        "paragraph_id": "para_436"
      },
      {
        "text": "market in which the defendant operates and then weighing the",
        "paragraph_id": "para_437"
      },
      {
        "text": "alleged anticompetitive effects against the proffered",
        "paragraph_id": "para_438"
      },
      {
        "text": "procompetitive benefits.31 However, a few categories of",

      },
      {
        "text": "[of per se illegal restraints] are ‘horizontal agreements among",
        "paragraph_id": "para_458"
      },
      {
        "text": "competitors to fix prices or to divide markets.’”34 Horizontal",
        "paragraph_id": "para_459"
      },
      {
        "text": "agreements between competitors form a key part of what has",
        "paragraph_id": "para_460"
      },
      {
        "text": "been dubbed a “hub-and-spoke” conspiracy, a form of",
        "paragraph_id": "para_461"
      },
      {
        "text": "conspiracy analogized to the shape of a wheel.35 Such a",
        "paragraph_id": "para_462"
      },
      {
        "text": "conspiracy involves a hub at the center, usually an agent,",
        "paragraph_id": "para_463"
      },
      {
        "text": "supplier, or purchaser with whom all the competitors, the",
        "paragraph_id": "para_464"
      },
      {
        "text": "spokes, have a relationship.36 Establishing a per se violation",
        "paragraph_id": "para_465"
      },
      {
        "text": "with the hub-and-spoke model requires showing that the",
        "paragraph_id": "para_466"
      },
      {
        "text": "spokes are connected to each other via a horizontal",
        "paragraph_id": "para_467"
      },
      {
        "text": "agreement.37 This horizontal agreement connecting the",
        "paragraph_id": "para_468"
      },
      {
        "text": "competitors is the “rim” of the wheel.38",
        "paragraph_id": "para_469"
      },
      {
        "text": "to the consumer and restraints stimulating competition that",
        "paragraph_id": "para_470"
      },
      {
        "text": "are in the consumer’s best interest.”).",

        "text": "Sherman Act with circumstantial evidence, plaintiffs must",
        "paragraph_id": "para_485"
      },

        "text": "plead “something more than merely parallel [conduct]” among",
        "paragraph_id": "para_486"
      },
      {
        "text": "the defendants.39 This is because parallel conduct may occur",
        "paragraph_id": "para_487"
      },
      {
        "text": "without any coordination and result merely from each",
        "paragraph_id": "para_488"
      },
      {
        "text": "competitor independently working to gain a competitive",
        "paragraph_id": "para_489"
      },
      {
        "text": "advantage or maximize its market position.40 Accordingly,",
        "paragraph_id": "para_490"
      },
      {
        "text": "plaintiffs alleging an illegal conspiracy to restrain trade based",
        "paragraph_id": "para_491"
      },
      {
        "text": "on circumstantial evidence must also allege that certain “plus",
        "paragraph_id": "para_492"
      },
      {
        "text": "factors” exist beyond the mere fact of parallel conduct.41 We",
        "paragraph_id": "para_493"
      },
      {
        "text": "have identified at least three types of “plus factors” that “tend",
        "paragraph_id": "para_494"
      },
      {
        "text": "to demonstrate the existence of an agreement: ‘(1) evidence",
        "paragraph_id": "para_495"
      },
      {
        "text": "that the defendant had a motive to enter into a price fixing",
        "paragraph_id": "para_496"
      },
      {
        "text": "conspiracy; (2) evidence that the defendant acted contrary to",
        "paragraph_id": "para_497"
      },
      {
        "text": "its interests; and (3) evidence implying a traditional",
        "paragraph_id": "para_498"
      },

        "text": "claims arise in unique contexts and market conditions. This is",

        "text": "particularly true given the evolving complexity and",
        "paragraph_id": "para_517"
      },
      {
        "text": "sophistication of the technology that has become integral to",
        "paragraph_id": "para_518"
      },
      {
        "text": "today’s marketplace.",
        "paragraph_id": "para_519"
      },
      {
        "text": "“The main threat of horizontal agreements is that they",
        "paragraph_id": "para_520"
      },
      {
        "text": "can enable participants collectively to reduce the output of",
        "paragraph_id": "para_521"
      },
      {
        "text": "goods in some market, thus causing higher prices, inefficient",
        "paragraph_id": "para_522"
      },
      {
        "text": "substitutions, and the resultant losses in consumer or labor",
        "paragraph_id": "para_523"
      },
      {
        "text": "welfare.”43 In a competitive market, the presence of many",
        "paragraph_id": "para_524"
      },
      {
        "text": "firms competing for market can make such agreements",
        "paragraph_id": "para_525"
      },
      {
        "text": "impractical.44 And “[f]irms that seek to [coordinate prices]",
        "paragraph_id": "para_526"
      },
      {
        "text": "through the conscious parallelism of oligopoly must rely on",
        "paragraph_id": "para_527"
      },
      {
        "text": "uncertain and ambiguous signals to achieve concerted",
        "paragraph_id": "para_528"
      },
      {
        "text": "action.”45 However, AI-enabled algorithms are capable of",
        "paragraph_id": "para_529"
      },
      {
        "text": "solving these problems while simultaneously evading",
        "paragraph_id": "para_530"
      },
      {
        "text": "traditional detection methods.46 AI software can facilitate",
        "paragraph_id": "para_531"
      },
      {
        "text": "collusion by enabling competitors to coordinate prices and",
        "paragraph_id": "para_532"
      },
      {
        "text": "share information without ever communicating with each",
        "paragraph_id": "para_533"
      },
      {
        "text": "other. And real-time price monitoring enables cartels to more",
        "paragraph_id": "para_534"
      },
      {
        "text": "effectively police each other’s pricing behavior and adjust",
        "paragraph_id": "para_535"
      },
      {
        "text": "competitive market.” See In re Flat Glass Antitrust Litig., 385",

        "paragraph_id": "para_549"
      },
      {
        "text": "B. Standard of Review",
        "paragraph_id": "para_550"
      },
      {
        "text": "Whether Plaintiffs have stated a claim upon which relief",
        "paragraph_id": "para_551"
      },
      {
        "text": "can be granted is a question of law. Accordingly, “[w]e",
        "paragraph_id": "para_552"
      },
      {
        "text": "exercise plenary review of the District Court’s order[] granting",
        "paragraph_id": "para_553"
      },
      {
        "text": "[D]efendants’ motion to dismiss under Federal Rule of Civil",
        "paragraph_id": "para_554"
      },
      {
        "text": "Procedure 12(b)(6).”47 To state a claim, “a complaint must",
        "paragraph_id": "para_555"
      },
      {
        "text": "contain factual allegations that, taken as a whole, render the",
        "paragraph_id": "para_556"
      },
      {
        "text": "plaintiff’s entitlement to relief plausible.”48 The plausibility",
        "paragraph_id": "para_557"
      },
      {
        "text": "standard at the pleading stage is not a “probability",
        "paragraph_id": "para_558"
      },
      {
        "text": "requirement.”49 It simply requires the reviewing court to",
        "paragraph_id": "para_559"
      },
      {
        "text": "determine whether a complaint which pleads a Section 1 claim",
        "paragraph_id": "para_560"
      },
      {
        "text": "includes sufficient factual allegations “to raise a reasonable",
        "paragraph_id": "para_561"
      },
      {
        "text": "expectation that discovery will reveal evidence of [an] illegal",
        "paragraph_id": "para_562"
      },
      {
        "text": "agreement.”50 In reviewing the complaint, we take the well-",
        "paragraph_id": "para_563"
      },
      {
        "text": "pleaded allegations to be true, and we construe them in the light",
        "paragraph_id": "para_564"
      },
      {
        "text": "most favorable to plaintiffs.51 Twombly recognized that",
        "paragraph_id": "para_565"
      },
      {
        "text": "although antitrust cases can be complex and expensive, we",
        "paragraph_id": "para_566"
      },
      {

        "text": "experience.”53 This is a “context-specific task” that requires us",
        "paragraph_id": "para_579"
      },
      {
        "text": "to draw on our judicial experience and common sense in",
        "paragraph_id": "para_580"
      },
      {
        "text": "assessing the totality of the circumstances.54",
        "paragraph_id": "para_581"
      },
      {
        "text": "C. The Consolidated Amended Complaint (CAC)55",
        "paragraph_id": "para_582"
      },
      {
        "text": "This putative class action is a consolidation of three",
        "paragraph_id": "para_583"
      },
      {
        "text": "similar cases with identical price-fixing claims filed before the",
        "paragraph_id": "para_584"
      },
      {
        "text": "District Court. Plaintiffs are consumers who directly rented",
        "paragraph_id": "para_585"
      },
      {

        "text": "guest rooms from the Defendant casino-hotels, allegedly at",
        "paragraph_id": "para_607",
        "court_paragraph": 21

        "text": "anticompetitively high prices, during a period which began no",
        "paragraph_id": "para_608"
      },
      {
        "text": "later than June 28, 2018, to the present (the “class period”).",
        "paragraph_id": "para_609"
      },
      {
        "text": "They allege that, although the casino-hotels started using",
        "paragraph_id": "para_610"
      },
      {
        "text": "Rainmaker products56 at various times preceding the class",
        "paragraph_id": "para_611"
      },
      {
        "text": "period (as early as 2004 and as recently as 2018), all of them",
        "paragraph_id": "para_612"
      },
      {
        "text": "were using Rainmaker’s prescriptive algorithm for their",
        "paragraph_id": "para_613"
      },
      {
        "text": "pricing decisions by the start of the class period.57 Rainmaker",
        "paragraph_id": "para_614"
      },
      {
        "text": "allegedly acts as an exchange hub and a shared pricing agent",
        "paragraph_id": "para_615"
      },
      {
        "text": "for the casino-hotels. Plaintiffs allege that the “products",
        "paragraph_id": "para_616"
      },
      {
        "text": "comprising the Rainmaker pricing algorithm platform—",
        "paragraph_id": "para_617"
      },
      {
        "text": "GuestREV, REVCaster, and GroupREV—enable casino-hotel",
        "paragraph_id": "para_618"
      },
      {
        "text": "clients to achieve higher rates and profits on guest rooms” by",
        "paragraph_id": "para_619"
      },
      {
        "text": "forecasting market demand for individual and large group",
        "paragraph_id": "para_620"
      },
      {
        "text": "bookings and recommending to each client the optimal price",
        "paragraph_id": "para_621"
      },
      {
        "text": "56 In 2019, Cendyn acquired Rainmaker, which includes a",
        "paragraph_id": "para_622"
      },
      {
        "text": "suite of dynamic pricing software programs. See App. 238–",
        "paragraph_id": "para_623"
      },
      {

      {

        "paragraph_id": "para_629"
      },
      {
        "text": "district court record, and thus, we do not consider it in our",
        "paragraph_id": "para_630"
      },
      {
        "text": "analysis. See In re Cap. Cities/ABC, Inc.'s Application for",
        "paragraph_id": "para_631"
      },
      {
        "text": "Access to Sealed Transcripts, 913 F.2d 89, 96 (3d Cir. 1990)",

      },
      {
        "text": "casino-hotels’ on-site room pricing and",

      },
      {
        "text": "occupancy data systems, such that each casino-",
        "paragraph_id": "para_641"
      },
      {
        "text": "hotel client provides its current, non-public",
        "paragraph_id": "para_642"
      },
      {
        "text": "room pricing and occupancy data to the",
        "paragraph_id": "para_643"
      },
      {
        "text": "Rainmaker platform on a continuous basis. In",
        "paragraph_id": "para_644"
      },
      {
        "text": "turn, the algorithm continuously processes and",
        "paragraph_id": "para_645"
      },
      {
        "text": "analyzes this non-public, real-time information,",
        "paragraph_id": "para_646"
      },
      {
        "text": "along with the same type of non-public, real-",
        "paragraph_id": "para_647"
      },
      {
        "text": "time data the client’s participating competitors",
        "paragraph_id": "para_648"
      },
      {
        "text": "also submit to the platform, and other relevant",
        "paragraph_id": "para_649"
      },
      {
        "text": "supply and demand-related data. The algorithm",
        "paragraph_id": "para_650"
      },
      {
        "text": "utilizes this continuous flow of real-time data to",
        "paragraph_id": "para_651"
      },
      {
        "text": "obtain a clear and complete picture of market",
        "paragraph_id": "para_652"
      },
      {
        "text": "supply and demand and competitive dynamics",
        "paragraph_id": "para_653"
      },
      {
        "text": "at any given time. The algorithm ultimately uses",
        "paragraph_id": "para_654"
      },
      {
        "text": "this information to generate “optimal” room",
        "paragraph_id": "para_655"
      },
      {
        "text": "rates, updated multiple times per day, for each",
        "paragraph_id": "para_656"
      },
      {
        "text": "client to charge guests.59",
        "paragraph_id": "para_657"
      },
      {
        "text": "Since the software is allegedly “integrated directly into",
        "paragraph_id": "para_658"
      },
      {
        "text": "a casino-hotel’s property management system,” the pricing",
        "paragraph_id": "para_659"
      },
      {
        "text": "recommendations generated by the algorithm are “directly and",
        "paragraph_id": "para_660"
      },
      {
        "text": "58 App. 212 (CAC ¶ 7). However, Plaintiffs concede in their",
        "paragraph_id": "para_661"
      },
      {
        "text": "Opening Brief that REVCaster, a “price-comparison tool”",
        "paragraph_id": "para_662"

        "text": "pricing authority and may choose to change the algorithm’s",
        "paragraph_id": "para_671"
      },
      {
        "text": "suggested prices. However, Plaintiffs allege that Cendyn",
        "paragraph_id": "para_672"
      },
      {
        "text": "constrains the casino-hotels’ ability to do so by requiring a",
        "paragraph_id": "para_673"
      },
      {
        "text": "special override to be used only in times of “need and extreme",
        "paragraph_id": "para_674"
      },
      {
        "text": "circumstances” and by scoring each casino-hotel on how often",
        "paragraph_id": "para_675"
      },
      {
        "text": "it overrides the algorithm’s price and forecast",
        "paragraph_id": "para_676"
      },
      {
        "text": "recommendation.61 The Defendant casino-hotels are alleged to",
        "paragraph_id": "para_677"
      },
      {
        "text": "accept Cendyn’s recommendations 90 percent of the time,",
        "paragraph_id": "para_678"
      },
      {
        "text": "resulting in the alleged anticompetitive guest room rates in",
        "paragraph_id": "para_679"
      },
      {
        "text": "Atlantic City during the class period.",
        "paragraph_id": "para_680"
      },
      {
        "text": "Cendyn allegedly “conveyed [to the casino-hotel",
        "paragraph_id": "para_681"
      },
      {
        "text": "Defendants] that uniform adoption would enable their access,",
        "paragraph_id": "para_682"
      },
      {
        "text": "under the auspices of a single shared algorithm, to one",
        "paragraph_id": "para_683"
      },
      {
        "text": "another’s real-time, non-public pricing and occupancy data,",
        "paragraph_id": "para_684"
      },
      {
        "text": "[and] that the Rainmaker platform[] . . . would generate",
        "paragraph_id": "para_685"
      },
      {
        "text": "significantly higher prices for each [casino-hotel Defendant]",
        "paragraph_id": "para_686"
      },
      {
        "text": "than if each one did so independently without use of that",
        "paragraph_id": "para_687"
      },
      {
        "text": "platform.”62",
        "paragraph_id": "para_688"
      },
      {
        "text": "The CAC also purports to describe the structural",
        "paragraph_id": "para_689"
      },
      {
        "text": "features of the Atlantic City casino-hotels market and the",
        "paragraph_id": "para_690"
      },
      {
        "text": "financial difficulties faced by casino-hotels in this market in",
        "paragraph_id": "para_691"
      },
      {
        "text": "the years preceding the class period. Plaintiffs posit that",
        "paragraph_id": "para_692"
      },
      {
        "text": "Defendants had the motive to conspire to fix prices and that",
        "paragraph_id": "para_693"
      },
      {
        "text": "Rainmaker provided the opportunity to do so. They allege that",
        "paragraph_id": "para_694"
      },
      {
        "text": "“[s]tarting in mid-2018 . . . [the] Casino-Hotel Defendants . . .",
        "paragraph_id": "para_695"
      },
      {
        "text": "60 App. 241 (CAC ¶ 137).",
        "paragraph_id": "para_696"
      },
      {

        "text": "losses.”63 The CAC includes aggregate statistics from Atlantic",
        "paragraph_id": "para_701"
      },
      {
        "text": "City casino-hotel market reports suggesting that during the",
        "paragraph_id": "para_702"
      },
      {
        "text": "class period, casino-hotels’ guest room rates and",
        "paragraph_id": "para_703"
      },
      {
        "text": "corresponding revenue significantly increased in parallel as",
        "paragraph_id": "para_704"
      },
      {
        "text": "room occupancy levels decreased.64 For example, between",
        "paragraph_id": "para_705"
      },
      {
        "text": "2017 and 2019—before the COVID-19 pandemic temporarily",
        "paragraph_id": "para_706"
      },
      {
        "text": "shut down hotels in 2020—casino-hotel Defendants’ collective",
        "paragraph_id": "para_707"
      },
      {
        "text": "room occupancy allegedly began to trend downward with an 8",
        "paragraph_id": "para_708"
      },
      {
        "text": "percent decrease in occupancy, while their room revenue began",
        "paragraph_id": "para_709"
      },
      {
        "text": "to trend upward with about a 22 percent increase in room",
        "paragraph_id": "para_710"
      },
      {
        "text": "revenue.65 And in 2022, the casino-hotels are alleged to have",
        "paragraph_id": "para_711"
      },
      {
        "text": "collectively rented 5 percent fewer rooms but charged 25",
        "paragraph_id": "para_712"
      },
      {
        "text": "percent more for those rooms as compared to data from 2019.66",
        "paragraph_id": "para_713"
      },
      {
        "text": "Accordingly, Plaintiffs allege that this parallel conduct during",
        "paragraph_id": "para_714"
      },
      {
        "text": "the class period, and other “plus” factors, like the purported",
        "paragraph_id": "para_715"
      },
      {
        "text": "exchange of non-public information through Cendyn’s",
        "paragraph_id": "para_716"
      },
      {
        "text": "algorithm, constitute circumstantial evidence of a horizontal",
        "paragraph_id": "para_717"
      },
      {
        "text": "price-fixing agreement.",
        "paragraph_id": "para_718"
      },
      {
        "text": "D. Defendants’ 12(b)(6) Motion and District",
        "paragraph_id": "para_719"
      },
      {

        "text": "The District Court granted the motion to dismiss, reasoning",
        "paragraph_id": "para_732"
      },
      {
        "text": "that the CAC contained several factual deficiencies and did not",
        "paragraph_id": "para_733"
      },
      {
        "text": "establish a plausible price-fixing agreement among the casino-",
        "paragraph_id": "para_734"
      },
      {
        "text": "hotel Defendants.67 The District Court understood Plaintiffs’",
        "paragraph_id": "para_735"
      },
      {
        "text": "allegations of collusion to be premised merely on the casino-",
        "paragraph_id": "para_736"
      },
      {
        "text": "hotel Defendants’ “knowing” and “purposeful” use of the",
        "paragraph_id": "para_737"
      },
      {
        "text": "Rainmaker products.68 It found that the CAC was substantially",
        "paragraph_id": "para_738"
      },
      {
        "text": "similar to a complaint from an action in the District of Nevada",
        "paragraph_id": "para_739"
      },
      {
        "text": "which was dismissed because its allegations of a horizontal",
        "paragraph_id": "para_740"
      },
      {
        "text": "agreement did not “cross[] the line from conceivable to",
        "paragraph_id": "para_741"
      },
      {
        "text": "plausible.”69 Among many factors the Court determined to be",
        "paragraph_id": "para_742"
      },
      {
        "text": "fatally insufficient, it noted that the parallel conduct pled was",
        "paragraph_id": "para_743"
      },
      {
        "text": "not parallel because the casino-hotel Defendants signed up to",
        "paragraph_id": "para_744"
      },
      {
        "text": "use Rainmaker over a fourteen-year period.70 It also found that",
        "paragraph_id": "para_745"
      },
      {
        "text": "Plaintiffs did not adequately show how Cendyn used the data",
        "paragraph_id": "para_746"
      },
      {
        "text": "it received from the casino-hotels—namely that the CAC did",
        "paragraph_id": "para_747"
      },
      {
        "text": "not allege that the information was “pooled or otherwise",
        "paragraph_id": "para_748"
      },
      {
        "text": "commingled” or somehow improperly exchanged —and that",
        "paragraph_id": "para_749"
      },
      {
        "text": "the casino-hotel Defendants continued to retain and exercise",
        "paragraph_id": "para_750"
      },
      {
        "text": "pricing authority.71 Accordingly, the District Court concluded",
        "paragraph_id": "para_751"
      },
      {

        "text": "the Defendants such that the conspiracy Plaintiffs allege fatally",
        "paragraph_id": "para_764"
      },
      {
        "text": "“lacks a rim.”72 We disagree with the District Court.",
        "paragraph_id": "para_765"
      },
      {
        "text": "The CAC contains many allegations that, taken together",
        "paragraph_id": "para_766"
      },
      {
        "text": "as true, lead to a plausible inference that Defendants have",
        "paragraph_id": "para_767"
      },
      {
        "text": "agreed to fix their room rates through Cendyn’s dynamic",
        "paragraph_id": "para_768"
      },
      {
        "text": "pricing algorithm and thereby inflate room rates and avoid",
        "paragraph_id": "para_769"
      },
      {
        "text": "competing. Moreover, and quite significantly, Plaintiffs allege",
        "paragraph_id": "para_770"
      },
      {
        "text": "that even when it would have been in the casino-hotels’",
        "paragraph_id": "para_771"
      },
      {
        "text": "economic interests to reduce room rates to increase occupancy",
        "paragraph_id": "para_772"
      },
      {
        "text": "so as to capture more guests and thereby generate more casino",
        "paragraph_id": "para_773"
      },
      {
        "text": "revenue when occupancy was declining, the casino-hotels",
        "paragraph_id": "para_774"
      },
      {
        "text": "overwhelmingly adhered to Cendyn’s price recommendation.",
        "paragraph_id": "para_775"
      },
      {
        "text": "Even more significantly, the CAC alleges that Cendyn’s",
        "paragraph_id": "para_776"
      },
      {
        "text": "former Vice President of Data Science and Analytics (who also",
        "paragraph_id": "para_777"
      },
      {
        "text": "served as Rainmaker’s Vice President of Revenue Analytics)",
        "paragraph_id": "para_778"
      },
      {
        "text": "encouraged casino-hotels to “avoid the infamous ‘race to the",
        "paragraph_id": "para_779"
      },
      {
        "text": "bottom’ when competition inevitably becomes fierce within a",
        "paragraph_id": "para_780"
      },
      {
        "text": "market.”73 Cendyn is also alleged to have “led discussions",
        "paragraph_id": "para_781"
      },
      {
        "text": "involving industry executives and managers, including",
        "paragraph_id": "para_782"
      },
      {
        "text": "personnel from [c]asino-[h]otel Defendants, on the best",
        "paragraph_id": "para_783"
      },
      {
        "text": "practices for maximizing room revenue and profitability while",
        "paragraph_id": "para_784"
      },
      {
        "text": "avoiding price wars, including through use of the Rainmaker",
        "paragraph_id": "para_785"
      },
      {
        "text": "platform.”74 But of course, that is just one way of indicating",
        "paragraph_id": "para_786"
      },
      {
        "text": "that Rainmaker could help the casino-hotel Defendants avoid",
        "paragraph_id": "para_787"
      },
      {
        "text": "having to lower prices to compete with one another. Thus, the",
        "paragraph_id": "para_788"
      },
      {

        "text": "nature of the conspiracy alleged by Plaintiffs.",
        "paragraph_id": "para_795"
      },
      {
        "text": "IV.",
        "paragraph_id": "para_796"
      },
      {
        "text": "A. Circumstantial Evidence of Defendants’",
        "paragraph_id": "para_797"
      },
      {
        "text": "Horizontal Agreement",
        "paragraph_id": "para_798"
      },
      {
        "text": "Plaintiffs’ Complaint relies primarily on circumstantial",
        "paragraph_id": "para_799"
      },
      {
        "text": "evidence to state a claim of collusion. Accordingly, Plaintiffs",
        "paragraph_id": "para_800"
      },
      {
        "text": "must sufficiently allege parallel conduct and plus factors.75",
        "paragraph_id": "para_801"
      },
      {
        "text": "1. Parallel Conduct",
        "paragraph_id": "para_802"
      },
      {
        "text": "Plaintiffs’ two theories of parallel conduct include",
        "paragraph_id": "para_803"
      },
      {
        "text": "allegations of Defendant casino-hotels’ (1) contemporaneous",
        "paragraph_id": "para_804"
      },
      {
        "text": "use of Cendyn’s software and (2) synchronous price and output",
        "paragraph_id": "para_805"
      },
      {
        "text": "movement during the class period. First, Plaintiffs allege that",
        "paragraph_id": "para_806"
      },
      {
        "text": "at some point between 2004 and 2018, each of the casino-hotel",
        "paragraph_id": "para_807"
      },
      {
        "text": "Defendants adopted Rainmaker and “knowing[ly] and",
        "paragraph_id": "para_808"
      },
      {
        "text": "purposeful[ly]” used it to set prices.76 In doing so, the casino-",
        "paragraph_id": "para_809"
      },
      {
        "text": "hotel Defendants allegedly gave Rainmaker not only",
        "paragraph_id": "para_810"
      },
      {
        "text": "information that was generally available to the public but also",
        "paragraph_id": "para_811"
      },
      {
        "text": "proprietary information knowing that competitors would",
        "paragraph_id": "para_812"
      },
      {
        "text": "benefit from it. Cendyn’s dynamic pricing algorithm therefore",
        "paragraph_id": "para_813"
      },
      {
        "text": "functioned as a “shared pricing agent” for defendants and",
        "paragraph_id": "para_814"
      },
      {
        "text": "“generate[d] recommended room rates for each of them using",
        "paragraph_id": "para_815"
      },
      {
        "text": "non-public pricing and occupancy data shared by each casino-",
        "paragraph_id": "para_816"
      },
      {
        "text": "hotel Defendant with the platform in real-time.”77 A key",
        "paragraph_id": "para_817"
      },
      {

        "text": "casino-hotel Defendants were delegating their pricing",
        "paragraph_id": "para_823"
      },
      {
        "text": "decisions to Cendyn by accepting Rainmaker’s pricing",
        "paragraph_id": "para_824"
      },
      {
        "text": "recommendations 90% of the time. This alleged parallel",
        "paragraph_id": "para_825"
      },
      {
        "text": "behavior among casino-hotel Defendants after 2017",
        "paragraph_id": "para_826"
      },
      {
        "text": "purportedly replaced a “historically independent room pricing",
        "paragraph_id": "para_827"
      },
      {
        "text": "system” with an “interdependent, collusive one.”78 The",
        "paragraph_id": "para_828"
      },
      {
        "text": "anticompetitive effects are alleged to be consistently higher",
        "paragraph_id": "para_829"
      },
      {
        "text": "room rates despite declining occupancy, and this resulting",
        "paragraph_id": "para_830"
      },
      {
        "text": "anticompetitive upward pressure on the price of hotel rooms",
        "paragraph_id": "para_831"
      },
      {
        "text": "during the class period is clearly alleged in the CAC. Cendyn",
        "paragraph_id": "para_832"
      },
      {
        "text": "purportedly relied on the resulting higher room rates to show",
        "paragraph_id": "para_833"
      },
      {
        "text": "how its software product kept revenue high despite the",
        "paragraph_id": "para_834"
      },
      {
        "text": "downward pressure that would otherwise have resulted in",
        "paragraph_id": "para_835"
      },
      {
        "text": "lowering room rates.",
        "paragraph_id": "para_836"
      },
      {
        "text": "Plaintiffs also point to the alleged synchrony of “pricing",
        "paragraph_id": "para_837"
      },
      {
        "text": "and occupancy rate movement [among the casino-hotels]",
        "paragraph_id": "para_838"
      },
      {
        "text": "during the class period,” for which the CAC includes numerous",
        "paragraph_id": "para_839"
      },
      {
        "text": "data points in support.79 Relying on data from the New Jersey",
        "paragraph_id": "para_840"
      },
      {
        "text": "Division of Gaming Enforcement, plaintiffs include graphs",
        "paragraph_id": "para_841"
      },
      {
        "text": "indicating that after 2017, the year preceding the class period,",
        "paragraph_id": "para_842"
      },
      {
        "text": "there is sudden upward trend in casino-hotel Defendants’",
        "paragraph_id": "para_843"
      },
      {
        "text": "average daily room rates.80 The graphs indicate that by 2019,",
        "paragraph_id": "para_844"
      },
      {

        "text": "trended upward during this time. See App. 288 (CAC ¶ 245).",
        "paragraph_id": "para_852"
      },
      {
        "text": "29",
        "paragraph_id": "para_853"
      },
      {
        "text": "room rates had increased by an additional $15 to $60.81",
        "paragraph_id": "para_854",
        "court_paragraph": 29
      },
      {
        "text": "Meanwhile, occupancy rates for all the casino-hotel",
        "paragraph_id": "para_855"
      },
      {
        "text": "Defendants (except for Hard Rock) “meaningfully decreased”",
        "paragraph_id": "para_856"
      },
      {
        "text": "during this time.82 The graphs purport to show that this",
        "paragraph_id": "para_857"
      },
      {
        "text": "downward trend in room occupancy began even before the",
        "paragraph_id": "para_858"
      },
      {
        "text": "outlier year of 2020 when the COVID-19 pandemic and",
        "paragraph_id": "para_859"
      },
      {
        "text": "subsequent lockdown forced the temporary closure of many",
        "paragraph_id": "para_860"
      },
      {
        "text": "businesses.83 According to Plaintiffs, “economic principles",
        "paragraph_id": "para_861"
      },
      {
        "text": "should have compelled at least some Casino-Hotel Defendants",
        "paragraph_id": "para_862"
      },
      {
        "text": "to drop room rates in order to compete,” especially in the",
        "paragraph_id": "para_863"
      },
      {
        "text": "casino-hotel business where greater occupancy is likely to",
        "paragraph_id": "para_864"
      },
      {
        "text": "result in greater overall revenue from the additional guests who",
        "paragraph_id": "para_865"
      },
      {
        "text": "would patronize the casino and other entertainment facilities.84",
        "paragraph_id": "para_866"
      },
      {
        "text": "However, according to the CAC, casino-hotel defendants did",
        "paragraph_id": "para_867"
      },
      {
        "text": "not reduce room pricing.",
        "paragraph_id": "para_868"
      },
      {
        "text": "The alleged contemporaneous use of Cendyn’s software",
        "paragraph_id": "para_869"
      },
      {
        "text": "and the synchrony of the casino-hotels’ alleged upward pricing",
        "paragraph_id": "para_870"
      },
      {
        "text": "and downward room occupancy—a large departure from their",
        "paragraph_id": "para_871"
      },
      {
        "text": "traditional practice and under economic circumstances that",
        "paragraph_id": "para_872"
      },
      {
        "text": "should typically lead to competitive price-cutting—are",
        "paragraph_id": "para_873"
      },
      {
        "text": "sufficient to show conscious parallel conduct.85",
        "paragraph_id": "para_874"
      },
      {

      {
        "text": "allegations that the casino-hotels adopted the software",
        "paragraph_id": "para_885"
      },
      {
        "text": "programs at various points within a fourteen-year period. They",

        "text": "“over 50 times longer than the three-month gap in Burtch [v.",

        "text": "Milberg Factors, Inc., 662 F.3d 212, 221 (3d Cir. 2011)],”",
        "paragraph_id": "para_889"
      },
      {
        "text": "which we held to be insufficiently parallel.86 In Burtch, we",
        "paragraph_id": "para_890"
      },
      {
        "text": "found that business decisions made by defendant-financiers at",
        "paragraph_id": "para_891"
      },
      {
        "text": "various points between March 13, 2002, and September 15,",
        "paragraph_id": "para_892"
      },
      {
        "text": "2003, to allegedly end their business relationship with the",
        "paragraph_id": "para_893"
      },
      {
        "text": "plaintiff was not sufficiently parallel to sustain a claim of",
        "paragraph_id": "para_894"
      },
      {
        "text": "conspiracy.87 The conduct in question was the financiers’",
        "paragraph_id": "para_895"
      },
      {
        "text": "decisions regarding the plaintiff’s requests for a credit line. The",
        "paragraph_id": "para_896"
      },
      {
        "text": "Burtch complaint alleged that, during the relevant period, some",
        "paragraph_id": "para_897"
      },
      {
        "text": "defendants declined those credit requests altogether, others",
        "paragraph_id": "para_898"
      },
      {
        "text": "decreased the existing credit line, and others even increased",
        "paragraph_id": "para_899"
      },
      {
        "text": "credit to the plaintiff.88 Thus, each of the defendants there took",
        "paragraph_id": "para_900"
      },
      {
        "text": "very different approaches toward the plaintiff at various points",
        "paragraph_id": "para_901"
      },
      {
        "text": "during the relevant time period.89",
        "paragraph_id": "para_902"
      },
      {
        "text": "Burtch does not support Defendants’ argument, because",
        "paragraph_id": "para_903"
      },
      {
        "text": "here, the alleged relevant conduct is (1) the casino-hotels’",
        "paragraph_id": "para_904"
      },
      {
        "text": "“continu[ous] deployment” of Cendyn’s pricing agent and",
        "paragraph_id": "para_905"
      },
      {
        "text": "continuous delegation of pricing to the software, and (2) the",
        "paragraph_id": "para_906"
      },
      {
        "text": "subsequent, sudden synchronous movement of prices and",
        "paragraph_id": "para_907"
      },
      {
        "text": "output (i.e. hotel room occupancy).90 The CAC does not allege",
        "paragraph_id": "para_908"
      },
      {
        "text": "that the conspiracy began with the adoption of Cendyn’s",
        "paragraph_id": "para_909"
      },

        "text": "alleged conspiracy. 91 Nonetheless, because parallel conduct",

        "text": "alone cannot sustain a claim of horizontal price-fixing, we also",
        "paragraph_id": "para_919"
      },
      {
        "text": "consider Plaintiffs’ allegations of additional “plus” factors.92",
        "paragraph_id": "para_920"
      },
      {
        "text": "2. “Plus” Factors",
        "paragraph_id": "para_921"
      },
      {
        "text": "Plaintiffs allege several other “plus” factors which",
        "paragraph_id": "para_922"
      },
      {
        "text": "further support an inference of collusion. In the CAC, Plaintiffs",
        "paragraph_id": "para_923"
      },
      {
        "text": "allege (1) that Defendants had motive to conspire because of",
        "paragraph_id": "para_924"
      },
      {
        "text": "91 Moreover, it is important to note that because AI-driven",

      },
      {
        "text": "tools can adapt and adjust based on new data, collusive",
        "paragraph_id": "para_926"
      },
      {
        "text": "conduct may occur at later points in time when other",

        "text": "competitors begin to share their non-public commercial data",

      },
      {
        "text": "with the software. Thus, the fact that the casino-hotel",
        "paragraph_id": "para_929"
      },
      {
        "text": "Defendants adopted the software at various times may well be",
        "paragraph_id": "para_930"
      },
      {
        "text": "irrelevant, or relevant only to the weight of the evidence of a",
        "paragraph_id": "para_931"
      },
      {
        "text": "conspiracy, not to its existence. The advancements in",
        "paragraph_id": "para_932"
      },
      {
        "text": "artificial intelligence over the past fourteen years further",
        "paragraph_id": "para_933"
      },
      {
        "text": "support the inference that the opportune time and capability",
        "paragraph_id": "para_934"
      },
      {
        "text": "for collusion could have arisen later in time irrespective of",
        "paragraph_id": "para_935"
      },
      {
        "text": "when the casino-hotel Defendants adopted the software. See",
        "paragraph_id": "para_936"
      },
      {

      {

        "text": "“an extended period of financial hardship in the years",

        "text": "[preceding] the class period;” (2) that the casino-hotel",
        "paragraph_id": "para_948"
      },
      {
        "text": "Defendants’ adoption of Cendyn’s price recommendations",
        "paragraph_id": "para_949"
      },
      {
        "text": "when they could have competed more aggressively on price",
        "paragraph_id": "para_950"
      },
      {
        "text": "was against their economic interests; and (3) non-economic",
        "paragraph_id": "para_951"
      },
      {
        "text": "evidence showing exchange of non-public commercial",
        "paragraph_id": "para_952"
      },
      {
        "text": "information, opportunities to collude, and sudden changes in",
        "paragraph_id": "para_953"
      },
      {
        "text": "longstanding business practices.93",
        "paragraph_id": "para_954"
      },
      {
        "text": "Plaintiffs allege that Defendants’ incentive to conspire",
        "paragraph_id": "para_955"
      },
      {
        "text": "stems from the financial hardship the casino-hotel market",
        "paragraph_id": "para_956"
      },
      {
        "text": "experienced due to high debt levels and depressed cash flows",
        "paragraph_id": "para_957"
      },
      {
        "text": "for many years following the 2008 recession. The CAC",
        "paragraph_id": "para_958"
      },
      {
        "text": "suggests that the structural features of the Atlantic City casino-",
        "paragraph_id": "para_959"
      },
      {
        "text": "hotel market—high barriers to entry, lack of reasonable",
        "paragraph_id": "para_960"
      },
      {
        "text": "substitutes, and the high market concentration—are conducive",
        "paragraph_id": "para_961"
      },
      {
        "text": "to collusion and contributed to the casino-hotels’ motive.",
        "paragraph_id": "para_962"
      },
      {
        "text": "The CAC also alleges that the failure of at least some",
        "paragraph_id": "para_963"
      },
      {
        "text": "Defendants to undercut each other’s prices during the class",
        "paragraph_id": "para_964"
      },
      {
        "text": "period was against their individual economic self-interest in",
        "paragraph_id": "para_965"
      },
      {
        "text": "the absence of collusion.",
        "paragraph_id": "para_966"
      },
      {
        "text": "In Lifewatch Services Inc. v. Highmark, we noted that",
        "paragraph_id": "para_967"
      },
      {
        "text": "when the market in question is alleged to be an oligopoly, that",
        "paragraph_id": "para_968"
      },
      {
        "text": "is, a highly concentrated market comprised of few dominant",
        "paragraph_id": "para_969"
      },
      {
        "text": "firms with fungible products, the first two categories of “plus”",
        "paragraph_id": "para_970"
      },
      {
        "text": "factors, motive to conspire and actions against self-interest,",
        "paragraph_id": "para_971"
      },
      {
        "text": "may simply be attributed to market transparency and not",
        "paragraph_id": "para_972"
      },
      {

      },
      {
        "text": "behavior in oligopolistic markets.95 Sellers in such markets",
        "paragraph_id": "para_977"
      },
      {
        "text": "might be hesitant to undercut each other’s prices as competitors",
        "paragraph_id": "para_978"
      },
      {
        "text": "can easily notice and reciprocate by reducing their own",
        "paragraph_id": "para_979"
      },
      {
        "text": "prices.96 Thus, we said in Valspar Corporation v. E.I. Du Pont",
        "paragraph_id": "para_980"
      },
      {

        "text": "However, “certain types of ‘actions against self[-]interest’ may",
        "paragraph_id": "para_1011"

        "text": "do more than restate economic interdependence” even in",
        "paragraph_id": "para_1012"
      },

        "text": "alleged oligopolistic markets.98 And here, more is alleged.",
        "paragraph_id": "para_1013"
      },
      {
        "text": "In this unique context of casino-hotels, the allegation",
        "paragraph_id": "para_1014"
      },
      {
        "text": "that the casino-hotel Defendants agreed not to compete on",
        "paragraph_id": "para_1015"
      },
      {
        "text": "room rates is significant. As we have discussed, if hotel rooms",
        "paragraph_id": "para_1016"
      },
      {
        "text": "allegedly draw more guests into the casino facilities, casino-",
        "paragraph_id": "para_1017"
      },
      {
        "text": "hotels “have even more incentive than [standard] hotels to fill",
        "paragraph_id": "para_1018"
      },
      {
        "text": "their hotels to capacity” as they may obtain “more income from",
        "paragraph_id": "para_1019"
      },
      {
        "text": "the rental of their rooms . . . [and a] greater amount of revenue",
        "paragraph_id": "para_1020"
      },
      {
        "text": "from their casinos.”99 Taken as true, economic principles state",
        "paragraph_id": "para_1021"
      },
      {
        "text": "that a casino-hotel whose room occupancy is steadily",
        "paragraph_id": "para_1022"
      },
      {
        "text": "decreasing over the years would lower room rates in order to",
        "paragraph_id": "para_1023"
      },

        "text": "compete for more hotel guests who will then be available to",
        "paragraph_id": "para_1024"
      },

      },

        "text": "mutually used the Cendyn pricing software as a means to",
        "paragraph_id": "para_1077"
      },
      {
        "text": "exchange non-public proprietary information and that these",
        "paragraph_id": "para_1078"
      },
      {
        "text": "information exchanges directly impacted their pricing",
        "paragraph_id": "para_1079"
      },
      {
        "text": "decisions. Of course, information exchanges among",
        "paragraph_id": "para_1080"
      },
      {
        "text": "competitors are not per se illegal. They are, however, “a",
        "paragraph_id": "para_1081"
      },
      {
        "text": "facilitating practice that can help support an inference of a",
        "paragraph_id": "para_1082"
      },
      {
        "text": "price-fixing agreement.”103",
        "paragraph_id": "para_1083"
      },
      {
        "text": "The District Court held that “Plaintiffs’ ‘failure to",
        "paragraph_id": "para_1084"
      },

        "text": "plausibly allege the exchange of confidential information from",

        "text": "such allegations in the context of AI-driven dynamic pricing.",

        "text": "105 The CAC alleges that each casino-hotel knew and",
        "paragraph_id": "para_1103"
      },
      {
        "text": "“understood” that “the recommended room rates they were",
        "paragraph_id": "para_1104"
      },
      {
        "text": "receiving from [Cendyn’s software] were based on real-time,",
        "paragraph_id": "para_1105"
      },
      {
        "text": "non-public pricing and occupancy data [that] they and their co-",
        "paragraph_id": "para_1106"
      },
      {
        "text": "defendants all were providing to the platform.”106 It is further",
        "paragraph_id": "para_1107"
      },
      {
        "text": "alleged that they “understood that their co-defendants also",
        "paragraph_id": "para_1108"
      },
      {
        "text": "knew that the recommended room rates they each were",
        "paragraph_id": "para_1109"
      },
      {
        "text": "receiving from [Cendyn’s software] were based on real-time,",
        "paragraph_id": "para_1110"
      },
      {
        "text": "non-public pricing and occupancy data [that] they and their co-",
        "paragraph_id": "para_1111"
      },
      {
        "text": "defendants were all providing to the platform.”107 The CAC",
        "paragraph_id": "para_1112"
      },
      {
        "text": "adequately alleges that the casino-hotels understood that each",
        "paragraph_id": "para_1113"
      },
      {
        "text": "of them was committed to a common plan of setting room rates",
        "paragraph_id": "para_1114"
      },
      {
        "text": "based on the recommended rates received from Cendyn’s",
        "paragraph_id": "para_1115"
      },
      {
        "text": "software, the hub for their collective data, while also “knowing",
        "paragraph_id": "para_1116"
      },
      {
        "text": "that their competitors would not lower their room rates to take",
        "paragraph_id": "para_1117"
      },
      {
        "text": "market share.”108",
        "paragraph_id": "para_1118"
      },
      {
        "text": "The District Court required plaintiffs to plead with more",
        "paragraph_id": "para_1119"
      },
      {
        "text": "specificity how the algorithm functions to facilitate the",
        "paragraph_id": "para_1120"
      },
      {
        "text": "exchange of information.109 This is tantamount to expecting",
        "paragraph_id": "para_1121"
      },
      {
        "text": "Plaintiffs to explain how Cendyn’s proprietary software works",
        "paragraph_id": "para_1122"
      },
      {

      {
        "text": "operations is neither required nor appropriate.110 Thus, at this",
        "paragraph_id": "para_1134"
      },
      {
        "text": "stage, Plaintiffs have sufficiently alleged that a material",
        "paragraph_id": "para_1135"
      },
      {
        "text": "exchange is likely occurring and facilitating collusion.",
        "paragraph_id": "para_1136"
      },
      {
        "text": "Defendants also argue that because each casino-hotel",
        "paragraph_id": "para_1137"
      },
      {
        "text": "retained final pricing authority and could override Cendyn’s",
        "paragraph_id": "para_1138"
      },
      {
        "text": "price recommendation, Plaintiffs have not sufficiently shown",
        "paragraph_id": "para_1139"
      },
      {
        "text": "that the casino-hotels enforced their agreement by delegating",
        "paragraph_id": "para_1140"
      },
      {
        "text": "their respective pricing decisions to Cendyn. However,",
        "paragraph_id": "para_1141"
      },
      {
        "text": "“[p]rices are fixed when they are agreed upon,” irrespective of",
        "paragraph_id": "para_1142"
      },
      {
        "text": "whether conspirators always adhere to them.111 Although an",
        "paragraph_id": "para_1143"
      },
      {
        "text": "antitrust plaintiff’s allegations may well fail if the alleged",
        "paragraph_id": "para_1144"
      },
      {
        "text": "colluders routinely varied from recommended prices, that is",
        "paragraph_id": "para_1145"
      },
      {
        "text": "not what is alleged here. The alleged 90 percent compliance",
        "paragraph_id": "para_1146"
      },
      {
        "text": "rate certainly supports an inference of an agreement between",
        "paragraph_id": "para_1147"
      },
      {
        "text": "casino-hotel defendants to price rooms consistent with",
        "paragraph_id": "para_1148"
      },
      {
        "text": "Cendyn’s suggestions. This is especially true given the alleged",
        "paragraph_id": "para_1149"
      },
      {
        "text": "practical difficulties of deviating from Cendyn’s rates, such as",
        "paragraph_id": "para_1150"
      },
      {
        "text": "requiring “override permissions” accessible to select staff at",
        "paragraph_id": "para_1151"
      },
      {
        "text": "each casino-hotel.112 Moreover, as we have explained,",
        "paragraph_id": "para_1152"
      },
      {
        "text": "dynamic pricing algorithms tend to rely on the collective input",
        "paragraph_id": "para_1153"
      },
      {

        "text": "supports an inference that information exchanges have resulted",

        "text": "in collusive pricing and diminished competition.",
        "paragraph_id": "para_1167"
      },
      {
        "text": "To be clear, we do not make any assumptions or",
        "paragraph_id": "para_1168"
      },
      {
        "text": "conclusions about how Cendyn’s dynamic pricing software",
        "paragraph_id": "para_1169"
      },
      {
        "text": "works. We only conclude that, taking Plaintiffs’ allegations as",
        "paragraph_id": "para_1170"
      },
      {
        "text": "true, the software is, in effect, facilitating collusive conduct by",
        "paragraph_id": "para_1171"
      },
      {
        "text": "receiving from each client non-public commercial information,",
        "paragraph_id": "para_1172"
      },
      {
        "text": "and in return, giving each client the benefit of their",
        "paragraph_id": "para_1173"
      },
      {
        "text": "competitors’ non-public data in formulating a price",
        "paragraph_id": "para_1174"
      },
      {
        "text": "recommendation which Defendants purportedly agreed to",
        "paragraph_id": "para_1175"
      },
      {
        "text": "comply with.113 Such exchanges involving current pricing and",
        "paragraph_id": "para_1176"
      },
      {

        "paragraph_id": "para_1183"
      },
      {

        "paragraph_id": "para_1184"
      },
      {
        "text": "Whether Cendyn’s software operates as a hub, a facilitating",
        "paragraph_id": "para_1185"
      },
      {
        "text": "practice, an intermediary, or a conduit, to the extent it is",
        "paragraph_id": "para_1186"
      },
      {
        "text": "plausibly alleged to be facilitating a horizontal agreement",
        "paragraph_id": "para_1187"
      },
      {
        "text": "among some of its clientele, it crosses the line into",
        "paragraph_id": "para_1188"
      },
      {
        "text": "impermissible conduct per our Sherman Act jurisprudence.",
        "paragraph_id": "para_1189"
      },
      {
        "text": "See also Socony-Vacuum Oil Co., 310 U.S. at 223 (“[M]arket",
        "paragraph_id": "para_1190"
      },
      {
        "text": "manipulation in its various manifestations is implicitly an",
        "paragraph_id": "para_1191"
      },
      {
        "text": "artificial stimulus applied to (or at times a brake on) market",
        "paragraph_id": "para_1192"
      },
      {
        "text": "prices, a force which distorts those prices, a factor which",
        "paragraph_id": "para_1193"
      },
      {

      {
        "text": "occupancy data have great potential for anticompetitive",
        "paragraph_id": "para_1195",
        "court_paragraph": 40
      },
      {
        "text": "collusion.114 While there are independent business reasons to",
        "paragraph_id": "para_1196"
      },
      {
        "text": "use dynamic pricing software, there are rarely legitimate",
        "paragraph_id": "para_1197"
      },
      {
        "text": "business justifications for affording competitors the benefit of",
        "paragraph_id": "para_1198"
      },
      {
        "text": "commercially sensitive proprietary information under the",
        "paragraph_id": "para_1199"
      },
      {
        "text": "circumstances alleged here.",
        "paragraph_id": "para_1200"
      },
      {
        "text": "V.",
        "paragraph_id": "para_1201"
      },
      {
        "text": "In conclusion, we find that the District Court gave",
        "paragraph_id": "para_1202"
      },
      {
        "text": "inadequate consideration to the allegations in the CAC in",
        "paragraph_id": "para_1203"
      },
      {
        "text": "context with the complexity and novelty of dynamic pricing",
        "paragraph_id": "para_1204"
      },
      {
        "text": "algorithms. Nevertheless, the point made by amicus curiae",
        "paragraph_id": "para_1205"
      },
      {
        "text": "International Center for Law & Economics (ICLE) cautioning",
        "paragraph_id": "para_1206"
      },
      {
        "text": "us to avoid criminalizing industry-wide use of the same",
        "paragraph_id": "para_1207"
      },
      {
        "text": "algorithmic software is well taken. They ask, “[i]f multiple gas",
        "paragraph_id": "para_1208"
      },
      {
        "text": "stations use Excel spreadsheets with the same pricing formulas,",
        "paragraph_id": "para_1209"
      },
      {
        "text": "is that an antitrust violation? If retailers use the same market",
        "paragraph_id": "para_1210"
      },
      {
        "text": "research firm’s pricing surveys, have they joined a hub-and-",
        "paragraph_id": "para_1211"
      },
      {
        "text": "prevents the determination of those prices by free competition",
        "paragraph_id": "para_1212"
      },
      {
        "text": "alone.”).",
        "paragraph_id": "para_1213"
      },
      {

      },
      {

      {
        "text": "spoke conspiracy? If manufacturers rely on the same",
        "paragraph_id": "para_1226",
        "court_paragraph": 41
      },
      {
        "text": "forecasting software to set production levels, are they",
        "paragraph_id": "para_1227"
      },
      {
        "text": "unlawfully coordinating output?”115 But these questions",
        "paragraph_id": "para_1228"
      },
      {
        "text": "oversimplify the issues and ignore many of the specific",
        "paragraph_id": "para_1229"
      },
      {
        "text": "allegations in the CAC that are unique to this litigation. The",
        "paragraph_id": "para_1230"
      },
      {
        "text": "allegations here imply more than using identical spreadsheets",
        "paragraph_id": "para_1231"
      },
      {
        "text": "or pricing formulas without colluding on the prices that will be",
        "paragraph_id": "para_1232"
      },
      {
        "text": "charged as a result.",
        "paragraph_id": "para_1233"
      },
      {
        "text": "The CAC involves many more factors that go beyond",
        "paragraph_id": "para_1234"
      },
      {
        "text": "merely using the same independently-operated software to set",
        "paragraph_id": "para_1235"
      },
      {
        "text": "production levels. For example, it alleges an exchange of non-",
        "paragraph_id": "para_1236"
      },
      {
        "text": "public commercial information from the spokes that is",
        "paragraph_id": "para_1237"
      },
      {
        "text": "consolidated in the hub and then shared back to the spokes in",
        "paragraph_id": "para_1238"
      },
      {
        "text": "the form of price recommendations which automatically",
        "paragraph_id": "para_1239"
      },
      {
        "text": "determine room rates under circumstances where each spoke is",
        "paragraph_id": "para_1240"
      },
      {
        "text": "confident that the resulting rate will not be undercut by the",
        "paragraph_id": "para_1241"
      },
      {
        "text": "competing spokes. Far from ICLE’s proffered examples of",
        "paragraph_id": "para_1242"
      },
      {
        "text": "software programs used separately and independently to help",
        "paragraph_id": "para_1243"
      },
      {
        "text": "businesses compete against one another, Rainmaker is alleged",
        "paragraph_id": "para_1244"
      },
      {
        "text": "to operate as a single decision-maker or hub, coordinating",
        "paragraph_id": "para_1245"
      },
      {
        "text": "pricing for a majority of the market.",
        "paragraph_id": "para_1246"
      },
      {
        "text": "Some researchers also caution that existing antitrust",
        "paragraph_id": "para_1247"
      },
      {
        "text": "jurisprudence may not be fully equipped to tackle future",
        "paragraph_id": "para_1248"
      },
      {
        "text": "developments in technology and the new issues that may",
        "paragraph_id": "para_1249"
      },
      {
        "text": "subsequently arise.116 We do not disagree. As we noted at the",
        "paragraph_id": "para_1250"
      },
      {

        "text": "confidential price strategy information from all",

      },
      {
        "text": "the participants in a market, and then tell",

      },
      {
        "text": "everybody how they should price? If it isn’t ok",

      },
      {
        "text": "for a guy named Bob to do it, then it probably",

        "text": "If Cendyn’s algorithm is in effect collecting non-public",
        "paragraph_id": "para_1269"
      },
      {
        "text": "commercial information from defendants and utilizing the",
        "paragraph_id": "para_1270"
      },
      {
        "text": "collective pot of data to “suggest” prices to each, under the",
        "paragraph_id": "para_1271"
      },
      {
        "text": "circumstances alleged here, plaintiffs have surely raised a",
        "paragraph_id": "para_1272"
      },
      {
        "text": "plausible inference of collusion under Section 1 of the Sherman",
        "paragraph_id": "para_1273"
      },
      {
        "text": "Act even though the alleged hub is named “Rainmaker” rather",
        "paragraph_id": "para_1274"
      },
      {
        "text": "community is largely playing catch-up on the technical",
        "paragraph_id": "para_1275"
      },
      {
        "text": "aspects of AI and machine learning.”); Michal S. Gal & Niva",
