      },

        "text": "Employee Retirement Income Security Act of 1974 (ERISA),",

        "text": "and approving the sale for less than Rush thinks the company",
        "paragraph_id": "para_33"
      },
      {
        "text": "was worth. After a three-week bench trial, the district court",
        "paragraph_id": "para_34"
      },
      {
        "text": "found for Defendants on all claims. We affirm.",
        "paragraph_id": "para_35"
      },
      {
        "text": "I.",
        "paragraph_id": "para_36"
      },
      {
        "text": "We recount the facts from the trial record and the parties’",
        "paragraph_id": "para_37"
      },
      {
        "text": "stipulations. We begin with the Segerdahl Corporation’s his-",
        "paragraph_id": "para_38"
      },
      {
        "text": "tory and the structure of its employee stock ownership plan.",
        "paragraph_id": "para_39"
      },
      {
        "text": "We then explain Segerdahl’s search for a buyer, its negotia-",
        "paragraph_id": "para_40"
      },
      {
        "text": "tions with the winning bidder, and the sale’s approval and",
        "paragraph_id": "para_41"
      },
      {
        "text": "closing. We end with the procedural history of this case.",
        "paragraph_id": "para_42"
      },
      {
        "text": "A. Segerdahl and its Employee Stock Ownership Plan",
        "paragraph_id": "para_43"
      },
      {
        "text": "Founded in 1956 and headquartered in Wheeling, Illinois,",
        "paragraph_id": "para_44"
      },
      {
        "text": "the Segerdahl Corporation was a direct-mail printer of adver-",
        "paragraph_id": "para_45"
      },
      {
        "text": "tisements that higher-end retailers mailed to potential cus-",
        "paragraph_id": "para_46"
      },
      {
        "text": "tomers. In 2003, Segerdahl formed an employee stock owner-",
        "paragraph_id": "para_47"
      },
      {
        "text": "ship plan, or ESOP. ESOPs are retirement plans that allow em-",
        "paragraph_id": "para_48"
      },
      {
        "text": "ployees to invest for retirement by obtaining stock in the com-",
        "paragraph_id": "para_49"
      },
      {
        "text": "pany for which they work. The ESOP that Segerdahl formed",
        "paragraph_id": "para_50"
      },
      {
        "text": "soon bought out the company’s remaining shares and became",
        "paragraph_id": "para_51"
      },
      {
        "text": "the company’s sole owner. GreatBanc served as the ESOP’s",
        "paragraph_id": "para_52"
      },
      {
        "text": "trustee and managed its assets.",
        "paragraph_id": "para_53"
      },
      {
        "text": "The ESOP was the brainchild of Defendant Richard",
        "paragraph_id": "para_54"
      },
      {
        "text": "Joutras, who was Segerdahl’s CEO from 2003 to 2015 and the",
        "paragraph_id": "para_55"
      },
      {
        "text": "ESOP’s largest individual shareholder. With the exception of",
        "paragraph_id": "para_56"
      },
      {
        "text": "GreatBanc, all other named Defendants also invested hun-",
        "paragraph_id": "para_57"
      },
      {
        "text": "dreds of thousands of dollars each in the ESOP. These De-",
        "paragraph_id": "para_58"
      },
      {

        "text": "fendants are Mary Lee Schneider, Bob Cronin, Rod Goldstein,",
        "paragraph_id": "para_60"
      },

        "text": "and Peter Mason. Schneider replaced Joutras as Segerdahl’s",
        "paragraph_id": "para_61"
      },
      {
        "text": "CEO in 2015. Cronin, Goldstein, and Mason (the “Outside Di-",
        "paragraph_id": "para_62"
      },
      {
        "text": "rectors”) were retained by Joutras to serve as independent di-",
        "paragraph_id": "para_63"
      },
      {
        "text": "rectors on a new Segerdahl Board, which Joutras formed to",
        "paragraph_id": "para_64"
      },
      {
        "text": "advise on and approve a possible sale of the company. Rush,",
        "paragraph_id": "para_65"
      },
      {
        "text": "who was Segerdahl’s vice president of manufacturing, was",
        "paragraph_id": "para_66"
      },
      {
        "text": "also an ESOP shareholder.",
        "paragraph_id": "para_67"
      },
      {
        "text": "In 2014, Segerdahl adopted a new “stock appreciation",
        "paragraph_id": "para_68"
      },
      {
        "text": "rights” (“SAR”) plan for distributing shares in the ESOP to",
        "paragraph_id": "para_69"
      },
      {
        "text": "senior management. Under the SAR plan, Segerdahl manage-",
        "paragraph_id": "para_70"
      },
      {
        "text": "ment would receive ESOP shares in the form of SAR units that",
        "paragraph_id": "para_71"
      },
      {
        "text": "vested over three years or upon a change of control. Upon ex-",
        "paragraph_id": "para_72"
      },
      {
        "text": "ercising an SAR, the SAR holder received, in cash, the differ-",
        "paragraph_id": "para_73"
      },
      {
        "text": "ence between Segerdahl’s share price at vesting and a “strike",
        "paragraph_id": "para_74"
      },
      {
        "text": "price” equal to Segerdahl’s share price at the time the SARs",
        "paragraph_id": "para_75"
      },
      {
        "text": "were issued. The chart below shows the SARs awarded to the",
        "paragraph_id": "para_76"
      },
      {

        "text": "pay back all the shares’ value at once, Segerdahl opted to pay",

        "text": "only 20% of the shares’ value in cash upfront and cover the",
        "paragraph_id": "para_109"
      },
      {
        "text": "remaining 80% with promissory notes payable in equal in-",
        "paragraph_id": "para_110"

        "text": "B. Segerdahl Searches for a Buyer",

      },
      {
        "text": "By 2015, with its share price continuing to climb, Seger-",
        "paragraph_id": "para_113"
      },
      {
        "text": "dahl was concerned about potential liquidity issues arising",
        "paragraph_id": "para_114"
      },
      {
        "text": "from a large number of share redemptions when Segerdahl",
        "paragraph_id": "para_115"
      },
      {
        "text": "shareholders (over half of whom were over 60) retired and",
        "paragraph_id": "para_116"
      },
      {
        "text": "cashed out their shares. Given this uncertainty, Joutras and",
        "paragraph_id": "para_117"
      },
      {
        "text": "other Segerdahl managers decided to shop for a buyer for the",
        "paragraph_id": "para_118"
      },
      {
        "text": "company.",
        "paragraph_id": "para_119"
      },
      {
        "text": "After an initial round of talks with a private equity firm",
        "paragraph_id": "para_120"
      },
      {
        "text": "fell through, Segerdahl retained JP Morgan Chase investment",
        "paragraph_id": "para_121"
      },
      {
        "text": "banker Jeffrey Vergamini to lead a search for the right buyer.",
        "paragraph_id": "para_122"
      },
      {
        "text": "Vergamini had significant experience selling companies, but",
        "paragraph_id": "para_123"
      },
      {
        "text": "had never sold an ESOP-owned company.",
        "paragraph_id": "para_124"
      },
      {
        "text": "Segerdahl gave Vergamini a number of guidelines for the",
        "paragraph_id": "para_125"
      },
      {
        "text": "search. The most important for our purposes is Segerdahl’s",
        "paragraph_id": "para_126"
      },
      {
        "text": "direction to prioritize “financial buyers” instead of “strategic",
        "paragraph_id": "para_127"
      },
      {

        "text": "long-term operational synergies and integrate them into their",
        "paragraph_id": "para_139"

      {
        "text": "Although the parties disagree about why Segerdahl chose",
        "paragraph_id": "para_141"
      },
      {
        "text": "not to pursue strategic buyers, they do not dispute that JP",
        "paragraph_id": "para_142"
      },
      {
        "text": "Morgan pitched Segerdahl solely to financial buyers. Four",
        "paragraph_id": "para_143"
      },
      {
        "text": "private equity firms made it to the final stage of the bidding",
        "paragraph_id": "para_144"
      },
      {
        "text": "process, during which they submitted an initial, pre-due dili-",
        "paragraph_id": "para_145"
      },
      {

        "text": "gence process. That left ICV and Madison Dearborn as the fi-",
        "paragraph_id": "para_185"
      },
      {
        "text": "nal candidates heading into the late summer of 2016. Dili-",
        "paragraph_id": "para_186"
      },
      {
        "text": "gence got underway on the buyer side. Meanwhile Great-",
        "paragraph_id": "para_187"
      },
      {
        "text": "Banc, the ESOP trustee, retained Stout to prepare a valuation",
        "paragraph_id": "para_188"
      },
      {
        "text": "of Segerdahl in anticipation of the sale and retained the law",
        "paragraph_id": "para_189"
      },
      {
        "text": "firm of Drinker, Biddle, and Reath to advise on the legal side.",
        "paragraph_id": "para_190"
      },
      {
        "text": "C. Negotiations with ICV",
        "paragraph_id": "para_191"
      },
      {
        "text": "Some months into the diligence phase, ICV—which had",
        "paragraph_id": "para_192"
      },
      {
        "text": "been the high bidder in the pre-due diligence round—submit-",
        "paragraph_id": "para_193"
      },
      {
        "text": "ted a revised, lower offer. The offer was $250 million with an",
        "paragraph_id": "para_194"
      },
      {
        "text": "additional $15 million “earnout,” which ICV would pay if",
        "paragraph_id": "para_195"
      },
      {
        "text": "Segerdahl achieved certain year-end performance goals. ICV",
        "paragraph_id": "para_196"
      },
      {
        "text": "partner Lloyd Metz testified that ICV lowered its bid because",
        "paragraph_id": "para_197"
      },
      {

      },
      {
        "text": "it was concerned about Segerdahl’s recent profit projections.",
        "paragraph_id": "para_199"
      },
      {
        "text": "Vergamini similarly testified that ICV lowered its bid because",
        "paragraph_id": "para_200"
      },
      {
        "text": "“the business was underperforming.” For his part, Rush",
        "paragraph_id": "para_201"
      },
      {
        "text": "claims the lowered bid was the result of two missteps by De-",
        "paragraph_id": "para_202"
      },
      {
        "text": "fendants. First was Vergamini’s disclosure, at the Board’s re-",
        "paragraph_id": "para_203"
      },
      {
        "text": "quest, of Stout’s 2015 year-end valuation of Segerdahl to ICV.",
        "paragraph_id": "para_204"
      },
      {
        "text": "The second alleged error was Joutras purportedly revealing",
        "paragraph_id": "para_205"
      },
      {
        "text": "to ICV that ICV was the sole remaining bidder.",
        "paragraph_id": "para_206"
      },
      {
        "text": "Segerdahl’s initial reaction to the lowered offer was not",
        "paragraph_id": "para_207"
      },
      {
        "text": "positive, to say the least. For instance, in one internal email,",
        "paragraph_id": "para_208"
      },
      {
        "text": "Schneider described the revised offer as “the most onerous,",
        "paragraph_id": "para_209"
      },
      {
        "text": "one-sided, insulting proposal possible.” Segerdahl also told",
        "paragraph_id": "para_210"
      },
      {
        "text": "Vergamini to reengage with the other remaining bidder, Mad-",
        "paragraph_id": "para_211"
      },
      {
        "text": "ison Dearborn, but Madison Dearborn withdrew from consid-",
        "paragraph_id": "para_212"
      },
      {
        "text": "eration soon after Vergamini reached out. Other than attempt-",
        "paragraph_id": "para_213"
      },
      {
        "text": "ing to reengage with Madison Dearborn, Segerdahl did not",
        "paragraph_id": "para_214"
      },
      {
        "text": "engage in discussions with any other potential buyer after re-",
        "paragraph_id": "para_215"
      },
      {
        "text": "ceiving ICV’s revised offer.",
        "paragraph_id": "para_216"
      },
      {
        "text": "With ICV now the only remaining bidder, Vergamini fo-",
        "paragraph_id": "para_217"
      },
      {
        "text": "cused on getting ICV to up its bid through hardball negotia-",
        "paragraph_id": "para_218"
      },
      {
        "text": "tion tactics. In Vergamini’s own words, he “insulted” ICV and",
        "paragraph_id": "para_219"
      },
      {
        "text": "“made them feel small” in order to “put them on their back",
        "paragraph_id": "para_220"
      },
      {
        "text": "heels, put them off balance.” As another “tactic,” Vergamini",
        "paragraph_id": "para_221"
      },
      {
        "text": "told Segerdahl to disable ICV’s access to the shared database",
        "paragraph_id": "para_222"
      },
      {
        "text": "ICV was using for diligence. In addition to this aggressive be-",
        "paragraph_id": "para_223"
      },
      {
        "text": "havior, Vergamini emphasized to ICV other sources of value",
        "paragraph_id": "para_224"
      },
      {
        "text": "in the transaction, including a potential tax election that could",
        "paragraph_id": "para_225"
      },
      {
        "text": "lower Segerdahl’s pretax earnings and allow ICV to reduce",
        "paragraph_id": "para_226"
      },
      {
        "text": "income tax payments (the “338(h)(10) election”) and a pend-",
        "paragraph_id": "para_227"
      },
      {
        "text": "ing sale-leaseback of Segerdahl’s manufacturing facilities",
        "paragraph_id": "para_228"
      },
      {
        "text": "that, per Vergamini, would improve Segerdahl’s valuation by",
        "paragraph_id": "para_229"
      },
      {
        "text": "an estimated $10 million.",
        "paragraph_id": "para_230"
      },
      {

        "text": "After weeks of negotiations, on October 14, 2016, ICV sub-",
        "paragraph_id": "para_232"
      },
      {
        "text": "mitted another revised bid to buy Segerdahl for $265 million",
        "paragraph_id": "para_233"
      },
      {
        "text": "in cash with no earnout. Vergamini touted $265 million as an",
        "paragraph_id": "para_234"
      },
      {
        "text": "“absolutely terrific” price “given the fact that the business",
        "paragraph_id": "para_235"
      },
      {
        "text": "was underperforming significantly” compared to the projec-",
        "paragraph_id": "para_236"
      },
      {
        "text": "tions that Segerdahl had shared with buyers at the initial bid-",
        "paragraph_id": "para_237"
      },
      {
        "text": "ding stage. ICV’s internal deliberations also reflect its con-",
        "paragraph_id": "para_238"
      },
      {
        "text": "cerns that it was overpaying at $265 million given Segerdahl’s",
        "paragraph_id": "para_239"
      },
      {
        "text": "declining financial health. According to Metz, $265 million",
        "paragraph_id": "para_240"
      },
      {
        "text": "was ICV’s “absolute[]” ceiling.",
        "paragraph_id": "para_241"
      },
      {
        "text": "D. GreatBanc Approves the Sale",
        "paragraph_id": "para_242"
      },
      {
        "text": "As the ESOP trustee, GreatBanc had ultimate discretion to",
        "paragraph_id": "para_243"
      },
      {
        "text": "approve or reject ICV’s $265 million offer. To inform its deci-",
        "paragraph_id": "para_244"
      },
      {
        "text": "sion, GreatBanc solicited the Outside Directors’ views on the",
        "paragraph_id": "para_245"
      },
      {
        "text": "transaction’s fairness. GreatBanc also tasked Stout and",
        "paragraph_id": "para_246"
      },
      {
        "text": "Drinker, the accounting and legal advisors for GreatBanc in",
        "paragraph_id": "para_247"
      },
      {
        "text": "its capacity as ESOP trustee, with evaluating the sale.",
        "paragraph_id": "para_248"
      },
      {
        "text": "The Outside Directors recommended that GreatBanc ap-",
        "paragraph_id": "para_249"
      },
      {
        "text": "prove the sale to ICV at $265 million. In deciding whether to",
        "paragraph_id": "para_250"
      },
      {
        "text": "recommend approving the sale, the Outside Directors consid-",
        "paragraph_id": "para_251"
      },
      {
        "text": "ered Segerdahl’s poor financial performance against its pro-",
        "paragraph_id": "para_252"
      },
      {
        "text": "jections in the second half of 2016; the ESOP’s prior valuations",
        "paragraph_id": "para_253"
      },
      {
        "text": "and projected future valuation; the fact that ICV was paying",
        "paragraph_id": "para_254"
      },
      {
        "text": "a higher EBITDA1 multiple than comparable transactions;",
        "paragraph_id": "para_255"
      },
      {
        "text": "1 EBITDA means Earnings Before Interest, Taxes, Depreciation, and",
        "paragraph_id": "para_256"
      },
      {

        "text": "“This metric is often used to evaluate a company’s operating performance",

        "text": "independent of potentially ‘noisy’ factors that can vary from company to",

        "text": "company based on existing capital structure, tax issues, and the like.” Id.",

        "text": "Financial analysts often value private companies by multiplying their",
        "paragraph_id": "para_261"

        "text": "EBITDA by a factor called an “EBITDA multiple,” which is “determined",
        "paragraph_id": "para_262"
      },
      {
        "text": "by a combination of precedent transaction analysis, examining current",
        "paragraph_id": "para_263"
      },
      {

        "text": "and Segerdahl’s uncertain future if it decided not to consum-",

      },
      {
        "text": "mate the transaction. The Outside Directors also weighed",
        "paragraph_id": "para_266"
      },
      {
        "text": "whether to seek out competing bids from two strategic buy-",
        "paragraph_id": "para_267"
      },
      {
        "text": "ers, RR Donnelley and Quad/Graphics, but decided that do-",
        "paragraph_id": "para_268"
      },
      {
        "text": "ing so was not in the ESOP’s best interest.",
        "paragraph_id": "para_269"
      },
      {
        "text": "Stout conducted a “fairness analysis” that valued Seger-",
        "paragraph_id": "para_270"
      },
      {
        "text": "dahl at $249 to $293 million. The fairness analysis did not ex-",
        "paragraph_id": "para_271"
      },
      {
        "text": "pressly reference the 338(h)(10) election, the sale-leaseback, or",
        "paragraph_id": "para_272"
      },
      {
        "text": "the expected value of a settlement Segerdahl expected to re-",
        "paragraph_id": "para_273"
      },
      {
        "text": "ceive in litigation over fraud by a temporary staffing agency",
        "paragraph_id": "para_274"
      },
      {
        "text": "at one of Segerdahl’s facilities (which the parties refer to as",
        "paragraph_id": "para_275"
      },
      {
        "text": "the “Wolf Road fraud”). Stout nevertheless concluded the",
        "paragraph_id": "para_276"
      },
      {
        "text": "$265 million proposed sale price was adequate consideration",
        "paragraph_id": "para_277"
      },
      {
        "text": "for the ESOP because it represented “not less than Fair Market",
        "paragraph_id": "para_278"
      },
      {
        "text": "Value” for the ESOP’s shares.",

      {
        "text": "The Drinker due diligence report considered the myriad",
        "paragraph_id": "para_280"
      },
      {
        "text": "legal issues relevant to the proposed sale. These included ex-",
        "paragraph_id": "para_281"
      },
      {
        "text": "ecutive employment and transaction bonus agreements,",
        "paragraph_id": "para_282"
      },
      {
        "text": "change of control payments, and potential claims such as for",
        "paragraph_id": "para_283"
      },
      {
        "text": "the Wolf Road fraud. The Drinker attorney who prepared the",
        "paragraph_id": "para_284"
      },
      {
        "text": "diligence report, David Rubenstein, testified that Drinker con-",
        "paragraph_id": "para_285"
      },
      {
        "text": "sidered the 338(h)(10) election but did not view it as “mate-",
        "paragraph_id": "para_286"

        "text": "rial” because Drinker doubted whether a buyer would pay",
        "paragraph_id": "para_287"

        "text": "Staruck, who oversaw the trusteeship of Segerdahl, attended",
        "paragraph_id": "para_303"
      },
      {
        "text": "at least two meetings with management and Vergamini, dur-",
        "paragraph_id": "para_304"
      },
      {
        "text": "ing which the group discussed the value of the 338(h)(10) elec-",
        "paragraph_id": "para_305"
      },
      {
        "text": "tion, the sale-leaseback, and the potential Wolf Road fraud",
        "paragraph_id": "para_306"
      },
      {
        "text": "settlement.",
        "paragraph_id": "para_307"
      },
      {
        "text": "The GreatBanc Fiduciary Committee (which signed off on",
        "paragraph_id": "para_308"
      },
      {
        "text": "all GreatBanc trustee decisions) approved the transaction dur-",
        "paragraph_id": "para_309"
      },
      {
        "text": "ing a meeting on November 29, 2016. Staruck’s notes from the",
        "paragraph_id": "para_310"
      },
      {
        "text": "meeting explained that ICV’s revised bid of $265 million was",
        "paragraph_id": "para_311"
      },
      {
        "text": "reasonable in light of negative financial projections Segerdahl",
        "paragraph_id": "para_312"
      },
      {
        "text": "had released over the prior months. Staruck’s notes also re-",
        "paragraph_id": "para_313"
      },
      {
        "text": "flected that Stout had not included either the sale-leaseback",
        "paragraph_id": "para_314"
      },
      {
        "text": "or the 338(h)(10) election in the valuation because there were",
        "paragraph_id": "para_315"
      },
      {
        "text": "too many outstanding variables for either to be a net value",
        "paragraph_id": "para_316"
      },
      {
        "text": "add.",
        "paragraph_id": "para_317"
      },
      {
        "text": "The November 29 meeting minutes reflect that Staruck",
        "paragraph_id": "para_318"
      },
      {
        "text": "was concerned about the opportunity cost of not accepting",
        "paragraph_id": "para_319"
      },
      {
        "text": "ICV’s offer—namely, the prospect of liquidity issues arising",
        "paragraph_id": "para_320"
      },
      {
        "text": "from stock repurchases and how that might hamper Seger-",
        "paragraph_id": "para_321"
      },
      {
        "text": "dahl’s growth strategy. The Committee also discussed the",
        "paragraph_id": "para_322"
      },
      {
        "text": "post-sale compensation structure for management, including",
        "paragraph_id": "para_323"
      },
      {
        "text": "Schneider, and Stout’s representative Andrew Ward opined",
        "paragraph_id": "para_324"
      },
      {
        "text": "that the post-sale compensation arrangements were “rela-",
        "paragraph_id": "para_325"
      },
      {
        "text": "tively standard in a private equity purchase deal.”",
        "paragraph_id": "para_326"
      },
      {
        "text": "No. 25-1736 11",

      },
      {
        "text": "GreatBanc memorialized its approval of the transaction in",
        "paragraph_id": "para_328"
      },
      {
        "text": "a Fiduciary Process Compliance Report (“GreatBanc Re-",
        "paragraph_id": "para_329"
      },
      {
        "text": "port”), which Staruck prepared. The report explained that the",
        "paragraph_id": "para_330"
      },
      {
        "text": "transaction was prudent because Segerdahl’s forecasts were",
        "paragraph_id": "para_331"
      },
      {
        "text": "on a downturn and Segerdahl faced considerable repurchase",
        "paragraph_id": "para_332"
      },
      {
        "text": "liability in the coming years. It also emphasized that the thor-",
        "paragraph_id": "para_333"
      },
      {
        "text": "ough sales process reflected Segerdahl’s market value.",
        "paragraph_id": "para_334"
      },
      {
        "text": "The deal closed on December 7, 2016. Shortly before the",
        "paragraph_id": "para_335"
      },
      {
        "text": "closing, Vergamini and Segerdahl’s management—including",
        "paragraph_id": "para_336"
      },
      {
        "text": "Rush—met to discuss the pending sale. Rush testified that",
        "paragraph_id": "para_337"
      },
      {
        "text": "during the meeting, Vergamini told attendees that, because",
        "paragraph_id": "para_338"
      },
      {
        "text": "he knew the CEO of a strategic buyer, Quad/Graphics, he",
        "paragraph_id": "para_339"
      },
      {
        "text": "“could have sold [Segerdahl] to [Quad/Graphics] for $320",
        "paragraph_id": "para_340"
      },
      {
        "text": "million,” and wrote “320 M” on a whiteboard. Every other",
        "paragraph_id": "para_341"
      },
      {
        "text": "witness who was at the meeting denied Vergamini said this,",
        "paragraph_id": "para_342"
      },
      {
        "text": "including Vergamini himself.",
        "paragraph_id": "para_343"
      },
      {
        "text": "Upon closing, Segerdahl management received the cash",
        "paragraph_id": "para_344"
      },
      {
        "text": "value of their SARs, which was equivalent to the $13,072 share",
        "paragraph_id": "para_345"
      },
      {
        "text": "price at which ICV bought Segerdahl minus the strike price at",
        "paragraph_id": "para_346"
      },
      {
        "text": "which the shares were issued. Joutras received $7,236,568;",
        "paragraph_id": "para_347"
      },
      {
        "text": "Schneider received $4,223,328; Rush received $1,809,142; and",
        "paragraph_id": "para_348"
      },
      {
        "text": "the Outside Directors each received $735,226. Schneider",
        "paragraph_id": "para_349"
      },
      {
        "text": "rolled over approximately $1.2 million of the proceeds from",
        "paragraph_id": "para_350"
      },
      {
        "text": "her SARs into shares in the post-sale company and received",
        "paragraph_id": "para_351"
      },
      {
        "text": "other “incentive” shares that were worth approximately",
        "paragraph_id": "para_352"
      },
      {
        "text": "$573,000 when she left the company in 2018.",
        "paragraph_id": "para_353"
      },
      {
        "text": "E. Procedural History",
        "paragraph_id": "para_354"
      },
      {
        "text": "Dissatisfied with the sale price, Rush sued GreatBanc,",
        "paragraph_id": "para_355"
      },
      {
        "text": "Joutras, Schneider, and the Outside Directors for approving",
        "paragraph_id": "para_356"
      },
      {
        "text": "the sale in violation of their fiduciary duties to the ESOP. The",
        "paragraph_id": "para_357"
      },
      {
        "text": "district court certified a class comprising between 400 and 500",
        "paragraph_id": "para_358"
      },
      {
        "text": "12 No. 25-1736",
        "paragraph_id": "para_359"
      },
      {
        "text": "ESOP shareholders, 2021 WL 2453070 (N.D. Ill. June 16, 2021),",
        "paragraph_id": "para_360"
      },
      {
        "text": "and denied in large part Defendants’ summary judgment mo-",
        "paragraph_id": "para_361"
      },
      {
        "text": "tions, 2022 WL 17740418 (N.D. Ill. Dec. 16, 2022). The case cul-",
        "paragraph_id": "para_362"
      },
      {
        "text": "minated in a three-week bench trial that featured testimony",
        "paragraph_id": "para_363"
      },
      {
        "text": "from thirteen fact witnesses and four experts. The court also",
        "paragraph_id": "para_364"
      },
      {
        "text": "received approximately 500 pages of post-trial submissions.",
        "paragraph_id": "para_365"
      },
      {
        "text": "Following trial, the district court issued a comprehensive",
        "paragraph_id": "para_366"
      },
      {
        "text": "written opinion awarding judgment to Defendants on all",
        "paragraph_id": "para_367"
      },
      {
        "text": "counts. Put simply, the district court found the facts did not",
        "paragraph_id": "para_368"
      },
      {
        "text": "support Rush’s theory that Defendants purposefully de-",
        "paragraph_id": "para_369"
      },
      {
        "text": "pressed the sale price to benefit themselves at the expense of",
        "paragraph_id": "para_370"
      },
      {
        "text": "the class and in violation of their ERISA-imposed fiduciary",
        "paragraph_id": "para_371"
      },
      {
        "text": "duties. To the contrary, the district court found that Segerdahl",
        "paragraph_id": "para_372"
      },
      {
        "text": "and JP Morgan obtained the best price they could for Seger-",
        "paragraph_id": "para_373"
      },
      {
        "text": "dahl given its declining performance, and GreatBanc fulfilled",
        "paragraph_id": "para_374"
      },
      {
        "text": "its fiduciary obligations in approving the sale. The district",
        "paragraph_id": "para_375"
      },
      {
        "text": "court also concluded that Rush had not proven that any De-",
        "paragraph_id": "para_376"
      },
      {
        "text": "fendant’s conflict of interest tainted the transaction in viola-",
        "paragraph_id": "para_377"
      },
      {
        "text": "tion of ERISA’s prohibited-transaction rules. Rush challenges",
        "paragraph_id": "para_378"
      },
      {
        "text": "these findings on appeal.",
        "paragraph_id": "para_379"
      },
      {
        "text": "II.",
        "paragraph_id": "para_380"
      },
      {
        "text": "On appeal of a bench trial ruling, we review a district",
        "paragraph_id": "para_381"
      },
      {
        "text": "court’s legal conclusions de novo, and its factual findings for",
        "paragraph_id": "para_382"
      },
      {
        "text": "clear error. PNC Bank, Nat’l Ass’n v. Boytor, 109 F.4th 495, 503",
        "paragraph_id": "para_383"
      },
      {
        "text": "(7th Cir. 2024). We defer to the district court’s factual findings",
        "paragraph_id": "para_384"
      },
      {
        "text": "unless they are “illogical or implausible” or “lack support in",
        "paragraph_id": "para_385"
      },
      {
        "text": "inferences that may be drawn from the facts in the record.”",
        "paragraph_id": "para_386"
      },
      {
        "text": "Estrada-Martinez v. Lynch, 809 F.3d 886, 895 (7th Cir. 2015) (ci-",
        "paragraph_id": "para_387"
      },
      {
        "text": "tation modified) (quoting Anderson v. Bessemer City, 470 U.S.",
        "paragraph_id": "para_388"
      },
      {
        "text": "564, 577 (1985)). Put differently, “our task on appeal is not to",
        "paragraph_id": "para_389"
      },
      {
        "text": "see whether there is any evidence that might undercut the dis-",
        "paragraph_id": "para_390"
      },
      {

      {
        "text": "trict court’s finding; it is to see whether there is any evidence",
        "paragraph_id": "para_392"
      },
      {
        "text": "in the record to support the finding.” Baz v. Patterson, 100",
        "paragraph_id": "para_393"
      },
      {
        "text": "F.4th 854, 870 n.5 (7th Cir. 2024) (citation modified).",
        "paragraph_id": "para_394"
      },
      {
        "text": "III.",
        "paragraph_id": "para_395"
      },
      {
        "text": "Rush’s challenges to the district court’s bench trial ruling",
        "paragraph_id": "para_396"
      },
      {
        "text": "fall into four categories: (1) a challenge to the district court’s",
        "paragraph_id": "para_397"
      },
      {
        "text": "determination that the individual Defendants (Joutras,",
        "paragraph_id": "para_398"
      },
      {
        "text": "Schneider, and the Outside Directors) were not fiduciaries of",
        "paragraph_id": "para_399"
      },
      {
        "text": "the ESOP and so could not be liable for breaching any fiduci-",
        "paragraph_id": "para_400"
      },
      {
        "text": "ary duties; (2) challenges to the district court’s findings that",
        "paragraph_id": "para_401"
      },
      {
        "text": "Defendants did not breach any fiduciary duties they may",
        "paragraph_id": "para_402"
      },
      {
        "text": "have owed to the ESOP; (3) challenges to the district court’s",
        "paragraph_id": "para_403"
      },
      {
        "text": "rulings that no Defendant possessed a conflict of interest that",
        "paragraph_id": "para_404"
      },
      {
        "text": "would render the sale a “prohibited transaction” under",
        "paragraph_id": "para_405"
      },
      {
        "text": "ERISA, see 29 U.S.C. § 1106; and (4) challenges to the district",
        "paragraph_id": "para_406"
      },
      {
        "text": "court’s ruling that Rush failed to prove damages.",
        "paragraph_id": "para_407"
      },
      {
        "text": "We need not address Rush’s first argument challenging",
        "paragraph_id": "para_408"
      },
      {
        "text": "the district court’s ruling that the individual Defendants were",
        "paragraph_id": "para_409"
      },
      {
        "text": "not fiduciaries of the ESOP. Even assuming that all Defend-",
        "paragraph_id": "para_410"
      },
      {
        "text": "ants were fiduciaries, we see no clear error in the district",
        "paragraph_id": "para_411"
      },
      {
        "text": "court’s determination that Rush failed to prove that any De-",
        "paragraph_id": "para_412"
      },
      {
        "text": "fendant breached their fiduciary duty to the ESOP. We also",
        "paragraph_id": "para_413"
      },
      {
        "text": "see no clear error in the district court’s finding that no Defend-",
        "paragraph_id": "para_414"
      },
      {
        "text": "ant violated ERISA’s prohibited-transaction rules. Finally, we",
        "paragraph_id": "para_415"
      },
      {
        "text": "see no clear error in the district court’s conclusion that Rush",
        "paragraph_id": "para_416"
      },
      {
        "text": "failed to prove damages.",
        "paragraph_id": "para_417"
      },
      {
        "text": "A. Breach of Fiduciary Duties",
        "paragraph_id": "para_418"
      },
      {
        "text": "ERISA imposes two relevant types of fiduciary duties on",
        "paragraph_id": "para_419"
      },
      {
        "text": "trustees and managers of ESOP assets: the duty of prudence",
        "paragraph_id": "para_420"
      },
      {
        "text": "and the duty of loyalty. Appvion, Inc. Ret. Sav. & Emp. Stock",
        "paragraph_id": "para_421"
      },
      {
        "text": "Ownership Plan by & through Lyon v. Buth, 99 F.4th 928, 943 (7th",
        "paragraph_id": "para_422"
      },
      {
        "text": "14 No. 25-1736",
        "paragraph_id": "para_423"
      },
      {
        "text": "Cir. 2024). The duty of prudence requires a fiduciary to man-",
        "paragraph_id": "para_424"
      },
      {
        "text": "age plan assets “with the care, skill, prudence, and diligence",
        "paragraph_id": "para_425"
      },
      {
        "text": "under the circumstances … that a prudent man acting in a like",
        "paragraph_id": "para_426"
      },
      {
        "text": "capacity and familiar with such matters would use.” 29 U.S.C.",
        "paragraph_id": "para_427"
      },
      {
        "text": "§ 1104(a)(1)(B). The duty of loyalty requires plan fiduciaries",
        "paragraph_id": "para_428"
      },
      {
        "text": "to discharge their duties “solely in the interest of the plan’s",
        "paragraph_id": "para_429"
      },
      {
        "text": "participants and beneficiaries” and to “deal fairly and hon-",
        "paragraph_id": "para_430"
      },
      {
        "text": "estly with beneficiaries … so as to ensure that a plan receives",
        "paragraph_id": "para_431"
      },
      {
        "text": "all funds to which it is entitled.” Cunningham v. Cornell Univ.,",
        "paragraph_id": "para_432"
      },
      {
        "text": "604 U.S. 693, 696 (2025) (citation modified); see also 29 U.S.C.",
        "paragraph_id": "para_433"
      },
      {
        "text": "§ 1104(a)(1)(A).",
        "paragraph_id": "para_434"
      },
      {
        "text": "Rush contends the district court legally and factually erred",
        "paragraph_id": "para_435"
      },
      {
        "text": "in holding that none of the Defendants violated their fiduci-",
        "paragraph_id": "para_436"
      },
      {
        "text": "ary duties. He argues the district court committed legal error",
        "paragraph_id": "para_437"
      },
      {
        "text": "by applying an overly deferential standard of review to De-",
        "paragraph_id": "para_438"
      },
      {
        "text": "fendants’ decisions. And Rush claims that the district court",
        "paragraph_id": "para_439"
      },
      {
        "text": "factually erred in finding none of the Defendants’ conduct",
        "paragraph_id": "para_440"
      },
      {
        "text": "amounted to breach. We take these arguments in turn.",
        "paragraph_id": "para_441"
      },
      {
        "text": "1. The District Court’s Standard of Review",
        "paragraph_id": "para_442"
      },
      {
        "text": "Rush asserts the district court erroneously applied an",
        "paragraph_id": "para_443"
      },
      {
        "text": "abuse-of-discretion standard of review to Defendants’ deci-",
        "paragraph_id": "para_444"
      },
      {
        "text": "sions regarding the sale. In Rush’s view, the district court read",
        "paragraph_id": "para_445"
      },
      {
        "text": "too much into our decision in Armstrong v. LaSalle Bank Na-",
        "paragraph_id": "para_446"
      },
      {
        "text": "tional Ass’n, where we stated that “[i]n general, judicial review",
        "paragraph_id": "para_447"
      },
      {
        "text": "of the decisions of an ERISA trustee as of other trustees is def-",
        "paragraph_id": "para_448"
      },
      {
        "text": "erential unless there is a conflict of interest” and adopted an",
        "paragraph_id": "para_449"
      },
      {
        "text": "abuse-of-discretion standard for such review. 446 F.3d 728,",
        "paragraph_id": "para_450"
      },
      {
        "text": "732–33 (7th Cir. 2006). Rush maintains the abuse-of-discretion",
        "paragraph_id": "para_451"
      },
      {
        "text": "standard adopted in Armstrong is limited to review of a fidu-",
        "paragraph_id": "para_452"
      },
      {
        "text": "ciary’s decisions that involve balancing the interests of differ-",
        "paragraph_id": "para_453"
      },
      {
        "text": "ent groups of plan participants against each other. Rush ob-",
        "paragraph_id": "para_454"
      },
      {
        "text": "No. 25-1736 15",
        "paragraph_id": "para_455"
      },
      {
        "text": "serves that every ESOP shareholder had the same interest in",
        "paragraph_id": "para_456"
      },
      {
        "text": "obtaining the highest possible sale price for the company. So,",
        "paragraph_id": "para_457"
      },
      {
        "text": "Rush reasons, Armstrong’s deferential standard does not ap-",
        "paragraph_id": "para_458"
      },
      {
        "text": "ply to this case, and we should conduct a searching, “plenary”",
        "paragraph_id": "para_459"
      },
      {
        "text": "review of Defendants’ conduct.",
        "paragraph_id": "para_460"
      },
      {
        "text": "We disagree. Armstrong means what it says: an ERISA fi-",
        "paragraph_id": "para_461"
      },
      {
        "text": "duciary’s decisions should receive judicial deference where",
        "paragraph_id": "para_462"
      },
      {
        "text": "there is no conflict of interest. The Supreme Court has ob-",
        "paragraph_id": "para_463"
      },
      {
        "text": "served that “principles of trust law” inform the standard of",
        "paragraph_id": "para_464"
      },
      {
        "text": "review for ERISA fiduciaries’ decisions. Firestone Tire & Rub-",
        "paragraph_id": "para_465"
      },
      {
        "text": "ber Co. v. Bruch, 489 U.S. 101, 111 (1989) (citing Cent. States, Se.",
        "paragraph_id": "para_466"
      },
      {
        "text": "& Sw. Areas Pension Fund v. Cent. Transp., Inc., 472 U.S. 559,",
        "paragraph_id": "para_467"
      },
      {
        "text": "570 (1985)). Well-settled trust law principles instruct that a",
        "paragraph_id": "para_468"
      },
      {
        "text": "trustee’s discretionary decisions involving the administration",
        "paragraph_id": "para_469"
      },
      {
        "text": "and management of plan assets receive deferential review. See",
        "paragraph_id": "para_470"
      },
      {
        "text": "Restatement (Third) of Trusts § 87 cmt. b (A.L.I. 2007); Bruch, 489",
        "paragraph_id": "para_471"
      },
      {
        "text": "U.S. at 111 (“Trust principles make a deferential standard of",
        "paragraph_id": "para_472"
      },
      {
        "text": "review appropriate when a trustee exercises discretionary",
        "paragraph_id": "para_473"
      },
      {
        "text": "powers.”); Morton v. Smith, 91 F.3d 867, 870 (7th Cir. 1996) (ex-",
        "paragraph_id": "para_474"
      },
      {
        "text": "plaining that a trustee’s discretionary decisions are reviewed",
        "paragraph_id": "para_475"
      },
      {
        "text": "for abuse of discretion). And the ESOP plan document itself",
        "paragraph_id": "para_476"
      },
      {
        "text": "states that the ESOP administrator has “sole and absolute dis-",
        "paragraph_id": "para_477"
      },
      {
        "text": "cretion” in discharging its duties under the plan. See Johnson",
        "paragraph_id": "para_478"
      },
      {
        "text": "v. Allsteel, Inc., 259 F.3d 885, 890 (7th Cir. 2001) (judicial review",
        "paragraph_id": "para_479"
      },
      {
        "text": "of fiduciary’s decisions is deferential where plan itself vests",
        "paragraph_id": "para_480"
      },
      {
        "text": "fiduciaries with discretion). Accordingly, the district court ap-",
        "paragraph_id": "para_481"
      },
      {
        "text": "plied the correct standard of review to Defendants’ fiduciary",
        "paragraph_id": "para_482"
      },
      {
        "text": "decision making.",
        "paragraph_id": "para_483"
      },
      {
        "text": "16 No. 25-1736",
        "paragraph_id": "para_484"
      },
      {
        "text": "2. Alleged Fiduciary Breaches",
        "paragraph_id": "para_485"
      },
      {
        "text": "We turn to the district court’s conclusion that no Defend-",
        "paragraph_id": "para_486"
      },
      {
        "text": "ant breached their fiduciary duties to the ESOP. We find no",
        "paragraph_id": "para_487"
      },
      {
        "text": "error, much less clear error.",
        "paragraph_id": "para_488"
      },
      {
        "text": "We emphasize again that our task is not to reweigh the",
        "paragraph_id": "para_489"
      },
      {
        "text": "evidence or find the facts anew. On clear error review, we",
        "paragraph_id": "para_490"
      },
      {
        "text": "only assess whether the district court’s findings have any sup-",
        "paragraph_id": "para_491"
      },
      {
        "text": "port in the record. If so, we must affirm even if we might have",
        "paragraph_id": "para_492"
      },
      {
        "text": "come to a different conclusion were we sitting as the trier of",
        "paragraph_id": "para_493"
      },
      {
        "text": "fact. See Anderson, 470 U.S. at 573–74. “A finding that is plau-",
        "paragraph_id": "para_494"
      },
      {
        "text": "sible in light of the full record—even if another is equally or",
        "paragraph_id": "para_495"
      },
      {
        "text": "more so—must govern.” Cooper v. Harris, 581 U.S. 285, 293",
        "paragraph_id": "para_496"
      },
      {
        "text": "(2017) (citation modified).",
        "paragraph_id": "para_497"
      },
      {
        "text": "Rush does not clear this high hurdle with respect to any of",
        "paragraph_id": "para_498"
      },
      {
        "text": "his fiduciary breach claims. Rush argues that Defendants",
        "paragraph_id": "para_499"
      },
      {
        "text": "breached their fiduciary duties to the ESOP in five ways: (1)",
        "paragraph_id": "para_500"
      },
      {
        "text": "by marketing Segerdahl to financial buyers to the exclusion of",
        "paragraph_id": "para_501"
      },
      {
        "text": "strategic buyers; (2) by resuming negotiations with ICV after",
        "paragraph_id": "para_502"
      },
      {
        "text": "ICV lowered its offer; (3) by allegedly disclosing the 2015 val-",
        "paragraph_id": "para_503"
      },
      {
        "text": "uation of Segerdahl to ICV during the diligence process; (4)",
        "paragraph_id": "para_504"
      },
      {
        "text": "by allegedly disclosing to ICV that it was the only bidder; and",
        "paragraph_id": "para_505"
      },
      {
        "text": "(5) as to GreatBanc, by failing to fulfill its fiduciary obligations",
        "paragraph_id": "para_506"
      },
      {
        "text": "to supervise the negotiations and adequately scrutinize the",
        "paragraph_id": "para_507"
      },
      {
        "text": "deal’s fairness.2 With each argument, Rush disagrees with the",
        "paragraph_id": "para_508"
      },
      {

      },
      {
        "text": "R.R. Maint. & Indus. Health & Welfare Fund v. Mahoney, 144 F.4th 957, 964",
        "paragraph_id": "para_510"
      },
      {
        "text": "(7th Cir. 2025) (“Perfunctory and undeveloped arguments are waived ….”",

        "text": "not point to any clear error in the district court’s findings.",

        "text": "a. Excluding strategic buyers",
        "paragraph_id": "para_516"
      },
      {
        "text": "The parties agree that the Board told JP Morgan to priori-",
        "paragraph_id": "para_517"
      },
      {
        "text": "tize financial buyers over strategic buyers in the initial search.",
        "paragraph_id": "para_518"
      },
      {
        "text": "The parties disagree about why. As Defendants tell it, only",
        "paragraph_id": "para_519"
      },
      {
        "text": "two competitors in the direct mail printing industry,",
        "paragraph_id": "para_520"
      },
      {
        "text": "Quad/Graphics and RR Donnelley, were plausible candi-",
        "paragraph_id": "para_521"
      },
      {
        "text": "dates, and Segerdahl believed neither company was in a po-",
        "paragraph_id": "para_522"
      },
      {
        "text": "sition to consummate such a large transaction. RR Donnelley",
        "paragraph_id": "para_523"
      },
      {
        "text": "was in the process of splitting into three new public compa-",
        "paragraph_id": "para_524"
      },
      {
        "text": "nies and had recently purchased another direct-mail com-",
        "paragraph_id": "para_525"
      },
      {
        "text": "pany. And Segerdahl believed Quad/Graphics was struggling",
        "paragraph_id": "para_526"
      },
      {
        "text": "financially and would not be in financial shape to make a",
        "paragraph_id": "para_527"
      },
      {
        "text": "large acquisition. Finally, Segerdahl noted that the transaction",
        "paragraph_id": "para_528"
      },
      {
        "text": "might not be enticing to Quad/Graphics or RR Donnelley be-",
        "paragraph_id": "para_529"
      },
      {
        "text": "cause those companies were operating at EBITDA multiples",
        "paragraph_id": "para_530"
      },
      {
        "text": "lower than Segerdahl’s. As Vergamini testified, publicly",
        "paragraph_id": "para_531"
      },
      {
        "text": "traded companies typically do not buy assets with EBITDA",
        "paragraph_id": "para_532"
      },
      {
        "text": "multiples higher than their own because the market typically",
        "paragraph_id": "para_533"
      },
      {
        "text": "values the earnings of the acquired asset at the acquirer’s",
        "paragraph_id": "para_534"
      },
      {
        "text": "lower multiple, which diminishes the value of paying a",
        "paragraph_id": "para_535"
      },
      {
        "text": "higher price for a better-performing asset.",
        "paragraph_id": "para_536"
      },
      {
        "text": "Defendants also testified to more generalized concerns",
        "paragraph_id": "para_537"
      },
      {
        "text": "that marketing the company to strategic buyers might allow",
        "paragraph_id": "para_538"
      },
      {
        "text": "Segerdahl’s competitors to use the due diligence process to",
        "paragraph_id": "para_539"
      },
      {
        "text": "get a competitive advantage over Segerdahl. Of course, if the",
        "paragraph_id": "para_540"
      },
      {
        "text": "sale closed, that wouldn’t matter. But if talks fell through, the",
        "paragraph_id": "para_541"
      },
      {
        "text": "sensitive information the would-be acquirer learned about",
        "paragraph_id": "para_542"
      },
      {
        "text": "Segerdahl during the due diligence process could give that",
        "paragraph_id": "para_543"
      },
      {
        "text": "competitor a leg up in the intensely competitive direct-mail",
        "paragraph_id": "para_544"
      },
      {
        "text": "18 No. 25-1736",
        "paragraph_id": "para_545"
      },
      {
        "text": "printing industry. Segerdahl additionally feared the diligence",
        "paragraph_id": "para_546"
      },
      {
        "text": "process could cause salespeople Segerdahl had recently",
        "paragraph_id": "para_547"
      },
      {
        "text": "poached from Quad/Graphics and RR Donnelley to return to",
        "paragraph_id": "para_548"
      },
      {
        "text": "their old employers or move to another company.",
        "paragraph_id": "para_549"
      },
      {
        "text": "As Rush tells it, Defendants’ rationales for pursuing finan-",
        "paragraph_id": "para_550"
      },
      {
        "text": "cial buyers are neatly arranged stories concocted after the fact",
        "paragraph_id": "para_551"
      },
      {
        "text": "to cover up the real reasons Defendants did not want to shop",
        "paragraph_id": "para_552"
      },
      {
        "text": "Segerdahl to competitors. First, Rush claims the Board",
        "paragraph_id": "para_553"
      },
      {
        "text": "wanted to depress the sale price to ensure Schneider would",
        "paragraph_id": "para_554"
      },
      {
        "text": "more easily be able to obtain equity in the post-sale com-",
        "paragraph_id": "para_555"
      },
      {
        "text": "pany—a lower sale price meant post-sale shares would be",
        "paragraph_id": "para_556"
      },
      {
        "text": "cheaper. To achieve this aim, Rush argues Defendants inten-",
        "paragraph_id": "para_557"
      },
      {
        "text": "tionally steered JP Morgan towards financial buyers because",
        "paragraph_id": "para_558"
      },
      {
        "text": "they knew financial buyers would on balance pay less for",
        "paragraph_id": "para_559"
      },
      {
        "text": "Segerdahl than strategic buyers. Second, Rush contends that",
        "paragraph_id": "para_560"
      },
      {
        "text": "senior management, including Joutras and Schneider,",
        "paragraph_id": "para_561"
      },
      {
        "text": "thought a financial buyer would be more likely to retain the",
        "paragraph_id": "para_562"
      },
      {
        "text": "current management after the sale. Rush argues that Defend-",
        "paragraph_id": "para_563"
      },
      {
        "text": "ants intentionally pursued both these ulterior objectives at the",
        "paragraph_id": "para_564"
      },
      {
        "text": "expense of maximizing the ESOP’s sale price.",
        "paragraph_id": "para_565"
      },
      {
        "text": "We see no clear error in the district court’s rejection of",
        "paragraph_id": "para_566"
      },
      {
        "text": "Rush’s theories. True, Rush points to evidence that Schneider",
        "paragraph_id": "para_567"
      },
      {
        "text": "and Joutras were concerned that a sale to a strategic buyer",
        "paragraph_id": "para_568"
      },
      {
        "text": "would lead to mass layoffs, including of senior personnel. For",
        "paragraph_id": "para_569"
      },
      {
        "text": "example, Rush highlights an email in which Schneider ob-",
        "paragraph_id": "para_570"
      },
      {
        "text": "serves “[a] strategic buyer would likely pay more—and we",
        "paragraph_id": "para_571"
      },
      {
        "text": "could have pursued that. In that scenario, the vast majority of",
        "paragraph_id": "para_572"
      },
      {
        "text": "the workforce would be out of jobs day 1.”",
        "paragraph_id": "para_573"
      },
      {
        "text": "This statement certainly could support the conclusion that",
        "paragraph_id": "para_574"
      },
      {
        "text": "Schneider excluded strategic buyers to save jobs and at the",
        "paragraph_id": "para_575"
      },
      {
        "text": "expense of shareholder value. But the district court instead",
        "paragraph_id": "para_576"
      },
      {
        "text": "No. 25-1736 19",
        "paragraph_id": "para_577"
      },
      {
        "text": "chose to credit Schneider and Joutras’s testimony that the de-",
        "paragraph_id": "para_578"
      },
      {
        "text": "cision to exclude strategic buyers was motivated by the risk",
        "paragraph_id": "para_579"
      },
      {
        "text": "of allowing competitors to access competitively sensitive in-",
        "paragraph_id": "para_580"
      },
      {
        "text": "formation as part of the diligence process. The district court",
        "paragraph_id": "para_581"
      },
      {
        "text": "further accepted Defendants’ explanations that RR Donnelley",
        "paragraph_id": "para_582"
      },
      {
        "text": "and Quad/Graphics were in poor positions to acquire Seger-",
        "paragraph_id": "para_583"
      },
      {
        "text": "dahl in any event. And the district court believed Schneider’s",
        "paragraph_id": "para_584"
      },
      {
        "text": "explanation that her email was describing a hypothetical",
        "paragraph_id": "para_585"
      },
      {
        "text": "world in which a strategic buyer had the balance sheet neces-",
        "paragraph_id": "para_586"
      },
      {
        "text": "sary to complete a transaction. Because each of these findings",
        "paragraph_id": "para_587"
      },
      {
        "text": "has some support in the record, the district court did not",
        "paragraph_id": "para_588"
      },
      {
        "text": "clearly err in concluding that Defendants’ explanations for",
        "paragraph_id": "para_589"
      },
      {
        "text": "not shopping Segerdahl to RR Donnelley or Quad/Graphics",
        "paragraph_id": "para_590"
      },
      {
        "text": "were more credible than Rush’s own hypotheses. See Cooper,",
        "paragraph_id": "para_591"
      },
      {
        "text": "581 U.S. at 309 (courts of appeals owe “singular deference to",
        "paragraph_id": "para_592"
      },
      {
        "text": "a trial court’s judgments about the credibility of witnesses”).",
        "paragraph_id": "para_593"
      },
      {
        "text": "The district court also reasonably concluded that Schnei-",
        "paragraph_id": "para_594"
      },
      {
        "text": "der, Joutras, and the Outside Directors would not have inten-",
        "paragraph_id": "para_595"
      },
      {
        "text": "tionally searched for a buyer who would pay less for Seger-",
        "paragraph_id": "para_596"
      },
      {
        "text": "dahl given that the value of their SARs was directly tied to",
        "paragraph_id": "para_597"
      },
      {
        "text": "Segerdahl’s sale price. Rush does not and cannot dispute that",
        "paragraph_id": "para_598"
      },
      {
        "text": "the individual Defendants’ pecuniary interests were aligned",
        "paragraph_id": "para_599"
      },
      {
        "text": "with the ESOP’s own interests in obtaining a higher sale price.",
        "paragraph_id": "para_600"
      },
      {
        "text": "In sum, the district court did not clearly err in finding that",
        "paragraph_id": "para_601"
      },
      {
        "text": "excluding strategic buyers was not a breach of fiduciary duty.",
        "paragraph_id": "para_602"
      },
      {
        "text": "b. Resuming negotiations with ICV following revised",
        "paragraph_id": "para_603"
      },
      {
        "text": "offer",
        "paragraph_id": "para_604"
      },
      {
        "text": "Rush next argues that Defendants’ decision to reengage",
        "paragraph_id": "para_605"
      },
      {
        "text": "with ICV after it dropped its offer from $300 million to $250",
        "paragraph_id": "para_606"
      },
      {
        "text": "million shows that Defendants were not acting in the ESOP’s",
        "paragraph_id": "para_607"
      },
      {
        "text": "best interests. Rush reasons that prudent fiduciaries would",
        "paragraph_id": "para_608"
      },
      {
        "text": "20 No. 25-1736",
        "paragraph_id": "para_609"
      },
      {
        "text": "have gone to Quad/Graphics or RR Donnelley for a compet-",
        "paragraph_id": "para_610"
      },
      {
        "text": "ing bid rather than come back to the table with ICV right",
        "paragraph_id": "para_611"
      },
      {
        "text": "away. Instead of getting another bid, Rush claims Joutras and",
        "paragraph_id": "para_612"
      },
      {
        "text": "Schneider returned to ICV out of personal motivations to",
        "paragraph_id": "para_613"
      },
      {
        "text": "close the sale before year’s end. Specifically, Rush notes that,",
        "paragraph_id": "para_614"
      },
      {
        "text": "around the same time the Board decided to reengage with",
        "paragraph_id": "para_615"
      },
      {
        "text": "ICV, Segerdahl’s tax lawyers told it that IRS guidance prohib-",
        "paragraph_id": "para_616"
      },
      {
        "text": "ited Segerdahl from using its own stock to secure the promis-",
        "paragraph_id": "para_617"
      },
      {
        "text": "sory notes issued in connection with the 2014 share buyback.",
        "paragraph_id": "para_618"
      },
      {
        "text": "Rush reasons that because Joutras and Schneider faced im-",
        "paragraph_id": "para_619"
      },
      {
        "text": "pending “personal liability” for the securitization issue, they",
        "paragraph_id": "para_620"
      },
      {
        "text": "wanted to get the deal done (and get out) quickly, rather than",
        "paragraph_id": "para_621"
      },
      {
        "text": "shop the company further and get a better price.",
        "paragraph_id": "para_622"
      },
      {
        "text": "The district court soundly rejected that theory. It noted",
        "paragraph_id": "para_623"
      },
      {
        "text": "that the risk of IRS action was “speculative” and “hypothet-",
        "paragraph_id": "para_624"
      },
      {
        "text": "ical” because the securitization guidance was just that—guid-",
        "paragraph_id": "para_625"
      },
      {
        "text": "ance. Nothing in the guidance compelled the IRS to investi-",
        "paragraph_id": "para_626"
      },
      {
        "text": "gate Segerdahl, and the IRS had not yet done so. Thus, even if",
        "paragraph_id": "para_627"
      },
      {
        "text": "Segerdahl’s conduct actually violated IRS rules (as Rush’s ex-",
        "paragraph_id": "para_628"
      },
      {
        "text": "pert testified), the district court reasonably concluded the risk",
        "paragraph_id": "para_629"
      },
      {
        "text": "of personal liability was remote and did not justify a finding",
        "paragraph_id": "para_630"
      },
      {
        "text": "that Joutras or Schneider breached their fiduciary duties.",
        "paragraph_id": "para_631"
      },
      {
        "text": "Rush’s theory has other defects. If Joutras and Schneider",
        "paragraph_id": "para_632"
      },
      {
        "text": "were chiefly motivated to close the deal as quickly as possible",
        "paragraph_id": "para_633"
      },
      {
        "text": "rather than to get the best price for the sale, one would have",
        "paragraph_id": "para_634"
      },
      {
        "text": "expected them to accept the initial $250 million offer outright.",
        "paragraph_id": "para_635"
      },
      {
        "text": "They instead aggressively pushed ICV—through Vergam-",
        "paragraph_id": "para_636"
      },
      {
        "text": "ini—to bump up the sale price over more than a month of ad-",
        "paragraph_id": "para_637"
      },
      {
        "text": "ditional negotiations. This conduct is wholly inconsistent",
        "paragraph_id": "para_638"
      },
      {
        "text": "with Rush’s need-for-speed assertion. Moreover, the record",
        "paragraph_id": "para_639"
      },
      {
        "text": "shows Segerdahl did not engage with RR Donnelley and",
        "paragraph_id": "para_640"
      },
      {
        "text": "Quad/Graphics following ICV’s lowered offer for the same",
        "paragraph_id": "para_641"
      },
      {
        "text": "No. 25-1736 21",
        "paragraph_id": "para_642"
      },
      {
        "text": "reasons they did not include strategic buyers in the initial can-",
        "paragraph_id": "para_643"
      },
      {
        "text": "didate pool: they were concerned about disclosing sensitive",
        "paragraph_id": "para_644"
      },
      {
        "text": "information to competitors and did not think either company",
        "paragraph_id": "para_645"
      },
      {
        "text": "was financially able to support a transaction.",
        "paragraph_id": "para_646"
      },
      {
        "text": "c. Disclosing 2015 valuation to ICV",
        "paragraph_id": "para_647"
      },
      {
        "text": "Rush next attacks the Board’s decision to disclose Stout’s",
        "paragraph_id": "para_648"
      },
      {
        "text": "2015 year-end valuation of Segerdahl to ICV during the dili-",
        "paragraph_id": "para_649"
      },
      {
        "text": "gence process. He claims no reasonable fiduciary would have",
        "paragraph_id": "para_650"
      },
      {
        "text": "disclosed Segerdahl’s valuation in the midst of diligence, es-",
        "paragraph_id": "para_651"
      },
      {
        "text": "pecially because the valuation had a confidentiality provision",
        "paragraph_id": "para_652"
      },
      {
        "text": "requiring GreatBanc’s consent before disclosure (which",
        "paragraph_id": "para_653"
      },
      {
        "text": "Segerdahl did not obtain). In support, Rush cites testimony",
        "paragraph_id": "para_654"
      },
      {
        "text": "from Staruck and GreatBanc’s legal counsel, both of whom",
        "paragraph_id": "para_655"
      },
      {
        "text": "stated that it typically is not in a seller’s interest to divulge",
        "paragraph_id": "para_656"
      },
      {
        "text": "such information.",
        "paragraph_id": "para_657"
      },
      {
        "text": "The district court instead found persuasive Vergamini’s",
        "paragraph_id": "para_658"
      },
      {
        "text": "explanation that he shared the valuation because “it told a",
        "paragraph_id": "para_659"
      },
      {
        "text": "good story of why this business should be valued highly be-",
        "paragraph_id": "para_660"
      },
      {
        "text": "cause it’s growing and it’s got high EBITDA and the margin",
        "paragraph_id": "para_661"
      },
      {
        "text": "profile is strong.” Schneider, too, stated she told Vergamini to",
        "paragraph_id": "para_662"
      },
      {
        "text": "share the valuation because she wanted to “provide some un-",
        "paragraph_id": "para_663"
      },
      {
        "text": "derstanding of what [the] share price was so they understood",
        "paragraph_id": "para_664"
      },
      {
        "text": "what the minimum floor was, and they could build from",
        "paragraph_id": "para_665"
      },
      {
        "text": "there.”",
        "paragraph_id": "para_666"
      },
      {
        "text": "The district court did not clearly err in believing Vergam-",
        "paragraph_id": "para_667"
      },
      {
        "text": "ini and Schneider’s stated reasons for disclosing the valua-",
        "paragraph_id": "para_668"
      },
      {
        "text": "tion. See Cooper, 581 U.S. at 309. While Rush argues in hind-",
        "paragraph_id": "para_669"
      },
      {
        "text": "sight that the valuation led to ICV lowering its offer, the dis-",
        "paragraph_id": "para_670"
      },
      {
        "text": "trict court observed that Segerdahl’s poor performance in the",
        "paragraph_id": "para_671"
      },
      {
        "text": "first half of 2016 is a more likely explanation for ICV’s deci-",
        "paragraph_id": "para_672"
      },
      {
        "text": "sion. Nothing in the record contradicts that finding, so we",
        "paragraph_id": "para_673"
      },
      {
        "text": "22 No. 25-1736",
        "paragraph_id": "para_674"
      },
      {
        "text": "may not disturb it. See Anderson, 470 U.S. at 574 (“Where there",
        "paragraph_id": "para_675"
      },
      {
        "text": "are two permissible views of the evidence, the factfinder’s",
        "paragraph_id": "para_676"
      },
      {
        "text": "choice between them cannot be clearly erroneous.”).",
        "paragraph_id": "para_677"
      },
      {
        "text": "d. Leaking to ICV that it was the only bidder",
        "paragraph_id": "para_678"
      },
      {
        "text": "Rush contends Joutras violated his fiduciary duties by dis-",
        "paragraph_id": "para_679"
      },
      {
        "text": "closing to ICV’s Frank Clark that ICV was the only active bid-",
        "paragraph_id": "para_680"
      },
      {
        "text": "der, which Rush claims led ICV to lower its bid. In support,",
        "paragraph_id": "para_681"
      },
      {
        "text": "Rush cites an email exchange between a Segerdahl executive",
        "paragraph_id": "para_682"
      },
      {
        "text": "and Vergamini in which the two speculate about whether",
        "paragraph_id": "para_683"
      },
      {
        "text": "Joutras “leaked [this fact] to Frank Clark” because “[h]e has a",
        "paragraph_id": "para_684"
      },
      {
        "text": "hard time keeping things to himself.”",
        "paragraph_id": "para_685"
      },
      {
        "text": "The district court found that there was no leak and that",
        "paragraph_id": "para_686"
      },
      {
        "text": "ICV independently discerned it was the only bidder. The trial",
        "paragraph_id": "para_687"
      },
      {
        "text": "evidence supports that conclusion. Metz denied that ICV re-",
        "paragraph_id": "para_688"
      },
      {
        "text": "ceived a leak from Joutras that it was the only buyer. Instead,",
        "paragraph_id": "para_689"
      },
      {
        "text": "Metz testified that ICV’s own diligence provided it with in-",
        "paragraph_id": "para_690"
      },
      {
        "text": "sight into its position in the bidding process. Metz also ex-",
        "paragraph_id": "para_691"
      },
      {
        "text": "plained that ICV inferred it was the sole bidder from Vergam-",
        "paragraph_id": "para_692"
      },
      {
        "text": "ini’s “begging and pleading” for ICV to raise its revised offer.",
        "paragraph_id": "para_693"
      },
      {
        "text": "It was not clear error for the district court to believe ICV’s ex-",
        "paragraph_id": "para_694"
      },
      {
        "text": "planation over Rush’s speculative contentions. See Estrada-",
        "paragraph_id": "para_695"
      },
      {
        "text": "Martinez, 809 F.3d at 895 (”When a fact-finder bases her find-",
        "paragraph_id": "para_696"
      },
      {
        "text": "ing on a decision to credit a witness’s testimony, that finding",
        "paragraph_id": "para_697"
      },
      {
        "text": "‘can virtually never be clear error’ as long as the testimony is",
        "paragraph_id": "para_698"
      },
      {
        "text": "‘coherent and facially plausible,’ ‘not internally inconsistent,’",
        "paragraph_id": "para_699"
      },
      {
        "text": "and ‘not contradicted by extrinsic evidence.’” (quoting Ander-",
        "paragraph_id": "para_700"
      },
      {
        "text": "son, 470 U.S. at 575)).",
        "paragraph_id": "para_701"
      },
      {
        "text": "e. Failing to perform trustee obligations",
        "paragraph_id": "para_702"
      },
      {
        "text": "Finally, Rush contends GreatBanc failed to fulfill its fidu-",
        "paragraph_id": "para_703"
      },
      {
        "text": "ciary duties because it did not independently negotiate the",
        "paragraph_id": "para_704"
      },
      {
        "text": "sale price and instead simply rubber-stamped the deal Ver-",
        "paragraph_id": "para_705"
      },
      {
        "text": "No. 25-1736 23",
        "paragraph_id": "para_706"
      },
      {
        "text": "gamini and the Board struck with ICV. The district court dis-",
        "paragraph_id": "para_707"
      },
      {
        "text": "agreed, finding that GreatBanc discharged its fiduciary obli-",
        "paragraph_id": "para_708"
      },
      {
        "text": "gations by relying on a litany of independent advisors: JP",
        "paragraph_id": "para_709"
      },
      {
        "text": "Morgan, Stout, and Drinker.",
        "paragraph_id": "para_710"
      },
      {
        "text": "Rush protests that such independent advice cannot",
        "paragraph_id": "para_711"
      },
      {
        "text": "“whitewash” a trustee’s failure to perform its fiduciary obli-",
        "paragraph_id": "para_712"
      },
      {
        "text": "gations. See Donovan v. Bierwirth, 680 F.2d 263, 272 (2d Cir.",
        "paragraph_id": "para_713"
      },
      {
        "text": "1982) (observing that obtaining independent counsel does not",
        "paragraph_id": "para_714"
      },
      {
        "text": "“operate as a complete whitewash which, without more, sat-",
        "paragraph_id": "para_715"
      },
      {
        "text": "isfies ERISA’s prudence requirement”). GreatBanc did not",
        "paragraph_id": "para_716"
      },
      {
        "text": "merely defer to its independent advisors though. It conducted",
        "paragraph_id": "para_717"
      },
      {
        "text": "its own investigation, which included attending at least two",
        "paragraph_id": "para_718"
      },
      {
        "text": "meetings with Vergamini and the Board; holding a half-day",
        "paragraph_id": "para_719"
      },
      {
        "text": "Fiduciary Committee meeting to approve the transaction, at",
        "paragraph_id": "para_720"
      },
      {
        "text": "which Staruck and GreatBanc’s advisors questioned the sale’s",
        "paragraph_id": "para_721"
      },
      {
        "text": "fairness at length; and preparing a written report memorial-",
        "paragraph_id": "para_722"
      },
      {
        "text": "izing its reasoning for approving the transaction. GreatBanc’s",
        "paragraph_id": "para_723"
      },
      {
        "text": "“careful and impartial investigation” of the soundness of its",
        "paragraph_id": "para_724"
      },
      {
        "text": "advisors’ recommendation satisfied its fiduciary obligations",
        "paragraph_id": "para_725"
      },
      {
        "text": "in this case. Donovan, 680 F.2d at 271; see also Keach v. U.S. Tr.",
        "paragraph_id": "para_726"
      },
      {
        "text": "Co., 419 F.3d 626, 637 (7th Cir. 2005) (stating that a trustee dis-",

        "paragraph_id": "para_730"
      },
      {
        "text": "mation’ and ‘make[s] certain that reliance on the expert's ad-",
        "paragraph_id": "para_731"
      },
      {
        "text": "vice is reasonably justified under the circumstances.’” (quot-",
        "paragraph_id": "para_732"
      },
      {
        "text": "ing Howard v. Shay, 100 F.3d 1484, 1489 (9th Cir. 1996))); Adams",
        "paragraph_id": "para_733"
      },
      {
        "text": "v. Thiokol Corp., 231 F.3d 837, 845 (11th Cir. 2000) (holding that",
        "paragraph_id": "para_734"
      },
      {
        "text": "“input from two independent firms” supported proper exer-",
        "paragraph_id": "para_735"
      },
      {
        "text": "cise of fiduciary duties).",
        "paragraph_id": "para_736"
      },
      {
        "text": "We conclude Rush has not shown the district court clearly",
        "paragraph_id": "para_737"
      },
      {
        "text": "erred in rejecting all of Rush’s fiduciary breach claims.",
        "paragraph_id": "para_738"
      },
      {
        "text": "24 No. 25-1736",
        "paragraph_id": "para_739"
      },
      {
        "text": "B. Prohibited Transaction",
        "paragraph_id": "para_740"
      },
      {
        "text": "We now turn to Rush’s claims that the Segerdahl sale was",
        "paragraph_id": "para_741"
      },
      {
        "text": "a prohibited transaction under 29 U.S.C. § 1106. As relevant",
        "paragraph_id": "para_742"
      },
      {
        "text": "here, § 1106(a)(1) bars a plan fiduciary from causing the plan",
        "paragraph_id": "para_743"
      },
      {
        "text": "“to engage in a transaction, if he knows or should know that",
        "paragraph_id": "para_744"
      },
      {
        "text": "such transaction constitutes a direct or indirect … [transac-",
        "paragraph_id": "para_745"
      },
      {
        "text": "tion] between the plan and a party in interest.” Section 1106(b)",
        "paragraph_id": "para_746"
      },
      {
        "text": "prohibits a plan fiduciary from “deal[ing] with the assets of",
        "paragraph_id": "para_747"
      },
      {
        "text": "the plan in his own interest or for his own account,” “act[ing]",
        "paragraph_id": "para_748"
      },
      {
        "text": "in any transaction involving the plan on behalf of a party (or",
        "paragraph_id": "para_749"
      },
      {
        "text": "represent a party) whose interests are adverse to the interests",
        "paragraph_id": "para_750"
      },
      {
        "text": "of the plan” or “receiv[ing] any consideration for his own per-",
        "paragraph_id": "para_751"
      },
      {
        "text": "sonal account from any party dealing with such plan in con-",
        "paragraph_id": "para_752"
      },
      {
        "text": "nection with a transaction involving the assets of the plan.”",
        "paragraph_id": "para_753"
      },
      {
        "text": "§ 1106(b)(1)–(3).",
        "paragraph_id": "para_754"
      },
      {
        "text": "Rush contends the district court improperly overlooked",
        "paragraph_id": "para_755"
      },
      {
        "text": "his evidence that the Defendants—specifically Schneider and",
        "paragraph_id": "para_756"
      },
      {
        "text": "GreatBanc—were conflicted. Affording the district court’s de-",
        "paragraph_id": "para_757"
      },
      {
        "text": "cision its due deference, we again find no clear error.",
        "paragraph_id": "para_758"
      },
      {
        "text": "1. § 1106(b) Claims against Schneider",
        "paragraph_id": "para_759"
      },
      {
        "text": "Before the district court, Rush asserted § 1106(b) claims",
        "paragraph_id": "para_760"
      },
      {
        "text": "against Schneider, Joutras, and the Outside Directors based",
        "paragraph_id": "para_761"
      },
      {
        "text": "on their alleged conflicts of interest in shepherding the sale to",
        "paragraph_id": "para_762"
      },
      {
        "text": "ICV. On appeal, however, Rush expressly abandons his",
        "paragraph_id": "para_763"
      },
      {
        "text": "§ 1106(b) claims against Joutras and focuses his arguments on",
        "paragraph_id": "para_764"
      },
      {
        "text": "Schneider’s alleged self-dealing. We limit our discussion ac-",
        "paragraph_id": "para_765"
      },
      {
        "text": "cordingly.3",
        "paragraph_id": "para_766"
      },
      {
        "text": "3 Rush did not similarly state that he is abandoning his prohibited-",
        "paragraph_id": "para_767"
      },
      {
        "text": "transaction argument as to the Outside Directors. Yet his argument re-",
        "paragraph_id": "para_768"
      },
      {
        "text": "garding the Outside Directors is limited to a few paragraphs at the end of",
        "paragraph_id": "para_769"
      },
      {
        "text": "No. 25-1736 25",
        "paragraph_id": "para_770"
      },
      {
        "text": "Rush argues that Schneider was conflicted in violation of",
        "paragraph_id": "para_771"
      },
      {
        "text": "§ 1106(b) because she had two personal objectives in direct",
        "paragraph_id": "para_772"
      },
      {
        "text": "conflict with maximizing the ESOP’s value: (1) keeping her",
        "paragraph_id": "para_773"
      },
      {
        "text": "job as CEO of the post-sale company, and (2) growing her eq-",
        "paragraph_id": "para_774"
      },
      {
        "text": "uity stake in the company, which she accomplished to the",
        "paragraph_id": "para_775"
      },
      {
        "text": "tune of nearly $1.75 million upon the sale’s closing.",
        "paragraph_id": "para_776"
      },
      {
        "text": "The district court reasonably credited testimony that it",
        "paragraph_id": "para_777"
      },
      {
        "text": "was ICV, not Schneider, who pushed Schneider to stay on as",
        "paragraph_id": "para_778"
      },
      {
        "text": "CEO and roll over her equity stake to invest in the new com-",
        "paragraph_id": "para_779"
      },
      {
        "text": "pany’s stock. As Schneider testified, “I don’t know of any pri-",
        "paragraph_id": "para_780"
      },
      {
        "text": "vate equity firm that takes over a company and doesn’t have",
        "paragraph_id": "para_781"
      },
      {
        "text": "an expectation of management rolling money back into the",
        "paragraph_id": "para_782"
      },
      {
        "text": "company to keep their jobs. That’s how it works.” Staruck",
        "paragraph_id": "para_783"
      },
      {
        "text": "similarly testified that, in his experience as trustee for dozens",
        "paragraph_id": "para_784"
      },
      {
        "text": "of ESOP transactions, the majority involve executives staying",
        "paragraph_id": "para_785"
      },
      {
        "text": "on and rolling over their equity into shares in the post-sale",
        "paragraph_id": "para_786"
      },
      {
        "text": "company. Moreover, ICV’s internal discussions reflect its de-",
        "paragraph_id": "para_787"
      },
      {
        "text": "sire to keep Schneider on board. In one diligence document,",
        "paragraph_id": "para_788"
      },
      {
        "text": "ICV named the “[o]pportunity to back a strong CEO” as a rea-",
        "paragraph_id": "para_789"
      },
      {
        "text": "son why it was looking to buy Segerdahl. And Rush once",
        "paragraph_id": "para_790"
      },
      {
        "text": "again fails to marshal evidence that Schneider—who received",
        "paragraph_id": "para_791"
      },
      {
        "text": "$4.2 million from her SARs upon the deal’s closing—acted",
        "paragraph_id": "para_792"
      },
      {
        "text": "against her own pecuniary interests by intentionally depress-",
        "paragraph_id": "para_793"
      },
      {
        "text": "ing the sale price. We find no clear error in the district court’s",
        "paragraph_id": "para_794"
      },
      {
        "text": "determination that Schneider did not violate § 1106(b).",
        "paragraph_id": "para_795"
      },
      {
        "text": "his reply brief. That constitutes waiver under our caselaw. See Bradley v.",
        "paragraph_id": "para_796"
      },
      {
        "text": "Vill. of Univ. Park, 59 F.4th 887, 897 (7th Cir. 2023) (explaining that appel-",
        "paragraph_id": "para_797"
      },
      {
        "text": "lants waive arguments they fail to raise in the opening brief on appeal).",
        "paragraph_id": "para_798"
      },
      {
        "text": "26 No. 25-1736",
        "paragraph_id": "para_799"
      },
      {
        "text": "2. § 1106(a)(1) Claims against GreatBanc",
        "paragraph_id": "para_800"
      },
      {
        "text": "Rush also claims GreatBanc “cause[d] the plan to engage",
        "paragraph_id": "para_801"
      },
      {
        "text": "in” the sale to ICV in violation of § 1106(a) because it ap-",
        "paragraph_id": "para_802"
      },
      {
        "text": "proved the transaction despite knowing Schneider would be",
        "paragraph_id": "para_803"
      },
      {
        "text": "purchasing stock in the post-sale company. Applying our de-",
        "paragraph_id": "para_804"
      },
      {
        "text": "cision in Leigh v. Engle, 727 F.2d 113, 126 (7th Cir. 1984), the",
        "paragraph_id": "para_805"
      },
      {
        "text": "district court rejected that argument on grounds that Rush did",
        "paragraph_id": "para_806"
      },
      {
        "text": "not show that Schneider possessed any intent to injure the",
        "paragraph_id": "para_807"
      },
      {
        "text": "ESOP to benefit her post-sale investment.",
        "paragraph_id": "para_808"
      },
      {
        "text": "Rush argues the district court’s intent requirement mis-",
        "paragraph_id": "para_809"
      },
      {
        "text": "reads Leigh. We agree with the district court’s interpretation.",
        "paragraph_id": "para_810"
      },
      {
        "text": "It is true that Leigh urges a broad reading of ERISA’s prohib-",
        "paragraph_id": "para_811"
      },
      {
        "text": "ited transaction rules. See id. at 126 (“We do not believe that",
        "paragraph_id": "para_812"
      },
      {
        "text": "Congress intended the language ‘use by or for the benefit of,",
        "paragraph_id": "para_813"
      },
      {
        "text": "a party in interest,’ … to be interpreted narrowly.” (citation",
        "paragraph_id": "para_814"
      },
      {
        "text": "omitted)). But we have rejected a wooden, literal reading of",
        "paragraph_id": "para_815"
      },
      {
        "text": "§ 1106(a) that would turn commonplace plan activities into",
        "paragraph_id": "para_816"
      },
      {
        "text": "ERISA violations. In Albert v. Oshkosh Corp., the plaintiff, like",
        "paragraph_id": "para_817"
      },
      {
        "text": "Rush, argued that a plaintiff can make out a § 1106(a) claim",
        "paragraph_id": "para_818"
      },
      {
        "text": "“merely by identifying a ‘party in interest’ … and alleging",
        "paragraph_id": "para_819"
      },
      {
        "text": "that the party in interest engaged in one of the transactions",
        "paragraph_id": "para_820"
      },
      {
        "text": "listed in § 1106(a)(1).” 47 F.4th 570, 585 (7th Cir. 2022) (citing",
        "paragraph_id": "para_821"
      },
      {
        "text": "29 U.S.C. §§ 1002(14), 1106). We disagreed because that read-",
        "paragraph_id": "para_822"
      },
      {
        "text": "ing ”would prohibit fiduciaries from paying third parties to",
        "paragraph_id": "para_823"
      },
      {
        "text": "perform essential services in support of a plan”—an “absurd",
        "paragraph_id": "para_824"
      },
      {
        "text": "result[] … inconsistent with ERISA’s statutory purpose.” Id.",
        "paragraph_id": "para_825"
      },
      {
        "text": "at 584–85.",
        "paragraph_id": "para_826"
      },
      {
        "text": "The same logic applies here. The bright-line rule Rush ad-",
        "paragraph_id": "para_827"
      },
      {
        "text": "vocates would mean that a fiduciary violates ERISA’s prohib-",
        "paragraph_id": "para_828"
      },
      {
        "text": "ited transaction rules whenever it approves a transaction",
        "paragraph_id": "para_829"
      },
      {
        "text": "knowing that an officer of the ESOP intends to invest in the",
        "paragraph_id": "para_830"
      },
      {
        "text": "No. 25-1736 27",
        "paragraph_id": "para_831"
      },
      {
        "text": "post-sale entity. Under such a rule, ESOP officers would no",
        "paragraph_id": "para_832"
      },
      {
        "text": "longer be able to maintain equity in their companies after a",
        "paragraph_id": "para_833"
      },
      {
        "text": "transaction. But, as the evidence presented at trial established,",
        "paragraph_id": "para_834"
      },
      {
        "text": "buyers prefer—and even expect—ESOP officers to have a",
        "paragraph_id": "para_835"
      },
      {
        "text": "stake in the post-sale company, especially when they are stay-",
        "paragraph_id": "para_836"
      },
      {
        "text": "ing on in an executive capacity. Preventing post-sale invest-",
        "paragraph_id": "para_837"
      },
      {
        "text": "ment by ESOP officers would, on balance, decrease the sale",
        "paragraph_id": "para_838"
      },
      {
        "text": "price and thereby injure ESOP shareholders. As such, Rush’s",
        "paragraph_id": "para_839"
      },
      {
        "text": "proposed rule would contravene the very purposes of ERISA.",
        "paragraph_id": "para_840"
      },
      {
        "text": "Moreover, even assuming Schneider’s post-sale invest-",
        "paragraph_id": "para_841"
      },
      {
        "text": "ment qualifies the sale as a prohibited transaction, Rush’s",
        "paragraph_id": "para_842"
      },
      {
        "text": "§ 1106(a) claim fails for another reason. The district court did",
        "paragraph_id": "para_843"
      },
      {
        "text": "not clearly err in finding Defendants had proved their “ade-",
        "paragraph_id": "para_844"
      },
      {
        "text": "quate consideration” affirmative defense. This defense im-",
        "paragraph_id": "para_845"
      },
      {
        "text": "munizes a defendant from liability under the prohibited",
        "paragraph_id": "para_846"
      },
      {
        "text": "transaction rules if the defendant proves that the “acquisition,",
        "paragraph_id": "para_847"
      },
      {
        "text": "sale, or lease” at issue “is for adequate consideration.” 29",
        "paragraph_id": "para_848"
      },
      {
        "text": "U.S.C. § 1108(e)(1); Cunningham, 694 U.S. at 702. In the context",
        "paragraph_id": "para_849"
      },
      {
        "text": "of an ESOP sale, adequate consideration comprises two re-",
        "paragraph_id": "para_850"
      },
      {
        "text": "quirements: “a substantive requirement that the value as-",
        "paragraph_id": "para_851"
      },
      {
        "text": "signed reflect the fair market value of the asset, and a proce-",
        "paragraph_id": "para_852"
      },
      {
        "text": "dural requirement that the fiduciary actually determine the",
        "paragraph_id": "para_853"
      },
      {
        "text": "value assigned in good faith.” Fish v. GreatBanc Tr. Co., 749",
        "paragraph_id": "para_854"
      },
      {
        "text": "F.3d 671, 680 (7th Cir. 2014).",
        "paragraph_id": "para_855"
      },
      {
        "text": "As to the procedural requirement, as we explained earlier,",
        "paragraph_id": "para_856"
      },
      {
        "text": "the district court did not err in finding GreatBanc fulfilled its",
        "paragraph_id": "para_857"
      },
      {
        "text": "fiduciary obligations in approving the sale. For those same",
        "paragraph_id": "para_858"
      },
      {
        "text": "reasons, we see no clear error in the district court’s determi-",
        "paragraph_id": "para_859"
      },
      {
        "text": "nation that GreatBanc estimated Segerdahl’s value in good",
        "paragraph_id": "para_860"
      },
      {
        "text": "faith.",
        "paragraph_id": "para_861"
      },
      {
        "text": "28 No. 25-1736",
        "paragraph_id": "para_862"
      },
      {
        "text": "The substantive inquiry—whether the district court per-",
        "paragraph_id": "para_863"
      },
      {
        "text": "missibly found that Defendants sold the ESOP for fair market",
        "paragraph_id": "para_864"
      },
      {
        "text": "value—dovetails with Rush’s damages arguments, so we turn",
        "paragraph_id": "para_865"
      },
      {
        "text": "to them now. As we discuss below, we find no clear error in",
        "paragraph_id": "para_866"
      },
      {
        "text": "the district court’s determination that Defendants sold the",
        "paragraph_id": "para_867"
      },
      {
        "text": "ESOP for its fair market value, so Defendants would prevail",
        "paragraph_id": "para_868"
      },
      {
        "text": "on their adequate consideration defense even if Schneider’s",
        "paragraph_id": "para_869"
      },
      {
        "text": "post-sale investments fell within the prohibited transaction",
        "paragraph_id": "para_870"
      },
      {
        "text": "rules. Id.",
        "paragraph_id": "para_871"
      },
      {
        "text": "C. Damages",
        "paragraph_id": "para_872"
      },
      {
        "text": "Damages in ERISA breach-of-fiduciary-duty cases are",
        "paragraph_id": "para_873"
      },
      {
        "text": "measured by the difference between the value of the plan as-",
        "paragraph_id": "para_874"
      },
      {
        "text": "sets when the plaintiff cashed them out and what the assets",
        "paragraph_id": "para_875"
      },
      {
        "text": "would have been worth absent the breach—i.e., their fair mar-",
        "paragraph_id": "para_876"
      },
      {
        "text": "ket value. Harzewski v. Guidant Corp., 489 F.3d 799, 807 (7th",
        "paragraph_id": "para_877"
      },
      {
        "text": "Cir. 2007); Brundle ex rel. Constellis Emp. Stock Ownership Plan",
        "paragraph_id": "para_878"
      },
      {
        "text": "v. Wilmington Tr., N.A., 919 F.3d 763, 781 (4th Cir. 2019), as",
        "paragraph_id": "para_879"
      },
      {
        "text": "amended (Mar. 22, 2019). Rush’s damages argument relies on",
        "paragraph_id": "para_880"
      },
      {
        "text": "an estimate prepared by his expert, Daniel Van Vleet. Van",
        "paragraph_id": "para_881"
      },
      {
        "text": "Vleet opined that the sale to ICV damaged the ESOP by $19",
        "paragraph_id": "para_882"
      },
      {
        "text": "million or $44 million (depending on the method of valua-",
        "paragraph_id": "para_883"
      },
      {
        "text": "tion). The district court disagreed with Van Vleet’s analysis",
        "paragraph_id": "para_884"
      },
      {
        "text": "on grounds that Van Vleet “presumes a hypothetical buyer",
        "paragraph_id": "para_885"
      },
      {
        "text": "and assigns damages regardless of whether there was a mar-",
        "paragraph_id": "para_886"
      },
      {
        "text": "ket for Segerdahl at the calculated fair market value.” Because",
        "paragraph_id": "para_887"
      },
      {
        "text": "Rush had not shown there was an actual buyer willing to pay",
        "paragraph_id": "para_888"
      },
      {
        "text": "the higher price Van Vleet suggests Segerdahl was worth, the",
        "paragraph_id": "para_889"
      },
      {
        "text": "district court did not credit Van Vleet’s estimate as evidence",
        "paragraph_id": "para_890"
      },
      {
        "text": "of damages.",
        "paragraph_id": "para_891"
      },
      {
        "text": "We review the district court’s fair-market-value determi-",
        "paragraph_id": "para_892"
      },
      {
        "text": "nation for clear error. Eyler v. Comm’r, 88 F.3d 445, 451 (7th",
        "paragraph_id": "para_893"
      },
      {
        "text": "No. 25-1736 29",
        "paragraph_id": "para_894"
      },
      {
        "text": "Cir. 1996). We see none here. The district court reasonably",
        "paragraph_id": "para_895"
      },
      {
        "text": "concluded that the price ICV paid after conducting diligence",
        "paragraph_id": "para_896"
      },
      {
        "text": "and arms-length negotiations with Segerdahl and JP Morgan",
        "paragraph_id": "para_897"
      },
      {
        "text": "was a better approximation of fair market value than Van",
        "paragraph_id": "para_898"
      },
      {
        "text": "Vleet’s “hypothetical buyer” analysis. As Vergamini testified,",
        "paragraph_id": "para_899"
      },
      {
        "text": "fair market value in the mergers and acquisitions context is",
        "paragraph_id": "para_900"
      },
      {
        "text": "“[u]ltimately … what the market dictates it is.” Cf. Balcor Real",
        "paragraph_id": "para_901"
      },
      {
        "text": "Est. Holdings, Inc. v. Walentas-Phoenix Corp., 73 F.3d 150, 153",
        "paragraph_id": "para_902"
      },
      {
        "text": "(7th Cir. 1996) (“[T]he best evidence of the market value … is",
        "paragraph_id": "para_903"
      },
      {
        "text": "what people pay for it.”).",
        "paragraph_id": "para_904"
      },
      {
        "text": "As other evidence of damages, Rush points to his own tes-",
        "paragraph_id": "para_905"
      },
      {
        "text": "timony that Vergamini boasted to a room full of Segerdahl ex-",
        "paragraph_id": "para_906"
      },
      {
        "text": "ecutives that they “could have sold [Segerdahl] to",
        "paragraph_id": "para_907"
      },
      {
        "text": "[Quad/Graphics] for $320 million.” But the district court did",
        "paragraph_id": "para_908"
      },
      {
        "text": "not clearly err in not crediting this uncorroborated hearsay.",
        "paragraph_id": "para_909"
      },
      {
        "text": "Cf. PNC Bank, 109 F.4th at 505–06 (no clear error in refusing to",
        "paragraph_id": "para_910"
      },
      {
        "text": "credit plaintiff’s testimony where there were sound justifica-",
        "paragraph_id": "para_911"
      },
      {
        "text": "tions for doubting his version of events).",
        "paragraph_id": "para_912"
      },
      {
        "text": "Finally, Rush insists the final sale price did not reflect three",
        "paragraph_id": "para_913"
      },
      {
        "text": "other sources of value: the pending sale-leaseback of some of",
        "paragraph_id": "para_914"
      },
      {
        "text": "Segerdahl’s Chicagoland facilities; the 338(h)(10) tax election;",
        "paragraph_id": "para_915"
      },
      {
        "text": "and the settlement value of the “Wolf Road fraud” case. Rush",
        "paragraph_id": "para_916"
      },
      {
        "text": "claims Defendants failed to market these points to ICV and",
        "paragraph_id": "para_917"
      },
      {
        "text": "that this failure depressed ICV’s offer below Segerdahl’s fair",
        "paragraph_id": "para_918"
      },
      {
        "text": "market value.",
        "paragraph_id": "para_919"
      },
      {
        "text": "The record shows otherwise. As the district court found,",
        "paragraph_id": "para_920"
      },
      {
        "text": "Defendants did pitch each of these sources of value to ICV.",
        "paragraph_id": "para_921"
      },
      {
        "text": "ICV simply did not agree that they were worth as much as",
        "paragraph_id": "para_922"
      },
      {
        "text": "Rush believes. For example, Vergamini marketed the sale-",
        "paragraph_id": "para_923"
      },
      {
        "text": "leaseback to buyers as a way to move debt off Segerdahl’s bal-",
        "paragraph_id": "para_924"
      },
      {
        "text": "ance sheet. Despite Vergamini’s “pounding the table” on the",
        "paragraph_id": "para_925"
      },
      {
        "text": "30 No. 25-1736",
        "paragraph_id": "para_926"
      },
      {
        "text": "sale-leaseback’s benefits, ICV did not see any value in it after",
        "paragraph_id": "para_927"
      },
      {
        "text": "conducting its own diligence. Similarly, Ward and Metz each",
        "paragraph_id": "para_928"
      },
      {
        "text": "testified that the Wolf Road litigation came up in Stout’s and",
        "paragraph_id": "para_929"
      },
      {
        "text": "ICV’s respective diligence, and Drinker’s diligence memo ref-",
        "paragraph_id": "para_930"
      },
      {
        "text": "erences the litigation as well. Ward and Staruck testified that",
        "paragraph_id": "para_931"
      },
      {
        "text": "the value of the Wolf Road settlement was ultimately uncer-",
        "paragraph_id": "para_932"
      },
      {
        "text": "tain and depended on contingencies like whether the defend-",
        "paragraph_id": "para_933"
      },
      {
        "text": "ant was solvent and the progress of the litigation.",
        "paragraph_id": "para_934"
      },
      {
        "text": "As for the 338(h)(10) tax election, the record shows—con-",
        "paragraph_id": "para_935"
      },
      {
        "text": "trary to Rush’s assertions—that ICV did incorporate the tax",
        "paragraph_id": "para_936"
      },
      {
