        "text": "The plaintiff appealed from the trial court’s judgment awarding damages",

        "text": "Karaoke Heroes NH, LLC, appeals from the judgment of",
        "paragraph_id": "para_82"
      },
      {
        "text": "the trial court awarding the defendant and counterclaim",
        "paragraph_id": "para_83"
      },
      {
        "text": "plaintiff, RVRM Enterprises, LLC, damages for breach",
        "paragraph_id": "para_84"
      },
      {
        "text": "of a commercial leasehold contract.1 On appeal, the plain-",
        "paragraph_id": "para_85"
      },
      {
        "text": "tiff claims that the court erred in determining that (1)",
        "paragraph_id": "para_86"
      },
      {
        "text": "the property was compliant with all relevant laws and",
        "paragraph_id": "para_87"
      },
      {
        "text": "regulations upon the execution of the lease agreement",
        "paragraph_id": "para_88"
      },
      {
        "text": "and, therefore, the defendant had not breached the lease",
        "paragraph_id": "para_89"
      },
      {
        "text": "and (2) the defendant had not violated the Connecticut",

        "text": "The following facts, as either found by the court or",

      },
      {
        "text": "as otherwise undisputed in the record, are relevant to",
        "paragraph_id": "para_95"
      },
      {

        "text": "Kirk’s Parking, LLC. In light of our conclusion that the court properly",

        "text": "determined that the defendant did not breach the lease, this claim must",
        "paragraph_id": "para_104"
      },
      {
        "text": "fail. See part I of this opinion.",

        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCour resolution of this appeal. The present dispute stems",
        "paragraph_id": "para_106"

        "text": "from a commercial lease (lease) between the plaintiff and",
        "paragraph_id": "para_107"
      },
      {
        "text": "the defendant for the rear portion of the first floor of a",
        "paragraph_id": "para_108"
      },
      {
        "text": "building on a piece of real property located at 212 Crown",
        "paragraph_id": "para_109"
      },
      {
        "text": "Street in New Haven (premises). The lease describes the",
        "paragraph_id": "para_110"
      },
      {
        "text": "premises as “approximately 3500 [square feet] . . . the",
        "paragraph_id": "para_111"
      },
      {
        "text": "area accessed [from] the [alley] entryway through a door",
        "paragraph_id": "para_112"
      },
      {
        "text": "located on the [w]est side of said building and located to",
        "paragraph_id": "para_113"
      },
      {
        "text": "the south of the bathrooms.” The plaintiff is a limited",
        "paragraph_id": "para_114"
      },
      {
        "text": "liability company, which is owned and operated solely",
        "paragraph_id": "para_115"
      },
      {
        "text": "by Dan Lebov. The plaintiff used the premises to run a",
        "paragraph_id": "para_116"
      },
      {
        "text": "karaoke style bar and nightclub. The defendant landlord",
        "paragraph_id": "para_117"
      },
      {
        "text": "is a limited liability company, which is owned in equal",
        "paragraph_id": "para_118"
      },
      {
        "text": "shares and operated by siblings Ronald LoRicco, Rich-",
        "paragraph_id": "para_119"
      },
      {
        "text": "ard LoRicco, Vincent LoRicco, and Maria LoRicco.3 A",
        "paragraph_id": "para_120"
      },
      {
        "text": "nonparty, the Anthony and Nina LoRicco Irrevocable",
        "paragraph_id": "para_121"
      },
      {
        "text": "Spray Trust,4 owns the premises, and the premises is",
        "paragraph_id": "para_122"
      },
      {
        "text": "managed by the defendant.",
        "paragraph_id": "para_123"
      },
      {
        "text": "The premises is located adjacent to real property located",
        "paragraph_id": "para_124"
      },
      {
        "text": "at 210 Crown Street, which is a parking lot owned by a",
        "paragraph_id": "para_125"
      },
      {
        "text": "nonparty, 210 Crown Street, LLC, and operated by a non-",
        "paragraph_id": "para_126"
      },
      {
        "text": "party, Kirk’s Parking, LLC (Kirk’s). The premises’ emer-",
        "paragraph_id": "para_127"
      },
      {
        "text": "gency exit door opens into the parking lot and requires",
        "paragraph_id": "para_128"
      },
      {
        "text": "bollards to block a parking space directly in front of the",
        "paragraph_id": "para_129"
      },
      {
        "text": "door to prevent vehicles from obstructing the emergency",
        "paragraph_id": "para_130"
      },
      {
        "text": "exit. The fire marshal required this emergency exit for",
        "paragraph_id": "para_131"
      },
      {
        "text": "the premises to operate as a karaoke bar.",
        "paragraph_id": "para_132"
      },

        "text": "210 Crown Street, LLC, and Kirk’s are both owned",
        "paragraph_id": "para_133"
      },
      {
        "text": "by nonparties, MRVR, LLC (51 percent), and Sean",
        "paragraph_id": "para_134"
      },
      {
        "text": "McLaughlin (49 percent), respectively. MRVR, LLC,",
        "paragraph_id": "para_135"
      },
      {
        "text": "is owned by the LoRicco siblings in equal shares. As the",
        "paragraph_id": "para_136"
      },
      {
        "text": "court found in its memorandum of decision, “[t]here is",
        "paragraph_id": "para_137"
      },
      {

        "text": "ager (Kirk’s). Collectively, and directly or indirectly, the",
        "paragraph_id": "para_149"
      },
      {
        "text": "LoRicco siblings are either the sole or majority owners",
        "paragraph_id": "para_150"
      },
      {
        "text": "of all three entities.”5",
        "paragraph_id": "para_151"
      },
      {
        "text": "The court found the following in its October 10, 2024",
        "paragraph_id": "para_152"
      },
      {
        "text": "memorandum of decision: “[The premises] began operat-",
        "paragraph_id": "para_153"
      },
      {
        "text": "ing as a bar or nightclub in the early 1990s,” and “egress",
        "paragraph_id": "para_154"
      },
      {
        "text": "from a fire door, located at the rear of the premises and",
        "paragraph_id": "para_155"
      },
      {
        "text": "opening onto the parking lot, was required for safety.",
        "paragraph_id": "para_156"
      },
      {
        "text": "Moreover, when the premises first began to be used as",
        "paragraph_id": "para_157"
      },
      {
        "text": "a bar or nightclub, concrete bollards—or posts—were",
        "paragraph_id": "para_158"
      },
      {
        "text": "placed on either side of the fire door opening onto the",
        "paragraph_id": "para_159"
      },
      {
        "text": "parking lot . . . . The fire marshal required egress from",
        "paragraph_id": "para_160"
      },
      {
        "text": "the fire door, and the placement of the bollards, so that",
        "paragraph_id": "para_161"
      },
      {
        "text": "patrons and others could exit the premises without being",
        "paragraph_id": "para_162"
      },
      {
        "text": "blocked by a motor vehicle parked in front of or backing",
        "paragraph_id": "para_163"
      },
      {
        "text": "towards the door.”",
        "paragraph_id": "para_164"
      },
      {
        "text": "Prior to the plaintiff’s lease of the premises, the defen-",
        "paragraph_id": "para_165"
      },
      {
        "text": "dant leased the premises to an entity known as Karaoke",
        "paragraph_id": "para_166"
      },
      {
        "text": "Heroes, LLC, which was owned by Andrew Lebwohl.6",
        "paragraph_id": "para_167"
      },
      {
        "text": "Karaoke Heroes, LLC, also entered into a written license",
        "paragraph_id": "para_168"
      },
      {
        "text": "agreement with Kirk’s for “the parking space . . . located",
        "paragraph_id": "para_169"
      },
      {
        "text": "at [the parking lot] adjacent to the rear door of the [prem-",
        "paragraph_id": "para_170"
      },
      {
        "text": "ises] for the purpose of providing an emergency access out",
        "paragraph_id": "para_171"
      },
      {
        "text": "of the [premises] into the parking lot . . . .” The agreement",
        "paragraph_id": "para_172"
      },
      {
        "text": "would continue “in full force and effect until terminated",
        "paragraph_id": "para_173"
      },
      {
        "text": "by either party . . . .” This agreement “allowed for egress",
        "paragraph_id": "para_174"
      },
      {
        "text": "from the rear fire door of the premises to the parking lot,",
        "paragraph_id": "para_175"
      },
      {
        "text": "as required by the fire marshal.”",
        "paragraph_id": "para_176"
      },
      {
        "text": "5 We note that the only defendant remaining in this action is RVRM",

      },

        "text": "Enterprises, LLC, as the claims against the impleaded defendants—two",
        "paragraph_id": "para_178"

        "text": "trial. The plaintiff never brought an action against the LoRicco siblings",

        "text": "in their individual capacities, and the plaintiff did not bring an action",
        "paragraph_id": "para_181"
      },

        "text": "against the other related entities in this case, such as Kirk’s, 210 Crown",
        "paragraph_id": "para_182"
      },
      {
        "text": "Street, LLC, or MRVR, LLC.",
        "paragraph_id": "para_183"
      },
      {

        "text": "[Karaoke Heroes, LLC], and [the defendant], which lease",
        "paragraph_id": "para_195"
      },
      {
        "text": "is dated February 1, 2012, and any and all modifications,",
        "paragraph_id": "para_196"
      },
      {
        "text": "assignments, and amendments relating thereto . . . .”",
        "paragraph_id": "para_197"
      },
      {
        "text": "Karaoke Heroes, LLC, did not assign to the plaintiff its",
        "paragraph_id": "para_198"
      },
      {
        "text": "rights under the parking space license agreement between",
        "paragraph_id": "para_199"
      },
      {
        "text": "itself and Kirk’s, and the plaintiff did not enter into a",
        "paragraph_id": "para_200"
      },
      {
        "text": "separate agreement with Kirk’s for the parking space.",
        "paragraph_id": "para_201"
      },
      {
        "text": "The plaintiff, however, continued to make monthly pay-",
        "paragraph_id": "para_202"
      },
      {
        "text": "ments to Kirk’s, as Lebov had done when he managed the",
        "paragraph_id": "para_203"
      },
      {
        "text": "day-to-day operations of Karaoke Heroes, LLC.",
        "paragraph_id": "para_204"
      },
      {
        "text": "On July 6, 2018, the defendant as landlord and the",
        "paragraph_id": "para_205"
      },
      {
        "text": "plaintiff as tenant entered into a written lease agreement",
        "paragraph_id": "para_206"
      },
      {
        "text": "for the premises. The lease was also signed by Lebov as",
        "paragraph_id": "para_207"
      },
      {
        "text": "guarantor. The lease term was set for three years, expir-",
        "paragraph_id": "para_208"
      },
      {
        "text": "ing on June 30, 2021. The plaintiff agreed to lease the",
        "paragraph_id": "para_209"
      },
      {
        "text": "premises in its current condition. The lease explicitly",
        "paragraph_id": "para_210"
      },
      {
        "text": "defined the use as a “karaoke type night club” with any",
        "paragraph_id": "para_211"
      },
      {
        "text": "alterations to the design plan requiring the “written con-",
        "paragraph_id": "para_212"
      },
      {
        "text": "sent of the [defendant].” The lease stated that the defen-",
        "paragraph_id": "para_213"
      },
      {
        "text": "dant “covenants with the [plaintiff] that the [premises]",
        "paragraph_id": "para_214"
      },
      {
        "text": "is in compliance with all governmental laws, regulations,",
        "paragraph_id": "para_215"
      },
      {
        "text": "and ordinances; and thereafter [the plaintiff] shall, at its",
        "paragraph_id": "para_216"
      },
      {
        "text": "own cost and expense . . . comply with all governmental",
        "paragraph_id": "para_217"
      },
      {
        "text": "laws, ordinances, orders and regulations affecting the",
        "paragraph_id": "para_218"
      },
      {
        "text": "[premises] now in force . . . .”",
        "paragraph_id": "para_219"
      },
      {
        "text": "The plaintiff made all required payments pursuant to",
        "paragraph_id": "para_220"
      },
      {
        "text": "the lease to the defendant from the beginning of the lease",
        "paragraph_id": "para_221"
      },
      {
        "text": "period to February, 2019. In March, 2019, the plaintiff",
        "paragraph_id": "para_222"
      },
      {
        "text": "failed to timely pay rent, and the defendant commenced a",
        "paragraph_id": "para_223"
      },
      {
        "text": "summary process action against the plaintiff. The plain-",
        "paragraph_id": "para_224"
      },
      {
        "text": "tiff was defaulted for failure to appear in the summary",
        "paragraph_id": "para_225"
      },
      {
        "text": "process action, and the court subsequently rendered a",
        "paragraph_id": "para_226"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCdefault judgment of possession in favor of the defen-",
        "paragraph_id": "para_227"
      },
      {
        "text": "dant. The defendant obtained an execution of judgment,",
        "paragraph_id": "para_228"
      },
      {
        "text": "which was served at the premises on July 24, 2019. The",
        "paragraph_id": "para_229"
      },
      {
        "text": "marshal executed the judgment on the same day, which",
        "paragraph_id": "para_230"
      },
      {
        "text": "execution was defective due to lack of sufficient notice.",
        "paragraph_id": "para_231"
      },
      {
        "text": "The plaintiff was removed from the premises despite",
        "paragraph_id": "para_232"
      },
      {
        "text": "the notice defect.",
        "paragraph_id": "para_233"
      },
      {
        "text": "In August, 2019, the plaintiff appeared in the summary",
        "paragraph_id": "para_234"
      },
      {
        "text": "process action and moved for a writ of audita querela, for",
        "paragraph_id": "para_235"
      },
      {
        "text": "temporary injunctive relief, for sanctions, and to quash",
        "paragraph_id": "para_236"
      },
      {
        "text": "the execution.7 At the hearing on the plaintiff’s motion,",
        "paragraph_id": "para_237"
      },
      {
        "text": "the defendant “learned that the state marshal’s execu-",
        "paragraph_id": "para_238"
      },
      {
        "text": "tion of the judgment of possession was defective, insofar",
        "paragraph_id": "para_239"
      },
      {
        "text": "as sufficient notice had not been provided to the plain-",
        "paragraph_id": "para_240"
      },
      {
        "text": "tiff; as a result, the defendant decided to withdraw the",
        "paragraph_id": "para_241"
      },
      {
        "text": "first summary process action.” Also at the hearing, the",
        "paragraph_id": "para_242"
      },
      {
        "text": "defendant and Kirk’s learned that the plaintiff did not",
        "paragraph_id": "para_243"
      },
      {
        "text": "have a written license agreement for the parking space",
        "paragraph_id": "para_244"
      },
      {
        "text": "into which the premises’ emergency exit door opened.",
        "paragraph_id": "para_245"
      },
      {
        "text": "After the defendant withdrew the first summary pro-",
        "paragraph_id": "para_246"
      },
      {
        "text": "cess action, the plaintiff regained possession of the prem-",
        "paragraph_id": "para_247"
      },
      {
        "text": "ises and resumed business. The defendant attempted to",
        "paragraph_id": "para_248"
      },
      {
        "text": "“reinstate the plaintiff’s lease, which it believed, in good",
        "paragraph_id": "para_249"
      },
      {
        "text": "faith, had been terminated by the [March, 2019] notice",
        "paragraph_id": "para_250"
      },
      {
        "text": "to quit.” The plaintiff did not respond to the defendant’s",
        "paragraph_id": "para_251"
      },
      {
        "text": "proposed lease reinstatement. “The plaintiff recom-",
        "paragraph_id": "para_252"
      },
      {
        "text": "menced making . . . monthly payments to the defendant",
        "paragraph_id": "para_253"
      },
      {
        "text": "in August, 2019, which were made until January, 2020,",
        "paragraph_id": "para_254"
      },
      {
        "text": "after which the payments ceased.”",
        "paragraph_id": "para_255"
      },
      {
        "text": "After learning that there was “no written license agree-",
        "paragraph_id": "para_256"
      },
      {
        "text": "ment between the plaintiff and Kirk’s regarding the",
        "paragraph_id": "para_257"
      },
      {
        "text": "7 A writ of audita querela “is a remedy granted in favor of one against",
        "paragraph_id": "para_258"
      },
      {
        "text": "whom execution has issued on a judgment, the enforcement of which",
        "paragraph_id": "para_259"
      },
      {
        "text": "would be contrary to justice because of (1) matters arising subsequent",
        "paragraph_id": "para_260"
      },
      {
        "text": "to its rendition, (2) prior existing defenses that were not available to the",
        "paragraph_id": "para_261"
      },
      {
        "text": "judgment debtor in the original action, or (3) the judgment creditor’s",
        "paragraph_id": "para_262"
      },
      {
        "text": "fraudulent conduct or circumstances over which the judgment debtor",
        "paragraph_id": "para_263"
      },
      {
        "text": "had no control.” (Internal quotation marks omitted.) No. 2 Fraser Place",
        "paragraph_id": "para_264"
      },
      {
        "text": "Condominium Assn., Inc. v. Mathis, 225 Conn. App. 534, 543, 316 A.3d",
        "paragraph_id": "para_265"
      },
      {
        "text": "813, cert. denied, 350 Conn. 905, 323 A.3d 342 (2024).",
        "paragraph_id": "para_266"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCrequired access to the parking lot,” Kirk’s proposed a",
        "paragraph_id": "para_267"
      },
      {
        "text": "new license agreement with the plaintiff for continued",
        "paragraph_id": "para_268"
      },
      {
        "text": "emergency exit access. The proposed license agreement",
        "paragraph_id": "para_269"
      },
      {
        "text": "“was somewhat more favorable” to Kirk’s, and the mem-",
        "paragraph_id": "para_270"
      },
      {
        "text": "bers of Kirk’s, MRVR, LLC, and McLaughlin, agreed",
        "paragraph_id": "para_271"
      },
      {
        "text": "that “Kirk’s would not accept the plaintiff’s tender . . .",
        "paragraph_id": "para_272"
      },
      {
        "text": "in August, 2019, absent a written license agreement.”",
        "paragraph_id": "para_273"
      },
      {
        "text": "Kirk’s, through counsel, sent the plaintiff a letter, stat-",
        "paragraph_id": "para_274"
      },
      {
        "text": "ing that the plaintiff had until January 1, 2020, “to",
        "paragraph_id": "para_275"
      },
      {
        "text": "enter into [a] new license agreement with [Kirk’s]. If an",
        "paragraph_id": "para_276"
      },
      {
        "text": "acceptable agreement is not reached, [Kirk’s] intend[s] to",
        "paragraph_id": "para_277"
      },
      {
        "text": "remove the bollards and resume using the space in front",
        "paragraph_id": "para_278"
      },
      {
        "text": "of the door. Again, any entry [onto] [Kirk’s] property will",
        "paragraph_id": "para_279"
      },
      {
        "text": "be treated as a trespass.” The plaintiff refused to sign the",
        "paragraph_id": "para_280"
      },
      {
        "text": "proposed license agreement and did not otherwise nego-",
        "paragraph_id": "para_281"
      },
      {
        "text": "tiate with Kirk’s for a new agreement. “Kirk’s reported",
        "paragraph_id": "para_282"
      },
      {
        "text": "to the New Haven Fire Department that the plaintiff no",
        "paragraph_id": "para_283"
      },
      {
        "text": "longer had a right of egress from the back door of the",
        "paragraph_id": "para_284"
      },
      {
        "text": "premises to the parking lot. The plaintiff ceased full",
        "paragraph_id": "para_285"
      },
      {
        "text": "business operations at the premises in August, 2019.",
        "paragraph_id": "para_286"
      },
      {
        "text": "“Thereafter, the plaintiff learned that the bollards",
        "paragraph_id": "para_287"
      },
      {
        "text": "were going to be removed, and the plaintiff sought a",
        "paragraph_id": "para_288"
      },
      {
        "text": "temporary injunction from the Superior Court, asking",
        "paragraph_id": "para_289"
      },
      {
        "text": "the court to enjoin the defendant from restricting the",
        "paragraph_id": "para_290"
      },
      {
        "text": "plaintiff’s access to the rear fire door opening onto the",
        "paragraph_id": "para_291"
      },
      {
        "text": "parking lot. . . . The court . . . entered a temporary injunc-",
        "paragraph_id": "para_292"
      },
      {
        "text": "tion on October 31, 2019, which reads, in part: `[T]he",
        "paragraph_id": "para_293"
      },
      {
        "text": "defendant . . . and each of its officers, servants, agents,",
        "paragraph_id": "para_294"
      },
      {
        "text": "and employees are commanded, enjoined and restrained,",
        "paragraph_id": "para_295"
      },
      {
        "text": "wholly and absolutely, from preventing the plaintiff’s",
        "paragraph_id": "para_296"
      },
      {
        "text": "access to the emergency egress through the fire door on",
        "paragraph_id": "para_297"
      },
      {
        "text": "the premises that are the subject of the lease agreement",
        "paragraph_id": "para_298"
      },
      {
        "text": "between the parties during the pendency of this action",
        "paragraph_id": "para_299"
      },
      {
        "text": "and under further order of the court.’ Despite this order,",
        "paragraph_id": "para_300"
      },
      {
        "text": "and after its issuance, Kirk’s removed the parking bol-",
        "paragraph_id": "para_301"
      },
      {
        "text": "lards in front of the egress door in January, 2020; it did",
        "paragraph_id": "para_302"
      },
      {
        "text": "so, in part, based upon the belief that the order applied",
        "paragraph_id": "para_303"
      },
      {
        "text": "to the defendant only, and not to Kirk’s.",
        "paragraph_id": "para_304"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLC“As a result of the removal of the bollards, the fire",
        "paragraph_id": "para_305"
      },
      {
        "text": "marshal did not renew the plaintiff’s liquor license,",
        "paragraph_id": "para_306"
      },
      {
        "text": "effectively stopping the plaintiff from operating as a",
        "paragraph_id": "para_307"
      },
      {
        "text": "karaoke-style nightclub and bar. Lebov removed his",
        "paragraph_id": "para_308"
      },
      {
        "text": "equipment from the property in the early summer of",
        "paragraph_id": "para_309"
      },
      {
        "text": "2020. Thereafter, the defendant instituted a second",
        "paragraph_id": "para_310"
      },
      {
        "text": "eviction action against the plaintiff, based on no right or",
        "paragraph_id": "para_311"
      },
      {
        "text": "privilege and lapse of time. The plaintiff agreed to leave",
        "paragraph_id": "para_312"
      },
      {
        "text": "the premises and surrendered possession voluntarily. The",
        "paragraph_id": "para_313"
      },
      {
        "text": "bollards were not reinstalled until after the plaintiff left",
        "paragraph_id": "para_314"
      },
      {
        "text": "the premises.” (Citation omitted.)",
        "paragraph_id": "para_315"
      },
      {
        "text": "The plaintiff commenced this action against the defen-",
        "paragraph_id": "para_316"
      },
      {
        "text": "dant on February 10, 2020. The plaintiff’s operative",
        "paragraph_id": "para_317"
      },
      {
        "text": "complaint, the third amended complaint, alleged four",
        "paragraph_id": "para_318"
      },
      {
        "text": "counts.8 In count two, the plaintiff alleged that the defen-",
        "paragraph_id": "para_319"
      },
      {
        "text": "dant breached the lease (1) by failing to lease the premises",
        "paragraph_id": "para_320"
      },
      {
        "text": "in compliance with all relevant laws and regulations, as",
        "paragraph_id": "para_321"
      },
      {
        "text": "required by § 10 of the lease; (2) by violating the plain-",
        "paragraph_id": "para_322"
      },
      {
        "text": "tiff’s right of quiet enjoyment under § 28 of the lease by",
        "paragraph_id": "para_323"
      },
      {
        "text": "filing the two summary process actions; and (3) by allow-",
        "paragraph_id": "para_324"
      },
      {
        "text": "ing a third party, Kirk’s, to interfere with the plaintiff’s",
        "paragraph_id": "para_325"
      },
      {
        "text": "quiet enjoyment of the premises, in violation of § 28 of",
        "paragraph_id": "para_326"
      },
      {
        "text": "the lease.9 In count three, the plaintiff alleged that the",
        "paragraph_id": "para_327"
      },
      {
        "text": "8 In count one, the plaintiff alleged abuse of process stemming from two",
        "paragraph_id": "para_328"
      },
      {
        "text": "summary process actions brought by the defendant against the plaintiff",
        "paragraph_id": "para_329"
      },
      {
        "text": "and the defendant’s alleged violation of an injunction. In count four,",
        "paragraph_id": "para_330"
      },
      {
        "text": "the plaintiff alleged that the defendant breached the lease’s implied",
        "paragraph_id": "para_331"
      },
      {
        "text": "covenant of good faith and fair dealing by commencing two summary",
        "paragraph_id": "para_332"
      },
      {
        "text": "process actions against the plaintiff, damaging the plaintiff’s property",
        "paragraph_id": "para_333"
      },
      {
        "text": "upon execution of the first summary process action, and interfering with",
        "paragraph_id": "para_334"
      },
      {
        "text": "the plaintiff’s business and use of the premises. The plaintiff did not",
        "paragraph_id": "para_335"
      },
      {
        "text": "appeal the court’s judgment as to counts one and four of its operative",
        "paragraph_id": "para_336"
      },
      {
        "text": "complaint—the abuse of process and breach of the implied covenant of",
        "paragraph_id": "para_337"
      },
      {
        "text": "good faith and fair dealing claims.",
        "paragraph_id": "para_338"
      },
      {
        "text": "9 Section 10 of the lease provides in relevant part: “At the commence-",
        "paragraph_id": "para_339"
      },
      {
        "text": "ment of this [l]ease, [the defendant] covenants with [the plaintiff] that",
        "paragraph_id": "para_340"
      },
      {
        "text": "the [premises] is in compliance with all governmental laws, regulations,",
        "paragraph_id": "para_341"
      },
      {
        "text": "and ordinances; and thereafter [the plaintiff] shall, at its own cost and",
        "paragraph_id": "para_342"
      },
      {
        "text": "expense . . . comply with all governmental laws, ordinances, orders and",
        "paragraph_id": "para_343"
      },
      {
        "text": "regulations . . . .”",
        "paragraph_id": "para_344"
      },
      {
        "text": "Section 28 of the lease provides in relevant part: “The [defendant]",
        "paragraph_id": "para_345"
      },
      {
        "text": "covenants with [the plaintiff] that . . . it will suffer and permit [the",
        "paragraph_id": "para_346"
      },
      {
        "text": "plaintiff], upon paying the rents and performing all of the terms on its",
        "paragraph_id": "para_347"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCdefendant violated CUTPA by removing the bollards",
        "paragraph_id": "para_348"
      },
      {
        "text": "in the parking lot in violation of an injunction. By way",
        "paragraph_id": "para_349"
      },
      {
        "text": "of relief, the plaintiff sought compensatory damages,",
        "paragraph_id": "para_350"
      },
      {
        "text": "punitive damages, fees and costs.",
        "paragraph_id": "para_351"
      },
      {
        "text": "On December 19, 2022, the defendant filed an answer,",
        "paragraph_id": "para_352"
      },
      {
        "text": "special defense and a counterclaim. The defendant denied",
        "paragraph_id": "para_353"
      },
      {
        "text": "liability and asserted seven special defenses.10 In its",
        "paragraph_id": "para_354"
      },
      {
        "text": "counterclaim, the defendant alleged a single count of",
        "paragraph_id": "para_355"
      },
      {
        "text": "breach of contract for failure to pay rent and utilities",
        "paragraph_id": "para_356"
      },
      {
        "text": "owed under the lease. By way of relief, the defendant",
        "paragraph_id": "para_357"
      },
      {
        "text": "sought compensatory damages for the unpaid rent and",
        "paragraph_id": "para_358"
      },
      {
        "text": "utilities, interest, and attorney’s fees pursuant to § 23",
        "paragraph_id": "para_359"
      },
      {
        "text": "of the lease.11 The plaintiff denied the allegations made",
        "paragraph_id": "para_360"
      },
      {
        "text": "by the defendant in its counterclaim and raised three",
        "paragraph_id": "para_361"
      },
      {
        "text": "special defenses.12",
        "paragraph_id": "para_362"
      },
      {
        "text": "A court trial was held on February 15 and 16, and",
        "paragraph_id": "para_363"
      },
      {
        "text": "April 9, 2024. Ronald, Richard, Lebov, Attorney Earl",
        "paragraph_id": "para_364"
      },
      {
        "text": "Giovanniello, and Attorney Stuart Margolis testified at",
        "paragraph_id": "para_365"
      },
      {
        "text": "trial. Following trial, the court rendered judgment for",
        "paragraph_id": "para_366"
      },
      {
        "text": "the defendant on all counts of the plaintiff’s complaint.",
        "paragraph_id": "para_367"
      },
      {
        "text": "Specifically, as to the plaintiff’s breach of contract claim,",
        "paragraph_id": "para_368"
      },
      {
        "text": "part to be performed, to occupy, possess and enjoy said premises dur-",
        "paragraph_id": "para_369"
      },
      {
        "text": "ing the term of the [l]ease without hindrance or molestation from the",
        "paragraph_id": "para_370"
      },
      {
        "text": "[defendant] or any mortgage, ground [l]ease or agreements to which",
        "paragraph_id": "para_371"
      },
      {
        "text": "this [l]ease is subordinated.”",
        "paragraph_id": "para_372"
      },
      {
        "text": "10 The defendant’s first special defense alleged that the plaintiff failed",
        "paragraph_id": "para_373"
      },
      {
        "text": "to mitigate damages. The second and third special defenses alleged",
        "paragraph_id": "para_374"
      },
      {
        "text": "contributory negligence and comparative negligence on the part of the",
        "paragraph_id": "para_375"
      },
      {
        "text": "plaintiff. The fourth special defense alleged a right of setoff or offset.",
        "paragraph_id": "para_376"
      },
      {
        "text": "The fifth special defense alleged a breach of the lease. The sixth special",
        "paragraph_id": "para_377"
      },
      {
        "text": "defense alleged that the COVID-19 pandemic and subsequent executive",
        "paragraph_id": "para_378"
      },
      {
        "text": "orders issued by Governor Lamont were the substantial cause of the",
        "paragraph_id": "para_379"
      },
      {
        "text": "plaintiff’s damages. The seventh special defense alleged immunity on the",
        "paragraph_id": "para_380"
      },
      {
        "text": "basis of the conduct of state marshals acting in their official capacities.",
        "paragraph_id": "para_381"
      },
      {
        "text": "11 Section 23 of the lease provides in relevant part that the plaintiff",
        "paragraph_id": "para_382"
      },
      {
        "text": "“shall so pay all costs, expenses and reasonable attorney’s fees incurred",
        "paragraph_id": "para_383"
      },
      {
        "text": "or paid by [the defendant] in successfully enforcing the terms of this",
        "paragraph_id": "para_384"
      },
      {
        "text": "[l]ease.”",
        "paragraph_id": "para_385"
      },
      {
        "text": "12 The plaintiff’s first special defense alleged constructive eviction",
        "paragraph_id": "para_386"
      },
      {
        "text": "against the defendant. The second special defense alleged unclean hands.",
        "paragraph_id": "para_387"
      },
      {
        "text": "The third special defense alleged the right of setoff. The plaintiff did",
        "paragraph_id": "para_388"
      },
      {
        "text": "not appeal the judgment regarding its three special defenses.",
        "paragraph_id": "para_389"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCthe court found that the monthly payments by the plain-",
        "paragraph_id": "para_390"
      },
      {
        "text": "tiff to Kirk’s for “parking” continued the license agree-",
        "paragraph_id": "para_391"
      },
      {
        "text": "ment between Kirk’s and the plaintiff’s predecessor on a",
        "paragraph_id": "para_392"
      },
      {
        "text": "month-to-month basis between Kirk’s and the plaintiff.",
        "paragraph_id": "para_393"
      },
      {
        "text": "The court found that the month-to-month license with",
        "paragraph_id": "para_394"
      },
      {
        "text": "Kirk’s for the emergency exit egress rendered the prem-",
        "paragraph_id": "para_395"
      },
      {
        "text": "ises compliant with “all governmental laws, regulations",
        "paragraph_id": "para_396"
      },
      {
        "text": "and ordinances” at the time the lease commenced. After",
        "paragraph_id": "para_397"
      },
      {
        "text": "the lease commenced, the lease explicitly made such",
        "paragraph_id": "para_398"
      },
      {
        "text": "compliance the plaintiff’s responsibility. The court thus",
        "paragraph_id": "para_399"
      },
      {
        "text": "found that the defendant did not breach § 10 of the lease.",
        "paragraph_id": "para_400"
      },
      {
        "text": "As to count three, alleging a violation of CUTPA, the",
        "paragraph_id": "para_401"
      },
      {
        "text": "court found that claim untenable in light of its finding",
        "paragraph_id": "para_402"
      },
      {
        "text": "that the defendant “did not engage in wrongful conduct",
        "paragraph_id": "para_403"
      },
      {
        "text": "with respect to the plaintiff’s tenancy . . . .” The court",
        "paragraph_id": "para_404"
      },
      {
        "text": "did not address the defendant’s special defenses.",
        "paragraph_id": "para_405"
      },
      {
        "text": "In addition, the court rendered judgment in favor of",

        "paragraph_id": "para_407"
      },
      {
        "text": "Specifically, the court determined that the plaintiff",
        "paragraph_id": "para_408"
      },
      {
        "text": "had breached the lease by failing to pay rent and utility",
        "paragraph_id": "para_409"
      },
      {
        "text": "bills. The court rejected the plaintiff’s special defenses",
        "paragraph_id": "para_410"
      },
      {
        "text": "of constructive eviction, unclean hands, and setoff. The",
        "paragraph_id": "para_411"
      },
      {
        "text": "court thus awarded the defendant $93,905.40, plus costs,",
        "paragraph_id": "para_412"
      },
      {
        "text": "expenses, and reasonable attorney’s fees. This appeal",
        "paragraph_id": "para_413"
      },
      {
        "text": "followed.13",
        "paragraph_id": "para_414"
      },
      {
        "text": "I",
        "paragraph_id": "para_415"
      },
      {
        "text": "The plaintiff claims that the court incorrectly deter-",
        "paragraph_id": "para_416"
      },
      {
        "text": "mined that the defendant did not breach the lease because",
        "paragraph_id": "para_417"
      },
      {
        "text": "13 Although the plaintiff challenges the propriety of the court’s judg-",
        "paragraph_id": "para_418"
      },
      {
        "text": "ment with respect to its breach of contract claim, the plaintiff has not",
        "paragraph_id": "para_419"
      },
      {
        "text": "raised a distinct claim regarding the court’s judgment concerning",
        "paragraph_id": "para_420"
      },
      {
        "text": "its right of quiet enjoyment claim. To the extent that the plaintiff",
        "paragraph_id": "para_421"
      },
      {
        "text": "briefly references that ruling in its appellate brief, it does so only in",
        "paragraph_id": "para_422"
      },
      {
        "text": "the context of its argument that the defendant’s alleged violation of",
        "paragraph_id": "para_423"
      },
      {
        "text": "the injunction also violated CUTPA. The plaintiff has provided neither",
        "paragraph_id": "para_424"
      },
      {
        "text": "citation to legal authority regarding its right of quiet enjoyment claim",
        "paragraph_id": "para_425"
      },
      {
        "text": "nor analysis thereof. As such, we decline to consider the propriety of",
        "paragraph_id": "para_426"
      },
      {
        "text": "the court’s judgment as to that claim, as it is inadequately briefed.",
        "paragraph_id": "para_427"
      },
      {
        "text": "See Stubbs v. ICare Management, LLC, 198 Conn. App. 511, 529, 233",
        "paragraph_id": "para_428"
      },
      {
        "text": "A.3d 1170 (2020) (“[a]nalysis, rather than mere abstract assertion, is",
        "paragraph_id": "para_429"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCthe premises was compliant with all relevant laws and",
        "paragraph_id": "para_430"
      },
      {
        "text": "regulations at signing.14 Specifically, the plaintiff con-",
        "paragraph_id": "para_431"
      },
      {
        "text": "tends that the court’s determination is improper for two",
        "paragraph_id": "para_432"
      },
      {
        "text": "reasons: (1) the court’s finding that an implied emergency",
        "paragraph_id": "para_433"
      },
      {
        "text": "access license agreement existed between Kirk’s and the",
        "paragraph_id": "para_434"
      },
      {
        "text": "plaintiff that rendered the premises compliant with all",
        "paragraph_id": "para_435"
      },
      {
        "text": "relevant laws and regulations pursuant to § 10 of the lease",
        "paragraph_id": "para_436"
      },
      {
        "text": "is clearly erroneous; and (2) the defendant was required",
        "paragraph_id": "para_437"
      },
      {
        "text": "under the lease to provide the plaintiff with an egress",
        "paragraph_id": "para_438"
      },
      {
        "text": "“sufficient to obtain a liquor license and run a place of",
        "paragraph_id": "para_439"
      },
      {
        "text": "assembly . . . .” We disagree.",
        "paragraph_id": "para_440"
      },
      {
        "text": "We begin with our standard of review. “The trier of",
        "paragraph_id": "para_441"
      },
      {
        "text": "fact’s determination of a question of fact will not be",
        "paragraph_id": "para_442"
      },
      {
        "text": "overturned unless it is clearly erroneous. . . . A finding",
        "paragraph_id": "para_443"
      },
      {
        "text": "of fact is clearly erroneous when there is no evidence in",
        "paragraph_id": "para_444"
      },
      {
        "text": "the record to support it . . . or when although there is",
        "paragraph_id": "para_445"
      },
      {
        "text": "evidence to support it, the reviewing court on the entire",
        "paragraph_id": "para_446"
      },
      {
        "text": "evidence is left with the definite and firm conviction that",
        "paragraph_id": "para_447"
      },
      {
        "text": "a mistake has been committed. . . . Under the clearly erro-",
        "paragraph_id": "para_448"
      },
      {
        "text": "neous standard of review, a finding of fact must stand",
        "paragraph_id": "para_449"
      },
      {
        "text": "if, on the basis of the evidence before the court and the",
        "paragraph_id": "para_450"
      },
      {
        "text": "reasonable inferences to be drawn from that evidence,",
        "paragraph_id": "para_451"
      },
      {
        "text": "a trier of fact reasonably could have found as it did. .",
        "paragraph_id": "para_452"
      },
      {
        "text": ". . In reviewing factual findings, [w]e do not examine",
        "paragraph_id": "para_453"
      },
      {
        "text": "the record to determine whether the [court] could have",
        "paragraph_id": "para_454"
      },
      {
        "text": "reached a conclusion other than the one reached. . . .",
        "paragraph_id": "para_455"
      },
      {
        "text": "Instead, we make every reasonable presumption . . . in",
        "paragraph_id": "para_456"
      },
      {
        "text": "required in order to avoid abandoning an issue by failure to brief the",
        "paragraph_id": "para_457"
      },
      {
        "text": "issue properly” (internal quotation marks omitted)).",
        "paragraph_id": "para_458"
      },
      {
        "text": "14 We note that it is unclear exactly what laws and/or regulations the",
        "paragraph_id": "para_459"
      },
      {
        "text": "plaintiff claims the premises was not in compliance with at the start of",
        "paragraph_id": "para_460"
      },
      {
        "text": "the lease. The court found that that the egress onto Kirk’s parking lot",
        "paragraph_id": "para_461"
      },
      {
        "text": "was required by both the fire marshal and the liquor commission. In its",
        "paragraph_id": "para_462"
      },
      {
        "text": "brief, the plaintiff argues that § 100.6.2.1 of the Connecticut Building",
        "paragraph_id": "para_463"
      },
      {
        "text": "Code requires the premises to have two means of egress if it is to be used",
        "paragraph_id": "para_464"
      },
      {
        "text": "as an assembly. Beyond that, the plaintiff never clarified what, if any,",
        "paragraph_id": "para_465"
      },
      {
        "text": "additional laws or regulations the premises was in violation of at signing.",
        "paragraph_id": "para_466"
      },
      {
        "text": "As such, we limit our review to the court’s determinations, specifically,",
        "paragraph_id": "para_467"
      },
      {
        "text": "whether there existed a month-to-month license agreement between",
        "paragraph_id": "para_468"
      },
      {
        "text": "Kirk’s and the plaintiff for use of the emergency exit and whether the",
        "paragraph_id": "para_469"
      },
      {
        "text": "defendant was required to provide an agreement between Kirk’s and",
        "paragraph_id": "para_470"
      },
      {
        "text": "the plaintiff under the express terms of the lease.",
        "paragraph_id": "para_471"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCfavor of the trial court’s ruling.” (Citation omitted;",
        "paragraph_id": "para_472"
      },
      {
        "text": "internal quotation marks omitted.) Giglio v. Ardohain,",
        "paragraph_id": "para_473"
      },
      {
        "text": "233 Conn. App. 743, 752, 341 A.3d 272 (2025). Further-",
        "paragraph_id": "para_474"
      },
      {
        "text": "more, “[a]s a reviewing court [w]e must defer to the trier",
        "paragraph_id": "para_475"
      },
      {
        "text": "of fact’s assessment of the credibility of the witnesses",
        "paragraph_id": "para_476"
      },
      {
        "text": "that is made on the basis of its firsthand observations of",
        "paragraph_id": "para_477"
      },
      {
        "text": "their conduct, demeanor and attitude. . . . The weight",
        "paragraph_id": "para_478"
      },
      {
        "text": "to be given to the evidence and to the credibility of the",
        "paragraph_id": "para_479"
      },
      {
        "text": "witnesses is solely within the determination of the trier",
        "paragraph_id": "para_480"
      },
      {
        "text": "of fact.” (Internal quotation marks omitted.) Burr v.",
        "paragraph_id": "para_481"
      },
      {
        "text": "Grossman Chevrolet-Nissan, Inc., 224 Conn. App. 668,",
        "paragraph_id": "para_482"
      },
      {
        "text": "681, 315 A.3d 414 (2024).",
        "paragraph_id": "para_483"
      },
      {
        "text": "“[T]he standard of review for a lease, which is a con-",
        "paragraph_id": "para_484"
      },
      {
        "text": "tract, is plenary. Although ordinarily the question of",
        "paragraph_id": "para_485"
      },
      {
        "text": "contract interpretation, being a question of the parties’",
        "paragraph_id": "para_486"
      },
      {
        "text": "intent, is a question of fact . . . [w]here there is definitive",
        "paragraph_id": "para_487"
      },
      {
        "text": "contract language, the determination of what the parties",
        "paragraph_id": "para_488"
      },
      {
        "text": "intended by their contractual commitments is a question",
        "paragraph_id": "para_489"
      },
      {
        "text": "of law. . . . It is a general rule that a contract is to be inter-",
        "paragraph_id": "para_490"
      },
      {
        "text": "preted according to the intent expressed in its language",
        "paragraph_id": "para_491"
      },
      {
        "text": "and not by an intent the court may believe existed in the",
        "paragraph_id": "para_492"
      },
      {
        "text": "minds of the parties. . . . When the intention conveyed",
        "paragraph_id": "para_493"
      },
      {
        "text": "by the terms of an agreement is clear and unambiguous,",
        "paragraph_id": "para_494"
      },
      {
        "text": "there is no room for construction. . . . [A] court cannot",
        "paragraph_id": "para_495"
      },
      {
        "text": "import into [an] agreement a different provision nor can",
        "paragraph_id": "para_496"
      },
      {
        "text": "the construction of the agreement be changed to vary",
        "paragraph_id": "para_497"
      },
      {
        "text": "the express limitations of its terms.” (Citation omitted;",
        "paragraph_id": "para_498"
      },
      {
        "text": "internal quotation marks omitted.) Pack 2000, Inc. v.",
        "paragraph_id": "para_499"
      },
      {
        "text": "Cushman, 198 Conn. App. 428, 437–38, 234 A.3d 49,",
        "paragraph_id": "para_500"
      },
      {
        "text": "cert. denied, 335 Conn. 965, 240 A.3d 283 (2020).",
        "paragraph_id": "para_501"
      },
      {
        "text": "“The elements of a breach of contract claim are the",
        "paragraph_id": "para_502"
      },
      {
        "text": "formation of an agreement, performance by one party,",
        "paragraph_id": "para_503"
      },
      {
        "text": "breach of the agreement by the other party, and dam-",
        "paragraph_id": "para_504"
      },
      {
        "text": "ages.” (Internal quotation marks omitted.) Ready v.",
        "paragraph_id": "para_505"
      },
      {
        "text": "New Canaan, 232 Conn. App. 487, 495, 336 A.3d 1252",
        "paragraph_id": "para_506"
      },
      {
        "text": "(2025). We note that the existence of a contract, includ-",
        "paragraph_id": "para_507"
      },
      {
        "text": "ing an implied in fact contract, is a question of fact. See",
        "paragraph_id": "para_508"
      },
      {
        "text": "Connecticut Light & Power Co. v. Proctor, 324 Conn. 245,",
        "paragraph_id": "para_509"
      },
      {
        "text": "258, 152 A.3d 470 (2016) (“the existence of an implied",
        "paragraph_id": "para_510"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCin fact contract is a question of fact for the trier”). “A",
        "paragraph_id": "para_511"
      },
      {
        "text": "manifestation of mutual assent may be made even though",
        "paragraph_id": "para_512"
      },
      {
        "text": "neither offer nor acceptance can be identified and even",
        "paragraph_id": "para_513"
      },
      {
        "text": "though the moment of formation cannot be determined.",
        "paragraph_id": "para_514"
      },
      {
        "text": ". . . Parties are bound to the terms of a contract even",
        "paragraph_id": "para_515"
      },
      {
        "text": "though it is not signed if their assent is otherwise indi-",
        "paragraph_id": "para_516"
      },
      {
        "text": "cated. . . . In addition, [w]hat the parties intended to",
        "paragraph_id": "para_517"
      },
      {
        "text": "encompass in their contractual commitments is a ques-",
        "paragraph_id": "para_518"
      },
      {
        "text": "tion of the intention of the parties, and an inference",
        "paragraph_id": "para_519"
      },
      {
        "text": "of fact.” (Citations omitted; internal quotation marks",
        "paragraph_id": "para_520"
      },
      {
        "text": "omitted.) Original Grasso Construction Co. v. Shepherd,",
        "paragraph_id": "para_521"
      },
      {
        "text": "70 Conn. App. 404, 411, 799 A.2d 1083, cert. denied,",
        "paragraph_id": "para_522"
      },
      {
        "text": "261 Conn. 932, 806 A.2d 1065 (2002).",
        "paragraph_id": "para_523"
      },
      {
        "text": "A",
        "paragraph_id": "para_524"
      },
      {
        "text": "The plaintiff first argues that the court’s findings",
        "paragraph_id": "para_525"
      },
      {
        "text": "regarding the existence of an implied emergency access",
        "paragraph_id": "para_526"
      },
      {
        "text": "license agreement between Kirk’s and the plaintiff and",
        "paragraph_id": "para_527"
      },
      {
        "text": "that such agreement rendered the premises compliant",
        "paragraph_id": "para_528"
      },
      {
        "text": "with all relevant laws and regulations pursuant to § 10",
        "paragraph_id": "para_529"
      },
      {
        "text": "of the lease are clearly erroneous. We disagree.",
        "paragraph_id": "para_530"
      },
      {
        "text": "The lease provides that the defendant “covenants with",
        "paragraph_id": "para_531"
      },
      {
        "text": "the [plaintiff] that the [premises] is in compliance with",
        "paragraph_id": "para_532"
      },
      {
        "text": "all governmental laws, regulations, and ordinances;",
        "paragraph_id": "para_533"
      },
      {
        "text": "and thereafter [the plaintiff] shall, at its own cost and",
        "paragraph_id": "para_534"
      },
      {
        "text": "expense . . . comply with all governmental laws, ordi-",
        "paragraph_id": "para_535"
      },
      {
        "text": "nances, orders and regulations affecting the [premises]",
        "paragraph_id": "para_536"
      },
      {
        "text": ". . . .” The original license agreement between Karaoke",
        "paragraph_id": "para_537"
      },
      {
        "text": "Heroes, LLC, and Kirk’s provided for emergency access",
        "paragraph_id": "para_538"
      },
      {
        "text": "and rendered the premises compliant with relevant laws",
        "paragraph_id": "para_539"
      },
      {
        "text": "and regulations to operate as a karaoke bar. Lebov testi-",
        "paragraph_id": "para_540"
      },
      {
        "text": "fied that, as manager of Karaoke Heroes, LLC, he paid",
        "paragraph_id": "para_541"
      },
      {
        "text": "Kirk’s a monthly fee for this license agreement. Lebov",
        "paragraph_id": "para_542"
      },
      {
        "text": "further testified that, as owner and operator of the plain-",
        "paragraph_id": "para_543"
      },
      {
        "text": "tiff, he continued to make monthly payments to Kirk’s",
        "paragraph_id": "para_544"
      },
      {
        "text": "for “parking.” Lebov, however, testified that he was",
        "paragraph_id": "para_545"
      },
      {
        "text": "never made aware of the license agreement between",
        "paragraph_id": "para_546"
      },
      {
        "text": "Karaoke Heroes, LLC, and Kirk’s when he managed the",
        "paragraph_id": "para_547"
      },
      {
        "text": "day-to-day operations of Karaoke Heroes, LLC. He also",
        "paragraph_id": "para_548"
      },
      {
        "text": "said he was not aware that the plaintiff needed a license",
        "paragraph_id": "para_549"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCagreement with Kirk’s for an emergency exit egress to",
        "paragraph_id": "para_550"
      },
      {
        "text": "continue operating as a karaoke bar. The court specifically",
        "paragraph_id": "para_551"
      },
      {
        "text": "discredited Lebov’s testimony that he was both unaware",
        "paragraph_id": "para_552"
      },
      {
        "text": "of the license agreement and that he was unaware of the",
        "paragraph_id": "para_553"
      },
      {
        "text": "need for the license agreement to run his karaoke bar.",
        "paragraph_id": "para_554"
      },
      {
        "text": "Richard and Ronald both testified that the premises",
        "paragraph_id": "para_555"
      },
      {
        "text": "complied with all applicable laws and regulations at the",
        "paragraph_id": "para_556"
      },
      {
        "text": "time the parties entered into the lease. When Kirk’s",
        "paragraph_id": "para_557"
      },
      {
        "text": "became aware that no written license agreement existed",
        "paragraph_id": "para_558"
      },
      {
        "text": "between the plaintiff and Kirk’s, it drafted a new agree-",
        "paragraph_id": "para_559"
      },
      {
        "text": "ment to ensure that the plaintiff continued to have an",
        "paragraph_id": "para_560"
      },
      {
        "text": "egress in compliance with the fire department’s require-",
        "paragraph_id": "para_561"
      },
      {
        "text": "ments. To that end, the court determined that the license",
        "paragraph_id": "para_562"
      },
      {
        "text": "agreement between the plaintiff’s predecessor and Kirk’s",
        "paragraph_id": "para_563"
      },
      {
        "text": "continued on a month-to-month basis between the plain-",
        "paragraph_id": "para_564"
      },
      {
        "text": "tiff and Kirk’s due to Lebov’s continued payment and",
        "paragraph_id": "para_565"
      },
      {
        "text": "Kirk’s continued acceptance of the monthly license fee.",
        "paragraph_id": "para_566"
      },
      {
        "text": "Specifically, the court found that this agreement “existed",
        "paragraph_id": "para_567"
      },
      {
        "text": "as a result of the parties’ conduct in the surrounding",
        "paragraph_id": "para_568"
      },
      {
        "text": "circumstances . . . and the plaintiff’s delivery and Kirk’s",
        "paragraph_id": "para_569"
      },
      {
        "text": "acceptance of monthly checks.” As such, the court con-",
        "paragraph_id": "para_570"
      },
      {
        "text": "cluded, and we agree, that an implied agreement existed",
        "paragraph_id": "para_571"
      },
      {
        "text": "between Kirk’s and the plaintiff. See Connecticut Light",
        "paragraph_id": "para_572"
      },
      {
        "text": "& Power Co. v. Proctor, supra, 324 Conn. 258; Original",
        "paragraph_id": "para_573"
      },
      {
        "text": "Grasso Construction Co. v. Shepherd, supra, 70 Conn.",
        "paragraph_id": "para_574"
      },
      {
        "text": "App. 411. The court therefore determined that the prem-",
        "paragraph_id": "para_575"
      },
      {
        "text": "ises was compliant with all relevant laws and regulations",
        "paragraph_id": "para_576"
      },
      {
        "text": "at signing, as required by the defendant’s covenant in",
        "paragraph_id": "para_577"
      },
      {
        "text": "§ 10 of the lease.15 On the basis of our careful review of",
        "paragraph_id": "para_578"
      },
      {
        "text": "15 In other words, the plaintiff began conducting its business with",
        "paragraph_id": "para_579"
      },
      {
        "text": "access to the emergency egress. During this time, it paid Kirk’s a",
        "paragraph_id": "para_580"
      },
      {
        "text": "monthly fee for “parking,” which gave it access to the parking space",
        "paragraph_id": "para_581"
      },
      {
        "text": "with bollards on it for an emergency exit egress. On July 6, 2018, the",
        "paragraph_id": "para_582"
      },
      {
        "text": "plaintiff signed the operative lease with the defendant, while retaining",
        "paragraph_id": "para_583"
      },
      {
        "text": "access to the parking lot through the continued payments to Kirk’s for",
        "paragraph_id": "para_584"
      },
      {
        "text": "“parking.” This arrangement continued well after the commencement of",
        "paragraph_id": "para_585"
      },
      {
        "text": "that lease, at which point the plaintiff assumed responsibility to comply",
        "paragraph_id": "para_586"
      },
      {
        "text": "with all relevant laws and regulations pursuant to § 10 of the lease. Only",
        "paragraph_id": "para_587"
      },
      {
        "text": "after Kirk’s learned that there was no formal, written license agree-",
        "paragraph_id": "para_588"
      },
      {
        "text": "ment between itself and the plaintiff did it decide either to reinstate a",
        "paragraph_id": "para_589"
      },
      {
        "text": "formal, written license agreement or to terminate the plaintiff’s then",
        "paragraph_id": "para_590"
      },
      {
        "text": "existing license. As the court noted, “Kirk’s had the right to terminate",
        "paragraph_id": "para_591"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCthe record, we cannot conclude that the court’s findings",
        "paragraph_id": "para_592"
      },
      {
        "text": "regarding the license agreement and the premises’ com-",
        "paragraph_id": "para_593"
      },
      {
        "text": "pliance with applicable laws and regulations at signing",
        "paragraph_id": "para_594"
      },
      {
        "text": "are clearly erroneous.",
        "paragraph_id": "para_595"
      },
      {
        "text": "B",
        "paragraph_id": "para_596"
      },
      {
        "text": "The plaintiff next argues that the defendant was",
        "paragraph_id": "para_597"
      },
      {
        "text": "required to provide the plaintiff with an egress agree-",
        "paragraph_id": "para_598"
      },
      {
        "text": "ment with Kirk’s under the lease and its failure to do so",
        "paragraph_id": "para_599"
      },
      {
        "text": "constituted a breach of § 10 of the lease. We disagree.",
        "paragraph_id": "para_600"
      },
      {
        "text": "The lease does not explicitly require the defendant to",
        "paragraph_id": "para_601"
      },
      {
        "text": "provide an egress agreement for the plaintiff. The only",
        "paragraph_id": "para_602"
      },
      {
        "text": "ingress and egress explicitly mentioned in the lease is",
        "paragraph_id": "para_603"
      },
      {
        "text": "the entrance accessed through the alley entryway, not",
        "paragraph_id": "para_604"
      },
      {
        "text": "the emergency exit through the parking lot.16 The lease,",
        "paragraph_id": "para_605"
      },
      {
        "text": "likewise, explicitly required the plaintiff to be respon-",
        "paragraph_id": "para_606"
      },
      {
        "text": "sible to ensure that the premises was compliant with all",
        "paragraph_id": "para_607"
      },
      {
        "text": "applicable laws and regulations after signing.",
        "paragraph_id": "para_608"
      },
      {
        "text": "Although, as the plaintiff argues, tenants have a",
        "paragraph_id": "para_609"
      },
      {
        "text": "right of ingress and egress in rented premises, that does",
        "paragraph_id": "para_610"
      },
      {
        "text": "not mean that a tenant has a right to specific ingress",
        "paragraph_id": "para_611"
      },
      {
        "text": "and egress, as the plaintiff claims.17 It is clear that the",
        "paragraph_id": "para_612"
      },
      {
        "text": "the plaintiff’s license [for] egress into the parking lot, which was being",
        "paragraph_id": "para_613"
      },
      {
        "text": "paid for on a month-to-month basis.”",
        "paragraph_id": "para_614"
      },
      {
        "text": "16 The plaintiff seems to conflate the alley entryway, as described by",
        "paragraph_id": "para_615"
      },
      {
        "text": "the lease, and the emergency exit door accessed through the parking",
        "paragraph_id": "para_616"
      },
      {
        "text": "lot. Richard’s testimony at trial, however, clearly notes that there",
        "paragraph_id": "para_617"
      },
      {
        "text": "are at least two entryways to the premises, an alley entryway and the",
        "paragraph_id": "para_618"
      },
      {
        "text": "emergency exit door.",
        "paragraph_id": "para_619"
      },
      {

        "paragraph_id": "para_621"
      },
      {
        "text": "and egress to rented premises and, on the basis of that requirement,",
        "paragraph_id": "para_622"
      },
      {
        "text": "argues that the defendant in this case was required to broker an agree-",
        "paragraph_id": "para_623"
      },
      {
        "text": "ment with Kirk’s for the plaintiff for the emergency exit egress. In",
        "paragraph_id": "para_624"
      },
      {
        "text": "Martel, however, our Supreme Court stated that the “only means of",
        "paragraph_id": "para_625"
      },
      {
        "text": "access or egress”; id., 389; to a second floor apartment must be included",
        "paragraph_id": "para_626"
      },
      {
        "text": "in the implied terms of lease as it would be irrational to “say that the",
        "paragraph_id": "para_627"
      },
      {
        "text": "[tenant’s] section of the building was rented to him but that the steps",
        "paragraph_id": "para_628"
      },
      {
        "text": "leading from it were not . . . .” (Internal quotation marks omitted.) Id.,",
        "paragraph_id": "para_629"
      },
      {
        "text": "390. We do not read Martel to require the defendant, in this case, to",
        "paragraph_id": "para_630"
      },
      {
        "text": "broker an emergency access agreement on behalf of the plaintiff with",
        "paragraph_id": "para_631"
      },
      {
        "text": "a nonparty.",
        "paragraph_id": "para_632"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCplaintiff’s means of ingress and egress was through the",
        "paragraph_id": "para_633"
      },
      {
        "text": "alley entryway. Moreover, we are aware of no authority,",
        "paragraph_id": "para_634"
      },
      {
        "text": "nor has the plaintiff provided any, in which a landlord",
        "paragraph_id": "para_635"
      },
      {
        "text": "was required to broker agreements with nonparties to",
        "paragraph_id": "para_636"
      },
      {
        "text": "ensure that the tenant had an additional means of egress",
        "paragraph_id": "para_637"
      },
      {
        "text": "through a nonparty’s property throughout the duration",
        "paragraph_id": "para_638"
      },
      {
        "text": "of the tenant’s lease. We are further mindful that, when",
        "paragraph_id": "para_639"
      },
      {
        "text": "reading the lease, we “cannot import into [it] a differ-",
        "paragraph_id": "para_640"
      },
      {
        "text": "ent provision . . . .” (Internal quotation marks omitted.)",
        "paragraph_id": "para_641"
      },
      {
        "text": "Pack 2000, Inc. v. Cushman, supra, 198 Conn. App. 438.",
        "paragraph_id": "para_642"
      },
      {
        "text": "As a result, the defendant’s failure to broker such an",
        "paragraph_id": "para_643"
      },
      {
        "text": "agreement did not constitute a violation of § 10 of the",
        "paragraph_id": "para_644"
      },
      {
        "text": "lease. Accordingly, we conclude that the court properly",
        "paragraph_id": "para_645"
      },
      {
        "text": "determined that the defendant did not breach § 10 of",
        "paragraph_id": "para_646"
      },
      {
        "text": "the lease.",
        "paragraph_id": "para_647"
      },
      {
        "text": "II",
        "paragraph_id": "para_648"
      },
      {
        "text": "The plaintiff claims that the defendant violated CUTPA",
        "paragraph_id": "para_649"
      },
      {
        "text": "when Kirk’s removed the bollards from the parking space",
        "paragraph_id": "para_650"
      },
      {
        "text": "in violation of an injunction.18 We disagree.",
        "paragraph_id": "para_651"
      },
      {
        "text": "“In determining whether a tenant can prevail in her",
        "paragraph_id": "para_652"
      },
      {
        "text": "claim for damages under CUTPA, the court must first",
        "paragraph_id": "para_653"
      },
      {
        "text": "18 The plaintiff seems to argue that the defendant should be held in civil",
        "paragraph_id": "para_654"
      },
      {
        "text": "contempt for Kirk’s violation of the court’s injunctive order. Because",
        "paragraph_id": "para_655"
      },
      {
        "text": "the plaintiff did not claim civil contempt before the trial court, did",
        "paragraph_id": "para_656"
      },
      {
        "text": "not move for contempt with the court that issued the injunction, and",
        "paragraph_id": "para_657"
      },
      {
        "text": "mentions contempt for the first time on appeal, we decline to address",
        "paragraph_id": "para_658"
      },
      {
        "text": "this claim. “It is well established that an appellate court is under no",
        "paragraph_id": "para_659"
      },
      {
        "text": "obligation to consider a claim that is not distinctly raised at the trial",
        "paragraph_id": "para_660"
      },
      {
        "text": "level. . . . The requirement that [a] claim be raised distinctly means that",
        "paragraph_id": "para_661"
      },
      {
        "text": "it must be so stated as to bring to the attention of the court the precise",
        "paragraph_id": "para_662"
      },
      {
        "text": "matter on which its decision is being asked. . . . The reason for the rule",
        "paragraph_id": "para_663"
      },
      {
        "text": "is obvious: to permit a party to raise a claim on appeal that has not been",
        "paragraph_id": "para_664"
      },
      {
        "text": "raised at trial—after it is too late for the trial court or the opposing",
        "paragraph_id": "para_665"
      },
      {
        "text": "party to address the claim—would encourage trial by ambuscade, which",
        "paragraph_id": "para_666"
      },
      {
        "text": "is unfair to both the trial court and the opposing party.” (Emphasis",
        "paragraph_id": "para_667"
      },
      {
        "text": "omitted; internal quotation marks omitted.) Martin v. Todd Arthurs",
        "paragraph_id": "para_668"
      },
      {
        "text": "Co., 225 Conn. App. 844, 854–55, 317 A.3d 98 (2024).",
        "paragraph_id": "para_669"
      },
      {
        "text": "The plaintiff also argues that the defendant violated its landlord",
        "paragraph_id": "para_670"
      },
      {
        "text": "responsibilities as found in the General Statutes. The plaintiff did not",
        "paragraph_id": "para_671"
      },
      {
        "text": "raise any specific violations of the General Statutes at trial, other than",
        "paragraph_id": "para_672"
      },
      {
        "text": "the emergency exit egress as discussed in part I of this opinion. The plain-",
        "paragraph_id": "para_673"
      },
      {
        "text": "tiff, likewise, failed to identify which statutes the defendant allegedly",
        "paragraph_id": "para_674"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCfind that the landlord’s conduct at issue constitutes an",
        "paragraph_id": "para_675"
      },
      {
        "text": "unfair or deceptive trade practice. . . . It is well settled",
        "paragraph_id": "para_676"
      },
      {
        "text": "that whether a defendant’s acts constitute . . . deceptive",
        "paragraph_id": "para_677"
      },
      {
        "text": "or unfair trade practices under CUTPA, is a question",
        "paragraph_id": "para_678"
      },
      {
        "text": "of fact for the trier, to which, on appellate review, we",
        "paragraph_id": "para_679"
      },
      {
        "text": "accord our customary deference. . . .",
        "paragraph_id": "para_680"
      },
      {
        "text": "“[General Statutes §] 42-110b (a) provides that [n]o",
        "paragraph_id": "para_681"
      },
      {
        "text": "person shall engage in unfair methods of competition and",
        "paragraph_id": "para_682"
      },
      {
        "text": "unfair or deceptive acts or practices in the conduct of any",
        "paragraph_id": "para_683"
      },
      {
        "text": "trade or commerce. It is well settled that in determining",
        "paragraph_id": "para_684"
      },
      {
        "text": "whether a practice violates CUTPA we have adopted",
        "paragraph_id": "para_685"
      },
      {
        "text": "the criteria set out in the cigarette rule by the [F]ederal",
        "paragraph_id": "para_686"
      },
      {
        "text": "[T]rade [C]ommission for determining when a practice is",
        "paragraph_id": "para_687"
      },
      {
        "text": "unfair: (1) [W]hether the practice, without necessarily",
        "paragraph_id": "para_688"
      },
      {
        "text": "having been previously considered unlawful, offends",
        "paragraph_id": "para_689"
      },
      {
        "text": "public policy as it has been established by statutes, the",
        "paragraph_id": "para_690"
      },
      {
        "text": "common law, or otherwise—in other words, it is within",
        "paragraph_id": "para_691"
      },
      {
        "text": "at least the penumbra of some [common-law], statutory,",
        "paragraph_id": "para_692"
      },
      {
        "text": "or other established concept of unfairness; (2) whether",
        "paragraph_id": "para_693"
      },
      {
        "text": "it is immoral, unethical, oppressive, or unscrupulous;",
        "paragraph_id": "para_694"
      },
      {
        "text": "(3) whether it causes substantial injury to consumers,",
        "paragraph_id": "para_695"
      },
      {
        "text": "[competitors or other businesspersons]. . . . All three",
        "paragraph_id": "para_696"
      },
      {
        "text": "criteria do not need to be satisfied to support a finding",
        "paragraph_id": "para_697"
      },
      {
        "text": "of unfairness. A practice may be unfair because of the",
        "paragraph_id": "para_698"
      },
      {
        "text": "degree to which it meets one of the criteria or because",
        "paragraph_id": "para_699"
      },
      {
        "text": "to a lesser extent it meets all three. . . . Thus a viola-",
        "paragraph_id": "para_700"
      },
      {
        "text": "tion of CUTPA may be established by showing either an",
        "paragraph_id": "para_701"
      },
      {
        "text": "actual deceptive practice . . . or a practice amounting to",
        "paragraph_id": "para_702"
      },
      {
        "text": "a violation of public policy. . . . In order to enforce this",
        "paragraph_id": "para_703"
      },
      {
        "text": "prohibition, CUTPA provides a private cause of action to",
        "paragraph_id": "para_704"
      },
      {
        "text": "[a]ny person who suffers any ascertainable loss of money",
        "paragraph_id": "para_705"
      },
      {
        "text": "or property, real or personal, as a result of the use or",
        "paragraph_id": "para_706"
      },
      {
        "text": "employment of a [prohibited] method, act or practice . .",
        "paragraph_id": "para_707"
      },
      {
        "text": ". .” (Citations omitted; internal quotation marks omit-",
        "paragraph_id": "para_708"
      },
      {
        "text": "ted.) Freidburg v. Kurtz, 210 Conn. App. 420, 432–33,",
        "paragraph_id": "para_709"
      },
      {
        "text": "270 A.3d 135 (2022). “To the extent that [an appellant]",
        "paragraph_id": "para_710"
      },
      {
        "text": "is challenging the trial court’s interpretation of CUTPA,",
        "paragraph_id": "para_711"
      },
      {
        "text": "our review is plenary. . . . [W]e review the trial court’s",
        "paragraph_id": "para_712"
      },
      {
        "text": "violated in its principal brief to this court. We decline to address this",
        "paragraph_id": "para_713"
      },
      {
        "text": "additional claim as it has been raised for the first time on appeal. See id.",
        "paragraph_id": "para_714"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCfactual findings under a clearly erroneous standard.”",
        "paragraph_id": "para_715"
      },
      {
        "text": "(Internal quotation marks omitted.) National Waste",
        "paragraph_id": "para_716"
      },
      {
        "text": "Associates, LLC v. Scharf, 183 Conn. App. 734, 751,",
        "paragraph_id": "para_717"
      },
      {
        "text": "194 A.3d 1 (2018).",
        "paragraph_id": "para_718"
      },
      {
        "text": "The court expressly found that “the defendant did not",
        "paragraph_id": "para_719"
      },
      {
        "text": "engage in wrongful conduct with respect to the plaintiff’s",
        "paragraph_id": "para_720"
      },
      {
        "text": "tenancy . . . .” As such, the court determined that the",
        "paragraph_id": "para_721"
      },
      {
        "text": "plaintiff failed “to demonstrate that the defendant’s",
        "paragraph_id": "para_722"
      },
      {
        "text": "conduct offends public policy, is immoral, unethical,",
        "paragraph_id": "para_723"
      },
      {
        "text": "oppressive or unscrupulous, or caused substantial injury",
        "paragraph_id": "para_724"
      },
      {
        "text": "to consumers. As a result, the plaintiff’s CUTPA claim",
        "paragraph_id": "para_725"
      },
      {
        "text": "fails.” We are not persuaded that the court’s finding was",
        "paragraph_id": "para_726"
      },
      {
        "text": "clearly erroneous. Further, the plaintiff has not estab-",
        "paragraph_id": "para_727"
      },
      {
        "text": "lished that the defendant engaged in any unfair, illegal,",
        "paragraph_id": "para_728"
      },
      {
        "text": "wrongful, immoral, or injurious behavior against the",
        "paragraph_id": "para_729"
      },
      {
        "text": "plaintiff. Arguably, at most, Kirk’s, a nonparty, violated",
        "paragraph_id": "para_730"
      },
      {
        "text": "the injunction and thus engaged in the complained of",
        "paragraph_id": "para_731"
      },
      {
        "text": "conduct, not the defendant. Accordingly, we conclude",
        "paragraph_id": "para_732"
      },
      {
        "text": "that the court properly determined that the defendant",
        "paragraph_id": "para_733"
      },
      {
        "text": "did not engage in any behavior that would constitute a",
        "paragraph_id": "para_734"
      },
      {
        "text": "CUTPA violation.19",
        "paragraph_id": "para_735"
      },
      {
        "text": "The judgment is affirmed.",
        "paragraph_id": "para_736"
      },
      {
        "text": "In this opinion the other judges concurred.",
        "paragraph_id": "para_737"
      },
      {
        "text": "19 We reiterate that the plaintiff commenced this action against only",
        "paragraph_id": "para_738"
      },
      {
        "text": "the defendant. The injunction does not name Kirk’s or any of the enti-",
        "paragraph_id": "para_739"
      },
      {
        "text": "ties that own or operate the parking lot. Although there is a similar-",
        "paragraph_id": "para_740"
      },
      {
        "text": "ity of ownership, on one level, between Kirk’s and the defendant, the",
        "paragraph_id": "para_741"
      },
      {
        "text": "defendant is not directly connected to Kirk’s or the parking lot, only the",
        "paragraph_id": "para_742"
      },
      {
        "text": "defendant’s owners are connected to the parking lot. As discussed, the",
        "paragraph_id": "para_743"
      },
      {
        "text": "defendant is owned by the LoRicco siblings in equal shares. 210 Crown",
        "paragraph_id": "para_744"
      },
      {
        "text": "Street, LLC, which owns the parking lot, is owned by MRVR, LLC (51",
        "paragraph_id": "para_745"
      },
      {
        "text": "percent), and McLaughlin (49 percent). Kirk’s is likewise owned by",
        "paragraph_id": "para_746"
      },
      {
        "text": "MRVR, LLC (51 percent), and McLaughlin (49 percent). MRVR, LLC,",
        "paragraph_id": "para_747"
      },
      {
        "text": "is owned by the LoRicco siblings in equal shares. Thus, the defendant",
        "paragraph_id": "para_748"
      },
      {
        "text": "is an entirely distinct entity from the owner of the company that owns",
        "paragraph_id": "para_749"
      },
      {
        "text": "the parking lot, MRVR, LLC, the owner of the parking lot, 210 Crown",
        "paragraph_id": "para_750"
      },
      {
        "text": "Street, LLC, and the operator of the parking lot, Kirk’s. Moreover,",
        "paragraph_id": "para_751"
      },
      {
        "text": "McLaughlin operates Kirk’s day-to-day business, not MRVR, LLC, or",
        "paragraph_id": "para_752"
      },
      {
        "text": "the LoRicco siblings.",
        "paragraph_id": "para_753"
      },
      {
        "text": "Although the plaintiff recognizes that “Kirk’s is the offending party,”",
        "paragraph_id": "para_754"
      },
      {
        "text": "it argues that the court’s determination “fails to consider who actually",
        "paragraph_id": "para_755"
      },
      {
        "text": "controls the majority interest of Kirk’s and what they were personally",
        "paragraph_id": "para_756"
      },
      {
        "text": "Karaoke Heroes NH, LLC v. RVRM Enterprises, LLCrestrained from doing.” We are perplexed by the plaintiff’s argument,",
        "paragraph_id": "para_757"
      },
      {
        "text": "as the plaintiff has not argued or pleaded that the various nonparty",
        "paragraph_id": "para_758"
      },
      {
        "text": "limited liability companies, notably Kirk’s, are mere shells or alter egos",
        "paragraph_id": "para_759"
      },
      {
        "text": "of either the defendant or the individuals who own and operate them.",
        "paragraph_id": "para_760"
      },
      {
        "text": "Specifically, the plaintiff failed to plead or introduce facts necessary to",
        "paragraph_id": "para_761"
      },
      {
        "text": "pierce the defendant’s corporate veil through either the instrumentality",
        "paragraph_id": "para_762"
      },
      {
        "text": "test or the identity test. See, e.g., Morris v. Cee Dee, LLC, 90 Conn.",
        "paragraph_id": "para_763"
      },
      {
        "text": "App. 403, 414–15, 877 A.2d 899 (defining two rules to set aside protec-",
        "paragraph_id": "para_764"
      },
      {
        "text": "tion of corporate form for limited liability companies), cert. granted in",
        "paragraph_id": "para_765"
      },
      {
        "text": "part, 275 Conn. 929, 883 A.2d 1245 (2005) (appeal withdrawn March",
        "paragraph_id": "para_766"
      },
      {
        "text": "13, 2006). As such, even if we were to conclude that Kirk’s had violated",
        "paragraph_id": "para_767"
      },
      {
        "text": "the injunction, we fail to see how that would entitle the plaintiff to any",
        "paragraph_id": "para_768"
      },
      {
        "text": "practical relief against the defendant in the present case.",
