        "text": "Housing Council, and the City agreed to settle the FCA",
        "paragraph_id": "para_53"
      },
      {
        "text": "claims for $38,266,989, and the district court approved the",
        "paragraph_id": "para_54"
      },
      {
        "text": "settlement as fair, adequate, and reasonable. Separately, the",
        "paragraph_id": "para_55"
      },
      {
        "text": "City resolved a related investigation by the Department of",
        "paragraph_id": "para_56"
      },
      {
        "text": "Housing and Urban Development into the City’s",
        "paragraph_id": "para_57"
      },
      {
        "text": "noncompliance with federal housing accessibility laws",
        "paragraph_id": "para_58"
      },
      {
        "text": "through a voluntary compliance agreement (“VCA”). Under",
        "paragraph_id": "para_59"
      },
      {
        "text": "the VCA, the City would spend at least $200 million over",
        "paragraph_id": "para_60"
      },
      {
        "text": "ten years to remediate or build accessible housing. The",
        "paragraph_id": "para_61"
      },
      {
        "text": "VCA explicitly carved out any claims asserted in the FCA",
        "paragraph_id": "para_62"
      },
      {
        "text": "action.",
        "paragraph_id": "para_63"
      },
      {
        "text": "Relators such as Ling are entitled to a share of any",
        "paragraph_id": "para_64"
      },
      {
        "text": "recovery in an FCA action if the government intervenes and",
        "paragraph_id": "para_65"
      },
      {
        "text": "proceeds with the action. Ling’s entitlement to a share of the",
        "paragraph_id": "para_66"
      },
      {
        "text": "FAC settlement was not in dispute.",
        "paragraph_id": "para_67"
      },
      {
        "text": "Under 31 U.S.C. § 3730(c)(5), relators are also entitled",
        "paragraph_id": "para_68"
      },
      {
        "text": "to a share if the government “elects to pursue its claim",
        "paragraph_id": "para_69"
      },
      {
        "text": "through any alternate remedy.” The panel held that the VCA",
        "paragraph_id": "para_70"
      },
      {
        "text": "redressing the City’s violations of federal housing",
        "paragraph_id": "para_71"
      },
      {
        "text": "accessibility laws was not an alternate remedy. Agreeing",
        "paragraph_id": "para_72"
      },
      {
        "text": "with other circuits, the panel held that § 3730(c)(5) assumes",
        "paragraph_id": "para_73"
      },
      {
        "text": "that an alternate remedy takes the place of the FCA suit. The",
        "paragraph_id": "para_74"
      },
      {
        "text": "panel concluded that under the circumstances of this case,",
        "paragraph_id": "para_75"
      },
      {
        "text": "the VCA did not take the place of the FCA suit or settlement,",
        "paragraph_id": "para_76"
      },
      {
        "text": "and so the VCA was not an alternate remedy. The panel",
        "paragraph_id": "para_77"
      },
      {
        "text": "therefore affirmed the district court’s approval of the FCA",
        "paragraph_id": "para_78"

        "text": "interest in such an action—i.e., the “relators”—are entitled",
        "paragraph_id": "para_111"
      },
      {
        "text": "to a share of any recovery in the action if the government",
        "paragraph_id": "para_112"
      },
      {
        "text": "intervenes and proceeds with the action. 31 U.S.C.",
        "paragraph_id": "para_113"
      },
      {
        "text": "§ 3730(d). The relators are also entitled to a share if the",
        "paragraph_id": "para_114"
      },
      {
        "text": "government “elect[s] to pursue its claim through any",
        "paragraph_id": "para_115"
      },
      {
        "text": "alternate remedy.” Id. § 3730(c)(5).",
        "paragraph_id": "para_116"
      },
      {
        "text": "Here, Mei Ling and Fair Housing Council of the San",
        "paragraph_id": "para_117"
      },
      {
        "text": "Fernando Valley (“FHC”) brought a qui tam action against",
        "paragraph_id": "para_118"
      },
      {
        "text": "the City of Los Angeles (the “City”) regarding",
        "paragraph_id": "para_119"
      },
      {
        "text": "misrepresentations by the City about its compliance with",
        "paragraph_id": "para_120"
      },
      {
        "text": "federal housing accessibility laws. The United States (the",
        "paragraph_id": "para_121"
      },
      {
        "text": "“Government”) later intervened and proceeded with the suit.",
        "paragraph_id": "para_122"
      },
      {
        "text": "After years of litigation, the Government, FHC, and the City",
        "paragraph_id": "para_123"
      },
      {
        "text": "agreed to settle the FCA claims for $38,266,989. The district",
        "paragraph_id": "para_124"
      },
      {
        "text": "court approved this settlement as fair, adequate, and",
        "paragraph_id": "para_125"
      },
      {
        "text": "reasonable. Id. § 3730(c)(2)(B). Ling’s entitlement to a",
        "paragraph_id": "para_126"
      },
      {
        "text": "share of this settlement is not in dispute.",
        "paragraph_id": "para_127"
      },
      {
        "text": "Separately, the City resolved a related investigation by",
        "paragraph_id": "para_128"
      },
      {
        "text": "the Department of Housing and Urban Development",
        "paragraph_id": "para_129"
      },
      {
        "text": "(“HUD”) into the City’s noncompliance with federal",
        "paragraph_id": "para_130"
      },
      {
        "text": "housing accessibility laws through a voluntary compliance",
        "paragraph_id": "para_131"
      },
      {
        "text": "agreement (“VCA”). Under the VCA, the City would spend",
        "paragraph_id": "para_132"
      },
      {
        "text": "at least $200 million over ten years to remediate or build",
        "paragraph_id": "para_133"
      },
      {
        "text": "accessible housing. The VCA explicitly carved out any",
        "paragraph_id": "para_134"
      },
      {
        "text": "claims asserted in this FCA action.",
        "paragraph_id": "para_135"
      },
      {
        "text": "6 LING V. CITY OF LOS ANGELES",
        "paragraph_id": "para_136"
      },
      {
        "text": "Ling appeals the approval of the settlement of the FCA",
        "paragraph_id": "para_137"
      },
      {
        "text": "claims, and her appeal turns on the construction of the phrase",
        "paragraph_id": "para_138"
      },
      {
        "text": "“pursue its claim through any alternate remedy.” Id.",
        "paragraph_id": "para_139"
      },
      {
        "text": "§ 3730(c)(5). We address whether the VCA redressing the",
        "paragraph_id": "para_140"
      },
      {
        "text": "City’s violations of federal housing accessibility laws",
        "paragraph_id": "para_141"
      },
      {
        "text": "constitutes an alternate remedy under the FCA. We hold that",
        "paragraph_id": "para_142"
      },
      {
        "text": "under these circumstances, the VCA was not an alternate",
        "paragraph_id": "para_143"
      },
      {
        "text": "remedy. We affirm the district court’s approval of the FCA",
        "paragraph_id": "para_144"
      },
      {
        "text": "settlement as fair, adequate, and reasonable.1",
        "paragraph_id": "para_145"
      },
      {
        "text": "I.",
        "paragraph_id": "para_146"
      },
      {
        "text": "HUD cannot provide housing funds to a local",
        "paragraph_id": "para_147"
      },
      {
        "text": "government until that local government certifies that it will",
        "paragraph_id": "para_148"
      },
      {
        "text": "comply with certain civil rights laws, including Section 504",
        "paragraph_id": "para_149"
      },
      {
        "text": "of the Rehabilitation Act, the Fair Housing Act, and Title II",
        "paragraph_id": "para_150"
      },
      {
        "text": "of the Americans with Disabilities Act. These laws all",
        "paragraph_id": "para_151"
      },
      {
        "text": "require accessible housing for people with disabilities. From",
        "paragraph_id": "para_152"
      },
      {
        "text": "February 2005 to December 2018, the City received millions",
        "paragraph_id": "para_153"
      },
      {
        "text": "of dollars in federal housing program grants from HUD.",
        "paragraph_id": "para_154"
      },
      {
        "text": "The FCA imposes liability on anyone who “knowingly",
        "paragraph_id": "para_155"
      },
      {
        "text": "presents, or causes to be presented, a false or fraudulent",
        "paragraph_id": "para_156"
      },
      {
        "text": "claim” to the Government “for payment or approval.” 31",
        "paragraph_id": "para_157"
      },
      {
        "text": "U.S.C. § 3729(a)(1)(A). A private party, called a “relator,”",
        "paragraph_id": "para_158"
      },
      {
        "text": "may bring a qui tam action on the Government’s behalf. See",
        "paragraph_id": "para_159"
      },
      {
        "text": "id. § 3730(b)(1).",
        "paragraph_id": "para_160"
      },
      {
        "text": "In February 2011, Ling and FHC filed the underlying",
        "paragraph_id": "para_161"
      },
      {
        "text": "action against the City, alleging that the City violated the",
        "paragraph_id": "para_162"
      },
      {
        "text": "1 Ling also appeals the denials of her 1) motion for an evidentiary",
        "paragraph_id": "para_163"
      },
      {
        "text": "hearing and limited discovery and 2) motion to alter or amend the",
        "paragraph_id": "para_164"
      },
      {
        "text": "judgment. We address these arguments, and Ling’s request for",
        "paragraph_id": "para_165"
      },
      {
        "text": "sanctions, in a memorandum disposition filed simultaneously with this",
        "paragraph_id": "para_166"
      },
      {
        "text": "opinion.",
        "paragraph_id": "para_167"
      },
      {

      {
        "text": "FCA through its receipt of federal housing funds despite",
        "paragraph_id": "para_169"
      },
      {
        "text": "repeated misrepresentations to HUD that the City was in",
        "paragraph_id": "para_170"
      },
      {
        "text": "compliance with federal housing accessibility laws.2 The",
        "paragraph_id": "para_171"
      },
      {
        "text": "Government intervened in July 2017, and filed an amended",
        "paragraph_id": "para_172"
      },
      {
        "text": "complaint in December 2018. See id. § 3730(b)(2) (“[T]he",
        "paragraph_id": "para_173"
      },
      {
        "text": "Government may elect to intervene and proceed with the",
        "paragraph_id": "para_174"
      },
      {
        "text": "action. . . .”).",
        "paragraph_id": "para_175"
      },
      {
        "text": "A. HUD Investigation and the VCA",
        "paragraph_id": "para_176"
      },
      {
        "text": "In 2011, HUD initiated a separate investigation into the",
        "paragraph_id": "para_177"
      },
      {
        "text": "City’s noncompliance with housing accessibility",
        "paragraph_id": "para_178"
      },
      {
        "text": "requirements in Section 504 of the Rehabilitation Act, Title",
        "paragraph_id": "para_179"
      },
      {
        "text": "II of the Americans with Disabilities Act, and the Fair",
        "paragraph_id": "para_180"
      },
      {
        "text": "Housing Act. HUD’s review revealed “certain deficiencies",
        "paragraph_id": "para_181"
      },
      {
        "text": "related to the physical accessibility of certain designated",
        "paragraph_id": "para_182"
      },
      {
        "text": "accessible units and public and common areas of certain",
        "paragraph_id": "para_183"
      },
      {
        "text": "developments that were surveyed, as well as certain",
        "paragraph_id": "para_184"
      },
      {
        "text": "deficiencies in policies and procedures.” In January 2012,",
        "paragraph_id": "para_185"
      },
      {
        "text": "HUD issued a Letter of Findings of non-compliance and",
        "paragraph_id": "para_186"
      },
      {
        "text": "issued a Letter of Determination in February 2012.",
        "paragraph_id": "para_187"
      },
      {
        "text": "In September 2016, the City’s officials sent a letter to the",
        "paragraph_id": "para_188"
      },
      {
        "text": "HUD Secretary, stating they:",
        "paragraph_id": "para_189"
      },
      {
        "text": "appreciate your offer to have our",
        "paragraph_id": "para_190"
      },
      {
        "text": "representatives meet with your staff in",
        "paragraph_id": "para_191"
      },
      {
        "text": "Washington to discuss the challenges with",
        "paragraph_id": "para_192"
      },
      {
        "text": "the offset arrangement that was initially",
        "paragraph_id": "para_193"
      },
      {
        "text": "proposed by the Government, and to examine",
        "paragraph_id": "para_194"
      },
      {
        "text": "other options. As we discussed at our",
        "paragraph_id": "para_195"
      },
      {
        "text": "meeting, the City is prepared to enter into a",
        "paragraph_id": "para_196"
      },
      {
        "text": "2 Ling and FHC also sued the Community Redevelopment Agency of the",
        "paragraph_id": "para_197"
      },
      {
        "text": "City of Los Angeles (“CRA”) but subsequently reached a separate",
        "paragraph_id": "para_198"
      },
      {
        "text": "settlement agreement resolving all claims against CRA.",
        "paragraph_id": "para_199"
      },
      {

      },
      {
        "text": "Voluntary Compliance Agreement (“VCA”)",
        "paragraph_id": "para_201"
      },
      {
        "text": "with HUD that would resolve allegations of",
        "paragraph_id": "para_202"
      },
      {
        "text": "the City’s past non-compliance with [federal",
        "paragraph_id": "para_203"
      },
      {
        "text": "housing accessibility laws]. To enter into a",
        "paragraph_id": "para_204"
      },
      {
        "text": "VCA, the City must also settle the related",
        "paragraph_id": "para_205"
      },
      {
        "text": "False Claims Act (“FCA”) action involving",
        "paragraph_id": "para_206"
      },
      {
        "text": "the U.S. Department of Justice (“DOJ”).",
        "paragraph_id": "para_207"
      },
      {
        "text": "The City noted that “until a few weeks ago, we thought we",
        "paragraph_id": "para_208"
      },
      {
        "text": "were on the verge of a settlement agreement, under which",
        "paragraph_id": "para_209"
      },
      {
        "text": "DOJ, through HUD, would allow $92 million of DOJ’s",
        "paragraph_id": "para_210"
      },
      {
        "text": "calculated actual damages for the FCA claims to be used to",
        "paragraph_id": "para_211"
      },
      {
        "text": "carry out the remediation of thousands of the City’s housing",
        "paragraph_id": "para_212"
      },
      {
        "text": "units.”",
        "paragraph_id": "para_213"
      },
      {
        "text": "Following HUD’s referral of the matter to the DOJ for",
        "paragraph_id": "para_214"
      },
      {
        "text": "potential further enforcement in September 2017, the City",
        "paragraph_id": "para_215"
      },
      {
        "text": "asked to restart settlement negotiations with HUD. The DOJ",
        "paragraph_id": "para_216"
      },
      {
        "text": "deferred jurisdiction, and HUD issued a supplemental Letter",
        "paragraph_id": "para_217"
      },
      {
        "text": "of Findings in April 2019 and a Letter of Determination",
        "paragraph_id": "para_218"
      },
      {
        "text": "“sustaining the findings” in May 2019. In July 2019, HUD",
        "paragraph_id": "para_219"
      },
      {
        "text": "notified the City that it intended to withhold approximately",
        "paragraph_id": "para_220"
      },
      {
        "text": "$80 million in federal housing funds. The next month, the",
        "paragraph_id": "para_221"
      },
      {
        "text": "City and HUD entered into a VCA to resolve the City’s civil",
        "paragraph_id": "para_222"
      },
      {
        "text": "rights violations.",
        "paragraph_id": "para_223"
      },
      {
        "text": "Under the VCA, the City agreed to “carry out a",
        "paragraph_id": "para_224"
      },
      {
        "text": "program,” financed by both federal and nonfederal funds, to",
        "paragraph_id": "para_225"
      },
      {
        "text": "remediate or build accessible housing “with a value that",
        "paragraph_id": "para_226"
      },
      {
        "text": "averages a minimum of $20 million per year” for ten years.",
        "paragraph_id": "para_227"
      },
      {
        "text": "Although the VCA resolved the City’s civil rights violations,",
        "paragraph_id": "para_228"
      },
      {
        "text": "it specifically excluded the Government’s FCA claims:",
        "paragraph_id": "para_229"
      },
      {
        "text": "This Agreement does not, and shall not be",
        "paragraph_id": "para_230"
      },
      {
        "text": "construed to, resolve any claims that have",
        "paragraph_id": "para_231"
      },
      {

      {
        "text": "been or could be asserted in United States ex",
        "paragraph_id": "para_233"
      },
      {
        "text": "rel. Mei Ling, et al. v. City of Los Angeles, et",
        "paragraph_id": "para_234"
      },
      {
        "text": "al., No. CV-11-00974-PSG-JC (CDCA filed",
        "paragraph_id": "para_235"
      },
      {
        "text": "Feb. 1, 2011), or any other claims that the",
        "paragraph_id": "para_236"
      },
      {
        "text": "Department of Housing and Urban",
        "paragraph_id": "para_237"
      },
      {
        "text": "Development or the U.S. Department of",
        "paragraph_id": "para_238"
      },
      {
        "text": "Justice has or may have under the Fa[lse]",
        "paragraph_id": "para_239"
      },
      {
        "text": "Claims Act.",
        "paragraph_id": "para_240"
      },
      {
        "text": "B. The Settlement of the FCA Claims",
        "paragraph_id": "para_241"
      },
      {
        "text": "Litigation continued in this FCA action after the City and",
        "paragraph_id": "para_242"
      },
      {
        "text": "HUD entered into the VCA. Specifically, the Government",
        "paragraph_id": "para_243"
      },
      {
        "text": "and the City engaged in voluminous fact discovery until",
        "paragraph_id": "para_244"
      },
      {
        "text": "November 2023, and on March 1, 2024, the City moved for",
        "paragraph_id": "para_245"
      },
      {
        "text": "summary judgment.",
        "paragraph_id": "para_246"
      },
      {
        "text": "At pre-trial mediation on March 5, 2024, the City offered",
        "paragraph_id": "para_247"
      },
      {
        "text": "a settlement amount to the Government. Following",
        "paragraph_id": "para_248"
      },
      {
        "text": "mediation, the parties negotiated and agreed on written terms",
        "paragraph_id": "para_249"
      },
      {
        "text": "for a settlement, which multiple levels of DOJ and City",
        "paragraph_id": "para_250"
      },
      {
        "text": "officials approved. In May 2024, the Government shared a",
        "paragraph_id": "para_251"
      },
      {
        "text": "copy of the not-yet-signed settlement with Ling. In June",
        "paragraph_id": "para_252"
      },
      {
        "text": "2024, the Government, FHC, and the City executed the",
        "paragraph_id": "para_253"
      },
      {
        "text": "settlement for $38,266,989. The Government, FHC, and the",
        "paragraph_id": "para_254"
      },
      {
        "text": "City subsequently moved for settlement approval, to which",
        "paragraph_id": "para_255"
      },
      {
        "text": "Ling objected.",
        "paragraph_id": "para_256"
      },
      {
        "text": "In August 2024, the district court held a fairness hearing",
        "paragraph_id": "para_257"
      },
      {
        "text": "on the settlement, and approved the settlement. Pursuant to",
        "paragraph_id": "para_258"
      },
      {
        "text": "the settlement, the district court dismissed all claims against",
        "paragraph_id": "para_259"
      },
      {
        "text": "the City in October 2024, and recognized that Ling and FHC",
        "paragraph_id": "para_260"
      },
      {
        "text": "would “receive at least 15 percent but not more than 25",
        "paragraph_id": "para_261"
      },
      {
        "text": "percent” of the settlement’s proceeds. Ling timely appealed.",
        "paragraph_id": "para_262"
      },
      {

      },
      {
        "text": "II.",
        "paragraph_id": "para_264"
      },
      {
        "text": "We review the district court’s interpretation of the FCA",
        "paragraph_id": "para_265"
      },
      {
        "text": "de novo, United States ex rel. Mateski v. Raytheon Co., 816",
        "paragraph_id": "para_266"
      },
      {
        "text": "F.3d 565, 568 (9th Cir. 2016), including “the proper",
        "paragraph_id": "para_267"
      },
      {
        "text": "construction of the phrase ‘pursue[s] its claim through any",
        "paragraph_id": "para_268"
      },
      {
        "text": "alternate remedy,’” United States ex rel. Barajas v. United",
        "paragraph_id": "para_269"
      },
      {
        "text": "States, 258 F.3d 1004, 1006 (9th Cir. 2001) (quoting 31",
        "paragraph_id": "para_270"
      },
      {
        "text": "U.S.C. § 3730(c)(5)) (alteration in original).",
        "paragraph_id": "para_271"
      },
      {
        "text": "The FCA’s requirement “that the proposed settlement is",
        "paragraph_id": "para_272"
      },
      {
        "text": "fair, adequate, and reasonable under all the circumstances”",
        "paragraph_id": "para_273"
      },
      {
        "text": "mirrors the language in Federal Rule of Civil Procedure 23",
        "paragraph_id": "para_274"
      },
      {
        "text": "governing class action settlements. Compare 31 U.S.C.",
        "paragraph_id": "para_275"
      },
      {
        "text": "§ 3730(c)(2)(B) with Fed. R. Civ. P. 23(e)(2) (“If the",
        "paragraph_id": "para_276"
      },
      {
        "text": "proposal would bind class members, the court may approve",
        "paragraph_id": "para_277"
      },
      {
        "text": "it . . . only on finding that it is fair, reasonable, and",
        "paragraph_id": "para_278"
      },
      {
        "text": "adequate. . . .”). We review approval of class action",
        "paragraph_id": "para_279"
      },
      {
        "text": "settlements for abuse of discretion. Briseño v. Henderson,",
        "paragraph_id": "para_280"
      },
      {
        "text": "998 F.3d 1014, 1022 (9th Cir. 2021). Although “differences",
        "paragraph_id": "para_281"
      },
      {
        "text": "exist between qui tam suits and class actions, we see no",
        "paragraph_id": "para_282"
      },
      {
        "text": "reason to apply a different standard of appellate review to",
        "paragraph_id": "para_283"
      },
      {
        "text": "the approval of [FCA] settlements. . . .” United States ex rel.",
        "paragraph_id": "para_284"
      },
      {
        "text": "Robinson v. HealthNet Inc., 124 F.4th 511, 519 (7th Cir.",
        "paragraph_id": "para_285"
      },
      {
        "text": "2024). We therefore review the district court’s approval of",
        "paragraph_id": "para_286"
      },
      {
        "text": "an FCA settlement for abuse of discretion.3",
        "paragraph_id": "para_287"
      },
      {
        "text": "III.",
        "paragraph_id": "para_288"
      },
      {
        "text": "We first address Ling’s argument that the VCA was an",
        "paragraph_id": "para_289"
      },
      {
        "text": "“alternate remedy” and then consider whether the district",
        "paragraph_id": "para_290"
      },
      {
        "text": "court abused its discretion in approving the FCA settlement.",
        "paragraph_id": "para_291"
      },
      {
        "text": "3 The parties also agree on abuse of discretion as the standard of review.",
        "paragraph_id": "para_292"
      },
      {
        "text": "See Robinson, 124 F.4th at 519 (“[N]or has any party advocated for a",
        "paragraph_id": "para_293"
      },
      {
        "text": "different standard.”).",
        "paragraph_id": "para_294"
      },
      {

      {
        "text": "A. An “alternate remedy” takes the place of the FCA",
        "paragraph_id": "para_296"
      },
      {
        "text": "suit.",
        "paragraph_id": "para_297"
      },
      {
        "text": "Under the FCA, the relator is entitled to a share of the",
        "paragraph_id": "para_298"
      },
      {
        "text": "monetary recovery in the suit. See 31 U.S.C. § 3730(d).",
        "paragraph_id": "para_299"
      },
      {
        "text": "But:",
        "paragraph_id": "para_300"
      },
      {
        "text": "the Government may elect to pursue its claim",
        "paragraph_id": "para_301"
      },
      {
        "text": "through any alternate remedy available to the",
        "paragraph_id": "para_302"
      },
      {
        "text": "Government, including any administrative",
        "paragraph_id": "para_303"
      },
      {
        "text": "proceeding to determine a civil money",
        "paragraph_id": "para_304"
      },
      {
        "text": "penalty. If any such alternate remedy is",
        "paragraph_id": "para_305"
      },
      {
        "text": "pursued in another proceeding, the person",
        "paragraph_id": "para_306"
      },
      {
        "text": "initiating the action shall have the same rights",
        "paragraph_id": "para_307"
      },
      {
        "text": "in such proceedings as such person would",
        "paragraph_id": "para_308"
      },
      {
        "text": "have had if the action had continued under",
        "paragraph_id": "para_309"
      },
      {
        "text": "this section.",
        "paragraph_id": "para_310"
      },
      {
        "text": "31 U.S.C. § 3730(c)(5) (“alternate remedy provision”). By",
        "paragraph_id": "para_311"
      },
      {
        "text": "stating that the relator has the same rights to alternate",
        "paragraph_id": "para_312"
      },
      {
        "text": "remedies as they “would have had if the action had",
        "paragraph_id": "para_313"
      },
      {
        "text": "continued under this section,” see id. (emphasis added), the",
        "paragraph_id": "para_314"
      },
      {
        "text": "alternate remedy provision assumes an alternate remedy",
        "paragraph_id": "para_315"
      },
      {
        "text": "takes the place of the FCA suit.",
        "paragraph_id": "para_316"
      },
      {
        "text": "Our sister circuits have recognized as much. The Fifth",
        "paragraph_id": "para_317"
      },
      {
        "text": "Circuit, analyzing the same provision, explained that",
        "paragraph_id": "para_318"
      },
      {
        "text": "“[c]learly, this language protects the rights of the relators",
        "paragraph_id": "para_319"
      },
      {
        "text": "once the Government elects to pursue an alternate remedy",
        "paragraph_id": "para_320"
      },
      {
        "text": "and ‘assumes that the original qui tam action did not",
        "paragraph_id": "para_321"
      },
      {
        "text": "continue.’” United States ex rel. Babalola v. Sharma, 746",
        "paragraph_id": "para_322"
      },
      {
        "text": "F.3d 157, 161–62 (5th Cir. 2014) (quoting United States ex",
        "paragraph_id": "para_323"
      },
      {
        "text": "rel. LaCorte v. Wagner, 185 F.3d 188, 192 (4th Cir. 1999)).",
        "paragraph_id": "para_324"
      },
      {
        "text": "The Fourth Circuit similarly held that the alternate remedy",
        "paragraph_id": "para_325"
      },
      {
        "text": "provision “preserves the rights of the original qui tam",
        "paragraph_id": "para_326"
      },
      {

        "text": "plaintiffs when the government resorts to an alternate",
        "paragraph_id": "para_328"
      },
      {
        "text": "remedy in place of the original action.” LaCorte, 185 F.3d",
        "paragraph_id": "para_329"
      },
      {
        "text": "at 191 (emphasis added). The court reasoned that the",
        "paragraph_id": "para_330"
      },
      {
        "text": "statutory language “assumes that the original qui tam action",
        "paragraph_id": "para_331"
      },
      {
        "text": "did not continue.” Id. at 192. Thus, the Fourth Circuit held",
        "paragraph_id": "para_332"
      },
      {
        "text": "that a settlement in another qui tam action was not an",
        "paragraph_id": "para_333"
      },
      {

        "text": "“Section 3730(c)(5) simply preserves the rights of the",
        "paragraph_id": "para_335"
      },
      {
        "text": "original qui tam plaintiffs when the government resorts to an",
        "paragraph_id": "para_336"
      },
      {
        "text": "alternate remedy in place of the original action.” Id. at 191.",
        "paragraph_id": "para_337"
      },
      {
        "text": "There, the Government “intervened in the [relators’ qui tam]",
        "paragraph_id": "para_338"
      },
      {
        "text": "action, prosecuted it, and settled it with the[ir] consent.” Id.",
        "paragraph_id": "para_339"
      },
      {
        "text": "at 192. In Barajas, we similarly indicated that “the",
        "paragraph_id": "para_340"
      },
      {
        "text": "government can, and sometimes does, seek a remedy in such",
        "paragraph_id": "para_341"
      },
      {
        "text": "[an alternative] proceeding that effectively takes the place of",
        "paragraph_id": "para_342"
      },
      {
        "text": "the FCA remedy.” 258 F.3d at 1011.",
        "paragraph_id": "para_343"
      },
      {
        "text": "Because an alternate remedy takes the place of the FCA",
        "paragraph_id": "para_344"
      },
      {
        "text": "suit, generally an alternate remedy involves another",
        "paragraph_id": "para_345"
      },
      {
        "text": "proceeding in lieu of the FCA suit. That said, there may be",
        "paragraph_id": "para_346"
      },
      {
        "text": "scenarios where the FCA suit proceeds by an alternate",
        "paragraph_id": "para_347"
      },
      {
        "text": "remedy and “effectively takes the place of the FCA remedy,”",
        "paragraph_id": "para_348"
      },
      {
        "text": "id., even where the FCA suit remains ongoing. Whether or",
        "paragraph_id": "para_349"
      },
      {
        "text": "not a remedy takes the place of the FCA suit can therefore",
        "paragraph_id": "para_350"
      },
      {
        "text": "involves a fact-intensive evaluation. Under some",
        "paragraph_id": "para_351"
      },
      {
        "text": "circumstances, there could be issues of collusion or bad",
        "paragraph_id": "para_352"
      },
      {
        "text": "faith, which are relevant to whether a remedy took the place",
        "paragraph_id": "para_353"
      },
      {
        "text": "of the FCA suit.",
        "paragraph_id": "para_354"
      },
      {
        "text": "LING V. CITY OF LOS ANGELES 13",
        "paragraph_id": "para_355"
      },
      {
        "text": "B. Under these circumstances, the VCA did not take",
        "paragraph_id": "para_356"
      },
      {
        "text": "the place of the FCA suit or settlement so the VCA",
        "paragraph_id": "para_357"
      },
      {
        "text": "is not an alternate remedy.",
        "paragraph_id": "para_358"
      },
      {
        "text": "The district court was correct that the VCA here was not",
        "paragraph_id": "para_359"
      },
      {
        "text": "an alternate remedy because it did not “take[] the place of",
        "paragraph_id": "para_360"
      },
      {
        "text": "the FCA remedy.” See id. at 1011; 31 U.S.C. § 3730(c)(5).",
        "paragraph_id": "para_361"
      },
      {
        "text": "Ling relies heavily on Barajas to argue that the VCA is",
        "paragraph_id": "para_362"
      },
      {
        "text": "an alternate remedy, but Barajas is easily distinguishable",
        "paragraph_id": "para_363"
      },
      {
        "text": "from this case. In Barajas, the relator filed two qui tam",
        "paragraph_id": "para_364"
      },
      {
        "text": "actions. 258 F.3d at 1006. The first suit alleged that",
        "paragraph_id": "para_365"
      },
      {
        "text": "defendant Northrop engaged in “falsified and incomplete",
        "paragraph_id": "para_366"
      },
      {
        "text": "testing” of flight data transmitters. Id. at 1006–07. The",
        "paragraph_id": "para_367"
      },
      {
        "text": "second suit alleged that the transmitters delivered to the",
        "paragraph_id": "para_368"
      },
      {
        "text": "Government also suffered from defective damping fluid. Id.",
        "paragraph_id": "para_369"
      },
      {
        "text": "at 1007–08. The Government intervened and settled the first",
        "paragraph_id": "para_370"
      },
      {
        "text": "action, releasing Northrop from liability for “all FCA claims,",
        "paragraph_id": "para_371"
      },
      {
        "text": "civil or administrative monetary actions or claims, and",
        "paragraph_id": "para_372"
      },
      {
        "text": "actions or claims by the United States for restitution related",
        "paragraph_id": "para_373"
      },
      {
        "text": "to the claims in that action.” Id. at 1008 (citation modified).",
        "paragraph_id": "para_374"
      },
      {
        "text": "We affirmed the dismissal of the second suit as barred by",
        "paragraph_id": "para_375"
      },
      {
        "text": "claim preclusion “because it arose out of the same",
        "paragraph_id": "para_376"
      },
      {
        "text": "transactional nucleus” as the first, settled action. Id. at 1009",
        "paragraph_id": "para_377"
      },
      {
        "text": "(citation modified ). Outside of either litigation, Northrop",
        "paragraph_id": "para_378"
      },
      {
        "text": "and the Air Force entered into an agreement under which",
        "paragraph_id": "para_379"
      },
      {
        "text": "Northrop would provide transmitters with nondefective",
        "paragraph_id": "para_380"
      },
      {
        "text": "damping fluid to the Government and “cash payments” in",
        "paragraph_id": "para_381"
      },
      {
        "text": "exchange for the AirForce not pursuing administrative",
        "paragraph_id": "para_382"
      },
      {
        "text": "proceedings to suspend or disbar Northrop as a government",
        "paragraph_id": "para_383"
      },
      {
        "text": "contractor. Id. at 1006, 1008.",
        "paragraph_id": "para_384"
      },
      {
        "text": "We acknowledged that a suspension or debarment",
        "paragraph_id": "para_385"
      },
      {
        "text": "proceeding “rarely will be” an alternate remedy under the",
        "paragraph_id": "para_386"
      },
      {
        "text": "FCA. Id. at 1012. But under the circumstances of that case,",
        "paragraph_id": "para_387"
      },
      {

        "paragraph_id": "para_388"
      },
      {
        "text": "we held the agreement with the AirForce was an alternate",
        "paragraph_id": "para_389"
      },
      {
        "text": "remedy. Id. at 1012–13. We explained that “the government",
        "paragraph_id": "para_390"
      },
      {
        "text": "pursued its suspension or debarment proceeding against",
        "paragraph_id": "para_391"
      },
      {
        "text": "Northrop, ultimately obtaining the Air Force Agreement . . .",
        "paragraph_id": "para_392"
      },
      {
        "text": "because claim preclusion was not a defense to [that]",
        "paragraph_id": "para_393"
      },
      {
        "text": "proceeding . . . .” Id. at 1012. The Government was thus",
        "paragraph_id": "para_394"
      },
      {
        "text": "“able to escape the consequence of its settlement of the first",
        "paragraph_id": "para_395"
      },
      {
        "text": "action by pursuing that alternative.” Id. “The notable",
        "paragraph_id": "para_396"
      },
      {
        "text": "consequence of this sequence [of events] is that the",
        "paragraph_id": "para_397"
      },
      {
        "text": "government now hopes to avoid paying Barajas the relator’s",
        "paragraph_id": "para_398"
      },
      {
        "text": "share to which he would have been entitled if his second",
        "paragraph_id": "para_399"
      },
      {
        "text": "action had been permitted to go forward to a successful",
        "paragraph_id": "para_400"
      },
      {
        "text": "conclusion.” Id. at 1012–13 (emphasis added).",
        "paragraph_id": "para_401"
      },
      {
        "text": "Unlike Barajas, the Government and Ling were not",
        "paragraph_id": "para_402"
      },
      {
        "text": "precluded from continuing this action because of the VCA.",
        "paragraph_id": "para_403"
      },
      {
        "text": "Instead, this “action [was] permitted to go forward to a",
        "paragraph_id": "para_404"
      },
      {
        "text": "successful conclusion”: a $38 million settlement. See id.",
        "paragraph_id": "para_405"
      },
      {
        "text": "The parties also explicitly carved out the FCA claims in the",
        "paragraph_id": "para_406"
      },
      {
        "text": "VCA, stating that it:",
        "paragraph_id": "para_407"
      },
      {
        "text": "does not, and shall not be construed to,",
        "paragraph_id": "para_408"
      },
      {
        "text": "resolve any claims that have been or could be",
        "paragraph_id": "para_409"
      },
      {
        "text": "asserted in United States ex rel. Mei Ling, et",
        "paragraph_id": "para_410"
      },
      {
        "text": "al. v. City of Los Angeles, et al., No. CV-11-",
        "paragraph_id": "para_411"
      },
      {
        "text": "00974-PSG-JC (CDCA filed Feb. 1, 2011),",
        "paragraph_id": "para_412"
      },
      {
        "text": "or any other claims that the Department of",
        "paragraph_id": "para_413"
      },
      {
        "text": "Urban Development or the U.S. Department",
        "paragraph_id": "para_414"
      },
      {
        "text": "of Justice has or may have under the Fal[se]",
        "paragraph_id": "para_415"
      },
      {
        "text": "Claims Act.",
        "paragraph_id": "para_416"
      },
      {
        "text": "This language is in stark contrast to the language of the",
        "paragraph_id": "para_417"
      },
      {
        "text": "agreement in Barajas. There, the agreement with the Air",
        "paragraph_id": "para_418"
      },
      {
        "text": "Force “appear[ed] to have explicitly taken into account the",
        "paragraph_id": "para_419"
      },
      {

      },
      {
        "text": "overlap with the remedy [the relator] sought in his second",
        "paragraph_id": "para_421"
      },
      {
        "text": "action” by “specifically provid[ing] that it could be used by",
        "paragraph_id": "para_422"
      },
      {
        "text": "Northrop ‘in any civil proceeding in which Northrop",
        "paragraph_id": "para_423"
      },
      {
        "text": "attempts to obtain appropriate credit for funds paid or value",
        "paragraph_id": "para_424"
      },
      {
        "text": "received pursuant to this Agreement.’” Barajas, 258 F.3d at",
        "paragraph_id": "para_425"
      },
      {
        "text": "1011. “The obvious ‘civil proceeding’ in which Northrop",
        "paragraph_id": "para_426"
      },
      {
        "text": "would have been able to receive ‘appropriate credit for funds",
        "paragraph_id": "para_427"
      },
      {
        "text": "paid or value received’ was, of course, [the] second qui tam",
        "paragraph_id": "para_428"
      },
      {
        "text": "action, in which [relator] sought a remedy for precisely the",
        "paragraph_id": "para_429"
      },
      {
        "text": "same problem . . . for which the Agreement provided a",
        "paragraph_id": "para_430"
      },
      {
        "text": "remedy.” Id. Whereas here, the VCA did not “overlap",
        "paragraph_id": "para_431"
      },
      {
        "text": "with,” and instead carved out, the FCA claims and the",
        "paragraph_id": "para_432"
      },
      {
        "text": "remedies sought through it. See id. at 1011.",
        "paragraph_id": "para_433"
      },
      {
        "text": "Significantly, the purposes of the VCA and FCA",
        "paragraph_id": "para_434"
      },
      {
        "text": "settlement were different. The VCA did not seek to remedy",
        "paragraph_id": "para_435"
      },
      {
        "text": "the fraud against the Government. It sought relief for the",
        "paragraph_id": "para_436"
      },
      {
        "text": "City’s underlying civil rights violations: failure to comply",
        "paragraph_id": "para_437"
      },
      {
        "text": "with accessible housing requirements. In contrast, the FCA",
        "paragraph_id": "para_438"
      },
      {
        "text": "settlement resolves the allegations that the City falsely",
        "paragraph_id": "para_439"
      },
      {
        "text": "certified that it had complied with those obligations. The",
        "paragraph_id": "para_440"
      },
      {
        "text": "alternate remedy provision states “the Government may",
        "paragraph_id": "para_441"
      },
      {
        "text": "elect to pursue its claim through any alternate remedy",
        "paragraph_id": "para_442"
      },
      {
        "text": "available,” and the “claim” referred to in the provision is the",
        "paragraph_id": "para_443"
      },
      {
        "text": "false claim under the FCA. See 31 U.S.C. § 3730(c)(5); see",
        "paragraph_id": "para_444"
      },
      {
        "text": "generally id. § 3730 (titled “Civil actions for false claims”).",
        "paragraph_id": "para_445"
      },
      {
        "text": "As the D.C. Circuit explained, where “[t]he government’s",
        "paragraph_id": "para_446"
      },
      {
        "text": "separate enforcement action” does “not involve the type of",
        "paragraph_id": "para_447"
      },
      {
        "text": "claim cognizable under the False Claims Act,” the action",
        "paragraph_id": "para_448"
      },
      {
        "text": "does not implicate the alternate remedy provision, so the",
        "paragraph_id": "para_449"
      },
      {
        "text": "settlement of that action was not an alternate remedy. United",
        "paragraph_id": "para_450"
      },
      {
        "text": "States ex rel. Kennedy v. Novo A/S, 5 F.4th 47, 49, 54 (D.C.",
        "paragraph_id": "para_451"
      },
      {
        "text": "Cir. 2021). Even if “the underlying facts are similar to those",
        "paragraph_id": "para_452"
      },
      {
        "text": "in the earlier-filed qui tam lawsuit,” “[t]he plain text of the",
        "paragraph_id": "para_453"
      },
      {

      },
      {
        "text": "False Claims Act confines qui tam plaintiffs to recoveries",
        "paragraph_id": "para_455"
      },
      {
        "text": "only for claims seeking relief based on the type of fraud or",
        "paragraph_id": "para_456"
      },
      {
        "text": "falsehoods covered by that statute.” Id. at 49. Similarly, the",
        "paragraph_id": "para_457"
      },
      {
        "text": "VCA here resolves “a different legal claim altogether,",
        "paragraph_id": "para_458"
      },
      {
        "text": "arising beyond the False Claims Act’s borders.” See id. at",
        "paragraph_id": "para_459"
      },
      {
        "text": "56.",
        "paragraph_id": "para_460"
      },
      {
        "text": "There was also no evidence of collusion or bad faith here",
        "paragraph_id": "para_461"
      },
      {
        "text": "connected to any supposed effort to deprive the relator of the",
        "paragraph_id": "para_462"
      },
      {
        "text": "fair share of her recovery. HUD and the City entered into",
        "paragraph_id": "para_463"
      },
      {
        "text": "the VCA in August 2019, and litigation continued in this",
        "paragraph_id": "para_464"
      },
      {
        "text": "case for five years after. The Government and City engaged",
        "paragraph_id": "para_465"
      },
      {
        "text": "in voluminous fact discovery until November 2023, and the",
        "paragraph_id": "para_466"
      },
      {
        "text": "City moved for summary judgment before the FCA",
        "paragraph_id": "para_467"
      },
      {
        "text": "settlement was reached. Ultimately, the parties settled the",
        "paragraph_id": "para_468"
      },
      {
        "text": "FCA claims only after years of extensive investigation and",
        "paragraph_id": "para_469"
      },
      {
        "text": "negotiation. If the parties colluded and the VCA was",
        "paragraph_id": "para_470"
      },
      {
        "text": "actually an alternate remedy effectively taking the place of",
        "paragraph_id": "para_471"
      },
      {
        "text": "the remedy in this litigation, then we would have expected",
        "paragraph_id": "para_472"
      },
      {
        "text": "the parties to settle the FCA claims shortly after entering the",
        "paragraph_id": "para_473"
      },
      {
        "text": "VCA and for much less. But that was not the case here. The",
        "paragraph_id": "para_474"
      },
      {
        "text": "active participation of an experienced mediator during the",
        "paragraph_id": "para_475"
      },
      {
        "text": "settlement process further undermines any allegation of",
        "paragraph_id": "para_476"
      },
      {
        "text": "collusion.",
        "paragraph_id": "para_477"
      },
      {
        "text": "Ling is correct that an alternate remedy under the FCA",
        "paragraph_id": "para_478"
      },
      {
        "text": "can involve nonmonetary value. We have held that because",
        "paragraph_id": "para_479"
      },
      {
        "text": "the FCA does not define the term, “proceeds . . . need not",
        "paragraph_id": "para_480"
      },
      {
        "text": "always consist of money or some tangible asset.” Barajas,",
        "paragraph_id": "para_481"
      },
      {
        "text": "258 F.3d at 1013 (citation modified). We reasoned that “if",
        "paragraph_id": "para_482"
      },
      {
        "text": "Northrop had not agreed to replace and repair the faulty",
        "paragraph_id": "para_483"
      },
      {
        "text": "[transmitters] and replace the defective damping fluid, the",
        "paragraph_id": "para_484"
      },
      {
        "text": "government would have had to pay to cure the problem. The",
        "paragraph_id": "para_485"
      },
      {
        "text": "value of the ‘proceeds’ of the Air Force Agreement is",
        "paragraph_id": "para_486"
      },
      {
        "text": "therefore the amount the government would have had to pay",
        "paragraph_id": "para_487"
      },
      {
        "text": "LING V. CITY OF LOS ANGELES 17",

      },
      {
        "text": "to Northrop . . . to cure the problem that Northrop agreed to",
        "paragraph_id": "para_489"
      },
      {
        "text": "cure in the Agreement.” Id. at 1013.",
        "paragraph_id": "para_490"
      },
      {
        "text": "The existence of such nonmonetary value, however, is",
        "paragraph_id": "para_491"
      },
      {
        "text": "not sufficient to show an alternate remedy. The VCA’s",
        "paragraph_id": "para_492"
      },
      {
        "text": "value here does not make it an alternate remedy. Under the",
        "paragraph_id": "para_493"
      },
      {
        "text": "VCA, the City agreed to comply with its federal statutory",
        "paragraph_id": "para_494"
      },
      {
        "text": "obligations by making accessible housing available. While",
        "paragraph_id": "para_495"
      },
      {
        "text": "the City’s compliance with federal laws is a benefit to the",
        "paragraph_id": "para_496"
      },
      {
        "text": "Government, this value redresses the City’s present",
        "paragraph_id": "para_497"
      },
      {
        "text": "violations and prevents future violations of federal housing",
        "paragraph_id": "para_498"
      },
      {
        "text": "accessibility laws. In contrast, the FCA settlement redresses",
        "paragraph_id": "para_499"
      },
      {
        "text": "the City’s past fraud by misrepresenting compliance with",
        "paragraph_id": "para_500"
      },
      {
        "text": "those laws and subsequently receiving federal funds. See",
        "paragraph_id": "para_501"
      },
      {
        "text": "supra pp. 15–16. The agreement in Barajas is distinct",
        "paragraph_id": "para_502"
      },
      {
        "text": "because it redressed the false claim at issue there: faulty",
        "paragraph_id": "para_503"
      },
      {
        "text": "transmitters with defective damping fluid. See 258 F.3d at",
        "paragraph_id": "para_504"
      },
      {
        "text": "1006–08. In that case, the defendant’s fraud was the delivery",
        "paragraph_id": "para_505"
      },
      {
        "text": "of those transmitters to the Government, which was",
        "paragraph_id": "para_506"
      },
      {
        "text": "redressed by the agreement to “replace and repair the faulty",
        "paragraph_id": "para_507"
      },
      {
        "text": "[transmitters] and replace the defective damping fluid.” Id.",
        "paragraph_id": "para_508"
      },
      {
        "text": "at 1013.",
        "paragraph_id": "para_509"
      },
      {
        "text": "Relatedly, Ling contends that “[i]f the government",
        "paragraph_id": "para_510"
      },
      {
        "text": "receives via the VCA the accessible housing it had bargained",
        "paragraph_id": "para_511"
      },
      {
        "text": "for, at the expense of the City, neither the [G]overnment nor",
        "paragraph_id": "para_512"
      },
      {
        "text": "the relators can expect to then proceed to recover in the FCA",
        "paragraph_id": "para_513"
      },
      {
        "text": "case damages for that same government loss.” This",
        "paragraph_id": "para_514"
      },
      {
        "text": "argument misconstrues the FCA claims’ purpose, which is",
        "paragraph_id": "para_515"
      },
      {
        "text": "not to address the underlying accessible housing violations",
        "paragraph_id": "para_516"
      },
      {
        "text": "but rather the City’s fraud in lying about those violations.",
        "paragraph_id": "para_517"
      },
      {
        "text": "See supra pp. 15–16. As detailed in the operative complaint,",
        "paragraph_id": "para_518"
      },
      {
        "text": "this action sought monetary damages and civil penalties for",
        "paragraph_id": "para_519"
      },
      {
        "text": "FCA violations, monetary damages for the City’s negligent",
        "paragraph_id": "para_520"
      },
      {
        "text": "misrepresentation to the Government, restitution for the",
        "paragraph_id": "para_521"
      },
      {
        "text": "18 LING V. CITY OF LOS ANGELES",
        "paragraph_id": "para_522"
      },
      {
        "text": "City’s unjust enrichment, and monetary damages for the",
        "paragraph_id": "para_523"
      },
      {
        "text": "Government’s payment by mistake. In contrast, the VCA",
        "paragraph_id": "para_524"
      },
      {
        "text": "required remedial actions by the City to comply with federal",
        "paragraph_id": "para_525"
      },
      {
        "text": "housing accessibility laws and ensure future housing",
        "paragraph_id": "para_526"
      },
      {
        "text": "complied with those laws. The City’s remedial actions under",
        "paragraph_id": "para_527"
      },
      {
        "text": "the VCA do not nullify the Government’s losses due to",
        "paragraph_id": "para_528"
      },
      {
        "text": "misrepresentations, unjust enrichment, and payment by",
        "paragraph_id": "para_529"
      },
      {
        "text": "mistake. Instead, the Government and relators recovered",
        "paragraph_id": "para_530"
      },
      {
        "text": "those separate losses via the settlement.",
        "paragraph_id": "para_531"
      },
      {
        "text": "Under these circumstances, the VCA did not take the",
        "paragraph_id": "para_532"
      },
      {
        "text": "place of the FCA suit or FCA settlement. The VCA is",
        "paragraph_id": "para_533"
      },
      {
        "text": "therefore not an alternate remedy.",
        "paragraph_id": "para_534"
      },
      {
        "text": "C. The district court did not abuse its discretion",
        "paragraph_id": "para_535"
      },
      {
        "text": "approving the FCA settlement because it is fair,",
        "paragraph_id": "para_536"
      },
      {
        "text": "adequate, and reasonable.",
        "paragraph_id": "para_537"
      },
      {
        "text": "“The Government may settle the [FCA] action with the",
        "paragraph_id": "para_538"
      },
      {
        "text": "defendant notwithstanding the objections of the person",
        "paragraph_id": "para_539"
      },
      {
        "text": "initiating the action if the court determines, after a hearing,",
        "paragraph_id": "para_540"
      },
      {
        "text": "that the proposed settlement is fair, adequate, and reasonable",
        "paragraph_id": "para_541"
      },
      {
        "text": "under all the circumstances.” 31 U.S.C. § 3730(c)(2)(B).",
        "paragraph_id": "para_542"
      },
      {
        "text": "Because “the injury [relators] assert is exclusively to the",
        "paragraph_id": "para_543"
      },
      {
        "text": "Government,” the Government is afforded deference when",
        "paragraph_id": "para_544"
      },
      {
        "text": "settling a qui tam case. See United States ex rel. Polansky v.",
        "paragraph_id": "para_545"
      },
      {
        "text": "Exec. Health Res., Inc., 599 U.S. 419, 425 (2023); id. at 437–",
        "paragraph_id": "para_546"
      },
      {
        "text": "48 (holding “the Government’s views are entitled to",
        "paragraph_id": "para_547"
      },
      {
        "text": "substantial deference” in the context of dismissal because a",
        "paragraph_id": "para_548"
      },
      {
        "text": "qui tam suit “is on behalf of and in the name of the",
        "paragraph_id": "para_549"
      },
      {
        "text": "Government”).",
        "paragraph_id": "para_550"
      },
      {
        "text": "Ling contends that the district court abused its discretion",
        "paragraph_id": "para_551"
      },
      {
        "text": "by approving the settlement because it was a “significant",
        "paragraph_id": "para_552"
      },
      {
        "text": "drop from the United States’ calculation of damages which",
        "paragraph_id": "para_553"
      },
      {
        "text": "was more than $500 million” and “the City had previously",
        "paragraph_id": "para_554"
      },
      {

        "text": "offered the U.S. $100 million to settle.” But as the district",
        "paragraph_id": "para_556"
      },
      {
        "text": "court noted in its order:",
        "paragraph_id": "para_557"
      },
      {
        "text": "[T]he settlement arrives more than six years",
        "paragraph_id": "para_558"
      },
      {
        "text": "later after extended litigation, expansive",
        "paragraph_id": "para_559"
      },
      {
        "text": "discovery, and robust negotiations. The",
        "paragraph_id": "para_560"
      },
      {
        "text": "previous offers, and the size of those offers,",
        "paragraph_id": "para_561"
      },
      {
        "text": "were made in an entirely different context—",
        "paragraph_id": "para_562"
      },
      {
        "text": "which explains the series of increased,",
        "paragraph_id": "para_563"
      },
      {
        "text": "reduced, withdrawn, or amended offers. The",
        "paragraph_id": "para_564"
      },
      {
        "text": "City’s willingness to vigorously defend this",
        "paragraph_id": "para_565"
      },
      {
        "text": "case also provides insight into the",
        "paragraph_id": "para_566"
      },
      {
        "text": "discrepancy in the amount and potential",
        "paragraph_id": "para_567"
      },
      {
        "text": "strength of the City’s defense.",
        "paragraph_id": "para_568"
      },
      {
        "text": "Ling acknowledges that the district court “referenced some",
        "paragraph_id": "para_569"
      },
      {
        "text": "of the litigation issues” but contends “those issues and the",
        "paragraph_id": "para_570"
      },
      {
        "text": "risks regarding them were known at the time the City made",
        "paragraph_id": "para_571"
      },
      {
        "text": "its $100 million offer in 2016.”",
        "paragraph_id": "para_572"
      },
      {
        "text": "The parties dispute that there even was a separate $100",
        "paragraph_id": "para_573"
      },
      {
        "text": "million offer, and the evidence of such an offer is limited.",
        "paragraph_id": "para_574"
      },
      {
        "text": "Whether or not such an offer existed is irrelevant, however,",
        "paragraph_id": "para_575"
      },
      {
        "text": "because the Government represented at the fairness hearing",
        "paragraph_id": "para_576"
      },
      {
        "text": "that it analyzed the total settlement amount through a",
        "paragraph_id": "para_577"
      },
      {
        "text": "“benefit-of-the-bargain approach” that compared the value",
        "paragraph_id": "para_578"
      },
      {
        "text": "of the City’s existing affordable housing to the value of the",
        "paragraph_id": "para_579"
      },
      {
        "text": "affordable and accessible housing the City would have",
        "paragraph_id": "para_580"
      },
      {
        "text": "developed had it complied with federal housing accessibility",
        "paragraph_id": "para_581"
      },
      {
        "text": "laws. The Government represented that because “most of",
        "paragraph_id": "para_582"
      },
      {
        "text": "the defects that have been identified [in this case] related to",
        "paragraph_id": "para_583"
      },
      {
        "text": "the mobility issues,” it focused on the federal requirement",
        "paragraph_id": "para_584"
      },
      {
        "text": "that at least five percent of the multifamily housing be",
        "paragraph_id": "para_585"
      },
      {
        "text": "accessible for mobile impairment. Based on that approach,",
        "paragraph_id": "para_586"
      },
      {
        "text": "20 LING V. CITY OF LOS ANGELES",
        "paragraph_id": "para_587"
      },
      {
        "text": "the Government calculated damages of $26,800,000 and",
        "paragraph_id": "para_588"
      },
      {
        "text": "included a multiplier sum of $11,466,989.",
        "paragraph_id": "para_589"
      },
      {
        "text": "Although this amount differed from the damages the",
        "paragraph_id": "para_590"
      },
      {
        "text": "Government previously identified, the Government",
        "paragraph_id": "para_591"
      },
      {
        "text": "“reserv[ed] its right to reconsider the calculation of damages",
        "paragraph_id": "para_592"
      },
      {
        "text": "and the consideration of other appropriate damages",
        "paragraph_id": "para_593"
      },
      {
        "text": "methodologies.” Crucially, the City “repeatedly told the",
        "paragraph_id": "para_594"
      },
      {
        "text": "United States that each dollar it paid in settlement is a dollar",
        "paragraph_id": "para_595"
      },
      {
        "text": "that it must find in its budget and cannot otherwise spend on",
        "paragraph_id": "para_596"
      },
      {
        "text": "affordable, accessible housing, reducing homelessness, and",
        "paragraph_id": "para_597"
      },
      {
        "text": "other public goods.” These “public policy consequences”",
        "paragraph_id": "para_598"
      },
      {
        "text": "were entirely reasonable factors for the Government to",
        "paragraph_id": "para_599"
      },
      {
        "text": "consider because “unlike with private plaintiffs, the",
        "paragraph_id": "para_600"
      },
      {
        "text": "government’s interests are not confined to maximizing",
        "paragraph_id": "para_601"
      },
      {
        "text": "recovery against the defendant.” See United States v.",
        "paragraph_id": "para_602"
      },
      {
        "text": "Everglades Coll., Inc., 855 F.3d 1279, 1288 (11th Cir. 2017),",
        "paragraph_id": "para_603"
      },
      {
        "text": "abrogated on other grounds by United States v. Republic of",
        "paragraph_id": "para_604"
      },
      {
        "text": "Honduras, 75 F.4th 1288, 1289 (11th Cir. 2023).",
        "paragraph_id": "para_605"
      },
      {
        "text": "Ling also argues “the litigation position of the U.S. had",
        "paragraph_id": "para_606"
      },
      {
        "text": "improved since [2016] (having defeated the City’s motion to",
        "paragraph_id": "para_607"
      },
      {
        "text": "dismiss),” and “the other parties did not offer evidence . . .",
        "paragraph_id": "para_608"
      },
      {
        "text": "to prove what if any material changes or events had occurred",
        "paragraph_id": "para_609"
      },
      {
        "text": "since the $100 million offer.”",
        "paragraph_id": "para_610"
      },
      {
        "text": "But the parties did offer evidence. Although the district",
        "paragraph_id": "para_611"
      },
      {
        "text": "court denied the City’s motion to dismiss, it observed that",
        "paragraph_id": "para_612"
      },
      {
        "text": "“did not mean that the Government has already proven its",
        "paragraph_id": "para_613"
      },
      {
        "text": "case.” The City argued at summary judgment that its",
        "paragraph_id": "para_614"
      },
      {
        "text": "certifications of compliance with federal housing",
        "paragraph_id": "para_615"
      },
      {
        "text": "accessibility laws were not material to HUD and that the",
        "paragraph_id": "para_616"
      },
      {
        "text": "Government would fail to prove scienter or causation.",
        "paragraph_id": "para_617"
      },
      {
        "text": "Because those are necessary elements of the FCA claims, the",
        "paragraph_id": "para_618"
      },
      {
        "text": "district court found that even if the Government’s claims",
        "paragraph_id": "para_619"
      },
      {

      {
        "text": "survived summary judgment, “the Government faces an",
        "paragraph_id": "para_621"
      },
      {
        "text": "onerous task to establish the FCA claims at trial.” The",
        "paragraph_id": "para_622"
      },
      {
        "text": "Government also acknowledged that “[p]roceeding with the",
        "paragraph_id": "para_623"
      },
      {
        "text": "case would require the parties to engage in long, complex,",
        "paragraph_id": "para_624"
      },
      {
        "text": "and hard-fought litigation” and that costs would likely",
        "paragraph_id": "para_625"
      },
      {
        "text": "increase “without any guarantee of greater reward.”",
        "paragraph_id": "para_626"
      },
      {
        "text": "Contrary to Ling’s assertions, those arguments were not",
        "paragraph_id": "para_627"
      },
      {
        "text": "“known at the time the City made its [alleged] $100 million",
        "paragraph_id": "para_628"
      },
      {
        "text": "offer in 2016” because the City moved for summary",
        "paragraph_id": "para_629"
      },
      {
        "text": "judgment in March 2024.",
        "paragraph_id": "para_630"
      },
      {
        "text": "Additionally, the district court found that the parties",
        "paragraph_id": "para_631"
      },
      {
        "text": "reached the settlement amount “after extensive investigation",
        "paragraph_id": "para_632"
      },
      {
        "text": "and negotiation over the course of nine years and two",
        "paragraph_id": "para_633"
      },
      {
        "text": "mediations.” That the approved settlement was the result of",
        "paragraph_id": "para_634"
      },
      {
        "text": "mediation and discovery concluded before that mediation",
        "paragraph_id": "para_635"
      },
      {
        "text": "are material changes since the alleged $100 million offer.",
        "paragraph_id": "para_636"
      },
      {
        "text": "The district court’s conclusion that “[t]he previous offers,",
        "paragraph_id": "para_637"
      },
      {
        "text": "and the size of those offers, were made in an entirely",
        "paragraph_id": "para_638"
      },
      {
        "text": "different context—which explains the series of increased,",
        "paragraph_id": "para_639"
      },
      {
        "text": "reduced, withdrawn, or amended offers,” was thus not",
        "paragraph_id": "para_640"
      },
      {
        "text": "“illogical, implausible, or without support in inferences that",
        "paragraph_id": "para_641"
      },
      {
        "text": "may be drawn from the record.” See Schoenberg v. Fed.",
        "paragraph_id": "para_642"
      },
      {
        "text": "Bureau of Investigation, 2 F.4th 1270, 1275 (9th Cir. 2021)",
        "paragraph_id": "para_643"
      },
      {
        "text": "(citation omitted).",
        "paragraph_id": "para_644"
      },
      {
        "text": "Because “the very essence of a settlement is",
        "paragraph_id": "para_645"
      },
      {
        "text": "compromise, a yielding of absolutes and an abandoning of",
        "paragraph_id": "para_646"
      },
      {
        "text": "highest hopes,” Officers for Just. v. Civ. Serv. Comm’n of",
        "paragraph_id": "para_647"
      },
      {
        "text": "SF, 688 F.2d 615, 624 (9th Cir. 1982) (citation modified),",
        "paragraph_id": "para_648"
      },
      {
        "text": "and the Government is afforded deference when settling a",
        "paragraph_id": "para_649"
      },
      {
        "text": "qui tam case, see Polansky, 599 U.S. at 425, 437, the district",
        "paragraph_id": "para_650"
      },
      {
        "text": "court did not abuse its discretion approving the settlement",
        "paragraph_id": "para_651"
      },
      {
        "text": "amount as fair, adequate, and reasonable.",
        "paragraph_id": "para_652"
      },
      {
        "text": "22 LING V. CITY OF LOS ANGELES",
        "paragraph_id": "para_653"
      },
      {
        "text": "IV.",
        "paragraph_id": "para_654"
      },
      {
        "text": "We affirm the district court’s holding that the VCA was",
        "paragraph_id": "para_655"
      },
      {
        "text": "not an alternate remedy and its approval of the FCA",
        "paragraph_id": "para_656"
      },
      {
        "text": "settlement as fair, adequate, and reasonable.",
        "paragraph_id": "para_657"
      },
      {
        "text": "AFFIRMED.",
