        "text": "can life, including how we work, how we make art, and, criti-",

      },

        "text": "cally for this case, how we study the law. In this case, the",

        "text": "Center GmbH (“Thomson Reuters”), charges a new competitor",
        "paragraph_id": "para_25"
      },
      {
        "text": "with copying its editorial materials to train an AI platform. The",
        "paragraph_id": "para_26"
      },
      {
        "text": "newcomer, ROSS Intelligence, Inc. (“ROSS”), counters that",
        "paragraph_id": "para_27"
      },
      {
        "text": "Thomson Reuters seeks to squelch innovative AI technology.",
        "paragraph_id": "para_28"
      },
      {
        "text": "But new technology is often at the forefront of our copyright",
        "paragraph_id": "para_29"
      },
      {
        "text": "cases. And when it is, we regularly apply “the principles un-",
        "paragraph_id": "para_30"
      },
      {
        "text": "derlying our venerable copyright laws.” Whelan Assocs., Inc.",
        "paragraph_id": "para_31"
      },
      {
        "text": "v. Jaslow Dental Lab’y , Inc., 797 F.2d 1222, 1224 (3d Cir.",
        "paragraph_id": "para_32"
      },
      {
        "text": "1986). Stripped to its essence, this interlocutory appeal asks us",
        "paragraph_id": "para_33"
      },
      {
        "text": "to do just that.",
        "paragraph_id": "para_34"
      },
      {
        "text": "Under ROSS’s framing, this case appears to concern the",
        "paragraph_id": "para_35"
      },
      {
        "text": "future of AI legal technology. But appearances can be deceiv-",
        "paragraph_id": "para_36"
      },
      {
        "text": "ing. In truth, this is no more than an ordinary copyright case;",
        "paragraph_id": "para_37"
      },
      {
        "text": "we must determine whether Thomson Reuters’s materials are",
        "paragraph_id": "para_38"
      },
      {
        "text": "sufficiently original for copyright protection and whether",
        "paragraph_id": "para_39"
      },
      {
        "text": "ROSS’s use of those materials was fair. The undisputed evi-",
        "paragraph_id": "para_40"
      },
      {
        "text": "dence reflects that Thomson Reuters’s materials possess a cre-",
        "paragraph_id": "para_41"
      },
      {
        "text": "ative spark, and ROSS aspired to be a direct competitor by us-",
        "paragraph_id": "para_42"
      },
      {
        "text": "ing them for a highly similar purpose. We therefore hold that",
        "paragraph_id": "para_43"
      },
      {
        "text": "Thomson Reuters’s materials are copyrightable and that",
        "paragraph_id": "para_44"
      },
      {
        "text": "ROSS’s use was not fair. Thus, we will affirm the District",
        "paragraph_id": "para_45"
      },
      {
        "text": "Court’s order granting Thomson Reuters partial summary",
        "paragraph_id": "para_46"
      },
      {
        "text": "judgment.",
        "paragraph_id": "para_47"
      },
      {
        "text": "I. FACTS & PROCEDURAL HISTORY",
        "paragraph_id": "para_48"
      },
      {
        "text": "This story begins with our country’s founding. As the",
        "paragraph_id": "para_49"
      },
      {
        "text": "United States took its first steps as an independent nation, it",
        "paragraph_id": "para_50"
      },
      {
        "text": "3",
        "paragraph_id": "para_51"
      },
      {
        "text": "began developing its own common law. In these early days,",
        "paragraph_id": "para_52"
      },
      {
        "text": "there were few official reporters publishing this developing",
        "paragraph_id": "para_53"
      },
      {
        "text": "corpus of American case law. Private commercial publishers",
        "paragraph_id": "para_54"
      },
      {
        "text": "sought to fill this void, and case reporters proliferated. One",
        "paragraph_id": "para_55"
      },
      {
        "text": "such publisher was West Publishing Corporation, which exists",
        "paragraph_id": "para_56"
      },
      {
        "text": "today as part of Thomson Reuters.",
        "paragraph_id": "para_57"
      },
      {
        "text": "Later, Thomson Reuters created Westlaw, an online legal-",
        "paragraph_id": "para_58"
      },
      {
        "text": "research platform that collects, organizes, annotates, and pub-",
        "paragraph_id": "para_59"
      },
      {
        "text": "lishes legal content such as judicial opinions. Westlaw organ-",
        "paragraph_id": "para_60"
      },
      {
        "text": "izes judicial opinions using its topic and Key Number System,",
        "paragraph_id": "para_61"
      },
      {
        "text": "which indexes opinions based on the legal topics addressed",
        "paragraph_id": "para_62"
      },
      {
        "text": "therein. These topics are connected to and expressed in head-",
        "paragraph_id": "para_63"
      },
      {
        "text": "notes. Headnotes are annotations on opinions that explain",
        "paragraph_id": "para_64"
      },
      {
        "text": "“what the law is in the abstract or the result which it compels",
        "paragraph_id": "para_65"
      },
      {
        "text": "on the facts of the case.” Appendix (hereinafter App. __”)",
        "paragraph_id": "para_66"
      },
      {
        "text": "6510. In Westlaw’s user interface, the headnotes sit above the",
        "paragraph_id": "para_67"
      },
      {
        "text": "opinion, and clicking on a headnote takes the Westlaw user to",
        "paragraph_id": "para_68"
      },
      {
        "text": "the corresponding passage of the opinion upon which the head-",
        "paragraph_id": "para_69"
      },
      {
        "text": "note is based. Headnotes reflect a point of law made in the",
        "paragraph_id": "para_70"
      },
      {
        "text": "judicial opinion and are “distinguished from statements of fact",
        "paragraph_id": "para_71"
      },
      {
        "text": "and from [statements explaining the] reasoning [supporting the",
        "paragraph_id": "para_72"
      },
      {
        "text": "point of law].” App. 6510.",
        "paragraph_id": "para_73"
      },
      {
        "text": "When drafting headnotes, Thomson Reuters’s editors must",
        "paragraph_id": "para_74"
      },
      {
        "text": "follow precise guidelines. They must make each headnote",
        "paragraph_id": "para_75"
      },
      {
        "text": "clear and concise, including only the essential facts for the le-",
        "paragraph_id": "para_76"
      },
      {
        "text": "gal contention or holding at issue. They are directed to limit",
        "paragraph_id": "para_77"
      },
      {
        "text": "each headnote to 800 characters, where possible. Headnotes",
        "paragraph_id": "para_78"
      },
      {

        "text": "are meant to convey to a reader the “most important points” in",

        "text": "context to stand on its own, and make sense to a reader who",

      },

        "text": "Thomson Reuters owns a registered copyright in Westlaw",
        "paragraph_id": "para_86"
      },
      {
        "text": "and its content, including the Key Number System, headnotes,",

        "paragraph_id": "para_90"
      },
      {
        "text": "part of that person’s official duties,” such as the opinions un-",
        "paragraph_id": "para_91"
      },
      {
        "text": "derlying the headnotes. App. 176. Thomson Reuters also used",
        "paragraph_id": "para_92"
      },
      {
        "text": "its headnotes to train other Westlaw products like WestSearch",
        "paragraph_id": "para_93"
      },
      {
        "text": "Plus, an AI powered search function.",
        "paragraph_id": "para_94"
      },
      {
        "text": "But Westlaw has competitors in the legal-research industry,",
        "paragraph_id": "para_95"
      },
      {
        "text": "including ROSS. ROSS was founded by three University of",
        "paragraph_id": "para_96"
      },
      {
        "text": "Toronto computer science students who entered an IBM com-",
        "paragraph_id": "para_97"
      },
      {
        "text": "petition, in which competing teams used IBM’s Watson com-",
        "paragraph_id": "para_98"
      },
      {
        "text": "puter to solve a data-related problem in the team’s chosen in-",
        "paragraph_id": "para_99"
      },
      {
        "text": "dustry. The trio’s idea was to use Watson to train a computer",
        "paragraph_id": "para_100"
      },
      {
        "text": "program to answer legal research questions without using tra-",
        "paragraph_id": "para_101"
      },
      {
        "text": "ditional Boolean or keyword searches. After this competition,",
        "paragraph_id": "para_102"
      },
      {
        "text": "5",
        "paragraph_id": "para_103"
      },
      {
        "text": "the students founded ROSS to expand their idea and build an",
        "paragraph_id": "para_104"
      },
      {
        "text": "AI legal-research platform.1",
        "paragraph_id": "para_105"
      },
      {
        "text": "ROSS then created an AI legal search engine that would",
        "paragraph_id": "para_106"
      },
      {
        "text": "respond to plain-language legal questions with relevant pas-",
        "paragraph_id": "para_107"
      },
      {
        "text": "sages of text from judicial opinions. ROSS had access to a",
        "paragraph_id": "para_108"
      },
      {
        "text": "bank of approximately ten million uncopyrighted judicial opin-",
        "paragraph_id": "para_109"
      },
      {
        "text": "ions from which it could respond with an excerpt relevant to a",
        "paragraph_id": "para_110"
      },
      {
        "text": "user’s query. ROSS’s AI was not a generative AI, meaning it",
        "paragraph_id": "para_111"
      },
      {
        "text": "would not create any new expression; it would only return text",
        "paragraph_id": "para_112"
      },
      {
        "text": "passages from preexisting judicial opinions.",
        "paragraph_id": "para_113"
      },
      {
        "text": "For ROSS’s AI legal search engine to work, the AI program",
        "paragraph_id": "para_114"
      },
      {
        "text": "had to learn what made a judicial opinion responsive to a user’s",
        "paragraph_id": "para_115"
      },
      {
        "text": "legal question. To train its AI program to do so, ROSS enlisted",
        "paragraph_id": "para_116"
      },
      {
        "text": "a company called LegalEase Solutions (“LegalEase”) to create",
        "paragraph_id": "para_117"
      },
      {
        "text": "AI training memoranda. LegalEase wrote approximately",
        "paragraph_id": "para_118"
      },
      {
        "text": "25,000 legal memos, each of which presented a legal question",
        "paragraph_id": "para_119"
      },
      {
        "text": "and four to six judicial opinion passages in response. Memo-",
        "paragraph_id": "para_120"
      },
      {
        "text": "drafters for LegalEase, and its subcontractor Morae Global,",
        "paragraph_id": "para_121"
      },
      {
        "text": "used thousands of Westlaw headnotes to create the memos’",
        "paragraph_id": "para_122"
      },
      {
        "text": "1 AI here refers to machine learning technology in which a soft-",
        "paragraph_id": "para_123"
      },
      {
        "text": "ware program analyzes data to learn how to perform a task.",
        "paragraph_id": "para_124"
      },
      {
        "text": "The program is given data which contains examples of inputs",
        "paragraph_id": "para_125"
      },
      {
        "text": "paired with outputs. By analyzing enough data, the program",
        "paragraph_id": "para_126"
      },
      {
        "text": "can improve its performance, effectively learning to recognize",
        "paragraph_id": "para_127"
      },
      {
        "text": "patterns regarding which outputs are responsive to which in-",
        "paragraph_id": "para_128"
      },
      {
        "text": "puts.",
        "paragraph_id": "para_129"
      },
      {
        "text": "6",
        "paragraph_id": "para_130"
      },
      {
        "text": "legal questions, as the headnotes provided “an easy way [to]",
        "paragraph_id": "para_131"
      },
      {
        "text": "fram[e] questions.” App. 8545. The memos’ responses to the",
        "paragraph_id": "para_132"
      },
      {
        "text": "legal questions needed to include at least one great, good, top-",
        "paragraph_id": "para_133"
      },
      {
        "text": "ical, and irrelevant judicial opinion passage, labeled as such.",
        "paragraph_id": "para_134"
      },
      {
        "text": "A great passage was completely responsive; a good passage",
        "paragraph_id": "para_135"
      },
      {
        "text": "was mostly responsive; a topical passage was somewhat re-",
        "paragraph_id": "para_136"
      },
      {
        "text": "sponsive; and an irrelevant passage was not responsive. The",
        "paragraph_id": "para_137"
      },
      {
        "text": "“[g]reat” passages were “[m]ost frequently” the judicial opin-",
        "paragraph_id": "para_138"
      },
      {
        "text": "ion passages that Westlaw linked to the headnote that ROSS",
        "paragraph_id": "para_139"
      },
      {
        "text": "used as the memo’s legal question.2 App. 4837–39. These",
        "paragraph_id": "para_140"
      },
      {
        "text": "memos were then converted into a machine-readable format",
        "paragraph_id": "para_141"
      },
      {
        "text": "and used to train the ROSS AI program to identify patterns re-",
        "paragraph_id": "para_142"
      },
      {
        "text": "garding which judicial opinion passages respond well to legal",
        "paragraph_id": "para_143"
      },
      {
        "text": "questions.",
        "paragraph_id": "para_144"
      },
      {
        "text": "ROSS did not hide its intention that this for-profit AI plat-",
        "paragraph_id": "para_145"
      },
      {
        "text": "form compete with Westlaw. ROSS ran ads directly compar-",
        "paragraph_id": "para_146"
      },
      {
        "text": "ing its platform to Westlaw at prices “in line with” Westlaw.",
        "paragraph_id": "para_147"
      },
      {
        "text": "App. 4519. ROSS executives hoped ROSS would serve as a",
        "paragraph_id": "para_148"
      },
      {
        "text": "substitute for Westlaw, and some law firms switched from us-",
        "paragraph_id": "para_149"
      },
      {
        "text": "ing Westlaw to ROSS.",
        "paragraph_id": "para_150"
      },
      {
        "text": "Upon learning of ROSS’s actions, Thomson Reuters sued",
        "paragraph_id": "para_151"
      },
      {
        "text": "ROSS, alleging copyright infringement and tortious",
        "paragraph_id": "para_152"
      },
      {

        "paragraph_id": "para_155"
      },
      {
        "text": "Westlaw headnotes.",
        "paragraph_id": "para_156"
      },
      {

      },
      {
        "text": "interference with contract. The District Court ultimately",
        "paragraph_id": "para_158"
      },
      {
        "text": "granted partial summary judgment for Thomson Reuters, hold-",
        "paragraph_id": "para_159"
      },
      {
        "text": "ing as a matter of law that ROSS’s use of 2,243 Westlaw head-",
        "paragraph_id": "para_160"
      },
      {
        "text": "notes3 infringed Thomson Reuters’s copyright and was not fair",
        "paragraph_id": "para_161"
      },
      {
        "text": "use. Then, at the parties’ request, the District Court certified",
        "paragraph_id": "para_162"
      },
      {
        "text": "for interlocutory review “(1) whether the West headnotes and",
        "paragraph_id": "para_163"
      },
      {
        "text": "the West Key Number System[4] are original as a matter of law",
        "paragraph_id": "para_164"
      },
      {
        "text": "and (2) whether ROSS’s alleged use of the headnotes was fair",
        "paragraph_id": "para_165"
      },
      {
        "text": "use.” App. 61.",
        "paragraph_id": "para_166"
      },
      {
        "text": "II. JURISDICTION AND STANDARD OF REVIEW",
        "paragraph_id": "para_167"
      },
      {
        "text": "The District Court had jurisdiction under 28 U.S.C. §§",
        "paragraph_id": "para_168"
      },
      {
        "text": "1331, 1338. We have jurisdiction to hear this interlocutory ap-",
        "paragraph_id": "para_169"
      },
      {
        "text": "peal under 28 U.S.C. § 1292(b). We are “generally constrained",
        "paragraph_id": "para_170"
      },
      {
        "text": "3 An expert for ROSS stated that the memo questions corre-",
        "paragraph_id": "para_171"
      },
      {
        "text": "sponding to a batch of 2,830 headnotes closely resembled the",
        "paragraph_id": "para_172"
      },
      {
        "text": "headnote text but differed significantly from the underlying ju-",
        "paragraph_id": "para_173"
      },
      {
        "text": "dicial opinions’ text. The District Court scrutinized this batch,",
        "paragraph_id": "para_174"
      },
      {
        "text": "comparing the headnotes to the memo questions and the opin-",
        "paragraph_id": "para_175"
      },
      {
        "text": "ions. The District Court concluded that for 2,243 headnotes,",
        "paragraph_id": "para_176"
      },
      {
        "text": "the memo questions were so similar to the headnote text but so",
        "paragraph_id": "para_177"
      },
      {
        "text": "dissimilar to the opinion text that no reasonable juror could",
        "paragraph_id": "para_178"
      },
      {
        "text": "conclude these headnotes were not copied.",
        "paragraph_id": "para_179"
      },
      {
        "text": "4 ROSS never challenged the originality of the Key Number",
        "paragraph_id": "para_180"
      },
      {
        "text": "System in any of its briefing, despite its inclusion in the certi-",
        "paragraph_id": "para_181"
      },
      {
        "text": "fied questions. We do not address that forfeited issue.",
        "paragraph_id": "para_182"
      },
      {

      },
      {
        "text": "to the questions certified for review” in an interlocutory appeal,",
        "paragraph_id": "para_184"
      },
      {
        "text": "but we “may consider any grounds justifying reversal.” Ellis",
        "paragraph_id": "para_185"
      },
      {
        "text": "v. Westinghouse Elec. Co., 11 F.4th 221, 229 (3d Cir. 2021)",
        "paragraph_id": "para_186"
      },
      {
        "text": "(quoting Morris v. Hoffa, 361 F.3d 177, 196 (3d Cir. 2004)).",
        "paragraph_id": "para_187"
      },
      {
        "text": "We review a grant of summary judgment de novo. TD Bank",
        "paragraph_id": "para_188"
      },
      {
        "text": "N.A. v. Hill, 928 F.3d 259, 270 (3d Cir. 2019). Summary judg-",
        "paragraph_id": "para_189"
      },
      {
        "text": "ment is appropriate when “there is no genuine dispute as to any",
        "paragraph_id": "para_190"
      },
      {
        "text": "material fact and the movant is entitled to judgment as a matter",
        "paragraph_id": "para_191"
      },
      {
        "text": "of law.” Fed. R. Civ. P. 56(a). “We view the facts in the light",
        "paragraph_id": "para_192"
      },
      {
        "text": "most favorable to the non-moving party and draw all reasona-",
        "paragraph_id": "para_193"
      },
      {
        "text": "ble inferences in that party’s favor.” Tundo v. Cnty. of Passaic,",
        "paragraph_id": "para_194"
      },
      {
        "text": "923 F.3d 283, 287 (3d Cir. 2019) (citation modified).",
        "paragraph_id": "para_195"
      },
      {
        "text": "III. ANALYSIS",
        "paragraph_id": "para_196"
      },
      {
        "text": "Our Constitution empowers Congress “to promote the pro-",
        "paragraph_id": "para_197"
      },
      {
        "text": "gress of science and useful arts, by securing for limited times",
        "paragraph_id": "para_198"
      },
      {
        "text": "to authors and inventors the exclusive right to their respective",
        "paragraph_id": "para_199"
      },
      {
        "text": "writings and discoveries.” U.S. Const., Art. 1, § 8, cl. 8 (cita-",
        "paragraph_id": "para_200"
      },
      {
        "text": "tion modified). Congress promotes the progress of science and",
        "paragraph_id": "para_201"
      },
      {
        "text": "arts through the Copyright Act, 17 U.S.C. § 101 et seq., which",
        "paragraph_id": "para_202"
      },
      {
        "text": "“encourage[s] creativity by granting to the author of an original",
        "paragraph_id": "para_203"
      },
      {
        "text": "work ‘a bundle of exclusive rights,’” like the rights to “repro-",
        "paragraph_id": "para_204"
      },
      {
        "text": "duce” a copyrighted work and “prepare derivative works.”",
        "paragraph_id": "para_205"
      },
      {
        "text": "Andy Warhol Found. for the Visual Arts, Inc. v. Goldsmith, 598",
        "paragraph_id": "para_206"
      },
      {
        "text": "U.S. 508, 526 (2023) (quoting Harper & Row, Publishers, Inc.",
        "paragraph_id": "para_207"
      },
      {
        "text": "v. Nation Enters., 471 U.S. 539, 546 (1985)).",
        "paragraph_id": "para_208"
      },
      {

      },
      {
        "text": "But the Copyright Act does not focus solely on encouraging",
        "paragraph_id": "para_210"
      },
      {
        "text": "creativity. It also promotes the availability of creative works.",
        "paragraph_id": "para_211"
      },
      {
        "text": "Stated differently, it “reflects a balance of competing claims",
        "paragraph_id": "para_212"
      },
      {
        "text": "upon the public interest: Creative work is to be encouraged and",
        "paragraph_id": "para_213"
      },
      {
        "text": "rewarded, but private motivation must ultimately serve the",
        "paragraph_id": "para_214"
      },
      {
        "text": "cause of promoting broad public availability of” creative",
        "paragraph_id": "para_215"
      },
      {
        "text": "works. Id. (quoting Twentieth Century Music Corp. v. Aiken,",
        "paragraph_id": "para_216"
      },
      {
        "text": "422 U.S. 151, 156 (1975)). That “balancing act between crea-",
        "paragraph_id": "para_217"
      },
      {
        "text": "tivity and availability (including for use in new works)” is re-",
        "paragraph_id": "para_218"
      },
      {
        "text": "flected, in part, in the “fair use” defense, a common-law doc-",
        "paragraph_id": "para_219"
      },
      {
        "text": "trine codified at 17 U.S.C. § 107. Id. at 526–27.",
        "paragraph_id": "para_220"
      },
      {
        "text": "To establish a claim of copyright infringement, one must",
        "paragraph_id": "para_221"
      },
      {
        "text": "demonstrate “ownership of a valid copyright and copying of",
        "paragraph_id": "para_222"
      },
      {
        "text": "original elements of the plaintiff's work.” Am. Soc'y for Test-",
        "paragraph_id": "para_223"
      },
      {
        "text": "ing & Materials v. UpCodes, Inc., 172 F.4th 253, 261 (3d Cir.",
        "paragraph_id": "para_224"
      },
      {
        "text": "2026) (citing Whelan Assocs., 797 F.2d at 1231). But one can",
        "paragraph_id": "para_225"
      },
      {
        "text": "have a copyright only in “original works of authorship.” 17",
        "paragraph_id": "para_226"
      },
      {
        "text": "U.S.C. § 102(a). Even if these elements are satisfied, the “fair",
        "paragraph_id": "para_227"
      },
      {
        "text": "use” of a work’s original elements “for purposes such as criti-",
        "paragraph_id": "para_228"
      },
      {
        "text": "cism, comment, news reporting, teaching . . ., scholarship, or",
        "paragraph_id": "para_229"
      },
      {
        "text": "research, is not an infringement of copyright.” Id. § 107. This",
        "paragraph_id": "para_230"
      },
      {
        "text": "case turns on the originality requirement and ROSS’s fair use",
        "paragraph_id": "para_231"
      },
      {
        "text": "defense. We first consider whether Thomson Reuters’s head-",
        "paragraph_id": "para_232"
      },
      {
        "text": "notes were original, and then whether ROSS’s copying them",
        "paragraph_id": "para_233"
      },
      {
        "text": "into AI training memos for its legal-research platform was a",
        "paragraph_id": "para_234"
      },
      {
        "text": "fair use.",
        "paragraph_id": "para_235"
      },
      {
        "text": "10",
        "paragraph_id": "para_236"
      },
      {
        "text": "A. Originality5",
        "paragraph_id": "para_237"
      },
      {
        "text": "We begin with originality. “Copyright protection sub-",
        "paragraph_id": "para_238"
      },
      {
        "text": "sists . . . in original works of authorship.” 17 U.S.C. § 102(a).",
        "paragraph_id": "para_239"
      },
      {
        "text": "This is an “extremely low” bar, as works need only be “inde-",
        "paragraph_id": "para_240"
      },
      {
        "text": "pendently created” with a “modicum of creativity” for copy-",
        "paragraph_id": "para_241"
      },
      {
        "text": "right protection; such creativity is present when a work “pos-",
        "paragraph_id": "para_242"
      },
      {
        "text": "sess[es] some creative spark.” Feist Publ’ns, Inc. v. Rural Tel.",
        "paragraph_id": "para_243"
      },
      {
        "text": "Serv. Co., 499 U.S. 340, 345–46 (1991). Although “the vast",
        "paragraph_id": "para_244"
      },
      {
        "text": "majority of [works] will pass this test,” “[t]here remains a nar-",
        "paragraph_id": "para_245"
      },
      {
        "text": "row category of works in which the creative spark is utterly",
        "paragraph_id": "para_246"
      },
      {
        "text": "lacking or so trivial as to be virtually nonexistent.” Id. at 359",
        "paragraph_id": "para_247"
      },
      {
        "text": "(holding that the alphabetical arrangement of a phonebook",
        "paragraph_id": "para_248"
      },
      {
        "text": "does not possess the requisite “creative spark”).",
        "paragraph_id": "para_249"
      },
      {
        "text": "All 2,243 independently created headnotes at issue in this",
        "paragraph_id": "para_250"
      },
      {
        "text": "appeal have “some creative spark.” Id. at 345. For each head-",
        "paragraph_id": "para_251"
      },
      {
        "text": "note, Thomson Reuters’s editors made creative decisions about",
        "paragraph_id": "para_252"
      },
      {
        "text": "which points of law were important enough to include in a",
        "paragraph_id": "para_253"
      },
      {
        "text": "headnote and how to word those points of law consistent with",
        "paragraph_id": "para_254"
      },
      {
        "text": "Westlaw’s drafting criteria. Each headnote had to convey",
        "paragraph_id": "para_255"
      },
      {
        "text": "enough factual background and reasoning to stand on its own",
        "paragraph_id": "para_256"
      },
      {
        "text": "5 The District Court mused that even headnotes that quoted ju-",
        "paragraph_id": "para_257"
      },
      {
        "text": "dicial opinions verbatim may be original enough for copyright",
        "paragraph_id": "para_258"
      },
      {
        "text": "protection. While this dictum raises an interesting question,",
        "paragraph_id": "para_259"
      },
      {
        "text": "we do not answer it here as the District Court only granted",
        "paragraph_id": "para_260"
      },
      {
        "text": "summary judgment as to 2,243 headnotes that do not copy",
        "paragraph_id": "para_261"
      },
      {
        "text": "opinion text verbatim.",
        "paragraph_id": "para_262"
      },
      {

      },
      {
        "text": "without reference to the opinion or any other headnote, while",
        "paragraph_id": "para_264"
      },
      {
        "text": "accurately reflecting the corresponding opinion passage. Be-",
        "paragraph_id": "para_265"
      },
      {
        "text": "cause these decisions show the requisite minimal “creative",
        "paragraph_id": "para_266"
      },
      {
        "text": "spark,” the headnotes are original. Id.",
        "paragraph_id": "para_267"
      },
      {
        "text": "Supreme Court authority supports this conclusion. Indeed,",
        "paragraph_id": "para_268"
      },
      {
        "text": "the Supreme Court has suggested that headnotes prepared by",
        "paragraph_id": "para_269"
      },
      {
        "text": "private case reporters like Thomson Reuters are copyrightable.",
        "paragraph_id": "para_270"
      },
      {
        "text": "In Callaghan v. Myers, 128 U.S. 617 (1888), the Court held",
        "paragraph_id": "para_271"
      },
      {
        "text": "that works produced by judges in their official capacity were",
        "paragraph_id": "para_272"
      },
      {
        "text": "not copyrightable, but a reporter may obtain “a copyright for",
        "paragraph_id": "para_273"
      },
      {
        "text": "the volume which will cover the matter which is the result of",
        "paragraph_id": "para_274"
      },
      {
        "text": "his intellectual labor” such as “head-notes.” Id. at 647–49.",
        "paragraph_id": "para_275"
      },
      {
        "text": "Over a century later, the Court applied this principle to work",
        "paragraph_id": "para_276"
      },
      {
        "text": "produced by legislators in their legislative capacity, noting that",
        "paragraph_id": "para_277"
      },
      {
        "text": "Callaghan “upheld the reporter’s copyright interest in several",
        "paragraph_id": "para_278"
      },
      {
        "text": "explanatory materials that the reporter had created himself:",
        "paragraph_id": "para_279"
      },
      {
        "text": "headnotes, syllabi, tables of contents, and the like” so long as",
        "paragraph_id": "para_280"
      },
      {
        "text": "“they came from an author who had no authority to speak with",
        "paragraph_id": "para_281"
      },
      {
        "text": "the force of law.” Georgia v. Public.Resource.Org, Inc., 590",
        "paragraph_id": "para_282"
      },
      {
        "text": "U.S. 255, 265 (2020) (emphasis added).",
        "paragraph_id": "para_283"
      },
      {
        "text": "ROSS offers three counters. First, ROSS argues that rec-",
        "paragraph_id": "para_284"
      },
      {
        "text": "ognizing Thomson Reuters’s copyright in its headnotes “would",
        "paragraph_id": "para_285"
      },
      {
        "text": "effectively give [Thomson Reuters] a monopoly over the law.”",
        "paragraph_id": "para_286"
      },
      {
        "text": "Opening Br. 22. Not so. Headnotes are not law; judicial opin-",
        "paragraph_id": "para_287"
      },
      {
        "text": "ions are. And judicial opinions remain “free for publication to",
        "paragraph_id": "para_288"
      },
      {
        "text": "all.” Banks v. Manchester, 128 U.S. 244, 253 (1888).",
        "paragraph_id": "para_289"
      },
      {
        "text": "12",
        "paragraph_id": "para_290"
      },
      {
        "text": "Second, ROSS argues the headnotes are not copyrightable",
        "paragraph_id": "para_291"
      },
      {
        "text": "under the merger doctrine. This doctrine precludes copyright",
        "paragraph_id": "para_292"
      },
      {
        "text": "in the “rare” case where “a work’s underlying idea can effec-",
        "paragraph_id": "para_293"
      },
      {
        "text": "tively be expressed in only one” or a “few . . . ways” such that",
        "paragraph_id": "para_294"
      },
      {
        "text": "“copyrighting a design feature would effectively monopolize",
        "paragraph_id": "para_295"
      },
      {
        "text": "an underlying idea.” Silvertop Assocs. Inc. v. Kangaroo Mfg.",
        "paragraph_id": "para_296"
      },
      {
        "text": "Inc., 931 F.3d 215, 222 (3d Cir. 2019) (quoting Educ. Testing",
        "paragraph_id": "para_297"
      },
      {
        "text": "Servs. v. Katzman, 793 F.2d 533, 539 (3d Cir. 1986)). But the",
        "paragraph_id": "para_298"
      },
      {
        "text": "merger doctrine does not apply when there “are many other",
        "paragraph_id": "para_299"
      },
      {

        "text": "instance, we have said that the merger doctrine does not apply",
        "paragraph_id": "para_301"
      },
      {
        "text": "to a “banana costume” due to the possibility of different cos-",
        "paragraph_id": "para_302"
      },
      {
        "text": "tumes based on “shape, curvature, tips, tips’ color, overall",
        "paragraph_id": "para_303"
      },
      {
        "text": "color, length, width, lining, texture, and material.” Id. And",
        "paragraph_id": "para_304"
      },
      {
        "text": "just as a banana costume can take myriad designs, so too can",
        "paragraph_id": "para_305"
      },
      {
        "text": "headnotes have differing expressions. Indeed, copyrighting the",
        "paragraph_id": "para_306"
      },
      {
        "text": "headnotes does not effectively monopolize judicial opinions",
        "paragraph_id": "para_307"
      },
      {
        "text": "because, as the District Court correctly noted, “there are many",
        "paragraph_id": "para_308"
      },
      {
        "text": "ways to express points of law from judicial opinions.” App.",
        "paragraph_id": "para_309"
      },
      {
        "text": "49; see, e.g., Amicus Br. for RELX, Inc. (hereinafter the “Lexis",
        "paragraph_id": "para_310"
      },
      {
        "text": "Br. ___”) at 13–16. So the merger doctrine does not apply.",
        "paragraph_id": "para_311"
      },
      {
        "text": "Third and finally, ROSS cites Matthew Bender & Co. v.",
        "paragraph_id": "para_312"
      },
      {
        "text": "West Publishing Co., 158 F.3d 674 (2d Cir. 1998), to support",
        "paragraph_id": "para_313"
      },
      {
        "text": "the conclusion that headnotes are insufficiently original for",
        "paragraph_id": "para_314"
      },
      {
        "text": "copyright protection. But that out-of-circuit case does not sup-",
        "paragraph_id": "para_315"
      },
      {
        "text": "port ROSS’s argument. The Second Circuit held that West",
        "paragraph_id": "para_316"
      },
      {
        "text": "lacked a copyright in its arrangement of information like party",
        "paragraph_id": "para_317"
      },
      {
        "text": "names and its addition of information like parallel citations",
        "paragraph_id": "para_318"
      },
      {

        "paragraph_id": "para_319"
      },
      {
        "text": "because that information was not sufficiently original. Id. at",
        "paragraph_id": "para_320"
      },
      {
        "text": "677. Those materials lacked originality, according to the court,",
        "paragraph_id": "para_321"
      },
      {
        "text": "because “industry conventions . . . dictate[d]” the selections",
        "paragraph_id": "para_322"
      },
      {
        "text": "and because “creativity inheres in making non-obvious choices",
        "paragraph_id": "para_323"
      },
      {
        "text": "from among more than a few options.” Id. at 682. In contrast,",
        "paragraph_id": "para_324"
      },
      {
        "text": "the Second Circuit described headnotes as “independently",
        "paragraph_id": "para_325"
      },
      {
        "text": "composed,” and it never suggested that industry standards dic-",
        "paragraph_id": "para_326"
      },
      {
        "text": "tated headnote composition. Id. at 676. Indeed, such reasoning",
        "paragraph_id": "para_327"
      },
      {
        "text": "would make little sense because Thomson Reuters’s editors",
        "paragraph_id": "para_328"
      },
      {
        "text": "make independent judgments about which points of law to in-",
        "paragraph_id": "para_329"
      },
      {
        "text": "clude and how to concisely write headnotes to stand alone",
        "paragraph_id": "para_330"
      },
      {
        "text": "without reference to the underlying opinion.6 Cf. Southco, Inc.",
        "paragraph_id": "para_331"
      },
      {
        "text": "v. Kanebridge Corp., 390 F.3d 276, 282 (3d Cir. 2004) (Alito,",
        "paragraph_id": "para_332"
      },
      {
        "text": "J.) (finding unoriginal product serial numbers in which “each",
        "paragraph_id": "para_333"
      },
      {
        "text": "number is rigidly dictated by . . . mechanical application of the",
        "paragraph_id": "para_334"
      },
      {
        "text": "[numbering] system, not creative thought” (citation modi-",
        "paragraph_id": "para_335"
      },
      {
        "text": "fied)). So the Second Circuit offers ROSS no refuge.",
        "paragraph_id": "para_336"
      },
      {
        "text": "B. Fair Use",
        "paragraph_id": "para_337"
      },
      {
        "text": "We turn next to ROSS’s purported fair-use defense. “[T]he",
        "paragraph_id": "para_338"
      },
      {
        "text": "fair use of a copyrighted work . . . is not an infringement of",
        "paragraph_id": "para_339"
      },
      {
        "text": "copyright.” 17 U.S.C. § 107. Fair use is an equitable doctrine",
        "paragraph_id": "para_340"
      },
      {
        "text": "that “permits courts to avoid rigid application of the copyright",
        "paragraph_id": "para_341"
      },
      {
        "text": "statute when, on occasion, it would stifle the very creativity",
        "paragraph_id": "para_342"
      },
      {
        "text": "6 See Lexis Br. at 12 (explaining that Lexis, a Westlaw com-",
        "paragraph_id": "para_343"
      },
      {
        "text": "petitor, employs a different creative process as it generates dif-",
        "paragraph_id": "para_344"
      },
      {
        "text": "ferent headnotes for the same opinions).",
        "paragraph_id": "para_345"
      },
      {

      },
      {
        "text": "which that law is designed to foster.” Andy Warhol, 598 U.S.",
        "paragraph_id": "para_347"
      },
      {
        "text": "at 527 (quoting Steward v. Abend, 495 U.S. 207, 236 (1990)).",
        "paragraph_id": "para_348"
      },
      {
        "text": "“Fair use is a mixed question of law and fact.” Harper & Row,",
        "paragraph_id": "para_349"
      },
      {
        "text": "471 U.S. at 560. But where there are undisputed facts “suffi-",
        "paragraph_id": "para_350"
      },
      {
        "text": "cient to evaluate each of the statutory factors,” the Court “may",
        "paragraph_id": "para_351"
      },
      {
        "text": "conclude as a matter of law that the challenged use does not",
        "paragraph_id": "para_352"
      },
      {
        "text": "qualify as a fair use.” Id. (citation modified).",
        "paragraph_id": "para_353"
      },
      {
        "text": "In determining whether a use is fair, we must consider the",
        "paragraph_id": "para_354"
      },
      {
        "text": "following statutory factors:",
        "paragraph_id": "para_355"
      },
      {
        "text": "(1) the purpose and character of the use, including",
        "paragraph_id": "para_356"
      },
      {
        "text": "whether such use is of a commercial nature or is for non-",
        "paragraph_id": "para_357"
      },
      {
        "text": "profit educational purposes; (2) the nature of the copy-",
        "paragraph_id": "para_358"
      },
      {
        "text": "righted work; (3) the amount and substantiality of the",
        "paragraph_id": "para_359"
      },
      {
        "text": "portion used in relation to the copyrighted work as a",
        "paragraph_id": "para_360"
      },
      {
        "text": "whole; and (4) the effect of the use upon the potential",
        "paragraph_id": "para_361"
      },
      {
        "text": "market for or value of the copyrighted work.",
        "paragraph_id": "para_362"
      },
      {
        "text": "17 U.S.C. § 107. As the proponent of this affirmative defense,",
        "paragraph_id": "para_363"
      },
      {
        "text": "ROSS bears the burden of demonstrating its copying was jus-",
        "paragraph_id": "para_364"
      },
      {
        "text": "tified. See Andy Warhol, 598 U.S. at 547 n.21; UpCodes, 172",
        "paragraph_id": "para_365"
      },
      {
        "text": "F.4th at 261. We address each factor in turn.",
        "paragraph_id": "para_366"
      },
      {
        "text": "1. Purpose and Character of the Use",
        "paragraph_id": "para_367"
      },
      {
        "text": "The first factor examines the “purpose and character” of",
        "paragraph_id": "para_368"
      },
      {
        "text": "ROSS’s use. 17 U.S.C. § 107(1); Andy Warhol, 598 U.S. at",
        "paragraph_id": "para_369"
      },
      {
        "text": "15",
        "paragraph_id": "para_370"
      },
      {
        "text": "532–33. To assess this factor, we first consider whether “a use",
        "paragraph_id": "para_371"
      },
      {
        "text": "is commercial as opposed to nonprofit” because a commercial",
        "paragraph_id": "para_372"
      },
      {
        "text": "use weighs against a finding of fair use. Andy Warhol, 598",
        "paragraph_id": "para_373"
      },
      {
        "text": "U.S. at 531; see also UpCodes, 172 F.4th at 265 (“If a new",
        "paragraph_id": "para_374"
      },
      {
        "text": "work is used commercially rather than for a nonprofit purpose,",
        "paragraph_id": "para_375"
      },
      {
        "text": "its use will less likely qualify as fair.”). Next, we consider how",
        "paragraph_id": "para_376"
      },
      {
        "text": "transformative the copier’s use is—that is, “whether the new",
        "paragraph_id": "para_377"
      },
      {
        "text": "work merely supersedes the objects of the original crea-",
        "paragraph_id": "para_378"
      },
      {
        "text": "tion . . . or instead adds something new, with a further purpose",
        "paragraph_id": "para_379"
      },
      {
        "text": "or different character.” Andy Warhol, 598 U.S. at 528 (citation",
        "paragraph_id": "para_380"
      },
      {
        "text": "modified) (quoting Campbell v. Acuff-Rose Music, Inc., 510",
        "paragraph_id": "para_381"
      },
      {
        "text": "U.S. 569, 579 (1994)). The “lodestar” of this inquiry is",
        "paragraph_id": "para_382"
      },
      {
        "text": "whether the copier maintains a “distinctive purpose” for its use.",
        "paragraph_id": "para_383"
      },
      {
        "text": "4 Nimmer on Copyright § 13F.10[G][2][a][i] (2026); see also",
        "paragraph_id": "para_384"
      },
      {
        "text": "Andy Warhol, 598 U.S. at 531 (“[A] use that has a distinct pur-",
        "paragraph_id": "para_385"
      },
      {
        "text": "pose is justified because it furthers the goal of copyright,",
        "paragraph_id": "para_386"
      },
      {
        "text": "namely, to promote the progress of science and the arts, with-",
        "paragraph_id": "para_387"
      },
      {
        "text": "out diminishing the incentive to create.”). And, because un-",
        "paragraph_id": "para_388"
      },
      {
        "text": "covering the differences between an originator’s and a copier’s",
        "paragraph_id": "para_389"
      },
      {
        "text": "purposes is “a matter of degree,” we ask “whether and to what",
        "paragraph_id": "para_390"
      },
      {
        "text": "extent the use at issue has a purpose or character different from",
        "paragraph_id": "para_391"
      },
      {
        "text": "the original.” Andy Warhol, 598 U.S. at 528–29 (citation mod-",
        "paragraph_id": "para_392"
      },
      {
        "text": "ified). “The larger the difference,” the Supreme Court has said,",
        "paragraph_id": "para_393"
      },
      {
        "text": "“the more likely the first factor weighs in favor of fair use.” Id.",
        "paragraph_id": "para_394"
      },
      {
        "text": "at 529.",
        "paragraph_id": "para_395"
      },
      {
        "text": "In sum, we must balance “the degree of difference [in pur-",
        "paragraph_id": "para_396"
      },
      {
        "text": "pose] . . . against the commercial nature of the use.” Id. at 532.",
        "paragraph_id": "para_397"
      },
      {
        "text": "And if “an original work and a secondary use share the same",
        "paragraph_id": "para_398"
      },
      {
        "text": "16",
        "paragraph_id": "para_399"
      },
      {
        "text": "or highly similar purposes, and the secondary use is of a com-",
        "paragraph_id": "para_400"
      },
      {
        "text": "mercial nature, the first factor is likely to weigh against fair",
        "paragraph_id": "para_401"
      },
      {
        "text": "use, absent some other justification for copying.” Id. at 532–",
        "paragraph_id": "para_402"
      },
      {
        "text": "33.",
        "paragraph_id": "para_403"
      },
      {
        "text": "We start with whether ROSS’s use of Thomson Reuters’s",
        "paragraph_id": "para_404"
      },
      {
        "text": "headnotes is commercial. ROSS aimed to create a legal-re-",
        "paragraph_id": "para_405"
      },
      {
        "text": "search platform charging comparable prices to Westlaw to",
        "paragraph_id": "para_406"
      },
      {
        "text": "compete with Westlaw for customers. So ROSS’s use is com-",
        "paragraph_id": "para_407"
      },
      {
        "text": "mercial.",
        "paragraph_id": "para_408"
      },
      {
        "text": "But because commercialism is not “dispositive” of fair use,",
        "paragraph_id": "para_409"
      },
      {
        "text": "id. at 531, we must ask whether ROSS’s use of Thomson Reu-",
        "paragraph_id": "para_410"
      },
      {
        "text": "ters’s headnotes is transformative—that is “whether and to",
        "paragraph_id": "para_411"
      },
      {
        "text": "what extent” ROSS’s use of the headnotes “has a purpose or",
        "paragraph_id": "para_412"
      },
      {
        "text": "character different from” Thomson Reuters’s use. Id. at 529",
        "paragraph_id": "para_413"
      },
      {
        "text": "(emphasis in original) (quoting Campbell, 510 U.S. at 579).",
        "paragraph_id": "para_414"
      },
      {
        "text": "Thomson Reuters uses its headnotes to help legal researchers",
        "paragraph_id": "para_415"
      },
      {
        "text": "find and understand judicial opinions containing points of law",
        "paragraph_id": "para_416"
      },
      {
        "text": "related to their searches. ROSS uses Thomson Reuters’s head-",
        "paragraph_id": "para_417"
      },
      {
        "text": "notes to create a legal-research platform to help users find ju-",
        "paragraph_id": "para_418"
      },
      {
        "text": "dicial opinion passages responsive to their searches. True,",
        "paragraph_id": "para_419"
      },
      {
        "text": "ROSS did not use the headnotes in precisely the same fashion",
        "paragraph_id": "para_420"
      },
      {
        "text": "as Thomson Reuters. ROSS took an intermediate step of using",
        "paragraph_id": "para_421"
      },
      {
        "text": "the headnotes to train an AI program, which arguably presents",
        "paragraph_id": "para_422"
      },
      {
        "text": "a slight degree of difference in use. But the undisputed evi-",
        "paragraph_id": "para_423"
      },
      {
        "text": "dence demonstrates that ROSS used the headnotes to train an",
        "paragraph_id": "para_424"
      },
      {
        "text": "AI program for the benefit of its legal-research platform. So",
        "paragraph_id": "para_425"
      },
      {
        "text": "both Thomson Reuters and ROSS use the headnotes to create",
        "paragraph_id": "para_426"
      },
      {
        "text": "17",
        "paragraph_id": "para_427"
      },
      {
        "text": "and optimize a legal-research platform that helps users find re-",
        "paragraph_id": "para_428"
      },
      {
        "text": "sponsive legal material. Thus, ROSS’s use of the headnotes",
        "paragraph_id": "para_429"
      },
      {
        "text": "shares the same ultimate purpose as Thomson Reuters’s use,",
        "paragraph_id": "para_430"
      },
      {
        "text": "making ROSS’s use minimally transformative, at best.7",
        "paragraph_id": "para_431"
      },
      {
        "text": "7 We note that the United States Department of Justice (“DOJ”)",

      },
      {
        "text": "filed a statement of interest relating to generative AI in a pend-",
        "paragraph_id": "para_433"
      },
      {
        "text": "ing case in the Southern District of New York. Statement of",
        "paragraph_id": "para_434"
      },
      {
        "text": "Interest of the United States, In re: OpenAI, Inc. Copyright In-",
        "paragraph_id": "para_435"
      },
      {
        "text": "fringement Litig., No. 1:25-md-3143 (S.D.N.Y. Sept. 1, 2026)",
        "paragraph_id": "para_436"
      },
      {
        "text": "(hereinafter “DOJ Statement __”). The concerns raised in that",
        "paragraph_id": "para_437"
      },
      {
        "text": "separate case do not apply here. The DOJ relied on Bartz v.",
        "paragraph_id": "para_438"
      },
      {
        "text": "Anthropic PBC, 787 F. Supp. 3d 1007, 1014 (N.D. Cal. 2025)",
        "paragraph_id": "para_439"
      },
      {
        "text": "to contend that training an AI large language model, which can",
        "paragraph_id": "para_440"
      },
      {
        "text": "“generate original responses,” is a transformative use. DOJ",
        "paragraph_id": "para_441"
      },
      {
        "text": "Statement at 10; see also Kadrey v. Meta Platforms, Inc., 788",
        "paragraph_id": "para_442"
      },
      {
        "text": "F. Supp. 3d 1026, 1034 (N.D. Cal. 2025) (exploring whether",
        "paragraph_id": "para_443"
      },
      {
        "text": "generative AI programs transformatively use training materi-",
        "paragraph_id": "para_444"
      },
      {
        "text": "als). Unlike the AI models in Bartz and In re: OpenAI, ROSS’s",
        "paragraph_id": "para_445"
      },
      {
        "text": "AI platform cannot generate original expression, and the evi-",
        "paragraph_id": "para_446"
      },
      {
        "text": "dence here supports the opposite conclusion about transforma-",
        "paragraph_id": "para_447"
      },
      {
        "text": "tiveness. The DOJ also argued that the large language model",
        "paragraph_id": "para_448"
      },
      {
        "text": "training in OpenAI did not result in “substitutive competition.”",
        "paragraph_id": "para_449"
      },
      {
        "text": "DOJ Statement at 13 (citation modified). Here, ROSS trained",
        "paragraph_id": "para_450"
      },
      {
        "text": "its AI for the purpose of creating a commercial substitute for",
        "paragraph_id": "para_451"
      },
      {
        "text": "Westlaw. In any event, the DOJ’s filing in In re: OpenAI",
        "paragraph_id": "para_452"
      },
      {
        "text": "demonstrates that the DOJ is tracking these issues and knows",
        "paragraph_id": "para_453"
      },
      {
        "text": "how to assert its interests, but the DOJ notably did not do so",
        "paragraph_id": "para_454"
      },
      {
        "text": "here.",
        "paragraph_id": "para_455"
      },
      {
        "text": "18",
        "paragraph_id": "para_456"
      },
      {
        "text": "Given that ROSS’s use was highly commercial and mini-",
        "paragraph_id": "para_457"
      },
      {
        "text": "mally transformative, we conclude that the first factor weighs",
        "paragraph_id": "para_458"
      },
      {
        "text": "against fair use. Andy Warhol, 598 U.S. at 537–38 (“Taken",
        "paragraph_id": "para_459"
      },
      {
        "text": "together, these two elements—that Goldsmith’s photograph",
        "paragraph_id": "para_460"
      },
      {
        "text": "and AWF’s 2016 licensing of Orange Prince share substan-",
        "paragraph_id": "para_461"
      },
      {
        "text": "tially the same purpose, and that AWF’s use of Goldsmith’s",
        "paragraph_id": "para_462"
      },
      {
        "text": "photo was of a commercial nature—counsel against fair use . .",
        "paragraph_id": "para_463"
      },
      {
        "text": ". .”); Fox News Network, LLC v. TVEyes, Inc., 883 F.3d 169,",
        "paragraph_id": "para_464"
      },
      {
        "text": "178 (2d Cir. 2018) (reasoning that the “commercial nature of a",
        "paragraph_id": "para_465"
      },
      {
        "text": "secondary use weighs against a finding of fair use . . . espe-",
        "paragraph_id": "para_466"
      },
      {
        "text": "cially when . . . the transformative character of the secondary",
        "paragraph_id": "para_467"
      },
      {
        "text": "use is modest”).",
        "paragraph_id": "para_468"
      },
      {
        "text": "ROSS offers two arguments to support the opposite conclu-",
        "paragraph_id": "para_469"
      },
      {
        "text": "sion. Neither convinces. First, ROSS argues that Authors",
        "paragraph_id": "para_470"
      },
      {
        "text": "Guild v. Google, Inc., 804 F.3d 202 (2d Cir. 2015), dictates a",
        "paragraph_id": "para_471"
      },
      {
        "text": "different conclusion. There, the Second Circuit held that",
        "paragraph_id": "para_472"
      },
      {
        "text": "Google’s scanning of entire books had the “highly transforma-",
        "paragraph_id": "para_473"
      },
      {
        "text": "tive purpose” of creating a feature to search for and read small",
        "paragraph_id": "para_474"
      },
      {
        "text": "snippets of books that matched their search terms. Id. at 216–",
        "paragraph_id": "para_475"
      },
      {
        "text": "17; see also Authors Guild, Inc. v. HathiTrust, 755 F.3d 87, 97",
        "paragraph_id": "para_476"
      },
      {
        "text": "(2d Cir. 2014) (holding similar use was fair where there was",
        "paragraph_id": "para_477"
      },
      {
        "text": "no snippet feature and the use was noncommercial). Deciding",
        "paragraph_id": "para_478"
      },
      {
        "text": "a dispute that “test[ed] the boundaries of fair use,” the court",
        "paragraph_id": "para_479"
      },
      {
        "text": "held that the search feature served a completely different func-",
        "paragraph_id": "para_480"
      },
      {
        "text": "tion that was highly transformative of the original work. Au-",
        "paragraph_id": "para_481"
      },
      {
        "text": "thors Guild, 804 F.3d at 206, 216–17. The purpose of the orig-",
        "paragraph_id": "para_482"
      },
      {
        "text": "inal books was to be read while the purpose of the search",
        "paragraph_id": "para_483"
      },
      {
        "text": "19",
        "paragraph_id": "para_484"
      },
      {
        "text": "function was to enable users to find “books containing a term",
        "paragraph_id": "para_485"
      },
      {
        "text": "of interest to the searcher.” Id. at 216.",
        "paragraph_id": "para_486"
      },
      {
        "text": "No such transformative purpose is present here. Instead,",
        "paragraph_id": "para_487"
      },
      {
        "text": "ROSS’s platform uses Thomson Reuters’s headnotes to help",
        "paragraph_id": "para_488"
      },
      {
        "text": "users find judicial opinions related to their legal research in-",
        "paragraph_id": "para_489"
      },
      {
        "text": "quiries, something Thomson Reuters already does with its",
        "paragraph_id": "para_490"
      },
      {
        "text": "headnotes. Also favoring fair use in Authors Guild was that",
        "paragraph_id": "para_491"
      },
      {
        "text": "Google’s search feature may have driven users toward a book",
        "paragraph_id": "para_492"
      },
      {
        "text": "the users would then purchase from the original author. Id. at",
        "paragraph_id": "para_493"
      },
      {
        "text": "217–18. Not so here. ROSS’s use does not lead a user to",
        "paragraph_id": "para_494"
      },
      {
        "text": "Westlaw; instead, as ROSS admits, it aims to replace Westlaw.",
        "paragraph_id": "para_495"
      },
      {
        "text": "Second, ROSS argues that three “intermediate copying”",
        "paragraph_id": "para_496"
      },
      {
        "text": "cases, one from the Supreme Court and two from the Ninth",
        "paragraph_id": "para_497"
      },
      {
        "text": "Circuit, dictate a different conclusion. Opening Br. 44. In a",
        "paragraph_id": "para_498"
      },
      {
        "text": "recent case, the Supreme Court held that Google could copy a",
        "paragraph_id": "para_499"
      },
      {
        "text": "portion of Oracle’s Java computer programming language to",
        "paragraph_id": "para_500"
      },
      {
        "text": "enable users to create applications using Java code on Android",
        "paragraph_id": "para_501"
      },
      {
        "text": "phones. Google LLC v. Oracle Am., Inc., 593 U.S. 1, 6–7",
        "paragraph_id": "para_502"
      },
      {
        "text": "(2021). The Ninth Circuit concluded similarly in earlier cases.",
        "paragraph_id": "para_503"
      },
      {
        "text": "It held that a video game developer could copy Sega’s com-",
        "paragraph_id": "para_504"
      },
      {
        "text": "puter program code to create video games that could be played",
        "paragraph_id": "para_505"
      },
      {
        "text": "on Sega’s gaming system. Sega Enters. Ltd. v. Accolade, Inc.,",
        "paragraph_id": "para_506"
      },
      {
        "text": "977 F.2d 1510, 1514 (9th Cir. 1992). Another panel similarly",
        "paragraph_id": "para_507"
      },
      {
        "text": "held that Connectix could copy Sony’s computer program code",
        "paragraph_id": "para_508"
      },
      {
        "text": "to create a product that made Sony video games playable on",
        "paragraph_id": "para_509"
      },
      {
        "text": "personal computers. Sony Comput. Ent., Inc. v. Connectix",

      },
      {
        "text": "case, copying was necessary to access the unprotected func-",
        "paragraph_id": "para_516"
      },
      {
        "text": "tional aspects of computer code. See Oracle, 593 U.S. at 30–",
        "paragraph_id": "para_517"
      },
      {
        "text": "31 (stating that Google copied Oracle API “only insofar as",
        "paragraph_id": "para_518"
      },
      {
        "text": "needed” and explaining that “shared interfaces are necessary",
        "paragraph_id": "para_519"
      },
      {
        "text": "for different programs to speak to each other”); Sega, 977 F.2d",
        "paragraph_id": "para_520"
      },
      {
        "text": "at 1514 (noting that “no other means of access to the unpro-",
        "paragraph_id": "para_521"
      },
      {
        "text": "tected elements exists”); Connectix, 203 F.3d at 599 (holding",
        "paragraph_id": "para_522"
      },
      {
        "text": "that copying was “necessary to permit Connectix to make its",
        "paragraph_id": "para_523"
      },
      {
        "text": "non-infringing Virtual Game Station function with PlayStation",
        "paragraph_id": "para_524"
      },
      {
        "text": "games”).8 Here, ROSS does not need to copy Thomson Reu-",
        "paragraph_id": "para_525"
      },
      {
        "text": "ters’s headnotes to access the underlying unprotected infor-",
        "paragraph_id": "para_526"
      },
      {
        "text": "mation. ROSS had access to the underlying judicial opinions",
        "paragraph_id": "para_527"
      },
      {
        "text": "and could freely copy them to make the memos needed to train",
        "paragraph_id": "para_528"
      },
      {
        "text": "its AI. It chose not to do so because copying the headnotes",
        "paragraph_id": "para_529"
      },
      {
        "text": "offered an “easy” way to create its training memos. App.",
        "paragraph_id": "para_530"
      },
      {

      {
        "text": "29. By contrast, Thomson Reuters’s headnotes do not derive",
        "paragraph_id": "para_536"
      },
      {
        "text": "value from others copying them.",
        "paragraph_id": "para_537"
      },
      {

      },
      {
        "text": "8545–46. Unlike necessity, ease is not a justification for cop-",
        "paragraph_id": "para_539"
      },
      {
        "text": "ying. In sum, the first factor weighs against fair use.9",
        "paragraph_id": "para_540"
      },
      {
        "text": "2. Nature of the Copyrighted Work",
        "paragraph_id": "para_541"
      },
      {
        "text": "The second factor evaluates the “nature” of the headnotes.",
        "paragraph_id": "para_542"
      },
      {
        "text": "17 U.S.C. § 107(2). Under this factor we consider whether the",
        "paragraph_id": "para_543"
      },
      {
        "text": "work was published or unpublished when it was used and if the",
        "paragraph_id": "para_544"
      },
      {
        "text": "work, while creative enough for copyright protection, has fac-",
        "paragraph_id": "para_545"
      },
      {
        "text": "tual or functional elements. Harper & Row, 471 U.S. at 563–",
        "paragraph_id": "para_546"
      },
      {
        "text": "64. More creative, less factual works are “closer to the core of",
        "paragraph_id": "para_547"
      },
      {
        "text": "intended copyright protection.” Campbell, 510 U.S. at 586.",
        "paragraph_id": "para_548"
      },
      {
        "text": "This factor will generally weigh in favor of fair use when a",
        "paragraph_id": "para_549"
      },
      {
        "text": "9 Courts have at times considered whether copying was done",

        "text": "in good faith when evaluating the first factor. See Oracle, 593",

        "text": "pressing skepticism about whether good faith still plays any",

      },
      {
        "text": "role in the fair use analysis). Here, the undisputed evidence",
        "paragraph_id": "para_554"
      },
      {
        "text": "reflects that ROSS at times acted in bad faith. See, e.g., App.",
        "paragraph_id": "para_555"
      },
      {
        "text": "4969–76, 6443, 6449, 6454, 6495 (ROSS attempting to access",
        "paragraph_id": "para_556"
      },
      {
        "text": "Westlaw with law-firm investor credentials despite notice that",
        "paragraph_id": "para_557"
      },
      {
        "text": "doing so was prohibited by Westlaw’s terms of service); App.",
        "paragraph_id": "para_558"
      },
      {
        "text": "6491–93 (stating ROSS employee inquired about a Westlaw",
        "paragraph_id": "para_559"
      },
      {
        "text": "account under the guise of a solo practitioner); App. 6956 (stat-",
        "paragraph_id": "para_560"
      },
      {
        "text": "ing ROSS employee used student account to access Westlaw,",
        "paragraph_id": "para_561"
      },
      {
        "text": "hiding his employment by a competitor). So to the extent good",
        "paragraph_id": "para_562"
      },
      {
        "text": "faith remains relevant, that consideration weighs against fair",
        "paragraph_id": "para_563"
      },
      {
        "text": "use.",
        "paragraph_id": "para_564"
      },
      {
        "text": "22",
        "paragraph_id": "para_565"
      },
      {
        "text": "work is primarily factual or functional. Oracle, 593 U.S. at 20,",
        "paragraph_id": "para_566"
      },
      {
        "text": "28–29. But courts have noted that “[t]he second factor has",
        "paragraph_id": "para_567"
      },
      {
        "text": "rarely played a significant role in the” fair use determination.",
        "paragraph_id": "para_568"
      },
      {
        "text": "Authors Guild, 804 F.3d at 220. Here, Thomson Reuters pub-",
        "paragraph_id": "para_569"
      },
      {
        "text": "lished the headnotes before ROSS used them. And the head-",
        "paragraph_id": "para_570"
      },
      {
        "text": "notes are more factual than fictional because they must accu-",
        "paragraph_id": "para_571"
      },
      {
        "text": "rately convey the law and describe uncopyrightable judicial",
        "paragraph_id": "para_572"
      },
      {
        "text": "opinions. This factor thus favors fair use.",
        "paragraph_id": "para_573"
      },
      {
        "text": "3. Amount and Substantiality of the Portion Used",
        "paragraph_id": "para_574"
      },
      {
        "text": "For the third factor, we evaluate whether “the amount and",
        "paragraph_id": "para_575"
      },
      {
        "text": "substantiality of the portion used in relation to the copyrighted",
        "paragraph_id": "para_576"
      },
      {
        "text": "work as a whole” is “reasonable in relation to the purpose of",
        "paragraph_id": "para_577"
      },
      {
        "text": "the copying.” Campbell, 510 U.S. at 586 (quoting 17 U.S.C.",
        "paragraph_id": "para_578"
      },
      {
        "text": "§ 107(3)). This factor requires us to assess, quantitatively, how",
        "paragraph_id": "para_579"
      },
      {
        "text": "much of the copyrighted work was used and, qualitatively,",
        "paragraph_id": "para_580"
      },
      {
        "text": "whether the use took “the heart” of the work. Harper & Row,",
        "paragraph_id": "para_581"
      },
      {
        "text": "471 U.S. at 565. In evaluating the third factor, we “recognize",
        "paragraph_id": "para_582"
      },
      {
        "text": "that the extent of permissible copying varies with the purpose",
        "paragraph_id": "para_583"
      },
      {
        "text": "and character of the use.” Campbell, 510 U.S. at 586–87.",
        "paragraph_id": "para_584"
      },
      {
        "text": "As to the amount and substantiality of the headnotes used,",
        "paragraph_id": "para_585"
      },
      {
        "text": "ROSS copied the entire text of the 25,000 Westlaw-written",
        "paragraph_id": "para_586"
      },
      {
        "text": "headnotes into its memos and used those to train its AI pro-",
        "paragraph_id": "para_587"
      },
      {
        "text": "gram. ROSS’s purpose in copying the headnotes was highly",
        "paragraph_id": "para_588"
      },
      {
        "text": "similar to the headnotes’ original purpose, and ROSS aimed to",
        "paragraph_id": "para_589"
      },
      {
        "text": "make a commercial substitute for Westlaw using Westlaw’s",
        "paragraph_id": "para_590"
      },
      {
        "text": "work. See supra Section II.B.1. ROSS thus lacked a",
        "paragraph_id": "para_591"
      },
      {
        "text": "23",

      },
      {
        "text": "transformative purpose and character that would make exten-",
        "paragraph_id": "para_593"
      },
      {
        "text": "sive copying reasonable. See Authors Guild, 804 F.3d at 221",
        "paragraph_id": "para_594"
      },
      {
        "text": "(explaining that a transformative purpose allows more exten-",
        "paragraph_id": "para_595"
      },
      {
        "text": "sive copying than copying done to offer a competing substitute",
        "paragraph_id": "para_596"
      },
      {
        "text": "for the original).",
        "paragraph_id": "para_597"
      },
      {
        "text": "ROSS responds that it took an insubstantial portion of",
        "paragraph_id": "para_598"
      },
      {
        "text": "Thomson Reuters’s work—only 0.08% of Thomson Reuters’s",
        "paragraph_id": "para_599"
      },
      {
        "text": "28 million headnotes. But copying even an “insubstantial por-",
        "paragraph_id": "para_600"
      },
      {
        "text": "tion” of an original work is not fair if, qualitatively, an im-",
        "paragraph_id": "para_601"
      },
      {
        "text": "portant part of the work is copied. Harper & Row, 471 U.S. at",
        "paragraph_id": "para_602"
      },
      {
        "text": "564–65. “The crux of the inquiry is whether ‘no more was",
        "paragraph_id": "para_603"
      },
      {
        "text": "taken than necessary’” to achieve the copier’s purpose. Ha-",
        "paragraph_id": "para_604"
      },
      {
        "text": "thiTrust, 755 F.3d at 98 (quoting Campbell, 510 U.S. at 589).",
        "paragraph_id": "para_605"
      },
      {
        "text": "The purpose behind ROSS’s copying was minimally trans-",
        "paragraph_id": "para_606"
      },
      {
        "text": "formative, at best. Copying the headnotes was also not neces-",
        "paragraph_id": "para_607"
      },
      {
        "text": "sary to train ROSS’s AI, as the underlying judicial opinions",
        "paragraph_id": "para_608"
      },
      {
        "text": "were freely available. So, ROSS took more than necessary",
        "paragraph_id": "para_609"
      },
      {
        "text": "when it copied these headnotes without a justifying transform-",
        "paragraph_id": "para_610"
      },
      {
        "text": "ative purpose.10 Thus, the third factor weighs against fair use.",
        "paragraph_id": "para_611"
      },
      {
        "text": "10 Additionally, we affirm the District Court’s holding that each",
        "paragraph_id": "para_612"
      },
      {
        "text": "individual headnote is a copyrightable work. See supra Sec-",
        "paragraph_id": "para_613"
      },
      {
        "text": "tion II.A; cf. Oracle, 593 U.S. at 33 (recognizing that taking",
        "paragraph_id": "para_614"
      },
      {
        "text": "one sentence from a book may seem insubstantial, unless that",
        "paragraph_id": "para_615"
      },
      {
        "text": "sentence itself constituted the entirety of a short story). So for",
        "paragraph_id": "para_616"
      },
      {
        "text": "each headnote taken, ROSS copied an entire work. Such ex-",
        "paragraph_id": "para_617"
      },
      {
        "text": "tensive copying was not reasonable because it was not sup-",
        "paragraph_id": "para_618"
      },
      {
        "text": "ported by a sufficiently transformative purpose.",
        "paragraph_id": "para_619"
      },
      {
        "text": "24",
        "paragraph_id": "para_620"
      },
      {
        "text": "4. Market Effect of the Use",
        "paragraph_id": "para_621"
      },
      {
        "text": "The fourth factor concerns “the effect of the use upon the",
        "paragraph_id": "para_622"
      },
      {
        "text": "potential market for or value of the copyrighted work.” 17",
        "paragraph_id": "para_623"
      },
      {
        "text": "U.S.C. § 107(4). The “potential market” includes both the",
        "paragraph_id": "para_624"
      },
      {
        "text": "market for the original work and any market for derivative uses",
        "paragraph_id": "para_625"
      },
      {
        "text": "of the original work. Campbell, 510 U.S. at 590 (quoting 17",
        "paragraph_id": "para_626"
      },
      {
        "text": "U.S.C. 107(4)). In this context, we will also consider any",
        "paragraph_id": "para_627"
      },
      {
        "text": "“public benefits the copying will likely produce.” Oracle, 593",
        "paragraph_id": "para_628"
      },
      {
        "text": "U.S. at 35. So to resolve this appeal, we consider harm to the",
        "paragraph_id": "para_629"
      },
      {
        "text": "original market, harm to the value of the copyrighted work,",
        "paragraph_id": "para_630"
      },
      {
        "text": "harm to the potential derivative market, and the alleged public",
        "paragraph_id": "para_631"
      },
      {
        "text": "benefits of the copying.",
        "paragraph_id": "para_632"
      },
      {
        "text": "We begin with the original market. The parties dispute",
        "paragraph_id": "para_633"
      },
      {
        "text": "which is the relevant original market. ROSS argues that the",
        "paragraph_id": "para_634"
      },
      {
        "text": "relevant original market is the market for headnotes as a",
        "paragraph_id": "para_635"
      },
      {
        "text": "standalone product, which ROSS claims does not exist. Even",
        "paragraph_id": "para_636"
      },
      {
        "text": "assuming this is the relevant market, ROSS’s argument ignores",
        "paragraph_id": "para_637"
      },
      {
        "text": "the effect of ROSS’s use on the value of Thomson Reuters’s",
        "paragraph_id": "para_638"
      },
      {
        "text": "headnotes. Our Court rejected a similar argument in Video",
        "paragraph_id": "para_639"
      },
      {
        "text": "Pipeline, Inc. v. Buena Vista Home Entertainment, Inc., 342",
        "paragraph_id": "para_640"
      },
      {
        "text": "F.3d 191, 202 (3d Cir. 2003), abrogated in part on other",
        "paragraph_id": "para_641"
      },
      {
        "text": "grounds by TD Bank N.A., 928 F.3d at 278. There, a website",
        "paragraph_id": "para_642"
      },
      {
        "text": "that published trailers and clips of Disney movies argued that",
        "paragraph_id": "para_643"
      },
      {
        "text": "no market existed for movie trailers because no one “ever paid",
        "paragraph_id": "para_644"
      },
      {
        "text": "or will ever pay any money merely to see trailers.” Id. at 202.",
        "paragraph_id": "para_645"
      },
      {
        "text": "We rejected that argument, stating that “[t]he [fair use] statute",
        "paragraph_id": "para_646"
      },
      {
        "text": "directs us to consider the effect of the use upon the . . . value",
        "paragraph_id": "para_647"
      },
      {

      },
      {
        "text": "of the copyrighted work, not only the effect upon the market,",
        "paragraph_id": "para_649"
      },
      {
        "text": "however narrowly that term is defined.” Id. (emphasis in orig-",
        "paragraph_id": "para_650"
      },
      {
        "text": "inal) (citation modified). Video Pipeline’s publishing of the",
        "paragraph_id": "para_651"
      },
      {
        "text": "trailers damaged the trailers’ value in drawing users to Dis-",
        "paragraph_id": "para_652"
      },
      {
        "text": "ney’s website, where Disney could induce purchases or cross-",
        "paragraph_id": "para_653"
      },
      {
        "text": "market other products; it made no difference that no standalone",
        "paragraph_id": "para_654"
      },
      {
        "text": "trailer market existed. Id. The same is true here. While there",
        "paragraph_id": "para_655"
      },
      {
        "text": "may be no standalone market for headnotes, Thomson Reuters",
        "paragraph_id": "para_656"
      },
      {
        "text": "touts the headnotes as a feature to attract users to buy a",
        "paragraph_id": "para_657"
      },
      {
        "text": "Westlaw subscription. By copying the headnotes and using",
        "paragraph_id": "para_658"
      },
      {
        "text": "them to build its own competing legal-research platform,",
        "paragraph_id": "para_659"
      },
      {
        "text": "ROSS appropriated the headnotes’ value for finding and ana-",
        "paragraph_id": "para_660"
      },
      {
        "text": "lyzing judicial opinions and diminished their value as a draw",
        "paragraph_id": "para_661"
      },
      {
        "text": "for users to Thomson Reuters’s legal-research platform. So,",
        "paragraph_id": "para_662"
      },
      {
        "text": "Video Pipeline supports the conclusion that ROSS’s copying",
        "paragraph_id": "para_663"
      },
      {
        "text": "harmed the value of Thomson Reuters’s headnotes.",
        "paragraph_id": "para_664"
      },
      {
        "text": "Thomson Reuters argues that the legal-research platform",
        "paragraph_id": "para_665"
      },
      {
        "text": "market is the relevant original market. ROSS offers no con-",
        "paragraph_id": "para_666"
      },
      {
        "text": "vincing reason to ignore this market, so we consider it. The",
        "paragraph_id": "para_667"
      },
      {
        "text": "undisputed evidence here reveals that ROSS copied the head-",
        "paragraph_id": "para_668"
      },
      {
        "text": "notes to create a competing legal-research platform in the same",
        "paragraph_id": "para_669"
      },
      {
        "text": "market as Westlaw. “[U]nrestricted and widespread” copying",
        "paragraph_id": "para_670"
      },
      {
        "text": "of Thomson Reuters’s headnotes to develop substitute legal-",
        "paragraph_id": "para_671"
      },
      {
        "text": "research tools, like ROSS did, would harm Westlaw’s position",
        "paragraph_id": "para_672"
      },
      {
        "text": "in that original market. Andy Warhol, 598 U.S. at 524 n.3",
        "paragraph_id": "para_673"
      },
      {
        "text": "(quoting Campbell, 510 U.S. at 590). ROSS offers no evidence",
        "paragraph_id": "para_674"
      },
      {
        "text": "to rebut the alleged harm in this market.",
        "paragraph_id": "para_675"
      },
      {
        "text": "26",
        "paragraph_id": "para_676"
      },
      {
        "text": "We turn now to potential derivative markets for Thomson",
        "paragraph_id": "para_677"
      },
      {
        "text": "Reuters’s headnotes. The parties dispute the relevant potential",
        "paragraph_id": "para_678"
      },
      {
        "text": "derivative market. ROSS argues it did not harm any potential",
        "paragraph_id": "para_679"
      },
      {
        "text": "derivative market because no derivative market for headnotes",
        "paragraph_id": "para_680"
      },
      {
        "text": "exists. Thomson Reuters argues that ROSS harmed its position",
        "paragraph_id": "para_681"
      },
      {
        "text": "in the potential derivative market for licensing headnotes as AI",
        "paragraph_id": "para_682"
      },
      {
        "text": "training data. “The market for potential derivative uses in-",
        "paragraph_id": "para_683"
      },
      {
        "text": "cludes only those that creators of original works would in gen-",
        "paragraph_id": "para_684"
      },
      {
        "text": "eral develop or license others to develop.” Campbell, 510 U.S.",
        "paragraph_id": "para_685"
      },
      {
        "text": "at 592. But a potential derivative market is not illusory just",
        "paragraph_id": "para_686"
      },
      {
        "text": "because an author “has evidenced little if any interest in ex-",
        "paragraph_id": "para_687"
      },
      {
        "text": "ploiting this market for derivative works.” Castle Rock Ent.,",
        "paragraph_id": "para_688"
      },
      {
        "text": "Inc. v. Carol Publ’g Grp., Inc., 150 F.3d 132, 145–46 (2d Cir.",
        "paragraph_id": "para_689"
      },
      {
        "text": "1998).",
        "paragraph_id": "para_690"
      },
      {
        "text": "Here, the evidence shows that the market for licensing",
        "paragraph_id": "para_691"
      },
      {
        "text": "headnotes as text to train AI is rapidly developing. Addition-",
        "paragraph_id": "para_692"
      },
      {
        "text": "ally, Thomson Reuters presented evidence that it is using its",
        "paragraph_id": "para_693"
      },
      {
        "text": "headnotes as training data for its own AI search products.",
        "paragraph_id": "para_694"
      },
      {
        "text": "ROSS offers no evidence to disprove this. That Thomson Reu-",
        "paragraph_id": "para_695"
      },
      {
        "text": "ters did not license its headnotes to others does not disprove",
        "paragraph_id": "para_696"
      },
      {
        "text": "that a market exists to do so. Additionally, ROSS’s copying",
        "paragraph_id": "para_697"
      },
      {
        "text": "harmed Thomson Reuters in this market. By copying the head-",
        "paragraph_id": "para_698"
      },
      {
        "text": "notes for use as training data without Thomson Reuters’s au-",
        "paragraph_id": "para_699"
      },
      {
        "text": "thorization, ROSS usurped Thomson Reuters’s opportunity to",
        "paragraph_id": "para_700"
      },
      {
        "text": "enter that derivative market and license its headnotes for that",
        "paragraph_id": "para_701"
      },
      {
        "text": "purpose. The market harm caused by ROSS’s use weighs",
        "paragraph_id": "para_702"
      },
      {
        "text": "against fair use.",
        "paragraph_id": "para_703"
      },
      {
        "text": "27",
        "paragraph_id": "para_704"
      },
      {
        "text": "Finally, we consider whether the public benefits are “re-",
        "paragraph_id": "para_705"
      },
      {
        "text": "lated to copyright’s concern for the creative production of new",
        "paragraph_id": "para_706"
      },
      {
        "text": "expression” and how “comparatively important, or unim-",
        "paragraph_id": "para_707"
      },
      {
        "text": "portant” the public benefits are “when compared with dollar",
        "paragraph_id": "para_708"
      },
      {
        "text": "amounts likely lost” due to copying. Oracle, 593 U.S. at 35–",
        "paragraph_id": "para_709"
      },
      {
        "text": "36. ROSS claims its copying will benefit the public by increas-",
        "paragraph_id": "para_710"
      },
      {
        "text": "ing access to the law. But the underlying judicial opinions are",
        "paragraph_id": "para_711"
      },
      {
        "text": "freely available, and ROSS’s service was offered at prices",
        "paragraph_id": "para_712"
      },
      {
        "text": "comparable to Westlaw. So it is unclear how ROSS’s copying",
        "paragraph_id": "para_713"
      },
      {
        "text": "would greatly increase public access to the law. ROSS also",
        "paragraph_id": "para_714"
      },
      {
        "text": "argues the District Court’s decision will halt AI development.",
        "paragraph_id": "para_715"
      },
      {
        "text": "But ROSS presents no evidence to support that broad claim.",
        "paragraph_id": "para_716"
      },
      {
        "text": "Finally, ROSS argues that AI is critical for national security",
        "paragraph_id": "para_717"
      },
      {
        "text": "purposes so copyright should not impede ROSS’s AI develop-",
        "paragraph_id": "para_718"
      },
      {
        "text": "ment. ROSS again presents no evidence connecting its legal-",
        "paragraph_id": "para_719"
      },
      {
        "text": "research platform to national security. Despite doing so in",
        "paragraph_id": "para_720"
      },
      {
        "text": "other circumstances,11 the DOJ has not raised national security",
        "paragraph_id": "para_721"
      },
      {
        "text": "concerns about the conduct in this case. While some AI tech-",
        "paragraph_id": "para_722"
      },
      {
        "text": "nology may implicate national security concerns, this does not",
        "paragraph_id": "para_723"
      },
      {
        "text": "give ROSS carte blanche to violate copyright law merely be-",
        "paragraph_id": "para_724"
      },
      {
