        "paragraph_id": "para_94"

        "text": "It is a familiar story in the life of a publicly held",
        "paragraph_id": "para_95"
      },
      {
        "text": "business. A corporation identifies an opportunity and decides",
        "paragraph_id": "para_96"
      },
      {
        "text": "to ask its shareholders for their approval to pursue. But the",
        "paragraph_id": "para_97"
      },
      {
        "text": "business runs in a highly regulated space like finance. So the",
        "paragraph_id": "para_98"
      },
      {
        "text": "company proceeds through a thick web of laws and regulations",
        "paragraph_id": "para_99"
      },
      {
        "text": "that detail how to explain both the risks and the rewards of the",
        "paragraph_id": "para_100"
      },
      {
        "text": "opportunity to the shareholders. With a bit of good fortune, all",
        "paragraph_id": "para_101"
      },
      {
        "text": "the hard work pays off when the shareholders give their",
        "paragraph_id": "para_102"
      },
      {
        "text": "blessing. And then, after the deal is done, only the class action",
        "paragraph_id": "para_103"
      },
      {
        "text": "hurdle remains. That is because for more than five decades,",
        "paragraph_id": "para_104"
      },
      {
        "text": "these transactions have been subject to a three-tier system of",
        "paragraph_id": "para_105"
      },
      {
        "text": "enforcement: oversight by Congress, supervision by regulators",
        "paragraph_id": "para_106"
      },
      {
        "text": "like the Securities and Exchange Commission, and “private",
        "paragraph_id": "para_107"
      },
      {
        "text": "5",
        "paragraph_id": "para_108"
      },
      {
        "text": "attorneys general”1 pursuing “a private right of action.” Gen.",
        "paragraph_id": "para_109",
        "court_paragraph": 5
      },
      {
        "text": "Elec. Co. v. Cathcart, 980 F.2d 927, 932 (3d Cir. 1992) (citing",
        "paragraph_id": "para_110"
      },
      {
        "text": "J.I. Case Co. v. Borak, 377 U.S. 426, 430–31 (1964)).",
        "paragraph_id": "para_111"
      },
      {
        "text": "We consider that final frontier of enforcement in this",
        "paragraph_id": "para_112"
      },
      {
        "text": "appeal. Hudson City Bank (“Hudson”) and M&T Bank",
        "paragraph_id": "para_113"
      },
      {
        "text": "Corporation (“M&T”) successfully merged in 2015. But their",
        "paragraph_id": "para_114"
      },
      {
        "text": "union triggered a protest by a few Hudson shareholders, who",
        "paragraph_id": "para_115"
      },
      {
        "text": "filed a putative class action (together, the “Shareholders”). The",
        "paragraph_id": "para_116"
      },
      {
        "text": "complaint alleged the banks didn’t disclose material",
        "paragraph_id": "para_117"
      },
      {
        "text": "information about M&T’s practice of adding fees to no-fee",
        "paragraph_id": "para_118"
      },
      {
        "text": "“free” checking accounts or its failure to comply with federal",
        "paragraph_id": "para_119"
      },
      {
        "text": "anti-money laundering regulations. And despite a healthy",
        "paragraph_id": "para_120"
      },
      {
        "text": "return on their investment, the Shareholders argue these",
        "paragraph_id": "para_121"
      },
      {
        "text": "omissions or misstatements caused all Hudson shareholders",
        "paragraph_id": "para_122"
      },
      {
        "text": "financial harm. In a comprehensive opinion, the District Court",
        "paragraph_id": "para_123"
      },
      {
        "text": "dismissed these claims. We now vacate and remand for further",
        "paragraph_id": "para_124"
      },
      {
        "text": "proceedings based on prior decisions allowing suits alleging",
        "paragraph_id": "para_125"
      },
      {
        "text": "inadequate transparency or deception. We reiterate the",
        "paragraph_id": "para_126"
      },
      {
        "text": "longstanding limitations on securities fraud actions that",
        "paragraph_id": "para_127"
      },
      {
        "text": "insulate issuers from second-guesses, hindsight clarity, and a",
        "paragraph_id": "para_128"
      },
      {
        "text": "regime of total disclosure.",
        "paragraph_id": "para_129"
      },
      {

        "text": "I. BACKGROUND",
        "paragraph_id": "para_134",
        "court_paragraph": 6
      },
      {
        "text": "A. The Proposal",
        "paragraph_id": "para_135"
      },
      {
        "text": "Chartered in 1868, Hudson grew to become one of the",
        "paragraph_id": "para_136"
      },
      {
        "text": "largest savings banks in New Jersey. Avoiding modern",
        "paragraph_id": "para_137"
      },
      {
        "text": "products and trends in favor of steady deposits and safe",
        "paragraph_id": "para_138"
      },
      {
        "text": "mortgages, Hudson enjoyed a strong reputation of stability.",
        "paragraph_id": "para_139"
      },
      {
        "text": "But, following the 2008 recession, Hudson struggled to hold",
        "paragraph_id": "para_140"
      },
      {
        "text": "its footing. It launched reforms, shedding debt, eying",
        "paragraph_id": "para_141"
      },
      {
        "text": "diversification, and considering opportunities to merge.",
        "paragraph_id": "para_142"
      },
      {
        "text": "Eventually, Hudson found a partner in M&T and the two banks",
        "paragraph_id": "para_143"
      },
      {
        "text": "struck a deal. Investors appeared to welcome the",
        "paragraph_id": "para_144"
      },
      {
        "text": "announcement with M&T’s stock price rising on the news.",
        "paragraph_id": "para_145"
      },
      {
        "text": "B. The Joint Proxy",
        "paragraph_id": "para_146"
      },
      {
        "text": "The merger agreement promised Hudson shareholders a",
        "paragraph_id": "para_147"
      },
      {
        "text": "mixture of cash and M&T stock, and required approval by the",
        "paragraph_id": "para_148"
      },
      {
        "text": "shareholders of both banks. To provide the required notice,",
        "paragraph_id": "para_149"
      },
      {
        "text": "Hudson and M&T opted to issue a Joint Prospectus (“Joint",
        "paragraph_id": "para_150"
      },
      {
        "text": "Proxy”) and filed a single Form S-4 in accordance with SEC",
        "paragraph_id": "para_151"
      },
      {
        "text": "rules.2 That form requires issuers to provide, among other",
        "paragraph_id": "para_152"
      },
      {
        "text": "things, “the information required by Item 503 of Regulation S-",
        "paragraph_id": "para_153"
      },
      {

      {
        "text": "Division of Corporate Finance, United States Securities and",

        "text": "Exchange Commission (July 12, 2018).) The form also allows",
        "paragraph_id": "para_158"
      },
      {
        "text": "for the filing of a joint prospectus/proxy statement, as M&T",
        "paragraph_id": "para_159"
      },
      {
        "text": "and Hudson elected to do here.",
        "paragraph_id": "para_160"
      },
      {
        "text": "7",
        "paragraph_id": "para_161"
      },
      {
        "text": "K.” Item 503, since recodified as Item 105,3 asks for “the most",
        "paragraph_id": "para_162",
        "court_paragraph": 7
      },
      {
        "text": "significant factors that make an investment in the registrant or",
        "paragraph_id": "para_163"
      },
      {
        "text": "offering speculative or risky.” 17 C.F.R. § 229.105. Each “risk",
        "paragraph_id": "para_164"
      },
      {
        "text": "factor” requires an individual topic heading supported by",
        "paragraph_id": "para_165"
      },
      {
        "text": "information that is both “concise and organized logically.” Id.",
        "paragraph_id": "para_166"
      },
      {
        "text": "Specificity is key, as the regulation cautions filers to omit",
        "paragraph_id": "para_167"
      },
      {
        "text": "“risks that could apply generically to any registrant or any",
        "paragraph_id": "para_168"
      },
      {
        "text": "offering.” Id. And Item 105 is where the Shareholders direct",
        "paragraph_id": "para_169"
      },
      {
        "text": "their attack, alleging this portion of the Joint Proxy was",
        "paragraph_id": "para_170"
      },
      {
        "text": "misleading and incomplete. We turn to those disclosures.",
        "paragraph_id": "para_171"
      },
      {
        "text": "1. The “Risks Related to M&T”",
        "paragraph_id": "para_172"
      },
      {
        "text": "As required, the Joint Proxy included a section titled",
        "paragraph_id": "para_173"
      },
      {
        "text": "“Risks Related to M&T” (App. at 0237), with subsections on",
        "paragraph_id": "para_174"
      },
      {
        "text": "“Risks Relating to Economic and Market Conditions,” “Risks",
        "paragraph_id": "para_175"
      },
      {
        "text": "Relating to M&T’s Business,” and “Risks Relating to the",
        "paragraph_id": "para_176"
      },
      {
        "text": "Regulatory Environment.” (App. at A0237–48.) Discussing",
        "paragraph_id": "para_177"
      },
      {
        "text": "the regulatory environment, the Joint Proxy noted that “M&T",
        "paragraph_id": "para_178"
      },
      {
        "text": "is subject to extensive government regulation and supervision”",
        "paragraph_id": "para_179"
      },
      {
        "text": "because of “the Dodd-Frank Act and related regulations.”",
        "paragraph_id": "para_180"
      },
      {
        "text": "(App. at A1010 (emphasis omitted).) It cautioned that “M&T",
        "paragraph_id": "para_181"
      },
      {
        "text": "expects to face increased regulation of its industry as a result",
        "paragraph_id": "para_182"
      },
      {
        "text": "of current and possible future initiatives.” (App. at A1010.)",
        "paragraph_id": "para_183"
      },
      {
        "text": "That will lead to “more intense scrutiny in the examination",
        "paragraph_id": "para_184"
      },
      {
        "text": "process and more aggressive enforcement of regulations on",
        "paragraph_id": "para_185"
      },
      {
        "text": "both the federal and state levels,” which would “likely increase",
        "paragraph_id": "para_186"
      },
      {
        "text": "M&T’s costs[,] reduce its revenue[,] and may limit its ability",
        "paragraph_id": "para_187"
      },
      {
        "text": "to pursue certain desirable business opportunities.” (App. at",
        "paragraph_id": "para_188"
      },
      {

      },
      {

      },
      {
        "text": "A1010.) The Joint Proxy also stated that “from time to time,",
        "paragraph_id": "para_193",
        "court_paragraph": 8
      },
      {
        "text": "M&T is, or may become, the subject of governmental and self-",
        "paragraph_id": "para_194"
      },
      {
        "text": "regulatory agency information-gathering requests, reviews,",
        "paragraph_id": "para_195"
      },
      {
        "text": "investigations and proceedings and other forms of regulatory",
        "paragraph_id": "para_196"
      },
      {
        "text": "inquiry, including by the SEC and law enforcement",
        "paragraph_id": "para_197"
      },
      {
        "text": "authorities.” (App. at A0248.) That ongoing oversight, in turn,",
        "paragraph_id": "para_198"
      },
      {
        "text": "might lead to “significant monetary damages or penalties,",
        "paragraph_id": "para_199"
      },
      {
        "text": "adverse judgments, settlements, fines, injunctions, restrictions",
        "paragraph_id": "para_200"
      },
      {
        "text": "on the way in which M&T conducts its business, or",
        "paragraph_id": "para_201"
      },
      {
        "text": "reputational harm.” (App. at A0248.) And the Joint Proxy",
        "paragraph_id": "para_202"
      },
      {
        "text": "noted operational risks “encompass[ing] reputational risk and",
        "paragraph_id": "para_203"
      },
      {
        "text": "compliance and legal risk, which is the risk of loss from",
        "paragraph_id": "para_204"
      },
      {
        "text": "violations of, or noncompliance with, laws, rules, regulations,",
        "paragraph_id": "para_205"
      },
      {
        "text": "prescribed practices or ethical standards, as well as the risk of",
        "paragraph_id": "para_206"
      },
      {
        "text": "noncompliance with contractual and other obligations.” (App.",
        "paragraph_id": "para_207"
      },
      {
        "text": "at A0245.) That dense fog of possible problems, as we will see,",
        "paragraph_id": "para_208"
      },
      {
        "text": "looms large.",
        "paragraph_id": "para_209"
      },
      {
        "text": "2. Other Warnings",
        "paragraph_id": "para_210"
      },
      {
        "text": "A few additional statements related to risk appeared",
        "paragraph_id": "para_211"
      },
      {
        "text": "elsewhere in the Joint Proxy. A section titled, “Regulatory",
        "paragraph_id": "para_212"
      },
      {
        "text": "Approvals Required for the Merger” advised that",
        "paragraph_id": "para_213"
      },
      {
        "text": "“[c]ompletion of the merger . . . [is] subject to the receipt of all",
        "paragraph_id": "para_214"
      },
      {
        "text": "approvals required to complete the transactions contemplated",
        "paragraph_id": "para_215"
      },
      {
        "text": "by the merger agreement . . . from the Federal Reserve Board.”",
        "paragraph_id": "para_216"
      },
      {
        "text": "(App. at A1017.) And the Federal Reserve Board, “[a]s part of",
        "paragraph_id": "para_217"
      },
      {
        "text": "its evaluation . . . , reviews: . . . the effectiveness of the",
        "paragraph_id": "para_218"
      },
      {
        "text": "companies in combatting money laundering.” (App. at A1018.)",
        "paragraph_id": "para_219"
      },
      {
        "text": "While M&T “believe[d]” timely regulatory approval was",
        "paragraph_id": "para_220"
      },
      {
        "text": "realistic, it was unsure. (App. at A1017; see also App. at",
        "paragraph_id": "para_221"
      },
      {
        "text": "A1009.) Rather, M&T offered that:",
        "paragraph_id": "para_222"
      },
      {
        "text": "9",
        "paragraph_id": "para_223"
      },
      {
        "text": "Although we currently believe we should be able",
        "paragraph_id": "para_224",
        "court_paragraph": 9
      },
      {
        "text": "to obtain all required regulatory approvals in a",
        "paragraph_id": "para_225"
      },
      {
        "text": "timely manner, we cannot be certain when or if",
        "paragraph_id": "para_226"
      },
      {
        "text": "we will obtain them or, if obtained, whether they",
        "paragraph_id": "para_227"
      },
      {
        "text": "will contain terms, conditions or restrictions not",
        "paragraph_id": "para_228"
      },
      {
        "text": "currently contemplated that will be detrimental",
        "paragraph_id": "para_229"
      },
      {
        "text": "to M&T after the completion of the merger or",
        "paragraph_id": "para_230"
      },
      {
        "text": "will contain a burdensome condition.",
        "paragraph_id": "para_231"
      },
      {
        "text": "(App. at A1017.)",
        "paragraph_id": "para_232"
      },
      {
        "text": "3. The Annual Report",
        "paragraph_id": "para_233"
      },
      {
        "text": "At M&T’s election, the Joint Proxy incorporated",
        "paragraph_id": "para_234"
      },
      {
        "text": "M&T’s 2011 Annual Report on Form 10-K as permitted by",
        "paragraph_id": "para_235"
      },
      {
        "text": "Form S-4. There, M&T warned that the Patriot Act requires",
        "paragraph_id": "para_236"
      },
      {
        "text": "that “U.S. financial institutions . . . implement and maintain",
        "paragraph_id": "para_237"
      },
      {
        "text": "appropriate policies, procedures and controls which are",
        "paragraph_id": "para_238"
      },
      {
        "text": "reasonably designed to prevent, detect and report instances of",
        "paragraph_id": "para_239"
      },
      {
        "text": "money laundering.” (App. at A1028.) But investors could take",
        "paragraph_id": "para_240"
      },
      {
        "text": "comfort, the Joint Proxy explained, because M&T’s “approved",
        "paragraph_id": "para_241"
      },
      {
        "text": "policies and procedures [are] believed to comply with the USA",
        "paragraph_id": "para_242"
      },
      {
        "text": "Patriot Act.” (App. at A1028.)",
        "paragraph_id": "para_243"
      },
      {
        "text": "C. New Disclosures, Governmental Intervention, and",
        "paragraph_id": "para_244"
      },
      {
        "text": "Regulatory Delay",
        "paragraph_id": "para_245"
      },
      {
        "text": "M&T filed the Joint Proxy with the SEC, which was",
        "paragraph_id": "para_246"
      },
      {
        "text": "declared effective on February 22, 2013, mailed it to all",
        "paragraph_id": "para_247"
      },
      {
        "text": "shareholders five days later, and scheduled a vote on the",
        "paragraph_id": "para_248"
      },
      {
        "text": "proposal for April. Then, a few days before the ballots, M&T",
        "paragraph_id": "para_249"
      },
      {
        "text": "and Hudson announced that “additional time will be required",
        "paragraph_id": "para_250"
      },
      {
        "text": "to obtain a regulatory determination on the applications",
        "paragraph_id": "para_251"
      },
      {
        "text": "10",
        "paragraph_id": "para_252"
      },
      {
        "text": "necessary to complete their proposed merger.” (App. at",
        "paragraph_id": "para_253",
        "court_paragraph": 10
      },
      {
        "text": "A1041.) In a supplemental proxy, M&T revealed that the",
        "paragraph_id": "para_254"
      },
      {
        "text": "Federal Reserve Board identified “certain regulatory concerns”",
        "paragraph_id": "para_255"
      },
      {
        "text": "about “procedures, systems and processes relating to M&T’s",
        "paragraph_id": "para_256"
      },
      {
        "text": "Bank Secrecy Act and anti-money-laundering compliance",
        "paragraph_id": "para_257"
      },
      {
        "text": "program.”4 (App. at A1041.) M&T explained that to address",
        "paragraph_id": "para_258"
      },
      {
        "text": "these concerns, “the timeframe for closing the transaction will",
        "paragraph_id": "para_259"
      },
      {
        "text": "be extended substantially beyond the date previously",
        "paragraph_id": "para_260"
      },
      {
        "text": "expected.” (App. at A1041.) As a result, M&T and Hudson",
        "paragraph_id": "para_261"
      },
      {
        "text": "amended their merger agreement and moved the closure back",
        "paragraph_id": "para_262"
      },
      {
        "text": "4 As the Joint Proxy notes, the merger required approval",
        "paragraph_id": "para_263"
      },
      {
        "text": "by the Federal Reserve Board, among other regulators. As part",
        "paragraph_id": "para_264"
      },
      {
        "text": "of its review, the Federal Reserve Board assesses the banks’",
        "paragraph_id": "para_265"
      },
      {
        "text": "effectiveness in combatting money laundering, requiring a",
        "paragraph_id": "para_266"
      },
      {
        "text": "risk-management program incorporating the Bank Secrecy Act",
        "paragraph_id": "para_267"
      },
      {
        "text": "and anti-money-laundering (“BSA/AML”) compliance. See",
        "paragraph_id": "para_268"
      },
      {
        "text": "Uniting and Strengthening America by Providing Appropriate",
        "paragraph_id": "para_269"
      },
      {
        "text": "Tools Required to Intercept and Obstruct Terrorism (“USA",
        "paragraph_id": "para_270"
      },
      {
        "text": "PATRIOT”) Act of 2001, Pub. L. No. 107-56, 115 Stat. 272",

        "text": "and Anti-Terrorist Financing Act of 2001,” amended the Bank",
        "paragraph_id": "para_274"
      },
      {
        "text": "Secrecy Act, 31 U.S.C. § 5311 et seq., and “imposed more",
        "paragraph_id": "para_275"
      },
      {
        "text": "stringent requirements aimed at money laundering.” Mendez",
        "paragraph_id": "para_276"
      },
      {
        "text": "Internet Mgmt. Servs., Inc. v. Banco Santander de P.R., 621",
        "paragraph_id": "para_277"
      },
      {
        "text": "F.3d 10, 13 (1st Cir. 2010). To ensure compliance, banks must",
        "paragraph_id": "para_278"
      },
      {
        "text": "collect, process, and update information necessary to make",
        "paragraph_id": "para_279"
      },
      {
        "text": "money-laundering risk determinations for every customer and",
        "paragraph_id": "para_280"
      },
      {
        "text": "account. Banks are also required to have in place acceptable",
        "paragraph_id": "para_281"
      },
      {
        "text": "processes and policies to detect and report related suspicious",
        "paragraph_id": "para_282"
      },
      {
        "text": "activity.",
        "paragraph_id": "para_283"
      },
      {
        "text": "11",
        "paragraph_id": "para_284"
      },
      {
        "text": "several months.5 The shareholder vote, however, remained as",
        "paragraph_id": "para_285",
        "court_paragraph": 11
      },
      {
        "text": "scheduled. And these revelations did not deter the",
        "paragraph_id": "para_286"
      },
      {
        "text": "shareholders, who overwhelmingly approved the merger. But",
        "paragraph_id": "para_287"
      },
      {
        "text": "it took nearly two and a half more years before regulators",
        "paragraph_id": "para_288"
      },
      {
        "text": "allowed the deal to close.",
        "paragraph_id": "para_289"
      },
      {
        "text": "While the banks awaited the conclusion of the Federal",
        "paragraph_id": "para_290"
      },
      {
        "text": "Reserve review, M&T received more bad news. The Consumer",
        "paragraph_id": "para_291"
      },
      {
        "text": "Financial Protection Bureau (“CFPB”) announced an",
        "paragraph_id": "para_292"
      },
      {
        "text": "enforcement action against M&T for offering customers free",
        "paragraph_id": "para_293"
      },
      {
        "text": "checking before switching them to fee-based accounts without",
        "paragraph_id": "para_294"
      },
      {
        "text": "notice. A practice, the CFPB noted, that was in place when the",
        "paragraph_id": "para_295"
      },
      {
        "text": "merger was first proposed, and that had impacted nearly 60,000",
        "paragraph_id": "para_296"
      },
      {
        "text": "customers. M&T agreed to pay $2.045 million to settle the",
        "paragraph_id": "para_297"
      },
      {
        "text": "allegations, the approximate amount of the customer injuries.",
        "paragraph_id": "para_298"
      },
      {
        "text": "D. The Shareholder Suit",
        "paragraph_id": "para_299"
      },
      {
        "text": "A few weeks before the merger closed, David",
        "paragraph_id": "para_300"
      },
      {
        "text": "Jaroslawicz, a Hudson shareholder, filed a putative class action",
        "paragraph_id": "para_301"
      },
      {
        "text": "against M&T, Hudson, and their directors and officers",
        "paragraph_id": "para_302"
      },
      {
        "text": "(together, “M&T”). He claimed that the Joint Proxy omitted",
        "paragraph_id": "para_303"
      },
      {
        "text": "material risks associated with the merger in violation of the",
        "paragraph_id": "para_304"
      },
      {
        "text": "Securities Exchange Act, 15 U.S.C. § 78n(a)(1) and 17 C.F.R.",
        "paragraph_id": "para_305"
      },
      {
        "text": "5 M&T provided more context a few days later during",
        "paragraph_id": "para_306"
      },
      {
        "text": "an earnings conference call, explaining that the compliance",
        "paragraph_id": "para_307"
      },
      {
        "text": "issues were significant enough to “impact [the] ability to close",
        "paragraph_id": "para_308"
      },
      {
        "text": "the merger . . . in the near term.” (App. at A1048.) And M&T",
        "paragraph_id": "para_309"
      },
      {
        "text": "noted it needed “to implement [a] plan for improvement . . . to",
        "paragraph_id": "para_310"
      },
      {
        "text": "the satisfaction of . . . the regulators prior to obtaining",
        "paragraph_id": "para_311"
      },
      {
        "text": "regulatory approvals for the merger.” (App. at A1048.)",
        "paragraph_id": "para_312"
      },
      {
        "text": "12",
        "paragraph_id": "para_313"
      },
      {
        "text": "§ 240.14a-9(a). He also brought a claim for breach of fiduciary",
        "paragraph_id": "para_314",
        "court_paragraph": 12
      },
      {
        "text": "duty under Delaware law.6",
        "paragraph_id": "para_315"
      },
      {
        "text": "After the Shareholders filed an amended complaint,",
        "paragraph_id": "para_316"
      },
      {
        "text": "M&T moved to dismiss for failure to plead an actionable claim.",
        "paragraph_id": "para_317"
      },
      {
        "text": "The District Court granted that motion, but allowed the",
        "paragraph_id": "para_318"
      },
      {
        "text": "Shareholders to amend. After the Shareholders amended, M&T",
        "paragraph_id": "para_319"
      },
      {
        "text": "again moved to dismiss. The District Court granted M&T’s",
        "paragraph_id": "para_320"
      },
      {
        "text": "motion. See Jaroslawicz v. M&T Bank Corp., 296 F. Supp. 3d",
        "paragraph_id": "para_321"
      },
      {
        "text": "670 (D. Del. 2017).",
        "paragraph_id": "para_322"
      },
      {
        "text": "In their Second Amended Complaint, the Shareholders",
        "paragraph_id": "para_323"
      },
      {
        "text": "presented two theories of M&T’s liability for the Joint Proxy’s",
        "paragraph_id": "para_324"
      },
      {
        "text": "deficiencies. First, because the Joint Proxy did not discuss",
        "paragraph_id": "para_325"
      },
      {
        "text": "M&T’s non-compliant BSA/AML practices and deficient",
        "paragraph_id": "para_326"
      },
      {
        "text": "consumer checking program, the Shareholders contend that",
        "paragraph_id": "para_327"
      },
      {
        "text": "M&T failed to disclose material risk factors facing the merger,",
        "paragraph_id": "para_328"
      },
      {
        "text": "as required by Item 105. Second, they assert that M&T’s",
        "paragraph_id": "para_329"
      },
      {
        "text": "failure to discuss these allegedly non-compliant practices",
        "paragraph_id": "para_330"
      },
      {
        "text": "rendered M&T’s opinion statements about its adherence to",
        "paragraph_id": "para_331"
      },
      {
        "text": "regulatory requirements and the prospects for prompt approval",
        "paragraph_id": "para_332"
      },
      {
        "text": "of the merger, misleading.",
        "paragraph_id": "para_333"
      },
      {
        "text": "The District Court held that the Joint Proxy sufficiently",
        "paragraph_id": "para_334"
      },
      {
        "text": "disclosed the regulatory risks associated with the merger. The",
        "paragraph_id": "para_335"
      },
      {
        "text": "Court also held that M&T did not have to disclose the",
        "paragraph_id": "para_336"
      },
      {
        "text": "consumer checking violations exposed after the merger",
        "paragraph_id": "para_337"
      },
      {
        "text": "announcement. And, applying Omnicare, Inc. v. Laborers",
        "paragraph_id": "para_338"
      },
      {
        "text": "District Council Construction Industry Pension Fund, 575",
        "paragraph_id": "para_339"
      },
      {
        "text": "6 The District Court later appointed the Belina family to",
        "paragraph_id": "para_340"
      },
      {
        "text": "serve as lead plaintiffs for the class action.",
        "paragraph_id": "para_341"
      },
      {
        "text": "13",
        "paragraph_id": "para_342"
      },
      {
        "text": "U.S. 175 (2015), the Court found no misleading opinions. The",
        "paragraph_id": "para_343",
        "court_paragraph": 13
      },
      {
        "text": "Court again allowed the Shareholders to amend the pleadings,",
        "paragraph_id": "para_344"
      },
      {
        "text": "but the Shareholders asked for a final order of dismissal with",
        "paragraph_id": "para_345"
      },
      {
        "text": "prejudice to file this appeal.7",
        "paragraph_id": "para_346"
      },
      {
        "text": "II. JURISDICTION AND THE STANDARD OF REVIEW",
        "paragraph_id": "para_347"
      },
      {
        "text": "The District Court had jurisdiction under 15 U.S.C.",
        "paragraph_id": "para_348"
      },
      {
        "text": "§ 78aa, and 28 U.S.C. §§ 1331 and 1337. We have jurisdiction",
        "paragraph_id": "para_349"
      },
      {
        "text": "under 28 U.S.C. § 1291. As the Shareholders bring their appeal",
        "paragraph_id": "para_350"
      },
      {
        "text": "from the District Court’s final order granting a motion to",
        "paragraph_id": "para_351"
      },
      {
        "text": "dismiss with prejudice, we exercise plenary review. See In re",
        "paragraph_id": "para_352"
      },
      {
        "text": "NAHC, Inc. Sec. Litig., 306 F.3d 1314, 1322–23 (3d Cir. 2002).",
        "paragraph_id": "para_353"
      },
      {
        "text": "But we are to accept the facts in the light most favorable to the",
        "paragraph_id": "para_354"
      },
      {
        "text": "non-moving party. Jones v. ABN Amro Mortg. Grp., Inc., 606",
        "paragraph_id": "para_355"
      },
      {
        "text": "F.3d 119, 123 (3d Cir. 2010). Dismissal is proper only where",
        "paragraph_id": "para_356"
      },
      {
        "text": "the complaint fails to state a claim “that is plausible on its",
        "paragraph_id": "para_357"
      },
      {
        "text": "face.” Ashcroft v. Iqbal, 556 U.S. 662, 678 (2009) (internal",
        "paragraph_id": "para_358"
      },
      {
        "text": "quotation marks omitted). A claim is plausible “when the",
        "paragraph_id": "para_359"
      },
      {
        "text": "plaintiff pleads factual content that allows the courts to draw",
        "paragraph_id": "para_360"
      },
      {

        "text": "925 F.3d 605 (3d Cir. 2019). In its petition for rehearing, M&T",
        "paragraph_id": "para_364"
      },
      {
        "text": "waived the argument that the Shareholders’ Second Amended",
        "paragraph_id": "para_365"
      },
      {
        "text": "Complaint failed to plausibly allege loss causation. (Appellees’",
        "paragraph_id": "para_366"
      },
      {
        "text": "Reh’g Pet. at 6.)",
        "paragraph_id": "para_367"
      },
      {
        "text": "14",
        "paragraph_id": "para_368"
      },
      {
        "text": "the reasonable inference that the defendant is liable for the",
        "paragraph_id": "para_369",
        "court_paragraph": 14
      },
      {
        "text": "misconduct alleged.”8 Id.",
        "paragraph_id": "para_370"
      },
      {
        "text": "III. THE SHAREHOLDERS’ TWIN THEORIES OF LIABILITY:",
        "paragraph_id": "para_371"
      },
      {
        "text": "ACTIONABLE OMISSIONS AND MISLEADING OPINIONS",
        "paragraph_id": "para_372"
      },
      {
        "text": "A. The Shareholders Plausibly Allege an Actionable",
        "paragraph_id": "para_373"
      },
      {
        "text": "Omission or Misrepresentation",
        "paragraph_id": "para_374"
      },
      {
        "text": "1. Actionable Omissions and Misrepresentations",
        "paragraph_id": "para_375"
      },
      {
        "text": "Defined",
        "paragraph_id": "para_376"
      },
      {
        "text": "We start by setting some boundaries. The Shareholders",
        "paragraph_id": "para_377"
      },
      {
        "text": "have pleaded claims under Section 14(a) of the Securities",
        "paragraph_id": "para_378"
      },
      {
        "text": "Exchange Act of 1934, as codified at 15 U.S.C. § 78n(a), and",
        "paragraph_id": "para_379"
      },
      {
        "text": "the regulations promulgated by the Commission. But that",
        "paragraph_id": "para_380"
      },
      {
        "text": "statute does not provide for a private right of action. And since",
        "paragraph_id": "para_381"
      },
      {
        "text": "“Congress creates federal causes of action,” where “the text of",
        "paragraph_id": "para_382"
      },
      {
        "text": "a statute does not provide a cause of action, there ordinarily is",
        "paragraph_id": "para_383"
      },
      {
        "text": "no cause of action.” Johnson v. Interstate Mgmt. Co., 849 F.3d",
        "paragraph_id": "para_384"
      },
      {
        "text": "1093, 1097 (D.C. Cir. 2017); see also Antonin Scalia & Bryan",
        "paragraph_id": "para_385"
      },
      {
        "text": "A. Garner, Reading Law: The Interpretation of Legal Texts 313",
        "paragraph_id": "para_386"
      },
      {
        "text": "(2012) (“A statute’s mere prohibition of a certain act does not",
        "paragraph_id": "para_387"
      },
      {
        "text": "imply creation of a private right of action for its violation.”).",
        "paragraph_id": "para_388"
      },
      {
        "text": "8 The District Court reviewed the allegations under the",
        "paragraph_id": "para_389"
      },
      {
        "text": "general pleading standard of Federal Rule of Civil Procedure",
        "paragraph_id": "para_390"
      },
      {
        "text": "8, but M&T argues that all § 14(a) claims are subject to the",
        "paragraph_id": "para_391"
      },
      {
        "text": "heightened pleading requirements of the Private Securities",
        "paragraph_id": "para_392"
      },
      {
        "text": "Litigation Reform Act, 15 U.S.C. § 78u-4(b)(1). Still, the",
        "paragraph_id": "para_393"
      },
      {
        "text": "parties agree on the statements alleged to have been",
        "paragraph_id": "para_394"
      },
      {
        "text": "misleading, do not dispute their specificity, and thus do not",
        "paragraph_id": "para_395"
      },
      {
        "text": "argue that the pleading standard is determinative.",
        "paragraph_id": "para_396"
      },
      {
        "text": "15",
        "paragraph_id": "para_397"
      },
      {
        "text": "But during an “ancien regime,” courts followed a different",
        "paragraph_id": "para_398",
        "court_paragraph": 15
      },
      {
        "text": "path, often finding “as a routine matter . . . impl[ied] causes of",
        "paragraph_id": "para_399"
      },
      {
        "text": "action not explicit in the statutory text itself.” Ziglar v. Abbasi,",
        "paragraph_id": "para_400"
      },
      {
        "text": "137 S. Ct. 1843, 1855 (2017). And while courts have since",
        "paragraph_id": "para_401"
      },
      {
        "text": "“adopted a far more cautious course before finding implied",
        "paragraph_id": "para_402"
      },
      {
        "text": "causes of action,” id., in securities fraud actions under § 14(a)",
        "paragraph_id": "para_403"
      },
      {
        "text": "what was then is still now. Cathcart, 980 F.2d at 932 (citing",
        "paragraph_id": "para_404"
      },
      {
        "text": "Borak, 377 U.S. at 430–31); see also Halliburton Co. v. Erica",
        "paragraph_id": "para_405"
      },
      {
        "text": "P. John Fund, Inc., 573 U.S. 258, 284 (2014) (Thomas, J.,",
        "paragraph_id": "para_406"
      },
      {
        "text": "concurring) (“[T]he implied 10b-5 private cause of action is ‘a",
        "paragraph_id": "para_407"
      },
      {
        "text": "relic of the heady days in which this Court assumed common-",
        "paragraph_id": "para_408"
      },
      {
        "text": "law powers to create causes of action[.]’”) (quoting Corr.",
        "paragraph_id": "para_409"
      },
      {
        "text": "Servs. Corp. v. Malesko, 534 U.S. 61, 75 (2001) (Scalia, J.,",
        "paragraph_id": "para_410"
      },
      {
        "text": "concurring)). So while courts have since “sworn off the habit",
        "paragraph_id": "para_411"
      },
      {
        "text": "of venturing beyond Congress’s intent,” the Shareholders’ suit,",
        "paragraph_id": "para_412"
      },
      {
        "text": "for now, still finds room in the half-empty “last drink” poured",
        "paragraph_id": "para_413"
      },
      {
        "text": "in Borak. Alexander v. Sandoval, 532 U.S. 275, 287 (2001);",
        "paragraph_id": "para_414"
      },
      {
        "text": "see also Wisniewski v. Rodale, Inc., 510 F.3d 294, 298 (3d Cir.",
        "paragraph_id": "para_415"
      },
      {
        "text": "2007) (noting Borak arrived during an “older and less",
        "paragraph_id": "para_416"
      },
      {
        "text": "restrictive approach to implied private rights of action”).",
        "paragraph_id": "para_417"
      },
      {
        "text": "Reconsideration of that interpretation is beyond our role, Bosse",
        "paragraph_id": "para_418"
      },
      {
        "text": "v. Oklahoma, 137 S. Ct. 1, 2 (2016), even if perhaps not beyond",
        "paragraph_id": "para_419"
      },
      {
        "text": "the horizon. See Emulex Corp. v. Varjabedian, 139 S. Ct. 1407",
        "paragraph_id": "para_420"
      },
      {
        "text": "(2019).",
        "paragraph_id": "para_421"
      },
      {
        "text": "2. The Elements of an Omissions Claim",
        "paragraph_id": "para_422"
      },
      {
        "text": "Section 14(a) makes it unlawful to solicit a proxy “in",
        "paragraph_id": "para_423"
      },
      {
        "text": "contravention of such rules and regulations as the [SEC] may",
        "paragraph_id": "para_424"
      },
      {
        "text": "prescribe as necessary or appropriate in the public interest or",
        "paragraph_id": "para_425"
      },
      {
        "text": "for the protection of investors.” 15 U.S.C. § 78n(a)(1). It",
        "paragraph_id": "para_426"
      },
      {
        "text": "“seeks to prevent management or others from obtaining",
        "paragraph_id": "para_427"
      },
      {
        "text": "authorization for corporate actions by means of deceptive or",
        "paragraph_id": "para_428"
      },
      {

        "paragraph_id": "para_429"
      },
      {
        "text": "inadequate disclosures in proxy solicitations.” Seinfeld v.",
        "paragraph_id": "para_430",
        "court_paragraph": 16
      },
      {
        "text": "Becherer, 461 F.3d 365, 369 (3d Cir. 2006) (internal quotations",
        "paragraph_id": "para_431"
      },
      {
        "text": "marks omitted). In turn, Rule 14a-9, promulgated by the SEC",
        "paragraph_id": "para_432"
      },
      {
        "text": "under the authority of Section 14(a), bars “false or misleading”",
        "paragraph_id": "para_433"
      },
      {
        "text": "material statements and omissions in a proxy.9 The",
        "paragraph_id": "para_434"
      },
      {
        "text": "Shareholders allege that M&T violated Rule 14a-9, and thus",
        "paragraph_id": "para_435"
      },
      {
        "text": "Section 14(a), by issuing a Joint Proxy lacking material",
        "paragraph_id": "para_436"
      },
      {
        "text": "information.",
        "paragraph_id": "para_437"
      },
      {
        "text": "We have outlined a three-step test for liability under",
        "paragraph_id": "para_438"
      },
      {
        "text": "Section 14(a), requiring a showing that: “(1) a proxy statement",
        "paragraph_id": "para_439"
      },
      {
        "text": "contained a material misrepresentation or omission which (2)",
        "paragraph_id": "para_440"
      },
      {
        "text": "caused the plaintiff injury and (3) that the proxy solicitation",
        "paragraph_id": "para_441"
      },
      {
        "text": "itself, rather than the particular defect in the solicitation",
        "paragraph_id": "para_442"
      },
      {
        "text": "materials, was an essential link in the accomplishment of the",
        "paragraph_id": "para_443"
      },
      {
        "text": "transaction.” Tracinda Corp. v. DaimlerChrysler AG, 502 F.3d",
        "paragraph_id": "para_444"
      },
      {
        "text": "212, 228 (3d Cir. 2007) (internal quotation marks omitted).",
        "paragraph_id": "para_445"
      },
      {
        "text": "And omissions in a proxy statement can violate Section 14(a)",
        "paragraph_id": "para_446"
      },
      {
        "text": "and Rule 14a-9 in one of two ways: where “[(a)] the SEC",
        "paragraph_id": "para_447"
      },
      {
        "text": "regulations specifically require disclosure of the omitted",
        "paragraph_id": "para_448"
      },
      {
        "text": "information in a proxy statement, or [(b)] the omission makes",
        "paragraph_id": "para_449"
      },
      {
        "text": "other statements in the proxy statement materially false or",
        "paragraph_id": "para_450"
      },
      {
        "text": "misleading.” Seinfeld, 461 F.3d at 369 (internal quotation",
        "paragraph_id": "para_451"
      },
      {
        "text": "marks omitted).",
        "paragraph_id": "para_452"
      },
      {
        "text": "9 “No solicitation subject to this regulation shall be",
        "paragraph_id": "para_453"
      },
      {
        "text": "made by means of any proxy statement . . . containing any",
        "paragraph_id": "para_454"
      },
      {
        "text": "statement which, at the time and in the light of the",
        "paragraph_id": "para_455"
      },
      {
        "text": "circumstances under which it is made, is false or misleading",
        "paragraph_id": "para_456"
      },
      {
        "text": "with respect to any material fact, or which omits to state any",
        "paragraph_id": "para_457"
      },
      {
        "text": "material fact necessary in order to make the statements therein",
        "paragraph_id": "para_458"
      },
      {
        "text": "not false or misleading[.]” 17 C.F.R. § 240.14a-9(a).",
        "paragraph_id": "para_459"
      },
      {
        "text": "17",
        "paragraph_id": "para_460"
      },
      {
        "text": "But not every omission or misrepresentation will",
        "paragraph_id": "para_461",
        "court_paragraph": 17
      },
      {
        "text": "support a claim for damages. Tracinda Corp., 502 F.3d at 228.",
        "paragraph_id": "para_462"
      },
      {
        "text": "Rather, stated or omitted information must be “material,” and",
        "paragraph_id": "para_463"
      },
      {
        "text": "we have set forth a two-part definition. Id. First, we determine",
        "paragraph_id": "para_464"
      },
      {
        "text": "whether “there is a substantial likelihood that a reasonable",
        "paragraph_id": "para_465"
      },
      {
        "text": "shareholder would consider [the omission or",
        "paragraph_id": "para_466"
      },
      {
        "text": "misrepresentation] important in deciding how to vote.” Id.",
        "paragraph_id": "para_467"
      },
      {
        "text": "(quoting Shaev v. Saper, 320 F.3d 373, 379 (3d Cir. 2003)).",
        "paragraph_id": "para_468"
      },
      {
        "text": "That involves an assessment of whether “the disclosure of the",
        "paragraph_id": "para_469"
      },
      {
        "text": "omitted fact or misrepresentation would have been viewed by",
        "paragraph_id": "para_470"
      },
      {
        "text": "the reasonable investor as having significantly altered the total",
        "paragraph_id": "para_471"
      },
      {
        "text": "mix of information made available.” EP Medsystems, Inc., v.",
        "paragraph_id": "para_472"
      },
      {
        "text": "EchoCath, Inc., 235 F.3d 865, 872 (3d Cir. 2000) (internal",
        "paragraph_id": "para_473"
      },
      {
        "text": "quotation marks and brackets omitted).",
        "paragraph_id": "para_474"
      },
      {
        "text": "Second, we assess the materiality of a statement “at the",
        "paragraph_id": "para_475"
      },
      {
        "text": "time and in the light of the circumstances under which it is",
        "paragraph_id": "para_476"
      },
      {
        "text": "made.” Seinfeld, 461 F.3d at 369 (quoting 17 C.F.R. § 240.14a-",
        "paragraph_id": "para_477"
      },
      {
        "text": "9(a)). So “liability cannot be imposed on the basis of",
        "paragraph_id": "para_478"
      },
      {
        "text": "subsequent events,” In re NAHC, 306 F.3d at 1330, and the",
        "paragraph_id": "para_479"
      },
      {
        "text": "Monday morning quarterback remains on the bench.",
        "paragraph_id": "para_480"
      },

        "text": "The Shareholders allege M&T violated Section 14(a)",
        "paragraph_id": "para_488"
      },
      {
        "text": "because the Joint Proxy omitted material “risk factors” as",
        "paragraph_id": "para_489"
      },
      {
        "text": "required by Item 105, such as the condition of M&T’s",
        "paragraph_id": "para_490"
      },
      {
        "text": "regulatory compliance program, and its failure to disclose such",
        "paragraph_id": "para_491"
      },
      {
        "text": "risks made other statements misleading. As with statutory",
        "paragraph_id": "para_492"
      },
      {
        "text": "interpretation, our review of a regulation centers on the",
        "paragraph_id": "para_493"
      },
      {
        "text": "ordinary meaning of the text “and the court must give it effect,",
        "paragraph_id": "para_494"
      },
      {
        "text": "as the court would any law.” Kisor v. Wilkie, 139 S. Ct. 2400,",
        "paragraph_id": "para_495"
      },
      {
        "text": "2415 (2019). That analysis uses all the “‘traditional tools’ of",
        "paragraph_id": "para_496"
      },
      {
        "text": "construction.” Id. (quoting Chevron, U.S.A., Inc. v. Nat. Res.",
        "paragraph_id": "para_497"
      },
      {
        "text": "Def. Council, Inc., 467 U.S. 837, 843 n.9 (1984)). The text of",
        "paragraph_id": "para_498"
      },
      {
        "text": "Item 105 directs issuers to:",
        "paragraph_id": "para_499"
      },
      {
        "text": "[w]here appropriate, provide under the caption",
        "paragraph_id": "para_500"
      },
      {
        "text": "“Risk Factors” a discussion of the most",
        "paragraph_id": "para_501"
      },
      {
        "text": "significant factors that make an investment in the",
        "paragraph_id": "para_502"
      },
      {
        "text": "registrant or offering speculative or risky. This",
        "paragraph_id": "para_503"
      },
      {
        "text": "discussion must be concise and organized",
        "paragraph_id": "para_504"
      },
      {
        "text": "logically. Do not present risks that could apply",
        "paragraph_id": "para_505"
      },
      {
        "text": "generically to any registrant or any offering.",
        "paragraph_id": "para_506"
      },
      {
        "text": "Explain how the risk affects the registrant or the",
        "paragraph_id": "para_507"
      },
      {
        "text": "securities being offered. Set forth each risk factor",
        "paragraph_id": "para_508"
      },
      {
        "text": "under a subcaption that adequately describes the",
        "paragraph_id": "para_509"
      },
      {
        "text": "risk. . . . The registrant must furnish this",
        "paragraph_id": "para_510"
      },
      {
        "text": "information in plain English.",
        "paragraph_id": "para_511"
      },
      {
        "text": "17 C.F.R. § 229.105. While “regulations can sometimes make",
        "paragraph_id": "para_512"
      },
      {
        "text": "the eyes glaze over,” Kisor, 139 S. Ct. at 2415, readers easily",
        "paragraph_id": "para_513"
      },
      {
        "text": "understand Item 105 to require issuers to disclose the most",
        "paragraph_id": "para_514"
      },
      {
        "text": "significant factors known to make an investment speculative or",
        "paragraph_id": "para_515"
      },
      {

        "text": "risky. And those factors should be (a) concise and organized;",
        "paragraph_id": "para_517",
        "court_paragraph": 19

        "text": "(b) specific, not generic; and (c) include an explanation",
        "paragraph_id": "para_518"
      },
      {
        "text": "connecting the risks to the offer.10 17 C.F.R. § 229.105.",
        "paragraph_id": "para_519"
      },
      {
        "text": "Language in guidance from the SEC details these",
        "paragraph_id": "para_520"
      },
      {
        "text": "requirements. See Kisor, 139 S. Ct. at 2415 (discussing the",
        "paragraph_id": "para_521"
      },
      {
        "text": "traditional “legal toolkit” of “text, structure, history, and",
        "paragraph_id": "para_522"
      },
      {
        "text": "purpose of a regulation”); see also Krieger v. Bank of Am.,",
        "paragraph_id": "para_523"
      },
      {
        "text": "N.A., 890 F.3d 429, 438–39 (3d Cir. 2018) (discussing agency",
        "paragraph_id": "para_524"
      },
      {
        "text": "guidance to inform ordinary meaning). A 1999 legal bulletin is",
        "paragraph_id": "para_525"
      },
      {
        "text": "particularly helpful. See SEC Division of Corporation Finance:",
        "paragraph_id": "para_526"
      },
      {
        "text": "Updated Staff Legal Bulletin No. 7, “Plain English",
        "paragraph_id": "para_527"
      },
      {
        "text": "Disclosure,” Release No. SLB-7, 1999 WL 34984247 (June 7,",
        "paragraph_id": "para_528"
      },
      {
        "text": "1999). Under the section titled “Risk Factor Guidance,” the",
        "paragraph_id": "para_529"
      },
      {
        "text": "SEC explains that “issuers should not present risks that could",
        "paragraph_id": "para_530"
      },
      {
        "text": "apply to any issuer or any offering.” Id. at *1. The SEC also",
        "paragraph_id": "para_531"
      },
      {
        "text": "explains that Item 105 risk factors fall loosely into three broad",
        "paragraph_id": "para_532"
      },
      {
        "text": "categories:",
        "paragraph_id": "para_533"
      },
      {
        "text": "Industry Risk — risks companies face by virtue",
        "paragraph_id": "para_534"
      },
      {
        "text": "of the industry they’re in. For example, many",
        "paragraph_id": "para_535"
      },
      {
        "text": "[real estate investment trusts] run the risk that,",
        "paragraph_id": "para_536"
      },
      {
        "text": "10 The parties do not argue that Section 229.105 creates",
        "paragraph_id": "para_537"
      },
      {
        "text": "an independent cause of action. Cf. Oran v. Stafford, 226 F.3d",
        "paragraph_id": "para_538"
      },
      {
        "text": "275, 287–88 (3d Cir. 2000) (concluding that Item 303 does not",
        "paragraph_id": "para_539"
      },
      {
        "text": "create an independent cause of action for private plaintiffs).",
        "paragraph_id": "para_540"
      },
      {
        "text": "And we note that neither the language of Section 229.105, nor",
        "paragraph_id": "para_541"
      },
      {
        "text": "the SEC’s interpretative guidance suggests that it does. Id. at",
        "paragraph_id": "para_542"
      },
      {
        "text": "287. So our inquiry turns on whether the duty of disclosure",
        "paragraph_id": "para_543"
      },
      {
        "text": "mandated by Item 105, if violated, constitutes a material",
        "paragraph_id": "para_544"
      },
      {
        "text": "omission or misrepresentation under the standards of Section",
        "paragraph_id": "para_545"
      },
      {
        "text": "14(a) and its regulations.",
        "paragraph_id": "para_546"
      },
      {

        "text": "despite due diligence, they will acquire",
        "paragraph_id": "para_548",
        "court_paragraph": 20
      },
      {
        "text": "properties with significant environmental issues.",
        "paragraph_id": "para_549"
      },
      {
        "text": "Company Risk — risks that are specific to the",
        "paragraph_id": "para_550"
      },
      {
        "text": "company. For example, a [real estate investment",
        "paragraph_id": "para_551"
      },
      {
        "text": "trust] owns four properties with significant",
        "paragraph_id": "para_552"
      },
      {
        "text": "environmental issues and cleaning up these",
        "paragraph_id": "para_553"
      },
      {
        "text": "properties will be a serious financial drain.",
        "paragraph_id": "para_554"
      },
      {
        "text": "Investment Risk — risks that are specifically",
        "paragraph_id": "para_555"
      },
      {
        "text": "tied to a security. For example, in a debt offering,",
        "paragraph_id": "para_556"
      },
      {
        "text": "the debt being offered is the most junior",
        "paragraph_id": "para_557"
      },
      {
        "text": "subordinated debt of the company.",
        "paragraph_id": "para_558"
      },
      {
        "text": "When drafting risk factors, be sure to specifically",
        "paragraph_id": "para_559"
      },
      {
        "text": "link each risk to your industry, company, or",
        "paragraph_id": "para_560"
      },
      {
        "text": "investment, as applicable.",
        "paragraph_id": "para_561"
      },
      {
        "text": "Id. at *5–6.",
        "paragraph_id": "para_562"
      },
      {
        "text": "The bulletin includes a few illustrations contrasting a",
        "paragraph_id": "para_563"
      },
      {
        "text": "generic discussion with a satisfactory disclosure. Id. at *1, *6–",
        "paragraph_id": "para_564"
      },
      {
        "text": "7. Here’s one example:",
        "paragraph_id": "para_565"
      },
      {
        "text": "Before:",

      {
        "text": "Competition",
        "paragraph_id": "para_567"
      },
      {
        "text": "The lawn care industry is highly competitive.",
        "paragraph_id": "para_568"
      },
      {
        "text": "The Company competes for commercial and",
        "paragraph_id": "para_569"
      },
      {
        "text": "retail customers with national lawn care service",
        "paragraph_id": "para_570"
      },
      {
        "text": "providers, lawn care product manufacturers with",
        "paragraph_id": "para_571"
      },
      {
        "text": "service components, and other local and regional",
        "paragraph_id": "para_572"
      },
      {

        "text": "producers and operators. Many of these",
        "paragraph_id": "para_574",

      {
        "text": "competitors have substantially greater financial",
        "paragraph_id": "para_575"
      },
      {
        "text": "and other resources than the Company.",
        "paragraph_id": "para_576"
      },
      {
        "text": "After:",
        "paragraph_id": "para_577"
      },
      {
        "text": "Because we are significantly smaller than the",
        "paragraph_id": "para_578"
      },
      {
        "text": "majority of our national competitors, we may",
        "paragraph_id": "para_579"
      },
      {
        "text": "lack the financial resources needed to capture",
        "paragraph_id": "para_580"
      },
      {
        "text": "increased market share.",
        "paragraph_id": "para_581"
      },
      {
        "text": "Based on total assets and annual revenues, we are",
        "paragraph_id": "para_582"
      },
      {
        "text": "significantly smaller than the majority of our",
        "paragraph_id": "para_583"
      },
      {
        "text": "national competitors: we are one-third the size of",
        "paragraph_id": "para_584"
      },
      {
        "text": "our next largest national competitor. If we",
        "paragraph_id": "para_585"
      },
      {
        "text": "compete with them for the same geographical",
        "paragraph_id": "para_586"
      },
      {
        "text": "markets, their financial strength could prevent us",
        "paragraph_id": "para_587"
      },
      {
        "text": "from capturing those markets.",
        "paragraph_id": "para_588"
      },
      {
        "text": "For example, our largest competitor did the",
        "paragraph_id": "para_589"
      },
      {
        "text": "following when it aggressively expanded five",
        "paragraph_id": "para_590"
      },
      {
        "text": "years ago:",
        "paragraph_id": "para_591"
      },
      {
        "text": "• launched extensive print and television",
        "paragraph_id": "para_592"
      },
      {
        "text": "campaigns to advertise their entry into new",
        "paragraph_id": "para_593"
      },
      {
        "text": "markets;",
        "paragraph_id": "para_594"
      },
      {
        "text": "• discounted their services for extended periods",
        "paragraph_id": "para_595"
      },
      {
        "text": "of time to attract new customers; and",
        "paragraph_id": "para_596"
      },
      {
        "text": "• provided enhanced customer service during the",
        "paragraph_id": "para_597"
      },
      {
        "text": "initial phases of these new relationships.",
        "paragraph_id": "para_598"
      },
      {
        "text": "22",
        "paragraph_id": "para_599"
      },
      {
        "text": "Our national competitors likely have the",
        "paragraph_id": "para_600",
        "court_paragraph": 22
      },
      {
        "text": "financial resources to do the same, and we do not",
        "paragraph_id": "para_601"
      },
      {
        "text": "have the financial resources needed to compete",
        "paragraph_id": "para_602"
      },
      {
        "text": "on this level.",
        "paragraph_id": "para_603"
      },
      {
        "text": "Because our local competitors are better",
        "paragraph_id": "para_604"
      },
      {
        "text": "positioned to capitalize on the industry’s fastest",
        "paragraph_id": "para_605"
      },
      {
        "text": "growing markets, we may emerge from this",
        "paragraph_id": "para_606"
      },
      {
        "text": "period of growth with only a modest increase in",
        "paragraph_id": "para_607"
      },
      {
        "text": "market share, at best.",
        "paragraph_id": "para_608"
      },
      {
        "text": "Industry experts predict that the smaller,",
        "paragraph_id": "para_609"
      },
      {
        "text": "secondary markets throughout the mid-west will",
        "paragraph_id": "para_610"
      },
      {
        "text": "soon experience explosive growth. We have",
        "paragraph_id": "para_611"
      },
      {
        "text": "forecasted that about 17% of our future long-",
        "paragraph_id": "para_612"
      },
      {
        "text": "term growth will come from these markets.",
        "paragraph_id": "para_613"
      },
      {
        "text": "However, because it is common practice for",
        "paragraph_id": "para_614"
      },
      {
        "text": "lawn care companies in smaller markets to",
        "paragraph_id": "para_615"
      },
      {
        "text": "acquire customers through personal",
        "paragraph_id": "para_616"
      },
      {
        "text": "relationships, our competitors in nearly half of",
        "paragraph_id": "para_617"
      },
      {
        "text": "these mid-west markets are better positioned to",
        "paragraph_id": "para_618"
      },
      {
        "text": "capitalize on this anticipated explosive growth.",
        "paragraph_id": "para_619"
      },
      {
        "text": "Unlike us, these local competitors live and work",
        "paragraph_id": "para_620"
      },
      {
        "text": "in the same communities as their and our",
        "paragraph_id": "para_621"
      },
      {
        "text": "potential customers.",
        "paragraph_id": "para_622"
      },
      {
        "text": "For the foreseeable future, the majority of our",
        "paragraph_id": "para_623"
      },
      {
        "text": "sales people who cover these markets will work",
        "paragraph_id": "para_624"
      },
      {
        "text": "out of our two mid-west regional offices because",
        "paragraph_id": "para_625"
      },
      {
        "text": "we lack the financial resources to open local",
        "paragraph_id": "para_626"
      },
      {
        "text": "offices at this time. As a result, we may",
        "paragraph_id": "para_627"
      },
      {
        "text": "substantially fail to realize our forecasted 17%",
        "paragraph_id": "para_628"
      },
      {
        "text": "long-term growth from these markets.",
        "paragraph_id": "para_629"
      },
      {
        "text": "23",
        "paragraph_id": "para_630"
      },
      {
        "text": "Id. at *6. In short, while Item 105 seeks a “concise”",
        "paragraph_id": "para_631",
        "court_paragraph": 23
      },
      {
        "text": "discussion, free of generic and generally applicable risks, it",
        "paragraph_id": "para_632"
      },
      {
        "text": "requires more than a short and cursory overview and instead",
        "paragraph_id": "para_633"
      },
      {
        "text": "asks for a full discussion of the relevant factors.11 17 C.F.R.",
        "paragraph_id": "para_634"
      },
      {
        "text": "§ 229.105. That, as we will see, is where the Joint Proxy fell,",
        "paragraph_id": "para_635"
      },
      {
        "text": "in a word, short.",
        "paragraph_id": "para_636"
      },
      {
        "text": "ii. Interpretative Guidance from Other",
        "paragraph_id": "para_637"
      },
      {
        "text": "Courts",
        "paragraph_id": "para_638"
      },
      {
        "text": "Two cases considering the scope of adequate",
        "paragraph_id": "para_639"
      },
      {
        "text": "disclosures under Item 105 are also instructive. In Silverstrand",
        "paragraph_id": "para_640"
      },
      {
        "text": "Investments v. AMAG Pharmaceuticals, Inc., the First Circuit",
        "paragraph_id": "para_641"
      },
      {
        "text": "identified plausible allegations that a pharmaceutical",
        "paragraph_id": "para_642"
      },
      {
        "text": "company’s offering documents failed to adequately convey",
        "paragraph_id": "para_643"
      },
      {
        "text": "risks associated with a clinical drug. 707 F.3d 95, 108 (1st Cir.",
        "paragraph_id": "para_644"
      },
      {
        "text": "2013). In the offering, the company included details about the",
        "paragraph_id": "para_645"
      },
      {
        "text": "FDA approval process and the results of clinical trials. Id. at",
        "paragraph_id": "para_646"
      },
      {
        "text": "98–99. But the company did not disclose almost two dozen",
        "paragraph_id": "para_647"
      },
      {
        "text": "“Serious Adverse Events” it had reported to the FDA. Id. at 99.",
        "paragraph_id": "para_648"
      },
      {
        "text": "Instead, the offering noted only “ongoing FDA regulatory",
        "paragraph_id": "para_649"
      },
      {
        "text": "requirements” that carry the risk of “restrictions on our ability",
        "paragraph_id": "para_650"
      },
      {
        "text": "to market and sell” and other “sanctions.” Id. Reviewing both",
        "paragraph_id": "para_651"
      },
      {
        "text": "the language of the regulation and the SEC’s interpretive",
        "paragraph_id": "para_652"
      },
      {
        "text": "11 As the SEC explains, “[t]he goal of plain English is",
        "paragraph_id": "para_653"
      },
      {
        "text": "clarity, not brevity. Writing disclosure in plain English can",
        "paragraph_id": "para_654"
      },
      {
        "text": "sometimes increase the length of particular sections of your",
        "paragraph_id": "para_655"
      },
      {
        "text": "prospectus. You will likely reduce the length of your plain",
        "paragraph_id": "para_656"
      },
      {
        "text": "English prospectus by writing concisely and eliminating",
        "paragraph_id": "para_657"
      },
      {
        "text": "redundancies — not by eliminating substance.” See SEC Legal",
        "paragraph_id": "para_658"
      },
      {
        "text": "Bulletin No. 7, 1999 WL 34984247, at *5.",
        "paragraph_id": "para_659"
      },
      {
        "text": "24",
        "paragraph_id": "para_660"

      {
        "text": "guidance, the First Circuit held that “a complaint alleging",
        "paragraph_id": "para_661",
        "court_paragraph": 24
      },
      {
        "text": "omissions of Item [105] risks needs to allege sufficient facts to",
        "paragraph_id": "para_662"
      },
      {
        "text": "infer that a registrant knew, as of the time of an offering, that .",
        "paragraph_id": "para_663"
      },
      {
        "text": ". . a risk factor existed.” Id. at 103. And given the many adverse",
        "paragraph_id": "para_664"
      },
      {
        "text": "reports the company submitted to the FDA, the court",
        "paragraph_id": "para_665"
      },
      {
        "text": "concluded the allegations “more than suffice” to plead a",
        "paragraph_id": "para_666"
      },
      {
        "text": "plausible claim of undisclosed risk. Id. at 104.",
        "paragraph_id": "para_667"
      },
      {
        "text": "Compare those facts to City of Pontiac Policemen’s and",
        "paragraph_id": "para_668"
      },
      {
        "text": "Firemen’s Retirement System v. UBS AG, 752 F.3d 173, 183–",
        "paragraph_id": "para_669"
      },
      {
        "text": "84 (2d Cir. 2014), alleging that UBS engaged in a tax evasion",
        "paragraph_id": "para_670"
      },
      {
        "text": "scheme. Following the indictment of UBS employees, the",
        "paragraph_id": "para_671"
      },
      {
        "text": "company disclosed “multiple legal proceedings and",
        "paragraph_id": "para_672"
      },
      {
        "text": "government investigations” showing exposure “to substantial",
        "paragraph_id": "para_673"
      },
      {
        "text": "monetary damages and legal defense costs,” along with",
        "paragraph_id": "para_674"
      },
      {
        "text": "“criminal and civil penalties, and the potential for regulatory",
        "paragraph_id": "para_675"
      },
      {
        "text": "restrictions.” Id. at 184 (internal brackets omitted). Not",
        "paragraph_id": "para_676"
      },
      {
        "text": "enough, argued plaintiffs, claiming UBS was also required to",
        "paragraph_id": "para_677"
      },
      {
        "text": "disclose that the fraudulent activity was, in fact, still ongoing.",
        "paragraph_id": "para_678"
      },
      {
        "text": "Id. The Second Circuit sharply disagreed because “disclosure",
        "paragraph_id": "para_679"
      },
      {
        "text": "is not a rite of confession, and companies do not have a duty to",
        "paragraph_id": "para_680"
      },
      {
        "text": "disclose uncharged, unadjudicated wrongdoing.” Id. (internal",
        "paragraph_id": "para_681"
      },
      {
        "text": "quotation marks and footnote omitted). To the contrary, by",
        "paragraph_id": "para_682"
      },
      {
        "text": "disclosing the litany of possible problems that could flow from",
        "paragraph_id": "para_683"
      },
      {
        "text": "these investigations, UBS complied with the directive of Item",
        "paragraph_id": "para_684"
      },
      {
        "text": "105. Id.",
        "paragraph_id": "para_685"
      },
      {
        "text": "Both decisions rest soundly on the text of Item 105.",
        "paragraph_id": "para_686"
      },
      {
        "text": "First, a cause of action for failing to disclose a material risk",
        "paragraph_id": "para_687"
      },
      {
        "text": "naturally requires an allegation that a known risk factor existed",
        "paragraph_id": "para_688"
      },
      {
        "text": "at the time of the offering. Silverstrand, 707 F.3d at 103.",
        "paragraph_id": "para_689"
      },
      {
        "text": "Second, in keeping with Item 105’s call for a concise, not all-",
        "paragraph_id": "para_690"
      },
      {
        "text": "inclusive disclosure, registrants need not list speculative facts",
        "paragraph_id": "para_691"
      },
      {
        "text": "25",

      {
        "text": "or unproven allegations, even if they fit within one of the",
        "paragraph_id": "para_693",
        "court_paragraph": 25
      },
      {
        "text": "identified factors. City of Pontiac, 752 F.3d at 184. And the",
        "paragraph_id": "para_694"
      },
      {
        "text": "two standards reflect the outcomes. The registrant in",
        "paragraph_id": "para_695"
      },
      {
        "text": "Silverstrand allegedly knew that the FDA would scrutinize the",
        "paragraph_id": "para_696"
      },
      {
        "text": "reported effects of its product, a gaze that carried specific risks",
        "paragraph_id": "para_697"
      },
      {
        "text": "to their business. So allegations of failing to disclose that factor",
        "paragraph_id": "para_698"
      },
      {
        "text": "was enough to state a claim. Compare that to the filer in City",
        "paragraph_id": "para_699"
      },
      {
        "text": "of Pontiac who packed the proxy with a host of risks focused",
        "paragraph_id": "para_700"
      },
      {
        "text": "on the company, its practices, the problems, and the possible",
        "paragraph_id": "para_701"
      },
      {
        "text": "penalties. Asking for more, as the Second Circuit noted, would",
        "paragraph_id": "para_702"
      },
      {
        "text": "create a new obligation grounded in guesswork.",
        "paragraph_id": "para_703"
      },
      {
        "text": "iii. M&T’s Disclosure in the Joint Proxy",
        "paragraph_id": "para_704"
      },
      {
        "text": "Lacks Description and Context of Its",
        "paragraph_id": "para_705"
      },
      {
        "text": "Compliance Risks",
        "paragraph_id": "para_706"
      },
      {
        "text": "With these parameters, the shortcomings in M&T’s",
        "paragraph_id": "para_707"
      },
      {
        "text": "proxy become clear. M&T omitted company-specific detail",
        "paragraph_id": "para_708"
      },
      {
        "text": "about its compliance program. Yet M&T knew that the state of",
        "paragraph_id": "para_709"
      },
      {
        "text": "its compliance program would be subject to extensive review",
        "paragraph_id": "para_710"
      },
      {
        "text": "from federal regulators. And it understood that failure to pass",
        "paragraph_id": "para_711"
      },
      {

        "text": "M&T had a duty to disclose more than generic information",
        "paragraph_id": "para_713"
      },
      {
        "text": "about the regulatory scrutiny that lay ahead. Instead, and",
        "paragraph_id": "para_714"
      },
      {
        "text": "contrary to the ordinary language of Item 105, it offered",
        "paragraph_id": "para_715"
      },
      {
        "text": "breadth where depth is required.",
        "paragraph_id": "para_716"
      },
      {
        "text": "Start with the allegations about the BSA/AML",
        "paragraph_id": "para_717"
      },
      {
        "text": "compliance program. The Joint Proxy stated that “[c]ompletion",
        "paragraph_id": "para_718"
      },
      {
        "text": "of the merger . . . [is] subject to the receipt of all [regulatory]",
        "paragraph_id": "para_719"
      },
      {
        "text": "approvals,” a process that includes review of “the effectiveness",
        "paragraph_id": "para_720"
      },
      {
        "text": "of the companies in combatting money laundering.” (App. at",
        "paragraph_id": "para_721"
      },
      {
        "text": "A1017–18.) It noted that “we cannot be certain when or if we",
        "paragraph_id": "para_722"
      },
      {
        "text": "26",
        "paragraph_id": "para_723"
      },
      {
        "text": "will obtain [the regulatory approvals] or, if obtained, whether",
        "paragraph_id": "para_724",
        "court_paragraph": 26
      },
      {
        "text": "they will contain terms, conditions, or restrictions not currently",
        "paragraph_id": "para_725"
      },
      {
        "text": "contemplated.” (App. at A1017). And, “[l]ike all businesses,",
        "paragraph_id": "para_726"
      },
      {
        "text": "M&T is subject to operational risk, which represents the risk",
        "paragraph_id": "para_727"
      },
      {
        "text": "of loss resulting from human error, inadequate or failed",
        "paragraph_id": "para_728"
      },
      {
        "text": "internal processes and systems, and external events.” (App. at",
        "paragraph_id": "para_729"
      },
      {
        "text": "A0245.) Such “[o]perational risk,” the Joint Proxy noted, “also",
        "paragraph_id": "para_730"
      },
      {
        "text": "encompasses reputational risk and compliance and legal risk,",
        "paragraph_id": "para_731"
      },
      {
        "text": "which is the risk of loss from violations of, or noncompliance",
        "paragraph_id": "para_732"
      },
      {
        "text": "with, laws, rules, regulations, prescribed practices or ethical",
        "paragraph_id": "para_733"
      },
      {
        "text": "standards, as well as the risk of noncompliance with",
        "paragraph_id": "para_734"
      },
      {
        "text": "contractual and other obligations.” (App. at A0245.) And",
        "paragraph_id": "para_735"
      },
      {
        "text": "“[a]lthough M&T seeks to mitigate operational risk through a",
        "paragraph_id": "para_736"
      },
      {
        "text": "system of internal controls . . . , no system of controls . . . is",
        "paragraph_id": "para_737"
      },
      {
        "text": "infallible.” (App. at A0246). Any “[c]ontrol weaknesses or",
        "paragraph_id": "para_738"
      },
      {
        "text": "failures or other operational risks could result in charges,",
        "paragraph_id": "para_739"
      },
      {
        "text": "increased operational costs, harm to M&T’s reputation or",
        "paragraph_id": "para_740"
      },
      {
        "text": "foregone business opportunities.” (App. at A0246.)",
        "paragraph_id": "para_741"
      },
      {
        "text": "So M&T identified that the merger hinged on obtaining",
        "paragraph_id": "para_742"
      },
      {
        "text": "regulatory approval. And it singled out that determining the",
        "paragraph_id": "para_743"
      },
      {
        "text": "effectiveness of its BSA/AML program would be crucial to",
        "paragraph_id": "para_744"
      },
      {
        "text": "obtaining that approval. In fact, in “every case under the Bank",
        "paragraph_id": "para_745"
      },
      {
        "text": "Merger Act” the “[Federal Reserve] Board must take into",
        "paragraph_id": "para_746"
      },
      {
        "text": "consideration . . . records of compliance with anti-money-",
        "paragraph_id": "para_747"
      },
      {
        "text": "laundering laws.”12 (App. at 1083 (emphasis added).) As M&T",
        "paragraph_id": "para_748"
      },
      {
        "text": "12 Other sources similarly support this conclusion. In its",

      },
      {
        "text": "2010 BSA/AML Examination Manual, the Federal Financial",
        "paragraph_id": "para_750"
      },
      {
        "text": "Institutions Examination Council (“FFIEC”) called Title III of",
        "paragraph_id": "para_751"
      },
      {
        "text": "the USA PATRIOT Act “arguably the single most significant",
        "paragraph_id": "para_752"
      },
      {
        "text": "AML law that Congress enacted since the BSA itself.” FFIEC,",
        "paragraph_id": "para_753"
      },
      {
        "text": "27",
        "paragraph_id": "para_754"
      },
      {
        "text": "even noted, the Board is responsible for evaluating BSA/AML",
        "paragraph_id": "para_755",
        "court_paragraph": 27
      },
      {
        "text": "compliance under the authority of two separate statutes:",
        "paragraph_id": "para_756"
      },
      {
        "text": "Section 4 of the Bank Holding Company Act of 1956 and",
        "paragraph_id": "para_757"
      },
      {
        "text": "Section 18(c) of the Federal Deposit Insurance Act. (App. at",
        "paragraph_id": "para_758"
      },
      {
        "text": "A1018.) And so we have no difficulty concluding that the",
        "paragraph_id": "para_759"
      },
      {
        "text": "regulatory review process posed a significant risk to the merger",
        "paragraph_id": "para_760"
      },
      {
        "text": "that would make it speculative or risky. Put another way, M&T",
        "paragraph_id": "para_761"
      },
      {
        "text": "mentioned that regulatory hoops stood between the proposed",
        "paragraph_id": "para_762"
      },
      {
        "text": "merger and a final deal.",
        "paragraph_id": "para_763"
      },
      {
        "text": "But M&T failed to discuss just how treacherous",
        "paragraph_id": "para_764"
      },
      {
        "text": "jumping through those hoops would be. Instead, M&T offered",
        "paragraph_id": "para_765"
      },
      {
        "text": "Bank Secrecy Act/ Anti-Money Laundering Examination",

      },
      {

        "text": "In both the 2010 Manual and the updated 2014 Manual,",
        "paragraph_id": "para_769"
      },
      {
        "text": "the FFIEC warned that bank management “must be vigilant”",
        "paragraph_id": "para_770"
      },
      {
        "text": "in BSA/AML compliance and stated: “Banks should take",
        "paragraph_id": "para_771"
      },
      {
        "text": "reasonable and prudent steps to combat money laundering and",
        "paragraph_id": "para_772"
      },
      {
        "text": "terrorist financing and to minimize their vulnerability to the",
        "paragraph_id": "para_773"
      },
      {
        "text": "risk associated with such activities. Some banking",
        "paragraph_id": "para_774"
      },
      {
        "text": "organizations have damaged their reputations and have been",
        "paragraph_id": "para_775"
      },
      {
        "text": "required to pay civil money penalties for failing to implement",
        "paragraph_id": "para_776"
      },
      {
        "text": "adequate controls within their organization resulting in",
        "paragraph_id": "para_777"
      },
      {
        "text": "noncompliance with the BSA.” See FFIEC, Bank Secrecy Act/",
        "paragraph_id": "para_778"
      },
      {
        "text": "Anti-Money Laundering Examination Manual 10 (2010),",
        "paragraph_id": "para_779"
      },
      {

        "text": "in a regulated environment. In fact, M&T said that: “[l]ike all",
        "paragraph_id": "para_786"
      },
      {
        "text": "businesses,” it was subject to regulatory risk. (App. at A0245.)",
        "paragraph_id": "para_787"
      },
      {
        "text": "Contrary to Item 105’s directive, M&T’s explanation of the",
        "paragraph_id": "para_788"
      },
      {
        "text": "regulatory review process offered no details and no more than",
        "paragraph_id": "para_789"
      },
      {
        "text": "“[g]eneric or boilerplate discussions [that] do not [explain] . . .",
        "paragraph_id": "para_790"
      },
      {
        "text": "the risks.” Silverstrand, 707 F.3d at 103.",
        "paragraph_id": "para_791"
      },
      {
        "text": "Indeed, M&T’s generic statement about money",
        "paragraph_id": "para_792"
      },
      {
        "text": "laundering compliance is not far from the risk statement",
        "paragraph_id": "para_793"
      },
      {
        "text": "offered in SEC guidance as inadequate. As recommended by",
        "paragraph_id": "para_794"
      },
      {
        "text": "the SEC’s guidance, M&T should have “specifically link[ed]”",
        "paragraph_id": "para_795"
      },
      {
        "text": "its general statements to “each risk to [its] industry, company,",
        "paragraph_id": "para_796"
      },
      {
        "text": "or investment” using details that connected the pending merger",
        "paragraph_id": "para_797"
      },
      {
        "text": "review to its existing and anticipated business lines.13 SEC",
        "paragraph_id": "para_798"
      },
      {
        "text": "Legal Bulletin No. 7, 1999 WL 34984247, at *6. But such",
        "paragraph_id": "para_799"
      },
      {
        "text": "concise and plain discussions of the significance of regulatory",
        "paragraph_id": "para_800"
      },
      {
        "text": "review, framed in the context of M&T’s particular business",
        "paragraph_id": "para_801"
      },
      {
        "text": "and industry, are absent from the Joint Proxy. As a result, the",
        "paragraph_id": "para_802"
      },
      {
        "text": "Shareholders have plausibly alleged that had M&T disclosed",
        "paragraph_id": "para_803"
      },
      {
        "text": "the state of its BSA/AML program in the context of regulatory",
        "paragraph_id": "para_804"
      },
      {
        "text": "scrutiny that program would face, “there is a substantial",
        "paragraph_id": "para_805"
      },
      {
        "text": "likelihood that a reasonable shareholder would [have]",
        "paragraph_id": "para_806"
      },
      {
        "text": "consider[ed] it important in deciding how to vote.”14 Seinfeld,",
        "paragraph_id": "para_807"
      },
      {
        "text": "13 The only specificity on the subject appears in M&T’s",

      {
        "text": "incorporated 2011 Annual Report stating, in sharp contrast,",
        "paragraph_id": "para_809"
      },
      {
        "text": "that it had in place “approved policies and procedures believed",
        "paragraph_id": "para_810"
      },
      {
        "text": "to comply with the USA Patriot Act.” (App. at A1028.)",
        "paragraph_id": "para_811"
      },
      {
        "text": "14 M&T insists that even if the Proxy Statement",
        "paragraph_id": "para_812"
      },
      {
        "text": "warnings could insufficiently state the BSA/AML deficiencies,",
        "paragraph_id": "para_813"
      },
      {

      },
      {
        "text": "461 F.3d at 369.",
        "paragraph_id": "para_815",
        "court_paragraph": 29

      {
        "text": "M&T’s discussions about the problems surrounding its",
        "paragraph_id": "para_816"
      },
      {
        "text": "consumer checking practice are likewise deficient. Here, the",
        "paragraph_id": "para_817"
      },
      {
        "text": "Shareholders claim that M&T was, in fact, aware of the",
        "paragraph_id": "para_818"
      },
      {
        "text": "malpractice. The Second Amended Complaint alleges that",
        "paragraph_id": "para_819"
      },
      {
        "text": "M&T’s faulty practice—first offering free checking, then",
        "paragraph_id": "para_820"
      },
      {
        "text": "switching customers to accounts carrying fees—pre-dated the",
        "paragraph_id": "para_821"
      },
      {
        "text": "merger agreement. The Joint Proxy did not mention the non-",
        "paragraph_id": "para_822"
      },
      {
        "text": "compliant practice or the company’s steps to remediate the",
        "paragraph_id": "para_823"
      },
      {
        "text": "action. And unlike the BSA/AML deficiencies, M&T did not",
        "paragraph_id": "para_824"
      },
      {
        "text": "later attempt to cure its omission—even as it became aware that",
        "paragraph_id": "para_825"
      },
      {
        "text": "the merger faced indefinite delays upon learning of the",
        "paragraph_id": "para_826"
      },
      {
        "text": "regulatory investigation into the BSA/AML deficiencies. The",
        "paragraph_id": "para_827"
      },
      {
        "text": "Shareholders ask that we infer that the consumer checking",
        "paragraph_id": "para_828"
      },
      {
        "text": "practices cast doubt on M&T’s controls and compliance",
        "paragraph_id": "para_829"
      },
      {
        "text": "systems, and posed an independent regulatory risk to the",
        "paragraph_id": "para_830"
      },
      {
        "text": "merger material enough that a reasonable shareholder would",
        "paragraph_id": "para_831"
      },
      {
        "text": "consider it important in deciding how to vote. On these facts,",
        "paragraph_id": "para_832"
      },
      {
        "text": "that inference is reasonable.",
        "paragraph_id": "para_833"
      },
      {
        "text": "at least the “supplemental disclosures” ensured that “no",
        "paragraph_id": "para_834"
      },
      {
        "text": "reasonable shareholder would have been misled about the",
        "paragraph_id": "para_835"
      },
      {
        "text": "regulatory hurdles the merger faced.” (Response Br. at 35.) But",
        "paragraph_id": "para_836"
      },
      {
        "text": "the supplemental disclosures plausibly failed to cure the defect",
        "paragraph_id": "para_837"
      },
      {
        "text": "that had already occurred given the omitted risks—both on the",
        "paragraph_id": "para_838"
      },
      {
        "text": "lateness of its release and the sufficiency of the information",
        "paragraph_id": "para_839"
      },
      {
        "text": "conveyed. Least to say, the effect of the supplemental",
        "paragraph_id": "para_840"
      },
      {
        "text": "disclosures raises an issue of fact, which precludes dismissal",
        "paragraph_id": "para_841"
      },
      {
        "text": "for now.",
        "paragraph_id": "para_842"
      },
      {
        "text": "30",
        "paragraph_id": "para_843"
      },
      {
        "text": "iv. Concision is Not Clairvoyance",
        "paragraph_id": "para_844",
        "court_paragraph": 30
      },
      {
        "text": "M&T contends that this appeal “presents the question",
        "paragraph_id": "para_845"
      },
      {
        "text": "whether filers of stock-based merger proxies are obligated, . . .",
        "paragraph_id": "para_846"
      },
      {
        "text": "to predict regulatory action before it occurs.” (Appellees’",
        "paragraph_id": "para_847"
      },
      {
        "text": "Supp. Br. at 1.) Indeed, Item 105 does not. Another regulation,",
        "paragraph_id": "para_848"
      },
      {
        "text": "Item 103, does require disclosure of potential or present",
        "paragraph_id": "para_849"
      },
      {
        "text": "litigation or regulatory enforcement. 17 CFR § 229.103. So the",
        "paragraph_id": "para_850"
      },
      {
        "text": "“risk factors” requiring disclosure under Item 105 are separate",
        "paragraph_id": "para_851"
      },
      {
        "text": "from legal risks under Item 103. But M&T’s contention",
        "paragraph_id": "para_852"
      },
      {
        "text": "assumes that only risks that are, or later blossom into,",
        "paragraph_id": "para_853"
      },
      {
        "text": "regulatory enforcement actions require disclosure. Item 105 is",
        "paragraph_id": "para_854"
      },
      {
        "text": "not so narrowly drawn, and we cannot read a line into the law",
        "paragraph_id": "para_855"
      },
      {
        "text": "where one does not exist. See Rotkiske v. Klemm, 140 S. Ct.",
        "paragraph_id": "para_856"
      },
      {
        "text": "355, 360–61 (2019) (“It is a fundamental principle of statutory",
        "paragraph_id": "para_857"
      },
      {
        "text": "interpretation that ‘absent provision[s] cannot be supplied by",
        "paragraph_id": "para_858"
      },
      {
        "text": "the courts.’”) (quoting Scalia & Garner, supra, at 94).",
        "paragraph_id": "para_859"
      },
      {
        "text": "To be clear, we do not hold that the regulatory",
        "paragraph_id": "para_860"
      },
      {
        "text": "enforcement actions by themselves required M&T to disclose",
        "paragraph_id": "para_861"
      },
      {
        "text": "these issues.15 Later litigation or regulatory enforcement does",
        "paragraph_id": "para_862"
      },
      {
        "text": "15 Our decision in General Electric Co. v. Cathcart does",

      },
      {
        "text": "not aid M&T. In Cathcart, we held that “speculative disclosure",
        "paragraph_id": "para_864"
      },
      {
        "text": "[of potential legal claims] is not required under Section 14(a).”",
        "paragraph_id": "para_865"
      },
      {
        "text": "980 F.2d at 935. But Cathcart arose from the alleged failure to",
        "paragraph_id": "para_866"
      },
      {
        "text": "disclose hypothetical future legal claims, particularly claims",
        "paragraph_id": "para_867"
      },
      {
        "text": "against individual directors and officers—not against the",
        "paragraph_id": "para_868"
      },
      {
        "text": "company itself. Id. at 935–36. We concluded that the",
        "paragraph_id": "para_869"
      },
      {
        "text": "defendants had no duty to disclose potential liability without",
        "paragraph_id": "para_870"
      },
      {
        "text": "pending or threatened litigation. Id. at 931. In doing so, we",
        "paragraph_id": "para_871"
      },
      {
        "text": "found that a reasonable shareholder would not find the",
        "paragraph_id": "para_872"
      },
      {
        "text": "31",
        "paragraph_id": "para_873"
      },
      {
        "text": "not create a retroactive duty to disclose. But like the defendants",
        "paragraph_id": "para_874",
        "court_paragraph": 31
      },
      {
        "text": "in Silverstrand, M&T knew the regulators would be looking",
        "paragraph_id": "para_875"
      },
      {
        "text": "into its compliance program, and specifically its BSA/AML",
        "paragraph_id": "para_876"
      },
      {
        "text": "effectiveness. They said so themselves. And they knew the",
        "paragraph_id": "para_877"
      },
      {
        "text": "failure to obtain regulatory approval would be significant,",
        "paragraph_id": "para_878"
      },
      {
        "text": "possibly fatal, to the merger. Yet, unlike the defendants in City",
        "paragraph_id": "para_879"
      },
      {
        "text": "of Pontiac, M&T offered little more than generic statements",
        "paragraph_id": "para_880"
      },
      {
        "text": "about the process of regulatory review. The Shareholders also",
        "paragraph_id": "para_881"
      },
      {
        "text": "allege that M&T knew that its consumer checking program",
        "paragraph_id": "para_882"
      },
      {
        "text": "skirted regulatory standards, as they claim M&T curtailed its",
        "paragraph_id": "para_883"
      },
      {
        "text": "misconduct shortly after signing the merger agreement. Like",
        "paragraph_id": "para_884"
      },
      {
        "text": "BSA/AML compliance, we can infer this practice posed a",
        "paragraph_id": "para_885"
      },
      {
        "text": "separate and significant regulatory risk to the merger, as",
        "paragraph_id": "para_886"
      },
      {
        "text": "personal checking is a principal business component of any",
        "paragraph_id": "para_887"
      },
      {
        "text": "possibility of future claims against directors and officers to be",
        "paragraph_id": "para_888"
      },
      {
        "text": "material—as opposed to litigation against the company—",
        "paragraph_id": "para_889"
      },
      {
        "text": "unless it ripened into pending or threatened litigation. Id. at",
        "paragraph_id": "para_890"
      },
      {
        "text": "936–37 (concluding that otherwise requiring General Electric",
        "paragraph_id": "para_891"
      },
      {
        "text": "to disclose potential litigation against all of its 280,000",
        "paragraph_id": "para_892"
      },
      {
        "text": "employees would “bury the shareholders in [an] avalanche of",
        "paragraph_id": "para_893"
      },
      {
        "text": "trivial information”). And Cathcart distinguished its",
        "paragraph_id": "para_894"
      },
      {
        "text": "determination of materiality in the context of liability of",
        "paragraph_id": "para_895"
      },
      {
        "text": "directors and officers from materiality in the context of",
        "paragraph_id": "para_896"
      },
      {
        "text": "mergers, “in which the shareholders would understandably",
        "paragraph_id": "para_897"
      },
      {
        "text": "focus on the operation of the company as a whole.” Id. at 937.",
        "paragraph_id": "para_898"
      },
      {
        "text": "Here, it was not the future threat of regulatory action that",
        "paragraph_id": "para_899"
      },
      {
        "text": "triggered the need for disclosure under Item 105. Rather, it was",
        "paragraph_id": "para_900"
      },
      {
        "text": "the failure to disclose the risks associated with the compliance",
        "paragraph_id": "para_901"
      },
      {
        "text": "program. It is thus plausible to conclude that a reasonable",
        "paragraph_id": "para_902"
      },
      {
        "text": "shareholder would consider the failure of M&T’s internal",
        "paragraph_id": "para_903"
      },
      {
        "text": "compliance program on these issues to be a material element",
        "paragraph_id": "para_904"
      },
      {
        "text": "about the company’s operations.",
        "paragraph_id": "para_905"
      },
      {
        "text": "32",
        "paragraph_id": "para_906"
      },
      {
        "text": "consumer bank. And so regulatory review of a bank’s",
        "paragraph_id": "para_907",
        "court_paragraph": 32
      },
      {
        "text": "consumer checking practices as part of a merger would not be",
        "paragraph_id": "para_908"
      },
      {
        "text": "unexpected. But whether M&T had actual knowledge of the",
        "paragraph_id": "para_909"
      },
      {
        "text": "shortcomings in its BSA/AML compliance or its consumer",
        "paragraph_id": "para_910"
      },
      {
        "text": "checking practices is of no moment; it is the risk to the merger",
        "paragraph_id": "para_911"
      },
      {
        "text": "posed by the regulatory inspection itself that triggered the need",
        "paragraph_id": "para_912"
      },
      {
        "text": "for disclosures under Item 105. And the Shareholders have",
        "paragraph_id": "para_913"
      },
      {
        "text": "stated allegations that support a reasonable inference that the",
        "paragraph_id": "para_914"
      },
      {
        "text": "omission of information related to these risks was material, as",
        "paragraph_id": "para_915"
      },
      {
        "text": "evidenced by the threat to the merger caused by the",
        "paragraph_id": "para_916"
      },
      {
        "text": "pervasiveness of these deficiencies. This theory may not",
        "paragraph_id": "para_917"
      },
      {
        "text": "survive discovery, but it is enough for plaintiffs to meet their",
        "paragraph_id": "para_918"
      },
      {
        "text": "pleading burden.",
        "paragraph_id": "para_919"
      },
      {
        "text": "As a result, the Second Amended Complaint plausibly",
        "paragraph_id": "para_920"
      },
      {
        "text": "alleges that the BSA/AML deficiencies and consumer",
        "paragraph_id": "para_921"
      },
      {
        "text": "checking practices posed significant risks to the merger before",
        "paragraph_id": "para_922"
      },
      {
        "text": "M&T issued the Joint Proxy. And based on these allegations,",
        "paragraph_id": "para_923"
      },
      {
        "text": "it’s also plausible that disclosing the weaknesses present in",
        "paragraph_id": "para_924"
      },
      {
        "text": "M&T’s BSA/AML and consumer compliance programs",
        "paragraph_id": "para_925"
      },
      {
        "text": "“would have been viewed by the reasonable investor as having",
        "paragraph_id": "para_926"
      },
      {
        "text": "significantly altered the total mix of information made",
        "paragraph_id": "para_927"
      },
      {
        "text": "available.” EP Medsystems, Inc., 235 F.3d at 872 (internal",

      {
        "text": "their pleading burden.",
        "paragraph_id": "para_930"
      },
      {
        "text": "B. The Shareholders Allege No Misleading Opinions",
        "paragraph_id": "para_931"
      },
      {
        "text": "We agree with the District Court that the Shareholders",
        "paragraph_id": "para_932"
      },
      {
        "text": "failed to allege an actionably misleading opinion statement.",
        "paragraph_id": "para_933"
      },
      {
        "text": "The Supreme Court’s decision in Omnicare provides the",
        "paragraph_id": "para_934"
      },
      {
        "text": "relevant framework, holding that an opinion statement is",
        "paragraph_id": "para_935"
      },
      {
        "text": "misleading if it “omits material facts” about the “inquiry into",
        "paragraph_id": "para_936"
      },
      {
        "text": "33",
        "paragraph_id": "para_937"
      },
      {
        "text": "or knowledge concerning a statement of opinion.” 575 U.S. at",
        "paragraph_id": "para_938",
        "court_paragraph": 33
      },
      {
        "text": "189. But liability attaches only “if those facts conflict with",
        "paragraph_id": "para_939"
      },
      {
        "text": "what a reasonable investor would take from the statement",
        "paragraph_id": "para_940"
      },
      {
        "text": "itself.” Id. Alleging an actionable claim under this theory “is",
        "paragraph_id": "para_941"
      },
      {
        "text": "no small task,” id. at 194, because a reasonable investor",
        "paragraph_id": "para_942"
      },
      {
        "text": "“understand[s] that opinions sometimes rest on a weighing of",
        "paragraph_id": "para_943"
      },
      {
        "text": "competing facts; indeed, the presence of such facts is one",
        "paragraph_id": "para_944"
      },
      {
        "text": "reason why an issuer may frame a statement as an opinion.”16",
        "paragraph_id": "para_945"
      },
      {
        "text": "Id. at 189–90.",
        "paragraph_id": "para_946"
      },
      {
        "text": "The Shareholders’ allegations do not meet this rigorous",
        "paragraph_id": "para_947"
      },
      {
        "text": "benchmark. First, they point to M&T’s opinion on when it",
        "paragraph_id": "para_948"
      },
      {
        "text": "believed the merger might close and the state of its BSA/AML",
        "paragraph_id": "para_949"
      },
      {
        "text": "compliance program in its 2011 Annual Report.17 The",
        "paragraph_id": "para_950"
      },
      {
        "text": "16 We have not considered whether Omnicare applies to",
        "paragraph_id": "para_951"
      },
      {
        "text": "claims brought under the Exchange Act and under",
        "paragraph_id": "para_952"
      },
      {
        "text": "Section 14(a). But it is unnecessary to resolve that question",
        "paragraph_id": "para_953"
      },
      {
        "text": "here. Even assuming Omnicare’s holding applies, the",
        "paragraph_id": "para_954"
      },
      {
        "text": "Shareholders have failed to allege an actionably misleading",
        "paragraph_id": "para_955"
      },
      {
        "text": "opinion.",
        "paragraph_id": "para_956"
      },
      {
        "text": "17 The Joint Proxy states that “[a]lthough we currently",
        "paragraph_id": "para_957"
      },
      {
        "text": "believe we should be able to obtain all required regulatory",
        "paragraph_id": "para_958"
      },
      {
        "text": "approvals in a timely manner, we cannot be certain when or if",
        "paragraph_id": "para_959"
      },
      {
        "text": "we will obtain them or, if obtained, whether they will contain",
        "paragraph_id": "para_960"
      },
      {
        "text": "terms, conditions or restrictions not currently contemplated",
        "paragraph_id": "para_961"
      },
      {
        "text": "that will be detrimental to or have a material adverse effect on",
        "paragraph_id": "para_962"
      },
      {
        "text": "M&T or its subsidiaries after the completion of the merger.”",
        "paragraph_id": "para_963"
      },
      {
        "text": "(App. at A1009 (emphasis added); see also App. at A1017).) It",
        "paragraph_id": "para_964"
      },
      {
        "text": "adds “[t]he Registrant and its impacted subsidiaries have",
        "paragraph_id": "para_965"
      },
      {
        "text": "approved policies and procedures that are believed to be",
        "paragraph_id": "para_966"
      },
      {
        "text": "34",
        "paragraph_id": "para_967"
      },
      {
        "text": "Shareholders argue both are misleading because the opinions",
        "paragraph_id": "para_968",
        "court_paragraph": 34
      },
      {
        "text": "turned out to be wrong. But Omnicare rejected that premise,",
        "paragraph_id": "para_969"
      },
      {
        "text": "holding “a[] [plaintiff] cannot state a claim by alleging only",
        "paragraph_id": "para_970"
      },
      {
        "text": "that an opinion was wrong . . . .” 575 U.S. at 194. As there is",
        "paragraph_id": "para_971"
      },
      {
        "text": "no allegation that M&T offered an insincere opinion, it “is not",
        "paragraph_id": "para_972"
      },
      {
        "text": "an untrue statement of material fact, regardless [of] whether an",
        "paragraph_id": "para_973"
      },
      {
        "text": "investor can ultimately prove the belief wrong.” Id. at 186",
        "paragraph_id": "para_974"
      },
      {
        "text": "(internal quotation marks omitted).",
        "paragraph_id": "para_975"
      },
      {
        "text": "Second, the Shareholders allege the Joint Proxy omitted",
        "paragraph_id": "para_976"
      },
      {
        "text": "facts about the process M&T followed to form its opinions.",
        "paragraph_id": "para_977"
      },
      {
        "text": "They allege, again in conclusory fashion, that M&T and",
        "paragraph_id": "para_978"
      },
      {
        "text": "Hudson acted negligently in reviewing M&T’s compliance",
        "paragraph_id": "para_979"
      },
      {
        "text": "program. The Second Amended Complaint alleges that while",
        "paragraph_id": "para_980"
      },
      {
        "text": "“M&T conducted intensive due diligence” of Hudson “from",
        "paragraph_id": "para_981"
      },
      {
        "text": "June 2012 through August 27, 2012,” by contrast, Hudson did",
        "paragraph_id": "para_982"
      },
      {
        "text": "not begin its “reverse due diligence” until August 20, 2012,",
        "paragraph_id": "para_983"
      },
      {
        "text": "which lasted “at most five business days.” (App. at A0935.)",
        "paragraph_id": "para_984"
      },
      {
        "text": "These efforts, the Shareholders allege, were not enough, and",
        "paragraph_id": "para_985"
      },
      {
        "text": "show that the opinion statements were insufficient. But the",
        "paragraph_id": "para_986"
      },
      {
        "text": "Shareholders omit particular facts about the banks’ conduct.",
        "paragraph_id": "para_987"
      },
      {
        "text": "To begin, the Joint Proxy disclosed the duration of the",
        "paragraph_id": "para_988"
      },
      {
        "text": "due diligence efforts. “[T]o avoid exposure for omissions,” a",
        "paragraph_id": "para_989"
      },
      {
        "text": "speaker “need only divulge an opinion’s basis, or else make",
        "paragraph_id": "para_990"
      },
      {
        "text": "clear the real tentativeness of its belief.” Omnicare, 575 U.S.",
        "paragraph_id": "para_991"
      },
      {
        "text": "at 195. Thus, even if a reasonable investor would have",
        "paragraph_id": "para_992"
      },
      {
        "text": "expected the banks to conduct diligence over a longer period,",
        "paragraph_id": "para_993"
      },
      {
        "text": "the Joint Proxy provided enough information to understand",
        "paragraph_id": "para_994"
      },
      {
        "text": "what the banks did, information enough to decide how to vote.",
        "paragraph_id": "para_995"
      },
      {
        "text": "compliant with the USA Patriot Act.” (App. at A1028",
        "paragraph_id": "para_996"
      },
      {
        "text": "(emphasis added).)",
        "paragraph_id": "para_997"
      },
      {
        "text": "35",
        "paragraph_id": "para_998"
      },
      {
        "text": "And, in any event, general allegations of negligence do not",
        "paragraph_id": "para_999",
        "court_paragraph": 35
      },
      {
        "text": "suffice. See id. at 195–96. In all, the opinions flowed from the",
        "paragraph_id": "para_1000"
      },
      {
        "text": "Joint Proxy’s description of the increased scrutiny across the",
        "paragraph_id": "para_1001"
      },
      {
        "text": "industry. Cautionary language surrounds the opinions, warning",
        "paragraph_id": "para_1002"
      },
      {
        "text": "of the uncertainty of projections about regulatory approval.",
        "paragraph_id": "para_1003"
      },
      {
        "text": "Under Omnicare, these opinions inform, rather than mislead, a",
        "paragraph_id": "para_1004"
      },
      {
        "text": "reasonable investor. And so we will affirm the District Court’s",
        "paragraph_id": "para_1005"
      },
      {
        "text": "dismissal of the Shareholders’ misleading opinion claims.",
        "paragraph_id": "para_1006"
      },
      {
        "text": "IV. CONCLUSION",
        "paragraph_id": "para_1007"
      },
      {
        "text": "We conclude with caveats, cautions, and qualms. First,",
        "paragraph_id": "para_1008"
      },
      {
        "text": "that the Shareholders have adequately pleaded facts that, if",
        "paragraph_id": "para_1009"
      },
      {
        "text": "true, might warrant remedy naturally says nothing at this stage",
        "paragraph_id": "para_1010"
      },
      {
        "text": "of the litigation about their ultimate truth. Second, that M&T",
        "paragraph_id": "para_1011"
      },
      {
        "text": "might have pursued different choices managing its business is",
        "paragraph_id": "para_1012"
      },
      {
        "text": "not the focus of our decision. Rather, it is that M&T had an",
        "paragraph_id": "para_1013"
      },
      {
        "text": "obligation to speak concisely about the risks surrounding their",
        "paragraph_id": "para_1014"
      },
      {
        "text": "plans.",
        "paragraph_id": "para_1015"
      },
      {
        "text": "Finally, our application of now well-established",
        "paragraph_id": "para_1016"
      },
      {
        "text": "principles of securities fraud class actions does not alleviate",
        "paragraph_id": "para_1017"
      },
      {
        "text": "our worry over the many well-argued doubts about these kinds",
        "paragraph_id": "para_1018"
      },
      {
        "text": "of aggregate claims. See, e.g., John C. Coffee, Jr., Reforming",
        "paragraph_id": "para_1019"
      },
      {
        "text": "the Securities Class Action: An Essay on Deterrence and Its",
        "paragraph_id": "para_1020"
      },
      {
        "text": "Implementation, 106 Colum. L. Rev. 1534, 1536 (2006)",
        "paragraph_id": "para_1021"
      },
      {
        "text": "(explaining “class actions produce wealth transfers among",
        "paragraph_id": "para_1022"
      },
      {
        "text": "shareholders that neither compensate nor deter”). Despite",
        "paragraph_id": "para_1023"
      },
      {
        "text": "reams of academic study, steady questions from the courts, and",
        "paragraph_id": "para_1024"
      },
      {
        "text": "periodic Congressional attention, the number of securities class",
        "paragraph_id": "para_1025"
      },
      {
        "text": "36",
        "paragraph_id": "para_1026"
      },
      {
        "text": "actions continues to rise each year.18 Whether that tide",
        "paragraph_id": "para_1027",
        "court_paragraph": 36
      },
      {
        "text": "represents an efficient current or “muddled logic and armchair",
        "paragraph_id": "para_1028"
      },
      {
        "text": "economics,” Halliburton, 573 U.S. at 297 (Thomas, J.,",
        "paragraph_id": "para_1029"
      },
      {
        "text": "concurring), is the sort of question that deserves a more",
        "paragraph_id": "para_1030"
      },
      {
        "text": "searching inquiry. In the meantime, we will affirm the District",
        "paragraph_id": "para_1031"
      },
      {
        "text": "Court’s dismissal of the Shareholders’ claims that M&T made",
        "paragraph_id": "para_1032"
      },
      {
        "text": "misleading opinion statements, and vacate the dismissal of the",
        "paragraph_id": "para_1033"
      },
      {
        "text": "claims about M&T’s risk disclosure obligations.",
        "paragraph_id": "para_1034"
      },
      {
        "text": "18 “Since 2012, securities-fraud suits have steadily",
        "paragraph_id": "para_1035"
      },
      {
        "text": "increased each year; most recently, there was a 7.5% year-",
        "paragraph_id": "para_1036"
      },
