        "text": "BACKGROUND",
        "paragraph_id": "para_70"
      },
      {
        "text": "Plaintiffs-Appellants are customers of utility companies in Texas and",
        "paragraph_id": "para_71"
      },
      {
        "text": "California—Electric Reliability Council of Texas (“ERCOT”), Southern California",
        "paragraph_id": "para_72"
      },
      {
        "text": "Edison Company (“SCE”), and Pacific Gas and Electric Company (“PG&E”)",
        "paragraph_id": "para_73"
      },
      {
        "text": "(together, “the utilities”). Between 2022 and 2024, the utilities sought to issue four",
        "paragraph_id": "para_74"
      },
      {
        "text": "sets of bonds related to winter storm and wildfire recovery. Those bonds are:",
        "paragraph_id": "para_75"
      },
      {

      },
      {
        "text": "ERCOT Texas Stabilization Subchapter N Bonds; SCE Senior Secured Recovery",
        "paragraph_id": "para_77",
        "court_paragraph": 4
      },
      {
        "text": "Bonds, Series 2023-A; PG&E Senior Secured Recovery Bonds, Series 2022-A; and",
        "paragraph_id": "para_78"
      },
      {
        "text": "PG&E Senior Secured Recovery Bonds, Series 2024-A (collectively, the “recovery",
        "paragraph_id": "para_79"
      },
      {
        "text": "bonds”). To issue the recovery bonds, the utilities were required to obtain",
        "paragraph_id": "para_80"
      },
      {
        "text": "approval from state public utility commissions (“state PUCs”). The California",
        "paragraph_id": "para_81"
      },
      {
        "text": "PUC has regulatory authority over PG&E and SCE; the Texas PUC has regulatory",
        "paragraph_id": "para_82"
      },
      {
        "text": "authority over ERCOT. If approved, the costs associated with the bonds would be",
        "paragraph_id": "para_83"
      },
      {
        "text": "passed through to ratepayers.",
        "paragraph_id": "para_84"
      },
      {
        "text": "The utilities submitted applications to the state PUCs for issuance of the",
        "paragraph_id": "para_85"
      },
      {
        "text": "recovery bonds, and the state PUCs conditionally approved those applications",
        "paragraph_id": "para_86"
      },
      {
        "text": "subject to receiving “issuance advice letters” that detailed the full terms of the",
        "paragraph_id": "para_87"
      },
      {
        "text": "bonds. The interest rate on each recovery bond was to be set by a market-based",
        "paragraph_id": "para_88"
      },
      {
        "text": "process.",
        "paragraph_id": "para_89"
      },
      {
        "text": "Prior to 2022, Bloomberg, the dominant indexer of the United States bond",
        "paragraph_id": "para_90"
      },
      {
        "text": "market, classified recovery bonds as corporate bonds. On June 8, 2022, Bloomberg",
        "paragraph_id": "para_91"
      },
      {
        "text": "announced its intent to consider whether it would reclassify recovery bonds as",
        "paragraph_id": "para_92"
      },
      {
        "text": "asset-backed securities (“ABS”) instead of corporate bonds. On August 1, 2022,",
        "paragraph_id": "para_93"
      },
      {
        "text": "Bloomberg formally announced that it was reclassifying recovery bonds as ABS.",
        "paragraph_id": "para_94"
      },
      {
        "text": "5",
        "paragraph_id": "para_95"
      },
      {
        "text": "Each state PUC received issuance advice letters from the utilities that",
        "paragraph_id": "para_96",
        "court_paragraph": 5
      },
      {
        "text": "detailed the terms of the recovery bonds, including the applicable interest rates.",
        "paragraph_id": "para_97"
      },
      {
        "text": "After receiving the issuance advice letters, the state PUCs retained the authority to",
        "paragraph_id": "para_98"
      },
      {
        "text": "decline to issue the bonds. The state PUCs did not exercise that authority, and all",
        "paragraph_id": "para_99"
      },
      {
        "text": "four sets of bonds were issued.",
        "paragraph_id": "para_100"
      },
      {
        "text": "In 2024, Plaintiffs brought this diversity action against Bloomberg on behalf",
        "paragraph_id": "para_101"
      },
      {
        "text": "of themselves and those similarly situated. They alleged that Bloomberg’s",
        "paragraph_id": "para_102"
      },
      {
        "text": "reclassification was unlawful and that it resulted in the recovery bonds being",
        "paragraph_id": "para_103"
      },
      {
        "text": "subject to higher interest rates that were passed through to utility customers.",
        "paragraph_id": "para_104"
      },
      {
        "text": "Bloomberg moved to dismiss, arguing that the filed rate doctrine barred Plaintiffs’",
        "paragraph_id": "para_105"
      },
      {
        "text": "claims and that Plaintiffs failed to state plausible claims for relief. The district court",
        "paragraph_id": "para_106"
      },
      {
        "text": "granted Bloomberg’s motion. It held that there were sufficient regulatory",
        "paragraph_id": "para_107"
      },
      {
        "text": "safeguards such that Plaintiffs’ claims were barred by the filed rate doctrine. This",
        "paragraph_id": "para_108"
      },
      {
        "text": "appeal followed.",
        "paragraph_id": "para_109"
      },
      {
        "text": "DISCUSSION",
        "paragraph_id": "para_110"
      },
      {
        "text": "We review a district court’s decision to grant a motion to dismiss under",
        "paragraph_id": "para_111"
      },
      {
        "text": "Federal Rule of Civil Procedure 12(b)(6) de novo. See Simon v. KeySpan Corp., 694",
        "paragraph_id": "para_112"
      },
      {
        "text": "F.3d 196, 201 (2d Cir. 2012).",
        "paragraph_id": "para_113"
      },
      {

      },
      {
        "text": "I. Forfeiture of Question of Application of Filed Rate Doctrine to State-",
        "paragraph_id": "para_115",
        "court_paragraph": 6
      },
      {
        "text": "Law Claims",
        "paragraph_id": "para_116"
      },
      {
        "text": "We note at the outset that the question of whether the federal filed rate",
        "paragraph_id": "para_117"
      },
      {
        "text": "doctrine applies to Plaintiffs’ state-law claims is not properly before us because",
        "paragraph_id": "para_118"
      },
      {
        "text": "Plaintiffs failed to properly raise the issue on appeal, as well as before the district",
        "paragraph_id": "para_119"
      },
      {
        "text": "court.",
        "paragraph_id": "para_120"
      },
      {
        "text": "Even if they had raised the issue properly, a strong argument can be made",
        "paragraph_id": "para_121"
      },
      {
        "text": "that the question of whether the filed-rate doctrine applies to state-law claims is",
        "paragraph_id": "para_122"
      },
      {
        "text": "settled in our circuit. See Wegoland Ltd. v. NYNEX Corp., 27 F.3d 17, 20 (2d Cir.",
        "paragraph_id": "para_123"
      },
      {
        "text": "1994); Rothstein v. Balboa Ins. Co., 794 F.3d 256, 260 n.1, 261 (2d Cir. 2015). Those",
        "paragraph_id": "para_124"
      },
      {
        "text": "decisions appear to settle the issue, and neither we nor the district court are",
        "paragraph_id": "para_125"
      },
      {

        "text": "to properly raise this argument, we deem the issue forfeited.",

      {
        "text": "We recognize that we have discretion to consider a forfeited argument",
        "paragraph_id": "para_142"
      },
      {
        "text": "where “necessary to avoid a manifest injustice or where the argument presents a",
        "paragraph_id": "para_143"
      },
      {
        "text": "question of law.” Allianz Ins. Co. v. Lerner, 416 F.3d 109, 114 (2d Cir. 2005) (internal",

      },
      {
        "text": "quotation marks omitted). However, there is no manifest injustice in our declining",

      },
      {
        "text": "to consider Plaintiffs’ forfeited argument even though that argument presents a",

        "text": "question of law. See In re Nortel Networks Corp. Sec. Litig., 539 F.3d 129, 133 (2d Cir.",

      },
      {

      {

        "text": "In addition, the circumstances here counsel against exercising our discretion",

        "text": "to consider Plaintiffs’ forfeited argument because Plaintiffs do not explain why",
        "paragraph_id": "para_154"
      },
      {
        "text": "they failed to properly raise it in the district court and in our Court. See Nortel",
        "paragraph_id": "para_155"
      },
      {
        "text": "Networks, 539 F.3d at 133 (declining to consider unpreserved argument where the",
        "paragraph_id": "para_156"
      },
      {
        "text": "parties “proffer no reason for their failure to raise the argument[] below” (internal",
        "paragraph_id": "para_157"
      },
      {
        "text": "quotation marks omitted)). Because Plaintiffs are represented by competent",
        "paragraph_id": "para_158"
      },
      {
        "text": "counsel, we will not excuse their failure to properly present this issue for our",
        "paragraph_id": "para_159"
      },
      {
        "text": "review. See Universal City Studios, 273 F.3d at 445. Accordingly, we decline to",
        "paragraph_id": "para_160"
      },
      {
        "text": "address an argument that was unpreserved and that is seemingly foreclosed by",
        "paragraph_id": "para_161"
      },
      {
        "text": "prior decisions of this Court.",
        "paragraph_id": "para_162"
      },
      {
        "text": "II. Application of the Filed Rate Doctrine",
        "paragraph_id": "para_163"
      },
      {
        "text": "We now turn to consider whether the district court erred in ruling that",
        "paragraph_id": "para_164"
      },
      {
        "text": "Plaintiffs’ claims were barred under the filed rate doctrine. We hold that it did not.",
        "paragraph_id": "para_165"
      },
      {
        "text": "The filed rate doctrine “holds that any ‘filed rate’—that is, one approved by",
        "paragraph_id": "para_166"
      },
      {
        "text": "the governing regulatory agency—is per se reasonable and unassailable in judicial",
        "paragraph_id": "para_167"
      },
      {
        "text": "proceedings brought by ratepayers.” Wegoland, 27 F.3d at 18. The doctrine is",
        "paragraph_id": "para_168"
      },
      {
        "text": "grounded in the principles of nondiscrimination and nonjusticiability.1 See",
        "paragraph_id": "para_169"
      },
      {

      {

      {
        "text": "Rothstein, 794 F.3d at 261. The nonjusticiability principle provides that courts",

        "text": "“should not undermine agency rate-making authority by upsetting approved",
        "paragraph_id": "para_173"
      },
      {
        "text": "rates.” Id. (alteration adopted and internal quotation marks omitted). We have",
        "paragraph_id": "para_174"
      },
      {
        "text": "applied the doctrine across a wide variety of scenarios. See Simon, 694 F.3d at 205",
        "paragraph_id": "para_175"
      },
      {
        "text": "(discussing the doctrine’s scope). The doctrine applies regardless of “the",
        "paragraph_id": "para_176"
      },
      {
        "text": "culpability of the defendant’s conduct or the possibility of inequitable results,”",
        "paragraph_id": "para_177"
      },
      {
        "text": "including to claims “based on fraud or impropriety in the method by which the",
        "paragraph_id": "para_178"
      },
      {
        "text": "rate is determined.” Id. (internal quotation marks omitted). It applies even if a",
        "paragraph_id": "para_179"
      },
      {
        "text": "claim “can be characterized as challenging something other than” a regulator-",
        "paragraph_id": "para_180"
      },
      {
        "text": "approved rate, and it “reaches both federal and state causes of action and protects",
        "paragraph_id": "para_181"
      },
      {
        "text": "rates approved by federal or state regulators.” Rothstein, 794 F.3d at 261, 262.",
        "paragraph_id": "para_182"
      },
      {
        "text": "Given the filed rate doctrine’s breadth, we have described it as “rigid and",
        "paragraph_id": "para_183"
      },
      {
        "text": "unforgiving.” Simon, 694 F.3d at 205.",
        "paragraph_id": "para_184"
      },
      {
        "text": "The parties agree that the outcome of this case turns on the applicability of",
        "paragraph_id": "para_185"
      },
      {
        "text": "our decision in Simon. In Simon, the plaintiff—a retail consumer of electricity in",
        "paragraph_id": "para_186"
      },
      {
        "text": "New York City—brought state and federal antitrust claims against KeySpan",
        "paragraph_id": "para_187"
      },
      {
        "text": "Corporation, a producer of electricity, and Morgan Stanley Capital Group Inc., a",
        "paragraph_id": "para_188"
      },
      {
        "text": "financial firm that was allegedly complicit in KeySpan’s misconduct. See 694 F.3d",
        "paragraph_id": "para_189"
      },
      {
        "text": "10",
        "paragraph_id": "para_190"
      },
      {
        "text": "at 198. The New York Independent System Operator (“NYISO”) and the Federal",
        "paragraph_id": "para_191",
        "court_paragraph": 10
      },
      {
        "text": "Energy Regulatory Commission (“FERC”) implemented a market-based auction",
        "paragraph_id": "para_192"
      },
      {
        "text": "system that determined the rate (the “market-backed rate” or “MBR”) at which",
        "paragraph_id": "para_193"
      },
      {
        "text": "producers could sell their installed capacity of electricity. See id. at 198, 199, 206–",
        "paragraph_id": "para_194"
      },
      {
        "text": "07. Under the auction system, although the rate would ultimately be set by the",
        "paragraph_id": "para_195"
      },
      {
        "text": "market, FERC implemented some regulatory controls. See id. at 206–07.",
        "paragraph_id": "para_196"
      },
      {
        "text": "Specifically, FERC imposed price caps and retained the ability to investigate",
        "paragraph_id": "para_197"
      },
      {
        "text": "anticompetitive conduct. See id. at 207. The plaintiff alleged that KeySpan abused",
        "paragraph_id": "para_198"
      },
      {
        "text": "the auction system which resulted in the plaintiff paying a supracompetitive price",
        "paragraph_id": "para_199"
      },
      {
        "text": "for electricity. See id. at 198. We held that the filed rate doctrine was applicable",
        "paragraph_id": "para_200"
      },
      {
        "text": "notwithstanding that FERC “did not directly set the rate at issue” because FERC",
        "paragraph_id": "para_201"
      },
      {
        "text": "“created a process for setting rates, reviewed the resulting rates, and, after",
        "paragraph_id": "para_202"
      },
      {
        "text": "investigation, determined that the anti-competitive behavior did not undermine",
        "paragraph_id": "para_203"
      },
      {
        "text": "its process.” Id. at 206–07, 208.",
        "paragraph_id": "para_204"
      },
      {
        "text": "As in Simon, although the state PUCs did not set the rates, they created a",
        "paragraph_id": "para_205"
      },
      {
        "text": "process to determine the rates, had the statutory obligation to assess the",
        "paragraph_id": "para_206"
      },
      {
        "text": "reasonableness of the rates associated with the recovery bonds, and ultimately",
        "paragraph_id": "para_207"
      },
      {
        "text": "accept or reject those rates. That the interest rates on the recovery bonds were set",
        "paragraph_id": "para_208"
      },
      {
        "text": "11",
        "paragraph_id": "para_209"
      },
      {
        "text": "in the market rather than directly by the state PUCs is not determinative. See id. at",
        "paragraph_id": "para_210",
        "court_paragraph": 11
      },
      {
        "text": "206–07. Rather, the relevant inquiry is whether the market-based process was",
        "paragraph_id": "para_211"
      },
      {
        "text": "“sufficiently safeguarded such that the filed rate doctrine should apply.” Id. at",
        "paragraph_id": "para_212"
      },
      {
        "text": "207.",
        "paragraph_id": "para_213"
      },
      {
        "text": "Here, the state PUCs maintained oversight over the process by which the",
        "paragraph_id": "para_214"
      },
      {
        "text": "bonds were issued. The Texas PUC was required to consider “the impacts on both",
        "paragraph_id": "para_215"
      },
      {
        "text": "wholesale market participants and retail customers,” Tex. Util. Code § 39.653(a),",
        "paragraph_id": "para_216"
      },
      {
        "text": "and the California PUC was obligated to assess whether the “costs and expenses”",
        "paragraph_id": "para_217"
      },
      {
        "text": "associated with the recovery bonds were “just and reasonable,” Cal. Pub. Util.",
        "paragraph_id": "para_218"
      },
      {
        "text": "Code § 850.1(a). To that end, after receiving applications from the utilities for the",
        "paragraph_id": "para_219"
      },
      {
        "text": "issuance of recovery bonds, the state PUCs approved the process by which the",
        "paragraph_id": "para_220"
      },
      {
        "text": "rates were set for the recovery bonds. Those approval orders required the utilities",
        "paragraph_id": "para_221"
      },
      {
        "text": "to submit issuance advice letters detailing the terms and structure of the recovery",
        "paragraph_id": "para_222"
      },
      {
        "text": "bonds prior to the issuance of the bonds. The state PUCs then received those",
        "paragraph_id": "para_223"
      },
      {
        "text": "issuance advice letters which detailed the bonds’ terms, including the applicable",
        "paragraph_id": "para_224"
      },
      {
        "text": "interest rates. Although the state PUCs could not alter the interest rates, as",
        "paragraph_id": "para_225"
      },
      {
        "text": "Plaintiffs note, the state PUCs nonetheless retained the authority to decline to issue",
        "paragraph_id": "para_226"
      },
      {
        "text": "the bonds if they deemed the terms of the bonds unreasonable. Plaintiffs’",
        "paragraph_id": "para_227"
      },
      {
        "text": "12",
        "paragraph_id": "para_228"
      },
      {
        "text": "disagreement with the state PUCs’ decision to permit the bonds to be issued does",
        "paragraph_id": "para_229",
        "court_paragraph": 12
      },
      {
        "text": "not establish a lack of regulatory oversight to render the filed rate doctrine",
        "paragraph_id": "para_230"
      },
      {
        "text": "inapplicable.2",
        "paragraph_id": "para_231"
      },
      {
        "text": "As to Plaintiffs’ assertion that, unlike in Simon, the regulators did not possess",
        "paragraph_id": "para_232"
      },
      {
        "text": "the authority to investigate Bloomberg’s alleged misconduct, the district court",
        "paragraph_id": "para_233"
      },
      {
        "text": "properly recognized that the clandestine nature of the alleged conduct at issue in",
        "paragraph_id": "para_234"
      },
      {
        "text": "Simon made the ability to investigate that conduct critical to the determination of",
        "paragraph_id": "para_235"
      },
      {
        "text": "the doctrine’s applicability. By contrast, Bloomberg’s reclassification of the bonds",
        "paragraph_id": "para_236"
      },
      {
        "text": "was well-publicized. In fact, Plaintiffs allege that it was Bloomberg’s public",
        "paragraph_id": "para_237"
      },
      {
        "text": "disclosure of its intent to reclassify the bonds which influenced the market’s",
        "paragraph_id": "para_238"
      },
      {
        "text": "response. See Skolarus v. Bloomberg, L.P., No. 24-cv-04375, 2025 WL 2782335, at *6",
        "paragraph_id": "para_239"
      },
      {
        "text": "(S.D.N.Y. Sept. 30, 2025). The public nature of Bloomberg’s alleged misconduct—",
        "paragraph_id": "para_240"
      },
      {
        "text": "and the state PUCs’ notice of the potential effect of that reclassification on the",
        "paragraph_id": "para_241"
      },
      {
        "text": "interest rates of those bonds—renders the state PUCs’ inability to investigate",
        "paragraph_id": "para_242"
      },
      {
        "text": "Bloomberg’s conduct less significant in this case.",
        "paragraph_id": "para_243"
      },
      {
        "text": "2 As to the bonds issued by the California PUC, Bloomberg finalized its reclassification of recovery",
        "paragraph_id": "para_244"
      },
      {
        "text": "bonds three months, eight months, and two years prior to the issuance of the bonds. We recognize",
        "paragraph_id": "para_245"
      },
      {
        "text": "that, as to the bonds issued by the Texas PUC, notice of Bloomberg’s intent to reclassify was issued",
        "paragraph_id": "para_246"
      },
      {
        "text": "one day prior to the Texas PUC’s receipt of the issuance advice forms. Even so, the Texas PUC",
        "paragraph_id": "para_247"
      },
      {
        "text": "still had notice as of June 8, 2022 and received a description of the bonds’ full terms a day later,",
        "paragraph_id": "para_248"
      },
      {
        "text": "which gave the Texas PUC ample opportunity to review the terms of the bonds in light of",
        "paragraph_id": "para_249"
      },
      {
        "text": "Bloomberg’s potential reclassification to determine whether the interest rates were reasonable.",
        "paragraph_id": "para_250"
      },
      {
        "text": "13",
        "paragraph_id": "para_251"
      },
      {
        "text": "Importantly, we note that the Securities and Exchange Commission (“SEC”)",
        "paragraph_id": "para_252",
        "court_paragraph": 13
      },
      {
        "text": "twice issued guidance concluding that utility securitizations such as recovery",
        "paragraph_id": "para_253"
      },
      {
        "text": "bonds are properly classified as ABS. In light of the other regulatory controls that",
        "paragraph_id": "para_254"
      },
      {
        "text": "the state PUCs did exercise and the SEC’s subsequent guidance, we conclude that",
        "paragraph_id": "para_255"
      },
      {
        "text": "sufficient safeguards were in place such that the filed rate doctrine applies.",
        "paragraph_id": "para_256"
      },
      {
        "text": "Finally, the district court did not abuse its discretion in dismissing the",
        "paragraph_id": "para_257"
      },
      {
        "text": "complaint with prejudice. See Horoshko v. Citibank, N.A., 373 F.3d 248, 249–50 (2d",
        "paragraph_id": "para_258"
      },
      {
        "text": "Cir. 2004) (per curiam) (“The . . . contention that the District Court abused its",
        "paragraph_id": "para_259"
      },
      {
        "text": "discretion in not permitting an amendment that was never requested is",
        "paragraph_id": "para_260"
      },
      {
        "text": "frivolous.”). Plaintiffs concede that they did not request leave to amend. As such,",
        "paragraph_id": "para_261"
      },
      {
        "text": "“no court can be said to have erred in failing to grant a request that was not made.”",
        "paragraph_id": "para_262"
      },
      {

        "text": "The federal filed rate doctrine is a judicially created rule that",

      {
        "text": "A",

      {
        "text": "The federal filed rate doctrine rests on an interpretation of",
        "paragraph_id": "para_308"
      },
      {
        "text": "federal rate-setting statutes, so it should apply only to claims that",
        "paragraph_id": "para_309"
      },
      {
        "text": "implicate those statutes.",
        "paragraph_id": "para_310"
      },
      {
        "text": "The Supreme Court has described the federal filed rate doctrine",
        "paragraph_id": "para_311"
      },
      {
        "text": "as an inference from the purpose underlying the federal rate-setting",
        "paragraph_id": "para_312"
      },

        "text": "statutes. When the Court first articulated the filed rate doctrine in",

        "text": "explained that the doctrine was necessary to promote “the paramount",

        "text": "After Keogh, the Court extended the filed rate doctrine “across",

        "text": "the spectrum of regulated utilities,” as a matter of statutory",

      {
        "text": "interpretation. Ark. La. Gas Co. v. Hall, 453 U.S. 571, 577 (1981)",

        "text": "(“Arkla”). In Arkla, it concluded that the doctrine barred a challenge",

      },
      {
        "text": "to rates filed with the Federal Energy Regulatory Commission",

        "text": "(“FERC”) because “Congress here has granted exclusive authority",
        "paragraph_id": "para_329"
      },
      {
        "text": "over rate regulation to [FERC].” Id. at 580. Later, it applied the",
        "paragraph_id": "para_330"
      },
      {
        "text": "doctrine to the Communications Act of 1934, reasoning that the Act’s",
        "paragraph_id": "para_331"
      },
      {
        "text": "relevant provisions were “modeled after similar provisions of the",
        "paragraph_id": "para_332"
      },
      {
        "text": "Interstate Commerce Act . . . and share its goal of preventing",
        "paragraph_id": "para_333"
      },
      {
        "text": "unreasonable and discriminatory charges.” Am. Tel. & Tel. Co. v.",
        "paragraph_id": "para_334"
      },
      {
        "text": "Cent. Off. Tel., Inc., 524 U.S. 214, 222 (1998). Other cases also tie the",
        "paragraph_id": "para_335"
      },
      {
        "text": "doctrine to federal rate-setting statutes. See, e.g., Louisville & Nash.",
        "paragraph_id": "para_336"
      },
      {
        "text": "R.R. Co. v. Maxwell, 237 U.S. 94, 97 (1915) (describing an early form of",
        "paragraph_id": "para_337"
      },
      {
        "text": "the doctrine that “embodies the policy which has been adopted by",
        "paragraph_id": "para_338"
      },
      {
        "text": "Congress in the regulation of interstate commerce”); MCI Telecomms.",
        "paragraph_id": "para_339"
      },
      {
        "text": "Corp. v. Am. Tel. & Tel. Co., 512 U.S. 218, 234 (1994) (deriving the",
        "paragraph_id": "para_340"
      },
      {
        "text": "doctrine from the “meaning of the federal Communications Act of",
        "paragraph_id": "para_341"
      },
      {
        "text": "1934”).",
        "paragraph_id": "para_342"
      },
      {
        "text": "The Supreme Court has applied the doctrine to areas of state",
        "paragraph_id": "para_343"
      },
      {
        "text": "law only when a federal statute dictated that result. In Arkla, the",
        "paragraph_id": "para_344"
      },
      {
        "text": "Court explained that the Supremacy Clause required it to apply the",
        "paragraph_id": "para_345"
      },
      {
        "text": "filed rate doctrine to a state-law challenge to rates filed with FERC",
        "paragraph_id": "para_346"
      },
      {
        "text": "because allowing that challenge would “undermine the congressional",
        "paragraph_id": "para_347"
      },
      {
        "text": "scheme of uniform rate regulation.” 453 U.S. at 579, 581–582.",
        "paragraph_id": "para_348"
      },
      {
        "text": "Later, the Court explained that “[w]hen the filed rate doctrine applies",
        "paragraph_id": "para_349"
      },
      {
        "text": "to state regulators, it does so as a matter of federal pre-emption",
        "paragraph_id": "para_350"
      },
      {
        "text": "through the Supremacy Clause.” Entergy La., Inc. v. La. Pub. Serv.",
        "paragraph_id": "para_351"
      },
      {

      {
        "text": "Comm’n, 539 U.S. 39, 47 (2003). The Court has never applied the",

      },
      {
        "text": "doctrine in a case that did not involve a federal rate-setting statute.",
        "paragraph_id": "para_354"
      },
      {
        "text": "This case should be straightforward. Plaintiffs challenge rates",
        "paragraph_id": "para_355"
      },
      {
        "text": "that are governed only by state law, so the federal filed rate doctrine",
        "paragraph_id": "para_356"
      },
      {
        "text": "should not bar their claims.",
        "paragraph_id": "para_357"
      },
      {
        "text": "B",
        "paragraph_id": "para_358"
      },
      {
        "text": "In Wegoland, we stated that “the rationales underlying the filed",
        "paragraph_id": "para_359"
      },
      {
        "text": "rate doctrine apply equally strongly to regulation by state agencies.”",
        "paragraph_id": "para_360"
      },
      {
        "text": "27 F.3d at 20. We then relied on that statement in Rothstein to",
        "paragraph_id": "para_361"
      },
      {
        "text": "conclude that the federal filed rate doctrine bars challenges to rates",
        "paragraph_id": "para_362"
      },
      {
        "text": "regulated by “state insurance regulators.” 794 F.3d at 260–61. As",
        "paragraph_id": "para_363"
      },
      {
        "text": "the majority explains, these cases would likely require us to apply the",
        "paragraph_id": "para_364"
      },
      {
        "text": "federal filed rate doctrine to bar Plaintiffs’ state-law challenges to",
        "paragraph_id": "para_365"
      },
      {
        "text": "rates approved by state agencies. But Wegoland’s suggestion that the",
        "paragraph_id": "para_366"
      },
      {
        "text": "federal filed rate doctrine applies to “regulation by state agencies”",
        "paragraph_id": "para_367"
      },
      {
        "text": "based on its “rationales,” 27 F.3d at 20, is inconsistent with Supreme",
        "paragraph_id": "para_368"
      },
      {
        "text": "Court precedent. And when—as here—it leads courts to apply the",
        "paragraph_id": "para_369"
      },
      {
        "text": "federal filed rate doctrine in diversity suits challenging",
        "paragraph_id": "para_370"
      },
      {
        "text": "state-approved rates, it is also inconsistent with the Rules of Decision",
        "paragraph_id": "para_371"
      },
      {
        "text": "Act.",
        "paragraph_id": "para_372"
      },
      {
        "text": "First, Wegoland ignores Supreme Court precedent, which",
        "paragraph_id": "para_373"
      },
      {
        "text": "clarifies that the filed rate doctrine is based on federal statutes, not on",
        "paragraph_id": "para_374"
      },
      {
        "text": "any compelling “rationales.” In Square D, the Court stated that the",
        "paragraph_id": "para_375"
      },
      {
        "text": "filed rate doctrine may be “unwise as a matter of policy,” but applied",
        "paragraph_id": "para_376"
      },
      {
        "text": "it because of “the strong presumption of continued validity that",
        "paragraph_id": "para_377"
      },
      {
        "text": "adheres in the judicial interpretation of a statute.” 476 U.S. at 420,",
        "paragraph_id": "para_378"
      },
      {
        "text": "424. So “[i]f there is to be an overruling of the Keogh rule, it must",
        "paragraph_id": "para_379"
      },
      {
        "text": "come from Congress, rather than from this Court.” Id. at 424.",
        "paragraph_id": "para_380"
      },
      {

        "paragraph_id": "para_381"
      },
      {
        "text": "Later, the Court reiterated that if “the filed rate doctrine has become",
        "paragraph_id": "para_382",
        "court_paragraph": 5
      },
      {
        "text": "an anachronism,” “it is the responsibility of Congress to modify or",
        "paragraph_id": "para_383"
      },
      {
        "text": "eliminate” the relevant rate-setting statutes. Maislin Indus., U.S., Inc.",
        "paragraph_id": "para_384"
      },
      {
        "text": "v. Primary Steel, Inc., 497 U.S. 116, 136 (1990). Since then, some",
        "paragraph_id": "para_385"
      },
      {
        "text": "states—like California—have chosen not to adopt the filed rate",
        "paragraph_id": "para_386"
      },
      {
        "text": "doctrine. See Carlin, 705 F.3d at 868 n.9. It makes no sense to apply",
        "paragraph_id": "para_387"
      },
      {
        "text": "an interpretation of federal law to state law in this context.",
        "paragraph_id": "para_388"
      },
      {
        "text": "Second, applying the federal filed rate doctrine in diversity",
        "paragraph_id": "para_389"
      },
      {
        "text": "suits about rates governed by state law is inconsistent with the Rules",
        "paragraph_id": "para_390"
      },
      {
        "text": "of Decision Act, which requires courts to apply “[t]he laws of the",
        "paragraph_id": "para_391"
      },
      {
        "text": "several states, except where the Constitution or treaties of the United",
        "paragraph_id": "para_392"
      },
      {
        "text": "States or Acts of Congress otherwise require or provide.” 28 U.S.C.",
        "paragraph_id": "para_393"
      },
      {
        "text": "§ 1652. In state-law challenges to rates governed by state regulatory",
        "paragraph_id": "para_394"
      },
      {
        "text": "schemes, there is no federal statute, constitutional provision or",
        "paragraph_id": "para_395"
      },
      {
        "text": "principle, or treaty requiring courts to apply the federal filed rate",
        "paragraph_id": "para_396"
      },
      {
        "text": "doctrine. Nor can courts apply the filed rate doctrine as a form of",
        "paragraph_id": "para_397"
      },
      {
        "text": "federal common law. “In the absence of congressional",
        "paragraph_id": "para_398"
      },
      {
        "text": "authorization, common lawmaking must be necessary to protect",
        "paragraph_id": "para_399"
      },
      {
        "text": "uniquely federal interests.” Rodriguez v. FDIC, 589 U.S. 132, 136",
        "paragraph_id": "para_400"
      },
      {
        "text": "(2020) (cleaned up). There are no “uniquely federal interests” in",
        "paragraph_id": "para_401"
      },
      {
        "text": "cases involving exclusively state rate-setting regimes and state-law",
        "paragraph_id": "para_402"
      },
      {
        "text": "claims.",
        "paragraph_id": "para_403"
      },
      {
        "text": "Wegoland did not consider these concerns. Instead, it asserted",
        "paragraph_id": "para_404"
      },
      {
        "text": "without analysis that “courts have uniformly held, and we agree, that",
        "paragraph_id": "para_405"
      },
      {
        "text": "the rationales underlying the filed rate doctrine apply equally",
        "paragraph_id": "para_406"
      },
      {
        "text": "strongly to regulation by state agencies.” Wegoland, 27 F.3d at 20.",
        "paragraph_id": "para_407"
      },
      {
        "text": "But the cases Wegoland cited offered only conclusory statements to the",
        "paragraph_id": "para_408"
      },
      {
        "text": "6",
        "paragraph_id": "para_409"
      },
      {
        "text": "same effect,3 and some relied on state filed rate doctrines.4 Beyond",
        "paragraph_id": "para_410",
        "court_paragraph": 6
      },
      {
        "text": "that, Wegoland’s statement that courts uniformly apply the federal",
        "paragraph_id": "para_411"
      },
      {
        "text": "filed rate doctrine to claims challenging state agency-approved rates",
        "paragraph_id": "para_412"
      },
      {
        "text": "is no longer true. The Seventh Circuit has since rejected a",
        "paragraph_id": "para_413"
      },
      {
        "text": "defendant’s “astonishing” argument that “‘federal common law’",
        "paragraph_id": "para_414"
      },
      {
        "text": "creates [the] filed-rate defense” in a state-law challenge to insurance",
        "paragraph_id": "para_415"
      },
      {
        "text": "rates approved by state agencies. Gunn, 968 F.3d at 807. The Ninth",
        "paragraph_id": "para_416"
      },
      {
        "text": "Circuit similarly has explained that in a case involving “a state",
        "paragraph_id": "para_417"
      },
      {
        "text": "antitrust law being applied where an agency of that state has set a",
        "paragraph_id": "para_418"
      },
      {
        "text": "commodity price,” “[w]hether damages can be awarded to the",
        "paragraph_id": "para_419"
      },
      {
        "text": "injured parties is a matter of state law.” Knevelbaard Dairies v. Kraft",
        "paragraph_id": "para_420"
      },
      {
        "text": "Foods, Inc., 232 F.3d 979, 992 (9th Cir. 2000). And other courts of",
        "paragraph_id": "para_421"
      },
      {
        "text": "appeals have relied on state law in similar suits.5 We should revisit",
        "paragraph_id": "para_422"
      },
      {

      },
      {
        "text": "distinguish between rates promulgated by state and federal agencies.”);",

        "text": "Sun City Taxpayers’ Ass’n v. Citizens Utils. Co., 847 F. Supp. 281, 289 (D.",

      {

      },
      {
        "text": "I concur in the judgment because we are likely bound by our",
        "paragraph_id": "para_447"
      },
      {
        "text": "precedent misapplying the federal filed rate doctrine. But",
        "paragraph_id": "para_448"
      },
      {
        "text": "Wegoland’s statement that the doctrine applies to all rates approved",
        "paragraph_id": "para_449"
      },
      {
        "text": "by state agencies is wrong, and we should reconsider it in an",
        "paragraph_id": "para_450"
      },
      {
        "text": "appropriate case.",
        "paragraph_id": "para_451"
      },
      {
        "text": "to apply, it must be tied to a federal statute creating a federal regulatory",
        "paragraph_id": "para_452"
      },
      {
        "text": "scheme.”).",
        "paragraph_id": "para_453"
      },
      {
