        "text": "and then was retaliated against for reporting and opposing that",

        "paragraph_id": "para_26"
      },

        "text": "case to arbitration because Newton had signed an arbitration",
        "paragraph_id": "para_27"
      },
      {
        "text": "agreement when she started working at LVMH. In 2022, LVMH",
        "paragraph_id": "para_28"
      },
      {
        "text": "terminated her employment and about a year later, Newton filed",
        "paragraph_id": "para_29"
      },
      {
        "text": "a lawsuit in federal court asserting claims of retaliation in",
        "paragraph_id": "para_30"
      },
      {
        "text": "violation of federal, state, and local law against LVMH and her",
        "paragraph_id": "para_31"
      },
      {
        "text": "former supervisor, Defendant-Appellee Rodney C. Pratt. She",
        "paragraph_id": "para_32"
      },

        "text": "also sought leave to amend her complaint to consolidate her",
        "paragraph_id": "para_33"
      },
      {
        "text": "claims that were pending in arbitration with those that she filed",
        "paragraph_id": "para_34"
      },

        "text": "in court. In doing so, she argued that the Ending Forced",
        "paragraph_id": "para_35"
      },

        "text": "Arbitration of Sexual Assault and Sexual Harassment Act of 2021",

        "text": "As relevant here, the district court dismissed the retaliation",
        "paragraph_id": "para_39"
      },
      {
        "text": "claims in her initial complaint, pursuant to Federal Rule of Civil",
        "paragraph_id": "para_40"
      },
      {
        "text": "Procedure 12(b)(6), because it concluded that Newton had not",
        "paragraph_id": "para_41"
      },
      {
        "text": "alleged that she engaged in any protected activity of which",
        "paragraph_id": "para_42"
      },
      {
        "text": "Defendants were aware and which was sufficiently close in time",
        "paragraph_id": "para_43"
      },
      {
        "text": "to her termination to raise an inference of retaliation. The district",

      },

        "text": "court also denied Newton’s cross-motion for leave to amend",

      },

        "text": "with its second one. We conclude that Newton’s initial complaint",

        "text": "plausibly alleged retaliation in violation of federal, state, and",
        "paragraph_id": "para_53"
      },

        "text": "local law. In particular, Newton has plausibly alleged that she",
        "paragraph_id": "para_54"
      },
      {
        "text": "engaged in a protected activity when she refused to meet with",
        "paragraph_id": "para_55"
      },
      {
        "text": "her supervisor to discuss settling her claims that were pending in",
        "paragraph_id": "para_56"
      },
      {
        "text": "arbitration and she was terminated under circumstances raising",
        "paragraph_id": "para_57"
      },
      {
        "text": "a plausible inference of retaliation. However, we affirm the",
        "paragraph_id": "para_58"
      },
      {
        "text": "district court’s denial of Newton’s motion for leave to amend her",
        "paragraph_id": "para_59"
      },
      {
        "text": "complaint. The claims Newton sought to add had accrued prior",
        "paragraph_id": "para_60"
      },
      {
        "text": "to the effective date of the EFAA and did not reaccrue thereafter",
        "paragraph_id": "para_61"
      },

        "text": "as part of a continuing violation, rendering the statute",

        "text": "BACKGROUND",
        "paragraph_id": "para_134"
      },
      {
        "text": "I. Factual Background1",
        "paragraph_id": "para_135"
      },
      {
        "text": "Newton is a Black and Afro-Latina attorney who began",
        "paragraph_id": "para_136"
      },
      {
        "text": "working for LVMH as litigation counsel in 2015. In that role, she",
        "paragraph_id": "para_137"
      },
      {
        "text": "managed legal disputes and active litigation for more than 25",
        "paragraph_id": "para_138"
      },
      {
        "text": "luxury brands that are part of LVMH’s portfolio. She was later",
        "paragraph_id": "para_139"
      },
      {
        "text": "1 The factual summary below is derived from the allegations in the",

        "text": "complaint, which we must accept as true in reviewing a motion to",
        "paragraph_id": "para_141"
      },
      {

        "paragraph_id": "para_142"
      },
      {

      },
      {
        "text": "promoted to Vice President, Legal Affairs, and received various",
        "paragraph_id": "para_144",
        "court_paragraph": 6
      },
      {
        "text": "positive performance reviews.",
        "paragraph_id": "para_145"
      },
      {
        "text": "The complaint alleges that shortly after she joined LVMH in",
        "paragraph_id": "para_146"
      },
      {
        "text": "2015, Lloyd Doran, the Director of Property and Facility",
        "paragraph_id": "para_147"
      },
      {
        "text": "Operations, began a “persistent and invasive campaign of sexual",
        "paragraph_id": "para_148"
      },
      {
        "text": "harassment” against Newton. App’x at 22. The complaint",
        "paragraph_id": "para_149"
      },
      {
        "text": "describes the first incident, which occurred in May 2015, as",
        "paragraph_id": "para_150"
      },
      {
        "text": "follows. Doran came to Newton’s office to discuss making",
        "paragraph_id": "para_151"
      },
      {
        "text": "repairs and hanging framed artwork, but before leaving her",
        "paragraph_id": "para_152"
      },
      {
        "text": "office, Doran “lingered in the doorway,” “stared” at Newton",
        "paragraph_id": "para_153"
      },
      {
        "text": "“long enough that she began to feel uncomfortable,” and stated:",
        "paragraph_id": "para_154"
      },
      {
        "text": "“You are so pretty. And that beautiful smile . . . I just can’t get",
        "paragraph_id": "para_155"
      },
      {
        "text": "enough of it.” Id. Newton then “recoiled” and Doran left her",
        "paragraph_id": "para_156"
      },
      {
        "text": "office. Id. Then every three to four weeks, Doran would “linger”",
        "paragraph_id": "para_157"
      },
      {
        "text": "outside of Newton’s office and “leer” at her in a sexually",
        "paragraph_id": "para_158"
      },
      {
        "text": "suggestive manner. Id.",
        "paragraph_id": "para_159"
      },
      {
        "text": "The second incident allegedly occurred in September 2015.",
        "paragraph_id": "para_160"
      },
      {
        "text": "According to the complaint, Doran entered Newton’s office again",
        "paragraph_id": "para_161"
      },
      {
        "text": "to discuss office repairs and artwork hanging while she was",
        "paragraph_id": "para_162"
      },
      {
        "text": "seated at her desk in front of her computer. During this",
        "paragraph_id": "para_163"
      },
      {
        "text": "discussion, “under the guise of having to call a colleague,” Doran",
        "paragraph_id": "para_164"
      },
      {
        "text": "“suddenly and without warning lunged his body across and on",
        "paragraph_id": "para_165"
      },
      {
        "text": "top of [Newton’s], thrusting his pelvis and genitals into her face",
        "paragraph_id": "para_166"
      },
      {
        "text": "and pressing his body firmly against hers as he reached across",
        "paragraph_id": "para_167"
      },
      {
        "text": "her body for her phone.” Id. at 23. Newton was thus “pinned",
        "paragraph_id": "para_168"
      },
      {
        "text": "against her chair” and left “stunned and terrified.” Id. She then",
        "paragraph_id": "para_169"
      },
      {
        "text": "“frantically” pushed her wheeled chair away from her desk and",
        "paragraph_id": "para_170"
      },
      {
        "text": "jumped up from her chair to “mak[e] clear that the contact was",
        "paragraph_id": "para_171"
      },
      {
        "text": "unwanted.” Id. She also “chided” Doran, and he left without",
        "paragraph_id": "para_172"
      },
      {
        "text": "saying anything further to Newton. Id.",
        "paragraph_id": "para_173"
      },
      {
        "text": "The complaint further alleges that, at some point after these",
        "paragraph_id": "para_174"
      },
      {
        "text": "incidents (although the complaint does not specify when),",
        "paragraph_id": "para_175"
      },
      {
        "text": "7",
        "paragraph_id": "para_176"
      },
      {
        "text": "Newton informally told Frank Martinez, LVMH’s Employment",
        "paragraph_id": "para_177",
        "court_paragraph": 7
      },
      {
        "text": "Counsel, about Doran’s conduct, but that he ignored her",
        "paragraph_id": "para_178"
      },
      {
        "text": "comments, quickly changed the subject, and did not ask for any",
        "paragraph_id": "para_179"
      },
      {
        "text": "details. Then, at a company event in 2015 or 2016, Doran",
        "paragraph_id": "para_180"
      },
      {
        "text": "approached a cocktail table at which Newton was standing with",
        "paragraph_id": "para_181"
      },
      {
        "text": "a few other female colleagues. Once Doran arrived, he “made a",
        "paragraph_id": "para_182"
      },
      {
        "text": "point of kissing each woman twice—once on each cheek.” Id. at",
        "paragraph_id": "para_183"
      },
      {
        "text": "24. As he approached Newton, he attempted to kiss her on the",
        "paragraph_id": "para_184"
      },
      {
        "text": "cheeks as well, but Newton “leaned her face and body backwards",
        "paragraph_id": "para_185"
      },
      {
        "text": "so that he could not reach her.” Id. In response, Doran “loudly",
        "paragraph_id": "para_186"
      },
      {
        "text": "exclaimed”: “What? No ‘bises’ for me?”2 Id. After Newton",
        "paragraph_id": "para_187"
      },
      {
        "text": "responded “no,” Doran stated: “Oh, come on it’s a celebration.”",
        "paragraph_id": "para_188"
      },
      {
        "text": "Newton then walked away.",
        "paragraph_id": "para_189"
      },
      {
        "text": "According to the complaint, in 2017 and 2018, Doran’s alleged",
        "paragraph_id": "para_190"
      },
      {
        "text": "“leering” and Newton’s informal reporting to Martinez",
        "paragraph_id": "para_191"
      },
      {
        "text": "continued. In one incident in fall 2017, Newton and a colleague",
        "paragraph_id": "para_192"
      },
      {
        "text": "were speaking in Newton’s office when Doran “inexplicably",
        "paragraph_id": "para_193"
      },
      {
        "text": "entered” Newton’s office and sought to be included in the",
        "paragraph_id": "para_194"
      },
      {
        "text": "conversation, but eventually left. Id. at 25. Newton’s colleague",
        "paragraph_id": "para_195"
      },
      {
        "text": "told Newton that Doran’s actions were “weird” and “creepy” and",
        "paragraph_id": "para_196"
      },
      {
        "text": "also later described Doran as “lurking” and “lingering” around",
        "paragraph_id": "para_197"
      },
      {
        "text": "Newton’s office. Id. In another January 2018 incident, when",
        "paragraph_id": "para_198"
      },
      {
        "text": "LVMH’s headquarters flooded, Newton rushed to save important",
        "paragraph_id": "para_199"
      },
      {
        "text": "files and documents. When she did so, Doran did not offer any",
        "paragraph_id": "para_200"
      },
      {

        "text": "After another instance of “leering” on May 30, 2018, Newton",
        "paragraph_id": "para_202"
      },
      {
        "text": "emailed Martinez and an unnamed real estate lawyer at LVMH",
        "paragraph_id": "para_203"
      },
      {
        "text": "to complain about Doran’s behavior. When Martinez did not",
        "paragraph_id": "para_204"
      },
      {
        "text": "2 The complaint explains that “bises” are the pair of kisses that French",

      },
      {
        "text": "people who are familiar with each other commonly use to greet each other",
        "paragraph_id": "para_206"
      },
      {
        "text": "or say goodbye.",

      {

      {
        "text": "respond, Newton called him, “pleading with him to do",
        "paragraph_id": "para_209",
        "court_paragraph": 8
      },
      {
        "text": "something to stop the harassment.” Id. at 28. In response,",
        "paragraph_id": "para_210"
      },
      {
        "text": "Martinez told her that he couldn’t report Doran’s conduct",
        "paragraph_id": "para_211"
      },
      {
        "text": "“because he worked for the legal department, not HR.” Id.",
        "paragraph_id": "para_212"
      },
      {
        "text": "Instead, Martinez suggested that Newton confront Doran",
        "paragraph_id": "para_213"
      },
      {
        "text": "directly.",
        "paragraph_id": "para_214"
      },
      {
        "text": "Newton took Martinez’s advice, and emailed Doran directly.",
        "paragraph_id": "para_215"
      },
      {
        "text": "In the email, she told Doran to stop his “ongoing pattern” of",
        "paragraph_id": "para_216"
      },
      {
        "text": "“inappropriate behavior” and “harassment” that included",
        "paragraph_id": "para_217"
      },
      {
        "text": "“loitering,” “leering,” making remarks about Newton’s",
        "paragraph_id": "para_218"
      },
      {
        "text": "appearance, and invading Newton’s personal space—all of which",
        "paragraph_id": "para_219"
      },
      {
        "text": "was “unwanted and unwelcome.” Id. at 28–29. Newton also",
        "paragraph_id": "para_220"
      },
      {
        "text": "stated that if Doran’s behavior continued, she would formally",
        "paragraph_id": "para_221"
      },
      {
        "text": "report him to LVMH’s Human Resources Department (the “HR",
        "paragraph_id": "para_222"
      },
      {
        "text": "Department”). In addition to sending this email to Doran,",
        "paragraph_id": "para_223"
      },
      {
        "text": "Newton then forwarded this email to Martinez and the real estate",
        "paragraph_id": "para_224"
      },
      {
        "text": "lawyer. After receiving Newton’s email, Martinez called Newton",
        "paragraph_id": "para_225"
      },
      {
        "text": "“enraged” and “stated repeatedly in an accusatory tone that he",
        "paragraph_id": "para_226"
      },
      {
        "text": "‘now ha[d] to report this.’” Id. at 29 (alteration in original).",
        "paragraph_id": "para_227"
      },
      {
        "text": "The next day, LVMH opened an internal investigation into",
        "paragraph_id": "para_228"
      },
      {
        "text": "Newton’s allegations. The investigation was conducted by",
        "paragraph_id": "para_229"
      },
      {
        "text": "LVMH’s Senior Director of Talent Development, Emma Ancelle.3",
        "paragraph_id": "para_230"
      },
      {
        "text": "Ancelle interviewed Newton about her accusations, but Newton",
        "paragraph_id": "para_231"
      },
      {
        "text": "says Ancelle’s questions were “accusatory” and did not evince",
        "paragraph_id": "para_232"
      },
      {
        "text": "any concern about the alleged instances of sexual harassment or",
        "paragraph_id": "para_233"
      },
      {
        "text": "assault. Instead, the complaint alleges that Ancelle was “far more",
        "paragraph_id": "para_234"
      },
      {
        "text": "concerned about how [Newton’s] email could reflect on",
        "paragraph_id": "para_235"
      },
      {
        "text": "3 The complaint also alleges that the internal investigation was supervised",
        "paragraph_id": "para_236"
      },
      {
        "text": "and guided by Martinez, Louise Firestone (LVMH’s General Counsel),",
        "paragraph_id": "para_237"
      },
      {
        "text": "Gena Smith (LVMH’s Senior Vice President of Human Resources), and",
        "paragraph_id": "para_238"
      },
      {
        "text": "outside counsel Rex Sessions of Winston & Strawn LLP.",
        "paragraph_id": "para_239"
      },
      {

      },
      {
        "text": "[LVMH’s] ‘branding’ and image than she was on the actual sexual",
        "paragraph_id": "para_241",
        "court_paragraph": 9
      },
      {
        "text": "harassment that [Newton] had experienced.” Id. at 32. Ancelle",
        "paragraph_id": "para_242"
      },
      {
        "text": "also met with Doran, and after that meeting, she allegedly told",
        "paragraph_id": "para_243"
      },
      {
        "text": "Newton that she had concluded that “this was all ‘just a",
        "paragraph_id": "para_244"
      },
      {
        "text": "misunderstanding’ or ‘miscommunication,’ and that the matter",
        "paragraph_id": "para_245"
      },
      {
        "text": "was considered closed.” Id. Newton also says Ancelle",
        "paragraph_id": "para_246"
      },
      {
        "text": "reprimanded her for sending the email to Doran, and suggested",
        "paragraph_id": "para_247"
      },
      {
        "text": "that Newton apologize to Doran.",
        "paragraph_id": "para_248"
      },
      {
        "text": "According to the complaint, troubled by LVMH’s handling of",
        "paragraph_id": "para_249"
      },
      {
        "text": "the internal investigation, Newton filed a formal complaint with",
        "paragraph_id": "para_250"
      },
      {
        "text": "the HR Department, and requested an investigation by an",
        "paragraph_id": "para_251"
      },
      {
        "text": "“outside, impartial, and unbiased expert.” Id. at 35. Newton was",
        "paragraph_id": "para_252"
      },
      {
        "text": "then summoned to a meeting by LVMH’s General Counsel Louise",
        "paragraph_id": "para_253"
      },
      {
        "text": "Firestone. In this meeting, Firestone allegedly “chastised”",
        "paragraph_id": "para_254"
      },
      {
        "text": "Newton and told her that as professional women, there are",
        "paragraph_id": "para_255"
      },
      {
        "text": "“certain things we have to put up with” and “sacrifices we have",
        "paragraph_id": "para_256"
      },
      {
        "text": "to make.” Id. at 36–37.",
        "paragraph_id": "para_257"
      },
      {
        "text": "Nonetheless, Firestone agreed to hire an external investigator",
        "paragraph_id": "para_258"
      },
      {
        "text": "to look into Newton’s allegations. Part of that investigation",
        "paragraph_id": "para_259"
      },
      {
        "text": "involved another interview of Newton. The complaint alleges",
        "paragraph_id": "para_260"
      },
      {
        "text": "that, during that interview, the investigator made various",
        "paragraph_id": "para_261"
      },
      {
        "text": "insensitive remarks including that people may view Newton as",
        "paragraph_id": "para_262"
      },
      {
        "text": "“a troublemaker” and “thin-skinned” and that, because LVMH is",
        "paragraph_id": "para_263"
      },
      {
        "text": "a French company, its employees “look at these things",
        "paragraph_id": "para_264"
      },
      {
        "text": "differently.” Id. at 38. Approximately one month after the",
        "paragraph_id": "para_265"
      },
      {
        "text": "interview, the HR Department informed Newton that the",
        "paragraph_id": "para_266"
      },
      {
        "text": "investigator had not found a violation of company policy or the",
        "paragraph_id": "para_267"
      },
      {
        "text": "law.",
        "paragraph_id": "para_268"
      },
      {
        "text": "The complaint further alleges that, after this second",
        "paragraph_id": "para_269"
      },
      {
        "text": "investigation, Newton began experiencing a campaign of",
        "paragraph_id": "para_270"
      },
      {
        "text": "retaliation. For example, Firestone—as Newton’s supervisor—",
        "paragraph_id": "para_271"
      },
      {
        "text": "allegedly began to “chip away” at Newton’s authority and",
        "paragraph_id": "para_272"
      },
      {
        "text": "10",
        "paragraph_id": "para_273"
      },
      {
        "text": "autonomy in the office by asserting more control over her cases.",
        "paragraph_id": "para_274",
        "court_paragraph": 10
      },
      {
        "text": "Id. at 41. In addition, in 2019, Firestone gave Newton a negative",
        "paragraph_id": "para_275"
      },
      {
        "text": "oral performance review, despite glowing reviews in prior years.",
        "paragraph_id": "para_276"
      },
      {
        "text": "According to the complaint, in 2019 and 2020, LVMH continued",
        "paragraph_id": "para_277"
      },
      {
        "text": "to engage in a pattern of retaliatory acts. See, e.g., id. at 49–54",
        "paragraph_id": "para_278"
      },
      {
        "text": "(detailing twenty-three alleged instances of retaliation between",
        "paragraph_id": "para_279"
      },
      {
        "text": "May 2019 and January 2020, including instances of exclusion,",
        "paragraph_id": "para_280"
      },
      {
        "text": "ostracism, and removal of job duties); id. at 56–57 (detailing five",
        "paragraph_id": "para_281"
      },
      {
        "text": "alleged instances of retaliation between April 2020 and",
        "paragraph_id": "para_282"
      },
      {
        "text": "September 2020, including instances of excluding Newton from a",
        "paragraph_id": "para_283"
      },
      {
        "text": "“high profile” litigation matter and denying her request to visit a",
        "paragraph_id": "para_284"
      },
      {
        "text": "virtual legal conference).",
        "paragraph_id": "para_285"
      },
      {
        "text": "In addition, the complaint alleges that LVMH retaliated",
        "paragraph_id": "para_286"
      },
      {
        "text": "against Newton in connection with her requests to work remotely",
        "paragraph_id": "para_287"
      },
      {
        "text": "during the COVID-19 pandemic. In September 2020, after months",
        "paragraph_id": "para_288"
      },
      {
        "text": "of fully remote work due to the COVID-19 pandemic, LVMH",
        "paragraph_id": "para_289"
      },
      {
        "text": "notified employees that they would be required to return to the",
        "paragraph_id": "para_290"
      },
      {
        "text": "office two days per week. Newton requested an exception",
        "paragraph_id": "para_291"
      },
      {
        "text": "because of certain medical conditions that she believed put her at",
        "paragraph_id": "para_292"
      },
      {
        "text": "a higher risk for COVID-19. Thereafter, Newton and LVMH",
        "paragraph_id": "para_293"
      },
      {
        "text": "engaged in a series of extended back-and-forth discussions",
        "paragraph_id": "para_294"
      },
      {
        "text": "regarding Newton’s requests to work remotely, and LVMH’s",
        "paragraph_id": "para_295"
      },
      {
        "text": "requests for notes from medical providers that documented",
        "paragraph_id": "para_296"
      },
      {
        "text": "Newton’s need to work remotely. At least one of the notes that",
        "paragraph_id": "para_297"
      },
      {
        "text": "Newton provided explained that she needed to work remotely",
        "paragraph_id": "para_298"
      },
      {
        "text": "because of her “significant anxiety as a result of a pattern of",
        "paragraph_id": "para_299"
      },
      {
        "text": "harassment towards her” and “depression related to her",
        "paragraph_id": "para_300"
      },
      {
        "text": "workplace environment.” Id. at 67. On April 20, 2021, LVMH",
        "paragraph_id": "para_301"
      },
      {
        "text": "denied Newton’s continued request to work remotely, and in",
        "paragraph_id": "para_302"
      },
      {
        "text": "response, Newton went on disability leave for approximately",
        "paragraph_id": "para_303"
      },
      {
        "text": "three months. After returning for a few months, in November",
        "paragraph_id": "para_304"
      },
      {
        "text": "2021, Newton requested to work remotely for six months based",
        "paragraph_id": "para_305"
      },
      {
        "text": "11",
        "paragraph_id": "para_306"
      },
      {
        "text": "on a diagnosis of Post-Traumatic Stress Disorder, but LVMH",
        "paragraph_id": "para_307",
        "court_paragraph": 11
      },
      {
        "text": "again requested documentation and further information.",
        "paragraph_id": "para_308"
      },
      {
        "text": "On November 16, 2021, Newton testified before Congress, in",
        "paragraph_id": "para_309"
      },
      {
        "text": "front of the House Committee on the Judiciary, about the alleged",
        "paragraph_id": "para_310"
      },
      {
        "text": "sexual harassment, assault, and retaliation she experienced at",
        "paragraph_id": "para_311"
      },
      {
        "text": "LVMH. The complaint alleges that LVMH’s retaliation",
        "paragraph_id": "para_312"
      },
      {
        "text": "“intensified” after her congressional testimony through a “long",
        "paragraph_id": "para_313"
      },
      {
        "text": "series of delay tactics, extended periods of non-response,",
        "paragraph_id": "para_314"
      },
      {
        "text": "dismissiveness, and outrageous actions,” including similar",
        "paragraph_id": "para_315"
      },
      {
        "text": "allegations of questioning the basis for her medical exemption to",
        "paragraph_id": "para_316"
      },
      {
        "text": "LVMH’s in-office policy. Id. at 73.",
        "paragraph_id": "para_317"
      },
      {
        "text": "On March 3, 2022, President Biden signed the EFAA into law.",
        "paragraph_id": "para_318"
      },
      {
        "text": "See 9 U.S.C. § 401 et seq. Newton was present at the White House",
        "paragraph_id": "para_319"
      },
      {
        "text": "for the bill’s signing. Three weeks later, on March 25, 2022,",
        "paragraph_id": "para_320"
      },
      {
        "text": "LVMH both denied Newton’s renewed request to work remotely",
        "paragraph_id": "para_321"
      },
      {
        "text": "and refused to consider her for a promotion for which she asserts",
        "paragraph_id": "para_322"
      },
      {
        "text": "she was qualified.",
        "paragraph_id": "para_323"
      },
      {
        "text": "From April 2022 to June 2022, the complaint alleges that:",
        "paragraph_id": "para_324"
      },
      {
        "text": "(1) Defendants attempted to exclude her from a legal group",
        "paragraph_id": "para_325"
      },
      {
        "text": "retreat hosted by LVMH’s outside counsel Winston & Strawn,",
        "paragraph_id": "para_326"
      },
      {
        "text": "and when she attended anyway, she received “disdainful looks,”",
        "paragraph_id": "para_327"
      },
      {
        "text": "App’x at 74–75; (2) Defendants did not introduce her to a new",
        "paragraph_id": "para_328"
      },
      {
        "text": "department intern; (3) Firestone “repeatedly berated her” for",
        "paragraph_id": "para_329"
      },
      {
        "text": "alleged underperformance, id. at 76; (4) Firestone gave Newton a",
        "paragraph_id": "para_330"
      },
      {
        "text": "time-consuming assignment while Newton was on vacation; and",
        "paragraph_id": "para_331"
      },
      {
        "text": "(5) Newton was the only attorney on her team who was not",
        "paragraph_id": "para_332"
      },
      {
        "text": "invited to Firestone’s farewell dinner in July 2022.",
        "paragraph_id": "para_333"
      },
      {
        "text": "On July 25, 2022, Defendant Rodney Pratt replaced Firestone",
        "paragraph_id": "para_334"
      },
      {
        "text": "as Newton’s direct supervisor when he joined LVMH as its Chief",
        "paragraph_id": "para_335"
      },
      {
        "text": "Legal Officer. The next month, Pratt requested a “‘one-on-one’",
        "paragraph_id": "para_336"
      },
      {
        "text": "meeting with [Newton] without attorneys present to ‘discuss or",
        "paragraph_id": "para_337"
      },
      {
        "text": "negotiate a settlement’ of her claims against [LVMH].” Id. at 76.",
        "paragraph_id": "para_338"
      },
      {
        "text": "12",
        "paragraph_id": "para_339"
      },
      {
        "text": "She was “[s]cared and appalled” by this request and declined it—",
        "paragraph_id": "para_340",
        "court_paragraph": 12
      },
      {
        "text": "although she also alleges in a different paragraph that she “did",
        "paragraph_id": "para_341"
      },
      {
        "text": "not respond to his request.” Id. at 77. According to the complaint,",
        "paragraph_id": "para_342"
      },
      {
        "text": "Newton’s declination (or non-response) to Pratt’s invitation was",
        "paragraph_id": "para_343"
      },
      {
        "text": "an assertion of her right to be free from sex discrimination and",
        "paragraph_id": "para_344"
      },
      {
        "text": "that after this, Pratt became “infuriat[ed]” and “suddenly and",
        "paragraph_id": "para_345"
      },
      {
        "text": "drastically changed the rules” for her and began retaliating",
        "paragraph_id": "para_346"
      },
      {
        "text": "against her. Id.",
        "paragraph_id": "para_347"
      },
      {
        "text": "In particular, the complaint alleges the following retaliatory",
        "paragraph_id": "para_348"
      },
      {
        "text": "acts occurred after Pratt’s request to meet: (1) in August 2022,",
        "paragraph_id": "para_349"
      },
      {
        "text": "Pratt required Newton to obtain “preapproval before she agreed",
        "paragraph_id": "para_350"
      },
      {
        "text": "to speak on any panel or at any conference,” id.; (2) in September",
        "paragraph_id": "para_351"
      },
      {
        "text": "or October 2022, unspecified Defendants “objected to Ms.",
        "paragraph_id": "para_352"
      },
      {
        "text": "Newton speaking on a keynote panel” at a conference,4 id.; (3) in",
        "paragraph_id": "para_353"
      },
      {
        "text": "October 2022, Pratt “insert[ed] himself in communications on",
        "paragraph_id": "para_354"
      },
      {
        "text": "[Newton’s] matters while simultaneously excluding her from",
        "paragraph_id": "para_355"
      },
      {
        "text": "other very important communications on her matters,” id. at 78;",
        "paragraph_id": "para_356"
      },
      {
        "text": "(4) in late October 2022 and early November 2022, in weekly one-",
        "paragraph_id": "para_357"
      },
      {
        "text": "on-one meetings Pratt “generally ignored [Newton] while she",
        "paragraph_id": "para_358"
      },
      {
        "text": "spoke, except to sometimes agitatedly criticize her,” id.; (5) on",
        "paragraph_id": "para_359"
      },
      {
        "text": "November 30, 2022, Newton was “excluded” by LVMH from a",
        "paragraph_id": "para_360"
      },
      {
        "text": "“farewell dinner” for a departing employee, which was co-hosted",
        "paragraph_id": "para_361"
      },
      {
        "text": "by LVMH and an outside law firm, id. at 78–79; (6) on the same",
        "paragraph_id": "para_362"
      },
      {
        "text": "day, LVMH hosted a sale open to employees, but “went out of its",
        "paragraph_id": "para_363"
      },
      {

      {
        "text": "Specifically, she spoke on a panel titled “Leading by Example: How",

      },

        "paragraph_id": "para_366"
      },
      {
        "text": "Ending the Silencing of Sexual Misconduct Claims” at a “Women,",
        "paragraph_id": "para_367"
      },
      {
        "text": "Influence, and Power in the Law” conference. App’x at 77–78. The",
        "paragraph_id": "para_368"
      },
      {
        "text": "complaint does not allege that anyone at LVMH was aware that Newton",
        "paragraph_id": "para_369"
      },
      {
        "text": "spoke at this conference, or of what Newton said on the panel.",
        "paragraph_id": "para_370"
      },
      {
        "text": "13",
        "paragraph_id": "para_371"
      },
      {
        "text": "way to exclude and not invite Ms. Newton,” id. at 79; (7) on",
        "paragraph_id": "para_372",
        "court_paragraph": 13
      },
      {
        "text": "December 1, 2022, Newton was fired from her position at LVMH,",
        "paragraph_id": "para_373"
      },
      {
        "text": "which was done in a way designed to publicly humiliate her; and",
        "paragraph_id": "para_374"
      },
      {
        "text": "(8) after her firing, LVMH was slow to return her personal effects,",
        "paragraph_id": "para_375"
      },
      {
        "text": "did not pay her a bonus, a matching charitable contribution, and",
        "paragraph_id": "para_376"
      },
      {
        "text": "other ancillary benefits.",
        "paragraph_id": "para_377"
      },
      {
        "text": "The complaint also alleges that Newton engaged in the",
        "paragraph_id": "para_378"
      },
      {
        "text": "following additional protected activities after declining Pratt’s",
        "paragraph_id": "para_379"
      },
      {
        "text": "invitation to meet: (1) she accepted an award from the Crime",
        "paragraph_id": "para_380"
      },
      {
        "text": "Victims Treatment Center and, in her acceptance speech, asserted",
        "paragraph_id": "para_381"
      },
      {
        "text": "her rights to be free from sex discrimination in her workplace;",
        "paragraph_id": "para_382"
      },
      {
        "text": "(2) she spoke on a keynote panel at a conference in which she",
        "paragraph_id": "para_383"
      },
      {
        "text": "similarly asserted her rights; and (3) she posted twenty-four posts",
        "paragraph_id": "para_384"
      },
      {
        "text": "on various social media platforms about the anniversary of her",
        "paragraph_id": "para_385"
      },
      {
        "text": "congressional testimony and the retaliation she experienced at",
        "paragraph_id": "para_386"
      },
      {
        "text": "LVMH.",
        "paragraph_id": "para_387"
      },
      {
        "text": "II. Procedural History",
        "paragraph_id": "para_388"
      },
      {
        "text": "In April 2019, Newton filed a complaint in New York State",
        "paragraph_id": "para_389"
      },
      {
        "text": "Supreme Court alleging sexual harassment and retaliation in",
        "paragraph_id": "para_390"
      },
      {
        "text": "violation of the New York State Human Rights Law (“NYSHRL”)",
        "paragraph_id": "para_391"
      },
      {
        "text": "and the New York City Human Rights Law (“NYCHRL”), based",
        "paragraph_id": "para_392"
      },
      {
        "text": "on the allegations described above that occurred prior to April",
        "paragraph_id": "para_393"
      },
      {
        "text": "2019. See Complaint, Newton v. LVMH Moët Hennessy Louis Vuitton",
        "paragraph_id": "para_394"
      },
      {
        "text": "Inc., Index No. 154178/2019 (N.Y. Sup. Ct. Apr. 23, 2019), Dkt. No.",
        "paragraph_id": "para_395"
      },
      {
        "text": "1. LVMH moved to compel arbitration, which the trial court",
        "paragraph_id": "para_396"
      },
      {
        "text": "denied, but the First Department subsequently reversed that",
        "paragraph_id": "para_397"
      },
      {
        "text": "decision—based on the arbitration agreement LVMH and",
        "paragraph_id": "para_398"
      },
      {
        "text": "Newton signed on December 17, 2014, before she began her",
        "paragraph_id": "para_399"
      },
      {
        "text": "employment with LVMH—and compelled Newton’s case to",
        "paragraph_id": "para_400"
      },
      {
        "text": "arbitration. See Newton v. LVMH Moet Hennessy Louis Vuitton Inc.,",
        "paragraph_id": "para_401"
      },
      {
        "text": "140 N.Y.S.3d 699 (1st Dep’t 2021).",
        "paragraph_id": "para_402"
      },
      {

      },
      {
        "text": "On June 1, 2021, pursuant to the First Department’s decision,",
        "paragraph_id": "para_404",

      {
        "text": "Newton initiated an arbitration proceeding against LVMH,",
        "paragraph_id": "para_405"
      },
      {
        "text": "Doran, Firestone, Martinez, LVMH CEO Anish Melwani, and",
        "paragraph_id": "para_406"
      },
      {
        "text": "Gena Smith—an HR employee at LVMH—for sexual harassment",
        "paragraph_id": "para_407"
      },
      {
        "text": "under the NYSHRL and NYCHRL, retaliation under the",
        "paragraph_id": "para_408"
      },
      {
        "text": "NYSHRL and NYCHRL, aider and abettor liability, and",
        "paragraph_id": "para_409"
      },
      {
        "text": "violations of the federal Equal Pay Act and the New York Equal",
        "paragraph_id": "para_410"
      },
      {
        "text": "Pay Act.",
        "paragraph_id": "para_411"
      },
      {
        "text": "In August 2021, Newton initiated a second arbitration in which",
        "paragraph_id": "para_412"
      },
      {
        "text": "she sought a ruling that revisions LVMH had made to its anti-",

        "text": "harassment policy abrogated the arbitration agreement she had",
        "paragraph_id": "para_414"
      },
      {
        "text": "signed. The second arbitration was consolidated with the first,",
        "paragraph_id": "para_415"
      },
      {
        "text": "and the arbitrator decided that Newton’s sexual harassment",
        "paragraph_id": "para_416"
      },
      {
        "text": "claim was arbitrable and dismissed Newton’s second arbitration",
        "paragraph_id": "para_417"
      },
      {
        "text": "that challenged the arbitrability of her claims.5",
        "paragraph_id": "para_418"
      },
      {
        "text": "On May 19, 2023, Newton filed a charge of discrimination with",
        "paragraph_id": "para_419"
      },
      {
        "text": "the Equal Employment Opportunity Commission (“EEOC”), and",
        "paragraph_id": "para_420"
      },
      {
        "text": "the EEOC issued a Notice of Right to Sue on November 24, 2023.",
        "paragraph_id": "para_421"
      },
      {
        "text": "On December 11, 2023, Newton filed the complaint in this",
        "paragraph_id": "para_422"
      },
      {
        "text": "action, which asserts the following claims: (1) retaliation in",
        "paragraph_id": "para_423"
      },
      {
        "text": "violation of Title VII of the Civil Rights Act of 1964 (“Title VII”)",
        "paragraph_id": "para_424"
      },
      {
        "text": "against LVMH; and (2) retaliation in violation of the NYSHRL",
        "paragraph_id": "para_425"
      },
      {
        "text": "and NYCHRL against Pratt. Newton also filed a proposed order",
        "paragraph_id": "para_426"
      },
      {
        "text": "to show cause seeking an order enjoining Defendants from",
        "paragraph_id": "para_427"
      },
      {
        "text": "continuing the arbitration, and a letter seeking a premotion",
        "paragraph_id": "para_428"
      },
      {
        "text": "conference regarding Newton’s intended motion for leave to",
        "paragraph_id": "para_429"
      },
      {
        "text": "5 LVMH also initiated a separate arbitration proceeding against Newton to",
        "paragraph_id": "para_430"
      },
      {
        "text": "recover attorney’s fees and costs that accrued in connection with LVMH’s",
        "paragraph_id": "para_431"
      },
      {
        "text": "motion to compel arbitration and the ensuing appeal to the First",
        "paragraph_id": "para_432"
      },
      {
        "text": "Department. On March 7, 2024, the arbitrator issued an award granting",
        "paragraph_id": "para_433"
      },
      {
        "text": "LVMH almost $500,000 in attorney’s fees and costs.",
        "paragraph_id": "para_434"
      },
      {
        "text": "15",
        "paragraph_id": "para_435"
      },
      {
        "text": "amend the complaint to add her claims that were pending in",
        "paragraph_id": "para_436",
        "court_paragraph": 15
      },
      {
        "text": "arbitration. The district court then set a briefing schedule for",
        "paragraph_id": "para_437"
      },
      {
        "text": "Defendants to file a motion to compel arbitration and to dismiss,",
        "paragraph_id": "para_438"
      },
      {
        "text": "and for Newton to file a cross-motion to enjoin the ongoing",
        "paragraph_id": "para_439"
      },
      {
        "text": "arbitration and to amend her complaint.",
        "paragraph_id": "para_440"
      },
      {
        "text": "On August 23, 2024, the district court (1) denied Defendants’",
        "paragraph_id": "para_441"
      },
      {
        "text": "motion to compel arbitration,6 (2) granted Defendants’ motion to",
        "paragraph_id": "para_442"
      },
      {
        "text": "dismiss under Rule 12(b)(6), and (3) denied Newton’s cross-",
        "paragraph_id": "para_443"
      },
      {
        "text": "motions to enjoin the arbitration and for leave to amend. See",
        "paragraph_id": "para_444"
      },
      {
        "text": "generally Newton v. LVMH Moet Hennessy Louis Vuitton Inc., 746 F.",
        "paragraph_id": "para_445"
      },
      {
        "text": "Supp. 3d 135 (S.D.N.Y. 2024). The district court entered judgment",
        "paragraph_id": "para_446"
      },
      {
        "text": "accordingly in favor of Defendants. Newton then moved,",
        "paragraph_id": "para_447"
      },
      {
        "text": "pursuant to Federal Rules of Civil Procedure 59(e) and 60(b)(6),",
        "paragraph_id": "para_448"
      },
      {
        "text": "to alter or amend the judgment and sought permission to further",
        "paragraph_id": "para_449"
      },
      {
        "text": "replead her claims. On July 2, 2025, the district court denied the",
        "paragraph_id": "para_450"
      },
      {
        "text": "reconsideration motion to the extent it sought to vacate the",
        "paragraph_id": "para_451"
      },
      {
        "text": "decision to dismiss Newton’s claims with prejudice and to deny",
        "paragraph_id": "para_452"
      },
      {
        "text": "her cross-motion to amend. See Newton v. LVMH Moet Hennessy",
        "paragraph_id": "para_453"
      },
      {
        "text": "Louis Vuitton Inc., No. 23-CV-10753 (LAP), 2025 WL 1826583, at *3–",
        "paragraph_id": "para_454"
      },
      {
        "text": "4 (S.D.N.Y. July 2, 2025). The district court also denied Newton’s",
        "paragraph_id": "para_455"
      },
      {
        "text": "request to enjoin the pending arbitration.7 Id. at *6.",
        "paragraph_id": "para_456"
      },
      {
        "text": "Newton timely appealed from the judgment and the district",
        "paragraph_id": "para_457"
      },
      {
        "text": "court’s order denying relief under Fed. R. Civ. P. 59(e) and 60(b).8",
        "paragraph_id": "para_458"
      },
      {
        "text": "6 This holding is not at issue on appeal because Defendants have not",

      {
        "text": "appealed it.",
        "paragraph_id": "para_460"
      },
      {

      },
      {
        "text": "at issue in this appeal.",
        "paragraph_id": "para_464"
      },
      {

        "text": "complete, the arbitrator issued a post-hearing award in favor of LVMH",

      },
      {

        "text": "DISCUSSION",
        "paragraph_id": "para_468",
        "court_paragraph": 16

      {
        "text": "On appeal, Newton argues that the district court erred by",
        "paragraph_id": "para_469"
      },
      {
        "text": "dismissing her retaliation claims pursuant to Rule 12(b)(6),",
        "paragraph_id": "para_470"
      },
      {
        "text": "denying her cross-motion for leave to amend, denying her cross-",
        "paragraph_id": "para_471"
      },
      {
        "text": "motion to enjoin the then-ongoing arbitration, and denying her",
        "paragraph_id": "para_472"
      },
      {
        "text": "motion to alter or amend the judgment to permit repleading. We",
        "paragraph_id": "para_473"
      },
      {
        "text": "address her arguments regarding the dismissal of her retaliation",
        "paragraph_id": "para_474"
      },
      {
        "text": "claims first.",
        "paragraph_id": "para_475"
      },
      {
        "text": "I. Newton’s Retaliation Claims",
        "paragraph_id": "para_476"
      },
      {
        "text": "We review the district court’s dismissal of the retaliation",
        "paragraph_id": "para_477"
      },
      {
        "text": "claims in Newton’s initial complaint de novo, accepting as true all",
        "paragraph_id": "para_478"
      },
      {
        "text": "factual allegations and drawing all reasonable inferences in favor",
        "paragraph_id": "para_479"
      },
      {
        "text": "of the plaintiff. Buon v. Spindler, 65 F.4th 64, 76 (2d Cir. 2023). To",
        "paragraph_id": "para_480"
      },
      {
        "text": "survive dismissal, the pleadings must contain “enough facts to",
        "paragraph_id": "para_481"
      },
      {
        "text": "state a claim to relief that is plausible on its face,” Bell Atl. Corp. v.",
        "paragraph_id": "para_482"
      },
      {
        "text": "Twombly, 550 U.S. 544, 570 (2007), i.e., the pleaded facts must",
        "paragraph_id": "para_483"
      },
      {
        "text": "“allow[] the court to draw the reasonable inference that the",
        "paragraph_id": "para_484"
      },
      {
        "text": "defendant is liable for the misconduct alleged,” Ashcroft v. Iqbal,",
        "paragraph_id": "para_485"
      },
      {
        "text": "and other defendants that are not parties to this case on all of Newton’s",
        "paragraph_id": "para_486"
      },
      {
        "text": "claims. Thus, Newton’s argument that the district court erred by denying",
        "paragraph_id": "para_487"
      },
      {
        "text": "her cross-motion to enjoin the arbitration is moot now that the arbitration",
        "paragraph_id": "para_488"
      },
      {
        "text": "has ended. See PolyOne Corp. v. Westlake Vinyls, Inc., 937 F.3d 692, 702 (6th",
        "paragraph_id": "para_489"
      },
      {
        "text": "Cir. 2019). The arbitration award has also been confirmed by a New York",
        "paragraph_id": "para_490"
      },
      {
        "text": "state trial court. See Appellees’ Aug. 5, 2026, R. 28(j) Ltr. (attaching the",
        "paragraph_id": "para_491"
      },
      {
        "text": "state court judgment confirming the award). Thus, in a Rule 28(j) letter,",
        "paragraph_id": "para_492"
      },
      {
        "text": "Defendants suggest that the award has preclusive effect on the claims",
        "paragraph_id": "para_493"
      },
      {
        "text": "Newton sought to add to this lawsuit, and factual issues relevant to those",
        "paragraph_id": "para_494"
      },
      {
        "text": "claims. Id. at 1–2. However, because we conclude in any event that the",
        "paragraph_id": "para_495"
      },
      {
        "text": "district court did not err in denying Newton’s motion for leave to amend,",
        "paragraph_id": "para_496"
      },
      {
        "text": "we need not decide what preclusive effect, if any, the arbitration award",
        "paragraph_id": "para_497"
      },
      {
        "text": "would have with respect to the claims in the proposed amended",
        "paragraph_id": "para_498"
      },
      {
        "text": "complaint.",
        "paragraph_id": "para_499"
      },
      {

      {

      {
        "text": "A. The Applicable Law of Retaliation",
        "paragraph_id": "para_502"
      },
      {
        "text": "Title VII makes it unlawful to retaliate against an employee",
        "paragraph_id": "para_503"
      },
      {
        "text": "“because [s]he has opposed any practice made an unlawful",
        "paragraph_id": "para_504"
      },
      {
        "text": "practice by this subchapter, or because [s]he has made a charge,",
        "paragraph_id": "para_505"
      },
      {
        "text": "testified, assisted, or participated in any manner in an",
        "paragraph_id": "para_506"
      },
      {
        "text": "investigation, proceeding, or hearing under this subchapter.” 42",
        "paragraph_id": "para_507"
      },
      {
        "text": "U.S.C. § 2000e–3(a). Thus, this antiretaliation provision contains",
        "paragraph_id": "para_508"
      },
      {
        "text": "an “opposition clause” and a “participation clause.” Crawford v.",
        "paragraph_id": "para_509"
      },
      {
        "text": "Metro. Gov’t of Nashville & Davidson Cnty., 555 U.S. 271, 275 (2009);",
        "paragraph_id": "para_510"
      },
      {
        "text": "accord Townsend v. Benjamin Enters., Inc., 679 F.3d 41, 48 (2d Cir.",
        "paragraph_id": "para_511"
      },
      {
        "text": "2012). Only the former kind of protected activity is relevant here.9",
        "paragraph_id": "para_512"
      },
      {
        "text": "To survive a motion to dismiss, a plaintiff asserting a Title VII",
        "paragraph_id": "para_513"
      },
      {
        "text": "retaliation claim under the opposition clause must plausibly",
        "paragraph_id": "para_514"
      },
      {
        "text": "allege that “(1) defendants discriminated—or took an adverse",
        "paragraph_id": "para_515"
      },
      {
        "text": "employment action—against [her], (2) because [she] has opposed",
        "paragraph_id": "para_516"
      },
      {
        "text": "any unlawful employment practice.” Vega v. Hempstead Union",
        "paragraph_id": "para_517"
      },
      {
        "text": "Free Sch. Dist., 801 F.3d 72, 90 (2d Cir. 2015) (internal quotation",
        "paragraph_id": "para_518"
      },
      {
        "text": "marks and citation omitted). “[I]n the context of a Title VII",
        "paragraph_id": "para_519"
      },
      {
        "text": "retaliation claim, an adverse employment action is any action that",
        "paragraph_id": "para_520"
      },
      {
        "text": "could well dissuade a reasonable worker from making or",
        "paragraph_id": "para_521"
      },
      {
        "text": "supporting a charge of discrimination.” Id. (internal quotation",
        "paragraph_id": "para_522"
      },
      {
        "text": "marks and citation omitted).",
        "paragraph_id": "para_523"
      },
      {
        "text": "The NYSHRL and NYCHRL contain similar prohibitions on",
        "paragraph_id": "para_524"
      },
      {
        "text": "unlawful retaliation. See N.Y. Exec. Law § 296(7); N.Y. City",
        "paragraph_id": "para_525"
      },
      {
        "text": "Admin. Code § 8-107(7). To succeed on a NYSHRL or NYCHRL",
        "paragraph_id": "para_526"
      },
      {
        "text": "retaliation claim, a plaintiff “must demonstrate that she took an",
        "paragraph_id": "para_527"
      },
      {
        "text": "9 The “participation clause” is triggered only once a plaintiff files a charge",

      },
      {
        "text": "with the EEOC. See Townsend, 679 F.3d at 49. Here, Newton did not do",
        "paragraph_id": "para_529"
      },
      {
        "text": "so until May 19, 2023, well after the alleged retaliation at issue in this case.",
        "paragraph_id": "para_530"
      },
      {

      },
      {
        "text": "action opposing her employer’s discrimination and that, as a",
        "paragraph_id": "para_532",
        "court_paragraph": 18
      },
      {
        "text": "result, the employer engaged in conduct that was reasonably",
        "paragraph_id": "para_533"
      },
      {
        "text": "likely to deter a person from engaging in such action.” Qorrolli v.",
        "paragraph_id": "para_534"
      },
      {
        "text": "Metro. Dental Assocs., 124 F.4th 115, 122 (2d Cir. 2024).10",
        "paragraph_id": "para_535"
      },
      {
        "text": "Before proceeding to consider how these principles apply to",
        "paragraph_id": "para_536"
      },
      {
        "text": "Newton’s claims, we briefly discuss timeliness as it relates to the",
        "paragraph_id": "para_537"
      },
      {
        "text": "scope of Newton’s claims. Title VII claims that accrue more than",
        "paragraph_id": "para_538"
      },
      {
        "text": "300 days before a plaintiff files a charge with the EEOC are time-",
        "paragraph_id": "para_539"
      },
      {
        "text": "barred.11 See 42 U.S.C. § 2000e-5(e)(1); see also Ragone v. Atl. Video",
        "paragraph_id": "para_540"
      },
      {
        "text": "at Manhattan Ctr., 595 F.3d 115, 126 (2d Cir. 2010). Newton filed",
        "paragraph_id": "para_541"
      },
      {
        "text": "her EEOC charge on May 19, 2023. Therefore, consideration of",
        "paragraph_id": "para_542"
      },
      {
        "text": "her Title VII claim is limited to violations that accrued after July",
        "paragraph_id": "para_543"
      },
      {
        "text": "23, 2022. Similarly, Newton’s NYSHRL and NYCHRL claims are",
        "paragraph_id": "para_544"
      },
      {
        "text": "limited to events occurring after July 25, 2022. Although",
        "paragraph_id": "para_545"
      },
      {
        "text": "retaliation claims under the NYSHRL and NYCHRL are subject",
        "paragraph_id": "para_546"
      },
      {
        "text": "to a three-year statute of limitations, see Kassner v. 2nd Ave.",
        "paragraph_id": "para_547"
      },
      {
        "text": "Delicatessen Inc., 496 F.3d 229, 238 (2d Cir. 2007) (citing N.Y. Exec.",
        "paragraph_id": "para_548"
      },
      {
        "text": "Law § 296; N.Y. C.P.L.R. § 214; N.Y.C. Admin. Code § 8-502(d)),",
        "paragraph_id": "para_549"
      },
      {
        "text": "those claims are brought against only Pratt individually, he did",
        "paragraph_id": "para_550"
      },
      {
        "text": "not join LVMH until that date, and he cannot be held liable for",
        "paragraph_id": "para_551"
      },
      {
        "text": "alleged retaliation in which he was not personally involved. See",
        "paragraph_id": "para_552"
      },
      {
        "text": "Feingold v. New York, 366 F.3d 138, 157–59 (2d Cir. 2004) (explaining",
        "paragraph_id": "para_553"
      },
      {
        "text": "10 Newton does not argue that there is any material difference between the",
        "paragraph_id": "para_554"
      },
      {
        "text": "Title VII, NYSHRL, and NYCHRL legal standards articulated above as",
        "paragraph_id": "para_555"
      },
      {
        "text": "applied to this case.",
        "paragraph_id": "para_556"
      },
      {
        "text": "11 A claim “accrues” “when the plaintiff has a complete and present cause",
        "paragraph_id": "para_557"
      },
      {
        "text": "of action.” Corner Post, Inc. v. Bd. of Governors of Fed. Rsrv. Sys., 603 U.S.",
        "paragraph_id": "para_558"
      },
      {
        "text": "799, 810 (2024) (internal quotation marks and citation omitted). In other",
        "paragraph_id": "para_559"
      },
      {
        "text": "words, “the time a claim ‘accrues’ means the point at which the statute of",
        "paragraph_id": "para_560"
      },
      {
        "text": "limitations clock starts ticking.” Olivieri v. Stifel, Nicolaus & Co., 112 F.4th",
        "paragraph_id": "para_561"
      },
      {
        "text": "74, 87 (2d Cir. 2024).",
        "paragraph_id": "para_562"
      },
      {
        "text": "19",

      {
        "text": "that, under both the NYSHRL and NYCHRL, individual",
        "paragraph_id": "para_564",
        "court_paragraph": 19
      },
      {
        "text": "defendants must have “actually participate[d]” in the conduct",
        "paragraph_id": "para_565"
      },
      {
        "text": "giving rise to the claims). Moreover, because the complaint does",
        "paragraph_id": "para_566"
      },
      {
        "text": "not allege any relevant conduct that occurred between July 23rd",
        "paragraph_id": "para_567"
      },
      {
        "text": "and 25th, 2022, we begin our analysis by looking at the",
        "paragraph_id": "para_568"
      },
      {
        "text": "complaint’s allegations after July 25th. With that scope defined,",
        "paragraph_id": "para_569"
      },
      {
        "text": "we now consider whether the complaint plausibly alleges that",
        "paragraph_id": "para_570"
      },
      {
        "text": "Newton engaged in protected activity and that such activity",
        "paragraph_id": "para_571"
      },
      {
        "text": "caused one or more adverse employment actions.",
        "paragraph_id": "para_572"
      },
      {
        "text": "B. Protected Activity",
        "paragraph_id": "para_573"
      },
      {
        "text": "An employee engages in “opposition” to unlawful",
        "paragraph_id": "para_574"
      },
      {
        "text": "employment practices (and thus engages in protected activity)",
        "paragraph_id": "para_575"
      },
      {
        "text": "when she engages in “any activity designed to resist or",
        "paragraph_id": "para_576"
      },
      {
        "text": "antagonize; to contend against; to confront; resist; or withstand",
        "paragraph_id": "para_577"
      },
      {
        "text": "discrimination.” Littlejohn v. City of New York, 795 F.3d 297, 317 (2d",
        "paragraph_id": "para_578"
      },
      {
        "text": "Cir. 2015) (citation modified); see also Natofsky v. City of New York,",
        "paragraph_id": "para_579"
      },
      {
        "text": "921 F.3d 337, 354 (2d Cir. 2019) (explaining that protected activity",
        "paragraph_id": "para_580"
      },
      {
        "text": "under the NYSHRL is “action taken to protest or oppose",
        "paragraph_id": "para_581"
      },
      {
        "text": "statutorily prohibited discrimination”) (internal quotation marks",
        "paragraph_id": "para_582"
      },
      {
        "text": "and citation omitted); Edelman v. NYU Langone Health Sys., 141",
        "paragraph_id": "para_583"
      },
      {
        "text": "F.4th 28, 46 (2d Cir. 2025) (analyzing protected activity under",
        "paragraph_id": "para_584"
      },
      {
        "text": "Title VII, the NYSHRL, and the NYCHRL in tandem). This can",
        "paragraph_id": "para_585"
      },
      {
        "text": "include “making complaints to management” or “protesting",
        "paragraph_id": "para_586"
      },
      {
        "text": "against discrimination by industry or by society in general.”",
        "paragraph_id": "para_587"
      },
      {
        "text": "Sumner v. U.S. Postal Serv., 899 F.2d 203, 209 (2d Cir. 1990). Thus,",
        "paragraph_id": "para_588"
      },
      {
        "text": "“when an employee communicates to her employer a belief that",
        "paragraph_id": "para_589"
      },
      {
        "text": "the employer has engaged in a form of employment",
        "paragraph_id": "para_590"
      },
      {
        "text": "discrimination, that communication virtually always constitutes",
        "paragraph_id": "para_591"
      },
      {
        "text": "the employee’s opposition to the activity.” Crawford, 555 U.S. at",
        "paragraph_id": "para_592"
      },
      {
        "text": "276 (emphasis added) (citation modified). Finally, in the Title VII",
        "paragraph_id": "para_593"
      },
      {
        "text": "context, to constitute protected activity, the employer must have",
        "paragraph_id": "para_594"
      },
      {
        "text": "20",

      },
      {
        "text": "“understood, or could reasonably have understood, that the",
        "paragraph_id": "para_596",
        "court_paragraph": 20
      },
      {
        "text": "plaintiff’s opposition was directed at conduct prohibited by Title",
        "paragraph_id": "para_597"
      },
      {
        "text": "VII.” Galdieri-Ambrosini v. Nat’l Realty & Dev. Corp., 136 F.3d 276,",
        "paragraph_id": "para_598"
      },
      {
        "text": "292 (2d Cir. 1998). We have applied that same standard to",
        "paragraph_id": "para_599"
      },
      {
        "text": "NYSHRL and NYCHRL claims. See, e.g., Qorrolli, 124 F.4th at 122–",
        "paragraph_id": "para_600"
      },
      {
        "text": "23; accord Rojas v. Roman Cath. Diocese of Rochester, 660 F.3d 98, 107",
        "paragraph_id": "para_601"
      },
      {
        "text": "& n.10 (2d Cir. 2011) (applying this requirement to a NYSHRL",
        "paragraph_id": "para_602"
      },
      {
        "text": "claim); Fattoruso v. Hilton Grand Vacations Co., LLC, 525 F. App’x",
        "paragraph_id": "para_603"
      },
      {
        "text": "26, 28 (2d Cir. 2013) (summary order) (same, to a NYCHRL claim).",
        "paragraph_id": "para_604"
      },
      {
        "text": "Here, the complaint alleges that Newton engaged in two",
        "paragraph_id": "para_605"
      },
      {
        "text": "categories of protected activity after July 2022. In August 2022,",
        "paragraph_id": "para_606"
      },
      {
        "text": "she refused to meet with Pratt to discuss settlement and, in three",
        "paragraph_id": "para_607"
      },
      {
        "text": "instances in October and November 2022, she spoke out in a",
        "paragraph_id": "para_608"
      },
      {
        "text": "public forum or on social media to assert her right (and all",
        "paragraph_id": "para_609"
      },
      {
        "text": "women’s rights) to be free from sex discrimination in the",
        "paragraph_id": "para_610"
      },
      {
        "text": "workplace. As to the first category, the district court concluded",
        "paragraph_id": "para_611"
      },
      {

        "text": "activity. Newton, 746 F. Supp. 3d at 157. With respect to the",
        "paragraph_id": "para_613"
      },
      {
        "text": "second, the district court concluded that Newton did not",
        "paragraph_id": "para_614"
      },
      {
        "text": "plausibly allege that Defendants were aware of Newton’s",
        "paragraph_id": "para_615"
      },
      {
        "text": "statements. Id. at 157–58.",
        "paragraph_id": "para_616"
      },
      {
        "text": "We disagree with the district court’s first conclusion. Under",
        "paragraph_id": "para_617"
      },
      {
        "text": "these factual circumstances, Newton has plausibly alleged that",
        "paragraph_id": "para_618"
      },
      {
        "text": "her refusal to meet with Pratt to discuss a potential settlement of",
        "paragraph_id": "para_619"
      },
      {
        "text": "her then-pending claims against LVMH (and others) was a",
        "paragraph_id": "para_620"
      },
      {
        "text": "protected activity.",
        "paragraph_id": "para_621"
      },
      {
        "text": "As an initial matter, filing a lawsuit, an EEOC charge, or",
        "paragraph_id": "para_622"
      },
      {
        "text": "arbitration demand that alleges violations of Title VII, the",
        "paragraph_id": "para_623"
      },
      {
        "text": "NYSHRL, or the NYCHRL unquestionably constitutes a",
        "paragraph_id": "para_624"
      },
      {
        "text": "protected activity. See Gordon v. N.Y.C. Bd. of Educ., 232 F.3d 111,",
        "paragraph_id": "para_625"
      },
      {
        "text": "113 (2d Cir. 2000); Vega, 801 F.3d at 92. This is because, at its core,",
        "paragraph_id": "para_626"
      },
      {
        "text": "filing a claim against an employer making such accusations is an",
        "paragraph_id": "para_627"
      },
      {
        "text": "21",
        "paragraph_id": "para_628"
      },
      {
        "text": "assertion by the plaintiff that he or she believes that they have",
        "paragraph_id": "para_629",
        "court_paragraph": 21
      },
      {
        "text": "been wronged in a way that violates the antidiscrimination",
        "paragraph_id": "para_630"
      },
      {
        "text": "statutes. The document that initiates a civil action is called a",
        "paragraph_id": "para_631"
      },
      {
        "text": "complaint, after all. See Fed. R. Civ. P. 3.",
        "paragraph_id": "para_632"
      },
      {
        "text": "If initiating a claim constitutes an assertion that the plaintiff",
        "paragraph_id": "para_633"
      },
      {
        "text": "was wronged, refusing to end a pursuit of that same claim with a",
        "paragraph_id": "para_634"
      },
      {
        "text": "settlement can—depending on the context—constitute a",
        "paragraph_id": "para_635"
      },
      {
        "text": "continuation of the same assertion. The relevant question is",
        "paragraph_id": "para_636"
      },
      {
        "text": "whether the employer understood or could reasonably have",
        "paragraph_id": "para_637"
      },
      {
        "text": "understood that the plaintiff’s refusal was an assertion of her",
        "paragraph_id": "para_638"
      },
      {
        "text": "continued opposition to the employer’s unlawful employment",
        "paragraph_id": "para_639"
      },
      {
        "text": "practices in violation of Title VII. Galdieri-Ambrosini, 136 F.3d at",
        "paragraph_id": "para_640"
      },
      {
        "text": "292. If so, the refusal is a protected activity. Crawford, 555 U.S. at",
        "paragraph_id": "para_641"
      },
      {
        "text": "271.",
        "paragraph_id": "para_642"
      },
      {
        "text": "Under Defendants’ interpretation of Title VII, Pratt could have",
        "paragraph_id": "para_643"
      },
      {
        "text": "explicitly stated to Newton that he was terminating her because",
        "paragraph_id": "para_644"
      },
      {
        "text": "she refused to meet with him to settle the case and she would still",
        "paragraph_id": "para_645"
      },
      {
        "text": "have no retaliation claim based on his conduct because her refusal",
        "paragraph_id": "para_646"
      },
      {
        "text": "did not constitute protected activity. That interpretation not only",
        "paragraph_id": "para_647"
      },
      {
        "text": "defies the plain meaning of “oppose” in the text of Title VII, but",
        "paragraph_id": "para_648"
      },
      {
        "text": "also contradicts our above-referenced precedent which makes",
        "paragraph_id": "para_649"
      },
      {
        "text": "clear that “opposition,” for purposes of a retaliation claim,",
        "paragraph_id": "para_650"
      },
      {
        "text": "includes “any activity designed to resist or antagonize; to",
        "paragraph_id": "para_651"
      },
      {
        "text": "contend against; to confront; resist; or withstand discrimination.”",
        "paragraph_id": "para_652"
      },
      {
        "text": "Littlejohn, 795 F.3d at 317 (citation modified). Thus, such",
        "paragraph_id": "para_653"
      },
      {
        "text": "opposition can potentially include not only the filing of a",
        "paragraph_id": "para_654"
      },
      {
        "text": "discrimination lawsuit itself, but also other statements made,",
        "paragraph_id": "para_655"
      },
      {
        "text": "activities pursued, or positions taken by a plaintiff during the",
        "paragraph_id": "para_656"
      },
      {
        "text": "course of that discrimination lawsuit—such as a deposition,",
        "paragraph_id": "para_657"
      },
      {
        "text": "settlement discussions, a trial, or an appeal. See, e.g., Singletary v.",
        "paragraph_id": "para_658"
      },
      {
        "text": "District of Columbia, 351 F.3d 519, 525 (D.C. Cir. 2003) (holding that",
        "paragraph_id": "para_659"
      },
      {
        "text": "plaintiff’s Title VII appeal to D.C. Court of Appeals six years after",
        "paragraph_id": "para_660"
      },
      {

      },
      {
        "text": "the original protected activity of filing a discrimination complaint",
        "paragraph_id": "para_662",
        "court_paragraph": 22
      },
      {
        "text": "with an administrative agency was itself a protected activity).",
        "paragraph_id": "para_663"
      },
      {
        "text": "Context is key in making this determination because it informs",
        "paragraph_id": "para_664"
      },
      {
        "text": "what the employer could have reasonably understood. Cf.",
        "paragraph_id": "para_665"
      },
      {
        "text": "Burlington N. & Santa Fe Ry. Co. v. White, 548 U.S. 53, 69 (2006)",
        "paragraph_id": "para_666"
      },
      {
        "text": "(emphasizing that “[c]ontext matters” in determining whether an",
        "paragraph_id": "para_667"
      },
      {
        "text": "act of retaliation is materially adverse).",
        "paragraph_id": "para_668"
      },
      {
        "text": "Here, based on the allegations regarding the context of",
        "paragraph_id": "para_669"
      },
      {
        "text": "Newton’s refusal to meet with Pratt, we conclude that the",
        "paragraph_id": "para_670"
      },
      {
        "text": "complaint plausibly alleges that Defendants understood or could",
        "paragraph_id": "para_671"
      },
      {
        "text": "reasonably have understood that her refusal constituted",
        "paragraph_id": "para_672"
      },
      {
        "text": "continued opposition to Defendants’ alleged unlawful",
        "paragraph_id": "para_673"
      },
      {
        "text": "employment practices. By August 2022, when Newton refused to",
        "paragraph_id": "para_674"
      },
      {
        "text": "meet with Pratt, she had been vigorously, continuously, and",
        "paragraph_id": "para_675"
      },
      {
        "text": "publicly asserting that Defendants had engaged in unlawful",
        "paragraph_id": "para_676"
      },
      {
        "text": "employment practices for more than three years. For example,",
        "paragraph_id": "para_677"
      },
      {
        "text": "she filed a complaint in New York state court, opposed a motion",
        "paragraph_id": "para_678"
      },
      {
        "text": "to compel arbitration, and filed an arbitration demand when her",
        "paragraph_id": "para_679"
      },
      {
        "text": "opposition was ultimately unsuccessful. Moreover, outside of the",
        "paragraph_id": "para_680"
      },
      {
        "text": "formal legal proceedings, she spoke out publicly, including",
        "paragraph_id": "para_681"
      },
      {
        "text": "before a congressional committee, asserting that she had been",
        "paragraph_id": "para_682"
      },
      {
        "text": "harassed and assaulted by Doran and retaliated against by LVMH",
        "paragraph_id": "para_683"
      },
      {
        "text": "and various of its employees. In this context and at this stage in",
        "paragraph_id": "para_684"
      },
      {
        "text": "the litigation, in which we must draw “all inferences . . . in the",
        "paragraph_id": "para_685"
      },
      {
        "text": "plaintiff’s favor,” Littlejohn, 795 F.3d at 306–07, Newton has",
        "paragraph_id": "para_686"
      },
      {
        "text": "plausibly alleged that when she refused to meet with Pratt to",
        "paragraph_id": "para_687"
      },
      {
        "text": "discuss settlement, he could have reasonably understood that",
        "paragraph_id": "para_688"
      },
      {
        "text": "refusal as communicating her continued belief that she had been",
        "paragraph_id": "para_689"
      },
      {
        "text": "wronged by Doran and LVMH’s discriminatory conduct, and",
        "paragraph_id": "para_690"
      },
      {
        "text": "that she wanted acknowledgement and legal redress for those",
        "paragraph_id": "para_691"
      },
      {
        "text": "wrongs. That constitutes opposition and, thus, protected activity.",
        "paragraph_id": "para_692"
      },
      {
        "text": "23",
        "paragraph_id": "para_693"
      },
      {
        "text": "See Crawford, 555 U.S. at 277.12",
        "paragraph_id": "para_694",
        "court_paragraph": 23
      },
      {
        "text": "Defendants’ arguments to the contrary are unpersuasive.",
        "paragraph_id": "para_695"
      },
      {
        "text": "Their primary argument is that Newton’s refusal to meet with",
        "paragraph_id": "para_696"
      },
      {
        "text": "Pratt was not a protected activity because she “does not allege she",
        "paragraph_id": "para_697"
      },
      {
        "text": "told Pratt she was doing so in order to continue objecting to",
        "paragraph_id": "para_698"
      },
      {
        "text": "alleged misconduct.” Appellees’ Br. at 32. To be sure, at this",
        "paragraph_id": "para_699"
      },
      {
        "text": "stage of the litigation, the precise way that Newton",
        "paragraph_id": "para_700"
      },
      {
        "text": "communicated her refusal is unclear. On one hand, the complaint",
        "paragraph_id": "para_701"
      },
      {
        "text": "alleges that Newton “refused” Pratt’s request to meet. App’x at",
        "paragraph_id": "para_702"
      },
      {
        "text": "77. On the other, the complaint asserts that, “[a]fter she did not",
        "paragraph_id": "para_703"
      },
      {
        "text": "respond to [Pratt’s] request,” he began to retaliate against her.13 Id.",
        "paragraph_id": "para_704"
      },
      {
        "text": "12 To be clear, our holding should not be read to establish a per se rule that",
        "paragraph_id": "para_705"
      },
      {
        "text": "refusing to settle a pending claim always constitutes a form of opposition",
        "paragraph_id": "para_706"
      },
      {
        "text": "to unlawful employment practices. What an employer can reasonably",
        "paragraph_id": "para_707"
      },
      {
        "text": "understand such a refusal to communicate depends on the full context of",
        "paragraph_id": "para_708"
      },
      {
        "text": "the refusal. Nor should our holding necessarily preclude a different",
        "paragraph_id": "para_709"
      },
      {
        "text": "finding in later stages of this lawsuit. The fact that Newton has plausibly",
        "paragraph_id": "para_710"
      },
      {
        "text": "alleged a protected activity based on her refusal to engage in settlement",
        "paragraph_id": "para_711"
      },
      {
        "text": "discussions in her discrimination lawsuit at the motion to dismiss stage",
        "paragraph_id": "para_712"
      },
      {
        "text": "does not necessarily mean that the district court at summary judgment or",
        "paragraph_id": "para_713"
      },
      {
        "text": "a factfinder at trial would reach that determination under the applicable",
        "paragraph_id": "para_714"
      },
      {
        "text": "standard based on the evidence available at that time. In other words,",
        "paragraph_id": "para_715"
      },
      {
        "text": "Newton has met her minimal pleading burden, but we express no view",
        "paragraph_id": "para_716"
      },
      {
        "text": "as to whether she will be able to sustain her evidentiary burden at later",
        "paragraph_id": "para_717"
      },
      {
        "text": "stages of the case. See Swierkiewicz v. Sorema N. A., 534 U.S. 506, 510–11",
        "paragraph_id": "para_718"
      },
      {
        "text": "(2002) (distinguishing between pleading burdens and evidentiary",
        "paragraph_id": "para_719"
      },
      {
        "text": "standards such as the familiar McDonnell Douglas framework); see also",
        "paragraph_id": "para_720"
      },
      {
        "text": "Mandala v. NTT Data, Inc., 975 F.3d 202, 208–09 (2d Cir. 2020) (discussing",
        "paragraph_id": "para_721"
      },
      {
        "text": "the continued effect of Swierkiewicz post-Iqbal).",
        "paragraph_id": "para_722"
      },
      {
        "text": "13 Defendants state in their brief that the invitation to meet and Newton’s",
        "paragraph_id": "para_723"
      },
      {
        "text": "declination were both sent through counsel. See Appellees’ Br. at 33.",
        "paragraph_id": "para_724"
      },
      {
        "text": "However, Defendants do not cite anything in the complaint for this",
        "paragraph_id": "para_725"
      },
      {
        "text": "factual assertion and, at the motion to dismiss stage, we are “limited” to",
        "paragraph_id": "para_726"
      },
      {
        "text": "“the allegations in the complaint.” Nunes v. CNN, Inc., 31 F.4th 135, 142",
        "paragraph_id": "para_727"
      },
      {

      },
      {
        "text": "(emphasis added). Thus, based on the allegations in the",
        "paragraph_id": "para_729",
        "court_paragraph": 24
      },
      {
        "text": "complaint, Newton’s declination did not contain an explicit",
        "paragraph_id": "para_730"
      },
      {
        "text": "statement opposing unlawful employment practices and may not",
        "paragraph_id": "para_731"
      },
      {
        "text": "have been an affirmative statement at all.",
        "paragraph_id": "para_732"
      },
      {
        "text": "However, these ambiguities do not render Newton’s refusal to",
        "paragraph_id": "para_733"
      },
      {
        "text": "meet an unprotected activity. The mere fact that Newton may not",
        "paragraph_id": "para_734"
      },
      {
        "text": "have specifically stated to Pratt that her refusal to meet was to",
        "paragraph_id": "para_735"
      },
      {
        "text": "continue objecting to unlawful employment practices is not",
        "paragraph_id": "para_736"
      },
      {
        "text": "dispositive because such an explicit statement is not required.",
        "paragraph_id": "para_737"
      },
      {
        "text": "Instead, the Supreme Court has recognized that conduct or",
        "paragraph_id": "para_738"
      },
      {
        "text": "communications that reveal opposition, even implicitly, can",
        "paragraph_id": "para_739"
      },
      {
        "text": "constitute protected activity. See Crawford, 555 U.S. at 277",
        "paragraph_id": "para_740"
      },
      {
        "text": "(“Countless people were known to ‘oppose’ slavery before",
        "paragraph_id": "para_741"
      },
      {
        "text": "Emancipation, or are said to ‘oppose’ capital punishment today,",
        "paragraph_id": "para_742"
      },
      {
        "text": "without writing public letters, taking to the streets, or resisting",
        "paragraph_id": "para_743"
      },
      {
        "text": "the government. And we would call it ‘opposition’ if an",
        "paragraph_id": "para_744"
      },
      {
        "text": "employee took a stand against an employer’s discriminatory",
        "paragraph_id": "para_745"
      },
      {
        "text": "practices not by ‘instigating’ action, but by standing pat, say, by",
        "paragraph_id": "para_746"
      },
      {
        "text": "refusing to follow a supervisor’s order to fire a junior worker for",
        "paragraph_id": "para_747"
      },
      {
        "text": "discriminatory reasons.”); accord Albunio v. City of New York, 16",
        "paragraph_id": "para_748"
      },
      {
        "text": "N.Y.3d 472, 479 (2011) (concluding that opposition under the",
        "paragraph_id": "para_749"
      },
      {
        "text": "NYCHRL does not require an explicit statement that the plaintiff",
        "paragraph_id": "para_750"
      },
      {
        "text": "is a victim of discrimination). Therefore, so long as such implicit",
        "paragraph_id": "para_751"
      },
      {
        "text": "conduct or communications put an employer on notice that the",
        "paragraph_id": "para_752"
      },
      {
        "text": "plaintiff is opposing conduct prohibited by the",
        "paragraph_id": "para_753"
      },
      {
        "text": "antidiscrimination statutes, it can suffice as protected activity.",
        "paragraph_id": "para_754"
      },
      {
        "text": "Galdieri-Ambrosini, 136 F.3d at 292. In short, drawing all",
        "paragraph_id": "para_755"
      },
      {
        "text": "inferences in Newton’s favor, that notice has been plausibly",
        "paragraph_id": "para_756"
      },
      {
        "text": "alleged even if she merely failed to answer Pratt’s request to meet",
        "paragraph_id": "para_757"
      },
      {
        "text": "(2d Cir. 2022).",
        "paragraph_id": "para_758"
      },
      {
        "text": "25",
        "paragraph_id": "para_759"
      },
      {
        "text": "with him regarding settlement of her discrimination lawsuit. In",
        "paragraph_id": "para_760",
        "court_paragraph": 25
      },
      {
        "text": "other words, Pratt could have reasonably concluded that her",
        "paragraph_id": "para_761"
      },
      {
        "text": "unwillingness to respond to that request was another expression",
        "paragraph_id": "para_762"
      },
      {
        "text": "of her opposition to the employer’s discriminatory conduct.",
        "paragraph_id": "para_763"
      },
      {
        "text": "Next, the cases that Defendants rely on—and which the",
        "paragraph_id": "para_764"
      },
      {
        "text": "district court relied on, see Newton, 746 F. Supp. 3d at 157—are not",
        "paragraph_id": "para_765"
      },
      {
        "text": "binding on us and, in any event, are distinguishable. For",
        "paragraph_id": "para_766"
      },
      {
        "text": "instance, Defendants rely on Bottge v. Suburban Propane, 77 F.",
        "paragraph_id": "para_767"
      },
      {
        "text": "Supp. 2d 310 (N.D.N.Y. 1999). There, the plaintiff was fired just",
        "paragraph_id": "para_768"
      },
      {
        "text": "before she would obtain a substantial increase in her employer’s",
        "paragraph_id": "para_769"
      },
      {
        "text": "contribution to her retirement benefits. Id. at 312. Then, when she",
        "paragraph_id": "para_770"
      },
      {
        "text": "refused to sign a waiver of all discrimination claims, her",
        "paragraph_id": "para_771"
      },
      {
        "text": "severance pay was withheld. Id. After these events, the plaintiff",
        "paragraph_id": "para_772"
      },
      {
        "text": "filed a charge of discrimination with the EEOC. Id. The district",
        "paragraph_id": "para_773"
      },
      {
        "text": "court concluded there was no protected activity present at the",
        "paragraph_id": "para_774"
      },
      {
        "text": "time of the plaintiff’s termination and the withholding of",
        "paragraph_id": "para_775"
      },
      {
        "text": "severance pay because there was no “indicia in declining to sign",
        "paragraph_id": "para_776"
      },
      {
        "text": "a waiver suggesting that the employee has made a complaint.”",
        "paragraph_id": "para_777"
      },
      {
        "text": "Id. at 313. In other words, because the EEOC charge was the first",
        "paragraph_id": "para_778"
      },
      {
        "text": "indication that the plaintiff attributed her firing to unlawful",
        "paragraph_id": "para_779"
      },
      {
        "text": "employment practices, her employer was “not on notice that her",
        "paragraph_id": "para_780"
      },
      {
        "text": "refusal to sign the waiver was related to a complaint of",
        "paragraph_id": "para_781"
      },
      {
        "text": "discrimination.” Id. Similarly, in Pleener v. New York City Board of",
        "paragraph_id": "para_782"
      },
      {
        "text": "Education, the plaintiff refused to sign a release of claims before",
        "paragraph_id": "para_783"
      },
      {
        "text": "she filed an EEOC charge or a lawsuit. No. 05 CV 973 (ARR), 2007",
        "paragraph_id": "para_784"
      },
      {
        "text": "WL 2907343, at *16 (E.D.N.Y. Oct. 4, 2007). Because there was thus",
        "paragraph_id": "para_785"
      },
      {
        "text": "“no evidence . . . suggesting that [the defendants] w[ere] aware,",
        "paragraph_id": "para_786"
      },
      {
        "text": "based on plaintiff’s refusal to sign, that she intended to sue them,”",
        "paragraph_id": "para_787"
      },
      {
        "text": "the district court concluded that there was no protected activity.",
        "paragraph_id": "para_788"
      },
      {
        "text": "Id. In sum, in both cases, the employers could not have",
        "paragraph_id": "para_789"
      },
      {
        "text": "reasonably interpreted the plaintiffs’ actions as opposing",
        "paragraph_id": "para_790"
      },
      {
        "text": "unlawful employment practices because the plaintiffs had not yet",
        "paragraph_id": "para_791"
      },
      {
        "text": "26",
        "paragraph_id": "para_792"
      },
      {
        "text": "alleged (formally or otherwise) that they experienced harassment",
        "paragraph_id": "para_793",
        "court_paragraph": 26
      },
      {
        "text": "or discrimination.",
        "paragraph_id": "para_794"
      },
      {
        "text": "Here, by contrast, when Newton declined to meet with Pratt,",
        "paragraph_id": "para_795"
      },
      {
        "text": "Defendants were undoubtedly aware that Newton believed that",
        "paragraph_id": "para_796"
      },
      {
        "text": "she experienced discrimination at LVMH, including harassment",
        "paragraph_id": "para_797"
      },
      {
        "text": "and an assault. She had been speaking out against the alleged",
        "paragraph_id": "para_798"
      },
      {
        "text": "mistreatment and vigorously litigating to seek compensation for",
        "paragraph_id": "para_799"
      },
      {
        "text": "years. Thus, the context and timeline of Newton’s refusal to",
        "paragraph_id": "para_800"
      },
      {
        "text": "discuss settlement explains why a reasonable employer could",
        "paragraph_id": "para_801"
      },
      {
        "text": "have understood her refusal differently than the employers in",
        "paragraph_id": "para_802"
      },
      {
        "text": "Bottge and Pleener.",
        "paragraph_id": "para_803"
      },
      {
        "text": "Finally, Defendants resort to policy arguments to support",
        "paragraph_id": "para_804"
      },
      {
        "text": "their position. In particular, they contend that, if refusing to",
        "paragraph_id": "para_805"
      },
      {
        "text": "discuss settlement can constitute a protected activity, “parties",
        "paragraph_id": "para_806"
      },
      {
        "text": "would have significant disincentives to initiate settlement",
        "paragraph_id": "para_807"
      },
      {
        "text": "discussions, undermining the strong public policy favoring",
        "paragraph_id": "para_808"
      },
      {
        "text": "settlement, and even court ordered settlement communications",
        "paragraph_id": "para_809"
      },
      {
        "text": "could lead to retaliation claims.” Appellees’ Br. at 33. As a",
        "paragraph_id": "para_810"
      },
      {
        "text": "threshold matter, “policy concerns cannot trump the best",
        "paragraph_id": "para_811"
      },
      {
        "text": "interpretation of the statutory text.” Patel v. Garland, 596 U.S. 328,",
        "paragraph_id": "para_812"
      },
      {
        "text": "346 (2022). In any event, it is difficult to imagine how this holding",
        "paragraph_id": "para_813"
      },
      {
        "text": "will have a chilling effect on settlement negotiations. It will",
        "paragraph_id": "para_814"
      },
      {
        "text": "hardly come as a surprise to employers, who are already well",
        "paragraph_id": "para_815"
      },
      {
        "text": "aware that retaliation against an employee for filing a",
        "paragraph_id": "para_816"
      },
      {
        "text": "discrimination lawsuit violates Title VII, that they also cannot",
        "paragraph_id": "para_817"
      },
      {
        "text": "retaliate against that same employee for refusing to settle the case.",
        "paragraph_id": "para_818"
      },
      {
        "text": "Moreover, it would make no sense, in light of the text and",
        "paragraph_id": "para_819"
      },
      {
        "text": "purpose of Title VII, to provide an employee with protection from",
        "paragraph_id": "para_820"
      },
      {
        "text": "retaliation from the initial filing of a discrimination lawsuit, but",
        "paragraph_id": "para_821"
      },
      {

      },
      {
        "text": "(including by termination of employment) because of subsequent",
        "paragraph_id": "para_824"
      },
      {

        "paragraph_id": "para_825"
      },
      {
        "text": "statements made or positions taken by the employee in",
        "paragraph_id": "para_826",
        "court_paragraph": 27
      },
      {
        "text": "connection with settlement discussions or other aspects of the",
        "paragraph_id": "para_827"
      },
      {
        "text": "ongoing litigation.",
        "paragraph_id": "para_828"
      },
      {
        "text": "In sum, based upon the facts alleged in this complaint, we",
        "paragraph_id": "para_829"
      },
      {
        "text": "conclude that Newton has plausibly alleged that her refusal to",
        "paragraph_id": "para_830"
      },
      {
        "text": "meet with Pratt to discuss a potential settlement of her then-",
        "paragraph_id": "para_831"
      },
      {
        "text": "pending discrimination claims constituted protected activity",
        "paragraph_id": "para_832"
      },
      {
        "text": "under Title VII, the NYSHRL, and the NYCHRL.14",
        "paragraph_id": "para_833"
      },
      {
        "text": "C. Causation",
        "paragraph_id": "para_834"
      },
      {
        "text": "Having determined that Newton has plausibly alleged a",
        "paragraph_id": "para_835"
      },
      {
        "text": "protected activity, we now proceed to consider whether she has",
        "paragraph_id": "para_836"
      },
      {
        "text": "plausibly alleged causation between her protected activity and",
        "paragraph_id": "para_837"
      },
      {
        "text": "her termination on December 1, 2022.15",
        "paragraph_id": "para_838"
      },
      {
        "text": "To state a Title VII, NYSHRL, or NYCHRL retaliation claim,",
        "paragraph_id": "para_839"
      },
      {
        "text": "the plaintiff must plausibly allege a causal connection between",
        "paragraph_id": "para_840"
      },
      {
        "text": "the protected activity and the adverse employment action. Vega,",
        "paragraph_id": "para_841"
      },
      {
        "text": "801 F.3d at 90 (Title VII); Harrington v. City of New York, 70 N.Y.S.3d",
        "paragraph_id": "para_842"
      },
      {
        "text": "177, 180 (1st Dep’t 2018) (NYSHRL and NYCHRL). Under Title VII",
        "paragraph_id": "para_843"
      },
      {
        "text": "the plaintiff must ultimately show “but-for” causation. Univ. of",
        "paragraph_id": "para_844"
      },
      {
        "text": "14 Because we conclude that Newton has alleged a protected activity in",

      },
      {
        "text": "connection with her refusal to meet with Pratt to discuss settlement of her",
        "paragraph_id": "para_846"
      },
      {
        "text": "claims in August 2022, and has plausibly alleged a retaliation claim based",
        "paragraph_id": "para_847"
      },
      {
        "text": "on that protected activity for reasons discussed infra, we need not address",
        "paragraph_id": "para_848"
      },
      {
        "text": "whether the district court also erred in determining that her statements at",
        "paragraph_id": "para_849"
      },
      {
        "text": "a public forum and on social media in October and November 2022 did",
        "paragraph_id": "para_850"
      },
      {
        "text": "not constitute protected activity because she did not sufficiently allege the",
        "paragraph_id": "para_851"
      },
      {
        "text": "employer’s awareness of such activity.",
        "paragraph_id": "para_852"
      },
      {
        "text": "15 Defendants do not contest that Newton’s termination constitutes an",
        "paragraph_id": "para_853"
      },
      {
        "text": "adverse employment action. See Appellees’ Br. at 29; see also Edelman, 141",
        "paragraph_id": "para_854"
      },
      {
        "text": "F.4th at 45–46 (concluding that termination is an adverse employment",
        "paragraph_id": "para_855"
      },
      {
        "text": "action under Title VII, the NYSHRL, and the NYCHRL).",
        "paragraph_id": "para_856"
      },
      {
        "text": "28",
        "paragraph_id": "para_857"
      },
      {
        "text": "Texas Sw. Med. Ctr. v. Nassar, 570 U.S. 338, 360 (2013). Under the",
        "paragraph_id": "para_858",
        "court_paragraph": 28
      },
      {
        "text": "NYSHRL and NYCHRL, however, the plaintiff need only show",
        "paragraph_id": "para_859"
      },
      {
        "text": "“that retaliatory animus was a motivating factor, that is, that it",
        "paragraph_id": "para_860"
      },
      {
        "text": "played any role at all in the challenged conduct.” Edelman, 141",
        "paragraph_id": "para_861"
      },
      {
        "text": "F.4th at 49 (internal quotation marks and citations omitted).",
        "paragraph_id": "para_862"
      },
      {
        "text": "Moreover, under any of these statutes, one available method of",
        "paragraph_id": "para_863"
      },
      {
        "text": "plausibly alleging causation is to do so “indirectly by timing:",
        "paragraph_id": "para_864"
      },
      {
        "text": "protected activity followed closely in time by adverse",
        "paragraph_id": "para_865"
      },
      {
        "text": "employment action.” Vega, 801 F.3d at 90; accord Harrington, 70",
        "paragraph_id": "para_866"
      },
      {
        "text": "N.Y.S.3d at 181. “We have not drawn a bright line to define the",
        "paragraph_id": "para_867"
      },
      {
        "text": "outer limits beyond which a temporal relationship is too",
        "paragraph_id": "para_868"
      },
      {
        "text": "attenuated to establish [the requisite] causal relationship.”",
        "paragraph_id": "para_869"
      },
      {
        "text": "Littlejohn, 795 F.3d at 319 (internal quotation marks and citation",
        "paragraph_id": "para_870"
      },
      {
        "text": "omitted). Instead, “our caselaw teaches that a period of several",
        "paragraph_id": "para_871"
      },
      {
        "text": "weeks to several months may establish the required causal",
        "paragraph_id": "para_872"
      },
      {
        "text": "relationship.” Ziparo v. CSX Transp., Inc., 160 F.4th 314, 336 (2d",
        "paragraph_id": "para_873"
      },
      {
        "text": "Cir. 2025).",
        "paragraph_id": "para_874"
      },
      {
        "text": "Here, Newton’s refusal to meet with Pratt occurred on an",
        "paragraph_id": "para_875"
      },
      {
        "text": "unspecified date in August 2022, and she was informed of her",
        "paragraph_id": "para_876"
      },
      {
        "text": "termination on December 1, 2022. App’x at 76. Thus, the time",
        "paragraph_id": "para_877"
      },
      {
        "text": "between the refusal and the termination is as much as four",
        "paragraph_id": "para_878"
      },
      {
        "text": "months. We have previously held that similar amounts of time",
        "paragraph_id": "para_879"
      },
      {
        "text": "are sufficient to suggest causation. See, e.g., Gorzynski v. JetBlue",
        "paragraph_id": "para_880"
      },
      {
        "text": "Airways Corp., 596 F.3d 93, 110 (2d Cir. 2010) (“[W]e have",
        "paragraph_id": "para_881"
      },
      {
        "text": "previously held that five months is not too long to find the causal",
        "paragraph_id": "para_882"
      },
      {
        "text": "relationship.”); Abrams v. Dep’t of Pub. Safety, 764 F.3d 244, 254 (2d",
        "paragraph_id": "para_883"
      },
      {
        "text": "Cir. 2014) (five months); Gorman-Bakos v. Cornell Co-Op Extension",
        "paragraph_id": "para_884"
      },
      {
        "text": "of Schenectady Cnty., 252 F.3d 545, 555 (2d Cir. 2001) (four months).",
        "paragraph_id": "para_885"
      },
      {
        "text": "Importantly, “[w]here temporal proximity is not the only",
        "paragraph_id": "para_886"
      },
      {
        "text": "evidence that bears on a causal connection, we have recognized",
        "paragraph_id": "para_887"
      },
      {
        "text": "that the lapse in time between the protected activity and adverse",
        "paragraph_id": "para_888"
      },
      {
        "text": "action can be longer.” Banks v. Gen. Motors, LLC, 81 F.4th 242, 277–",
        "paragraph_id": "para_889"
      },
      {
        "text": "29",
        "paragraph_id": "para_890"
      },
      {
        "text": "78 (2d Cir. 2023). That additional evidence of causation can arise",
        "paragraph_id": "para_891",
        "court_paragraph": 29
      },
      {
        "text": "in the context of an ongoing discrimination lawsuit brought by",
        "paragraph_id": "para_892"
      },
      {
        "text": "the employee. See, e.g., Richardson v. N.Y. State Dep’t of Corr. Serv.,",
        "paragraph_id": "para_893"
      },
      {
        "text": "180 F.3d 426, 446–47 (2d Cir. 1999) (noting that adverse actions",
        "paragraph_id": "para_894"
      },
      {
        "text": "within one month of receipt of plaintiff’s deposition notices may",
        "paragraph_id": "para_895"
      },
      {
        "text": "be retaliation for initiation of lawsuit approximately one year",
        "paragraph_id": "para_896"
      },
      {
        "text": "earlier where harassment was ongoing throughout litigation),",
        "paragraph_id": "para_897"
      },
      {
        "text": "abrogated on other grounds by Burlington N., 548 U.S. 53; Mosleh v.",
        "paragraph_id": "para_898"
      },
      {
        "text": "Howard Univ., No. 19-CV-00339 (CJN), 2020 WL 956527, at *8",
        "paragraph_id": "para_899"
      },
      {
        "text": "(D.D.C. Feb. 27, 2020) (noting that “retaliatory conduct that",
        "paragraph_id": "para_900"
      },
      {
        "text": "occurred during the course of litigation, long after the original",
        "paragraph_id": "para_901"
      },
      {
        "text": "protected activity, may sufficiently indicate a temporal causation",
        "paragraph_id": "para_902"
      },
      {
        "text": "link”) (internal quotation marks and citation omitted). Moreover,",
        "paragraph_id": "para_903"
      },
      {
        "text": "in looking at “the facts as a whole,” we can also consider",
        "paragraph_id": "para_904"
      },
      {
        "text": "intervening patterns of “antagonism” or a “drumbeat of",
        "paragraph_id": "para_905"
      },
      {
        "text": "retaliatory animus” that do not themselves necessarily rise to a",
        "paragraph_id": "para_906"
      },
      {
        "text": "level of an adverse employment action. Duplan v. City of New",
        "paragraph_id": "para_907"
      },
      {
        "text": "York, 888 F.3d 612, 626 (2d Cir. 2018). Such additional facts inform",
        "paragraph_id": "para_908"
      },
      {
        "text": "our “judgment about the permissible inferences that can be",
        "paragraph_id": "para_909"
      },
      {
        "text": "drawn from temporal proximity in the context of particular",
        "paragraph_id": "para_910"
      },
      {
        "text": "cases.” Espinal v. Goord, 558 F.3d 119, 129 (2d Cir. 2009); see also",
        "paragraph_id": "para_911"
      },
      {
        "text": "Andrews v. City of Philadelphia, 895 F.2d 1469, 1484 (3d Cir. 1990)",
        "paragraph_id": "para_912"
      },
      {
        "text": "(“A play cannot be understood on the basis of some of its scenes",
        "paragraph_id": "para_913"
      },
      {
        "text": "but only on its entire performance, and similarly, a discrimination",
        "paragraph_id": "para_914"
      },
      {
        "text": "analysis must concentrate not on individual incidents, but on the",
        "paragraph_id": "para_915"
      },
      {
        "text": "overall scenario.”).",
        "paragraph_id": "para_916"
      },
      {
        "text": "Here, Newton does not rely solely on temporal proximity to",
        "paragraph_id": "para_917"
      },
      {
        "text": "plead causation. Instead, Newton has also alleged that she",
        "paragraph_id": "para_918"
      },
      {
        "text": "experienced repeated instances of antagonism and retaliatory",
        "paragraph_id": "para_919"
      },
      {
        "text": "animus between refusing to meet with Pratt and her termination.",
        "paragraph_id": "para_920"
      },
      {
        "text": "For example, she alleges she was required to seek preapproval",
        "paragraph_id": "para_921"
      },
      {
        "text": "from Defendants before she agreed to speak on any outside",
        "paragraph_id": "para_922"
      },
      {
        "text": "30",
        "paragraph_id": "para_923"
      },
      {
        "text": "panels; that Defendants objected to her speaking on an outside",
        "paragraph_id": "para_924",
        "court_paragraph": 30
      },
      {
        "text": "keynote panel; that Pratt unnecessarily inserted himself into",
        "paragraph_id": "para_925"
      },
      {
        "text": "some of Newton’s matters while also excluding her from others;",
        "paragraph_id": "para_926"
      },
      {
        "text": "that Pratt ignored Newton in weekly one-on-one meetings except",
        "paragraph_id": "para_927"
      },
      {
        "text": "to criticize her; that she was excluded from a farewell dinner for",
        "paragraph_id": "para_928"
      },
      {
        "text": "a departing employee in the legal department; and that she was",
        "paragraph_id": "para_929"
      },
      {
        "text": "not invited to a sale hosted by LVMH that was otherwise open to",
        "paragraph_id": "para_930"
      },
      {
        "text": "LVMH employees.",
        "paragraph_id": "para_931"
      },
      {
        "text": "Moreover, Newton alleges that the manner of her termination",
        "paragraph_id": "para_932"
      },
      {
        "text": "by Pratt was a departure from company protocol and done to",
        "paragraph_id": "para_933"
      },
      {
        "text": "humiliate her:",
        "paragraph_id": "para_934"
      },
      {
        "text": "On or about November 28, 2022, for the first time ever,",
        "paragraph_id": "para_935"
      },
      {
        "text": "Defendant Pratt scheduled a mandatory in-person team",
        "paragraph_id": "para_936"
      },
      {
        "text": "meeting for the entire Legal Department on Thursday,",
        "paragraph_id": "para_937"
      },
      {
        "text": "December 1, 2022. . . . On or about November 30, 2022,",
        "paragraph_id": "para_938"
      },
      {
        "text": "Defendant Pratt rescheduled his regular one-on-one",
        "paragraph_id": "para_939"
      },
      {
        "text": "meeting with Ms. Newton to December 1, 2022. . . . When",
        "paragraph_id": "para_940"
      },
      {
        "text": "Ms. Newton arrived at the meeting, she noted that",
        "paragraph_id": "para_941"
      },
      {
        "text": "Defendant Louis Vuitton’s Human Resources Director",
        "paragraph_id": "para_942"
      },
      {
        "text": "Jolie Shehadeh was also present. At the December 1, 2022",
        "paragraph_id": "para_943"
      },
      {
        "text": "meeting, Defendant Pratt informed Ms. Newton that her",
        "paragraph_id": "para_944"
      },
      {
        "text": "employment would be terminated effective January 1,",
        "paragraph_id": "para_945"
      },
      {
        "text": "2023. Ms. Newton was instructed to exit the office",
        "paragraph_id": "para_946"
      },
      {
        "text": "“within the hour,” by 5 PM, and to leave her work",
        "paragraph_id": "para_947"
      },
      {
        "text": "devices and badge in the office. At the discharge",
        "paragraph_id": "para_948"
      },
      {
        "text": "meeting, Defendant Pratt explicitly stated that Ms.",
        "paragraph_id": "para_949"
      },
      {
        "text": "Newton’s firing was completely unrelated to her",
        "paragraph_id": "para_950"
      },
      {
        "text": "performance. Upon information and belief, Defendant",
        "paragraph_id": "para_951"
      },
      {
        "text": "Louis Vuitton’s protocol was to terminate previous",
        "paragraph_id": "para_952"
      },
      {
        "text": "executives on Fridays at 8 AM, specifically so that no one",
        "paragraph_id": "para_953"
      },
      {
        "text": "else would see or hear, and to avoid their humiliation in",
        "paragraph_id": "para_954"
      },
      {
        "text": "front of their colleagues. Defendant Louis Vuitton",
        "paragraph_id": "para_955"
      },
      {
        "text": "decided to use a different practice when firing",
        "paragraph_id": "para_956"
      },
      {
        "text": "Ms. Newton as Defendant Louis Vuitton intended to—",
        "paragraph_id": "para_957"
      },
      {
        "text": "and did—humiliate her by making her firing as public as",
        "paragraph_id": "para_958"
      },
      {
        "text": "31",
        "paragraph_id": "para_959"
      },
      {
        "text": "possible. In fact, to make sure that Ms. Newton was as",
        "paragraph_id": "para_960",
        "court_paragraph": 31
      },
      {
        "text": "publicly demeaned and dehumanized as possible, and so",
        "paragraph_id": "para_961"
      },
      {
        "text": "that other employees could be reminded of what",
        "paragraph_id": "para_962"
      },
      {
        "text": "happens to employees who report sexual harassment",
        "paragraph_id": "para_963"
      },
      {
        "text": "and retaliation, Defendant Pratt scheduled the",
        "paragraph_id": "para_964"
      },
      {
        "text": "unprecedented, highly unusual, mandatory, in-person",
        "paragraph_id": "para_965"
      },
      {
        "text": "team meeting for 4 PM that very Thursday, immediately",
        "paragraph_id": "para_966"
      },
      {
        "text": "after the meeting in which he fired Ms. Newton, with the",
        "paragraph_id": "para_967"
      },
      {
        "text": "express intent of making sure that all of her colleagues",
        "paragraph_id": "para_968"
      },
      {
        "text": "were present to watch her public humiliation. Defendant",
        "paragraph_id": "para_969"
      },
      {
        "text": "Louis Vuitton’s intended effect took place—when the",
        "paragraph_id": "para_970"
      },
      {
        "text": "team meeting finished, her colleagues returned from the",
        "paragraph_id": "para_971"
      },
      {
        "text": "meeting just in time to see her frantically packing up her",
        "paragraph_id": "para_972"
      },
      {
        "text": "personal items, sweating profusely, while the HR and",
        "paragraph_id": "para_973"
      },
      {
        "text": "building staff assigned to monitor her packing barked",
        "paragraph_id": "para_974"
      },
      {
        "text": "their countdown at her: “7 minutes! . . . 2 minutes! . . . 30",
        "paragraph_id": "para_975"
      },
      {
        "text": "seconds!”",
        "paragraph_id": "para_976"
      },
      {
        "text": "App’x at 79–80.",
        "paragraph_id": "para_977"
      },
      {
        "text": "Assuming the truth of these allegations and drawing all",
        "paragraph_id": "para_978"
      },
      {
        "text": "inferences in Newton’s favor (as we must at the motion to dismiss",
        "paragraph_id": "para_979"
      },
      {
        "text": "stage), the combination of temporal proximity and these",
        "paragraph_id": "para_980"
      },
      {
        "text": "antagonistic actions lead us to conclude that Newton has",
        "paragraph_id": "para_981"
      },
      {
        "text": "plausibly alleged causation. See Summa v. Hofstra Univ., 708 F.3d",
        "paragraph_id": "para_982"
      },
      {
        "text": "115, 128 (2d Cir. 2013) (“[T]he combination of reasonably close",
        "paragraph_id": "para_983"
      },
      {
        "text": "temporal proximity and the particular context in this case is",
        "paragraph_id": "para_984"
      },
      {
        "text": "sufficient to infer causation.”).",
        "paragraph_id": "para_985"
      },
      {
        "text": "* * *",
        "paragraph_id": "para_986"
      },
      {
        "text": "In sum, we conclude that Newton’s complaint plausibly",
        "paragraph_id": "para_987"
      },
      {
        "text": "alleged a claim of retaliation under Title VII, the NYSHRL, and",
        "paragraph_id": "para_988"
      },
      {
        "text": "the NYCHRL.",
        "paragraph_id": "para_989"
      },
      {
        "text": "II. Newton’s Motion to Amend",
        "paragraph_id": "para_990"
      },
      {
        "text": "At the same time that Newton opposed Defendants’ motion to",
        "paragraph_id": "para_991"
      },
      {
        "text": "dismiss before the district court, she also filed a cross-motion to",
        "paragraph_id": "para_992"
      },
      {
        "text": "32",
        "paragraph_id": "para_993"
      },
      {
        "text": "amend her complaint, which the district court denied. Newton,",
        "paragraph_id": "para_994",
        "court_paragraph": 32
      },
      {
        "text": "746 F. Supp. 3d at 160–62. For the reasons explained in more detail",
        "paragraph_id": "para_995"
      },
      {
        "text": "below, we conclude that Newton’s attempt to amend her",
        "paragraph_id": "para_996"
      },
      {
        "text": "complaint was futile because the claims she sought to add were",
        "paragraph_id": "para_997"
      },
      {
        "text": "covered by a binding arbitration agreement.",
        "paragraph_id": "para_998"
      },
      {
        "text": "Federal Rule of Civil Procedure Rule 15(a)(2) provides that “[a]",
        "paragraph_id": "para_999"
      },
      {
        "text": "court should freely give leave” to amend “when justice so",
        "paragraph_id": "para_1000"
      },
      {
        "text": "requires.” Leave may be denied, however, “for good reason,",
        "paragraph_id": "para_1001"
      },
      {
        "text": "including futility, bad faith, undue delay, or undue prejudice to",
        "paragraph_id": "para_1002"
      },
      {
        "text": "the opposing party.” Holmes v. Grubman, 568 F.3d 329, 334 (2d",
        "paragraph_id": "para_1003"
      },
      {
        "text": "Cir. 2009) (internal quotation marks and citation omitted).",
        "paragraph_id": "para_1004"
      },
      {
        "text": "Although “we ordinarily review a district court’s denial of leave",
        "paragraph_id": "para_1005"
      },
      {
        "text": "to amend for abuse of discretion,” Yerkyn v. Yakovlevich, 164 F.4th",
        "paragraph_id": "para_1006"
      },
      {
        "text": "224, 227 (2d Cir. 2026), when “the denial was based on an",
        "paragraph_id": "para_1007"
      },
      {
        "text": "interpretation of law, such as futility,” “[t]he denial of leave to",
        "paragraph_id": "para_1008"
      },
      {
        "text": "amend is . . . reviewed de novo,” Gelbiom v. Bank of Am. Corp., 823",
        "paragraph_id": "para_1009"
      },
      {
        "text": "F.3d 759, 769 (2d Cir. 2016) (internal quotation marks and citation",
        "paragraph_id": "para_1010"
      },
      {
        "text": "omitted). It is futile to seek to amend to add claims that are",
        "paragraph_id": "para_1011"
      },
      {
        "text": "subject to a binding arbitration agreement. See Gallop v. Cheney,",
        "paragraph_id": "para_1012"
      },
      {
        "text": "642 F.3d 364, 369 (2d Cir. 2011) (explaining that, where proposed",
        "paragraph_id": "para_1013"
      },
      {
        "text": "allegations would not lead to a “different result,” amendment",
        "paragraph_id": "para_1014"
      },
      {
        "text": "would be futile).",
        "paragraph_id": "para_1015"
      },
      {
        "text": "Newton’s cross-motion to amend sought to “consolidate” her",
        "paragraph_id": "para_1016"
      },
      {
        "text": "claims that were then pending in arbitration, and the retaliation",
        "paragraph_id": "para_1017"
      },
      {
        "text": "claims that were pending in this lawsuit. Appellant’s Br. at 20.",
        "paragraph_id": "para_1018"
      },
      {
        "text": "Thus, in the proposed amended complaint (the “PAC”),16",
        "paragraph_id": "para_1019"
      },
      {

      },
      {
        "text": "Newton in connection with a premotion letter. See App’x at 131–219. The",
        "paragraph_id": "para_1021"
      },
      {

        "paragraph_id": "para_1022"
      },
      {
        "text": "slightly in that it contains some additional allegations. See Proposed",
        "paragraph_id": "para_1023"
      },
      {
        "text": "Amended Complaint, Newton v. LVMH Moët Hennessy Louis Vuitton Inc.,",
        "paragraph_id": "para_1024"
      },
      {
        "text": "33",
        "paragraph_id": "para_1025"
      },
      {
        "text": "Newton sought to add five new Defendants: (1) Doran (the",
        "paragraph_id": "para_1026",
        "court_paragraph": 33
      },
      {
        "text": "alleged harasser); (2) Firestone (LVMH’s former general counsel);",
        "paragraph_id": "para_1027"
      },
      {
        "text": "(3) Martinez (employment counsel at LVMH); (4) Melwani",
        "paragraph_id": "para_1028"
      },
      {
        "text": "(LVMH’s CEO); and (5) Smith (Senior Vice President of HR at",
        "paragraph_id": "para_1029"
      },
      {

        "text": "harassment, a hostile work environment, and retaliation in",
        "paragraph_id": "para_1031"
      },
      {
        "text": "violation of the NYSHRL and NYCHRL against all Defendants;",
        "paragraph_id": "para_1032"
      },
      {
        "text": "(2) aider and abettor liability for the same conduct under the",
        "paragraph_id": "para_1033"
      },
      {
        "text": "NYSHRL and NYCHRL against all individual Defendants; (3) a",
        "paragraph_id": "para_1034"
      },
      {
        "text": "violation of the federal Equal Pay Act, 29 U.S.C. § 206(d), against",
        "paragraph_id": "para_1035"
      },
      {
        "text": "all Defendants; and (4) a violation of the New York Equal Pay Act,",
        "paragraph_id": "para_1036"
      },
      {
        "text": "N.Y. Labor Law § 190 et seq., against all defendants.17",
        "paragraph_id": "para_1037"
      },
      {
        "text": "The parties do not dispute that the new claims in the PAC are",
        "paragraph_id": "para_1038"
      },
      {
        "text": "(at least facially) subject to an arbitration agreement that Newton",
        "paragraph_id": "para_1039"
      },
      {
        "text": "signed when she joined LVMH. We generally must enforce such",
        "paragraph_id": "para_1040"
      },
      {
        "text": "agreements. See AT&T Mobility LLC v. Concepcion, 563 U.S. 333,",
        "paragraph_id": "para_1041"
      },
      {
        "text": "339 (2011). Newton argues, however, that the EFAA allows her to",
        "paragraph_id": "para_1042"
      },
      {
        "text": "invalidate her arbitration agreement and bring all of her claims in",
        "paragraph_id": "para_1043"
      },
      {
        "text": "court.",
        "paragraph_id": "para_1044"
      },
      {
        "text": "No. 23-CV-10753 (S.D.N.Y. Mar. 19, 2024), Dkt. No. 37. In evaluating",
        "paragraph_id": "para_1045"
      },
      {
        "text": "Newton’s appeal, this Court analyzes the version actually submitted with",
        "paragraph_id": "para_1046"
      },
      {
        "text": "Newton’s cross-motion and refers to it as the “PAC.” See Fed. R. App. P.",
        "paragraph_id": "para_1047"
      },
      {
        "text": "10(a)(1) (defining the record on appeal as, in relevant part, “the original",
        "paragraph_id": "para_1048"
      },
      {
        "text": "papers and exhibits filed in the district court”); Fed. R. App. P. 30(a)(2)",
        "paragraph_id": "para_1049"
      },
      {
        "text": "(“Parts of the record may be relied on by the court or the parties even",
        "paragraph_id": "para_1050"
      },
      {
        "text": "though not included in the appendix.”).",
        "paragraph_id": "para_1051"
      },
      {
        "text": "17 The PAC also contained the same two Title VII, NYSHRL, and NYCHRL",
        "paragraph_id": "para_1052"
      },
      {
        "text": "retaliation claims contained in Newton’s initial complaint. The only",
        "paragraph_id": "para_1053"
      },
      {
        "text": "difference is that, although the NYSHHRL/NYCHRL claim was",
        "paragraph_id": "para_1054"
      },
      {
        "text": "previously brought only against Pratt, the PAC sought to bring it against",
        "paragraph_id": "para_1055"
      },
      {
        "text": "all defendants.",
        "paragraph_id": "para_1056"
      },
      {
        "text": "34",
        "paragraph_id": "para_1057"
      },
      {
        "text": "The EFAA provides that:",
        "paragraph_id": "para_1058",
        "court_paragraph": 34
      },
      {
        "text": "[A]t the election of [a] person alleging conduct",
        "paragraph_id": "para_1059"
      },
      {
        "text": "constituting a sexual harassment dispute or sexual",
        "paragraph_id": "para_1060"
      },
      {
        "text": "assault dispute . . . no predispute arbitration agreement",
        "paragraph_id": "para_1061"
      },
      {
        "text": ". . . shall be valid or enforceable with respect to a case",
        "paragraph_id": "para_1062"
      },
      {
        "text": "which is filed under Federal, Tribal, or State law and",
        "paragraph_id": "para_1063"
      },
      {
        "text": "relates to the sexual assault dispute or the sexual",
        "paragraph_id": "para_1064"
      },
      {
        "text": "harassment dispute.",
        "paragraph_id": "para_1065"
      },
      {
        "text": "9 U.S.C § 402(a). However, the EFAA applies only “with respect",
        "paragraph_id": "para_1066"
      },
      {
        "text": "to any dispute or claim that arises or accrues on or after” March",
        "paragraph_id": "para_1067"
      },
      {
        "text": "3, 2022. Pub. L. No. 117-90, § 3, 136 Stat. 26, 28 (2022).18 A claim",
        "paragraph_id": "para_1068"
      },
      {
        "text": "“accrues” at “the point at which the statute of limitations clock",
        "paragraph_id": "para_1069"
      },
      {
        "text": "starts ticking.” Olivieri, 112 F.4th at 87. That point “depends on",
        "paragraph_id": "para_1070"
      },
      {
        "text": "the nature of the claim, and is informed by common law",
        "paragraph_id": "para_1071"
      },
      {
        "text": "principles.” Id.",
        "paragraph_id": "para_1072"
      },
      {
        "text": "For the reasons explained below, we conclude each of the new",
        "paragraph_id": "para_1073"
      },
      {
        "text": "claims that Newton sought to add in the PAC accrued prior to",
        "paragraph_id": "para_1074"
      },
      {
        "text": "March 3, 2022.",
        "paragraph_id": "para_1075"
      },
      {
        "text": "A. Hostile Work Environment Claims",
        "paragraph_id": "para_1076"
      },
      {
        "text": "We first consider those claims alleging a retaliatory hostile",
        "paragraph_id": "para_1077"
      },
      {
        "text": "work environment in violation of the NYSHRL and NYCHRL.",
        "paragraph_id": "para_1078"
      },
      {
        "text": "See Carr v. N.Y.C. Transit Auth., 76 F.4th 172, 179 (2d Cir. 2023)",
        "paragraph_id": "para_1079"
      },
      {
        "text": "(discussing the standard for a “retaliatory hostile work",
        "paragraph_id": "para_1080"
      },
      {
        "text": "environment claim”). Fundamentally, those claims are based on",
        "paragraph_id": "para_1081"
      },
      {
        "text": "Doran’s alleged “unwanted sexual advances” and “unwanted",
        "paragraph_id": "para_1082"
      },
      {
        "text": "verbal and physical conduct of a sexual nature” directed towards",
        "paragraph_id": "para_1083"
      },
      {
        "text": "Newton, and LVMH and its employees’ allegedly deficient and",
        "paragraph_id": "para_1084"
      },
      {

      },

      },
      {

      },
      {
        "text": "retaliatory responses. PAC ¶¶ 353–54. These claims (and the",
        "paragraph_id": "para_1089",
        "court_paragraph": 35
      },
      {
        "text": "factual allegations underpinning them) are nearly identical to",
        "paragraph_id": "para_1090"
      },
      {
        "text": "those contained in the arbitration demand that Newton filed on",
        "paragraph_id": "para_1091"
      },
      {
        "text": "June 1, 2021. Compare App’x at 248–310 (Newton’s 2021 arbitration",
        "paragraph_id": "para_1092"
      },
      {
        "text": "demand) with PAC ¶¶ 1–258, 326–77. Thus, each of those claims",
        "paragraph_id": "para_1093"
      },
      {
        "text": "accrued by June 1, 2021—before the effective date of the EFAA,",
        "paragraph_id": "para_1094"
      },
      {
        "text": "which renders it inapplicable.",
        "paragraph_id": "para_1095"
      },
      {
        "text": "In an attempt to avoid this conclusion, Newton argues that the",
        "paragraph_id": "para_1096"
      },
      {
        "text": "continuing violation doctrine applies, which would mean that",
        "paragraph_id": "para_1097"
      },
      {
        "text": "her claims reaccrued after the EFAA became effective. Thus,",
        "paragraph_id": "para_1098"
      },
      {
        "text": "Newton contends that the district court “erred by denying [her]",
        "paragraph_id": "para_1099"
      },
      {
        "text": "request for leave to amend the [c]omplaint to add her claims from",
        "paragraph_id": "para_1100"
      },
      {
        "text": "the Sexual Misconduct Arbitration to this case because they were",
        "paragraph_id": "para_1101"
      },
      {
        "text": "part of a retaliatory hostile workplace subject to the continuing",
        "paragraph_id": "para_1102"
      },
      {
        "text": "violation doctrine that extended through [her] termination.”",
        "paragraph_id": "para_1103"
      },
      {
        "text": "Appellant’s Br. at 25. We are unpersuaded.",
        "paragraph_id": "para_1104"
      },
      {
        "text": "The continuing violation doctrine is a different way of",
        "paragraph_id": "para_1105"
      },
      {
        "text": "determining when a claim accrues. It applies to unlawful",
        "paragraph_id": "para_1106"
      },
      {
        "text": "employment practices that “cannot be said to occur on any",
        "paragraph_id": "para_1107"
      },
      {
        "text": "particular day,” because they “are based on the cumulative effect",
        "paragraph_id": "para_1108"
      },
      {
        "text": "of individual acts.” Nat’l R.R. Passenger Corp. v. Morgan, 536 U.S.",
        "paragraph_id": "para_1109"
      },
      {
        "text": "101, 115 (2002). For example, a hostile work environment claim is",
        "paragraph_id": "para_1110"
      },
      {
        "text": "generally subject to the continuing violation doctrine. Id.; see also",
        "paragraph_id": "para_1111"
      },
      {
        "text": "Olivieri, 112 F.4th at 91 (NYSHRL); St. Jean Jeudy v. City of New York,",
        "paragraph_id": "para_1112"
      },
      {
        "text": "37 N.Y.S.3d 498, 500 (1st Dep’t 2016) (NYCHRL).",
        "paragraph_id": "para_1113"
      },
      {
        "text": "However, to trigger the doctrine, the timely and untimely acts",
        "paragraph_id": "para_1114"
      },
      {
        "text": "must be “sufficiently related” such that they constitute part of the",
        "paragraph_id": "para_1115"
      },
      {
        "text": "same “unlawful employment practice.” McGullam v. Cedar",
        "paragraph_id": "para_1116"
      },
      {
        "text": "Graphics, Inc., 609 F.3d 70, 75, 77 (2d Cir. 2010) (internal quotation",
        "paragraph_id": "para_1117"
      },
      {
        "text": "marks and citation omitted); see also Lozada v. Hook, 54 N.Y.S.3d",
        "paragraph_id": "para_1118"
      },
      {
        "text": "688, 689 (2d Dep’t 2017) (explaining that, under the NYSHRL,",
        "paragraph_id": "para_1119"
      },
      {
        "text": "timely and untimely instances must be “specific and related”);",
        "paragraph_id": "para_1120"
      },
      {
        "text": "36",
        "paragraph_id": "para_1121"
      },
      {
        "text": "Taylor v. City of New York, 207 F. Supp. 3d 293, 302–03 (S.D.N.Y.",
        "paragraph_id": "para_1122",
        "court_paragraph": 36
      },
      {
        "text": "2016) (same for the NYCHRL).19 To determine whether the",
        "paragraph_id": "para_1123"
      },
      {
        "text": "requisite relationship between timely and untimely acts has been",
        "paragraph_id": "para_1124"
      },
      {
        "text": "shown, we consider a variety of factors, including “the",
        "paragraph_id": "para_1125"
      },
      {
        "text": "commonality of the environment in which the incidents took",
        "paragraph_id": "para_1126"
      },
      {
        "text": "place (and whether a change in environment is due to intervening",
        "paragraph_id": "para_1127"
      },
      {
        "text": "action by the employer), the nature of the incidents, and the",
        "paragraph_id": "para_1128"
      },
      {
        "text": "temporal discontinuity between the incidents.”20 McGullam, 609",
        "paragraph_id": "para_1129"
      },
      {
        "text": "F.3d at 80–81 (Calabresi, J., concurring). At bottom, this is a",
        "paragraph_id": "para_1130"
      },
      {
        "text": "flexible inquiry necessitated by the “context as fact-specific and",
        "paragraph_id": "para_1131"
      },
      {
        "text": "sensitive as employment discrimination and as amorphous as",
        "paragraph_id": "para_1132"
      },
      {
        "text": "hostile work environment.” Id. at 77 (majority op.).",
        "paragraph_id": "para_1133"
      },
      {
        "text": "We have held that “[a] discrete discriminatory act, such as",
        "paragraph_id": "para_1134"
      },
      {
        "text": "termination, within the limitations period may not only support",
        "paragraph_id": "para_1135"
      },
      {
        "text": "a claim for damages, it may also render a hostile work",
        "paragraph_id": "para_1136"
      },
      {
        "text": "environment claim timely if it is shown to be part of the course of",
        "paragraph_id": "para_1137"
      },
      {
        "text": "discriminatory conduct that underlies the hostile work environment",
        "paragraph_id": "para_1138"
      },
      {
        "text": "19 Newton does not argue that there is any difference between the relevant",
        "paragraph_id": "para_1139"
      },
      {
        "text": "requirements articulated in McGullam (a Title VII case), and the",
        "paragraph_id": "para_1140"
      },
      {
        "text": "requirements applicable to NYSHRL and NYCHRL claims. See",
        "paragraph_id": "para_1141"
      },
      {
        "text": "Appellant’s Br. at 31–32.",
        "paragraph_id": "para_1142"
      },
      {

        "text": "the harassment); Heath v. Bd. of Supervisors for S. Univ. & Agric. & Mech.",
        "paragraph_id": "para_1146"
      },
      {
        "text": "Coll., 850 F.3d 731, 740 (5th Cir. 2017), as revised (Mar. 13, 2017) (looking to",
        "paragraph_id": "para_1147"
      },
      {
        "text": "whether “the pre- and post-limitations period incidents involved the",
        "paragraph_id": "para_1148"
      },
      {
        "text": "same type of employment actions, occurred relatively frequently, and",
        "paragraph_id": "para_1149"
      },
      {
        "text": "were perpetrated by the same managers”) (quoting Morgan, 536 U.S. at",
        "paragraph_id": "para_1150"
      },
      {
        "text": "120–21); Shiba v. Mullin, 174 F.4th 1025, 1034–35 (7th Cir. 2026) (similar);",
        "paragraph_id": "para_1151"
      },
      {
        "text": "Clay v. Credit Bureau Enters., Inc., 754 F.3d 535, 539–40 (8th Cir. 2014);",
        "paragraph_id": "para_1152"
      },
      {
        "text": "(similar); Porter v. Cal. Dep’t of Corr., 419 F.3d 885, 893 (9th Cir. 2005)",

        "text": "(emphasis in original). In doing so, we emphasized that “[a]n",
        "paragraph_id": "para_1157"
      },
      {
        "text": "unrelated discrete act, different in kind from the conduct giving",
        "paragraph_id": "para_1158"
      },
      {
        "text": "rise to the hostile environment, does not trigger the continuing",
        "paragraph_id": "para_1159"
      },
      {
        "text": "violation doctrine.” Id.",
        "paragraph_id": "para_1160"
      },
      {
        "text": "When the continuing violation doctrine is applicable, it means",
        "paragraph_id": "para_1161"
      },
      {
        "text": "that the claims in question “do not accrue . . . until the last",
        "paragraph_id": "para_1162"
      },
      {
        "text": "discriminatory act in furtherance of the hostile work",
        "paragraph_id": "para_1163"
      },
      {
        "text": "environment.” Olivieri, 112 F.4th at 88 (internal quotation marks",
        "paragraph_id": "para_1164"
      },
      {
        "text": "and citation omitted). In other words, when the continuing",
        "paragraph_id": "para_1165"
      },
      {
        "text": "violation doctrine applies to certain claims, they “accrue, and",
        "paragraph_id": "para_1166"
      },
      {
        "text": "reaccrue, each time a defendant commits an act that is part of the",
        "paragraph_id": "para_1167"
      },
      {
        "text": "same course of harassing conduct.” Id. We applied the",
        "paragraph_id": "para_1168"
      },
      {
        "text": "continuing violation doctrine in the context of the EFAA in",
        "paragraph_id": "para_1169"
      },
      {
        "text": "Olivieri and confirmed that the EFAA is triggered if a hostile work",
        "paragraph_id": "para_1170"
      },
      {
        "text": "environment claim reaccrues pursuant to the continuing",
        "paragraph_id": "para_1171"
      },
      {
        "text": "violation doctrine after the effective date of the EFAA. Id. at 91–",
        "paragraph_id": "para_1172"
      },
      {
        "text": "92.",
        "paragraph_id": "para_1173"
      },
      {
        "text": "We conclude that the continuing violation doctrine is",
        "paragraph_id": "para_1174"
      },
      {
        "text": "inapplicable here. Indeed, Newton effectively admitted as much",
        "paragraph_id": "para_1175"
      },
      {
        "text": "before the district court. In response to Defendants’ motions to",
        "paragraph_id": "para_1176"
      },
      {
        "text": "dismiss or compel arbitration Newton herself described the",
        "paragraph_id": "para_1177"
      },
      {
        "text": "relationship between her pre- and post-EFAA allegations as",
        "paragraph_id": "para_1178"
      },
      {
        "text": "follows:",
        "paragraph_id": "para_1179"
      },
      {
        "text": "[T]he claims currently before [the arbitrator] are different",
        "paragraph_id": "para_1180"
      },
      {
        "text": "from those here; the former include sexual harassment,",
        "paragraph_id": "para_1181"
      },
      {
        "text": "assault, and pay inequity, whereas the claims here do",
        "paragraph_id": "para_1182"
      },
      {
        "text": "not; and the retaliation claims here are materially different",
        "paragraph_id": "para_1183"
      },
      {
        "text": "because the pending retaliation claims in arbitration are",
        "paragraph_id": "para_1184"
      },
      {
        "text": "comprised primarily of retaliatory hostile work environment",
        "paragraph_id": "para_1185"
      },
      {
        "text": "while the retaliation claims in the instant proceeding arise",
        "paragraph_id": "para_1186"
      },
      {
        "text": "primarily out of Defendants’ retaliatory discharge of",
        "paragraph_id": "para_1187"
      },
      {
        "text": "Ms. Newton from her employment, denial of reasonable",
        "paragraph_id": "para_1188"
      },
      {
        "text": "38",
        "paragraph_id": "para_1189"
      },
      {
        "text": "accommodation, and denial of promotion.",
        "paragraph_id": "para_1190",
        "court_paragraph": 38
      },
      {
        "text": "Plaintiff’s Memorandum of Law at 18–19, Newton v. LVMH Moët",
        "paragraph_id": "para_1191"
      },
      {
        "text": "Hennessy Louis Vuitton Inc., No. 23-CV-10753 (S.D.N.Y. Mar. 19,",
        "paragraph_id": "para_1192"
      },
      {
        "text": "2024), Dkt. No. 37 (emphasis added). To be sure, this statement",
        "paragraph_id": "para_1193"
      },
      {
        "text": "in Newton’s brief was in response to Defendants’ argument that",
        "paragraph_id": "para_1194"
      },
      {
        "text": "the EFAA was inapplicable because Newton had elected to",
        "paragraph_id": "para_1195"
      },
      {
        "text": "arbitrate her claims, and overall, she still argued that the",
        "paragraph_id": "para_1196"
      },
      {
        "text": "continuing violation doctrine applied to her claims. We thus do",
        "paragraph_id": "para_1197"
      },
      {
        "text": "not consider Newton to have waived or forfeited application of",
        "paragraph_id": "para_1198"
      },
      {
        "text": "the continuing violation doctrine.",
        "paragraph_id": "para_1199"
      },
      {
        "text": "However, we agree with Newton’s statement regarding the",
        "paragraph_id": "para_1200"
      },
      {
        "text": "material difference in her retaliation claims for purposes of the",
        "paragraph_id": "para_1201"
      },
      {
        "text": "continuing violation doctrine because the pre- and post-EFAA",
        "paragraph_id": "para_1202"
      },
      {
        "text": "allegations of retaliation are not sufficiently related such that they",
        "paragraph_id": "para_1203"
      },
      {
        "text": "are “part of the [same] course of discriminatory conduct.” King,",
        "paragraph_id": "para_1204"
      },
      {
        "text": "96 F.4th at 561 (emphasis omitted). We reach this decision",
        "paragraph_id": "para_1205"
      },
      {
        "text": "primarily because as alleged in the PAC, the “who,” and the",
        "paragraph_id": "para_1206"
      },
      {
        "text": "“how” of the alleged harassment and retaliation differed between",
        "paragraph_id": "para_1207"
      },
      {
        "text": "the two relevant time periods. See Montanus v. Columbia Mgmt.",
        "paragraph_id": "para_1208"
      },
      {
        "text": "Inv. Advisers, LLC, No. 25-CV-2798 (PAE), 2025 WL 2503326, at *6",
        "paragraph_id": "para_1209"
      },
      {
        "text": "(S.D.N.Y. Sept. 2, 2025) (“Since Olivieri, courts in this Circuit have",
        "paragraph_id": "para_1210"
      },
      {
        "text": "emphasized that the continuing violation doctrine does not",
        "paragraph_id": "para_1211"
      },
      {
        "text": "permit a litigant to pursue claims based on conduct predating the",
        "paragraph_id": "para_1212"
      },
      {
        "text": "EFAA by citing later dissimilar acts.”) (collecting cases).",
        "paragraph_id": "para_1213"
      },
      {
        "text": "With respect to the “who,” Newton’s pre-EFAA allegations",
        "paragraph_id": "para_1214"
      },
      {
        "text": "center around Doran and Firestone. The core harassment that",
        "paragraph_id": "para_1215"
      },
      {
        "text": "Newton alleges is Doran’s alleged sexual harassment of Newton",
        "paragraph_id": "para_1216"
      },
      {
        "text": "from 2015 to 202021 and the one alleged instance of sexual assault",
        "paragraph_id": "para_1217"
      },
      {
        "text": "21 Although it is not entirely clear from the PAC when Doran’s alleged",
        "paragraph_id": "para_1218"
      },
      {
        "text": "harassment ended, it alleges that Doran announced his retirement in",
        "paragraph_id": "para_1219"
      },
      {
        "text": "39",
        "paragraph_id": "para_1220"
      },
      {
        "text": "in 2015. Moreover, the primary perpetrator of the alleged pre-",
        "paragraph_id": "para_1221",
        "court_paragraph": 39
      },
      {
        "text": "EFAA retaliation was Firestone—LVMH’s General Counsel and",
        "paragraph_id": "para_1222"
      },
      {
        "text": "Newton’s boss.22 In contrast, the post-EFAA retaliation that",
        "paragraph_id": "para_1223"
      },
      {
        "text": "Newton alleges was perpetrated almost entirely by Pratt. By the",
        "paragraph_id": "para_1224"
      },
      {
        "text": "time of the EFAA’s effective date on March 3, 2022, Doran had",
        "paragraph_id": "para_1225"
      },
      {
        "text": "already retired from LVMH, and Firestone retired shortly",
        "paragraph_id": "para_1226"
      },
      {
        "text": "thereafter on July 25, 2022. Accordingly, that the alleged",
        "paragraph_id": "para_1227"
      },
      {
        "text": "perpetrators of the relevant unlawful employment practices",
        "paragraph_id": "para_1228"
      },
      {
        "text": "differed pre- and post-EFAA supports our conclusion that the",

      {
        "text": "Cir. 2019) (“The lack of overlap between alleged harassers . . .",
        "paragraph_id": "para_1232"
      },
      {
        "text": "points against finding a continuing violation.”).",
        "paragraph_id": "para_1233"
      },
      {
        "text": "Next, we consider the “how”—i.e., the type and characteristics",
        "paragraph_id": "para_1234"
      },
      {
        "text": "of the alleged unlawful employment practices. They also differed",
        "paragraph_id": "para_1235"
      },
      {
        "text": "pre- and post-EFAA. Most obviously, all of Doran’s alleged acts",
        "paragraph_id": "para_1236"
      },
      {
        "text": "of sexual harassment and assault occurred well before the",
        "paragraph_id": "para_1237"
      },
      {
        "text": "effective date of the EFAA—and did not reoccur post-EFAA. In",
        "paragraph_id": "para_1238"
      },
      {
        "text": "addition, based on the allegations in the complaint, the character",
        "paragraph_id": "para_1239"
      },
      {
        "text": "of the alleged retaliation changed too. Pre-EFAA, the alleged",
        "paragraph_id": "para_1240"
      },
      {
        "text": "retaliation was carried out by, inter alia, conducting “sham”",
        "paragraph_id": "para_1241"
      },
      {
        "text": "investigations that found no wrongdoing, PAC ¶¶ 96–139; giving",
        "paragraph_id": "para_1242"
      },
      {
        "text": "Newton a series of negative performance reviews, id. ¶¶ 147–50,",
        "paragraph_id": "para_1243"
      },
      {
        "text": "184–85, 219; refusing to involve Newton in the interviewing and",
        "paragraph_id": "para_1244"
      },
      {
        "text": "hiring of interns, id. ¶¶ 152–53, 170; prominently celebrating",
        "paragraph_id": "para_1245"
      },
      {
        "text": "Doran, id. ¶¶ 156–57; denying the allegations in Newton’s",
        "paragraph_id": "para_1246"
      },
      {
        "text": "October 2020. PAC ¶ 200.",
        "paragraph_id": "para_1247"
      },
      {
        "text": "22 Newton also alleges various retaliatory actions committed by Martinez,",
        "paragraph_id": "para_1248"
      },
      {
        "text": "Melwani, and Smith, see, e.g., PAC ¶¶ 90–95, 132–35, 156, 162, 170, 244, but",
        "paragraph_id": "para_1249"
      },
      {
        "text": "she does not allege any post-EFAA actions by these individuals.",
        "paragraph_id": "para_1250"
      },
      {
        "text": "40",
        "paragraph_id": "para_1251"
      },
      {
        "text": "original state court complaint, id. ¶¶ 158–64; unnecessarily",
        "paragraph_id": "para_1252",
        "court_paragraph": 40
      },
      {
        "text": "monitoring whether Newton was working on remote workdays,",
        "paragraph_id": "para_1253"
      },
      {
        "text": "id. ¶ 170; putting up unreasonable obstacles to granting Newton’s",
        "paragraph_id": "para_1254"
      },
      {
        "text": "requests to work remotely, id. ¶¶ 188–99, 216–19, 225–29, 233–58,",
        "paragraph_id": "para_1255"
      },
      {
        "text": "263–65, 269, 277; and delaying disbursement of matching",
        "paragraph_id": "para_1256"
      },
      {
        "text": "donations to the charity Newton founded in memory of her",
        "paragraph_id": "para_1257"
      },
      {
        "text": "brother, id. ¶¶ 203–11.",
        "paragraph_id": "para_1258"
      },
      {
        "text": "Post-EFAA, the nature of the alleged unlawful employment",
        "paragraph_id": "para_1259"
      },
      {
        "text": "practices was different. Gone are any allegations of sexual",
        "paragraph_id": "para_1260"
      },
      {
        "text": "harassment or assault. As to retaliation, the alleged post-EFAA",
        "paragraph_id": "para_1261"
      },
      {
        "text": "conduct, as noted supra, is based primarily upon her termination",
        "paragraph_id": "para_1262"
      },
      {
        "text": "which we conclude is “[a]n unrelated discrete act, different in",
        "paragraph_id": "para_1263"
      },
      {
        "text": "kind from the [pre-EFAA] conduct giving rise to the [retaliatory]",
        "paragraph_id": "para_1264"
      },
      {
        "text": "hostile environment” alleged in the PAC. King, 96 F.4th at 561.",
        "paragraph_id": "para_1265"
      },
      {
        "text": "Moreover, the other more minor post-EFAA instances of alleged",
        "paragraph_id": "para_1266"
      },
      {
        "text": "retaliation—such as requiring Newton to obtain pre-approval",
        "paragraph_id": "para_1267"
      },
      {
        "text": "before speaking on an outside panel or at an outside conference",
        "paragraph_id": "para_1268"
      },
      {
        "text": "and objecting to one such request, id. ¶ 296–97; simultaneously",
        "paragraph_id": "para_1269"
      },
      {
        "text": "micromanaging certain of Newton’s matters, and excluding her",
        "paragraph_id": "para_1270"
      },
      {
        "text": "from others, id. ¶ 301; ignoring her in meetings, id. ¶ 302; and not",
        "paragraph_id": "para_1271"
      },
      {
        "text": "inviting her to a farewell dinner and a sale for LVMH employees,",
        "paragraph_id": "para_1272"
      },
      {
        "text": "id. ¶¶ 304–05—are generally different in kind from the pre-EFAA",
        "paragraph_id": "para_1273"
      },
      {
        "text": "allegations of retaliation. In short, this substantial lack of overlap",
        "paragraph_id": "para_1274"
      },
      {
        "text": "in the type and character of the alleged unlawful employment",
        "paragraph_id": "para_1275"
      },
      {
        "text": "practices pre- and post-EFAA further supports our conclusion",
        "paragraph_id": "para_1276"
      },
      {
        "text": "that there was no continuing violation. See McGullam, 609 F.3d at",
        "paragraph_id": "para_1277"
      },
      {
        "text": "78.",
        "paragraph_id": "para_1278"
      },
      {
        "text": "To summarize, we hold that the proposed new retaliatory",
        "paragraph_id": "para_1279"
      },
      {
        "text": "hostile work environment claims in the PAC accrued prior to the",
        "paragraph_id": "para_1280"
      },
      {
        "text": "EFAA and did not reaccrue after the EFAA pursuant to the",
        "paragraph_id": "para_1281"
      },
      {
        "text": "continuing violation doctrine, and thus it would have been futile",
        "paragraph_id": "para_1282"
      },
      {
        "text": "to allow Newton to amend to add these claims.",
        "paragraph_id": "para_1283"
      },
      {
        "text": "41",
        "paragraph_id": "para_1284"
      },
      {
        "text": "B. Unequal Pay Claims",
        "paragraph_id": "para_1285",
        "court_paragraph": 41
      },
      {
        "text": "We similarly conclude that Newton’s proposed unequal pay",
        "paragraph_id": "para_1286"
      },
      {
        "text": "claims under the Federal Equal Pay Act and its New York analog",
        "paragraph_id": "para_1287"
      },
      {
        "text": "accrued before the EFAA’s effective date.23 Claims under these",
        "paragraph_id": "para_1288"
      },
      {
        "text": "statutes accrue with each paycheck reflecting an unlawful pay",
        "paragraph_id": "para_1289"
      },
      {
        "text": "disparity. See Nakahata v. N.Y.–Presbyterian Healthcare Sys., Inc.,",
        "paragraph_id": "para_1290"
      },
      {
        "text": "723 F.3d 192, 198 (2d Cir. 2013) (explaining that causes of action",
        "paragraph_id": "para_1291"
      },
      {
        "text": "under the FLSA and NYLL “accrue[] on the next regular payday",
        "paragraph_id": "para_1292"
      },
      {
        "text": "following the work period when services are rendered”); see also",
        "paragraph_id": "para_1293"
      },
      {
        "text": "Kellogg v. Ball State Univ., 984 F.3d 525, 530–31 (7th Cir. 2021)",
        "paragraph_id": "para_1294"
      },
      {
        "text": "(discussing this “paycheck accrual rule”). However, the",
        "paragraph_id": "para_1295"
      },
      {
        "text": "continuing violation doctrine does not apply to Newton’s equal",
        "paragraph_id": "para_1296"
      },
      {
        "text": "pay claims because “a claim of discriminatory pay is",
        "paragraph_id": "para_1297"
      },
      {
        "text": "fundamentally unlike other claims of ongoing discriminatory",
        "paragraph_id": "para_1298"
      },
      {
        "text": "treatment because it involves a series of discrete, individual",
        "paragraph_id": "para_1299"
      },
      {
        "text": "wrongs rather than a single and indivisible course of wrongful",
        "paragraph_id": "para_1300"
      },
      {
        "text": "action.” Pollis v. New Sch. for Soc. Rsch., 132 F.3d 115, 119 (2d Cir.",
        "paragraph_id": "para_1301"
      },
      {
        "text": "1997).",
        "paragraph_id": "para_1302"
      },
      {
        "text": "As an initial matter, Newton has forfeited any challenge to the",
        "paragraph_id": "para_1303"
      },
      {
        "text": "district court’s conclusion that her equal pay claims accrued",
        "paragraph_id": "para_1304"
      },
      {
        "text": "before the EFAA because she neglected to make that argument in",
        "paragraph_id": "para_1305"
      },
      {
        "text": "her brief. See Appellant’s Br. at 28–41. However, even assuming",
        "paragraph_id": "para_1306"
      },
      {
        "text": "arguendo that Newton had raised that argument, the PAC does",
        "paragraph_id": "para_1307"
      },
      {
        "text": "not contain any allegations regarding Newton’s post-EFAA pay,",
        "paragraph_id": "para_1308"
      },
      {
        "text": "let alone post-EFAA allegations that would plausibly support a",
        "paragraph_id": "para_1309"
      },
      {
        "text": "claim under either the Federal or New York equal pay acts.",
        "paragraph_id": "para_1310"
      },
      {
        "text": "Instead, Newton’s equal pay allegations are limited to the period",
        "paragraph_id": "para_1311"
      },
      {
        "text": "from 2015 to 2020. See PAC ¶¶ 47–55. Accordingly, Newton’s",
        "paragraph_id": "para_1312"
      },
      {
        "text": "23 These claims are analyzed according to similar standards with minor",
        "paragraph_id": "para_1313"
      },
      {
        "text": "differences not relevant here. See Edelman, 141 F.4th at 41–42 & n.4.",
        "paragraph_id": "para_1314"
      },
      {

      },
      {
        "text": "equal pay claims accrued well before the EFAA’s effective date,",
        "paragraph_id": "para_1316",
        "court_paragraph": 42
      },
      {
        "text": "they are subject to the arbitration agreement, and her effort to add",
        "paragraph_id": "para_1317"
      },
      {
        "text": "them in the PAC was thus futile.",
        "paragraph_id": "para_1318"
      },
      {
        "text": "C. The Meaning of “Case” & “Dispute” in the EFAA",
        "paragraph_id": "para_1319"
      },
      {
        "text": "Newton also argues in the alternative that, even if the claims",
        "paragraph_id": "para_1320"
      },
      {
        "text": "she sought to add in the PAC accrued before the effective date of",
        "paragraph_id": "para_1321"
      },
      {
        "text": "the EFAA, the EFAA operates to invalidate her predispute",
        "paragraph_id": "para_1322"
      },
      {
        "text": "arbitration agreement as to her entire case, regardless of when",
        "paragraph_id": "para_1323"
      },
      {
        "text": "each of its constituent claims accrued. According to Newton,",
        "paragraph_id": "para_1324"
      },
      {
        "text": "because (1) the EFAA invalidates an arbitration agreement as to",
        "paragraph_id": "para_1325"
      },
      {
        "text": "an entire “case” and (2) the PAC is part of the “case,” the EFAA",
        "paragraph_id": "para_1326"
      },
      {
        "text": "invalidates the arbitration as to the claims in the PAC.",
        "paragraph_id": "para_1327"
      },
      {
        "text": "Assuming arguendo that Newton’s first contention is correct,24",
        "paragraph_id": "para_1328"
      },
      {
        "text": "her argument fails at the second step. The claims in the PAC are",
        "paragraph_id": "para_1329"
      },
      {
        "text": "not part of a “case” in court for the simple reason that a proposed",
        "paragraph_id": "para_1330"
      },
      {
        "text": "amended complaint is not operative until a motion for leave to",
        "paragraph_id": "para_1331"
      },
      {
        "text": "amend is granted. See 6 WRIGHT & MILLER’S FEDERAL",
        "paragraph_id": "para_1332"
      },
      {
        "text": "PRACTICE & PROCEDURE § 1484 (3d ed. 2025) (“[I]f an",
        "paragraph_id": "para_1333"
      },
      {
        "text": "amendment that cannot be made as of right is served without",
        "paragraph_id": "para_1334"
      },
      {
        "text": "obtaining the court’s leave or the opposing party’s consent, it is",
        "paragraph_id": "para_1335"
      },
      {
        "text": "without legal effect.”); Murray v. Archambo, 132 F.3d 609, 612 (10th",
        "paragraph_id": "para_1336"
      },
      {
        "text": "24 Whether the EFAA can operate to invalidate a predispute arbitration",
        "paragraph_id": "para_1337"
      },
      {
        "text": "agreement as to an entire lawsuit or only as to sexual harassment or",
        "paragraph_id": "para_1338"

        "paragraph_id": "para_1339"
      },
      {
        "text": "pending before a different panel of this Court. See Diaz-Roa v. Hermes Law,",
        "paragraph_id": "para_1340"
      },
      {
        "text": "P.C. et al., No. 24-3223-cv. We express no opinion on this question. That",
        "paragraph_id": "para_1341"
      },
      {
        "text": "our disposition of this case results in some of Newton’s claims proceeding",
        "paragraph_id": "para_1342"
      },
      {
        "text": "in court and others proceeding in (a now-concluded) arbitration is a result",
        "paragraph_id": "para_1343"
      },
      {
        "text": "of the EFAA’s non-retroactivity provision and the unusual procedural",
        "paragraph_id": "para_1344"
      },
      {
        "text": "posture of this case, not our interpretation of “case” in the substantive",
        "paragraph_id": "para_1345"
      },
      {
        "text": "provisions of the EFAA.",
        "paragraph_id": "para_1346"
      },
      {
        "text": "43",
        "paragraph_id": "para_1347"
      },
      {
        "text": "Cir. 1998) (noting that “an amendment that has been filed or",
        "paragraph_id": "para_1348",
        "court_paragraph": 43
      },
      {
        "text": "served without leave of court or consent of the defendants is",
        "paragraph_id": "para_1349"
      },
      {
        "text": "without legal effect”). Indeed, under the local rules governing",
        "paragraph_id": "para_1350"
      },
      {
        "text": "proceedings before the district court in this case, a proposed",
        "paragraph_id": "para_1351"
      },
      {
        "text": "amended complaint is not automatically rendered operative even",
        "paragraph_id": "para_1352"
      },
      {
        "text": "when a district court grants a motion to amend under Rule 15.",
        "paragraph_id": "para_1353"
      },
      {
        "text": "Instead, a new pleading must be separately filed within seven",
        "paragraph_id": "para_1354"
      },
      {
        "text": "days of the order granting the Rule 15 motion. See S.D.N.Y. &",
        "paragraph_id": "para_1355"
      },
      {
        "text": "E.D.N.Y. Local Civ. R. 15.1(b) (2024) (available at",
        "paragraph_id": "para_1356"
      },
      {
        "text": "https://perma.cc/PM2R-7W2S). Thus, the new claims in the PAC",
        "paragraph_id": "para_1357"
      },
      {
        "text": "were never part of the “case” Newton filed in court.",
        "paragraph_id": "para_1358"
      },
      {
        "text": "Next, Newton argues that, even if her claims accrued pre-",
        "paragraph_id": "para_1359"
      },
      {
        "text": "EFAA, the statute applies to “any dispute . . . that arises or accrues",
        "paragraph_id": "para_1360"
      },
      {
        "text": "on or after” the EFAA’s effective date. Pub. L. No. 117–90 § 3",
        "paragraph_id": "para_1361"
      },
      {
        "text": "(emphasis added). According to Newton, because she filed this",
        "paragraph_id": "para_1362"
      },
      {
        "text": "lawsuit on December 11, 2023, the dispute arose after the EFAA’s",
        "paragraph_id": "para_1363"
      },
      {
        "text": "effective date, and it is thus applicable. Id. Several of our sister",
        "paragraph_id": "para_1364"
      },
      {
        "text": "circuits have interpreted “dispute” in the EFAA context. See",
        "paragraph_id": "para_1365"
      },
      {
        "text": "Famuyide v. Chipotle Mexican Grill, Inc., 111 F.4th 895, 898 (8th Cir.",
        "paragraph_id": "para_1366"
      },
      {
        "text": "2024) (explaining that a dispute under the EFAA arises when an",
        "paragraph_id": "para_1367"
      },
      {
        "text": "employee “assert[s] any right, claim, or demand against” the",
        "paragraph_id": "para_1368"
      },
      {
        "text": "employer and the employer “registered disagreement” with the",
        "paragraph_id": "para_1369"
      },
      {
        "text": "employee’s position); Memmer v. United Wholesale Mortg., LLC, 135",
        "paragraph_id": "para_1370"
      },
      {
        "text": "F.4th 398, 409 (6th Cir. 2025) (holding that a dispute under the",
        "paragraph_id": "para_1371"
      },
      {
        "text": "EFAA arises “when the parties became adverse to one another”);",
        "paragraph_id": "para_1372"
      },
      {
        "text": "Cornelius v. CVS Pharmacy Inc., 133 F.4th 240, 247–48 (3d Cir. 2025)",
        "paragraph_id": "para_1373"
      },
      {
        "text": "(same).",
        "paragraph_id": "para_1374"
      },
      {
        "text": "However, we need not delve into this question of statutory",
        "paragraph_id": "para_1375"
      },
      {
        "text": "interpretation to reject Newton’s argument. Instead, we assume",
        "paragraph_id": "para_1376"
      },
      {
        "text": "without deciding that there is a difference “between the date on",
        "paragraph_id": "para_1377"
      },
      {
        "text": "which a dispute arises and the date on which a claim accrues",
        "paragraph_id": "para_1378"
      },
      {
        "text": "when interpreting the effective date provision.” Memmer, 135",
        "paragraph_id": "para_1379"
      },
      {
        "text": "44",
        "paragraph_id": "para_1380"
      },
      {
        "text": "F.4th at 418 (Thapar, J., dissenting) (disagreeing with such an",

        "text": "interpretation). Moreover, we assume the interpretation of the",
        "paragraph_id": "para_1382"
      },
      {
        "text": "term “dispute” under the EFAA that is most favorable to Newton,",
        "paragraph_id": "para_1383"
      },
      {
        "text": "namely, “when the parties became adverse to one another.” Id.",
        "paragraph_id": "para_1384"
      },
      {
        "text": "at 409 (majority op.). Here, even under that interpretation, the",
        "paragraph_id": "para_1385"
      },
      {
        "text": "“dispute” between Newton and LVMH arose at least by the time",
        "paragraph_id": "para_1386"
      },
      {
        "text": "Newton filed her initial discrimination lawsuit in state court in",
        "paragraph_id": "para_1387"
      },
      {
        "text": "April 2019, well before the effective date of the EFAA, and not",
        "paragraph_id": "para_1388"
      },
      {
        "text": "when Newton subsequently filed her federal lawsuit with",
        "paragraph_id": "para_1389"
      },
      {
        "text": "additional claims in 2023.",
        "paragraph_id": "para_1390"
      },
      {
        "text": "Accordingly, the meaning of “case” and “dispute” in the",
        "paragraph_id": "para_1391"
      },
      {
        "text": "EFAA do not change our conclusion that the new claims in the",
        "paragraph_id": "para_1392"
      },
      {
        "text": "PAC do not trigger the EFAA and remain subject to the binding",
        "paragraph_id": "para_1393"
      },
      {
        "text": "arbitration agreement. We thus decline Newton’s request to",
        "paragraph_id": "para_1394"
      },
      {
        "text": "“confirm retroactivity in this case,” Appellant’s Br. at 51, contrary",
        "paragraph_id": "para_1395"
      },
      {
        "text": "to Congress’s command.25",
        "paragraph_id": "para_1396"
      },
      {
        "text": "25 To be clear, our conclusion that it was futile for Newton to add the new",
        "paragraph_id": "para_1397"
      },
      {
        "text": "claims in the PAC does not necessarily preclude her “from using the prior",
        "paragraph_id": "para_1398"
      },

        "text": "acts as background evidence in support of a timely claim.” Morgan, 536",

      {
        "text": "U.S. at 113; see also United Air Lines, Inc. v. Evans, 431 U.S. 553, 558 (1977) (“A",
        "paragraph_id": "para_1400"
      },
      {
        "text": "discriminatory act which is not made the basis for a timely charge . . . may",
        "paragraph_id": "para_1401"
      },
      {
        "text": "constitute relevant background evidence in a proceeding in which the",
        "paragraph_id": "para_1402"
      },
      {
        "text": "status of a current practice is at issue.”); Petrosino v. Bell Atl., 385 F.3d 210,",
        "paragraph_id": "para_1403"
      },
      {
        "text": "220 (2d Cir. 2004) (“[E]vidence of earlier promotion denials [falling",
        "paragraph_id": "para_1404"
      },
      {
        "text": "outside of the limitations period] may constitute relevant ‘background",
        "paragraph_id": "para_1405"
      },
      {
        "text": "evidence in support of a timely claim,’ and we will consider it as such.”)",
        "paragraph_id": "para_1406"
      },
      {
        "text": "(quoting Morgan, 536 U.S. at 113). Thus, we express no view as to whether",
        "paragraph_id": "para_1407"
      },
      {
        "text": "any of the pre-EFAA allegations can be used as background to support",
        "paragraph_id": "para_1408"
      },
      {
        "text": "her claim for a retaliatory termination.",
        "paragraph_id": "para_1409"
      },
      {

      },
      {
        "text": "CONCLUSION",
        "paragraph_id": "para_1411",

      {
        "text": "To summarize, although we conclude that the district court",
        "paragraph_id": "para_1412"
      },
      {
        "text": "erred in dismissing Newton’s retaliation claims contained in her",
        "paragraph_id": "para_1413"
      },
      {
        "text": "initial complaint, we conclude that the district court did not err",
        "paragraph_id": "para_1414"
      },
      {
        "text": "in denying Newton’s cross-motion to amend to consolidate the",
        "paragraph_id": "para_1415"
      },
      {
        "text": "claims in the initial complaint with the claims that were (at the",
        "paragraph_id": "para_1416"
      },
      {
        "text": "time) pending in arbitration.26 We thus AFFIRM the district",
        "paragraph_id": "para_1417"
      },
      {
        "text": "court’s judgment in part, VACATE in part, and REMAND for",
        "paragraph_id": "para_1418"
      },
      {
        "text": "further proceedings consistent with this opinion.",
        "paragraph_id": "para_1419"
      },
      {
