        "text": "BACKGROUND",
        "paragraph_id": "para_78"
      },
      {
        "text": "I. Factual Background1",
        "paragraph_id": "para_79"
      },
      {
        "text": "Diaz-Roa began working for the law firm Hermes Law in 2017, as an intern.",
        "paragraph_id": "para_80"
      },
      {
        "text": "Defendant-Appellant Dwayne Hermes (“Mr. Hermes”) is an attorney who is the",
        "paragraph_id": "para_81"
      },
      {
        "text": "founder, owner, and CEO of Hermes Law, and Defendant-Appellant Andrea",
        "paragraph_id": "para_82"
      },
      {
        "text": "Hermes (“Ms. Hermes”) was the firm’s Office Manager. In February 2018, Diaz-",
        "paragraph_id": "para_83"
      },
      {
        "text": "Roa signed an arbitration agreement, in which she agreed to arbitrate any claims",
        "paragraph_id": "para_84"
      },
      {
        "text": "against Hermes Law (other than those concerning unemployment compensation",
        "paragraph_id": "para_85"
      },
      {
        "text": "benefits and certain claims relating to the disclosure of trade secrets or confidential",
        "paragraph_id": "para_86"
      },
      {
        "text": "information).2",
        "paragraph_id": "para_87"
      },
      {

        "text": "Law] may have against [Diaz-Roa] or that [Diaz-Roa] may have against",
        "paragraph_id": "para_95"
      },
      {
        "text": "[Hermes Law], its employees or agents.",
        "paragraph_id": "para_96"
      },
      {
        "text": "App’x at 107.",
        "paragraph_id": "para_97"
      },
      {

      {
        "text": "Over the ensuing years, Diaz-Roa was promoted multiple times, ultimately",
        "paragraph_id": "para_99"
      },
      {
        "text": "becoming Hermes Law’s Director of Innovation. In August 2019, Diaz-Roa and",
        "paragraph_id": "para_100"
      },
      {
        "text": "Mr. Hermes came up with an idea for a computerized litigation management",
        "paragraph_id": "para_101"
      },
      {
        "text": "company, called ClaimDeck, which was incorporated in February 2020.",
        "paragraph_id": "para_102"
      },
      {
        "text": "Thereafter, although Diaz-Roa was employed by Hermes Law, she performed",
        "paragraph_id": "para_103"
      },
      {
        "text": "work for ClaimDeck and was supervised by Mr. Hermes. During her time at",
        "paragraph_id": "para_104"
      },
      {
        "text": "ClaimDeck, Diaz-Roa received glowing performance reviews, and she eventually",
        "paragraph_id": "para_105"
      },
      {
        "text": "became ClaimDeck’s Head of Product and Chief Operating Officer.",
        "paragraph_id": "para_106"
      },
      {
        "text": "To reward her strong performance at ClaimDeck, Diaz-Roa was awarded",
        "paragraph_id": "para_107"
      },
      {
        "text": "stock options amounting to approximately 10% of the company’s shares. The",
        "paragraph_id": "para_108"
      },
      {
        "text": "award was subject to a three-year vesting schedule, with the options becoming",
        "paragraph_id": "para_109"
      },
      {
        "text": "exercisable only upon completion of the vesting period. By August 2023, Diaz-",
        "paragraph_id": "para_110"
      },
      {
        "text": "Roa’s stock options fully vested at an estimated value exceeding $1 million.",
        "paragraph_id": "para_111"
      },
      {
        "text": "In December 2023, Diaz-Roa expressed her intention to exercise her stock",
        "paragraph_id": "para_112"
      },
      {
        "text": "options during a call with Mr. Hermes, ClaimDeck accountants, and an attorney.",
        "paragraph_id": "para_113"
      },
      {
        "text": "Following that initial communication, Diaz-Roa alleges that she repeatedly",
        "paragraph_id": "para_114"
      },
      {
        "text": "requested additional calls with ClaimDeck’s attorneys and accountants without",
        "paragraph_id": "para_115"
      },
      {
        "text": "success. On January 23, 2024, Diaz-Roa reaffirmed her intent to exercise her stock",
        "paragraph_id": "para_116"
      },
      {
        "text": "6",

      },
      {
        "text": "options in written correspondence to Mr. Hermes. Shortly thereafter, on February",
        "paragraph_id": "para_118"
      },
      {
        "text": "9, 2024, Defendants terminated Diaz-Roa without warning, asserting that her",
        "paragraph_id": "para_119"
      },
      {
        "text": "dismissal was for cause (despite positive performance reviews as recently as",
        "paragraph_id": "para_120"
      },
      {
        "text": "October 2023).",
        "paragraph_id": "para_121"
      },
      {
        "text": "Diaz-Roa also asserts that, throughout her tenure at ClaimDeck and Hermes",
        "paragraph_id": "para_122"
      },
      {
        "text": "Law, she was subjected to sexual harassment. In particular, she alleges that both",
        "paragraph_id": "para_123"
      },
      {
        "text": "Mr. and Ms. Hermes urged her to flirt with prospective clients as a means of",
        "paragraph_id": "para_124"
      },
      {
        "text": "“attract[ing] business” and encouraged her to pursue romantic relationships with",
        "paragraph_id": "para_125"
      },
      {
        "text": "industry colleagues for the purpose of “benefit[ing] her employers.” App’x at 33.",
        "paragraph_id": "para_126"
      },
      {
        "text": "Diaz-Roa further alleges that Mr. Hermes made recurring remarks about her",
        "paragraph_id": "para_127"
      },
      {
        "text": "physical appearance “in front of other ClaimDeck and Hermes Law employees,”",
        "paragraph_id": "para_128"
      },
      {
        "text": "including instructing “her to ‘fix’ her makeup and accusing her of looking ‘tired.’”",
        "paragraph_id": "para_129"
      },
      {
        "text": "Id. Diaz-Roa also asserts that, at a November 2023 business dinner, Mr. Hermes",
        "paragraph_id": "para_130"
      },
      {
        "text": "allegedly compared her—the only woman at the dinner—to a piece of steak in",
        "paragraph_id": "para_131"
      },
      {
        "text": "front of their male business acquaintances. Diaz-Roa additionally alleges that, in",
        "paragraph_id": "para_132"
      },
      {
        "text": "or about 2017, Mr. Hermes “jumped onto a scooter that [she] was about to ride,",
        "paragraph_id": "para_133"
      },
      {
        "text": "sliding behind her in a compromising position” while another colleague took",
        "paragraph_id": "para_134"
      },
      {
        "text": "pictures. Id.",
        "paragraph_id": "para_135"
      },
      {

      },
      {
        "text": "II. Procedural Background",
        "paragraph_id": "para_137"
      },
      {
        "text": "On March 14, 2024, Hermes Law and ClaimDeck filed an action for",
        "paragraph_id": "para_138"
      },
      {
        "text": "declaratory judgment in the United States District Court for the Northern District",
        "paragraph_id": "para_139"
      },
      {
        "text": "of Texas, seeking confirmation that they had terminated Diaz-Roa for cause, which",
        "paragraph_id": "para_140"
      },
      {
        "text": "would automatically terminate Diaz-Roa’s stock options. After Diaz-Roa moved",

        "text": "ClaimDeck moved to compel arbitration, but the case was eventually stayed",
        "paragraph_id": "para_143"
      },
      {
        "text": "because of this lawsuit, which Diaz-Roa filed in the United States District Court",
        "paragraph_id": "para_144"
      },
      {
        "text": "for the Southern District of New York, on March 20, 2024, against Hermes Law,",
        "paragraph_id": "para_145"
      },
      {
        "text": "ClaimDeck, and Mr. and Ms. Hermes.",
        "paragraph_id": "para_146"
      },
      {
        "text": "The operative complaint contains six causes of action: (1) sexual harassment",
        "paragraph_id": "para_147"
      },
      {
        "text": "in violation of the New York City Human Rights Law (“NYCHRL”), against all",
        "paragraph_id": "para_148"
      },
      {
        "text": "Defendants; (2) sexual harassment in violation of the New York State Human",
        "paragraph_id": "para_149"
      },
      {
        "text": "Rights Law (“NYSHRL”), against all Defendants; (3) breach of contract, against",
        "paragraph_id": "para_150"
      },
      {
        "text": "Hermes Law and ClaimDeck; (4) deprivation of earned compensation in violation",
        "paragraph_id": "para_151"
      },
      {
        "text": "of New York Labor Law § 193, against all Defendants; (5) tortious interference with",
        "paragraph_id": "para_152"
      },
      {
        "text": "contract, against Hermes Law and Mr. Hermes; and (6) conversion, against all",
        "paragraph_id": "para_153"
      },
      {
        "text": "Defendants. The non-sexual harassment claims relate to the alleged unlawful",
        "paragraph_id": "para_154"
      },
      {
        "text": "8",
        "paragraph_id": "para_155"
      },
      {
        "text": "termination of her employment by Defendants to prevent her from exercising",
        "paragraph_id": "para_156"
      },
      {
        "text": "previously issued ClaimDeck stock options.",
        "paragraph_id": "para_157"
      },
      {
        "text": "On July 17, 2024, Defendants moved to compel arbitration, dismiss the case,",
        "paragraph_id": "para_158"
      },
      {
        "text": "and/or transfer the case to the Northern District of Texas. Shortly thereafter, on",
        "paragraph_id": "para_159"
      },
      {
        "text": "August 8, 2024, Diaz-Roa filed a motion to stay arbitration. On November 1, 2024,",
        "paragraph_id": "para_160"
      },
      {
        "text": "the district court stayed an ongoing arbitration proceeding that was filed by",
        "paragraph_id": "para_161"
      },
      {
        "text": "Hermes Law and ClaimDeck against Diaz-Roa pending further order of the court.",
        "paragraph_id": "para_162"
      },
      {
        "text": "On November 21, 2024, the district court: (1) denied Defendants’ motion to",
        "paragraph_id": "para_163"
      },
      {
        "text": "compel arbitration; (2) denied Defendants’ motion to transfer the case to the",
        "paragraph_id": "para_164"
      },
      {
        "text": "Northern District of Texas; and (3) granted in part and denied in part Defendants’",
        "paragraph_id": "para_165"
      },
      {
        "text": "motion to dismiss. See generally Diaz-Roa v. Hermes L., P.C., 757 F. Supp. 3d 498",
        "paragraph_id": "para_166"
      },
      {
        "text": "(S.D.N.Y. 2024). More specifically, pursuant to Federal Rule of Civil Procedure",
        "paragraph_id": "para_167"
      },
      {
        "text": "12(b)(6), the district court dismissed all claims against Ms. Hermes, as well as all",
        "paragraph_id": "para_168"
      },
      {
        "text": "claims against the remaining Defendants except for Diaz-Roa’s NYCHRL and",
        "paragraph_id": "para_169"
      },
      {
        "text": "NYSHRL claims for sexual harassment and her claim for conversion. Id. at 554–71.",
        "paragraph_id": "para_170"
      },
      {
        "text": "With respect to the motion to compel arbitration and as relevant here, the district",
        "paragraph_id": "para_171"
      },
      {
        "text": "court concluded that “if the EFAA is properly invoked and applies, the pre-",
        "paragraph_id": "para_172"
      },
      {
        "text": "9",
        "paragraph_id": "para_173"
      },
      {
        "text": "arbitration agreement is invalid and unenforceable with respect to the entire case,”",
        "paragraph_id": "para_174"
      },
      {
        "text": "not just Diaz-Roa’s sexual harassment claims.3 Id. at 532.",
        "paragraph_id": "para_175"
      },
      {
        "text": "This appeal followed.4",
        "paragraph_id": "para_176"
      },
      {

        "text": "plead nonfrivolous claims relating to sexual assault or to conduct alleged to constitute",

        "text": "sexual harassment, with the sufficiency of those claims to be reserved for proper merits",

      },
      {
        "text": "adjudication.” Id. at 533. In other words, the district court concluded a plaintiff need",
        "paragraph_id": "para_180"
      },
      {
        "text": "only meet the standard for determining federal court jurisdiction outlined in Bell v. Hood,",
        "paragraph_id": "para_181"
      },
      {
        "text": "327 U.S. 678 (1946), to invoke the EFAA. See id. at 542–43; see also, e.g., Cardenas v. F.D.",
        "paragraph_id": "para_182"
      },
      {
        "text": "Thomas, Inc., No. 2:24-CV-01814-DAD-JDP, 2025 WL 418753, at *4–5 (E.D. Cal. Feb. 6, 2025)",
        "paragraph_id": "para_183"
      },
      {
        "text": "(adopting the district court’s approach). Other district courts in this Circuit (and",
        "paragraph_id": "para_184"
      },
      {
        "text": "elsewhere) have come to a contrary conclusion. Those courts require a plaintiff to",
        "paragraph_id": "para_185"
      },
      {
        "text": "plausibly allege a sexual harassment or sexual assault claim under the standard",
        "paragraph_id": "para_186"
      },
      {
        "text": "articulated in the context of Rule 12(b)(6), pursuant to Bell Atlantic Corporation v. Twombly,",
        "paragraph_id": "para_187"
      },
      {
        "text": "550 U.S. 544 (2007), and Ashcroft v. Iqbal, 556 U.S. 662 (2009), in order to trigger the EFAA.",
        "paragraph_id": "para_188"
      },
      {
        "text": "See, e.g., Yost v. Everyrealm, Inc., 657 F. Supp. 3d 563, 584–88 (S.D.N.Y. 2023); Mangum v.",
        "paragraph_id": "para_189"
      },
      {
        "text": "Ross Dress for Less, Inc., 777 F. Supp. 3d 519, 525–29 (E.D.N.C. 2025) (adopting Yost’s",
        "paragraph_id": "para_190"
      },
      {
        "text": "approach); see also Smith v. Boehringer Ingelheim Pharms., LLC, No. 3:24-cv-01266, 2025 WL",
        "paragraph_id": "para_191"
      },
      {
        "text": "2403042, at *5–6 (D. Conn. Aug. 19, 2025) (collecting cases doing the same). However, for",
        "paragraph_id": "para_192"
      },
      {
        "text": "two independent reasons, we need not resolve this split in authority by determining",
        "paragraph_id": "para_193"
      },
      {
        "text": "whether the Bell v. Hood nonfrivolous standard or the Twombly/Iqbal plausibility standard",
        "paragraph_id": "para_194"
      },
      {
        "text": "applies to the claims at issue when a plaintiff seeks to invoke the EFAA. First, Defendants",
        "paragraph_id": "para_195"
      },
      {
        "text": "do not argue on appeal that the district court’s decision on the applicable standard was",
        "paragraph_id": "para_196"
      },
      {
        "text": "erroneous, and they have therefore forfeited any argument to the contrary. See Tripathy",
        "paragraph_id": "para_197"
      },
      {
        "text": "v. McKoy, 103 F.4th 106, 118 (2d Cir. 2024). Second, Defendants also do not challenge the",
        "paragraph_id": "para_198"
      },
      {
        "text": "district court’s determination that Diaz-Roa’s sexual harassment claims meet the",
        "paragraph_id": "para_199"
      },
      {
        "text": "Twombly/Iqbal plausibility standard and, thus, the EFAA is triggered here even assuming",
        "paragraph_id": "para_200"
      },
      {
        "text": "arguendo that the higher standard applies. See Burke v. Kodak Ret. Income Plan, 336 F.3d",
        "paragraph_id": "para_201"
      },
      {
        "text": "103, 110 (2d Cir. 2003); see also Bruce v. Adams & Reese, LLP, 168 F.4th 367, 376 (6th Cir. 2026)",
        "paragraph_id": "para_202"
      },
      {
        "text": "(leaving the question open for the same reasons).",
        "paragraph_id": "para_203"
      },
      {
        "text": "4 Our jurisdiction to hear this appeal is premised on the district court’s denial of the",

      },
      {
        "text": "motion to compel arbitration. See 9 U.S.C. § 16(a)(1)(C).",
        "paragraph_id": "para_205"
      },
      {

      },
      {
        "text": "DISCUSSION",
        "paragraph_id": "para_207"
      },
      {
        "text": "We review a district court’s denial of a motion to compel arbitration de novo.",
        "paragraph_id": "para_208"
      },
      {
        "text": "Zachman v. Hudson Valley Fed. Credit Union, 49 F.4th 95, 100 (2d Cir. 2022).",
        "paragraph_id": "para_209"
      },
      {
        "text": "I. The Federal Arbitration Act & EFAA",
        "paragraph_id": "para_210"
      },
      {
        "text": "Under the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”), an",
        "paragraph_id": "para_211"
      },
      {
        "text": "agreement to arbitrate “shall be valid, irrevocable, and enforceable, save upon",
        "paragraph_id": "para_212"
      },
      {
        "text": "such grounds as exist at law or in equity for the revocation of any contract or as",
        "paragraph_id": "para_213"
      },
      {
        "text": "otherwise provided in chapter 4.” 9 U.S.C. § 2. It is well established that Congress",
        "paragraph_id": "para_214"
      },
      {
        "text": "enacted the FAA “to overrule the judiciary’s longstanding refusal to enforce",
        "paragraph_id": "para_215"
      },
      {
        "text": "agreements to arbitrate and to place such agreements upon the same footing as",
        "paragraph_id": "para_216"
      },
      {
        "text": "other contracts.” Morgan v. Sundance, Inc., 596 U.S. 411, 418 (2022) (internal",
        "paragraph_id": "para_217"
      },
      {
        "text": "quotation marks and citation omitted).",
        "paragraph_id": "para_218"
      },
      {
        "text": "However, in 2022, Congress amended the FAA to add the EFAA, which",
        "paragraph_id": "para_219"
      },
      {
        "text": "comprises the “chapter 4” referenced in Section 2. Therefore, the EFAA provides",
        "paragraph_id": "para_220"
      },
      {
        "text": "an exception to the otherwise general rule that arbitration agreements must be",
        "paragraph_id": "para_221"
      },
      {
        "text": "enforced according to their terms. See State Farm Mut. Auto. Ins. Co. v. Tri-Borough",
        "paragraph_id": "para_222"
      },
      {
        "text": "NY Med. Prac. P.C., 120 F.4th 59, 89 (2d Cir. 2024) (“Although the FAA provides for",
        "paragraph_id": "para_223"
      },
      {
        "text": "the enforcement of arbitration agreements, there are exceptions to that general",
        "paragraph_id": "para_224"
      },
      {
        "text": "11",

      },
      {
        "text": "rule.” (internal citation omitted)). As relevant to this appeal, Section 402(a) of the",
        "paragraph_id": "para_226"
      },
      {
        "text": "EFAA states:",
        "paragraph_id": "para_227"
      },
      {
        "text": "Notwithstanding any other provision of this title, at the election of the",
        "paragraph_id": "para_228"
      },
      {
        "text": "person alleging conduct constituting a sexual harassment dispute or",
        "paragraph_id": "para_229"
      },
      {
        "text": "sexual assault dispute, or the named representative of a class or in a",
        "paragraph_id": "para_230"
      },
      {
        "text": "collective action alleging such conduct, no predispute arbitration",
        "paragraph_id": "para_231"
      },
      {
        "text": "agreement or predispute joint-action waiver shall be valid or",
        "paragraph_id": "para_232"
      },
      {
        "text": "enforceable with respect to a case which is filed under Federal, Tribal,",
        "paragraph_id": "para_233"
      },
      {
        "text": "or State law and relates to the sexual assault dispute or the sexual",
        "paragraph_id": "para_234"
      },
      {
        "text": "harassment dispute.",
        "paragraph_id": "para_235"
      },
      {
        "text": "9 U.S.C. § 402(a).",
        "paragraph_id": "para_236"
      },
      {
        "text": "The EFAA also defines a “sexual harassment dispute” as “a dispute relating",
        "paragraph_id": "para_237"
      },
      {
        "text": "to conduct that is alleged to constitute sexual harassment under applicable",
        "paragraph_id": "para_238"
      },
      {
        "text": "Federal, Tribal, or State law.” 9 U.S.C. § 401(4).5 By its terms, the EFAA’s",
        "paragraph_id": "para_239"
      },
      {
        "text": "applicability “shall be determined by a court, rather than an arbitrator,” under",
        "paragraph_id": "para_240"
      },
      {
        "text": "federal law, “irrespective of whether the party resisting arbitration challenges the",
        "paragraph_id": "para_241"
      },
      {
        "text": "arbitration agreement specifically or in conjunction with other terms of the",
        "paragraph_id": "para_242"
      },
      {
        "text": "contract containing such agreement,” or “whether the agreement purports to",
        "paragraph_id": "para_243"
      },
      {
        "text": "delegate such determinations to an arbitrator.” Id. § 402(b).",
        "paragraph_id": "para_244"
      },
      {

        "text": "of sexual harassment. Olivieri v. Stifel, Nicolaus & Co., Inc., 112 F.4th 74, 92 (2d Cir. 2024).",

      },
      {

      {
        "text": "II. The Effect of the EFAA",
        "paragraph_id": "para_248"
      },
      {
        "text": "As described above, the district court held that the EFAA enables Diaz-Roa",
        "paragraph_id": "para_249"
      },
      {
        "text": "to invalidate the arbitration agreement she signed with Hermes Law as to all the",
        "paragraph_id": "para_250"
      },
      {
        "text": "constituent claims contained in her lawsuit, including her non-harassment claim",
        "paragraph_id": "para_251"
      },
      {
        "text": "for conversion. See Diaz-Roa, 757 F. Supp. 3d at 532–34.",
        "paragraph_id": "para_252"
      },
      {
        "text": "On appeal, Defendants argue that the term “case,” as used in Section 402 of",
        "paragraph_id": "para_253"
      },
      {
        "text": "the EFAA, refers not to the lawsuit as a whole, but rather to an individual claim",
        "paragraph_id": "para_254"
      },
      {
        "text": "within a lawsuit. Under this reading, Defendants maintain that, when a complaint",
        "paragraph_id": "para_255"
      },
      {
        "text": "pleads a viable sexual harassment claim together with claims that are otherwise",
        "paragraph_id": "para_256"
      },
      {
        "text": "arbitrable, the EFAA requires a court to set aside the arbitration agreement solely",
        "paragraph_id": "para_257"
      },
      {
        "text": "with respect to the harassment claim and those demonstrably “relate[d] to” it,",
        "paragraph_id": "para_258"
      },
      {
        "text": "while enforcing arbitration as to the remaining claims—even if doing so results in",
        "paragraph_id": "para_259"
      },
      {
        "text": "bifurcated proceedings. Applying that framework here, Defendants contend that",
        "paragraph_id": "para_260"
      },
      {
        "text": "Diaz-Roa’s conversion claim must be severed from this action and compelled to",
        "paragraph_id": "para_261"
      },
      {
        "text": "arbitration. We disagree.",
        "paragraph_id": "para_262"
      },
      {
        "text": "A. Rules of Statutory Interpretation",
        "paragraph_id": "para_263"
      },
      {
        "text": "“When interpreting a statute, we begin with the plain language of the",
        "paragraph_id": "para_264"
      },
      {
        "text": "statute, giving the statutory terms their ordinary or natural meaning.” Spadaro v.",
        "paragraph_id": "para_265"
      },
      {
        "text": "13",
        "paragraph_id": "para_266"
      },
      {
        "text": "U.S. Customs & Border Prot., 978 F.3d 34, 46 (2d Cir. 2020) (internal quotation marks",
        "paragraph_id": "para_267"
      },
      {
        "text": "and citation omitted). “[T]o ascertain a text’s plain meaning, we draw on the",
        "paragraph_id": "para_268"
      },
      {
        "text": "specific context in which that language is used, and the broader context of the",
        "paragraph_id": "para_269"
      },
      {
        "text": "statute as a whole.” In re Soussis, 136 F.4th 415, 427 (2d Cir. 2025) (internal quotation",
        "paragraph_id": "para_270"
      },
      {
        "text": "marks and citation omitted). If the plain meaning of the text is unambiguous, “our",
        "paragraph_id": "para_271"
      },
      {
        "text": "analysis usually ends there.” Williams v. MTA Bus Co., 44 F.4th 115, 127 (2d Cir.",
        "paragraph_id": "para_272"
      },
      {
        "text": "2022) (internal quotation marks and citation omitted). “Only when the terms are",
        "paragraph_id": "para_273"
      },
      {
        "text": "ambiguous or unclear do we consider legislative history and other tools of",
        "paragraph_id": "para_274"
      },
      {
        "text": "statutory interpretation.” United States ex rel. Wood v. Allergan, Inc., 899 F.3d 163,",
        "paragraph_id": "para_275"
      },
      {
        "text": "171 (2d Cir. 2018).",
        "paragraph_id": "para_276"
      },
      {
        "text": "B. Plain Text of the Statute",
        "paragraph_id": "para_277"
      },
      {
        "text": "The operative language of the EFAA renders unenforceable any pre-dispute",
        "paragraph_id": "para_278"
      },
      {
        "text": "arbitration agreement “with respect to a case which . . . relates to [a] . . . sexual",
        "paragraph_id": "para_279"
      },
      {
        "text": "harassment dispute.” 9 U.S.C. § 402(a) (emphasis added). The word “case” is read",
        "paragraph_id": "para_280"
      },
      {
        "text": "most naturally to refer to an entire lawsuit. The term is one of long familiarity and",
        "paragraph_id": "para_281"
      },
      {
        "text": "often operates as a commonplace descriptor for a judicial proceeding as a whole.",
        "paragraph_id": "para_282"
      },
      {
        "text": "Consistent with that understanding, widely accepted definitions describe “case”",
        "paragraph_id": "para_283"
      },
      {
        "text": "as “a suit or action in law or equity,” Case, MERRIAM-WEBSTER ONLINE,",
        "paragraph_id": "para_284"
      },
      {

      {
        "text": "By contrast, a “claim” denotes something narrower, such as a singular",
        "paragraph_id": "para_293"
      },
      {
        "text": "“demand for money, property, or a legal remedy to which one asserts a right” or",
        "paragraph_id": "para_294"
      },
      {
        "text": "“[a]n interest or remedy recognized at law.” Claim, BLACK’S LAW DICTIONARY",
        "paragraph_id": "para_295"
      },
      {
        "text": "(11th ed. 2019); see also Brownback v. King, 592 U.S. 209, 220–21 (2021) (Sotomayor, J.,",
        "paragraph_id": "para_296"
      },
      {
        "text": "concurring) (stating that, unlike an “action,” “[i]ndividual demands for relief",
        "paragraph_id": "para_297"
      },
      {
        "text": "within a lawsuit, by contrast, are ‘claims’”); Fed. R. Civ. P. 18(a) (explaining that a",

        "text": "Consistent with these definitions, the Supreme Court and this Court",
        "paragraph_id": "para_307"
      },
      {
        "text": "frequently use the term “case” to refer to a lawsuit as a whole, and the term “claim”",
        "paragraph_id": "para_308"
      },
      {
        "text": "to refer to a specific cause of action within that lawsuit. See, e.g., Fox v. Vice, 563",
        "paragraph_id": "para_309"
      },
      {
        "text": "U.S. 826, 829 (2011) (“In this case, the plaintiff asserted both frivolous and non-",
        "paragraph_id": "para_310"
      },
      {
        "text": "frivolous claims.”); Nat’l Rifle Ass’n of Am. v. Vullo, 144 F.4th 376, 379 (2d Cir. 2025)",
        "paragraph_id": "para_311"
      },
      {
        "text": "(“This case involves First Amendment claims brought by . . . .”).",
        "paragraph_id": "para_312"
      },
      {
        "text": "Moreover, the EFAA’s drafters used the word “claim,” instead of “case,”",
        "paragraph_id": "para_313"
      },
      {
        "text": "elsewhere in the EFAA. See 9 U.S.C § 401 note (providing that the EFAA “shall",
        "paragraph_id": "para_314"
      },
      {
        "text": "apply with respect to any dispute or claim that arises or accrues on or after [March",
        "paragraph_id": "para_315"
      },
      {
        "text": "3, 2022]” (emphasis added)). Thus, we conclude that “the use of different words",
        "paragraph_id": "para_316"
      },
      {
        "text": "within the same statutory context strongly suggests that different meanings were",
        "paragraph_id": "para_317"
      },
      {
        "text": "intended.” United States v. Maria, 186 F.3d 65, 71 (2d Cir. 1999); Nat’l Fed’n of Indep.",
        "paragraph_id": "para_318"
      },
      {
        "text": "Bus. v. Sebelius, 567 U.S. 519, 544 (2012) (“Where Congress uses certain language in",
        "paragraph_id": "para_319"
      },
      {
        "text": "one part of a statute and different language in another, it is generally presumed",
        "paragraph_id": "para_320"
      },
      {
        "text": "that Congress acts intentionally.”); Sw. Airlines Co. v. Saxon, 596 U.S. 450, 457–58",

        "text": "Accordingly, we conclude that “case” in Section 402 plainly refers to a",
        "paragraph_id": "para_328"
      },
      {
        "text": "lawsuit as a whole, and thus, when a plaintiff successfully invokes the EFAA to",
        "paragraph_id": "para_329"
      },
      {
        "text": "invalidate a pre-dispute arbitration agreement “with respect to a case which . . .",
        "paragraph_id": "para_330"
      },
      {
        "text": "relates to [a] . . . sexual harassment dispute,” 9 U.S.C. § 402(a), it invalidates the",
        "paragraph_id": "para_331"
      },
      {
        "text": "arbitration agreement as to all claims in that lawsuit, including any non-",
        "paragraph_id": "para_332"
      },
      {
        "text": "harassment claims.",
        "paragraph_id": "para_333"
      },
      {
        "text": "Our interpretation of the EFAA is consistent with the two other circuits to",
        "paragraph_id": "para_334"
      },
      {
        "text": "consider this issue so far. In Bruce v. Adams & Reese, LLP, the Sixth Circuit held",
        "paragraph_id": "para_335"
      },
      {
        "text": "that “where a plaintiff brings multiple claims in a single suit against a party with",
        "paragraph_id": "para_336"
      },
      {
        "text": "whom she has an otherwise-valid arbitration agreement, and one of those claims",
        "paragraph_id": "para_337"
      },
      {
        "text": "alleges a ‘sexual assault dispute’ or a ‘sexual harassment dispute,’ the EFAA",
        "paragraph_id": "para_338"
      },
      {
        "text": "renders the arbitration agreement unenforceable with respect to each of the claims",
        "paragraph_id": "para_339"
      },
      {
        "text": "that comprise her case.” 168 F.4th 367, 385–86 (6th Cir. 2026). Similarly, in Ding v.",
        "paragraph_id": "para_340"
      },
      {
        "text": "Structure Therapeutics, Inc., the Ninth Circuit concluded that “[b]ecause the EFAA",
        "paragraph_id": "para_341"
      },
      {
        "text": "invalidates an arbitration agreement ‘with respect to a case’—rather than a claim—",
        "paragraph_id": "para_342"
      },
      {
        "text": "that ‘relates to’ a sexual harassment dispute, [the plaintiff] is entitled to bring her",
        "paragraph_id": "para_343"
      },
      {

      },
      {
        "text": "courts have also reached the same conclusion. See, e.g., Johnson v. Everyrealm, Inc.,",

      },
      {
        "text": "657 F. Supp. 3d 535, 558–61 (S.D.N.Y. 2023); Delo v. Paul Taylor Dance Found., Inc.,",

        "text": "685 F. Supp. 3d 173, 180–81 (S.D.N.Y. 2023); Puris v. TikTok Inc., No. 24-cv-944 (DLC),",

        "text": "C. Defendant’s Arguments",
        "paragraph_id": "para_354"
      },
      {
        "text": "As set forth below, we have examined Defendants’ contrary arguments to",
        "paragraph_id": "para_355"
      },
      {
        "text": "support their interpretation of the EFAA and find each of them to be unpersuasive.",
        "paragraph_id": "para_356"
      },
      {
        "text": "Defendants contend that the district court improperly conflated the term",
        "paragraph_id": "para_357"
      },
      {
        "text": "“case” with the word “action.” However, the FAA uses “case” and “action”",
        "paragraph_id": "para_358"
      },
      {
        "text": "interchangeably (or at least synonymously) to refer to judicial proceedings in their",
        "paragraph_id": "para_359"
      },
      {
        "text": "entirety. See, e.g., 9 U.S.C. § 205 (governing the “[r]emoval of cases from State",
        "paragraph_id": "para_360"
      },
      {
        "text": "courts” and providing for removal “[w]here the subject matter of an action or",
        "paragraph_id": "para_361"
      },
      {
        "text": "proceeding pending in State court relates to an arbitration agreement” subject to",
        "paragraph_id": "para_362"
      },
      {

      },
      {
        "text": "the Convention on the Recognition and Enforcement of Foreign Arbitral Awards",
        "paragraph_id": "para_364"
      },
      {
        "text": "codified as Chapter 2 of the FAA (emphasis added)); id. § 13 (providing that a",
        "paragraph_id": "para_365"
      },
      {
        "text": "judgment confirming an arbitration award “may be enforced as if it had been",
        "paragraph_id": "para_366"
      },
      {
        "text": "rendered in an action in the court in which it is entered” (emphasis added)); id.",
        "paragraph_id": "para_367"
      },
      {
        "text": "§ 16(a)(1)(A) (providing that an appeal may be taken from an order “refusing a stay",
        "paragraph_id": "para_368"
      },
      {
        "text": "of any action under section 3 of this title” (emphasis added)).7",
        "paragraph_id": "para_369"
      },
      {
        "text": "This statutory phrasing accords with settled federal practice—of which",
        "paragraph_id": "para_370"
      },
      {
        "text": "Congress is presumed to be aware—under which a lawsuit is commenced by filing",
        "paragraph_id": "para_371"
      },
      {
        "text": "a complaint that initiates a single lawsuit (a “case”) encompassing potentially",
        "paragraph_id": "para_372"
      },
      {
        "text": "numerous causes of actions (“claims”). Certainly, had Congress intended the",
        "paragraph_id": "para_373"
      },
      {
        "text": "limited result urged by Defendants, it could have employed far narrower language",
        "paragraph_id": "para_374"
      },
      {
        "text": "by referring to a “claim” rather than a “case,” or emphasized that arbitration",
        "paragraph_id": "para_375"
      },
      {
        "text": "would only be invalidated as to claims relating to the sexual harassment dispute.",
        "paragraph_id": "para_376"
      },
      {
        "text": "7 “Case” and “action” are also generally synonymous with “suit” or “lawsuit.” See Suit,",
        "paragraph_id": "para_377"
      },
      {
        "text": "BLACK’S LAW DICTIONARY (11th ed. 2019) (“Any proceeding by a party or parties against",

      },
      {
        "text": "another in a court of law . . . .”); see also BRYAN A. GARNER, GARNER’S DICTIONARY OF",
        "paragraph_id": "para_379"
      },
      {
        "text": "LEGAL USAGE 862–63 (3d ed. 2011) (discussing the differing etymological development of",
        "paragraph_id": "para_380"
      },
      {
        "text": "the terms “suit,” “lawsuit,” “action,” “case,” and “cause,” but noting that they all “denote",
        "paragraph_id": "para_381"
      },
      {
        "text": "proceedings instituted for the purpose of enforcing a right or otherwise seeking justice”",
        "paragraph_id": "para_382"
      },
      {
        "text": "and are “synonyms for a court proceeding” in modern usage).",
        "paragraph_id": "para_383"
      },
      {

      },
      {
        "text": "It did neither.8 See Nat’l Archives & Recs. Admin. v. Favish, 541 U.S. 157, 169 (2004)",
        "paragraph_id": "para_385"
      },
      {
        "text": "(“We can assume Congress legislated against [the relevant] background of law,",
        "paragraph_id": "para_386"
      },
      {
        "text": "scholarship, and history . . . .”); Hartford Underwriters Ins. Co. v. Union Planters",
        "paragraph_id": "para_387"
      },
      {
        "text": "Bank, N.A., 530 U.S. 1, 6 (2000) (emphasizing that, when resolving questions of",
        "paragraph_id": "para_388"
      },
      {
        "text": "statutory interpretation, “we begin with the understanding that Congress says in",
        "paragraph_id": "para_389"
      },
      {
        "text": "a statute what it means and means in a statute what it says there” (internal",
        "paragraph_id": "para_390"
      },
      {
        "text": "quotation marks and citation omitted)). Therefore, Defendants’ argument serves",
        "paragraph_id": "para_391"
      },
      {
        "text": "only to reinforce the conclusion that a “case” or “action” refers to the overall",
        "paragraph_id": "para_392"
      },
      {
        "text": "judicial proceeding, whereas a “claim” or “cause of action” denotes a specific right",
        "paragraph_id": "para_393"
      },
      {
        "text": "asserted within that proceeding.",
        "paragraph_id": "para_394"
      },
      {
        "text": "Defendants further argue that, because Article III of the Constitution limits",
        "paragraph_id": "para_395"
      },
      {
        "text": "the exercise of judicial power to “cases” and “controversies,” U.S. Const. art. III,",
        "paragraph_id": "para_396"
      },
      {
        "text": "§ 2, cl. 1, and because standing must be established on a claim-by-claim basis, the",
        "paragraph_id": "para_397"
      },
      {
        "text": "term “case” must be synonymous with “claim.” However, “case” in the Article III",
        "paragraph_id": "para_398"
      },
      {
        "text": "sense cannot mean the same thing as “claim,” because even in that context a",
        "paragraph_id": "para_399"
      },
      {
        "text": "“constitutional ‘case’” can be comprised of multiple “claims.” See Royal Canin",
        "paragraph_id": "para_400"
      },
      {
        "text": "8 Indeed, Congress declined to proceed with a competing bill that would have applied",
        "paragraph_id": "para_401"
      },
      {
        "text": "only to “claim[s]” of sexual assault and certain claims of sexual harassment. See",
        "paragraph_id": "para_402"
      },
      {
        "text": "Resolving Sexual Assault and Harassment Disputes Act of 2021, S. 3143, 117th Cong. (2021).",
        "paragraph_id": "para_403"
      },
      {

        "paragraph_id": "para_404"
      },
      {
        "text": "U. S. A., Inc. v. Wullschleger, 604 U.S. 22, 27 (2025) (quoting United Mine Workers of",
        "paragraph_id": "para_405"
      },
      {
        "text": "Am. v. Gibbs, 383 U.S. 715, 725 (1966)) (discussing how a closely related federal",
        "paragraph_id": "para_406"
      },
      {
        "text": "“claim” and a state “claim” for purposes of supplemental jurisdiction can",
        "paragraph_id": "para_407"
      },
      {
        "text": "“comprise but one constitutional ‘case’”).9 Thus, Article III’s case-or-controversy",
        "paragraph_id": "para_408"
      },
      {
        "text": "requirement does not collapse the distinction between a case and its constituent",
        "paragraph_id": "para_409"
      },
      {
        "text": "claims under the EFAA.",
        "paragraph_id": "para_410"
      },
      {
        "text": "We are similarly unpersuaded by Defendants’ contention that to interpret",
        "paragraph_id": "para_411"
      },
      {
        "text": "“case” as the entirety of an action would render “relates to” superfluous. In",
        "paragraph_id": "para_412"
      },
      {
        "text": "9 To be sure, Gibbs acknowledged that Article III does not automatically apply to every",
        "paragraph_id": "para_413"
      },
      {
        "text": "claim within a case, see 383 U.S. at 725, seeing as a federal court may exercise",
        "paragraph_id": "para_414"
      },
      {
        "text": "supplemental jurisdiction over a state claim only “so long as it ‘derive[s] from’ the same",
        "paragraph_id": "para_415"
      },
      {
        "text": "‘nucleus of operative fact’ as the federal one,” Wullschleger, 604 U.S. at 27 (2025) (quoting",
        "paragraph_id": "para_416"
      },
      {
        "text": "Gibbs, 383 U.S. at 725). In this sense, a claim filed by a plaintiff in a case may nevertheless",
        "paragraph_id": "para_417"
      },
      {
        "text": "not be part of the same “constitutional ‘case’” as the other claims for purposes of",
        "paragraph_id": "para_418"
      },
      {
        "text": "Article III. See Gibbs, 383 U.S. at 725. But we have no reason to think Congress was",
        "paragraph_id": "para_419"
      },
      {
        "text": "drawing on the specific constitutional meaning of the term “case” in Article III rather than",
        "paragraph_id": "para_420"
      },
      {
        "text": "the ordinary meaning of “case,” as discussed supra and as used in common parlance",
        "paragraph_id": "para_421"
      },
      {
        "text": "today. See New Prime Inc. v. Oliveira, 586 U.S. 105, 113 (2019) (discussing the “fundamental",
        "paragraph_id": "para_422"
      },
      {
        "text": "canon of statutory construction that words generally should be interpreted as taking their",
        "paragraph_id": "para_423"
      },
      {
        "text": "ordinary meaning at the time Congress enacted the statute” (alterations adopted)",
        "paragraph_id": "para_424"
      },
      {
        "text": "(emphasis added) (internal quotation marks and citation omitted)). Indeed, in Gibbs",
        "paragraph_id": "para_425"
      },
      {
        "text": "itself, the Supreme Court recognized that the meaning of “case” “for jurisdictional",
        "paragraph_id": "para_426"
      },
      {
        "text": "purposes” may be “distinguish[able]” from “case” in other contexts. See 383 U.S. at 725",
        "paragraph_id": "para_427"
      },
      {
        "text": "n.12 (distinguishing between “the issue whether a claim for relief qualifies as a case",
        "paragraph_id": "para_428"
      },
      {
        "text": "‘arising under . . . the Laws of the United States’ and the issue whether federal and state",
        "paragraph_id": "para_429"
      },
      {
        "text": "claims constitute one ‘case’ for pendent jurisdiction purposes”). And, in any event, a",
        "paragraph_id": "para_430"
      },
      {
        "text": "“constitutional case” still encompasses multiple claims that arise out of the same facts—",
        "paragraph_id": "para_431"
      },
      {
        "text": "the claim-specific nature of Article III standing is thus not derived from the meaning of",
        "paragraph_id": "para_432"
      },
      {
        "text": "the word “case.”",
        "paragraph_id": "para_433"
      },
      {
        "text": "21",
        "paragraph_id": "para_434"
      },
      {
        "text": "Defendants’ view, under the district court’s reading of “case,” “a court considering",
        "paragraph_id": "para_435"
      },
      {
        "text": "a motion to compel does not perform the statute’s required ‘relatedness’ analysis",
        "paragraph_id": "para_436"
      },
      {
        "text": "at all: It simply confirms [that] the complaint contains allegations of a sexual",
        "paragraph_id": "para_437"
      },
      {
        "text": "harassment dispute, and if so, the arbitration agreement is voided in toto.”",
        "paragraph_id": "para_438"
      },
      {
        "text": "Appellants’ Br. at 25. This argument misses the mark for several reasons.",
        "paragraph_id": "para_439"
      },
      {
        "text": "As a preliminary matter, Defendants’ surplusage argument rests on an",
        "paragraph_id": "para_440"
      },
      {
        "text": "expansive reading of the term “case” that is broader than the one we adopt. In",
        "paragraph_id": "para_441"
      },
      {
        "text": "practice, the scope of a “case” is neither indefinite nor unbounded, but rather is",
        "paragraph_id": "para_442"
      },
      {
        "text": "naturally limited by the rules governing joinder of claims. A case may include",
        "paragraph_id": "para_443"
      },
      {
        "text": "only those claims that are properly joined against the same defendant, see Fed. R.",
        "paragraph_id": "para_444"
      },
      {
        "text": "Civ. P. 18, that “aris[e] out of the same transaction, occurrence, or series of",
        "paragraph_id": "para_445"
      },
      {
        "text": "transactions or occurrences,” Fed. R. Civ. P. 20, or that share common questions of",
        "paragraph_id": "para_446"
      },
      {
        "text": "law or fact, id. These procedural limits ensure that a “case” refers to a coherent,",
        "paragraph_id": "para_447"
      },
      {
        "text": "legally cognizable judicial proceeding comprised of related claims and parties—",
        "paragraph_id": "para_448"
      },
      {
        "text": "not an aggregation of unrelated disputes.",
        "paragraph_id": "para_449"
      },
      {
        "text": "As to the phrase “relates to” itself, it is an expansive term that suggests",
        "paragraph_id": "para_450"
      },
      {
        "text": "Congress’s intent to sweep broadly. “Relate” means “[t]o have some connection",
        "paragraph_id": "para_451"
      },
      {
        "text": "to; to stand in relation to.” Relate, BLACK’S LAW DICTIONARY (12th ed. 2024); see",
        "paragraph_id": "para_452"
      },
      {

      },
      {
        "text": "also Related, BLACK’S LAW DICTIONARY (11th ed. 2019) (“Connected in some way;",
        "paragraph_id": "para_454"
      },
      {
        "text": "having relationship to or with something else . . . .”). Indeed, the Supreme Court",
        "paragraph_id": "para_455"
      },
      {
        "text": "has recently noted that “[t]he phrase ‘relating to’ sweeps broadly” and means “to",
        "paragraph_id": "para_456"
      },
      {
        "text": "stand in some relation; to have bearing or concern; to pertain; refer; to bring into",
        "paragraph_id": "para_457"
      },
      {
        "text": "association with or connection with.” Chevron USA Inc. v. Plaquemines Par., 608",
        "paragraph_id": "para_458"
      },
      {
        "text": "U.S. 1, 11 (2026) (internal quotation marks and citation omitted);10 see also Mizrahi v.",
        "paragraph_id": "para_459"
      },
      {
        "text": "Gonzales, 492 F.3d 156, 159 (2d Cir. 2007) (“Congress’s use of the phrase ‘relating to’",
        "paragraph_id": "para_460"
      },
      {
        "text": "in federal legislation generally signals its expansive intent.”). Nothing in the",
        "paragraph_id": "para_461"
      },
      {
        "text": "EFAA’s text suggests that Congress intended to depart from this broad ordinary",
        "paragraph_id": "para_462"
      },
      {
        "text": "meaning of “relates to” or that, by inserting the relatedness requirement, Congress",
        "paragraph_id": "para_463"
      },
      {
        "text": "intended courts to parse a single lawsuit claim by claim for purposes of",
        "paragraph_id": "para_464"
      },
      {
        "text": "enforceability of the arbitration agreement once a sexual harassment dispute is",
        "paragraph_id": "para_465"
      },
      {
        "text": "properly before the court.",
        "paragraph_id": "para_466"
      },
      {
        "text": "10 Chevron involved the federal officer removal statute which authorizes an officer or",
        "paragraph_id": "para_467"
      },
      {
        "text": "“person acting under that officer” to remove state suits “for or relating to any act under",
        "paragraph_id": "para_468"
      },
      {
        "text": "color of such office.” 28 U.S.C. § 1442(a)(1) (emphasis added). In interpreting the scope",
        "paragraph_id": "para_469"
      },
      {
        "text": "of “relating to” under this statute, the Supreme Court looked exclusively to the ordinary",
        "paragraph_id": "para_470"
      },
      {
        "text": "meaning of that phrase, and did not consider any interpretative tools that looked to the",
        "paragraph_id": "para_471"
      },
      {
        "text": "federal officer removal statute in particular. See Chevron, 608 U.S. at 11–14. Accordingly,",
        "paragraph_id": "para_472"
      },
      {
        "text": "we find Chevron’s analysis of the ordinary meaning of “relating to” instructive in",
        "paragraph_id": "para_473"
      },
      {
        "text": "discerning the ordinary meaning of “relates to” in the EFAA.",
        "paragraph_id": "para_474"
      },
      {
        "text": "23",
        "paragraph_id": "para_475"
      },
      {
        "text": "Moreover, contrary to Defendants’ contention, our interpretation does not",
        "paragraph_id": "para_476"
      },
      {
        "text": "render “relates to” entirely superfluous. Syntactically, “relates to” ensures that “a",
        "paragraph_id": "para_477"
      },
      {
        "text": "case which is filed” is related to the dispute covered by the EFFA that a person is",
        "paragraph_id": "para_478"
      },
      {
        "text": "“alleging.” 9 U.S.C. § 402(a). In other words, if Congress chose not to include",
        "paragraph_id": "para_479"
      },
      {
        "text": "“relates to,” then the statute could be read to apply where a person “alleg[es]",
        "paragraph_id": "para_480"
      },
      {
        "text": "conduct” in some other forum—for example, in the media—thus invalidating an",
        "paragraph_id": "para_481"
      },
      {
        "text": "arbitration agreement as to any “case which is filed,” regardless of the connection",
        "paragraph_id": "para_482"
      },
      {
        "text": "between the allegations and the particular lawsuit. Id. Because “relates to”",
        "paragraph_id": "para_483"
      },
      {
        "text": "therefore does this additional work under our reading, it is not superfluous.",
        "paragraph_id": "para_484"
      },
      {
        "text": "Defendants also urge us to adopt an alternative analysis articulated in Mera",
        "paragraph_id": "para_485"
      },
      {
        "text": "v. SA Hospitality Group, LLC, 675 F. Supp. 3d 442 (S.D.N.Y. 2023). There, the",
        "paragraph_id": "para_486"
      },
      {
        "text": "magistrate judge had split the plaintiff’s case in two—his hostile work",
        "paragraph_id": "para_487"
      },
      {
        "text": "environment claims stayed in court because of the EFAA, but his wage and hour",
        "paragraph_id": "para_488"
      },
      {
        "text": "claims were sent to arbitration because they did not “relate in any way to the",
        "paragraph_id": "para_489"
      },
      {
        "text": "sexual harassment dispute.”11 Id. at 448. Relying on the plain text of the EFAA,",
        "paragraph_id": "para_490"
      },
      {
        "text": "11 As other courts have recognized, the magistrate judge’s decision in Mera is an outlier",

      {
        "text": "among district courts. See Bruce, 168 F.4th at 381 n.5 (noting that Mera is the only EFAA",

        "text": "decision located by the Sixth Circuit denying arbitration on some claims in a lawsuit",
        "paragraph_id": "para_493"
      },
      {
        "text": "under the EFAA, but compelling arbitration as to others).",

      },
      {

      },
      {
        "text": "the district court judge in the same case reversed in relevant part.12 See Mera v. SA",
        "paragraph_id": "para_496"
      },
      {
        "text": "Hosp. Grp., LLC, No. 23 CIV. 3492 (PGG) (SDA), 2025 WL 3202080 (S.D.N.Y. Nov.",
        "paragraph_id": "para_497"
      },
      {
        "text": "17, 2025). In doing so, the district court determined that, because the term “‘case’—",
        "paragraph_id": "para_498"
      },
      {
        "text": "as used in the EFAA—captures the legal proceeding as an undivided whole,” and",
        "paragraph_id": "para_499"
      },
      {
        "text": "thus “where—as here—the EFAA is properly invoked and applies, a pre-dispute",
        "paragraph_id": "para_500"
      },
      {
        "text": "arbitration agreement is invalid and unenforceable as to the plaintiff’s entire case,",
        "paragraph_id": "para_501"
      },
      {
        "text": "and not just to plaintiff’s sexual harassment claims,” which is consistent with our",
        "paragraph_id": "para_502"
      },
      {
        "text": "approach here, and contrary to Defendants’. Id. at *8–10 (internal quotation marks",
        "paragraph_id": "para_503"
      },

        "text": "12 We further observe that, unlike here, Mera involved the complication that the plaintiff’s",

        "text": "wage and hour claims were brought on behalf of a putative class and collective, but his",
        "paragraph_id": "para_506"
      },

        "text": "hostile work environment claims were brought on an individual basis. Mera, 2025 WL",
        "paragraph_id": "para_507"
      },
      {
        "text": "3202080, at *3 n.3. Other courts have distinguished the magistrate judge’s opinion in Mera",
        "paragraph_id": "para_508"
      },
      {
        "text": "on that basis. See, e.g., Turner, 686 F. Supp. 3d at 925–26; Baldwin v. TMPL Lexington LLC,",
        "paragraph_id": "para_509"
      },
      {
        "text": "No. 23 CIV. 9899 (PAE), 2024 WL 3862150, at *8 n.5 (S.D.N.Y. Aug. 19, 2024). We agree this",
        "paragraph_id": "para_510"
      },
      {
        "text": "provides a basis to distinguish Mera from the situation here, but we decline to address in",
        "paragraph_id": "para_511"
      },
      {
        "text": "this case—which has a single plaintiff asserting individual claims—how the EFAA",
        "paragraph_id": "para_512"
      },
      {
        "text": "applies in the context of class or collective actions. We similarly have no occasion to",
        "paragraph_id": "para_513"
      },
      {
        "text": "consider how the EFAA applies in the context of a case where one plaintiff properly",
        "paragraph_id": "para_514"
      },
      {
        "text": "invokes the EFAA, but another plaintiff in the same case does not allege sexual",
        "paragraph_id": "para_515"
      },
      {
        "text": "harassment or sexual assault. See, e.g., Lambert v. New Start Cap. LLC, 799 F. Supp. 3d 258,",
        "paragraph_id": "para_516"
      },
      {
        "text": "282–86 (S.D.N.Y. 2025) (addressing this issue); see also Mera, 2025 WL 3202080, at *9 n.6",
        "paragraph_id": "para_517"
      },
      {
        "text": "(“Here, however, Mera is the sole plaintiff, and the parties have not briefed the issue of",
        "paragraph_id": "para_518"
      },
      {
        "text": "whether other plaintiffs would be able to avoid an arbitration agreement because of",
        "paragraph_id": "para_519"
      },
      {
        "text": "Mera’s [individual] sexual harassment claims . . . .”).",
        "paragraph_id": "para_520"
      },
      {

      },
      {
        "text": "Moreover, the reading of the relatedness requirement advanced by",
        "paragraph_id": "para_522"
      },
      {
        "text": "Defendants mistakes the object of the relatedness requirement. They would",
        "paragraph_id": "para_523"
      },
      {
        "text": "require all claims to relate to the sexual harassment dispute. See Appellants’ Br. at",
        "paragraph_id": "para_524"
      },
      {
        "text": "12 (arguing that Diaz-Roa’s “principal claims . . . plainly do not relate to sexual",
        "paragraph_id": "para_525"
      },
      {
        "text": "harassment” (emphasis added)); id. at 18 (“[T]he [EFAA] exempts from arbitration",
        "paragraph_id": "para_526"
      },
      {
        "text": "only claims that relate to sexual harassment disputes . . . .” (second emphasis",
        "paragraph_id": "para_527"
      },
      {
        "text": "added)). But it is “a case”—not “a claim”—that must “relate[] to” the “sexual",
        "paragraph_id": "para_528"
      },
      {
        "text": "harassment dispute.” 9 U.S.C. § 402(a); see also, e.g., Kelly v. Rosenberg & Estis, P.C.,",
        "paragraph_id": "para_529"
      },
      {
        "text": "804 F. Supp. 3d 461, 468 (S.D.N.Y. 2025) (“[T]he plain text of the statute contains no",
        "paragraph_id": "para_530"
      },
      {
        "text": "such additional ‘relation’ requirement with respect to individual claims. The",
        "paragraph_id": "para_531"
      },
      {
        "text": "EFAA demands only that a ‘case’ relate to a sexual harassment dispute, not that",
        "paragraph_id": "para_532"
      },
      {
        "text": "each individual claim within the case must do so.”).",
        "paragraph_id": "para_533"
      },
      {
        "text": "Defendants next resort to reliance on the FAA’s general policy favoring",
        "paragraph_id": "para_534"
      },
      {
        "text": "arbitration. But that argument fares no better. Specifically, Defendants emphasize",
        "paragraph_id": "para_535"
      },
      {
        "text": "that the FAA codified a “liberal federal policy favoring arbitration agreements.”",
        "paragraph_id": "para_536"
      },
      {
        "text": "Appellants’ Br. at 11 (quoting CompuCredit Corp. v. Greenwood, 565 U.S. 95, 98",
        "paragraph_id": "para_537"
      },
      {
        "text": "(2012)). The Supreme Court has recently clarified, however, that policy “is merely",
        "paragraph_id": "para_538"
      },
      {
        "text": "an acknowledgment of the FAA’s commitment to overrule the judiciary’s",
        "paragraph_id": "para_539"
      },
      {
        "text": "26",
        "paragraph_id": "para_540"
      },
      {
        "text": "longstanding refusal to enforce agreements to arbitrate and to place such",
        "paragraph_id": "para_541"
      },
      {
        "text": "agreements upon the same footing as other contracts.” Morgan, 596 U.S. at 418",
        "paragraph_id": "para_542"
      },
      {
        "text": "(internal quotation marks and citation omitted). Furthermore, the FAA’s “liberal",
        "paragraph_id": "para_543"
      },
      {
        "text": "federal policy favoring arbitration agreements” may be “overridden by a contrary",
        "paragraph_id": "para_544"
      },
      {
        "text": "congressional command.” CompuCredit, 565 U.S. at 98 (internal quotation marks",
        "paragraph_id": "para_545"
      },
      {
        "text": "and citation omitted). It is therefore compelling that, in enacting the EFAA,",
        "paragraph_id": "para_546"
      },
      {
        "text": "Congress expressly amended the FAA to render pre-dispute arbitration",
        "paragraph_id": "para_547"
      },
      {
        "text": "agreements unenforceable for an entire action involving a sexual harassment",
        "paragraph_id": "para_548"
      },
      {
        "text": "dispute, marking a deliberate departure from the FAA’s general policy favoring",
        "paragraph_id": "para_549"
      },
      {
        "text": "arbitration. See Olivieri, 112 F.4th at 84 (recognizing that, because “[t]he EFAA is",
        "paragraph_id": "para_550"
      },
      {
        "text": "codified directly into the FAA,” it “limits the scope” of the FAA’s “broad mandate",
        "paragraph_id": "para_551"
      },
      {
        "text": "to enforce arbitration agreements”).",
        "paragraph_id": "para_552"
      },
      {
        "text": "Finally, we reject Defendants’ attempt to draw on the EFAA’s legislative",
        "paragraph_id": "para_553"
      },
      {
        "text": "history in support of their proposition that Section 402 exempts from arbitration",
        "paragraph_id": "para_554"
      },
      {
        "text": "only sexual harassment claims in a lawsuit while other claims remain subject to",
        "paragraph_id": "para_555"
      },
      {
        "text": "arbitration. As an initial matter, we note that portions of the legislative history",
        "paragraph_id": "para_556"
      },
      {
        "text": "accord with our reading, or at the very least, create an ambiguous record. See, e.g.,",
        "paragraph_id": "para_557"
      },
      {
        "text": "168 Cong. Rec. S627 (daily ed. Feb. 10, 2022) (statement of Sen. Kirsten Gillibrand)",
        "paragraph_id": "para_558"
      },
      {
        "text": "27",
        "paragraph_id": "para_559"
      },
      {
        "text": "(“When a sexual assault or sexual harassment survivor files a court case in order",
        "paragraph_id": "para_560"
      },
      {
        "text": "to seek accountability, her single case may include multiple claims. . . . To ensure",
        "paragraph_id": "para_561"
      },
      {
        "text": "that a victim is able to realize the rights and protections intended to be restored to",
        "paragraph_id": "para_562"
      },
      {
        "text": "her by this legislation, all of the related claims will proceed together.”); id. at S626–",
        "paragraph_id": "para_563"
      },
      {
        "text": "27 (statement of Sen. Dick Durbin) (“So to clarify, for cases which involve conduct",
        "paragraph_id": "para_564"
      },
      {
        "text": "that is related to a sexual harassment dispute or sexual assault dispute, survivors",
        "paragraph_id": "para_565"
      },
      {
        "text": "should be allowed to proceed with their full case in court regardless of which",
        "paragraph_id": "para_566"
      },
      {
        "text": "claims are ultimately proven.”). In any event, given our resolution of this appeal",
        "paragraph_id": "para_567"
      },
      {
        "text": "based on the plain text of the EFAA, we have no need to delve into the conflicting",
        "paragraph_id": "para_568"
      },
      {
        "text": "arguments regarding the legislative history. See United States v. Epskamp, 832 F.3d",
        "paragraph_id": "para_569"
      },
      {
        "text": "154, 162 (2d Cir. 2016) (“Generally speaking, we need proceed no further than the",
        "paragraph_id": "para_570"
      },
      {
        "text": "statute’s text and context in the broader statutory scheme.” (internal quotation",
        "paragraph_id": "para_571"
      },
      {
        "text": "marks and citation omitted)). In other words, because “the best evidence of",
        "paragraph_id": "para_572"
      },
      {
        "text": "Congress’s intent is the statutory text,” Grajales v. Comm’r, 47 F.4th 58, 62 (2d Cir.",
        "paragraph_id": "para_573"
      },
      {
        "text": "2022) (internal quotation marks and citation omitted), and the statutory text here",
        "paragraph_id": "para_574"
      },
      {
        "text": "is unambiguous, we will not allow “ambiguous legislative history to muddy clear",
        "paragraph_id": "para_575"
      },
      {
        "text": "statutory language,” Milner v. Dep’t of the Navy, 562 U.S. 562, 572 (2011).",
        "paragraph_id": "para_576"
      },
      {

      {
        "text": "In sum, the plain text of the EFAA compels the conclusion that, when a",
        "paragraph_id": "para_579"
      },
      {
        "text": "“person alleging conduct constituting a sexual harassment dispute or sexual",
        "paragraph_id": "para_580"
      },
      {
        "text": "assault dispute” properly invokes the EFAA in a lawsuit and “elect[s]” to",
        "paragraph_id": "para_581"
      },
      {
        "text": "invalidate a pre-dispute arbitration agreement, the effect of that invalidation",
        "paragraph_id": "para_582"
      },
      {
        "text": "applies to the entire lawsuit—not just to particular claims within that lawsuit.",
        "paragraph_id": "para_583"
      },
      {
        "text": "III. Diaz-Roa’s Claims",
        "paragraph_id": "para_584"
      },
      {
        "text": "On appeal, Defendants do not contest that Diaz-Roa has properly invoked",
        "paragraph_id": "para_585"
      },
      {
        "text": "the EFAA as to her sexual harassment claims. Thus, applying our holding here,",
        "paragraph_id": "para_586"
      },
      {
        "text": "we conclude that Diaz-Roa can invalidate the arbitration agreement she signed",
        "paragraph_id": "para_587"
      },
      {
        "text": "with respect to not only her harassment claims, but to her entire lawsuit including",
        "paragraph_id": "para_588"
      },
      {
        "text": "her conversion claim, which is her only remaining non-harassment claim.13 Thus,",
        "paragraph_id": "para_589"
      },
      {
        "text": "the district court correctly denied Defendants’ motion to compel arbitration in its",
        "paragraph_id": "para_590"
      },
      {
        "text": "entirety.14",
        "paragraph_id": "para_591"
      },
      {
        "text": "13 Diaz-Roa does not challenge the district court’s Rule 12(b)(6) dismissal of her other",
        "paragraph_id": "para_592"
      },
      {
        "text": "non-harassment claims for breach of contract, tortious interference with contract, and",
        "paragraph_id": "para_593"
      },
      {
        "text": "violation of New York Labor Law.",
        "paragraph_id": "para_594"
      },
      {
        "text": "14 Diaz-Roa alternatively argues that this Court may affirm the district court’s decision",
        "paragraph_id": "para_595"
      },
      {
        "text": "“on the alternate ground that Defendants relinquished any right to arbitrate by filing a",
        "paragraph_id": "para_596"
      },
      {
        "text": "lawsuit against Diaz-Roa.” Appellee’s Br. at 25. However, because we conclude that the",
        "paragraph_id": "para_597"
      },
      {

      {
        "text": "CONCLUSION",
        "paragraph_id": "para_599"
      },
      {
        "text": "For the foregoing reasons, we AFFIRM the order of the district court and",
        "paragraph_id": "para_600"
      },
      {
        "text": "REMAND the case for further proceedings.",
        "paragraph_id": "para_601"
      },
      {
        "text": "EFAA renders the arbitration agreement unenforceable as to the entirety of Diaz-Roa’s",
        "paragraph_id": "para_602"
      },
      {
        "text": "case, we need not address the issue of waiver.",
