        "paragraph_id": "para_67"
      },
      {
        "text": "pension plan for boilermakers. The appeal involves three issues.",
        "paragraph_id": "para_68"
      },
      {
        "text": "The first issue involves interpretation of the plan. It says that",
        "paragraph_id": "para_69"
      },
      {
        "text": "boilermakers become eligible for early retirement benefits when they have",
        "paragraph_id": "para_70"
      },
      {
        "text": "withdrawn completely and refrained from employment in jobs that are",
        "paragraph_id": "para_71"
      },
      {

        "text": "classified under a collective bargaining agreement or that involve",
        "paragraph_id": "para_74"
      },
      {
        "text": "supervision of workers in these jobs. Joint App’x vol. 4, at 807. The",
        "paragraph_id": "para_75"
      },
      {
        "text": "parties disagree over what it means to withdraw completely. The",
        "paragraph_id": "para_76"
      },
      {
        "text": "boilermakers argue that the plan requires withdrawal from only certain",
        "paragraph_id": "para_77"
      },
      {
        "text": "kinds of jobs. The defendants respond that boilermakers must withdraw",
        "paragraph_id": "para_78"
      },
      {
        "text": "completely by quitting all kinds of work for any company that contributes",
        "paragraph_id": "para_79"
      },
      {
        "text": "to a multi-employer pension plan.",
        "paragraph_id": "para_80"
      },
      {
        "text": "We disagree with the defendants. The plan renders boilermakers",
        "paragraph_id": "para_81"
      },
      {
        "text": "ineligible only when they withdraw from specified jobs and supervisory",
        "paragraph_id": "para_82"
      },
      {
        "text": "positions; there’s nothing that renders boilermakers ineligible just because",
        "paragraph_id": "para_83"
      },
      {
        "text": "they go to work for a company contributing to the plan. 1",
        "paragraph_id": "para_84"
      },
      {
        "text": "The second issue involves the limitations periods when a boilermaker",
        "paragraph_id": "para_85"
      },
      {
        "text": "sues for benefits. Under the plan, the suit must be filed within two years of",
        "paragraph_id": "para_86"
      },
      {
        "text": "an adverse decision; and a regulation requires the plan administrator to",
        "paragraph_id": "para_87"
      },
      {
        "text": "1 The boilermakers argue that we should summarily affirm the claim",
        "paragraph_id": "para_88"
      },
      {
        "text": "for benefits because",
        "paragraph_id": "para_89"
      },
      {
        "text": "• the district court found that the trustees had violated procedural",
        "paragraph_id": "para_90"
      },
      {
        "text": "requirements,",
        "paragraph_id": "para_91"
      },
      {
        "text": "• the defendants haven’t appealed these findings, and",
        "paragraph_id": "para_92"
      },
      {
        "text": "• these violations would trigger the same remedies even if the",
        "paragraph_id": "para_93"
      },
      {
        "text": "plan language didn’t support early-retirement benefits.",
        "paragraph_id": "para_94"
      },
      {
        "text": "We need not resolve this argument for summary affirmance because we",
        "paragraph_id": "para_95"
      },
      {
        "text": "agree with the boilermakers’ interpretation of the plan.",
        "paragraph_id": "para_96"
      },
      {

        "text": "notify the claimant of this period. 29 C.F.R. § 2560.503−1(g)(1)(iv). But",
        "paragraph_id": "para_99"
      },
      {
        "text": "the plan administrator denied numerous claims without providing notice of",
        "paragraph_id": "para_100"
      },
      {
        "text": "the two-year period, and many of the boilermakers missed the deadline.",
        "paragraph_id": "para_101"
      },
      {
        "text": "Given the failure to provide notice of the two-year period, the defendants",
        "paragraph_id": "para_102"
      },
      {
        "text": "can’t rely on timeliness.",
        "paragraph_id": "para_103"
      },
      {
        "text": "The third issue involves the limitations period for a claim involving",
        "paragraph_id": "para_104"
      },
      {
        "text": "breach of fiduciary duty. This period of limitations starts when the",
        "paragraph_id": "para_105"
      },
      {
        "text": "claimant knows the facts underlying the claim, and there’s no evidence that",
        "paragraph_id": "para_106"
      },
      {
        "text": "the claimants knew that the trustees had changed the way they were",
        "paragraph_id": "para_107"
      },
      {
        "text": "interpreting the plan. This lack of actual knowledge prevents the trustees",
        "paragraph_id": "para_108"
      },
      {
        "text": "from relying on the limitations period.",
        "paragraph_id": "para_109"
      },
      {
        "text": "1. The claimants obtain partial summary judgment on a claim for",
        "paragraph_id": "para_110"
      },
      {
        "text": "early-retirement benefits.",
        "paragraph_id": "para_111"
      },
      {
        "text": "The trustees offered retirement benefits under a multi-employer",
        "paragraph_id": "para_112"
      },
      {
        "text": "pension plan for boilermakers enrolled in a union (the International",
        "paragraph_id": "para_113"
      },
      {
        "text": "Brotherhood of Boilermakers). Under the plan, the boilermakers would",
        "paragraph_id": "para_114"
      },
      {
        "text": "ordinarily obtain a pension when reaching age 65. But the boilermakers",
        "paragraph_id": "para_115"
      },
      {
        "text": "also became eligible earlier if they withdrew completely and refrained",
        "paragraph_id": "para_116"
      },
      {
        "text": "from certain kinds of work.",
        "paragraph_id": "para_117"
      },
      {
        "text": "Many of the boilermakers quit before reaching age 65 and began",
        "paragraph_id": "para_118"
      },
      {
        "text": "receiving retirement benefits. But some of the boilermakers took other",
        "paragraph_id": "para_119"
      },
      {

      {
        "text": "jobs. The trustees concluded that these boilermakers were no longer",
        "paragraph_id": "para_122"
      },
      {
        "text": "entitled to early-retirement benefits.",
        "paragraph_id": "para_123"
      },
      {
        "text": "The boilermakers sued the pension plan (the Boilermaker-Blacksmith",
        "paragraph_id": "para_124"
      },
      {
        "text": "National Pension Trust), six of the trustees, and their board (the Board of",
        "paragraph_id": "para_125"
      },
      {
        "text": "Trustees of the Boilermaker-Blacksmith National Pension Trust), invoking",
        "paragraph_id": "para_126"
      },
      {
        "text": "the Employee Retirement Income Security Act (“ERISA”) for improperly",
        "paragraph_id": "para_127"
      },
      {
        "text": "denying benefits, breaching a fiduciary duty, and violating procedural",
        "paragraph_id": "para_128"
      },
      {
        "text": "requirements.",
        "paragraph_id": "para_129"
      },
      {
        "text": "Both sides moved for summary judgment, and the district court",
        "paragraph_id": "para_130"
      },
      {
        "text": "• granted the boilermakers’ motion for partial summary judgment",
        "paragraph_id": "para_131"
      },
      {
        "text": "on the claims involving a failure to pay benefits,",
        "paragraph_id": "para_132"
      },
      {
        "text": "• granted partial summary judgment to some of the boilermakers",
        "paragraph_id": "para_133"
      },
      {
        "text": "on the claims for breach of a fiduciary duty, and",
        "paragraph_id": "para_134"
      },
      {
        "text": "• granted summary judgment to the defendants on claims by other",
        "paragraph_id": "para_135"
      },
      {
        "text": "boilermakers for breach of fiduciary duty, concluding that those",
        "paragraph_id": "para_136"
      },
      {
        "text": "claims were barred by a three-year period of limitations.",
        "paragraph_id": "para_137"
      },
      {
        "text": "The defendants appeal the grant of partial summary judgment to the",
        "paragraph_id": "para_138"
      },
      {
        "text": "boilermakers, reasoning that the district court mistakenly interpreted the",
        "paragraph_id": "para_139"
      },
      {
        "text": "plan. In response, 66 of the boilermakers cross-appeal the grant of",
        "paragraph_id": "para_140"
      },
      {
        "text": "summary judgment to the defendants on the claim involving breach of",
        "paragraph_id": "para_141"
      },
      {
        "text": "fiduciary duty, arguing that the three-year period of limitations doesn’t",
        "paragraph_id": "para_142"
      },
      {
        "text": "apply absent actual knowledge of the breaches.",
        "paragraph_id": "para_143"
      },
      {

        "text": "2. We independently apply the standards for summary judgment and",
        "paragraph_id": "para_146"
      },
      {
        "text": "claims under ERISA.",
        "paragraph_id": "para_147"
      },
      {
        "text": "We engage in de novo review of the district court’s rulings on",
        "paragraph_id": "para_148"
      },
      {
        "text": "summary judgment, using the same standard that applied in district court.",
        "paragraph_id": "para_149"
      },
      {
        "text": "LaAsmar v. Phelps Dodge Corp. Life, Accidental Death & Dismemberment",
        "paragraph_id": "para_150"
      },
      {
        "text": "& Dependent Life Ins. Plan, 605 F.3d 789, 795–96 (10th Cir. 2010).",
        "paragraph_id": "para_151"
      },
      {
        "text": "In district court, “a distinct standard” exists when reviewing a plan",
        "paragraph_id": "para_152"
      },
      {
        "text": "administrator’s denial of benefits. Graham v. Hartford Life & Accident Ins.",
        "paragraph_id": "para_153"
      },
      {
        "text": "Co., 501 F.3d 1153, 1155 n.1 (10th Cir. 2007); see LaAsmar, 605 F.3d",
        "paragraph_id": "para_154"
      },
      {
        "text": "at 796 (stating that when reviewing a grant of summary judgment on an",
        "paragraph_id": "para_155"
      },
      {
        "text": "ERISA claim, the court of appeals must determine the standard governing",
        "paragraph_id": "para_156"
      },
      {
        "text": "an insurer’s denial of benefits). Under that standard, the court of appeals",
        "paragraph_id": "para_157"
      },
      {
        "text": "ordinarily conducts de novo review of the plan administrator’s decision.",
        "paragraph_id": "para_158"
      },
      {
        "text": "Firestone Tire & Rubber Co. v. Bruch, 489 U.S. 101, 115 (1989). But when",
        "paragraph_id": "para_159"
      },
      {
        "text": "the plan confers discretion on the plan administrator, we apply the",
        "paragraph_id": "para_160"
      },
      {
        "text": "arbitrary-and-capricious standard based on the administrative record. 2 See",
        "paragraph_id": "para_161"
      },
      {
        "text": "LaAsmar, 605 F.3d at 796.",
        "paragraph_id": "para_162"
      },
      {
        "text": "2 When both sides move for summary judgment on an ERISA claim,",

        "text": "the motions serve merely as a vehicle to decide the case; eligibility for",
        "paragraph_id": "para_164"

        "text": "benefits turns solely on the administrative record, and we don’t resolve",

        "text": "inferences in favor of either party. Ian C. v. UnitedHealthcare Ins. Co.,",

        "text": "87 F.4th 1207, 1217 (10th Cir. 2023).",

        "text": "it conflicts with the plan’s unambiguous language. D.K. v. United Behav.",

        "text": "Health, 67 F.4th 1224, 1236 (10th Cir. 2023).",

        "text": "3. The district court didn’t err in interpreting the plan.",
        "paragraph_id": "para_175"
      },
      {
        "text": "The central issue involves the claims for retirement benefits before a",
        "paragraph_id": "para_176"
      },
      {
        "text": "boilermaker turns 65. Resolution of this issue turns on the meaning of the",

        "text": "The defendants argue that",
        "paragraph_id": "para_179"
      },
      {
        "text": "• the boilermakers are ineligible for early-retirement benefits if",
        "paragraph_id": "para_180"
      },
      {
        "text": "they perform any work for a company that contributes to a",
        "paragraph_id": "para_181"
      },
      {
        "text": "multi-employer pension plan,",
        "paragraph_id": "para_182"
      },
      {
        "text": "• the plan language is ambiguous, and",
        "paragraph_id": "para_183"
      },
      {
        "text": "• the court should resolve that ambiguity by ensuring tax benefits",
        "paragraph_id": "para_184"
      },
      {
        "text": "for plan participants and employers contributing to the plan.",
        "paragraph_id": "para_185"
      },
      {
        "text": "The district court rejected these arguments for three reasons:",
        "paragraph_id": "para_186"
      },
      {
        "text": "1. The plan unambiguously states that the boilermakers are",
        "paragraph_id": "para_187"
      },
      {
        "text": "eligible for early-retirement benefits unless they work",
        "paragraph_id": "para_188"
      },
      {
        "text": "• for a company that contributes to a multi-employer",
        "paragraph_id": "para_189"
      },
      {
        "text": "pension plan and",
        "paragraph_id": "para_190"
      },
      {
        "text": "3 The plan states that “[t]he Trustees shall have complete discretion to",
        "paragraph_id": "para_191"
      },
      {
        "text": "construe, interpret, and apply all terms and provisions of this Plan",
        "paragraph_id": "para_192"
      },
      {
        "text": "document.” Joint App’x vol. 4, at 832.",
        "paragraph_id": "para_193"
      },
      {

      {
        "text": "• in jobs that are classified in a collective bargaining",
        "paragraph_id": "para_196"
      },
      {
        "text": "agreement or that involve supervision of workers in those",
        "paragraph_id": "para_197"
      },
      {
        "text": "jobs.",
        "paragraph_id": "para_198"
      },
      {
        "text": "2. The defendants waited too long to raise ambiguity by asserting",
        "paragraph_id": "para_199"
      },
      {
        "text": "it for the first time in their reply brief.",
        "paragraph_id": "para_200"
      },
      {
        "text": "3. The tax benefits do not override the unambiguous language of",
        "paragraph_id": "para_201"
      },
      {
        "text": "the plan.",
        "paragraph_id": "para_202"
      },
      {
        "text": "To justify reversal, the defendants must show that all of these rationales",
        "paragraph_id": "para_203"
      },
      {
        "text": "were wrong. Bones v. Honeywell Int’l, Inc., 366 F.3d 869, 877 (10th Cir.",
        "paragraph_id": "para_204"
      },
      {
        "text": "2004). The defendants haven’t made that showing.",
        "paragraph_id": "para_205"
      },
      {
        "text": "First, the district court was right to reject the defendants’",
        "paragraph_id": "para_206"
      },
      {
        "text": "interpretation of the plan. The plan states:",
        "paragraph_id": "para_207"
      },
      {
        "text": "Before Normal Retirement Age. Effective July 1, 2010, to be",
        "paragraph_id": "para_208"
      },
      {
        "text": "considered retired and entitled to a pension under this Plan",
        "paragraph_id": "para_209"
      },
      {
        "text": "before he has obtained Normal Retirement Age, a Participant",
        "paragraph_id": "para_210"
      },
      {
        "text": "must withdraw completely and refrain from employment or self-",
        "paragraph_id": "para_211"
      },
      {
        "text": "employment for an employer which performs work in an industry",
        "paragraph_id": "para_212"
      },
      {
        "text": "traditionally covered by a Collective Bargaining Agreement:",
        "paragraph_id": "para_213"
      },
      {
        "text": "(1) where the employment or self-employment is in a job",
        "paragraph_id": "para_214"
      },
      {
        "text": "classification of the type included in a Collective",
        "paragraph_id": "para_215"
      },
      {
        "text": "Bargaining Agreement anywhere in the United States; or",
        "paragraph_id": "para_216"
      },
      {
        "text": "(2) where the employment or self-employment includes any",
        "paragraph_id": "para_217"
      },
      {
        "text": "direct supervision of a job classification of the type",
        "paragraph_id": "para_218"
      },
      {
        "text": "included in a Collective Bargaining Agreement anywhere",
        "paragraph_id": "para_219"
      },
      {
        "text": "in the United States in the construction industry.",
        "paragraph_id": "para_220"
      },
      {
        "text": "Joint App’x vol. 4, at 807.",
        "paragraph_id": "para_221"
      },
      {
        "text": "This language restricts eligibility for early-retirement benefits to",
        "paragraph_id": "para_222"
      },
      {
        "text": "boilermakers who completely withdraw and refrain from certain jobs. Id.",
        "paragraph_id": "para_223"
      },
      {
        "text": "The defendants don’t deny that the boilermakers refrained from working in",
        "paragraph_id": "para_224"
      },
      {

      },
      {
        "text": "jobs specified in the plan. But the parties disagree over whether the",
        "paragraph_id": "para_227"
      },
      {
        "text": "boilermakers have satisfied the requirement to withdraw completely. This",
        "paragraph_id": "para_228"
      },
      {
        "text": "disagreement turns on what the boilermakers needed to withdraw from.",
        "paragraph_id": "para_229"
      },
      {
        "text": "All parties agree that withdrawal in this context means that the",
        "paragraph_id": "para_230"
      },
      {
        "text": "boilermaker must withdraw from something. See 20 Oxford English",
        "paragraph_id": "para_231"
      },
      {
        "text": "Dictionary 449 (2d ed. 1989). But from what? The boilermakers argue that",
        "paragraph_id": "para_232"
      },
      {
        "text": "they must withdraw from work in a job classified in a collective bargaining",
        "paragraph_id": "para_233"
      },
      {
        "text": "agreement or supervision of such a job; the defendants argue that the",
        "paragraph_id": "para_234"
      },
      {
        "text": "boilermakers must withdraw from any job with a company that contributes",
        "paragraph_id": "para_235"
      },
      {
        "text": "to the multi-employer pension plan.",
        "paragraph_id": "para_236"
      },
      {
        "text": "The defendants’ argument lacks any basis in the plan language,",
        "paragraph_id": "para_237"
      },
      {
        "text": "which says that the boilermaker must withdraw and refrain from particular",
        "paragraph_id": "para_238"
      },
      {
        "text": "kinds of work for particular types of employers. For example, if a",
        "paragraph_id": "para_239"
      },
      {
        "text": "boilermaker quits and joins a sporting goods store, the new job wouldn’t",
        "paragraph_id": "para_240"
      },
      {
        "text": "prevent early-retirement benefits unless sporting goods stores are",
        "paragraph_id": "para_241"
      },
      {
        "text": "employers traditionally covered by a collective bargaining agreement. If",
        "paragraph_id": "para_242"
      },
      {
        "text": "the new employer engages in an industry traditionally covered by a",
        "paragraph_id": "para_243"
      },
      {
        "text": "collective bargaining agreement, the boilermaker must refrain from two",
        "paragraph_id": "para_244"
      },
      {
        "text": "kinds of work:",
        "paragraph_id": "para_245"
      },
      {
        "text": "1. work that is of a type classified in a collective bargaining",
        "paragraph_id": "para_246"
      },
      {
        "text": "agreement and",
        "paragraph_id": "para_247"
      },
      {
        "text": "2. work that includes direct supervision of jobs classified in a",
        "paragraph_id": "para_248"
      },
      {
        "text": "collective bargaining agreement.",
        "paragraph_id": "para_249"
      },
      {

        "text": "The defendants contend that these references qualify the term refrain",
        "paragraph_id": "para_253"
      },
      {
        "text": "from but not the term withdraw completely. See Appellants’ Opening Br.",
        "paragraph_id": "para_254"
      },
      {
        "text": "at 31 (arguing that “the phrases ‘withdraw completely’ and ‘refrain from’",
        "paragraph_id": "para_255"
      },
      {
        "text": "disqualifying work must have distinct meanings”); Appellants’ Reply Br.",
        "paragraph_id": "para_256"
      },
      {
        "text": "at 17 (arguing that “the ‘withdraw completely’ requirement is additional",
        "paragraph_id": "para_257"
      },
      {
        "text": "and distinct from the requirement to refrain from disqualifying work”). 4",
        "paragraph_id": "para_258"
      },
      {
        "text": "But in grammar, we typically regard the verb withdraw as transitive,",
        "paragraph_id": "para_259"
      },
      {
        "text": "meaning that it takes a direct object. See S. Ass’n of Colleges and Schs",
        "paragraph_id": "para_260"
      },
      {
        "text": "Comm’n on Colleges, Inc. v. Bennett Coll., No. 22-13289, 2023 WL",
        "paragraph_id": "para_261"
      },
      {
        "text": "2231773, at *2 (11th Cir. Feb. 27, 2023) (unpub. op.) (interpreting",
        "paragraph_id": "para_262"
      },
      {
        "text": "withdraw as a transitive verb). So we would typically expect the sentence",
        "paragraph_id": "para_263"
      },
      {
        "text": "to say what someone is withdrawing from. For example, we might say that",
        "paragraph_id": "para_264"
      },
      {
        "text": "• a soldier withdraws from battle or",
        "paragraph_id": "para_265"
      },
      {
        "text": "• a student withdraws from school.",
        "paragraph_id": "para_266"
      },
      {
        "text": "But if we say that the boilermakers must completely withdraw—without",
        "paragraph_id": "para_267"
      },
      {
        "text": "further qualification—the sentence would be meaningless because we",
        "paragraph_id": "para_268"
      },
      {
        "text": "4 At oral argument, defense counsel was asked whether the",
        "paragraph_id": "para_269"
      },
      {
        "text": "prepositional phrase—“from employment or self-employment for an",
        "paragraph_id": "para_270"
      },
      {
        "text": "employer which performs work in an industry traditionally covered by a",

      },
      {
        "text": "Collective Bargaining Agreement”—modified the phrase withdraw",
        "paragraph_id": "para_272"
      },
      {
        "text": "completely. Defense counsel answered: “No. It can’t.” Oral Arg. Tr.",
        "paragraph_id": "para_273"
      },
      {
        "text": "at 4:58–5:18.",
        "paragraph_id": "para_274"
      },
      {

        "text": "wouldn’t know what the boilermakers must withdraw from. The",
        "paragraph_id": "para_277"
      },
      {
        "text": "boilermakers thus draw on the plan language stating that they must",
        "paragraph_id": "para_278"
      },
      {
        "text": "withdraw from jobs",
        "paragraph_id": "para_279"
      },
      {
        "text": "• that are traditionally classified in a collective bargaining",
        "paragraph_id": "para_280"
      },
      {
        "text": "agreement or",
        "paragraph_id": "para_281"
      },
      {
        "text": "• that involve supervision of workers in those jobs.",
        "paragraph_id": "para_282"
      },
      {
        "text": "In contrast, the defendants assert that the boilermakers must withdraw from",
        "paragraph_id": "para_283"
      },
      {
        "text": "any work for a company that contributes to the multi-employer pension",
        "paragraph_id": "para_284"
      },
      {
        "text": "plan. For this interpretation, the defendants lack any support in the plan",
        "paragraph_id": "para_285"
      },
      {
        "text": "language.",
        "paragraph_id": "para_286"
      },
      {
        "text": "The defendants instead suggest that the term withdraw completely is",
        "paragraph_id": "para_287"
      },
      {
        "text": "modified only by the phrase “from employment or self-employment for any",
        "paragraph_id": "para_288"
      },
      {
        "text": "employer which performs work in an industry traditionally covered by a",
        "paragraph_id": "para_289"
      },
      {
        "text": "Collective Bargaining Agreement.” Appellants’ Opening Br. at 29 (arguing",
        "paragraph_id": "para_290"
      },
      {
        "text": "that the plan “provides that an early retiree may not collect his pension",
        "paragraph_id": "para_291"
      },
      {
        "text": "benefit during months in which he performs Boilermaker work (i.e.,",
        "paragraph_id": "para_292"
      },
      {
        "text": "Covered Work) for any employer in a traditional Boilermaker industry”).",
        "paragraph_id": "para_293"
      },
      {
        "text": "But that suggestion ignores sections (1) and (2), which describe job",
        "paragraph_id": "para_294"
      },
      {
        "text": "classifications and supervisory roles that disqualify a boilermaker from",
        "paragraph_id": "para_295"
      },
      {
        "text": "receiving early-retirement benefits. See Van Steen v. Life Ins. Co. of",
        "paragraph_id": "para_296"
      },
      {
        "text": "N. Am., 878 F.3d 994, 1000 (10th Cir. 2018) (stating that discretion",
        "paragraph_id": "para_297"
      },
      {
        "text": "afforded to a plan administrator does not allow the court to disregard the",
        "paragraph_id": "para_298"
      },
      {

      {
        "text": "plan language). Given sections (1) and (2), the defendants’ interpretation",
        "paragraph_id": "para_301"
      },
      {
        "text": "of the plan isn’t just unsupported; it’s also impossible to reconcile with the",
        "paragraph_id": "para_302"
      },
      {
        "text": "provision as a whole.",
        "paragraph_id": "para_303"
      },
      {
        "text": "Despite the lack of textual support for their interpretation, the",
        "paragraph_id": "para_304"
      },
      {
        "text": "defendants argue that the plan language is ambiguous. This argument",
        "paragraph_id": "para_305"
      },
      {
        "text": "surfaced in district court when the defendants filed a reply brief, and the",
        "paragraph_id": "para_306"
      },
      {
        "text": "district court regarded the reply brief as too late for a new argument. For",
        "paragraph_id": "para_307"
      },
      {
        "text": "this ruling, we would ordinarily defer to the district court. See Donner v.",
        "paragraph_id": "para_308"
      },
      {
        "text": "Nicklaus, 778 F.3d 857, 864 (10th Cir. 2015) (considering the defendants’",
        "paragraph_id": "para_309"
      },
      {
        "text": "reliance on timeliness as waived when they presented the argument for the",
        "paragraph_id": "para_310"
      },
      {
        "text": "first time in a reply brief); see also Mondaine v. Am. Drug Stores, Inc.,",
        "paragraph_id": "para_311"
      },
      {
        "text": "408 F. Supp. 2d 1169, 1203 (D. Kan. 2000) (“The Court will not consider",
        "paragraph_id": "para_312"
      },
      {
        "text": "new arguments in a party’s reply brief.”).",
        "paragraph_id": "para_313"
      },
      {
        "text": "But the defendants criticize the district court’s reasoning, arguing",
        "paragraph_id": "para_314"
      },
      {
        "text": "that interpretation of the plan language had dominated the summary-",
        "paragraph_id": "para_315"
      },
      {
        "text": "judgment briefing. Certainly, interpretation of the plan wasn’t a new issue",
        "paragraph_id": "para_316"
      },
      {
        "text": "surfacing for the first time in the defendants’ reply brief. Until then,",
        "paragraph_id": "para_317"
      },
      {
        "text": "however, the defendants hadn’t characterized the plan language as",
        "paragraph_id": "para_318"
      },
      {
        "text": "ambiguous. So the district court didn’t err in concluding that the",
        "paragraph_id": "para_319"
      },
      {
        "text": "defendants had raised ambiguity too late by injecting it in the reply brief.",
        "paragraph_id": "para_320"
      },
      {

      {
        "text": "The district court relied not only on timeliness but also on the lack of",
        "paragraph_id": "para_323"
      },
      {
        "text": "ambiguity in the plan language. The defendants insist that the plan",
        "paragraph_id": "para_324"
      },
      {
        "text": "language is ambiguous because",
        "paragraph_id": "para_325"
      },
      {
        "text": "• the plan states that it should be construed in a way that",
        "paragraph_id": "para_326"
      },
      {
        "text": "preserves qualification for tax benefits and",
        "paragraph_id": "para_327"
      },
      {
        "text": "• these benefits prevent early-retirement benefits for",
        "paragraph_id": "para_328"
      },
      {
        "text": "boilermakers who continue working for employers contributing",
        "paragraph_id": "para_329"
      },
      {
        "text": "to the plan.",
        "paragraph_id": "para_330"
      },
      {
        "text": "This argument lacks any textual basis in the plan itself, and the",
        "paragraph_id": "para_331"
      },
      {
        "text": "defendants acknowledge that we can consider the requirement of tax",
        "paragraph_id": "para_332"
      },
      {
        "text": "qualification only if the plan language is ambiguous. Oral Arg.",
        "paragraph_id": "para_333"
      },
      {
        "text": "at 2:44–3:55. But the language isn’t ambiguous. To the contrary, it",
        "paragraph_id": "para_334"
      },
      {
        "text": "unequivocally restricts early-retirement benefits for boilermakers",
        "paragraph_id": "para_335"
      },
      {
        "text": "only when they have withdrawn and refrained from jobs traditionally",
        "paragraph_id": "para_336"
      },
      {
        "text": "classified in a collective bargaining agreement or supervision of",
        "paragraph_id": "para_337"
      },
      {
        "text": "workers in those jobs. So we conclude that the boilermakers have",
        "paragraph_id": "para_338"
      },
      {
        "text": "correctly interpreted the plan.",
        "paragraph_id": "para_339"
      },
      {
        "text": "4. The claims for benefits are not time-barred.",
        "paragraph_id": "para_340"
      },
      {
        "text": "The defendants argue in the alternative that many of the claims are",
        "paragraph_id": "para_341"
      },
      {
        "text": "time-barred. This argument requires consideration of the two stages of",
        "paragraph_id": "para_342"
      },
      {
        "text": "review under the plan.",
        "paragraph_id": "para_343"
      },
      {
        "text": "In the first stage, a boilermaker applies for benefits. Upon getting an",
        "paragraph_id": "para_344"
      },
      {
        "text": "application, the plan administrator must make an initial decision. See Joint",
        "paragraph_id": "para_345"
      },
      {
        "text": "Appellate Case: 25-3160 Document: 60-1 Date Filed: 09/29/2026 Page: 13",
        "paragraph_id": "para_346"
      },
      {
        "text": "14",
        "paragraph_id": "para_347"
      },
      {
        "text": "App’x vol. 4, at 829–30. In the second stage, a boilermaker may appeal the",
        "paragraph_id": "para_348"
      },
      {
        "text": "denial of benefits. See id. at 830–32. When an appeal is submitted, the plan",
        "paragraph_id": "para_349"
      },
      {
        "text": "administrator must issue a written decision. Id. at 831–32.",
        "paragraph_id": "para_350"
      },
      {
        "text": "Both stages are governed by federal regulations that require",
        "paragraph_id": "para_351"
      },
      {
        "text": "“notification of any adverse benefit determination.” 29 C.F.R. § 2560.503–",
        "paragraph_id": "para_352"
      },
      {
        "text": "1(g)(1). The term adverse benefit determination includes “a denial” of",
        "paragraph_id": "para_353"
      },
      {
        "text": "benefits. 29 C.F.R. § 2560.503–1(m)(4)(iv). So the notice requirement",
        "paragraph_id": "para_354"
      },
      {
        "text": "applies to the decisions at both stages.",
        "paragraph_id": "para_355"
      },
      {
        "text": "The resulting issue is what the plan administrator needed to disclose.",
        "paragraph_id": "para_356"
      },
      {
        "text": "That disclosure needed to include “the time limits” for the “plan’s review",
        "paragraph_id": "para_357"
      },
      {
        "text": "procedures.” 29 C.F.R. § 2560.503–1(g)(1)(iv); see pp. 3−4, above. The",
        "paragraph_id": "para_358"
      },
      {
        "text": "term procedures includes the “right to bring a civil action” challenging the",
        "paragraph_id": "para_359"
      },
      {
        "text": "denial of benefits. 29 C.F.R. § 2560.503–1(g)(1)(iv). With this language,",
        "paragraph_id": "para_360"
      },
      {
        "text": "every circuit to address the issue has required the plan administrator to tell",
        "paragraph_id": "para_361"
      },
      {
        "text": "participants how long they have to sue following a denial of benefits. See",
        "paragraph_id": "para_362"
      },
      {
        "text": "Santana-Diaz v. Metro. Life Ins. Co., 816 F.3d 172, 180 (1st Cir. 2016)",
        "paragraph_id": "para_363"
      },
      {
        "text": "(concluding that the regulations require the plan administrator to notify the",
        "paragraph_id": "para_364"
      },
      {
        "text": "participant of the deadline to bring a civil action when denying benefits);",
        "paragraph_id": "para_365"
      },
      {
        "text": "Mirza v. Ins. Adm’r of Am. Inc., 800 F.3d 129, 136 (3d Cir. 2015) (stating",
        "paragraph_id": "para_366"
      },
      {
        "text": "that “29 C.F.R. § 2560.503–1(g)(1)(iv) requires that adverse benefit",
        "paragraph_id": "para_367"
      },
      {
        "text": "determinations set forth any plan-imposed time limit for seeking judicial",
        "paragraph_id": "para_368"
      },
      {
        "text": "review”); Moyer v. Metro. Life Ins. Co., 762 F.3d 503, 505 (6th Cir. 2014)",
        "paragraph_id": "para_369"
      },
      {

      {
        "text": "(“The claimant’s right to bring a civil action is expressly included as a part",
        "paragraph_id": "para_372"
      },
      {
        "text": "of those procedures for which applicable time limits must be provided.”).",
        "paragraph_id": "para_373"
      },
      {
        "text": "The plan administrator denied the initial claims of 69 boilermakers",
        "paragraph_id": "para_374"
      },
      {
        "text": "without telling them how long they had to bring a civil action. Those",
        "paragraph_id": "para_375"
      },
      {
        "text": "omissions would ordinarily prevent the defendants from relying on the",
        "paragraph_id": "para_376"
      },
      {
        "text": "limitations period. See Mirza v. Ins. Adm’r of Am. Inc., 800 F.3d 129, 136",
        "paragraph_id": "para_377"
      },
      {
        "text": "(3d Cir. 2015) (setting aside the ERISA plan’s period of limitations",
        "paragraph_id": "para_378"
      },
      {
        "text": "because the plan administrators’ letters denying benefits hadn’t notified",
        "paragraph_id": "para_379"
      },
      {
        "text": "the claimants of the time-limits to bring civil actions); Moyer v. Metro.",
        "paragraph_id": "para_380"
      },
      {
        "text": "Life Ins. Co., 762 F.3d 503, 507 (6th Cir. 2014) (concluding that omission",
        "paragraph_id": "para_381"
      },
      {
        "text": "of the time limit to sue in a letter denying benefits prevents application of",
        "paragraph_id": "para_382"
      },
      {
        "text": "the plan’s period of limitations).",
        "paragraph_id": "para_383"
      },
      {
        "text": "The defendants argue that they cured the omissions in the initial",
        "paragraph_id": "para_384"
      },
      {
        "text": "denial notices by telling the boilermakers about the two-year period of",
        "paragraph_id": "para_385"
      },
      {
        "text": "limitations when denying the administrative appeals. The boilermakers",
        "paragraph_id": "para_386"
      },
      {

        "text": "boilermakers point out that the trustees needed to state the specific reasons",
        "paragraph_id": "para_388"
      },
      {
        "text": "for denial and identify the pertinent evidence. See 29 U.S.C. § 1133(1)",
        "paragraph_id": "para_389"
      },
      {
        "text": "(reasons); Ian C. v. UnitedHealthcare Ins. Co., 87 F.4th 1207, 1226",
        "paragraph_id": "para_390"
      },
      {
        "text": "(10th Cir. 2023) (pertinent evidence). But the plan administrator denied the",
        "paragraph_id": "para_391"
      },
      {
        "text": "appeals without identifying the pertinent section of the plan (§ 8.08).",
        "paragraph_id": "para_392"
      },
      {
        "text": "Given this omission, the district court concluded that the plan",
        "paragraph_id": "para_393"
      },
      {

      {
        "text": "administrator hadn’t adequately disclosed its reasons for denying the",
        "paragraph_id": "para_396"
      },
      {
        "text": "administrative appeals. Joint App’x vol. 11, at 2648. Pointing to the",
        "paragraph_id": "para_397"
      },
      {
        "text": "district court’s conclusions, the boilermakers argue that defective",
        "paragraph_id": "para_398"
      },
      {
        "text": "explanations in the administrative appeals couldn’t cure defects in the",
        "paragraph_id": "para_399"
      },
      {
        "text": "earlier decisions.",
        "paragraph_id": "para_400"
      },
      {
        "text": "The defendants filed a reply brief here, but they didn’t address the",
        "paragraph_id": "para_401"
      },
      {
        "text": "boilermakers’ reliance on defects in the decisions denying the",
        "paragraph_id": "para_402"
      },
      {
        "text": "administrative appeals. Given the defendants’ failure to address this",
        "paragraph_id": "para_403"
      },
      {
        "text": "argument, we consider only whether it bears an obvious flaw. In re",
        "paragraph_id": "para_404"
      },
      {
        "text": "Syngenta AG MIR 1162 Corn Litig. (Hossley-Embry Grp. II), 111 F.4th",
        "paragraph_id": "para_405"
      },
      {
        "text": "1095, 1110 n.15 (10th Cir. 2024). We see no obvious flaw: The district",
        "paragraph_id": "para_406"
      },
      {
        "text": "court found that the letters denying the administrative appeals were",
        "paragraph_id": "para_407"
      },
      {
        "text": "themselves defective, and the defendants don’t challenge that finding.",
        "paragraph_id": "para_408"
      },
      {
        "text": "Absent such a challenge, defective denials of administrative appeals",
        "paragraph_id": "para_409"
      },
      {
        "text": "wouldn’t obviously cure defects in the earlier decisions. 5",
        "paragraph_id": "para_410"
      },
      {
        "text": "5 The trustees assert that notification of the two-year period could",
        "paragraph_id": "para_411"
      },
      {
        "text": "mislead boilermakers by suggesting a right to sue without exhausting",
        "paragraph_id": "para_412"
      },
      {
        "text": "administrative remedies. But we can’t disregard the Department of Labor’s",
        "paragraph_id": "para_413"
      },
      {
        "text": "regulations just because we might disagree with them. See Montaro-Vega v.",
        "paragraph_id": "para_414"
      },
      {
        "text": "Holder, 721 F.3d 1175, 1178 (10th Cir. 2013) (“We do not . . . undo",
        "paragraph_id": "para_415"
      },
      {
        "text": "administrative regulations just because they may not be to a litigant’s",
        "paragraph_id": "para_416"
      },
      {
        "text": "liking or our own.”).",
        "paragraph_id": "para_417"
      },
      {

      {
        "text": "5. Because the boilermakers correctly interpret the plan, we need",
        "paragraph_id": "para_420"
      },
      {
        "text": "not address the defendants’ other challenges.",
        "paragraph_id": "para_421"
      },
      {
        "text": "The defendants argue that",
        "paragraph_id": "para_422"
      },
      {
        "text": "• they didn’t violate statutory provisions barring reductions in",
        "paragraph_id": "para_423"
      },
      {
        "text": "benefits already earned and requiring notice of plan",
        "paragraph_id": "para_424"
      },
      {
        "text": "amendments that reduce future benefits, 29 U.S.C. § 1054(g)",
        "paragraph_id": "para_425"
      },
      {
        "text": "(barring reductions in earned benefits); 29 U.S.C. § 1054(h)",
        "paragraph_id": "para_426"
      },
      {
        "text": "(requiring notice for amendments reducing benefits) and",
        "paragraph_id": "para_427"
      },
      {
        "text": "• the district court erroneously restricted the amounts that could",
        "paragraph_id": "para_428"
      },
      {
        "text": "be recouped from boilermakers who had been overpaid,",
        "paragraph_id": "para_429"
      },
      {
        "text": "29 U.S.C. § 1056(h)(2)(B).",
        "paragraph_id": "para_430"
      },
      {
        "text": "We need not address these arguments.",
        "paragraph_id": "para_431"
      },
      {
        "text": "As the district court explained, the ERISA provisions governing",
        "paragraph_id": "para_432"
      },
      {
        "text": "reductions in earned benefits and notice of amendments reducing benefits",
        "paragraph_id": "para_433"
      },
      {
        "text": "generally “work in separate time spaces.” Joint App’x vol. 11, at 2641–42",
        "paragraph_id": "para_434"
      },
      {
        "text": "(explaining that one provision addresses earned benefits while the other",
        "paragraph_id": "para_435"
      },
      {
        "text": "addresses “promised benefits in the future”). But here, the boilermakers",
        "paragraph_id": "para_436"
      },
      {
        "text": "grouped the provisions when making related claims. See Joint App’x",
        "paragraph_id": "para_437"
      },
      {
        "text": "vol. 2, at 459 (contending in the final pretrial order that “Defendants . . .",
        "paragraph_id": "para_438"
      },
      {
        "text": "through their changed interpretation amended and retroactively",
        "paragraph_id": "para_439"
      },
      {
        "text": "implemented more restrictive eligibility requirements for early-retirement",
        "paragraph_id": "para_440"
      },
      {
        "text": "benefits”). In claiming a right to benefits, the boilermakers sought and",
        "paragraph_id": "para_441"
      },
      {
        "text": "obtained the same relief for (1) reductions in earned benefits and",
        "paragraph_id": "para_442"
      },
      {
        "text": "(2) deficiencies in the notice of these reductions. See id. at 468–69 (final",
        "paragraph_id": "para_443"
      },
      {
        "text": "pretrial order); vol. 11, at 2799–2801 (judgment); Phillips v. Boilermaker-",
        "paragraph_id": "para_444"
      },
      {

      {

      {
        "text": "(D. Kan. Aug. 15, 2025) (plan of allocation adopted by the judgment).",
        "paragraph_id": "para_448"
      },
      {
        "text": "The boilermakers concede that our approval of their interpretation of",
        "paragraph_id": "para_449"
      },
      {
        "text": "the plan would moot the claim involving reductions in earned benefits.",
        "paragraph_id": "para_450"
      },
      {
        "text": "Oral Arg. at 36:54–37:38. 6 Given the identical allegations and request for",
        "paragraph_id": "para_451"
      },
      {
        "text": "relief, the concession applies equally to the claim for inadequate notice.",
        "paragraph_id": "para_452"
      },
      {
        "text": "See Romero v. Allstate Corp., 404 F.3d 212, 221 (3d Cir. 2005) (observing",
        "paragraph_id": "para_453"
      },
      {
        "text": "that the statutory requirements for notice and protections against cutbacks",
        "paragraph_id": "para_454"
      },
      {
        "text": "in benefits “appear to be intrinsically tied together”); see also Stahl v. Sun",
        "paragraph_id": "para_455"
      },
      {
        "text": "Microsystems, Inc., 19 F.3d 533, 537 n.1 (10th Cir. 1994) (declining to",
        "paragraph_id": "para_456"
      },
      {
        "text": "consider arguments addressing a tort claim because the damages that would",
        "paragraph_id": "para_457"
      },
      {
        "text": "have been awarded on that claim “were identical to the damages awarded",
        "paragraph_id": "para_458"
      },
      {
        "text": "on the breach of contract claim”). So we need not address the parties’",
        "paragraph_id": "para_459"
      },
      {
        "text": "disagreements involving the challenges involving reduction in earned",
        "paragraph_id": "para_460"
      },
      {
        "text": "benefits and the adequacy of the defendants’ notice.",
        "paragraph_id": "para_461"
      },
      {
        "text": "Moreover, the trustees acknowledge that we don’t need to decide how",
        "paragraph_id": "para_462"
      },
      {
        "text": "much they could recoup if we conclude that the boilermakers are entitled to",
        "paragraph_id": "para_463"
      },
      {
        "text": "early-retirement benefits. Because we have concluded that the boilermakers",
        "paragraph_id": "para_464"
      },
      {
        "text": "6 The boilermakers qualified this concession by stating that they",
        "paragraph_id": "para_465"
      },
      {
        "text": "considered the defendants’ argument “dangerous” by relying on a",
        "paragraph_id": "para_466"
      },
      {
        "text": "definition different from the one that has always been applied. Oral Arg.",
        "paragraph_id": "para_467"
      },
      {
        "text": "at 36:54−37:38. But the boilermakers haven’t said how they’re affected by",
        "paragraph_id": "para_468"
      },
      {
        "text": "the defendants’ assertion of a dangerous argument.",
        "paragraph_id": "para_469"
      },
      {

        "text": "are entitled to early-retirement benefits, we need not address the",
        "paragraph_id": "para_472"
      },
      {
        "text": "disagreement over the amounts that the trustees can recoup when they",
        "paragraph_id": "para_473"
      },
      {
        "text": "overpay.",
        "paragraph_id": "para_474"
      },
      {
        "text": "6. The district court erred in applying a time-bar to some of the",
        "paragraph_id": "para_475"
      },
      {
        "text": "claims for breach of fiduciary duty.",
        "paragraph_id": "para_476"
      },
      {
        "text": "Despite finding a right to benefits, the district court concluded that",
        "paragraph_id": "para_477"
      },
      {
        "text": "some of the claims for breach of fiduciary duty were time-barred. The",
        "paragraph_id": "para_478"
      },
      {
        "text": "boilermakers challenge this conclusion in a cross-appeal.",
        "paragraph_id": "para_479"
      },
      {
        "text": "For these claims, a three-year period of limitations exists. 29 U.S.C.",
        "paragraph_id": "para_480"
      },
      {
        "text": "§ 1113(2). The district court concluded that the boilermakers had missed",
        "paragraph_id": "para_481"
      },
      {
        "text": "this deadline by suing for breach of fiduciary duty more than three years",
        "paragraph_id": "para_482"
      },
      {
        "text": "after the trustees had denied the claims. For this conclusion, the court",
        "paragraph_id": "para_483"
      },
      {
        "text": "erred by treating the denial of benefits as the start of the limitations",
        "paragraph_id": "para_484"
      },
      {
        "text": "period.",
        "paragraph_id": "para_485"
      },
      {
        "text": "The statute of limitations provides that the three-year period doesn’t",
        "paragraph_id": "para_486"
      },
      {
        "text": "start until the plaintiff has “actual knowledge of the breach or violation.”",
        "paragraph_id": "para_487"
      },
      {
        "text": "Id. The alleged violation involved not only the denial of benefits, but also",
        "paragraph_id": "para_488"
      },
      {
        "text": "• “a series of misleading statements that hid the fact that",
        "paragraph_id": "para_489"
      },
      {
        "text": "[the plan administrators] were imposing a new unwritten",
        "paragraph_id": "para_490"
      },
      {
        "text": "requirement [for receiving early-retirement benefits]” and",
        "paragraph_id": "para_491"
      },
      {
        "text": "• fraudulent concealment of the fact that the new restrictions on",
        "paragraph_id": "para_492"
      },
      {
        "text": "early-retirement benefits hadn’t appeared in the plan",
        "paragraph_id": "para_493"
      },
      {
        "text": "documents.",
        "paragraph_id": "para_494"
      },
      {

        "text": "showing when the boilermakers knew of the alleged misconduct. See Intel",

        "text": "Corp. Inv. Pol’y Comm. v. Sulyma, 589 U.S. 178, 184–87 (2020)",
        "paragraph_id": "para_502"
      },
      {
        "text": "(concluding that the statute of limitations for ERISA claims involving",
        "paragraph_id": "para_503"
      },
      {
        "text": "breach of fiduciary duty doesn’t begin to run until the participant is",
        "paragraph_id": "para_504"
      },
      {
        "text": "actually aware of the breach).",
        "paragraph_id": "para_505"
      },
      {
        "text": "The defendants argue that the boilermakers could have learned",
        "paragraph_id": "para_506"
      },
      {
        "text": "everything they needed to know more than three years before they sued.",
        "paragraph_id": "para_507"
      },
      {
        "text": "But the three-year period of limitations is triggered by actual knowledge,",
        "paragraph_id": "para_508"
      },
      {
        "text": "not the ability to discover something. Id. at 186; see also Su v. Johnson,",
        "paragraph_id": "para_509"
      },
      {
        "text": "68 F.4th 345, 356–57 (7th Cir. 2023) (concluding that disclosure of a",
        "paragraph_id": "para_510"
      },
      {
        "text": "violation hadn’t shown actual knowledge as required to trigger the three-",
        "paragraph_id": "para_511"
      },
      {
        "text": "year period of limitations). The district court thus erred in granting",
        "paragraph_id": "para_512"
      },
      {
        "text": "summary judgment to the defendants on the claims by 66 of the",
        "paragraph_id": "para_513"
      },
      {
        "text": "boilermakers for breach of fiduciary duty. 7",
        "paragraph_id": "para_514"
      },
      {

        "text": "claims. In Appeal No. 25-3171, we reverse the grant of summary judgment",
